1. INSTRUCTION TO BIDDERS

i. Bid shall be considered in the prescribed Application Form only thatcan bedownloaded from the URL http://www.rvpn.co.in. No physical sale ofApplication form will take place.

-ii. Interested bidders are advised to study the document carefully. Submission

of Application shall be deemed to have been done after careful study andexamination of the document with full understanding of its implications.

iii. The, Bidder shall bear all costs associated with the preparation andsubmission of its bid and RVPNLwill, in no case, be responsible or liable'for those costs, regardless of the conduct or outcome of the bid process.

iv. Each' offer shall'specify only a single solution which is cost effective andmeeting the tender specifications and it-is the responsibility of the Bidderto decide the best of breed solution.

v. Excuse from-Claim: The Bidder at 'no point of time can excuse themselvesfrom any claims by RVPNLwhatsoever for their deviations in conforming tothe terms and 'conditions, payment schedules, timeframe forimplementation etc. as mentioned in bid document.

vi. Adherence to Schedule: The Bidder has to adhere to the time schedule ofactivities mentioned in the bid and no, request to change the last date orextend period / time for submission. shall be entertained by RVPNL.However, RVPNLreserves the right to extend the date/time for submissionof the responses without assigning any reason by notifying in its website.

vii>The Bidders would/ may be asked to make presentation on technical andoperational- .aspcct including the demonstration of the technologysubmitted in form of the Bid. ' ,

viii Submission of Bid: Submission of bids in any other format may result in- invalidation of such bids. The bid' submitted cannot be modified after theclosing date- and- time for submission of the bids offers unless specificallypermitted by RVPNL.

3.0 TERMSAND CONDITIONS:

i).' SCOPE OF WORK,-

b) CUSTO'MIZATION, CONFIGURATION AND COMMISSIONIN,G:The successful firm shall be responsible for performing the customization,configuration and instollotion of the antivirus with valid license for one year inthe Desktops computer & laptops situated at various offices of Vidyul BhawanRVPNJoipur/IT centre/JMC building Jaipur.

c) The successful, bidder shall monthly check/update the .cntivirus and shallsubmit the report to consignee/purchaser without any additional charges.

ii). PRICES:-"

The Unit FORDrate mentioned 'at column No. (D) of price schedule are FORdestination prices and are Fixed & FIRM inclusive. of all other charges butexclusive of GST..Tendered rates are.at par with the prevailing market rates and nOTmore thanthe price usually 'chorqed for secure code of same nature/class or descriptionfrom any private purchaser either foreign or as well as Government purchaser.iii). DELIVERY PE'RIOD for supply and installation:

Delivery period, !.orsupply and installation of the client server based antivirus - in,approx. 400 Nos. Pes/Laptops shall be within 45 days from the date of issue'ofthe order.

lv) Validity Period: The offered prices shall be valid for (Ninety) 90days from thedate of opening of the tender:' -

v) BID SECURITY: The EMD (Bid security) shall be deposited by the bidder for anamount equivalent to 2%of the contract value by cheque or demand draft infavour of Sr. Accounts Officer (EA-Cash), RVPN Jaipur (contract valueApprox.Rs2.80 lacs) i.e. Rs.5600/-(fivethousand sixhundred only).

• EMDshall be refunded to the successful bidder, only after signing of thecontract and after furnishing of performonco security, equivalent to 10%of the contract value.' "

• EMDof unsuccessful bidders shall be refunded, without any interest, afterthe tender finalization or expiry 'of the tender validity, whichever isearlier,after intimating them about the rejection of their tender bid.

- (vi) PERFORMANCE SECURITY:'The Performance security shall be deposited bythe bidder for an' amount equivalent to 10%of the contract value by chequeor demand drcft in favour of Sr.Accounts Officer (EA-Cash).:

However, the successful bidder at the .time of signing of the contractagreement may submit option for deduction of performance security from hiseach running and final bill @ 10%of the amount of the bill.

The amount of Performance securityshall be refunded of teecompletion of thecontract.

vii). TERMSOF 'PAYME-NT:'

a). 90% payment of the contracted price shall be made after supply andsuccessful installation of client server based antivirus software in allPCs/Laptops within" specified period of 45 days from the date of issue ofpurchase order to the successful bidder for the satisfaction of the purchaser.

b). Payment shall be made within a period of one month after submissionof billin triplicate in,the name of the Superintending Engineer (MIS&IT),RVPN,Jaipur.The Payment shall be made by Sr. Accounts Officer (EA-Cash)" RVPNJaipurafter verification .of bills through RTGS/NEFT.In case of delay in payment, RVPN

shall not be liable to pay any interest on outstanding amount. Actual no. ofPCs/lcptop for lnstollofion of antivirus may be varied.

c). BaIClI':1ce10%,Pciyment will be made after Expiry of license period of oneyeqr, which shall be released after successful completion of contract period.

d) Further the pcvrnen! sn,.911 be made as per the octuclqucntlty of antivirusinstalled a_ndverif.ied by the office of the SE(MIS&IT).

viii). PERIOD O,FCONTRACT: The Period of contract shall be one year from thelest instcllotlon of the antivirus.

ix) PENALT~CLAUSE' / DELAY IN DE1IV~RY:The time and the date of suppLy& installat,ionspecified above be,ing the

essence of the contract must be adhered to on supply & installationcompleted not later than the period specified in delivery 'clause. In ccse offailure to deliver .& install the above complete material as per order: or anypart thereof within the specified delivery & installation period,' penalty @ 1;2 %(half percent) per week or part thereof .subjec! to maximum 10% of thecontract value shall be recovered from the bidder's bill.

xi). DISPUTES:_All the disputes. differences, questions whatsoever arising between the

Nigam,and the supplier upon or in relation to or in connection with the supply,and installation shall be' decided to have arisen at Jaipur (Rajasthan) only endno courts other than courts in Joipur shall hove jurlsdiction to entertain thesame.

xii. GENERAL TERMS AND CONDITIONS:

a) Income Tax, GST Registration and Clearance Certificate No Dealer whodoes not hold a valid PAN from Income Tax department and who is notregistered under the GST 'Act prevolent in the State where his business islocated, shell submit the bid. The GST Registration Numbers should beindicated.

b) All Central/State Govt. /Local Body Levies as applicable from time to timeshall be deducted at source from the payment to the Supplier/Bidder asper the respective law in force at the time of execution of contract Ireleaseof payment. In future, if any tax like GST etc. applicable, same shall beborne by the bidder/supplier.

c) For goods/ products supplied from outside Rajasthan, the Supplier 'shallbe entirely responsible for all taxes, stamp duties, license fees, and othersuch levies imposed outside the country.

d) Each paper of P.O. must be signed and sealed and submit with contractagreemen t in th.is office as per GCC of RVPN.

xiii) REJECTION/CANCELLATION:

The Bid shall be submitted duly filled by downloading application form inthe bid from RVPNLwebsite submitted by Telex, fax or email withoutdepositing tender fee, EMD etc. would not be entertained.

Bid may be rejected at any stage of the evaluation if it is found that thecompany lias provided misleading .information or has been black-listed

" by a central or any state government or has indulged in any malpractice/unethical practice' and has not honored contractual obligation elsewhere.

Notwithstanding anything contained in this document, RVPNL, reservesthe right to cancel/terminate-the bid/proposal process without assigningany reason whatsoever, at' any time prior to signing the contract andRVPNLshali have no liability for aboveDmentioned actions.'

xiv) -CONFIDENTIALITY OF PROCESS: Information relating to theexamination, clarification, evaluation and comparison of bids, andrecommendations for the award of the Project shall not be disolosed toBidders or any other persons not officially concerned with such processuntil the award to the successful Bidder has been announced.

xv) LATE BIDS :'

- Any Bid received by RVPNL after the deadline for submission "of Bidsprescribed ..in this document, will be summarily rejected and returnedunopened to the Bidder. RVPNLshall not be responsible for any postaldelay or non-receipt / non-delivery' of ,the documents. No furthercorrespondence on this subject will be entertained.

The bidder may depute their representative ,for the event. The Bidder'srepresentatives who are present shall sign the attendance roll evidencingtheir attendance. Even if no representative of the bidder is available, theBids would be opened as per schedule. In the' event of the specified dateof Bid opening! presentation -beingdeclared a holiday for RVPNL,the Bidsshall be opened at the appointed time and location on the next workingday.

xvl) CONTRACT AGREMENT:For the fulfilment of the contract the firm shall execute an agreement intriplicate in the prescribed form on non-judicial stamp paper equivalentto 0.25% of the contract value subject to maximum ofRs 15000/- within15 days from issue of the letter of award/work order. Such arrangementshall be executed and signed by the competent authority of the companywith seal thereon.
