ARTICLE I СТАТЬЯ I

ORGANIZATION NAME

Section 1

The name of this organization shall be the International Coach Federation Russia Chapter (hereafter referred to as Organization).

Названием этой организации является Международная Федерация Коучинга Российское Отделение (далее – Организация).

ARTICLE III СТАТЬЯ III

ORGANIZATION GOVERNANCE

Section 1

Board of Directors

The operations of the Organization shall be governed by an elected Board of Directors of no more than 12 (Twelve) members. These members of the Board of Directors shall be elected by the existing members of the Organization. The Russia Chapter of the International Couch Federation and its Board of Directors shall abide by all applicable policies and guidelines of the International Coach Federation.

Раздел 1

Совет Директоров

Деятельность Организации регулируется избранным Советом Директоров, состоящим не более чем из 12 (двенадцати) человек, членов Организации. Эти члены Совета Директоров избираются путем голосования действующих членов Организации. Российское отделение Международной Федерации Коучинга и его Совет Директоров должны соблюдать все применимые политики и руководящие принципы Международной Федерации Коучинга.

Section 2

Director Qualifications

To be a Director, one must be an existing member of the International Couch Federation, have a good reputation in the Organization and maintain his or her membership during the time of service in the Board of Directors of the Organization and be elected by voting of the Organization members.

Для того, чтобы быть членом Совета Директоров, необходимо быть действующим членом Международной Федерации Коучинга с хорошей репутацией в Организации и продлевать членство во время работы в Совете Директоров Организации и быть избранным на должность путем голосования членов Организации.

Section 3

Duties and Responsibilities of the Board of Directors

The Board of Directors shall provide leadership in pursuit of the Organizations stated goals. It shall determine fees at organization-sponsored events, and develop the policies and procedures necessary to conduct the business of the Organization effectively.

Обязанности и Ответственность Совета Директоров

Совет Директоров Организации должен обеспечить лидерство в достижении заявленных Организацией целей. Он определяет суммы оплаты для мероприятий, спонсируемых Организацией, а также разрабатывает политику и процедуры, необходимые для осуществления эффективной деятельности Организации.

Section 4

Nominations and Elections

Every member of the Board of Directors of the Organization shall be elected for 2 years. Elections to the Board of Directors shall be hold annually and 50 % of the members whose terms expire at the moment of Elections shall be changed.

Candidates to the Board of Directors shall be nominated by the Nominations and Elections Committee consisting of 3 (Three) existing members (except Board members) of the Organization appointed by the President of the Organization and approved by a majority vote of the Board of Directors.

The President shall appoint, with the Board’s approval, the Nominations and Elections Committee not later than September 30 of the current year. Members of the Nominations and Elections Committee shall email all the existing members a notice of the coming Elections, including information on the number of coming vacant seats and invite qualified members to notify the Nominations and Elections Committee of their interest in

Порядок выдвижения кандидатов

Каждый член Совета Директоров Организации выбирается сроком на 2 года. Выборы кандидатов в Совет Директоров Организации проводятся ежегодно с заменой 50% кандидатов, чей срок полномочий истекает к моменту проведения выборов.

Кандидатуры для избрания в Совет Директоров Организации должны быть выдвинуты Комитетом по Выборам, состоящим из 3 (трех) действующих членов Организации, за исключением членов Совета Директоров, которые назначаются Президентом Организации и утверждаются большинством голосов членов Совета Директоров Организации.

Президент Организации с одобрения Совета Директоров Организации назначает Комитет по Выборам не позднее чем 30 сентября текущего года. Члены Комитета по Выборам по электронной почте информируют всех действующих участников Организации о предстоящих выборах, в том числе о количестве будущих вакантных мест и приглашает квалифицированных членов уведомить Комитет по Выборам о своей заинтересованности в работе в

The Nominations and Elections Committee shall provide the Organization members in writing with the names of one or more candidates for each position – seat in the Board of Directors.

Section 5

Elections

November 1 of the current year a member of the Nominations and Elections Committee shall email ballots to all of the existing Organization members. The ballots shall describe the positions open for the Elections and the candidates running for these positions.

The Organization members shall fill out their ballots and email them to the member of the Nominations and Elections Committee not later than November 10 of the current year who shall count the ballots and announce the results at the December Meeting of the Board of Directors. In case there is only one (1) candidate for each position, he or she may be appointed the Directors automatically.

The member of the Nominations and Elections Committee shall also keep the Minutes of the Meeting. New elected members of the Board of Directors accede to the Board of Directors as of January of the year following the year of the Elections.

1 ноября текущего года член Комитета по выборам отправляет по электронной почте бюллетени всем действующим членам Организации. В избирательных бюллетенях будут описаны должности, открытые для выборов и кандидаты, выдвинутые на эти должности.

Члены Организации будут заполнять свои бюллетени и отправлять их по электронной почте члену Комитета по выборам в срок не позднее 10 ноября текущего года, который ведет подсчет голосов и объявляет результаты на заседании Совета Директоров организации в ноябре. В случае, если существует только 1 (один) кандидат на каждую должность, его кандидатура может быть включена в состав Совета Директоров Организации автоматически.

Член Комитета по выборам также ведет протокол заседания. Новые избранные члены Совета Директоров вступают в должность с января года, следующего за годом проведения выборов.

Section 6

Removal

Any member of the Board of Directors may be removed from his or her position by a 2/3

vote of the Board of Directors. The Secretary of the Board of Directors shall record such events in the Minutes of the Meeting of the Board of Directors. In case a Director does not actively participate in his or her Committee during 3 (Three) months, this position is considered to be vacant automatically and the President of the Organization is authorized to appoint or invite a new member to the Board of Directors of the Organization.

Section 7

Terms and Vacancies

A Director shall not be elected to the Board of Directors of the Organization for more than 2 (Two) subsequent terms. Any of the vacant positions on the Board of Directors shall be filled by Presidential appointment, subject to approval by a majority of the Board of Directors. The approved appointment shall pertain until the following Elections in order provided by the present Chapter Bylaws r, when the seat will be filled by the normal Election process.

Section 8

Board of Directors Meetings

Meetings of the Board of Directors shall be hold at the times decided by a majority vote of the Board of Directors but at least 1 (One) time in a month. The President of the Organizarion may call a special Meeting at any time.

Section 9

Committees

The President may appoint committees, either standing or ad hoc, in order to effectively and efficiently further the stated goals of the Organization. The appointment of any committee must first receive the approval of the Board of Directors by way of a majority vote. The amount of the committees, their activities and their membership are decided by the Board of Directors at its discretion.

Президент Организации может назначать комитеты, постоянные или специальные, для того, чтобы эффективно достигать заявленных целей Организации. Создание любого комитета должно сначала получить одобрение членов Совета Директоров Организации путем принятия решения большинством голосов. Количество комитетов, направления их деятельности и состав комитетов определяется Советом Директоров Организации самостоятельно.

Section 10

Meeting Procedures

Directors shall be obliged:

To attend the Meeting of the Board of Directors of the Organization, it is allowed to miss not more than 3 (Three) Meetings in a year;

To follow the Regulation of the Meeting;

To prepare all the necessary papers in advance to the Meeting of the Board of Directors;

To discuss and take reasonable decisions on the questions of the agenda of the Board of Directors.

Процедуры Заседаний

Члены Совета Директоров обязаны:

Присутствовать на заседаниях Совета Директоров Организации, допускается пропуск не более 3 (трех) заседаний в год;

Соблюдать регламент заседания; Заранее готовить все необходимые

материалы к Совету Директоров Организации;

Обсуждать и принимать обоснованные решения по вопросам повестки заседания Совета Директоров Организации.

Section 11

Quorum

A majority of the Board members shall constitute a quorum for the purpose of carrying out the activities of the Organization.

Большинство членов Совета Директоров Организации составляют кворум для осуществления деятельности Организации.

Section 12

Excluded activities

The Russia Chapter of the International Couch Federation is authorized to carry out any legal activities in Russia for achieving the goals stated in the Chapter Bylaws.

Российское отделение Международной Федерации Коучинга вправе осуществлять любые законные виды деятельности на территории России для достижения уставных целей.

Section 13

Dissolution

In case of dissolution or final liquidation of the Chapter, its remaining net assets will be distributed to ICF for use consistent with its tax-exempt purpose and for the benefit of ICF Chapters, thus no part of such net assets may inure to the benefit of any individual member or person.

В случае роспуска или окончательной ликвидации Организации, оставшиеся чистые активы будут распределены ICF для использования в соответствии с ее целями, на благо Организации, таким образом, чтобы ничто из таких чистых активов не шло на выгоду любого отдельного члена или лица.

ARTICLE IV

СТАТЬЯ IV

DUTIES OF THE ORGANIZATION’S OFFICERS

Section 1

President

The President shall preside at all Meetings of the Board of Directors and of the Organization. The President shall be elected by the members of the incumbent Board of Directors by a majority vote.

ОБЯЗАННОСТИ ДОЛЖНОСТНЫХ ЛИЦ ОРГАНИЗАЦИИ

Президентом Организации может быть избран любой член Организации, который входит или ранее входил в Совет Директоров Организации. Президент Организации выбирается членами действующего на данный Совета Директоров большинством голосов.

The President is elected for the term of 3 (Three) years: the first year the President works with the incumbent President of the Organization as an elect, the second year by himself, the third year – together with the newly elected President of the Organization. He or she could be reelected for the subsequent term, but not more than for 2 (Two) subsequent term.

he President chairs at all the Meetings of the Board of Directors of the Organization. The President signs all the regulatory acts or documents that could be legally executed in behalf of the Board of Directors of the Organization.

During 5 (Five) calendar days after the Elections to the Board of Directors the Secretary of the Board of Directors send to the new, existing and former members of the Board of Directors of the Organization a letter with an offer to nominate him or her as the President of the Organization.

Consideration and election of the candidates for the position of the President takes place on the first Meeting of the Board of Directors of the Organization in December. The new President comes to duty in January of the year following the year of the Elections.

Президент избирается сроком на 3 (три) года: первый год новый Президент Организации работает вместе с действующим Президентом Организации в качестве elect, второй год – самостоятельно, третий год вместе с вновь избранным Президентом Организации. Он может быть переизбран на следующий срок, но не более чем на 2 (два) срока подряд.

Президент Организации председательствует на всех заседаниях Совета Директоров Организации. Президент Организации подписывает любые нормативные акты или документы, которые могут на законном основании быть выполнены от имени Совета Директоров Организации.

В течение 5 (пяти) календарных дней с момента выбора состава Совета Директоров Секретарь Совета директоров Организации рассылает новым, текущим и бывшим членам Совета Директоров Организации письмо с предложением выдвинуть свою кандидатуру на должность Президента Организации.

Рассмотрение заявок и выбор кандидатуры Президента организации проводится на первом заседании Совета Директоров Организации в декабре. Новый Президент вступает в полномочия в январе года, следующего за годом проведения выборов.

Section 2

President Elect

In case of absence or disability of the incumbent President of the Organization to carry on his or her duties, the newly elected President (President elect) carries on all the duties of the incumbent President of the Organization. Section 3

Secretary of the Board of Directors

If necessary the Secretary of the Board of Directors of the Organization could be elected/appointed. The Secretary shall maintain official minutes and records of the proceedings of the Board and the Organization. The Secretary shall arrange for mailings of official correspondence.

The Secretary of the Board of Directors shall also perform other duties and have such authority as shall from time to time be assigned by the President or the Board of Directors of the Organization.

Immediately following the Elections, the Secretary shall send a list of all newly elected officers and members of the Board to the Chapter Coordinator at chapters@coachfederation.org. These documents should be received by the ICF office at least two (2) weeks before the end of the quarter.

При необходимости может быть выбран/назначен секретарь Совета Директоров Организации. Секретарь Совета Директоров Организации ведет официальные записи и протоколы заседаний Совета Директоров Организации. Секретарь Совета Директоров Организации организует рассылку официальной корреспонденции.

Секретарь Совета Директоров также выполняет другие обязанности и имеет такие полномочия, которые даются ему время от времени Президентом Организации или Советом Директоров Организации.

Сразу же после выборов нового состава Совета Директоров Организации и Президента Организации секретарь Совета Директоров направляет список всех избранных должностных лиц и членов Совета Директоров Организации Координатору по отделениям по адресу chapters@coachfederation.org. Эти документы должны быть получены офисом ICF по крайней мере за 2 (две) недели до конца квартала.

Section 4

Treasurer

If necessary the Board of Directors of the Organization could appoint the Treasurer of the Organization. The Treasurer shall perform all the organization’s financial transactions and keep accurate records of the organization’s accounts.

The Treasurer shall submit financial records at each Board Meeting for review and approval by the voting majority of the Board.

The Treasurer shall also submit an annual financial report to the Board of Directors of the Organization during 30 (Thirty) calendar days subsequent to the end of the financial year. Besides the Treasurer shall submit a financial report to the Board of Directors of the Organization no less than once every six months.

Казначей также представляет ежегодный финансовый отчет Совету Директоров Организации в течение 30 (тридцати) календарных дней после окончания финансового года. Кроме того, Казначей предоставляет финансовый отчет Совету директоров Организации не реже одного раза в шесть месяцев.

Section 5

Delegation of Officers’ Duties

The President or the Board of Directors by majority vote may delegate any officer’s duties to any other member of the Board of Directors when they deem such action to be appropriate and with the consent of such member of the Board Directors.

Делегирование Обязанностей Должностных Лиц

Президент или Совет Директоров большинством голосов может делегировать обязанности любого должностного лица любому другому члену Совета Директоров Организации, когда они сочтут такое действие целесообразным и при наличии согласия другого члена Совета Директоров Организации.

ARTICLE V СТАТЬЯ V

ORGANIZATION MEMBERSHIP

Section 1

Qualification

In order to qualify as a member of the Organization, an individual must have paid annual dues directlyto the International Coach Federation as determined by the International Coach Federation Board of Directors found at http://www.coachfederation.org

ЧЛЕНСТВО В ОРГАНИЗАЦИИ

Раздел 1

Квалификация

Для того, чтобы стать членом Организации, человек должен заплатить ежегодный взнос непосредственно в Международную Федерацию Коучинга, как это определено Советом Директоров Международной Федерации Коучинга и изложено по адресу.

Section 2

Voting

Раздел 2

Голосование

All qualified members of the Organization are eligible to vote on any issue presented to the membership for a vote. Voting shall be carried out by ballot, electronic mail or any reasonable means determined by the Board of Directors of the Organization. At all business meetings of the Chapter, each regular member present at the meeting shall have 1 (One) vote. Unless otherwise specifically provided by the present Chapter Bylaws, a majority vote of those members present and voting shall govern.

Все действующие члены организации имеют право голосовать по любому вопросу, представленному для голосования членам Организации. Голосование проводится с помощью бюллетеней, электронной почты или других разумных средств, определяемых Советом директоров Организации. На всех деловых встречах Организации каждый действующий член Организации, присутствующий на встрече, имеет 1 (один) голос. Если иное специально не предусмотрено настоящим Уставом, решение по вопросу, вынесенному на общее голосование, принимается большинством голосов присутствующих на встрече (заседании) членов, участвующих в голосовании.

ARTICLE VI СТАТЬЯ VI

AMENDMENTS TO THESE GUIDELINES

Section 1

Recommendation for Amendment

All the amendments and alterations to the present Chapter Bylaws could be made by the decision of the Board of Directors of the Organization, taken by at least 2/3 votes of the members of the Board upon a written request from at least 10 (Ten) percent of the existing members of the Organization. The President shall provide the text of the amendments for the voting at the nearest coming Meeting of the Board or send them to all the members of the Organization by post. In case the amendments of the Chapter Bylaws were proposed by not less that 10 (Ten) percent of the existing members of the Organization. No amendments to this document must not contravene the rules, the guidelines or the Bylaws of the International Couch Federation.

ПОПРАВКИ К ЭТИМ РУКОВОДЯЩИМ ПРИНЦИПАМ

Раздел 1

Рекомендации по внесению поправок

Все изменения и дополнения в настоящий Устав могут быть внесены по решению членов Совета Директоров Организации, принятому не менее чем 2/3 голосов членов Совета Директоров Организации или по письменному запросу, сделанному не менее чем 10-ти (десяти) процентов голосов действующих членов Организации. Президент Организации должен вынести текст поправок для голосования на ближайший Совет Директоров Организации или отправить по почте всем членам Организации, в случае, если предложение о внесении изменений в текст Устава поступило от членов Организации, подписанного не менее чем 10-ти (десяти) процентов голосов действующих членов Организации. Никакие поправки к этому документу не должны противоречить правилам, руководящим принципам или уставу Международной Федерации Коучинга.

ARTICLE VII СТАТЬЯ VII

ENTRY INTO FORCE

Section 1

The present Chapter Bylaws entries into force on the day of its approval by the Board of Directors of the Organization by a majority vote not less than 2/3 of the Board of Directors. Section 4 of the present Chapter Bylaws («Nominations and Elections») entries into force on January 1, 2015.

ВСТУПЛЕНИЕ УСТАВА В СИЛУ

Раздел 1

Настоящий Устав вступает в силу с момента утверждения его Советом Директоров Организации, принятому не менее чем 2/3 голосов членов Совета Директора Организации. Статья III, Раздел 4 настоящего Устава («Порядок выдвижения кандидатов») вступает в силу с 01 января 2015 года.
