Under Section 402 of the Not-for-Profit Corporation Law

THE UNDERSIGNED, being of the age of 18 years or older, under S 402 of the New York Not-for­Profit Corporation Law does hereby set forth:

1. The name of the corporation is: Rockaway Civic Association Inc.

2. The corporation is a corporation as defined in section 102 (a)(5) of the Not-for-Profit Corporation Law. The corporation is a type A not-for-profit corporation. The corporation's purpose is to: We seek to have the residents of the community within our areas of advocacy benefit from the work our organization will uridertake. Our organization - as a civic association - will be able to work in conjunction with city agencies on local projects such as volunteer based beautification projects of public spaces. We will accomplish this by: working with city agencies to clean-up & beautify open spaces in our area which cannot be accomplished by local agencies because of their limited financial resources We will conduct and promote meetings on topics such as underage drinking, home safety and see something/say something program for neighborhood safety. The Corporation will be a resource and conduit for local residents to local officials and agencies on issues such as local transportation, street maintenance (pothole repair) and environmental concerns. Last, we will distribute a quarterly newsletter which will provide members with updates on ongoing issues in our community, events in our area and information regarding changes in local codes which may benefit or affect them. .

This corporation is orgaI,lized exclusively for Civic Leagues, Social Welfare Organizations, and Local Associations of Employees, including, for such purposes, the making of distributions to organizations that qualitY as exempt organizations under section 50 1 (c)(4) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Notwithstanding any other provisions of these articles, this organization shall not carryon any activities not pennitted to be carried on by an organization exempt from Federal income tax under section 501 (c)( 4) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue Jaw.

No part of the net earnings of the organization shaU inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth in the purpose clause hereof. No substantial part of the activities of the organization shall intervene in any political campaign on behalf of any candidate for public office.

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the mearting of section 501 (c)( 4) of the Internal Revenue Code of 1986, or corresponding section of any· future Federal tax code, or shall be distributed to the Federal, state, or local government for a public purpose. Any such assets not so disposed of shall be disposed of

by a court of competent jurisdiction of the county in which the principal office of the organization is then located, exclusively for such purposes.

3. The office of the corporation is to be located in the county of Queens, in the State of New York.

4.
