MEMORANDUM OF UNDERSTANDINGFOR COOPERATION AND EXCHANGE

BETWEEN

THE UNIVERSITY OF HAWAI,I AT TUAXOA

AND

SAINT LOUIS UNIVERSITY

The University of Hawai'i, for the benefit of the University of Hawai'i at M6noa, and Saint LouisUniversity (collectively, the "Parties") agree to cooperate on intemational programs based on theprinciple of reciprocity.

This Memorandum of Understanding (MOU) encourages the exchange of faculty, scholars, students,

academic information and materials in the belief that the research and educational processes at both

universities will be enhanced and that mutual understanding between their respective faculty, scholars and

students will be increased by the establishment of such exchanges.

l. The universities will pursue the following exchange activities based on their respective academic and

educational needs:

a. Exchange offaculty, scholars and students (professors, lecturers, or researchers)

b. Exchange ofstudents (including undergraduate and graduate students)c. Exchange of academic information and materialsd. Exchange of periodical academic publicationse. Organization ofjoint research programsf. Organization ofjoint conferencesg. Organization of other student programsh. Other academic exchanges agreed by both universities

2. The implementation of each specific exchange activity based on this MOU shall be separatelynegotiated and determined by both universities in separate written agreements. Efforts will be made

by both sides to find financial sources for carrying out the exchange activities.

3. Nothing shall diminish the full autonomy of either institution, nor will any constraints or financialobligations be imposed by either upon the other in carrying out the MOU.

4. If this MOU is provided in the language of both signatories, both documents have equal validity.

5. This MOU is in effect for five year and is subject to revision or modification by mutual writtenagreement. It is also understood that either institution may terminate the MOU at any time by givingwritten notice at least 6 (six) months in advance to the other Party to minimize impact to participantscompleting their activities at the host University. This MOU shall take effect from the date of the

6. Any notice or request given or made by one Party to the other under this MOU shall be in writing in

the language of English and shall be addressed to the appropriate office as is designated in writinghereinafter:

IN WITNESS WHEREOF, the Parties hereto have caused this MOU to be executed by their duly

authorized representatives. Each Party shall hold one original signed MOU, with both documents being

equally authentic.
