Concept of OperationsThe Greenhouse Institute

02-22-13

The Greenhouse Institute™ (TGI) will:

develop detailed designs, sell, and build three different types of four season controlledenvironment greenhouses (indoor, outdoor, and rooftop) for turnkey turnover

•  build and sell two different models of backyard greenhouses (Gazebo Greenhouse™ and

Pyramid Greenhouse™) for turnkey turnover or DIY (do it yourself) construction

• train operators for all designs and models.

The indoor greenhouse will rest in a protected environment such as another building or in a cave;the outdoor will be based on land unsuitable for conventional outdoor farming, the rooftop willsit on flat rooftops such as box stores and shopping malls, and the backyard can be modified for indoor placement. Each greenhouse, except the backyard, can be multi-storied.

Each greenhouse will use remotely controllable growing techniques that might include, but not be limited to LED grow lights; elevated carbon dioxide levels; heating, ventilation, and air conditioning for atmosphere control; and a nutrient delivery system of hydroponics or aeroponics.

The products grown in any of the greenhouses might include, but not be limited to fruits, vegetables, flowers, spices, and herbs.

One hundred thousand dollars ($100,000) will be sought to:

• hire an Administrative Assistant

• open and outfit an office

• incorporate

• apply for trademarks

• assemble a startup team

• set up a web site

• design, build an operational model, and sell gazebo and pyramid models of a backyard

greenhouse that can be adapted for indoor use

• outfit a classroom, prepare lesson plans, and teach the four season controlled environment

greenhouse process

• generate conceptual designs and prepare cost estimates for indoor, outdoor, and rooftop

greenhouses

•  prepare a business plan, and

• raise the financing required to expand operations.

The startup funding source is expected to be TGI Incorporating Financial Partners (IFPs) providing one hundred thousand dollars ($100,000) with one IFP providing the full amount;1,000 contributing $100 each; or any combination to reach $100,000.

TGI will be set up with 10,000 shares of voting stock and 100 million shares of nonvoting stock. In the ideal form, the IFP network will receive ten percent (10%) of the nonvoting stock

(10,000,000 shares @ $0.01/share), 50% of the nonvoting stock will be held for distribution toemployees when they complete predetermined performance parameters, and the remaining 40%will be sold at a later date in a manner and at a price that will be recommended by the Board of Directors, of which a majority vote of the IFPs will be used to elect one member.

For full global coverage, boundaries will be set so as to define ten thousand (10,000) costcenters, or Bath Incubator Extensions (BIEs), organized under a system that employs internalWin-Win Competition (WWC) as the control mechanism.

In the WWC method, the high performers in areas of profits, customer satisfaction, andemployee satisfaction help the low performers with the highest rewards in the company(recognition, bonuses, and advancement preference) given to those high performers who are themost successful in helping the low performers to improve.

In the present situation of a seven billion world population, the objective will be to align boundaries such that an average of 700,000 will reside in each cost center but a given BIE couldinclude as many as two million or as few as two hundred thousand people within its boundaries.

One share of voting stock will be held by each of ten thousand (10,000,000) cost centers alignedfor full global coverage. Thus, in a mature company, the local operators will control TGIheadquarters.

In the United States, 435 voting U.S. Representatives is a number defined by law. TGI BIEs willcoincide with each of the 435 boundaries for a U.S. Representative plus DC. The boundaries for the other 9,564 cost centers required for full global coverage will be set later.

The first planned franchise is The Greenhouse Institute™ of Maine (TME) with two cost centers. The follow up ten planned franchises, with postal codes and cost centers in parenthesis, areTGI™ of Connecticut (TCT-5), the District of Columbia (TDC-1), Maryland (TMD-8),

Massachusetts (TMA-10), New Hampshire (TNH-2), New Jersey (TNJ-13), New York (TNY-29), Pennslyvania (TPA-19), Rhode Island (TRI-2), and Vermont (TVT-1).

A franchise will then be incorporated in each of the remaining 40 states so as to provide full U.S.

coverage by setting up a BIE in each Congressional District.

International expansion for full global coverage will be implemented to meet demand.

As a final requirement, each TGI cost center plus corporate TGI will have a perpetual and irrevocable

requirement to donate 10% of earnings before taxes to the Dirigo Energy Institute (DEI), which will

use it to support the five Dirigo nonprofits introduced on the DEI web site.
