AGNELLINI: Good morning. Before16 you is a petition seeking qualification of new17 holding companies and natural person qualifiers18 in connection with the reconfiguration of the19 ownership of the Tropicana. Basically what Mr.20 Icahn has done is, he's taken his ownership of21 Tropicana and moved it from one string of22 entities over to another string of entities.23 The entities that are now the holding companies24 and the natural person qualifiers of those25 entities were all previously qualified in
28
1 ITEM NO. 122 connection with his ownership of Trump Taj3 Mahal. So this is just moving that interest4 from basically one side of this organizational5 chart over to another to previously qualified6 entities.7 We've reviewed the resolution, and we8 would ask that you approve that transfer of the9 new company and national person qualifiers.
10 CHAIR LEVINSON: Thank you.11 MS. BEN-DAVID: Well, as has been12 reviewed by Counsel, on September 28th, the13 Division filed a letter report recommending14 that the Commission find American Entertainment15 Properties Corp. and Icahn Building, LLC,16 qualified as the new holding companies for17 Tropicana.18 Again, as has been reviewed already,19 these companies are new to Tropicana Atlantic20 City Corp. but they are not new the Commission.21 They've been previously qualified by the22 Division as holding companies for another23 corporate casino licensee, Trump Taj Mahal24 Associates, LLC. Mr. Cozza and Mr. Cho are not25 new at all. They are currently qualifiers for
29
1 ITEM NO. 122 Tropicana.3 The Division recommends that you find4 these companies and that you recognize the5 natural persons qualifiers remain qualified.6 I've reviewed the draft resolution in7 this matter and have no objection.8 CHAIR LEVINSON: Thank you.9 Commissioners, any questions for either
10 counsel?11 (No response.)12 CHAIR LEVINSON: I'll entertain a13 motion.14 VICE CHAIR HARRINGTON: Mr. Chairman, I15 move that we adopt the draft resolution and16 grant the relief requested in the Petition and17 find American Entertainment Properties Corp.18 and Ichan Building, LLC, qualified as new19 holding companies of Tropicana Atlantic City20 Corp. pursuant to NJSA 5:12-85.1(a); and21 further find that Keith Cozza and SungHwan Cho,22 individual qualifiers of the two new holding23 companies, have previously been found24 qualified, remain qualified.25 CHAIR LEVINSON: Thank you.

1 ITEM NO. 132 Resorts, and Resorts Digital, seeking rulings3 from the Commission approving the transfer of4 an ownership interest in holding company JEMB5 Resorts held by two Bailey Family 20106 Grandchildren's Trust to the Bailey Family,7 1998 Grandchildren's Trust, and to further find8 the 1998 Trust qualified as a new entity9 qualifier and find Ester Jerome qualified as a

Lynne15 Kaufman, Cooper Levenson, on behalf of the DGMB16 and Resorts Digital.17 As mentioned by the General Counsel, as18 you are aware, certain interests in DGMB and19 Resorts Digital are indirectly held by certain20 Bailey Family Trust. The petition that was21 filed -- and therefore, the Bailey Family Trust22 and their trustees are currently qualified.23 The Petition before you seeks approval24 to transfer the majority of the interests of --25 indirect interest of DGMB and Resorts Digital
32
1 ITEM NO. 132 from a current 2010 Trust to a 1998 Trust.3 Therefore, the 1998 Trust and the trustee are4 required to be qualified.5 The Division has investigated the 19986 Trust and the trustee and has not objected to7 their qualification. Therefore, we're asking8 for approval for the transfer.9 Thank you.
10 CHAIR LEVINSON: Thank you.11 MR. LOLLI: Good morning, Chairman,12 Commissioners. David Lolli, Deputy Attorney13 General, on behalf of the Division of Gaming14 Enforcement.15 The Division has reviewed the Petition16 and the Amended Petition and the relief sought.17 The Director of the Division determined that18 the 1998 Bailey Family Trust be designated as19 an entity qualifier and Ester Jerome be20 designated as a qualifier of the trust.21 The Division has completed its22 investigation in this matter and submitted two23 reports dated October 23rd, 2017, one regarding24 the Trust itself and one recording the Ester25 Jerome. As set forth in those reports, our
33
1 ITEM NO. 132 recommendation is to grant the relief3 requested.4 Thank you.5 CHAIR LEVINSON: Thank you.6 I'm sorry. My sideways -- my whole7 agenda turned sideways on my computer so --8 (Laughter.)9 MS. KAUFMAN: I thought it was too short
10 for you to read.11 CHAIR LEVINSON: I'm sorry. It's hard12 to read. I don't know how to get it back up.13 So, commissioners, any questions for14 counsel?15 VICE CHAIR HARRINGTON: No.16 CHAIR LEVINSON: Is there a motion?17 COMMISSIONER COOPER: Mr. Chairman, I18 move to adopt the draft resolution and grant19 the relief requested in the Petition and find20 the Bailey Family 1998 Grandchildren's Trust21 qualified as an entity qualifier of DGMB22 Casino, LLC, and Resorts Digital, LLC, pursuant23 to NJSA 5:12-85.1a; and further find Ester24 Jerome qualified as a trustee of the Bailey25 Family 1998 Grandchildren's Trust pursuant to
