The New Israel Fund believes that ensuring Israel's peaceful and democratic future means building a society dedicated to equality, pluralism, and the rule of law. IVIF made grants to hundreds of Israeli public-interest organizations to support activities that safeguard civil and human rights, promote Jewish-Arab coexistence, foster tolerance and religious pluralism, advance the status of women, bridge social and economic gaps, protect the environment, and increase government accountability . Through document reviews and site visits, NIF staff and volunteer leadership monitor the organizations funded for appropriate and effective use of each grant awarded .

(b) Description of Program Service Two : Projects $ 3,694,212

The New Israel Fund operates several projects working to strengthen democracy in Israel .

SHATIL, NIF's Empowerment and Training Center for Social Change Organizations, provides consulting services to hundreds of Israeli non-profit organizations in organizational and institutional development, management, fundraising, advocacy, media and public relations, and volunteer recruitment supervision . SHATIL also provides grassroots organizations instruction in community organizing and support their coalition building efforts . SHATIL leadership development courses provide organizational leaders and other individuals with essential skills to advance the cause of their organizations and communities . SHATIL's assistance is offered free of charge and is closely linked to NIF's grantmaking .

" The Israel-U.S . Civil Liberties Law Program, co-sponsored with the Washington College of Law of American University in Washington, DC offers two years of academic and professional experience to Israeli lawyers specializing in civil rights and environmental advocacy .

Other NIF programs address the special needs of Israel's Arab and Bedouin citizens ; seek to strengthen Israel's environmental movement to protect and preserve Israel's scarce natural resources; establish Civics Education as a core component of Israel's school curriculum ; increase transparency and equity in Israel's National Budget; reveal and draw public and media attention to incidents of racism in Israeli society through the lens of professional soccer. These and other NIF programs are described in greater detail on the NIF website (www.nif.org) and in the Annual Report, available upon request from the organization .

(c) Description of Program Service Three: Public Education $1,987,441

The New Israel Fund has an extensive outreach program in Israel and North America providing information on concerns related to democracy and social justice in Israel . The program consists of publications (annual report, newsletters, in-depth guides to issues) in English and Hebrew, a national speakers' program, media, communal relations, outreach to rabbis, conferences, and study tours to Israel .

ARTICLE I

NAME

The name of the corporation is : NEW ISRAEL FUND.

ARTICLE II

MEMBERS

The corporation shall not have members.

ARTICLE III

BOARD OF DIRECTORS

1 . Powers . Subject to limitations of the articles of incorporation, other

sections of the By-laws, the California Nonprofit Public Benefit Corporation Law, and

any other applicable laws, all corporate powers of the corporation shall be exercised by or

under the authority of, and the business and affairs of the corporation shall be controlled

by the Board of Directors . Without limiting the general powers, the Board of Directors

shall have the following powers :

(a) To select and remove all of the officers and agents of the corporation,

including the Executive Director, prescribe such powers and duties for them as may not

be inconsistent with law, the articles of incorporation, or these By-laws, and fix their

compensation, if any.

(b) To conduct, manage, and control the affairs and business of the corporation,

and to make rules and regulations not inconsistent with law, the articles of incorporation,

or these By-laws.

(c) To borrow money and incur indebtedness for the purposes of the corporation,

and for that purpose to cause to be executed and delivered, in the corporate name,

promissory notes, bonds, debentures, deeds of trust, mortgages, pledges, or other

evidence of debt and securities .

2 . Number. Election and Terms. The number of elected directors shall be

twenty (20) . In addition to the elected directors, (a) the Executive Director shall serve ex

officio with the power to vote, and (b) each former President shall serve ex officio without

the power to vote . New directors shall be nominated by the Leadership Development

Committee and shall be elected to the Board by the majority vote of the members of the

Board then in office . Except as provided in paragraph 3 of this Article III, directors may

serve three (3) two-year terms. A director may succeed him or herself, but directors shall

not serve more than three (3) consecutive terms of office without an absence of at least

one (1) year.

3. Transition. The transitional directors selected pursuant to these amended

By-laws, shall be selected by the Appointments Task Force as authorized by the Board of

Directors at its meeting of June 25, 2001 . They shall serve one (1) two-year term

commencing January 1, 2002 . In addition to the selected directors and any ex officio

directors as provided in paragraph 2 of this Article III, any director previously elected to

serve a term of office which does not expire until after December 31, 2001, and who is

not selected to continue as a director after that date, may continue to serve on the Board

with the power to vote until the expiration of his or her current two-year term (hereinafter

"holdover directors").

4. Removal. Directors may be removed, with or without cause, by a two-

thirds vote of the directors present at a meeting at which a quorum is present, provided

that the number of directors present at the meeting is not less than a majority of the

directors then in office .

5 . Resignations . Any director may resign effective upon giving written

notice to the President, or to the Board of Directors, unless the notice specifies a later

time for the effectiveness of such resignation.

6. Vacancies. Vacancies on the Board of Directors shall be filled by the

President of the corporation after considering recommendations by the Leadership

Development Committee. A successor director shall serve for the unexpired term of his

or her predecessor.

7. Meetings. Regular meetings of the Board of Directors shall be held at

least four (4) times a year, at a time and place fixed by the President, provided that at

least two (2) meetings each year shall take place with a majority of the directors present

in person and at least one (1) of which shall take place in Israel . Special meetings of the

Board of Directors may be called for any purpose at any time by the President or any

seven (7) directors .

Notice . Written notice of the time and place of regular or special meetings

her. The notice shall be sent at least twenty (20) days before the time of the holding of

the meeting. A notice, or waiver of notice, need not specify the purpose of any regular or

special meeting of the Board.

9. Waiver. Notice of a meeting need not be given to any director who signs a

waiver of notice or a written consent to holding the meeting or an approval of the minutes

thereof, whether before or after the meeting, or who attends the meeting without

protesting, prior thereto or at its commencement, the lack of notice to such director. All

such waivers, consents and approvals shall be filed with the corporate records or made a

part of the minutes of the meetings .

10 . Quorum and Voting . One-third of the number of current directors from

time to time, including holdover directors, if any, shall constitute a quorum for the

transaction of business by the Board of Directors . In the absence of a quorum, a majority

of those directors present may adjourn the meeting. When a quorum is once present to

organize a meeting, it is not broken by the subsequent departure of one or more directors

from the meeting provided that at least one-quarter of the board is present at all times.

The affirmative vote of a majority of the directors present at a Board meeting at which a

quorum is present shall be necessary and sufficient to the making of decisions by the

Board, except as a larger vote may at any time be otherwise specifically required by the

California Nonprofit Public Benefit Corporation Law, the Articles of Incorporation, or

these By-laws.

11 . Compensation . Directors, other than the Executive Director, shall receive

no compensation for their service on the Board, provided, however, that directors may

receive reasonable compensation and/or reimbursement for their expenses in connection

with services provided to the corporation .

12 . Committees .

(a) Standing Committees . The Board of Directors shall have the following

standing committees : Executive, Fundraising, Finance, Leadership Development, Shatil,

Grants, and such other committees as the president may deem necessary. Members of

standing committees (including chairs) shall be appointed by the president, acting in

consultation with the vice presidents, executive director, executive director in Israel and

others whom he or she deems appropriate. The standing committees shall carry out such

duties and responsibilities as may be assigned to them by the Board of Directors or the

president. All committee appointments shall be for one-year terms.

(b) Other Committees . The Board of Directors shall have authority to

designate by resolution adopted by a majority of directors present at a meeting at which a

quorum is present other committees, task forces, working groups, and councils to help

carry out the corporation's purposes ; whose membership need not be limited to directors,

and not having or exercising the authority of the Board of Directors in the management of

the corporation. The members of such committees, task forces, working groups and/or

councils shall be appointed as authorized by the Board of Directors .

13 . Teleconferencing . Directors may participate in a meeting by means of a

conference telephone or similar communications equipment through which all directors

Participation by such means shall constitute presence in person at the meeting .

ARTICLE IV

OFFICERS

1 . Officers of the Corporation. The officers of the corporation shall consist of

a President, a Vice President in Israel, a Vice President in North America, a Secretary, a

Treasurer, the Executive Director, and such other officers and assistant officers as the

Board of Directors may from time to time elect. Any number of offices may be held by

the same person, except that neither the Secretary nor the Treasurer may serve

concurrently as the President of the corporation. The duties of any such officers and

assistant officers shall be fixed by the Board of Directors, or by the President if

authorized to do so by the Board of Directors .

2 . Election . Except for the Executive Director, who shall serve at the

pleasure of the Board of Directors, the Board of Directors shall elect all officers of the

corporation for terms of two (2) years after receiving the recommendations of the

Leadership Development Committee.

3 . President . Subject to the control of the Board of Directors, the President

shall be the chief elected officer of the corporation and shall act as its principal public

spokesperson and representative. He/she shall preside at all meetings of the Board of

Directors, and shall have such other powers and duties as may be prescribed from time to

time by the Board of Directors or these By-laws.

4. Vice President in Israel . The Vice President in Israel shall serve as a

spokesperson and representative of the corporation in Israel and shall perform all duties

and functions on behalf of the corporation as may be delegated to him or her by the

Board or by the President .

5 . Vice President in North America. The Vice President in North America

shall serve as a spokesperson and representative of the corporation in North America and

shall perform all duties and functions on behalf of the corporation as may be delegated to

him or her by the Board or by the President .

6 . Secretary. The Secretary shall keep or cause to be kept a book of minutes

of all meetings, proceedings and actions of the Board and of committees of the Board.

The minutes of meetings shall include the time and place that the meeting was held,

whether the meeting was regular or special, and if special, how authorized, the notice

given, and the names of those present. The Secretary shall keep or cause to be kept a

copy of the articles of incorporation and the By-laws, as amended, to date. The Secretary

shall give, or cause to be given, notice of all meetings of the Board and the Committees

of the Board required by these By-laws to be given. The Secretary shall keep the

corporate seal in safe custody and shall have such other powers and perform such other

duties as the Board or the By-laws may prescribe.

7 . Treasurer . The Treasurer shall keep and maintain or cause to be kept and

maintained, adequate and correct books and accounts of the corporation . The Treasurer

shall send or cause to be given to Directors such financial statements and reports as are

required to be given by law, by these By-laws, or by the Board. The books of account

shall be open to inspection by any director at all reasonable times. The Treasurer shall

deposit or cause to be deposited all money and other valuables in the name and to the

credit of the corporation with such banks or money funds approved by the Finance

Committee. These funds shall be paid out either in checks of the corporation or by bank

transfer of funds. The Treasurer may disburse the corporation's funds or delegate the

authority to do so as set forth in Article VII. The Treasurer shall have such other powers

and perform such other duties as the Board or these By-laws prescribe.

8. Executive Director. The Executive Director shall be the chief executive

officer of the corporation and shall have responsibility for the day-to-day operation and

affairs of the corporation, subject to the general supervision of the President and the

Board of Directors . The Executive Director, after consultation with the President and the

Board of Directors, shall appoint an Executive Director in Israel who, subject to the

supervision of the Executive Director, shall serve as the chief executive officer of the

corporation in Israel .

ARTICLE V

AMENDMENT OF BY-LAWS

These By-laws may be amended or repealed and new By-laws adopted by the

vote of a majority of the Board of Directors .

ARTICLE VI

MISCELLANEOUS

The President or such other officers as the Board of Directors may select for that

purpose are authorized to vote, represent, and exercise on behalf of the corporation all

rights incident to any and all voting securities of any other corporation or corporations

standing in the name of this corporation. The authority granted in these By-laws to the

officers to vote or represent this corporation arising from any voting securities held by

this corporation and any other corporation or corporations, may be exercised either by the

officers so authorized in person or, as to any such officer, by any person authorized to do

so by proxy or power of attorney duly executed by such officer.

ARTICLE VII

EXECUTION OF CHECKS

Except as otherwise provided by law, every check, draft, promissory note, money

order, or other evidence of indebtedness of the corporation shall be signed by individuals

as provided by resolution of the Board of Directors or by these By-laws. Any contract,

lease, or other instrument executed in the name of and on behalf of the Corporation,

excluding those for routine office administration, shall be signed as provided by a

resolution of the Board, and shall have attached to it a copy of the resolution of the Board

of Directors authorizing its execution . An option to purchase real property in pursuance

of the Corporation's charitable purposes need not be authorized by a prior resolution of

the Board of Directors . However, the exercise of any such option must be preceded by a

resolution of the Board of Directors authorizing its exercise, and the notice of exercise

must be signed by the President and countersigned by the Secretary or the Treasurer.

ARTICLE VIII

THE NEW ISRAEL FUND INTERNATIONAL COUNCIL

The New Israel Fund shall have an International Council composed of individuals

who have served on the Board of Directors or otherwise provided distinguished service to

the corporation, and other individuals prominent in the communities in which they reside

and who are committed to the vision and purposes of the corporation. The International

Council shall serve to strengthen the partnership between Israel and the Diaspora by

providing a means to educate the worldwide Jewish community about contemporary

issues facing Israeli society and the role of the corporation in seeking to address those

issues . Initial appointments to the International Council shall be made by the

Appointments Task Force authorized by the Board of Directors at its meeting of June 25,

2001 . Thereafter, appointments to the International Council shall be made by the Board

of Directors from time to time. Members of the Council shall continue to serve at the

pleasure of the Board. The Council shall hold an annual meeting in Israel to coincide

with the meeting of the Board of Directors held in Israel . The Board of Directors shall

appoint from time to time one member of the Council to serve as its Chair and one

member to serve as its Vice Chair.

In the first review, the Chair of the Grants Committee and the Israeli grant staff eliminate applications from organizations that are not appropriate for N1F funding. The staff then begins the work of investigating each applicant, reviewing their financial statements and proposed budgets, reading the application, and visiting the group . Typically, grantmaking staff members attend sample programs, meetings, or events . They may collect opinions from

NEW ISRAEL FUND EXPLANATION OF GRANTIVIAKING PROCESS

An applicant for a grant must be registered as a non-profit organization in Israel. Grants are awarded only to organizations whose primary activity takes place within the State of Israel . Grants will be awarded to organizations whose primary activity falls into one of the following areas:

Issues and Populations within the Broad Issue Areas Palestinian-Israeli Community Promoting the Status of Women

" Jewish-Arab Coexistence Government Accountability

An applicant for a grant cannot be controlled by a political party. An applicant cannot have influencing legislation as a primary aim. There is a strong preference against funding research, periodicals, university-sponsored programs, and programs sponsored by municipal or national authorities, including schools and community centers. An applicant's program must be designed to have an impact that extends beyond individuals to affect a broad, social level. Priority is given to organizations that exemplify the spirit of self-help, volunteerism, and empowerment.

Applicants include a broad array of organizations, ranging from small cadres of individuals with a good idea who need seed money to implement their plan, to established national organizations addressing problems requiring NIF support.

Several hundred applications reach NIF each year at the initiative of the applicant, while others are solicited by NIF. The application process is extensive, usually lasting about six months and involving multiple contacts between the applicant and MR It involves NIF"s grantmaking staff in Israel as well as it's Grants Committee. The Grants Committee includes Israelis and North Americans, some of whom are NIF Board members, with expertise in one or more of MF's program areas.

As part of its Israel-U.S . Civil Liberties Law Program, the New Israel Fund pays a monthly fellowship to 2-3 students at The American University Washington College of Law. The students come to Washington DC for a year for an academic and professional experience for Israeli lawyers specializing in civil rights. They obtain a Masters in Law (LL.M.), including participation in legal internships at American public-interest organizations . They then return to Israel for a year working with an NIF grantee in Israel .

outside experts, where relevant . Each Grants Committee member is responsible for investigating severs.( applicants in depth, ensuring that each organization is reviewed .

All of this information and analysis is collected for a "docket" book, which describes each applicant, details its current and future programs, provides summary financial information, and assesses the considerations for and against funding. The dockets are considered by the+ Grants Committee, which scrutinizes each applicant and assesses the potential impact of each project. The Grants Committee makes a final recommendation for funding. This docket,' along with the rationale for the Committee recommendation, is forwarded to the NIF Board for review and final action . There are generally two grants cycles each year, corresponding to the two international Board meetings .

Accountability is equally important after the grant is awarded. Every grantee signs a grant agreement that specifies the purpose for which funds may be used, financial management and reporting requirements, and any limitations on the use of funds. In addition to funding, MF grantees are ensured priority assistance from SHATIL, NIF's Empowerment and Training Center for Social Change Organizations . There is also ongoing contact with MF grant staff. NIF disburses its grants in two or four equal payments (depending on the size of the grant), and grantees must submit progress reports before payments are made. NIF staff members review these reports and make periodic site visits to ensure programmatic and fiscal accountability.
