Clause 4 amended2. Clause 4 of the principal notice is amended in para-

graph (b) by deleting sub-paragraphs (iii) and (iv) andsubstituting the following-

(iii) four escape gaps are fitted, they are positioned twoon each side other than the base or the end towhich the hauling rope is attached to the pot, thelength of one of the gaps fitted to each side of thepot may be less than 305 millimetres provided that

A . the combined length of two escape gaps oneach side of the pot shall be not less than 610millimetres; and

B. the smallest gap on each side of the pot shallbe not less than 200 millimetres ;

(iv) four escape gaps are fitted and two of those gapsare positioned across the entire width of the end ofthe pot opposite the hauling rope attachment pointor points, the combined length of those gaps maybe less than 610 millimetres provided that-

A . the centre support of the end of the pot towhich the escape gap is attached does notexceed 50 millimetres in width ;

B. the smallest gap shall not be less than 250millimetres; and

C. two escape gaps are fitted one on each side ofthe pot other than the base;

ConditionsApplications shall be accompanied by a proposed budget

and five year development programme which should be pre-pared in liaison with officers of the Water Authority ofWestern Australia and Department of Agriculture . Develop-ment plans will need to incorporate suitable soil conser-vation techniques to the satisfaction of the Department ofAgriculture and Commissioner for Soil Conservation .

The successful applicant will be required in the first threeyears of the lease, to provide an irrigated water supply to thestandards and requirements approved by the Water Auth-ority of Western Australia. A minimum area of 10 hectaresof suitable crop or pasture shall be grown in the first year,increasing to 20 hectares in the second year, and by the endof the third year a minimum of 40 hectares of crops orpasture acceptable to the Department of Agriculture shall begrown under irrigation .

On farm drainage is the responsibility of the lessee andshall be carried out in accordance with plans approved bythe Department of Agriculture. Attention is drawn to By-law11A of the Rights in Water and Irrigation Act.Forfeiture provisions shall be in accordance with section

23 of the Land Act .The lessee shall not sell, assign or agree to sell or assign, or

otherwise dispose of the whole or any part of the lease unlessand until the Minister for Lands and Surveys has given hisconsent to the proposed dealing .

The term of the lease shall be 10 years. SETTLEMENT AGENTS SUPERVISORY BOARDProfessional Indemnity and Fidelity Insurance

WHEREAS the Settlement Agents Supervisory Board(hereinafter called "the Board") has agreed to the StateGovernment Insurance Office (hereinafter called "theOffice") on behalf of all Licensees from time to time requiredby the Act to be insured and behalf of and for the benefit ofFormer Licensees to provide insurance in accordance withthe Terms, Conditions and Exclusions contained herein .

And Whereas the Licensees (hereinafter called "the In-sured") named in the Certificate of Insurance having paid tothe Office the Premium stated in the Certificate of In-surance to effect insurance with the State Government FireMarine and General Insurance Fund.

The Office agrees:Section 1 : Professional Indemnity

To indemnify the Insured (which expression shall in thissection 1 only include any person or persons in the directemploy of the Insured) against any claim or claims whichmay be made against the Insured during the Period of In-surance for breach of professional duty by reason of anynegligent act, error or omission whenever or wherever com-mitted or alleged to have been committed by the Insured inthe conduct of the Business conducted by or on behalf of theInsured in a professional capacity .

Section 2 : FidelityTo indemnify the Insured against pecuniary loss which

the Insured shall, during the Period of Insurance, discoverthat they have sustained in consequence of any dishonest orfraudulent act or omission of any person, either acting aloneor in collusion with others, in the direct employ of theInsured and in connection with the Business of the Insured .

Provided that the liability of the Office shall not exceed inthe aggregate in respect of each claim (including claimant'scosts) the Limit of Liability stated in Memoranda 7 and inaddition all costs and expenses incurred with the consent ofthe Office in the defence or settlement of any such claim,provided that, if a payment in excess of the said Limit ofLiability is made to dispose of any such claim, the Offices'liability for any such costs and expenses so incurred shall belimited to such proportion thereof as the said Limit ofLability bears to the amount of the payment so made .

Provided further that in respect of each claim there shallbe deducted from the amount of such claim, as finally deter-mined, the amount of the Deductible stated in Memoranda 8and the liability of the Office shall be limited to the amount,if any, in excess of such Deductible but not exceeding theLimit of Liability stated in Memoranda 7 .Exclusions Applicable to Section 2

The Office shall not be liable under this Policy in respectof or in relation to any person acting alone or in collusionwith others :

1 . for more than the Limit of Liability stated in Mem-oranda 7 notwithstanding that such fraudulent ordishonest act or acts were committed by such per-son during more than one Period of Insurance ;

2 . for any loss, or to that part of any loss, as the casemay be, the proof of which either as to its factualexistence or as to its amount, is deduced from aninventory computation or a profit and loss compu-tation ; provided, however, that this Exclusion shallnot apply to loss of money or other property whichthe Insured can prove, through evidence whollyapart from such computations, was sustained bythe Insured through any fraudulent or dishonestact or acts committed by any one or more of suchpersons;

3 . for any loss arising from any fraudulent or dis-honest act or acts committed by such person afterthe Insured shall have knowledge or information ofany act of fraud or dishonesty on the part of suchperson ;

4. for any loss arising from the complete or partialnon-payment of, or default upon any loan, exten-sion of credit or transaction in the nature of, oramounting to, a loan, obtained from or made by theInsured or by any of the employees whether author-ised or unauthorised unless such loss results fromfraud or dishonesty on the part of any of the em-ployees ;

General Exclusions1 . This Policy does not cover :

(a) any loss brought about by, or contributed to by theInsured's own dishonest, fraudulent, criminal ormalicious act or omission .

(b) any loss arising directly or indirectly caused by orcontributed to by or arising from :

(i) ionising radiations or contamination byradio-activity from any nuclear fuel or fromany nuclear waste from the combustion ofnuclear fuel.

(ii) war, invasion, acts of foreign enemies,hostilities (whether war be declared or not),civil war, rebellion, revolution, insurrection,military or usurped power or martial law.

2. The Office shall not indemnify the Insured in respect ofany loss arising out of any claim in respect of any liabilityincurred in connection with a business conducted whollyoutside the State of Western Australia or in respect of an actor omission occurring outside the State of Western Australiain connection with a Business conducted principally outsidethe State of Western Australia .

3. Any circumstances or occurrence which has been noti-fied under any other insurance attaching prior to the com-mencement date of the Certificate of Insurance.

4. Notwithstanding anything contained herein to the con-trary, no indemnity shall be provided under this Policy inrespect of any act, error or omission committed or alleged tohave been committed by the Insured prior to the Com-mencement Date of the Certificate of Insurance and whichthe Insured at the Commencement Date knew or ought tohave known could give rise to a claim or claims against theInsured .

DEFINITIONSIn this Policy:

1 . "Act" means The Settlement Agents Act 1981 asfrom time to time in force .

2 . "Business" means the business of a SettlementAgent as defined in the Act, under the name statedin the Certificate of Insurance or such other namenotified to the Office from time to time.

3 . "Licensee" has the same meaning as in the Act .4 . "Each Claim" shall mean all claims arising from

the same act, error or omission .5 . "Insured" means the Licensee, Firm or the Related

Business .6 . "Commencement Date" means the date as of which

the Certificate of Insurance becomes effective .7 . "Firm" means the person or persons carrying on

the Business from time to time .8 . "Former Licensee" means any Licensee who has

ceased to carry on Business as a principal, and hislegal representatives .

9. "Period of Insurance" means the period so speci-fied in the Certificate of Insurance .

10 . "Related Business" means any service, adminis-trative or nominee company or other person entityor trust associated with or providing services to theBusiness and specified in the Certificate of In-surance or notified in writing to the Office and notbeing a Firm carrying on a Business.

Interpretation1 . The terms "Insured", "Licensee", "Firm" and

"Business" shall be read as if they were separately defined ineach Insurance effected by the issue of a Certificate of In-surance and were defined by reference to the Firm referredto in the respective Certificate of Insurance .

2 . This Master Policy and every Certificate of Insuranceshall be governed by and construed according to the laws ofthe State of Western Australia .Memoranda

1. Currency of Master Policy : This Master Policy com-mences on the 1st day of November, 1985 and shall continueuntil the 1st day of November, 1986 .

2 . Premium: The premium payable for the issue of a Cer-tificate of Insurance to a Licensee for the Limit of Liabilityshall be as follows:

$909.303. Premium Payable by New Licensee: A Licensee which

commences Business other than at the commencement of ayear of insurance under the Master Policy shall pay in orderto obtain insurance in respect of the Business of thatLicensee a premium equal to the premium payable by aLicensee reduced pro rata for every whole month by whichthe Period of Insurance is less than twelve months .

4 . Issue of Certificates of Insurance : The Office will issueCertificates of Insurance annually in the form of the Sched-ule hereto on receipt of the premiums payable in accordancewith Memoranda 2 above to Licensees who are required bythe Act to be insured.

5 . Effect of Certificate: Each Certificate when issued shallhave effect as if it were a separate Policy of insurance madebetween the Office and the Insured in the Terms of theCertificate and of this Policy .

6 . Insurance of Former Licensees : A Former Licensee whohas at any time been insured hereunder or whose successorsin business have at any time been insured hereunder shall beentitled to be indemnified by the Office in respect of anyclaim or claims first made against him during the currencyof this Policy as if a Certificate of Insurance had been issuedto him hereunder and as if there were specified in suchCertificate :

(a) As the Period of Insurance the period during whichthis Policy shall be in force ; and

(b) As the Limit of Liability the sum of $250 000 .

7. Limit of Liability: The Limit of Liability for each claimshall be $250 000 .

8. Deductible : The Office shall not be liable to indemnifythe Insured in respect of the first $1500 of each claim .

9. Variation by Agreement: The Board and the Office mayby agreement vary any of the terms of this Policy other thanthe terms of Memorandas 2, 7 and 8 as above with respect toany Certificate of Insurance which is issued after the effec-tive date of such variation . The effective date of variationshall be the date nominated in the agreement being a datenot earlier than the date the agreement is made .

10. No Proposal : The Office shall not require any personto complete a proposal in order to obtain any Insuranceunder this Master Policy .

11 . No Refusal of Cover: The Office may not refuse anycover pursuant to this Master Policy to any Licensee .

12 . Cross Liability (Applicable to Section 2 only) : Theword "Insured" shall be deemed to apply to each personcomprising the Insured in the same manner as if a separatePolicy had been issued to each of them and the act oromission of one shall not prejudice the right of any other toindemnity under this Insurance but the total liability of theOffice in respect of all the individuals and entities compris-ing the Insured shall not exceed the Limit of Liability asstated in Memoranda 7 above .

GENERAL CONDITIONS1. No Admission or Settlement, Conduct of Matter : The

Insured shall not admit liability for or settle any claim orincur any costs or expenses in connection therewith withoutthe written consent of the Office . The Office shall be entitledat its own expense at any time to take over and conduct inthe name of the Insured the defence or settlement of anyclaim .

2 . Notice of Claims: The Insured shall give notice to theOffice in writing as soon as practicable of any circumstancesgiving rise or likely to give rise to a claim under this Policyand the Insured shall :

(a) within fourteen days from the date of such notice(unless the Office has in writing agreed to extendsuch period) deliver to the Office a detailedstatement in writing of the loss sustained;

(b) at all reasonable times permit the Office or itsagents to enquire into, investigate and examine thecircumstances of the alleged loss by the Insured,and the claim in respect thereof, and the Insuredshall, at his own expense upon being required so todo by the Office or its agents, produce all books,vouchers, correspondence, documents, receipts, andall other information relating to the alleged loss inhis possession or control, and shall furnish copiesof such of them and otherwise give all possibleassistance as may be required by the Office so far asthey relate to such claim or may in any way enablethe Office or its agents to ascertain the correctnessthereof or the liability of the Office under this Pol-icy .

(c) Effect of Giving Notice of Circumstances : If a no-tice of circumstances is given to the Office underthe preceding clause either by or on behalf of theInsured or by or on behalf of his successors inbusiness any claim subsequently made (whether be-fore or after the expiration of the Period of In-surance) pursuant to such an intention to claim orarising from circumstances so notified shall bedeemed to have been made on the date when suchnotice was given .

3 . Other Insurance : The Office shall be liable only for thatpart of any loss which is in excess of the amount recoverableor recovered from any other insurance or indemnity which isavailable to the Insured covering such loss .4. Fraud: If the Insured shall prefer any claim knowing the

same to be false or fraudulent, as regards amount orotherwise, this Policy shall become void and all claimhereunder shall be forfeited .

5 . Recoveries : If the Insured shall sustain any loss coveredby this Policy which exceeds the Limit of Liability stated inthe said Schedule, the Insured shall be entitled to allrecoveries (except from suretyship, insurance, reinsurance,security or indemnity taken by or for the benefit of theOffice) by whomsoever made on account of such loss underthis Policy until fully reimbursed less the actual cost ofeffecting the same and any remainder shall be applied to thereimbursement of the Office .

6. Subrogation : If any payment is made under this Policyin respect of a claim, the Office shall be subrogated to all theInsured's rights of recovery in relation thereto .

The Office shall not however exercise any such rightsagainst any employee of the Insured unless the claim hasbeen brought about or contributed to by the dishonest,fraudulent, criminal or malicious act or omission of the em-ployee.

7 . Right of Office Upon Breach or Non-Compliance :Where the Insured's breach of or non-compliance with anyterm or condition of this insurance has resulted insubstantial prejudice to the handling or settlement of anyclaim against the Insured in respect of which the Insured isinsured hereunder the Insured shall reimburse to the Officethe difference between the sum payable by the Office inrespect of that claim and the sum which would have beenpayable in the absence of such prejudice PROVIDEDALWAYS THAT it shall be a condition precedent of theright of the Office to seek such reimbursement that theyshall have fully indemnified the Insured in accordance withthe terms hereof.

8 . Queen's Counsel Clause : The Office agrees to pay claimswhich may arise under this Insurance without requiring theInsured to dispute any claim unless a Queen's Counsel (to bemutually agreed upon by the Insured, the Firm and theOffice) advises that the claim could be contested with areasonable prospect of success by the Insured and the In-sured or the Firm consents to such claim being contested,but such consent is not to be unreasonably withheld . In theevent of any dispute arising between the Insured, the Firmand the Office as to what constitutes an unreasonable refusalto contest a claim the Chairman for the time being of theBoard shall nominate a Referee to decide this point only andthe decision of such a Referee shall be binding on all parties .

Principal by-laws2 . In these by-laws the Cliffs Robe River Iron Associates, Cape Lambert Service Wharf

By-laws*, are referred to as the principal by-laws .

Third Schedule repealed and Schedule substituted3 . The Third Schedule to the principal by-laws is repealed and the following Schedule is

substituted-"

Third Schedule.WHARFAGE.

Wharfage fees at $4 .00 per tonne or per cubic metre whichever is the greater of cargohandled or shipped-minimum fee of $100 .00.
