We had a good first half of 2012 despite the challengingeconomic conditions especially in Europe. Even though someof our companies have been negatively affected by decreasemarket in Europe, our combined sales for the first 6 monthswere higher than budget and higher than first half of 2011. Weexpect the remaining of the year to be even more challengingespecially with the difficulties that some of our majorcustomers are going through. We have to continue to becareful and flexible to adapt quickly to the fluctuatingconditions in such difficult times.In June, we were honored with Sila Teknik receiving theRenault Supplier Quality Award. This award recognizes theability of suppliers to find solutions, respect delivery times andproduce top-quality parts consistently. Congratulations andthanks to the Sila Teknik team for bringing this prestigiousaward to our group.We also received the “Exporter of the Year” award from DünyaGazetesi, a Turkish national newspaper. This award was givento us especially because of our operations in 13 countriesserving our customers globally. Congratulations to more than7,000 members of our global Orhan Holding family.We continue to improve our systems and processes to supportour growth and increase synergies between our companies.

At the core of all of these systems and processes are ourpeople. We stand behind our belief of our people being ourmost important asset and our slogan “Advance Together”.We know that we can only continue to be successful with theright people working as one global team. We are currentlyworking on a project with Hay group to enhance our humanresources systems to support our growing family and culturaldiversity. In scope of the "Talent Management" project currently runin the organization of Hay Group, we had our first step tounderstand how we see the culture now, and how we believeit should be in the future. For this reason, we started ourproject with Organizational Culture Survey, provided by HayGroup in the first half of 2012. As part of this Project, on 13June 2012 Wednesday at Orhan Holding Central building, weorganized a HR workshop with the participation of HRspecialists in Turkey and also the ones in France, Mexico,Spain and Slovakia. The workshop, which two consultants ofHay Group coordinated, started with the introduction and

during this period they had fun and enjoyed by knowing eachother very closely.when the workshop began, with the pointof view of HR specialists; they discussed on Talent andcareer management and planning, HR strategies, thestructure of HR working model, organization chart and alsothe important process of HR. Later group studies were doneand the presentation that each grup prepared, waspresented and shared with the others. synergy among theHR specialists in the companies was created by the

discussions in group studies, presentations and exchangeviews At the end of the HR workshop, a dinner wasorganized with the participation of HR speclalists. in theevening, which participants had joy accompanied by musicand delicious dinner, all enjoyed their times and in order toimmortalize the night, photos were taken

16th Traditional Orhan Holding Football tournament startedwith the particpation of the 6 teams. As a result of thelotteries, the teams were divided as A and B groups.in A group Orda, S›la Teknik and Teknik Malzeme, in B group;Matay, Ormetal and Aunde Teknik took place.With the participation of 110 children, having membership ofOrhan Holding children club, 6 teams were also created as Aand B groups for children. in A group Red, White andTurquoise teams, in B group Blue, Green and Orange teamstook place.After all arrangements,16th Orhan Holding traditionalFootball tournamet started on 06 May 2012 Sunday in DOSABsports facilities with a great opening ceremony and thematches started with Orhan Holding Chairman Murat Orhan’sfirst kick.At the end of exciting and challenging matches for 3 weeks, inA group S›la Teknik became the first and Teknik Malzeme gotthe second; in B group Matay got the championship andAunde Teknik was the second.in accordance with the statue, A group’s first needs tochallenge with B group’s second; while B group’s championneeds to play with A group’s second.in 4th week S›la Teknik become the first finalist by winnigAunde Teknik 3-1. in the next match Matay, winning TeknikMalzemei 4-3, became the second finalist. As a result thename of the final match was fixed as SILA TEKN‹K – MATAY.Teknik Malzeme and Aunde Teknik teams qualified of playing3rd and 4th matches.

On the other hand after the challenging matches of thechildren Red Team, which won Green Team as 2-1, Whiteteam, which won the blue team 6-2, qualifiedt of playing inthe final matches. Green team and blue team qualified ofplaying 3rd and 4th matches. Football tourament whichstarted on 06 May 2012 Sunday with a great cremeony,finished on 03 June 2012 Sunday with an exciting closingceremony after the matches for 5 weeks.

in Final matches, at the endof breathtaking challenging,Matay team became thechampion by winning S›laTeknik 2 – 1, Teknik Malzemebecame the third by winningAunde Teknik 6 - 2. in thistournament Ormetalcompany which effortedgentlemanlike, was selectedas the most gentleman team.The goal king of thetournament was Erkangürbüz fr›om Teknik Malzemewith his 6 goals.As done every year in finnalmatches, Veteran teams tookplace and they shared the 3-3same score.At the end of childrenmatches Red team becamethe champion by winningWhite team 5 -3, Green teambecame the third by winningblue team 4 – 3.

As goal king from children,Bilal Ergün from white teamwas selected with 10 goals.At the end of the matches, awards and plates were presentedto the winning teams and the goal kings of the tournamentwe would like to thank for all, who efforted to create such anexciting tournament and for the ones, who participated in thistournament

We carried out our 2012 Orhan Holding Traditional BowlingTournament on 30 / 03 / 2012 Friday evening at CosmicBowling in Beflevler Carefoursa. After the great challenging,Matay 1 team became the champion with the score of 669.Because Nobel Automotive 2 and Sıla Teknik 4 team had thesame score 634, pitches had to be done by five of each teamand as a result Nobel Automotive 2 team became thesecond and Sıla Teknik 4 team got the third.

At first the champions among the men were SeçkinDaflkıran from Matay 1 and Yakup Yakın from ile Sıla Teknik4 team with the same score 159. it was requested to go onlottery to fix the champion among the men, Seçkin Daflkıranbecame the champion among the men.

Among women, with 118 score Emine fiengil from AundeTeknik 2 team became the champion. Awards and plateswere given to winning teams and also individual successullones in a great ceremony.

We wish success for the awarded ones and looking forwardto meetting in next year's tournament.

Quality Achievement AwardsIn our fabric factory; the awards for quality achievement foryear 2011 / 3rd Period was given to Circular Knitting unitemployees Ismail Akdemir and Engin Senel with an awardceremony. We congratulate our employees and we wishthem continued success.

08 March International Women’s DayWe celebrated 08 March International Women's Day with allour women employees. On this special day; roses has beenhanded out to all our female employees.

TrainingsIn January; all employees within the company took "IMSGeneral Information Education". Further; on April "First AidUpdate Training" and "Forklift Training" was given.

In order to give information to our employees; our FactoryDoctor and Safety Specialists gave "Basic OccupationalSafety and Use of Personal Protective Equipment Training"to our employees in Aunde Teknik; Aunde Teknik FabricUpholstery Production Plant; Isringhausen and AundeTechnical Bodyworks Factory.To all our employees in Aunde Teknik cover factory; "BasicSafety Training," was given by Safety Specialist in January.

In April; "VDA 6.3 Process Control Education" has been heldat our company as an in-house training and our Sales &Engineering, Quality, Production and Logistics sections hasparticipated.

As of March, presentations were made by departmentmanagers to all our white-collar employees at our companyin order to inform about the process of the departments.

23rd April National Sovereignty andChildren's Day EventAs usual; 23rd April National Sovereignty and Children'sDay has been celebrated with our employees' children whoare going to nursery. It was very nice to watch the childrenwho are setting their shows to their mothers. After theperformance, all the children continue to enjoy themselvesat the canteen where is decorated for them and they eat tinycakes and receive their gifts. After all these events; all thechildren left our factory with a pleasure.

Bowling Tournament

On 30 March 2012; Conventional Orhan Holding BowlingTournament has been held at Cosmic Bowling Hall ofCarrefour. nine teams has participated in this tournamentFrom Aunde Teknik and Isringhausen factories. It was a veryjoyful night for all the participators.

In 2010 Nobel Plastiques Vitry participated in a campaign of“Strategic Workforce Planning” which was organised bylocally based companies and institutions. In the context ofthis project, a number of assessments of abilities and skillswere proposed. 74 persons of our staff, permanent andtemporary, participated at this stage. This was followed byindividual tests of employability, accompanied by analyses ofthe workstations and respective work situations andresulted in mapping the expected qualifications. 23candidates started this part of the project, but only 7 of themcarried on and committed themselves to an individualaccreditation of their working skills. The successfulconclusion of their involvement, was rewarded by obtaininga diploma acknowledging their qualification as IndustrialManufacturing Operator. This diploma is closely related tothe specific products manufactured in Vitry-le-Francois,bringing forward the proficiency of the operators in formingthe tubes in different processes, by hot air, hightemperature steam or hot water as well as the assembly ofcomplex work pieces.During a small celebration in the presence of representantsof the institutions having accompanied our staff during theirprojet, Fabien PORIGNAUX, handed over the diplomas,congratulating each of them for her or his commitment.

Ormetal Maintenance Management System Fatih UlukayaMaintenance Chief

Fast-growing industry, machine-based production is increasing.To keep pace in today's competitive conditions, efficiency isone of the most important factor. Therefore, how efficientlywe use the machine, also can ensure that as much profit.

For using the machine in an efficient and long lasting,you must maintain at the right time, the correct wayand fastest. However, all the while, the details of theeach works is applied and planned must beregistered as accurate, reliable and effective. Onlyin this way the system can be controlled,managed and developed. Because of today'scomputer age, making the all ofthem is the most rationalsolution.

“You can't manage and improvewhat you don't measure.”

We have received a decision fromthere in 2011. Our goal iseliminating the all themaintenance managementsystem which is paper based,non-clear data, instead of that,doing faster, easier, more reliable and more systematicmaintenance management system by computer aided program.

At first, we agreed the appropriate program for us. After weprepared necessary data for the program, and integrated it toour factory system. As of 20 January 2012 all breakdownnotifications can be done computers within the factory.

Through the program, the person who is writing the notification,is only selecting his name and faulty equipment number from

program and writing about ashort description aboutfailure, then sendingmaintenance registration.Situation of failure can befollowed from LCD screenwhich is placed at treepoints in the factory.

The maintenance workersare following the failure

notifications through handterminals. They can do some

operations such as startintervention, finish intervention,

spooling, etc. Thus, the durationsof the operations can registered

more accurately.

Finally, they are entering theother detailed informationsby a PC where is placedthe maintenancedepartment area, thenfinishing failureregistration on theprogram.

Through the informationcollected, we can obtain various reports. According to therequired analysis by this report, can be taken actions abouthow to prevent occurring machine failure, and how themaintenance process can improve.

At the moment, the new program, only the breakdownnotification system is activated. But, thanks to ours employeesto adapt very quickly, their positive comments and contributionsto new system, we believe that both the missing can improvebetter, as well as the planned maintenance system that worksis ongoing will be activated quickly.

When all the works about the new system will complete, wewill adapt the same system to our moulding department. Thus,we wil keep pace with our factories that is growing anddeveloping rapidly.

Lean management is a part of the line process. We havemade a big improvement in 2011 on the Ormetal spring lineswith the lean line studies. But it isn’t enough. Our target for2012 first quarter Line Management tools will be used andour mission and vision will be expanded toward to eachemployee.

To continuous improvement our main goal is bring into thejob employee together with managers and engineers.

Before the start to lean management studies, from “Yal›nEnstitü Derne¤i” Mr.Murat Bedük gave us trainings.We had visited to Karsan and Çimtafl with our quality manager,production chief, team leaders. We joined their meetings sowe have experience about quality in place, line managementculture.Thank you very much to Karsan and Çimtafl authorities fortheir interest in.

After these studies we made meeting with especially teamleaders. Because of this system will go their responsibility

not manager, engineer, chief… Managers, chiefs will befollowers. The teams generated and which parameters willbe follow up on the board were decided.

Team leaders will be trained about managing team, problem-solving techniques by “Yal›n Enstitü Derne¤i” once every twoweeks. Our first education was about “Quality on the placeand Line management” on 15 March 2012

Our first lean meeting was done on 19 Mart 2012. Meetingsare be done every day at 08:30 o’clock. Firstly team leaders,logistic, quality, maintenance responsible are join on themeetings and by one by every subject is discussed. Actionsare recorded on the Üret and Quality boards and everydayactions are review and closed.

Our target is to go forward together with these applications.

Ormetal A3 presentation meeting is done on 21st of February2012 at Karacabey Chamber of Commerce. First A3 meetinghas actualized in year 2010 and it is continuing traditionallyevery year. During this meeting; year 2011 evaluation & year2012 planning are presented to Orhan Holding Top ManagementMr. Murat Orhan & Ms. Ayflegül Orhan, Ormetal Management& Ormetal White-collar employees. Then they share theirimportant opinion especially for targets of year 2012.

WHAT IS A3?It is standard A3 dimension (29,7 x 42cm). In 1960’s at Toyota;it is used for problem solving method. But today, it can be usedstandard format for problem solving, preparing of contract,planning & reviewing at each department, each processes &levels in Toyota. Importance is mentality & how processing, notformat of the page. It explains history that has understoodanybody, shows proposals of prepared department or person,effects a reconciliation & decision.

Ones who have the chance of visiting our company are always stating theirsatisfaction. in spite of this, we get nervous before each visit. But the visit,supposed to be had this time, was a little different than the others. it was thefirst for us to have the visit of the senior of lean thought: James Womack.S›la Teknik was offered to him as one of the companies carrying “leanthought” effectively and his visit targets to investigate our appliance andactions in the company. We were nervous about this visit and the result of it.There were theory of probabilities in our mind such as we wouldn’t beapproved by the senior! Or we would have his negative thoughts about ourcompany. If it happened, it would mean a great failure for us At the end of hisvisit, we were looking forward to having his thoughts about us. The result?The letter which was sent from Mr. Yalç›n ‹pbüken was subject to the resultthat we were expecting to have.

Our Christmas Party

We were together for a new trip, beautiful scenes areaccompanying. On our way, we had a break for a breakfast.The way, we are using, was allowing us to get through Göynük.Hence we had the chance to see Göynük which is a nicedistrict with its old houses, looking like the ones in Safranbolu.Because we faced with snow on our way, we had the difficultyto reach the area, where our hotel was, but finally we achievedto be at Hotel. After landing at Hotel, we went out for a laketour. After walking around for hours and getting fresh air, wehad our lunch together and we got rest, later we enjoyed ourtimes by playing a few games at pleasure house of the hotel.Until dinner time, we were able to get rest a little more andalso walked more. We were about to have our dinner, themusic started accompanying at 20:00. There was a singer atthe stage, named Fatih whom I later learnt his being ateacher. He was with us until 04:00 with his different type pfmusicsin the morning we were on our way to Abant. We were stoppedin Mudurnu for a break and hence we had a small tour to seearound in Mudurnu. Abant was having more snow than Sünnetlake area. We reached the hill after overcoming the snowcovered roads and then we saw Abant lake down. Here wasfrozen and this allowed us to walk on the ice. We were warneddue to this later. On the other hand our barbecue was ready tobe eaten. Because the weather was getting colder, we ate ourdinner quickly and got on the bus. At that time it just startedsnowing. After a relaxing travel, we reached Bursa. We wouldlike to thank a lot for the ones contributed on this travel. Weare looking forward to having the new coming tour?

EU airline emissions tax

According to Guardian newpspaper article; more than 99% of allmajor global airlines have complied with the first step ofEurope's controversial scheme to charge them for their carbonemissions.The inclusion of aviation in the European Union'semissions trading system (ETS) from the start of 2012 causeduproar from airlines in more than 20 countries including the US,China, Russia and Japan,.Small fines for non-compliance couldbe levied now by EU member states and, in the future, airlinesthat do not comply could face fines of $128 per tonne of CO2emitted or be banned from European airports. Under the EU'scap and trade system, major polluters are given allowances toemit greenhouse gases. If the company exceeds its allowances,it has to buy extra permits, but if it cuts its emissions it can sellthe allowances. Over time, the total number of allowances isscaled back, in order to cut emissions and tackle globalwarming, but the ETS currently has a large oversupply ofpermits due to over-allocation and the reduction of economicactivity caused by the economic crisis. Initially, most of thepermits are given to the airlines free of charge. The ECestimates the ETS will cost Chinese airlines less than ?2.5m ayear and Indian airlines ?1m a year, an "insignificant amount",according to an EC source. The collection of 2011 aviationemissions data will be used to set a benchmark. Next year, theEU will distribute allowances equivalent to 97% of the previousyear's emissions, and then 95% for 2013-2020.

DonationAs Teknik Malzeme, we donated 2 Fronius arc weldingmachines to Welding training Center founded by Bursa Chamberof mechanical engineers in Be_evler in order to support theirtraining and certificated courses in welding and increasecoopearation between industry and chamber of mechanicalengineers.

New Polivalence System

Our current polyvalence system has been improved andupdated as a result of the feedbacks taken after ASES auditory.Even our current polyvalence system has got 4 steps as before,we have implemented practical tests in our new system. All theaplications are recorded in the new software system.When there is a new polyvalence entry on the system byproduction department, thanks to the new software which isdeveloped by our IT department, all the necessary tests andevoluations are done step by step according to the calendarand being recorded. All practical evoluations are recorded inthe operator's registry.In addition, all the trainings that the operator already had, arerecorded in the system and the other necessary trainings areplanned by crosschecking with his current situation.This study is carried on by the help of coordinated work ofpeople from IT, Quality and Human Resources departments.Similar software development studies are ongoing also forSuggestion System, 8D and Modification Managementapplications.

Yalova University students visit toTeknik Malzeme

Yalova University English Management Faculty studentsvisited Teknik Malzeme that is placed in first 500 industrialfirms list. They researched in our firm for their homework formanagement system and applications.

We supported “golden caps to wheelchair” project that aimsto provide power wheelchairs to disabled, run by Bursa CityCouncil Disabled Assembly thanks to our colleague SedatAy's suggestion. Power wheelchairs will be purchased byrecycling of plastic caps and they will be delivered to disabledpeople in need. As Teknik Malzeme, we collected 10 kg ofcaps and participated to this beautiful project.

After a long frozen winter, we have organized our traditionalHolding picnic in the farm in Yeniflehir under the hospitality ofOrhan Tarım.

With the attandence of our managaments, general managers,Holding employees, their families and our guests, we had the

chance to enjoy our day to gether.

We saw that our babies who were notable to walk in last year's picnic havegrown up this year. They could observeeverything in the Farm. Especiallywatching the calves, waving to ducks onthe small lake, picking up cherry fromthe trees and walking and playing onthe grass made them and their familieshappier.

While our guests were enjoying theirday accompanied by talk, they had thedelicious barbecue.

While Our Company is getting into the year of 2012actively, the significant change that we have done, is theone in our insurance program. In today's, insuranceagents and brokers regulates their policies via webapplication. Considering the policy records' beingsigned into their own programs, it requires creating aworkload. At this point, While our new program is ableto obtain the arranged policies from insurancecompanies as xml file format via web sites and transferthem into their own system, all details of policy are alsobeen recorded in its system. Due to the Graph-basedcontrol of interface software format, customer andsalesperson are also under our control. Following upthe user logs, we are able to see all changes, done overthe program.

CDS Customermanagement module isallowing us to follow up thecustomer portfolio of thecompanies and go onworking on marketingstrategies.

The New Period Begins in Private Pension System Derya KöseBireysel Emeklilik ve Hayat Branfl› Sat›fl Sorumlusu

As a result of the changes in 2012 savings promotionsystem, accordingly many changes have been also done inprivate Pension system as follows;From now on, anyone, having pension system, will benefitfrom tax incentives. In current practice; unemployed,pensioners and the taxpayer incentives did not use to haveany profits. Some of them can not use the tax advantagebecause of the difficulties of the procedure. Anyhow,regardless of work status anyone, who desires, is able totake benefit of the advantage of the system, moreover,without the difficulty of the any procedure.In this context, the incentive system is also changing. Theones, who attended to the system, used to deduct themonthly paid fee from the tax. Recently this application isno longer applied. instead there will be a state contributionwhich is 25%. For example when anyone pay 100, 00 YTL,the state also pay 25, 00 YTL contribution back in the nameof that person. That %25 state contribution is not unlimited.The contribution for an entrant should be limited with 25%of the base wage rate. This will also provide to a participantmaximum 2 thousand 659 YTL tax support.

Three Years Ago UnmanageableCompanies, getting into this system before retirement willhave two separate accounts. One of them is for theirindividual monthly contributions, the other is for the state’s25% contribution.When the participants want to cancel the system, it willallow them to get back the contributions, being kept in theirindividual account. However, the situation is changing,

considering the accountwhere state contribution isgathering.

Participant;• If they desire to cancelthe system withoutcompleting the first threeyears, they will not be ableto get the state contributionin their own account. Thesecontributions will be sent tothe account of the Ministryof Finance.• One will have the right ofhaving 15.6% at the end ofthe third year, 35% at the end of the year and %60 at the10th year.

There is also one significant step in the change of theindividual retirement system. As you know, the withholdingtax was being deducted from all, (which used to be also thesubject to the courts), while attempting to cancel thesystem. With the new arrangement, it has been decided thatthis deduction’s only being applied at the earnings.

What Will be Rights of Already Applied OnesAs we declare, the arrangements are supposed to be readyin the first half year-all of the participants in the system tobe adapted to these changes.
