Last year LUTHARDT celebrated its fifth anni-versary since its inception in 2008. Reporting on the fiscal year of 2013, we would there-fore like to seize the opportunity to also look back on the first five years of our company’s existence.

If a young company such as ours wants to be successful, it above all needs trust and confi-dence. And, thankfully, trust and confidence were extended to us – by you, our customers and business partners. We in our turn pledge to honour your investment by continuing to forge ahead with predictability and sound entrepreneurial judgment.

During the first five years of operation, LUTHARDT enjoyed economic success in a fragile economic environment. Today, our sales amount to just under fifteen million euros and our organization is not indebted. Conscious of these cornerstones of our stabi-lity, we have made a confident start into the new fiscal year of 2014.

We now employ a total of more than 90 employees – at our headquarters in Berlin, the capital of Germany, at our location in Bremen, Germany, and at our international branch offi-ces in Iraq, Libya, Serbia, and the United Arab Emirates. On our projects abroad we almost always make the experience that German engineering is very highly valued. We there-

fore believe that our team with all its enginee-ring competency and knowledge will remain our most important asset and resource in the future.

As far as its shareholdings are concerned, our organization is clearly structured. Hanseatische Energietechnik HET in Bremen, Germany, is a regional engineering service provider which offers solutions for the assembly and installa-tion, start-up, and servicing of high-voltage, medium-voltage and low-voltage switch-gears, of protection systems as well as of complex converter systems.

Our branch office in Abu Dhabi takes care of our commercial interests in the United Arab Emirates and the other Gulf States as well as in East Africa. In Serbia, LUTHARDT Belgrade is a competent contact point for the planning, supply and delivery of automation and electri-cal engineering equipment. It focuses on the markets in South Eastern Europe. In Erbil, we have a team which supports all our projects in Iraq.

In the recent fiscal year, we once again have been able to demonstrate our talent and excellence as an independent service pro-vider for products „Made in Germany“. We continue on our path to become a gene-ral EPC contractor. Together with renowned manufacturers, among them many impres-

sive names of the German industry, we deve-lop solutions for decentralized power supply systems. Through this, we want to make a contribution to further develop the infrastruc-tures in the emerging markets as well as to help re-build and strengthen those in crisis-ridden countries.

Today, we can base ourselves on a global net-work of engineers and manufacturers which enables us to forge customized alliances, thus pooling the best available competences locally and on-site. We rely on long-term partner-ships and can therefore guarantee our cus-tomers perfect project handling and execu-tion at any place around the world. In short, sound expert knowledge and many years of project experience are the decisive assets of our team.

Our objectives also include to expand our die-sel and gas generator business in Libya and in Iraq, as well as to establish maintenance and servicing centers for heavy duty gas turbines.

As you can see, our objectives for the future are as ambitious as they are demanding. We are determined to stay on the road to success and are confident to do so, if we continue to merit your support and confidence in the future. To us the co-operative partnership with you is both an incentive and an obligation. It is the essence of our motivation.

respresenting German ProductsEmerging economies offer new export potential for products “Made in Germany”, especially in the energy sector. Although many governments in Africa, the Middle East and Central Asia manage their economies quite successfully and therefore offer interesting terms and conditions for a market entry, only a very small number of German manufacturers in the energy industry actually do seize this opportunity. The main rea-son for German manufacturers to not do business in these economies is a lack of access to the markets themselves combined with a lack of experience in them, sometimes also accompanied by a limited appe-tite for entrepreneurial risk. In the past, LUTHARDT, however, has acquired extensive project experience and developed tightly knit business networks in many of these emerging markets. Hence Luthardt is able to offer pioneering services for German manufacturers in these markets, acting like a connecting link bet-ween the two. Luthardt thus gives German manufacturers in the energy industry the possibility to fully participate in the economic development of these markets, too.

November 2011:  Luthardt on a flash visit to Iraq

Together with a business delegation of thirty, Sven Luthardt, Executive Manager of LUTHARDT, accompanied the German Economics Minister and Vice-Chancellor, Dr Philipp Roesler, in a flash visit to Bagdad.

After talks with the Deputy Minister for Econo-mics, the Minister for Industry and the Head of the National Investment Commission, a reception took place in the guest house of the Iraqi Government on the first evening of the stay. Representatives of the LUTHARDT subsidiaries in Erbil and Bagdad took part in this reception as well as, on invitation of LUTHARDT, important members of the Iraqi Ministry of Electricity.

The second day of the visit was dedicated to the German Day of the Bagdad International Fair (BIF) which was opened by Minister Roesler in the mor-ning. After a tour of the fair, Minister Roesler met the Prime Minister Nuri Al-Maliki as well as several of his ministers. The German Government is keen on helping the Iraqi Government in the re-built and supports the idea of the construction of a German City.

October 2011:  Luthardt accompanies business delegation to tripoli, Libya

The German Economics Minister and Vice Chancellor, Dr Philipp Roesler, travelled to the capital of Libya for a two-days-stay together with a big business delegation. LUTHARDT was also a part of this delegation,

represented by its Managing Partner Sven Luthardt.

During the visit, the delegation not only met leading members of the Libyan National Transitional Council, like Mr Mahmoud Jibril and Mr Mustafa Jalil, but also the Finance and Oil Minister, Mr Ali Al-Tarhuni, as well as

the Libyan Economics Minister, Dr Abdullah Shamia. Of course, this visit had a humanitarian purpose too. So Dr Roesler handed over about 5 tons of German aid goods to the Libyan Health Minister Mr Naji Barakat.

In the course of a gala dinner on the first evening of the trip, arranged by the German Ministry of Economics, the members of the business delegation had the opportunity to invite a Libyan business partner to it.

Sven Luthardt was accompanied by Mr Ramadan Abdelsamad, the General Manager of GESCO, a fully-owned subsidiary of the national energy carrier GECOL.

September 2011:  Luthardt sets record at the 9th German

Foreign trade Forum

Under the slogan of “60 Years of Foreign Trade and Export Business Promotion“, State Secre-

tary Mr Homann opened the award ceremony of the prize of the German foreign trade and export

business in the historic council chamber of the Hanseatic city of Bremen, Germany. Together with the agency of the German Foreign Trade

Prize, the German Federal Ministry of the Eco-nomy and other German trade associations, Mr

Kentzler, the President of the German Confedera-tion of Skilled Crafts, presented Bjoern Luthardt, Executive Partner of the company, with the certi-

ficate for the third place.

It took merely two years of candidacy for the Berlin based company, established in 2008, to

convince the jury of its significance for the Ger-man export sector. This demonstrates, yet again,

that also small-scale enterprises can do busi-ness abroad successfully, and that they can thus create new jobs. Furthermore it emphasizes how well the management of LUTHARDT is geared to

Projects 2009 – 2014rehabilitation of dokan and derbandikhan  hydropower Station in the Kurdistan region of Iraq

Background

Already decrepit under the regime of Saddam Hus-sein, the Iraqi energy infrastructure was damaged further during the US-led invasion into Iraq and the unstable political situation that followed. Sabotage, rising energy demands and a shortage of power generation did the rest. In order to prevent the total collapse of the power grid, the Government of Iraq, among other initiatives, resolved to undertake emergency repairs of the Dokan and Derbandikhan hydropower plant, the largest power stations in the Kurdistan Regional Governorate.

These rehabilitation works – funded by the World Bank – were realised by LUTHARDT. While new power plants are in the process of being built and planned, the rehabilitation repair of existing ones assures the most direct and quickest impact on the renewal of the country‘s energy infrastructure.

Today, the Dokan and Derbandikhan power stations once again produce electrical power on a reliable basis, while simultaneously providing agricultural irrigation for the region.

Project description

In 2009, the Ministry of Electricity of the Kurdistan Regional Government contracted the rehabilitation of the 145 kV gas insulated switch gear (Siemens type 8D.6) in Dokan to LUTHARDT. This included the detailed inspection of the whole switchgear, upon which the missing spare part list was elabo-rated. All missing or damaged spare parts were supplied and replaced. Furthermore, Dokan Power Plant engineers received intensive training on the GIS and its protection system in Germany as well as an intensive hands-on training on site. The over-haul of all 19 GIS bays was completed in May 2010. After testing and commissioning, the rehabilitated switchyard was handed back to the Dokan Hydro Electrical Power Station.

Building on the successful rehabilitation of the gas insulated switchgear (GIS) substation at the nearby Dokan hydropower plant, LUTHARDT was also contracted to overhaul the GIS substation at the Derbandikhan power station. The work involved the design, manufacture, installation, and commis-sioning of most of the GIS substation. The exis-ting medium voltage switchgear was replaced, as well as the AC low voltage and DC distribution panels including redundant batteries and chargers. Furthermore, a new smoke detection system was installed in the complete substation, replacing the existing one. In order to maximize the power trans-former safety, a complete new deluge system was installed on all three transformers. Moreover, civil works for the rehabilitation of the substation buil-ding were required. It included the replacement of the ceiling, covering the walls properly, and air con-ditioning repair.

Outlook

Today, Iraq unfortunately still suffers from short power supplies and unstable power grid conditions. In order to address this problem, many new plants are planned or already under construction. Howe-ver, since this measure is very time consuming, an overhaul is often the best option. Therefore, reno-vation of power stations and substations in many cases not only proves to be technically feasible, but also economically profitable. Rehabilitation of existing plants is the only short-term measure to provide Iraq with the necessary power supply and a stable power grid; it is also a measure that can be effective in the mid-term.

As LUTHARDT has repeatedly proven in the past, it can offer these services by relying on its first-class know-how, its proximity to German manufacturers, parts suppliers and service providers as well as its longstanding business experience in the Iraqi mar-ket itself.

Frequency Converter for the German railway System

Background

The German railway operator Deutsche Bahn AG is Germany’s largest power consumer with about 20,000 km of electric power lines. Due to historical reasons, they use a frequency of 16.7 Hz whereas the public grid operates on a frequency of 50 Hz. Instead of operating two different types of power plant, the rail grid can be efficiently connected by static frequency converters to the public grid, allowing efficient utilisation of the total generation capacity.

In 2007 LUTHARDT affiliate Hanseatische Energie-technik GmbH (HET) became a strategic partner of ABB Switzerland Ltd. as one of the world‘s lea-ding converter manufacturers. Since then, HET has implemented several projects in Europe together with ABB.

Project description

As strategic partner of ABB, HET implements the frequency converter stations in Germany for the German railway Deutsche Bahn AG. While ABB supplies the static frequency converters, transfor-mers and cooling systems, along with engineering, development and training for the system, HET is responsible for the site management, installation and commissioning of the equipment.

Furthermore, HET provides the service for the ins-talled converters of ABB in Germany. At its head-quarters in Bremen HET maintains spare parts and service vans equipped with special tools and tes-ting instruments.

Since 2007 HET has managed, installed, commissi-oned and maintained the following contracts:

Outlook

Based on its expertise in frequency converter tech-nology, LUTHARDT intends to extend its business activities towards other applications using the same technology. This also includes static synchronous compensators (STATCOM) which are regulating devices used on alternating current electricity trans-mission networks. The continuous increase of ins-talled wind turbines during recent years has

forced the transmission system operators to tigh-ten their grid codes in order to limit the effects of power parks on network quality and stability. There-fore, commonly used wind turbine designs require medium voltage STATCOM (Static Synchronous Compensator) technology which adds the missing functionality to wind parks in order to become grid code compliant.

Low Voltage ride through test unit

Background

Due to the demanding requirements on wind tur-bines the manufacturers are committed to certify their products according to the applicable stan-dards and regulations for grid connection. Besides the mechanical stability, the behaviour of the wind turbines towards the voltage fluctuations of the grid is essential for a reliable operation. Consequently, the grid codes demand wind farms to stay connec-ted to the grid and stabilize the grid voltage in case of grid faults. Such disturbances can result from symmetrical or asymmetrical faults in the grid such as short circuits. Less severe dips can be caused by overcurrents associated with motor starting and transformer energizing.

The term Low Voltage Ride Through (LVRT) stands for the capability of electrical devices such as wind turbines to operate through periods of lower vol-tage. For the manufacturers it is important to have the LVRT test facilities to simulate a wide range of different voltage dips (faults) with regard to defined duration and residual voltage including double dip simulation and to record how a wind turbine reacts. Since the wind turbines are mostly installed in remote areas, it is important that such testing facili-ties are constructed for use on site of the manufac-turer as well as offshore at the wind park. The test units therefore have to meet the requirements for an easy transportation and provisions for housing the equipment even under challenging environmen-tal conditions.

Project description

In 2011 LUTHARDT was awarded the contract of development, production and commissioning of one LVRT test unit offering such a wide range of simulations for Siemens Wind Power A/S. The size of the device under test was limited to 10 MW.

The test unit consisted of four standard 40 feet high cube containers. One container, designed as switch gear container, was equipped with six feeders 40.5 kV metal clad SF6 gas-insulated MV switch-gear and with the overall control board. Three con-tainers were executed as coil containers, one per phase, each equipped with a set of eight coils and a copper busbar system. Highly flexible MV-cables, including connection systems, provided a relia-ble link between the electrical components inside the coil containers to the switch gear container. All containers were equipped with heating and air con-ditioning systems including monitoring devices in order to keep the temperature and humidity values within the defined limits. Two control panels were provided for control of the switching operations during the dip test procedure and for the setting of parameters. One of the control panels was integ-rated into the control board, another one supplied as a mobile panel. Both control panels provided a comfortable touch-screen visualization. The con-struction of the LVRT test units was executed in steps: after completion of the steel modifications, special coating and the interior works the contai-ners were transferred to LUTHARDT´s daughter company HET. Here, all electrical equipment was installed and tested as far as possible. The services included a comprehensive training on the switch-gear and control system and were completed by the commissioning of the LVRT test unit on site.

Outlook

The share of wind energy is further increasing in the energy mix. Efforts to improve the efficiency of wind turbines as well as to increase their power capabilities per unit are ongoing. The wind turbines design is continuously improving in order to ope-rate even at extreme weather conditions. This deve-lopment is expected to be accompanied by rising demands for testing facilities.

With the installation of wind turbines based on DC-converter technology, high voltage disturban-ces have become a major subject to research and development. Situations caused by load shedding or switching capacitor banks result in overvoltages of different magnitudes and durations that lead to a reversal of power flow in the DC-converter. Due to the current flow from the grid into the converter the DC-voltage will rise. The highly sensitive con-verter devices have to be protected by limitation of the current through the converter. The international grid code requirements differ concerning the High Voltage Ride Through (HVRT). It is therefore a must that LVRT as well as HVRT capabilities of wind tur-bines can be tested and certified according to the latest grid codes and regulations.

Based on a wide experience from previous projects, LUTHARDT, together with reputable technology partners, is able to offer both LVRT and HVRT test facilities according to the individual needs of the manufacturer of wind turbines and/or of the con-tractor of wind power stations.

Supervision and Commissioning Services for Simple Cycle Gas  Power Stations in the Kurdistan region of Iraq

Background

In 2007, ABB the leading power and automation technology group from Zurich has been awarded a contract from Mass Global Investment (MGI) Co. based in Amman to provide a turnkey solution for the balance of plant for a new 500 MW open cycle gas power station and to build a substation in the city of Erbil in the Autonomous Kurdistan Region of Iraq. Comprising four GE Frame 9E gas turbines with a capacity of 125 MW each, ABB designed, supplied and installed the balance of plant as well as provided the grid connection for the 500 MV power plant to the transmission infrastructure in Iraq.

The Erbil power plant has played such a vital role in meeting the growing power needs of Kurdistan in Iraq that Mass Global Investment Company awar-ded a second contract to ABB and GE to increase the capacity at AGPS to 1,000 MW already before its operation in late 2008.

This investment was followed by more contract awards to ABB. MGI did select ABB´s design and supply technology for the electrical balance of plant (EBoP), control system and grid connection for two new investments into open cycle gas power sta-tion projects in the cities of Dohuk and Suleimania. Both cities are located in the Autonomous Kurdis-tan Region of Iraq. With these contracts ABB has supplied key products including low and medium voltage switchgear, the auxiliary system for fuel supply and the control and automation system for 3,000 MW of power generation to MGI between 2007 and 2014.

For another customer in the region, ABB will supply a state of the art control system and a 400 kV subs-tation for the grid connection of the 1,000 MW gas power plant.

Outlook

In summer 2013, KRG Prime Minister, Nechir-van Barzani, inaugurated the first electricity plant in Iraq to be converted to a combined cycle sys-tem. The Erbil Power Plant upgrade is being made by Kurdistan´s Mass Global together with Turkey´s ENKA, using steam turbines supplied by GE to boost output with additional fuel by 470 MW, enough additional electricity to serve 100,000 Iraqi households. The Prime Minister thanked ABB for helping ENKA to complete the project. He welco-med the contribution of international investors and businessmen in Kurdistan and thanked them for their hard work in utilizing and expanding their part-nership with KRG. The CCGT at AGPS is expected to be commissioned towards the latter part of 2014.

In another project, KAR Group invests in a 1,000 MW simple gas power station which will be converted to a CCGT plant by extending it with a heat recovery steam generator and two steam turbi-nes boosting output by 470 MW in 2015.

Siemens Gas-insulated Switchgear Substations

Order description: Installation supervision /

commissioning 400 kV GIS

Client: Siemens AG

Period: 2013 – 2014

KAI MOHR Certified GIS Supervisor

Background

Based on the close working relationship with Sie-mens within the power generation sector, in 2012 LUTHARDT started to diversify its activities towards power distribution and transmission projects. Siemens’ significant market share for high voltage switchgears in North Africa and the Near Middle East combined with LUTHARDT’s local presence in this region formed a promising basis for this co-operation.

Project description

Referring to the primary equipment of high voltage gas-insulated switchgears, Siemens requests a spe-cial certification process for installation supervisors and commissioning engineers. Therefore Siemens worked out a professional training program for LUTHARDT consisting of a theoretical training at the Berlin factory and practical training on dis- tinctive project sites in Spain, Italy and the United Arab Emirates. Due to successful participation

LUTHARDT is, now, authorized to perform erec-tion and assembly works on SF6 gas-insulated switchgears of the type 8DN8-2/3/4/5, 8DN9-2 and 8DQ1-1/3. In April 2014, LUTHARDT successfully finished its first contract for a 400 kV 8DQ1-1 in Baiji, Iraq. With respect to the secondary systems, LUTHARDT already employs a strong workforce of experienced electrical commissioning engineers. Among other manufacturers they are also qualified in the commissioning of the Siemens SIPROTEC family. Hence, LUTHARDT has been contracted for the commissioning of protection systems for high voltage gas-insulated switchgears in Libya.

Outlook

Based on the obtained know-how for high voltage gas-insulated switchgears, LUTHARDT intends to extend its activities by offering EPC-contracts in the future. Another objective will be the certification of further installation supervisors also for other pro-duct lines.

Migration of aBB’s Power Plant automation System  Procontrol P14

Background

More than 35 years ago, ABB launched its complete power plant automation system Procontrol™ P14. Since then, it has proven to be a very reliable and efficient control system on the market with more than 500 installations worldwide. ABB has continued to invest and evolve Procontrol P14 to ensure that existing P14 customers will con-tinue to maximize the life-cycle of both their control

systems and the assets built upon them. Through stepwise system evolution solutions, the risk asso-ciated with system change is mitigated. Regard-less of whether the initial investment by the power plant owner was made many years ago, P14 can be enhanced and extended for years to come in a way that presents the lowest life cycle costs and lowest risk.

Page 43

2009  –2014

Project description

LUTHARDT was trained on ABB automation pro-ducts and systems and was deployed in several projects referring to the migration of existing Pro-control P14 systems. In particular, this included the installation of the hardware components as well as the commissioning of the control system. In this regard, LUTHARDT has been involved in the fol-lowing migration projects:

1. Gas Turbine Power Plant (120 MW), Aktobe – Kasachstan Installation Supervision

2. Gas Turbine Power Plant (120 MW), Jakarta – Indonesia Installation Supervision

3. Coal-fired Power Plant Tutuka (609 MW), Standerton – South Africa Installation

4. Gas Turbine Power Plant Unit 3 (130 MW), Gandhar – India Commissioning

5. Thermal Power Plant (1,350 MW) Doha West – Kuwait Commissioning

Outlook

Due to the wide spread existing installations of Pro-control P14, LUTHARDT intends to train even more of its own engineers on that automation system. There is certainly a demand in the market since the successive replacement of Procontrol P14 gives the following benefits to the owner:

b Short-term replacements of critical components

b Short outages can be used for the implementation of the cabinets.

b Less investment costs in comparison to a total replacement.

b Stretching of the investment costs over a longer period

b Extended life-time of the control system

Furthermore, a lot of the inherited Alstom gas turbi-nes of the original Brown Boveri and ABB designs are still in operation with a P14 Procontrol system. There is still a substantial demand of upgrading and refurbishing of these gas turbines to be done so that they can continue in operation at higher power and efficiency. During such a service the owners often decide to migrate the control system at the same time in order to benefit from the above men-tioned advantages.

Scope of Work:

Installation:

b Disassembly of old cabinets

b Installation of new cable laying for gas turbine

b Supervision of work perfor- mance

b Progress monitoring

b New cabling of marshalling panel and decontic-rack

b Connection of signal bus-cable

b Revision of existing cabling and connection according to docu- mentation

Commissioning:

b Integration of the new control technology cabinets into the remote bus system by repro- gramming the existing distribu- tion station during system operations

b Updating the existing HMI data

b Installation and loading of the software

b Loop checking

b Restart of the gas turbine

b Customer training

Operation and Maintenance Supervision of Power Stations

Background

Since its establishment, LUTHARDT has led and managed the commissioning and start-up period of various power stations. In this context, LUTHARDT was responsible for the technical handover of the facilities from the EPC contractor to the respective owners or operators. As a result of that record, vari-ous investors approached LUTHARDT regarding the assumption of operation and maintenance respon-sibility in order to safeguard financial risks during the transition period. Such requests were often sup-ported by the fact that these power plants were the first of its type in a region and, therefore, the access to local qualified operation and maintenance per-sonnel was limited.

Project description

In 2008, LUTHARDT supplied the operation and maintenance staff to Mass Global Investment in order to manage the start-up and operation of the first 500 MW simple cycle gas power station in Erbil for an intermediate period of 6 months. During this period, LUTHARDT managed the operation, pro-curement and preventive maintenance as well as supervised and instructed the respective local engi-neers. Since LUTHARDT has been involved during the construction phase as a supervisor for the EPC Contractor ABB, LUTHARDT had in-depth technical knowledge of the facility to be the perfect partner for the plant owner during that transition phase. Based on that experience, LUTHARDT was also

awarded the contract for the operation and main-tenance supervision service for the first combined cycle power plant in Albania in 2011. LUTHARDT started its activities during the commissioning phase in order to assist the plant owner during the handover from the EPC contractor. As soon as the 100 MW power station was under the responsibility of the Albanian client TEC, LUTHARDT established an operation and maintenance system and super-vised all related activities. Furthermore, the local engineers were trained in specific operation and maintenance tasks which they were assigned to.

Outlook

In addition to the objectives to expand its die-sel and gas generator business and to establish maintenance or servicing centers for heavy duty gas turbines, LUTHARDT also intends to become an operation and maintenance partner for decen-tralized power generation solutions. In particular, this approach is focused on oil and gas companies in Iraq and Libya. Due to various new exploration spots in remote areas, independent power supply solutions are required in order to satisfy the additio-nal demand for production and processing facilities. With its service portfolio, LUTHARDT can offer the entire value chain of a project up to operation and maintenance.

Emerging markets in the Middle East and Africa are one of the great opportunities for the Ger-man industry. They already account for more than half of the revenue of LUTHARDT´s business. And our strong local presence gives us the best possible basis to further develop our expertise. Therefore, and in consideration of the fact that we wish to share our valuable expertise with com-panies active in the same sector and region at home, LUTHARDT became a member of various committees, business network circles and associations. Since we profit from the excellent world-wide reputation of German engineering, we do feel responsible for marketing ”Made in Germany” beyond our own brand name, too. Independent auditor‘s report To LUTHARDT GmbH, Berlin:

We have audited the annual financial statements, compromising the balance sheet, the income statement and the notes to the financial statements, together with the bookkeeping system, and the management report of the company LUTHARDT GmbH, Berlin, for the business year from 1 January 2013 to 31 Decem-ber 2013. The maintenance of the books and records and the preparation of the annual financial state-ments and the management report in accordance with German commercial law are the responsibility of the company’s management. Our responsibility is to express an opinion on the annual financial statements, together with the bookkeeping system, and the management report based on our audit.

We conducted our audit of the annual financial statements in accordance with Art. 317 German Commer-cial Code and German generally accepted standards for the audit of financial statements promulgated by the Institut der Wirtschaftsprüfer [Institute of Public Auditors in Germany] (IDW). Those standards require that we plan and perform the audit such that misstatements materially affecting the presentation of the net assets, financial position and results of operations in the annual financial statements in accordance with German principles of proper accounting and in the management report are detected with reasonable assu-rance. Knowledge of the business activities and the economic and legal environment of the company and expectations as to possible misstatements are taken into account in the determination of audit procedures. The effectiveness of the accounting-related internal control system and the evidence supporting the disclo-sures in the books and records, the annual financial statements and the management report are examined primarily on a test basis within the framework of the audit. The audit includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall presen-tation of the annual financial statements and the management report. We believe that our audit provides a reasonable basis for our opinion.

Our audit has not led to any reservations.

In our opinion, based on the findings of our audit, the annual financial statements comply with the legal requirements and give a true and fair view of the net assets, financial position and results of operations of the company in accordance with German principles of proper accounting. The management report is consistent with the annual financial statements and as a whole provides a suitable view of the company’s position and suitably presents the opportunities and risks of future development.
