Attached is an Outline in Philippine Corporate Law (the “Outline”) which is used by Dean Cesar Villanueva, Atty. Teresa V. Tiansay and myself in the teaching of the full Corporation Law course at the Ateneo de Manila Law School. 2. We will be using and following the Outline for purposes of the four 4-hour class sessions that we will be having on the Corporation Law portion of your Commercial Law Review course. You are free to use other textbooks to supplement your study. 3. With respect to provisions of law (whether or not from the Corporation Code), you are required to have read and fully understood the provisions of law that are cited in the Outline corresponding to the targeted coverage of each class (see below) prior to the relevant class. 4. With respect to jurisprudence, you will observe that in the Outline, the title to certain cases appear with a check mark and are highlighted in bold font. It is highly encouraged that you read these cases in the original prior to the relevant class. 5. Our sessions will be a mix of lectures and class participation. There is a possibility that quizzes may also be given after class sessions. 6. The target coverage of each of our four 4-hour class sessions is set out in the table below. Some adjustments might have to be made depending on the progress of each session but the coverage should not exceed the identified portion of the Outline.
