» VEILINGVOORWAARDEN

algemeen

1. Stal Harrie Theeuwes N.V. (hierna: ‘SHT’) organiseert op zaterdag 27 augustus 2016 bij gelegenheid van De Kraal International Jumping een veulenveiling (hierna: ‘de veiling’) op manege De Kraal (Schegel 48, 2240) in Zandhoven. De veiling zal plaatsvinden onder toezicht van een veilingmeester.

2. Deze veilingvoorwaarden zijn van toepassing op de relatie tussen SHT en de verkoper en op de relatie tussen SHT en de bieder/koper. Zowel de verkoper als de bieder/koper neemt geheel voor eigen rekening en risico deel aan de veiling. SHT is jegens de verkoper en de bieder/koper in geen geval gehouden tot meer of andere verplichtingen dan in deze veilingvoorwaarden omschreven.

3. Een koopovereenkomst komt uitsluitend tot stand tussen de verkoper en de bieder/koper. De bieder/koper is evenwel verplicht de schriftelijke koopovereenkomst als bedoeld sub 10 te tekenen. SHT is niet gebonden aan overeenkomsten tussen de verkoper en de bieder/koper. SHT kan in geen geval als verkoper of bieder/koper worden aangemerkt.

4. Alle bedingen in deze veilingvoorwaarden zijn mede gemaakt ten behoeve van al diegenen die voor of ten behoeve van SHT werkzaam zijn of waren (inclusief de eventueel hieronder genoemde selectiecommissie). De bepalingen in deze veilingvoorwaarden zijn rechtstreeks op deze (rechts)personen van toepassing, als waren zij zelf SHT.

5. De deelneming aan de veiling wordt aangemerkt als integrale aanvaarding van deze veilingvoorwaarden, met uitsluiting van eventueel door de deelnemer zelf te hanteren voorwaarden.

6. SHT (dan wel een eventueel door SHT samengestelde selectiecommissie) onderzoekt en selecteert de veulens die in aanmerking komen voor deelname aan de veiling tijdens de selectie-dag; zie verder hierover onder sub 11 en verder. Een besluit van SHT ter zake is bindend. SHT is bevoegd advies in te winnen bij derden, doch heeft te allen tijde het recht een veulen of veulens zonder opgaaf van redenen te weigeren op grond van (lichamelijke) gebreken, alsmede wegens andere door SHT te bepalen gronden, ook indien een veulen of veulens reeds voor de veiling is of zijn geselecteerd. SHT is nimmer gehouden om, op welke grond dan ook, de door de verkoper gemaakte kosten te voldoen.

7. De geselecteerde veulens worden verkocht voetstoots zonder verdere actie, in de staat waarin zij zich bij gunning bevinden. De veulens worden bij opbod verkocht. Indien geen openingsbod wordt gedaan is de veilingmeester bevoegd te zakken. De veilingmeester heeft het recht de volgorde van de te verkopen veulens te wijzigen of zonder opgave van redenen personen als bieder/koper te weigeren.

8. Bieders/kopers worden geacht volledig handelingsbekwaam te zijn en bij het volle verstand. Iedere bieder/koper wordt geacht voor zichzelf te hebben geboden en is aan zijn bod gehouden totdat een hoger bod definitief is geaccepteerd. Een bieder/koper is volledig aansprakelijk voor het niet nakomen van zijn verplichtingen. Een verkoper die zijn veulen terugkoopt wordt beschouwd als bieder/koper en voor de alhier bedoelde verkoper gelden aldus eveneens alle bepalingen in deze veilingvoorwaarden die bieders/kopers betreffen; verwezen wordt naar sub 25 voor de dan verschuldigde bedragen door verkoper.

9. Na de veiling komen de bieder/koper en de verkoper overeen hoe en wanneer het geveilde veulen zal worden geleverd; het voorgaande en de gevolgen van de levering is expliciet de verantwoordelijkheid van de verkoper en bieder/koper en niet van SHT. Eerst bij levering van het veulen door de verkoper aan de bieder/koper en zoals door hen overeengekomen, gaat het risico en eigendom ter zake van het veulen over van de verkoper op de bieder/koper en wel onmiddellijk.

10. De bieder/koper zal onmiddellijk na gunning onder vertoning van legitimatie een schriftelijke koopovereenkomst tekenen, het voorgaande al dan niet middels een afgegeven volmacht aan een derde die namens hem/haar heeft geboden en de koopovereenkomst zal tekenen. Mocht de koopovereenkomst niet onmiddellijk aan de bieder/koper ter ondertekening worden aangeboden, dan dient hij zich direct na de veiling te melden bij het secretariaat van SHT.

11. SHT heeft gepoogd de catalogus zo nauwkeurig mogelijk samen te stellen. De informatie over de pedigrees is erop gericht een indruk te geven van de kwaliteit van de veulens, zonder de pretentie volledig te zijn.

12. Het is de verantwoordelijkheid van de verkoper de juistheid van de informatie in de catalogus te controleren en SHT voor de veiling schriftelijk van eventuele fouten of onvolledigheden in kennis te stellen en daarbij aan te geven welke wijzigingen of aanvullingen dienen te worden aangebracht.

13. Om deel te kunnen nemen aan de veiling is de verkoper verplicht deel te nemen aan de selectie-dag welke zal plaats vinden enkele weken voor de veiling en welk tijdstip tijdig bekend zal worden gemaakt. Om deel te nemen aan de selectie-dag, dient de verkoper zich in te schrijven hetgeen gebeurt middels het toesturen van een ingevuld inschrijfformulier. Met het toesturen van dit formulier gaat verkoper reeds op voorhand akkoord met deze veilingvoorwaarden. Op basis van deze selectie zal SHT zelfstandig besluiten welke veulens al dan niet zullen worden geselecteerd deel te nemen aan de veiling. De dag voorafgaand aan de veiling houdt SHT een veterinaire inspectie / keuring op

basis waarvan SHT zelfstandig kan besluiten of een veulen al dan niet zal deelnemen aan de veiling. Het paspoort van het stamboek van het veulen dient de verkoper uiterlijk op de dag van de veiling ter beschikking te hebben. Mocht dat niet mogelijk zijn, dan verbindt de verkoper zich om dit document zo spoedig mogelijk na de veiling te overhandigen aan de bieder/koper.

14. De bieders/kopers zijn verplicht op verzoek van SHT informatie te verschaffen omtrent hun financiële gegoedheid, waarbij zij bescheiden aan SHT dienen te overleggen waaruit deze gegoedheid blijkt. Door deelname aan de veiling machtigen de bieders/kopers SHT informatie in te winnen bij derden over hun financiële gegoedheid.

15. Met uitzondering van de koopsom zijn alle tarieven en prijzen in deze veilingvoorwaarden exclusief BTW. Over de koopsom wordt uitsluitend BTW in rekening gebracht indien verkoper BTW-plichtig is. Als dit het geval is wordt dit bij het veulen in de catalogus vermeld. Het is de verantwoordelijkheid van de verkoper om ook deze in de catalogus op te nemen informatie tijdig en juist te verstrekken en vervolgens te controleren en SHT voorafgaand aan de veiling schriftelijk van eventuele fouten of onvolledigheden in kennis te stellen en daarbij concreet aan te geven welke wijzigingen of aanvullingen dienen te worden aangebracht.

16. De verkoper en zijn veulen(s) worden pas toegelaten tot de veiling nadat zij zijn geselecteerd zoals beschreven in sub 13.

17. Voor de bieder/koper geldt op de veiling aangaande de afrekening het volgende. Het afrekeningsbedrag wordt ten aanzien van de bieder/koper als volgt berekend: (i) de toewijzingsprijs + (ii) 10% op deze toewijzingsprijs als koopcommissie = nettoprijs te vermeerderen met de van toepassing zijnde BTW = afrekeningsbedrag. Een bod is geacht te worden gedaan op persoonlijke titel van de bieder; door een bod uit te brengen, verbindt een bieder zich tot betaling van het afrekeningsbedrag, tenzij daarna een hoger bod wordt geaccepteerd. De veilingmeester behoudt zich het recht voor om een bod te weigeren.

18. Indien de bieder/koper in gebreke is de schriftelijke koopovereenkomst onmiddellijk na gunning/toewijzing te tekenen zoals beschreven in sub 10, heeft SHT het recht het veulen onmiddellijk te herveilen, waarbij het bod van de oorspronkelijke bieder/koper niet weer wordt aangenomen. De oorspronkelijke bieder/koper is gehouden het verschil tussen zijn bod en de lagere koopsom na herveiling, alsmede de kosten van herveiling aan SHT te voldoen. De bieder/koper heeft geen aanspraken ingeval van een hogere opbrengst na herveiling.

19. Een bieder/koper zal betalingen enkel via overschrijving op de bankrekening van SHT kunnen overmaken.

20. Betaling aan enig ander dan SHT bevrijdt de verkoper of de bieder/koper niet van de betalingsverplichtingen jegens SHT. Zolang SHT geen algehele betaling van de bieder/koper heeft ontvangen, blijft de verkoper eigenaar van het veulen.

21. Indien SHT niet binnen 3 dagen na de veiling algehele betaling van de bieder/koper heeft ontvangen, is de bieder/koper van rechtswege in verzuim en verplicht om naast het overig verschuldigde aan en ten behoeve van SHT te betalen (i) een rentevergoeding van 1,5% per maand over het totaal verschuldigde, te berekenen vanaf de veiling tot het tijdstip van algehele betaling en (ii) – wanneer de voorgaande bedragen niet binnen 1 maand na de veiling zijn overgemaakt aan SHT - een aanvullende vergoeding te betalen ter grootte van 12% over de toewijzingsprijs.

22. Indien SHT niet binnen 3 dagen na de veiling algehele betaling van de bieder/koper heeft ontvangen, heeft SHT voorts het recht zonder ingebrekestelling namens de verkoper en zonder zijn toestemming de koop als ontbonden te beschouwen. De verkoper en de bieder/koper blijven in dat geval jegens SHT gehouden om aan al hun in deze veilingvoorwaarden genoemde betalingsverplichtingen te voldoen, voor zover deze een vergoeding ten behoeve van SHT betreffen.

23. Indien de bieder/koper of de verkoper in gebreke is aan zijn (betalings)verplichtingen jegens SHT te voldoen, komen alle (buiten)gerechtelijke kosten die SHT daardoor maakt voor rekening van de bieder/koper danwel de verkoper.

24. Indien sprake is van een veulen met een bekend gebrek waarvan een door SHT aangewezen veterinair schriftelijk heeft verklaard dat herstel (genezing) mogelijk is, dan is de bieder/koper verplicht conform de voorwaarden sub 17 tot en met 23 aan zijn verplichtingen te voldoen. Bij dood of afkeuring van een veulen door de vorenbedoelde veterinair, die omtrent de gezondheidstoestand van het veulen bindend beslist, vóór het verstrijken van de termijn waarbinnen levering door de verkoper aan de bieder/koper had dienen plaats te vinden, wordt de koopovereenkomst als ontbonden beschouwd en de koopsom met de daarover eventueel verschuldigde BTW door SHT gerestitueerd.

25. Indien en pas nadat aan alle (betalings)verplichtingen jegens SHT is voldaan door de bieder/koper en er geen sprake is van het bepaalde sub 31 tot en met sub 34, zal SHT uiterlijk 7 dagen na gezamenlijke melding van de verkoper en bieder/koper aangaande de levering als bedoeld in sub 9, de koopsom (zoals hieronder gedefinieerd) aan de verkoper voldoen. Ten aanzien van de verkoper wordt de koopsom als volgt opgemaakt: (i) de toewijzingsprijs – (ii) 10% op deze toewijzingsprijs als verkoopcommissie = nettoprijs te vermeerderen met

de van toepassing zijnde BTW. Indien de bieder/koper overeenkomstig het bepaalde sub 31 tot en met sub 34 aan SHT melding maakt van een gebrek of stalondeugd, en daarover een geschil ontstaat, is SHT echter niet gehouden tot betaling aan de verkoper, noch tot terugbetaling aan de bieder/koper. SHT is eerst gehouden tot bedoelde betaling aan de verkoper of bedoelde terugbetaling aan de bieder/koper, indien en zodra vorenbedoeld geschil (o.a.) overeenkomstig het bepaalde sub 31 tot en met sub 34 ten voordele van de verkoper respectievelijk de bieder/koper is afgewikkeld. Indien de verkoper BTW-plichtig is, is hij gehouden om een BTW-factuur ten name van de koper op te stellen. In geval van terugkoop door de verkoper is tot een toewijzingsprijs van EUR 5.000,-- door hem aan SHT verschuldigd een forfaitaire koopcommissie van EUR 250,-- + BTW. Bij terugkoop boven een toewijzingsprijs van EUR 5.000,-- tot een toewijzingsprijs van EUR 7.000,-- is de verkoper aan SHT een koopcommissie van 10% + BTW op de toewijzingsprijs verschuldigd. Bij terugkoop boven een toewijzingsprijs van EUR 7.000,-- tot een toewijzingsprijs van EUR 9.500,- is de verkoper aan SHT een commissie van 15% +BTW op de toewijzingsprijs verschuldigd. Bij terugkoop boven een toewijzingsprijs vanaf EUR 9.500,-- is de verkoper aan SHT een koopcommissie van 20% +BTW op de toewijzingsprijs verschuldigd.

afwezigheid veulens op de veiling

26. Een geselecteerd veulen dient aan de veiling deel te nemen.

27. Indien een veulen naar oordeel van de verkoper wegens gezondheidsredenen niet aan de veiling zal kunnen deelnemen, dan dient dit tijdig, schriftelijk en met omschrijving van de aandoening aan SHT te worden medegedeeld, waarna SHT het recht heeft een door haar aangewezen veterinair de aard van de aandoening te doen vaststellen. De vaststelling van die veterinair ter zake is bindend. Indien de verkoper aan en naar bindend oordeel van die veterinair geen c.q. onvoldoende gelegenheid biedt het veulen (tijdig) te onderzoeken, danwel indien het veulen door die veterinair is goedgekeurd en desondanks niet aan de veiling deelneemt, is de verkoper aan SHT verschuldigd een bedrag ter grootte van EUR 5.000,-- vermeerderd met een rente van 1,5% per maand over het totaal verschuldigde, te berekenen vanaf datum veiling tot het tijdstip van algehele betaling.

28. Indien een door voornoemde veterinair al dan niet goedgekeurd veulen niet aan de veiling deelneemt, dient de verkoper in ieder geval de door SHT gemaakte kosten te voldoen, met een minimumbedrag van EUR 500,--.

aanlevering en verwijdering veulens

29. Verkopers zijn verplicht hun veulen en merrie op een door SHT aan te geven tijdstip in een goede veilingconditie op het veilingterrein aan te leveren.

30. Verkopers dienen de al dan niet verkochte veulens op de maandag na de veiling van het

veilingterrein te hebben verwijderd. Indien de verkoper hiermee in gebreke is, heeft SHT het recht het veulen van het veilingterrein te verwijderen en elders te stallen, waarbij alle in redelijkheid door en naar oordeel van SHT te maken kosten voor rekening komen van de verkoper.

stalondeugden en gebreken

31. Verkopers zijn verplicht hun veulens vrij van gebreken en stalondeugden aan te leveren, te laten veilen en te leveren en geven een dienovereenkomstige garantie af. Niet onder deze garantie valt het ontbreken van OC en OCD bij het veulen. Indien de wet en/of jurisprudentie over betreffende garantie en/of duur daarvan dwingend anders bepalen, geldt bedoelde dwingende andere bepaling. Indien een veulen ter verkoop wordt aangeboden met een voorafgaand aan de koop bij zowel de verkoper als de bieder/koper bekend gebrek waarvan een door SHT aangewezen veterinair schriftelijk verklaart dat herstel (genezing) mogelijk is, als bedoeld sub 24, dan neemt de verkoper de verplichting op zich het veulen onder zich te houden en voor herstel (genezing) zorg te dragen, zonder dat dit voor de bieder/koper extra kosten met zich meebrengt. Het veulen blijft tot het moment van levering aan de bieder/koper voor rekening en risico van verkoper.

32. Indien de bieder/koper bij het gekochte veulen stalondeugden constateert, zijnde kribbenbijten, weven of luchtzuigen, niet zijnde een bekend gebrek als bedoeld sub 31, dient de bieder/koper uiterlijk binnen 7 dagen na levering bij de nieuwe eigenaar SHT hiervan schriftelijk met omschrijving van de aard van de stalondeugden op de hoogte te stellen. Alsdan zal SHT indien mogelijk het veulen op een door haar te bepalen locatie onderbrengen, teneinde het veulen door een door haar aan te wijzen veterinair op de door de bieder/koper omschreven stalondeugden te laten onderzoeken. De bedoelde veterinair stelt de aard en ernst van de stalondeugden bindend vast. Indien naar oordeel van die veterinair van door de bieder/koper omschreven stalondeugden sprake is, dan dient de verkoper de ter zake gemaakte kosten, waaronder voor wat betreft de stalling, het transport en die veterinair, aan SHT te voldoen. De bieder/koper dient de bedoelde kosten aan SHT te voldoen indien naar oordeel van die veterinair geen sprake is van de door de bieder/koper omschreven stalondeugden.

33. Het bepaalde sub 32 geldt eveneens indien de bieder/koper bij het gekochte veulen gebreken, anders dan een sub 31 bedoeld bekend gebrek en anders dan bedoelde stalondeugden, constateert. De verkoper dient het veulen direct en op eigen kosten terug te nemen, tegen terugbetaling van de koopsom, indien de koop rechtsgeldig wordt ontbonden of vernietigd.

34. Indien de bieder/koper niet binnen voornoemde termijn van 7 dagen na levering op voornoemde wijze melding maakt van bedoelde stalondeugden of (andere) gebreken en/

of indien voornoemde veterinair de stalondeugden of (andere) gebreken niet vaststelt, vervalt het recht van de bieder/koper de koop te ontbinden of een beroep te doen op een wilsgebrek, tenzij de wet en/of jurisprudentie daaromtrent dwingend anders bepalen.

35. Indien de koop rechtsgeldig door de bieder/koper wordt ontbonden of vernietigd, blijven de verkoper en de bieder/koper gehouden aan al hun in deze veilingvoorwaarden genoemde betalingsverplichtingen jegens SHT te voldoen, voor zover deze een vergoeding ten behoeve van SHT betreffen. De koop kan worden ontbonden of vernietigd met inachtneming van de ter zake geldende wettelijke bepalingen, voor zover daarvan in deze veilingvoorwaarden niet rechtsgeldig is afgeweken.

aansprakelijkheid

36. SHT is niet aansprakelijk voor de accuratesse van de informatie in de catalogus, de informatie gegeven op het veilingterrein en de informatie tijdens de veiling.

37. SHT is niet aansprakelijk voor de accuratesse van de informatie in het veterinair rapport (met inbegrip van eventuele aangehechte (aanvullende) bevindingen), de veterinaire informatie gegeven op het veilingterrein en de informatie tijdens de veiling.

38. SHT is niet aansprakelijk voor schade voor, tijdens of na de veiling door of aan personen, goederen of paarden geleden.

39. Ter zake van de paarden sluit SHT geen verzekering af ten behoeve van de verkopers en bieders/kopers. Aangezien verkopers en bieders/kopers geheel voor eigen rekening en risico aan de veiling deelnemen, adviseert SHT hen de betreffende verzekering zelf af te sluiten.

40. SHT is niet aansprakelijk voor tekortkomingen van derden. Hieronder valt tevens de wanbetaling van de bieder/koper.

41. SHT sluit aansprakelijkheden uit, behoudens ingeval van opzet of bewuste roekeloosheid van SHT en/of diegenen die voor of ten behoeve van SHT werkzaam zijn of waren.

42. Indien ter zake van de overgang van geveilde veulens naar een andere lidstaat van de Europese Unie of buiten de Europese Unie op verzoek van de bieder/koper wordt gefactureerd met het BTW-nultarief, verplicht de bieder/koper zich alle daartoe noodzakelijke voorwaarden te vervullen teneinde een rechtsgeldige intracommunautaire- of exporttransactie te verwezenlijken.

43. Indien toepassing van het BTW-nultarief door welke omstandigheid dan ook (achteraf) niet mogelijk blijkt, is de bieder/koper op dat moment alsnog een bedrag verschuldigd ter grootte van het bedrag dat verschuldigd zou zijn indien sprake is van een binnenlandse levering van het desbetreffende veulen. Op verzoek van SHT is de bieder/koper echter verplicht vorenbedoeld bedrag onmiddellijk aan SHT te voldoen. Alsdan zal terugbetaling daarvan eerst en slechts plaatsvinden indien de bieder/koper aan de voorwaarden van sub 42 heeft voldaan. De bieder/koper vrijwaart SHT in ieder geval voor alle schade die voortvloeit uit het niet voldoen aan de voorwaarden van sub 42. Daarbij is de bieder/koper aansprakelijk voor alle (buiten)gerechtelijke kosten die SHT maakt, met een minimumbedrag van EUR 1.000.

44. Alle kosten, tarieven, provisies en vergoedingen zijn gebaseerd op de vigerende belastingwetgeving. Mocht de wetgeving op enig moment veranderen, dan is SHT gerechtigd alle kosten, tarieven, provisies en vergoedingen aan te passen.

45. Indien een of meer van in deze veilingvoorwaarden genoemde bepalingen niet rechtsgeldig zouden zijn of worden, blijven de overige bepalingen verder rechtsgeldig. In dat geval treedt in plaats van de bedoelde niet rechtsgeldige bepaling een nieuwe bepaling, die met de bedoelde oude niet rechtsgeldige zoveel als mogelijk overeenkomt voor wat betreft inhoud, bereik en doel daarvan.

geschillen

46. Indien bij een gunning een verschil van mening ontstaat over de vraag wie het laatste bod heeft gedaan, of indien er andere moeilijkheden, onduidelijkheden en geschillen ontstaan bij biedingen en/of over de gunning, is de veilingmeester bevoegd hierover een bindend oordeel uit te spreken. Ingeval van vorenbedoeld verschil van mening omtrent het laatste bod is de veilingmeester bevoegd de verkoop bij opbod te doen continueren.

47. Indien de veilingmeester verzoekt een oordeel te vellen, zal de veilingmeester bindend en onherroepelijk voor alle partijen beslissen. De veilingmeester is gedurende de veiling tevens bevoegd te oordelen over geschillen van andere aard dan ter zake van de biedingen en gunningen.

48. De rechtsverhoudingen tussen SHT, de bieder/koper en de verkoper zijn uitsluitend onderworpen aan Belgisch recht, met algehele uitsluiting van het Weens Koopverdrag (CISG). Geschillen, anders dan die ingevolge het bepaalde sub 46 en 47 aan het oordeel van de veilingmeester zijn onderworpen, zullen uitsluitend worden beslecht door de bevoegde rechter te Antwerpen.

general conditions

1. Stal Harrie Theeuwes N.V. (hereafter: ‘SHT’) will organize a foal auction (hereafter: ‘the auction’) at manege De Kraal (Schegel 48, 2240) in Zandhoven on Saturday August 27, 2016. The auction will be supervised by an auctioneer.

2. These auction conditions apply to the legal relationship between SHT and the vendor and SHT and the bidder/purchaser. Both the vendor and the bidder/purchaser take part in the auction entirely at their own cost and risk. SHT is not responsible for any obligations to the vendor and/or bidder/purchaser other than those outlined in these conditions.

3. A sales agreement is exclusively between the vendor and the bidder/purchaser. The bidder/purchaser is still obliged to sign the written sales agreement as meant in item 10. SHT is not bound by agreements between the vendor and the bidder/purchaser. Under no circumstances can SHT be regarded as a vendor or bidder/purchaser.

4. All stipulations in these conditions of auction are also made for the benefit of all persons who have been or are employed by or have been or who are employed on behalf of SHT. These legal entities or natural persons can invoke the stipulations of these auction conditions, as if they were SHT.

5. Participation in the auction will be considered as acceptance of these conditions of auction, with the exclusion of any conditions applied by the participant him/herself.

the auction and selection of the foal

6. SHT (as well as a selection committee appointed by SHT) will examine and select the foals that qualify for participation in the auction during a selection-day; reference is made to item 11 and further. Decisions taken by SHT in that respect are binding. SHT is entitled to seek advice from third parties, but has the right at any time to refuse a foal or foals, without having to state reasons, on the basis of (physical) deficiency, or any other grounds determined by the SHT even when a foal or foals has/have already been selected for the auction. SHT will never be liable, on whatever basis, to compensate the costs accrued by the vendor.

7. The selected foals will be sold outright, without proceedings or recompense, in the condition they have at the time of sale. The foals entered for the auction will be sold to the highest bidder. If no opening bid is made for this amount, the auctioneer is entitled to lower the opening bid. The auctioneer is entitled to change the order of the foals to be sold or, without stating reasons, refuse a person as bidder/purchaser.

8. Bidders/purchasers are expected to have full legal capacity and to be in full possession of their mental faculties. Each bidder/purchaser is considered to have made the bid for him/

herself and shall be bound by his/her bid until a higher bid is definitely accepted. Each bidder/purchaser is fully liable for any failure in the compliance with his/her obligations. A vendor who appears to have bought back his/her own foal is also considered a bidder/purchaser and for the vendor as here meant all the provisions (including all (payment) obligations) in these auction conditions concerning bidders/purchasers, shall also apply. Reference is made to item 25 in respect of the indebted amounts by vendor.

9. After the auction the bidder / purchaser and the seller shall agree on how and when the auctioned foal will be delivered; the aforementioned and the consequence thereof are explicitly the responsibility of the seller and the bidder / purchaser and not SHT. Upon the agreed delivery of the foal by the vendor to the bidder / purchaser, the risk and ownership in respect of the foal shall be transferred from the vendor to the bidder / purchaser with immediate effect.

10. Immediately upon allotment, the bidder/purchaser, upon production of identification, shall sign a written sales agreement, the aforementioned in applicable on the basis of a power of attorney from the bidder / purchaser to a third party who will represent him/her during the bidding process and sign the sales agreement on the behalf on the bidder/purchaser. If the sales agreement is not immediately offered for signing, the bidder/purchaser must immediately report this to the SHT administration after the auction has finished.

11. SHT has tried to compose the catalogue with the utmost care. The information about the pedigrees has the aim to give an impression of the quality of the foals, without having the pretence to be complete.

12. It is the responsibility of the vendor to check the accuracy of the information in the catalogue and to notify SHT in writing before the auction of any mistakes or inadequacies, thereby indicating in as much detail as possible which changes or additions should be made.

13. To participate in the auction, the seller is obliged to participate in the selection-day which will take place a few weeks before the auction and which will be announced in due course. In order to participate in the selection-day, the seller must register himself by means of sending a completed registration form. By sending in this form, the vendor accept these auction conditions in advance. On the basis of the selection, SHT will solely decide which foals will or will not be selected to participate in the auction. The day before the auction, SHT holds a veterinary inspection on the basis whereof SHT can solely decide whether a foal will or will not participate in the auction. The passport of the studbook of the foal should the seller have available no later than the day of the auction. If this might not be

possible, the seller commits itself to deliver this document as soon as possible after the auction to the bidder/purchaser.

14. The bidders/purchasers are obliged, at the request of SHT, to supply information concerning their financial solvency, in which case they must show SHT documentation proving their solvency. By making a request for participation in the auction, bidders/purchasers authorize SHT to obtain information concerning their solvency from third parties.

15. With the exception of the purchase price, all rates and prices in these auction conditions are exclusive of VAT. VAT will be charged on the purchase price only if the vendor is liable to charge VAT. If that is the case, this will be stated in the catalogue next to the foal. It is also the responsibility of the vendor to include this information in the catalogue, to issue it in a timely and correct manner, and then to check it and to notify SHT in writing of any errors or incompleteness prior to the auction and in the process to specify which amendments or additions should be made.

costs and payment

16. The vendors and their foal(s) will only be accepted to participate in the auction after having been selected as described in item 13.

17. Settlement with the bidder / purchaser will be calculated as follows: (i) the allotment price plus (ii) 10% of this allotment price as purchase commission = net price, possibly to be increased by applicable VAT = settlement amount. A bid is considered to have been made on personal title of the bidder/purchaser; by making a bid, a bidder/purchaser commits himself to pay of the settlement amount, unless a higher bid is accepted thereafter. The auctioneer has the right to reject a bid.

18. In the event that the bidder/purchaser fails to sign a sales agreement immediately upon allotment as described in item 10, SHT has the right to immediately re-auction the foal, in which case the bid of the original bidder/purchaser will no longer be accepted. The original bidder/purchaser is obliged to pay the difference of his/her bid and a possible lower purchase price, as well as the costs of re-auction, to SHT. The bidder/buyer will not have any claims in the event of a higher purchase price upon re-auction.

19. A bidder/purchaser can only make payments by means of a bank-transfer to SHT’s bank-account.

20. Payment to any other bank-account than SHT’s does not release bidders/purchasers from their payment obligations towards SHT. As long as SHT has not received payment in full from the bidder/purchaser, the vendor remains the owner of the foal.

21. In the event that SHT has not received payment in full from the bidder/purchaser within 3 days after the auction, the bidder/purchaser will be legally in default. The bidder/purchaser is then, in addition to any other payment obligations, obliged to pay SHT (i) an interest-compensation of 1.5% per month over the total sum owed, to be calculated from the date of the auction until the date of full payment and (ii) – in case the aforementioned amounts have not been transferred to SHT within 1 month after the auction – an additional payment of 12% of the allotment price.

22. In the event that SHT has not received full payment from the bidder/purchaser within 3 days after the auction, SHT also has the authority, on behalf of the vendor and without his/her permission, to consider the sale as not binding/being null and void. In such cases, the vendor and the bidder/purchaser remain obliged to comply with all their payment obligations to SHT as laid down in these auction conditions, as far as these concern compensation due to SHT.

23. If the bidder/purchaser or the vendor are in default concerning the compliance with any (payment) obligations towards SHT, all judicial and extra judicial costs accrued by SHT as a result of these circumstances shall be for account of the bidder/purchaser and/or the vendor.

24. When there is a foal with a known deficiency whereby a veterinary that has been designated by SHT has provided a written report saying that recovery (a cure) is possible, then the bidder/purchaser is obliged to fulfil all conditions specified in item 17 up to and including 23. At the death of or rejection of a foal by the above-mentioned veterinary (concerning the state of health of the foal which is binding) before expiry of the time when delivery to the bidder/purchaser from the vendor should have taken place, the sales agreement will be seen as not binding and the advance will be restituted by SHT.

25. Only if and when all (payment) obligations towards SHT have been complied with by the bidder/purchaser and the circumstances as described in items 31 up to and including 34 have not occurred, shall SHT at the latest 7 days after vendor’s and bidder/purchaser’s notice of the delivery as meant in item 9, complete payment of the sale (as defined hereinafter owing to the vendor. Settlement with the vendor will be calculated as follows: (i) the allotment price minus (ii) 10% of this allotment price as sale commission = net price to be increased by applicable VAT. In the case where the bidder/purchaser reports to SHT a deficiency or stable vice as in accordance with and as specified in items 31 up to and including item 34, and there is disagreement about such, SHT is nevertheless not bound to paying the vendor, nor bound to the reimbursement to the bidder/purchaser. SHT is in the first instance bound to the meant payment to the vendor or the meant reimbursement to the bidder/purchaser when and as soon as the aforementioned difference, among other things, corresponds with the regulations in items 31 up to and including item 34,

are settled to the benefit of the purchaser and/or respectively the bidder/purchaser. In case the vendor is VAT-liable, he is obligated to make up a VAT-invoice to be addressed to the purchaser. In the case of a repurchase by the seller, he/she owes SHT a fixed sale commission of EUR 250,-- + VAT for an allotment price up to EUR 5.000,--. In case of a repurchase for an allotment price between EUR 5.000,-- up to EUR 7.000,--, the seller owes SHT a sale commission of 10% + VAT of the allotment price. In case of a repurchase for an allotment price between EUR 7.000,-- up to EUR 9.500,--, the seller owes SHT a sale commission of 15% + VAT of the allotment price. In case of a repurchase for an allotment price which exceeds EUR 9.500,--, the seller owes SHT a sale commission of 20% + VAT of the allotment price.

absence of foals at the auction

26. A foal that has been selected must participate in the auction.

27. If a foal, in the opinion of the vendor, is unable to participate in the auction because of health reasons, the vendor should notify SHT thereof in writing, in good time, giving an as detailed as possible description of the impediment to SHT, after which a veterinarian appointed by SHT will assess the nature of the impediment. The conclusion of the veterinarian is binding. If the vendor fails to offer any and/or sufficient opportunity to the aforementioned veterinarian, whose judgment will be binding, to have the foal examined (in time), or, if the foal passed examination by the aforementioned veterinarian and nevertheless fails to take part in the auction, the vendor shall owe SHT an amount of EUR 5.000,-- augmented by a 1.5% interest per month over the total owed sum, to be calculated from the date of auction until the date of full settlement.

28. If a foal, after examination by the aforementioned veterinarian, does not participate in the auction, the vendor shall in any case compensate the SHT for the (veterinary) costs incurred by SHT in that connection, with a minimum sum of EUR 500,--.

allotment, removal and delivery of foals

29. Vendors must deliver their foals and mare to the auction grounds in good condition for the auction at the time as specified by SHT.

30. Vendors must remove the foals, whether they have been sold or not, from the auction grounds on the first Monday following the auction. If the vendor fails to remove the foal in time, SHT is authorized to remove the foal and to have it stabled elsewhere, whereby the costs accrued, as considered reasonable by SHT, must be paid by the vendor.

stable vices and deficiencies

31. Vendors are under obligation to deliver their foals free of deficiencies and stable vices;

to allow their foals to be auctioned and to submit and give in an accorded guarantee. The absence of OC and OCD in the foal does not come under this guarantee. In the case where the law and/or jurisprudence demand that the meant guarantee, and/or duration of such, require other conditions, then these other demanded conditions shall apply. In the case where a foal is put up for sale with a deficiency known to both the vendor and as well as to the bidder/purchaser previous to the sale whereby a veterinary designated by SHT has made a written report that recuperation (cure) is possible, as meant in item 24, then the vendor must undertake the responsibility of taking care of and ensuring that the recuperation (cure) of the foal takes place, without this causing extra costs for the bidder/purchaser. The foal will remain, until the time of delivery, under the full responsibility of the vendor and at his/her cost and risk.

32. In the event that the bidder/purchaser detects that the foal purchased has a stable vice, being either crib-biting, weaving or wind-sucking, and not a known deficiency as meant in item 31, the bidder/purchaser shall notify SHT in writing within 7 days after delivery to the new owner, with a description, in as much detail as possible, of the nature of the stable vice. In that case SHT will move the foal to a location of its choice and have the foal examined by a veterinarian of its choice in connection with the alleged stable vice as described by the bidder/purchaser. The aforementioned veterinarian’s conclusion about the cause and seriousness of the alleged stable vice shall be binding. If the veterinarian finds that the foal has the stable vice as described by the bidder/purchaser, the vendor is obliged to pay the costs accrued to SHT, including costs of stabling, transport and veterinarian’s fee. If the veterinarian finds that the foal does not have the stable vice, the bidder/purchaser must also pay the meant costs to the SHT.

33. The specified part in item 32, applies equally when the bidder/purchaser detects deficiencies in the purchased foal other than those as meant in item 31 and other than the stable vices as described. The vendor must take the foal back immediately and at his/her own cost in return for the remuneration of the sale price if the sale is considered dissolved or annulled.

34. When the bidder/purchaser does not notify in the manner required the aforementioned stable vices or other deficiencies of the purchased foal within 7 days after delivery and/or the above-mentioned veterinary does not detect stable vices or other deficiencies, the right of the bidder/purchaser to make the purchase unbinding is void, as is the right to bring a case of absence of consensus ad idem.

dissolution and annulment

35. In the event that the sale is legally dissolved or annulled by the bidder/purchaser, the vendor and the bidder/purchaser shall nevertheless comply with all their payment obligations, as

mentioned in these conditions of auction, towards SHT, in as far as compensation to be paid to SHT is concerned. A sale can be dissolved or annulled in due observance of the relevant current legal provisions, in as far as they do not deviate from in these auction conditions in a legally valid way.

liability

36. SHT is not liable for the accuracy of the information in the catalogue, the information provided at the auction grounds and the information given at the auction.

37. SHT is not liable for the accuracy of the information contained in the veterinarian’s report (including any attached or supplemental findings), the veterinary information supplied at the auction grounds or any information provided during the auction.

38. SHT is not liable for any damage incurred or caused by persons, goods or horses, before, during or after the auction.

39. SHT will not take out insurance for horses or other matters on behalf of vendors and bidder/purchasers. As vendors and bidder/purchasers take part in the auction for their own account and risk, the SHT advises that they take out such insurance themselves.

40. SHT is not liable for the failures of third parties, including bidder/purchaser’s failure to pay.

41. SHT is not liable for anything whatsoever, except in cases of willful intent or willful recklessness on the side of SHT and/or those who work on behalf of, or have worked on behalf of SHT.

other matters

42. In the case where a bidder/purchaser in requesting the transfer of auctioned foals to another member state of the European Union or outside the European Union has an invoice with a zero-rated VAT, the bidder/purchaser must comply with all the necessary conditions attached to a lawful intercommunity- or exporttransaction.

43. If application of the VAT zero-rating tariff, no matter what the circumstances (subsequently), appears to be impossible, the bidder/purchaser is, at that time, still obliged to pay a sum to the amount that would be owed in the case of a domestic delivery of the foal concerned. At the request of SHT, the bidder/purchaser is obliged to immediately repay the above-mentioned sum to SHT. In such cases, the reimbursement of such shall only take place when the bidder/purchaser has, to the satisfaction of SHT, complied with the conditions of item 42. In any case, the bidder/purchaser is liable for, and indemnifies SHT from, any damage that may result from non-compliance of the conditions of item 42. As well as this, the bidder/purchaser is liable for all judicial and extra judicial costs born by SHT with a minimum sum of EUR 1.000,--.

44. All costs, commissions and compensations are based on applicable tax law. In the event of any change of law at any time, SHT is entitled to adapt all costs, commissions and compensations accordingly.

conversion

45. When one or more of the provisions of these auction conditions prove to be legally invalid or will become invalid in the future, this will not in any way affect the validity of any of the other provisions. In that case the legally invalid provision will be replaced by a new, legally valid provision which is as similar as possible to the old provision as far as contents, scope and objective thereof are concerned.

disputes

46. made the last bid, or in the event of other difficulties, confusion or dispute in connection with bids and/or allotment, the auctioneer is authorized to give his binding view. In the case of the aforementioned difference of opinion regarding the last bid, the auctioneer is authorized to continue the sale by way of bidding.

47. In the event that the auctioneer calls in the auctioneer to make a decision, this decision shall be binding and irrevocable for all parties. During the auction the auctioneer is also authorized to make decisions about disputes of another nature than those regarding bids and allotment.

48. The legal relationship between SHT, the bidder/purchaser and the vendor are exclusively ruled by Belgian law, with full exclusion of the Vienna Sales Treaty (CISG). Disputes, other than those subjected to the decision of the auctioneer or the auctioneer in virtue of items 46 and 47 shall exclusively be settled by the competent judge of Antwerp.

» Een Casall ASK zoon was vorig jaar één van onze veiling toppers. Helaas konden wij dit jaar geen rechtstreekse Casall selecteren. Maar niet getreurd, we hebben wel dit Connor merrie veulen voor u weten te strikken! Connor zal zonder twijfel de fakkel van zijn vader Casall over nemen. Maar ook langs moeders kant is dit veulen bijzonder interessant gefokt! Zij gaat namelijk in directe lijn terug op de moeder van de sport- en fokhengsten Corofino I en II, Corofino I die op zijn beurt weer vader is van o.a. Chatman van Ludo Philipaerts en Russel van Nick Skelton. Met dit uitermate interessant merrie veulen bieden wij u de kans om uw eigen fokkerij te starten of uit te breiden... Wij zullen straks maar wat graag veulens selecteren voor onze veiling uit deze Chloe de Landry!

» One of the top foals of last year’s first Foal Auction 111 was a colt by Casall. This time we managed to select a filly by Connor, one of the best producing sons of Casall. Also the dam line is very interesting because it’s the line of the Holstein stallions Corofino I and II. Corofino I is the father of the top sport- and breeding stallions Chatman (Ludo Philippaerts) and Russel (Nick Skelton). With this genetically exceptional filly we give you the chance to start up or extend your own breeding. Later on we will be happy to select foals out of this Chloe de Landry for our future auctions!

» Deze Quidam van ‘t Gebergte is een zoon van Marius Claudius en dat is er aan te zien, hij gelijkt als twee druppels water op zijn vader maar dan de moderne uitvoering! Moeder Mabelle is slechts vier jaar oud en heeft een veulen aan de voet dus daar kunnen we nog niet zoveel over vertellen, buiten dan het feit dat ze uit een top familie komt. Ze gaat in directe lijn terug op de moeder van Hello Guv’nor, één van de grand prix winnaars uit de stallen van Scott Brash. Maar ook de top verervers Sheyenne de Baugy en Quidam de Revel komen uit deze stam alsook de topsportmerrie Erenice Horta van Edwina Alexander Tops. Er is hier dus ook weer sprake van lijnenteelt zoals het hoort via moedersvader Prince van de Wolfsakker’s vader Nabab de Reve, zoals u weet een Quidam de Revel zoon die gebruikt is op de stam van o.a. Quidam de Revel... Nog een genetisch hoogstandje dus!

» This is a son of Marius Claudius and you will instantly notice that! Quidam van ’t Gebergte looks exactly like his father, but he’s a more modern type. His mother Mabelle is only four and comes from the same family as Hello Guv’nor (Diamant de Semilly), who jumped double clear in the Nations Cup of Aachen with Scott Brash. That’s the most recent top result from this family. Also the legendary stallions Quidam de Revel and Sheyenne de Baugy have the same roots. And what to think about the GP mare Erenice

Horta (Edwina Tops-Alexander)? This line is certainly one of the best from France and the breeder has used it twice in by using Prince vd Wolfsakker (Nabab de Rêve), a grandson Quidam de Revel. Right-thinking line breeding again in this case!

» Ook Cornet Obolensky mag natuurlijk niet ontbreken op elke, zichzelf respecterende veulenveiling, tenzij het natuurlijk over een veiling voor dressuur veulens zou gaan. Maar dan denk ik dat ze alsnog hoge toppen zou scheren! Dit top hengsten veulen werd gefokt door het bijzonder ambitieuze koppel Stephan en Carine Tuypens-Lootens, beter bekend van de fokkerij ten Zoetendaele! Zelf hadden wij al enkele toppers van deze fokkerij op stal, zoals de BWP gekeurde Kastar hof ten Zoetendaele (Der Senaat 111 x Quickfeuer) die nu succesvol is onder het zadel van Sergio Alvarez Moya en zijn volle broer Jack Hof ten Zoetendaele, die via de Woodlands veiling verkocht werd naar het Midden Oosten! Via de top verervers Le Tot de Semilly en Burggraaf gaat dit veulen terug op de sportmerrie Hartje van Heuvelgem (Lugano van La Roche) van wijlen Eric Wauters. Mocht deze topper het tot dekhengst schoppen, waar wij echt niet aan twijfelen, dan mag u voor Stud 111 alvast enkele dekkingen reserveren. Zo heeft u hem al half terug verdiend alvorens u hem betaald heeft!

» Any self-respecting foal auction cannot do without Cornet Obolensky off-spring. This top colt was bred by the very ambitious breeder pair Stephan and Carine Tuypens-Lootens of the stud Zoetendaele. We already owned a few nice horses from this stud, such as the BWP approved stallion Kastar Hof ten Zoetendaele (Der Senaat 111 x Quickfeuer), which now jumps successfully under the saddle of Sergio Alvarez Moya. We also had the full brother Jack Hof ten Zoetendaele, which was sold to the Middle East through Woodland’s International Sales. Via the top stallions Le Tot de Semilly and Burggraaf, this colt descends from the sport mare Hartje van Heuvelgem (Lugano van Laroche) of Eric Wauters. If this top foal will become an approved stallion, which we believe it will, Stud 111 will certainly buy some semen from the new owner, so this one pays for itself!

» Deze Devils Decision Z heeft een papier en een model om van te watertanden, de kwaliteit druipt er letterlijk van af! Deze kandidaat dekhengst werd mij getipt door een andere duivel, Steve Auwers. Steve is een echte snelheidsduivel in de piste en zolang Steve niet in de ring is geweest is de proef nog niet beslist! Steve begon zijn ruiter carrière bij Eric Laenen en dat hij daar goed op heeft gelet mag duidelijk zijn... Uit de stam van Devils Decision Z komt o.a. de 1.50 m springende Cutting Edge van Roelof Bril. Deze zelfde Roelof werd ook al wereldkampioen op Zangersheide met de vader van de moeder van dit veulen, Calvados Z, die ter plaatse via Paul Schockemohle aan stoeterij Zangersheide werd verkocht. Over een pedigree vol kampioenen gesproken!

» This quality foal has a dazzling type and pedigree. “Speed devil” rider Steve Auwers tipped me on this one. Steve is a super-fast rider and a real horse man who learnt the job from Erik Laenen at the Roshoeve. Erik is a longtime friend and partner of ours, so that makes the story complete. The foal Steve advised is a stallion prospect by French stallion number one of the moment Diamant de Semilly out of the dam line of the 1.50m horse Cutting Edge (Roelof Bril). Also Roelof was crowned World Champion in Lanaken with the grandfather of this foal, Calvados Z. This son of Chellano Z was immediately sold to Zangersheide afterwards. He died too soon, but left a nice progeny behind. His son Nevados was last year’s World Champion under the saddle of Gregory Wathelet in the seven-year-old-division. Now, it’s up to you to take decision!

» Met Quilana zijn we aangekomen bij een hengst die nog enkele jaren bij ons op stal heeft gestaan en die wij zelf ook veel gebruikt hebben in onze fokkerij. We hebben het dan over Chatman, de oogappel van Harrie Reyntens, die nog Belgisch kampioen werd te Kapellen met Ludo Philipaerts. Ook de vader van de moeder, Thunder vd Zuuthoeve heb ik zelf nog gereden als vijf- en zesjarige in de cyclus en op het WK te Lanaken. Thunder was ook iemands oogappel maar dan van wijlen René Vets! Ik heb het altijd bijzonder jammer gevonden dat René de grote doorbraak van zijn beide hengsten in de fokkerij niet heeft mogen mee maken... Naast Thunder heb ik het dan natuurlijk over de door onze stal verkochte Tangelo vd Zuuthoeve. Verder gaat dit prachtig merrie veulen via Brownboy terug op de beroemde Jonka stam van topfokker Karel Aerts. Deze stam leverde reeds internationale springpaarden aan de lopende band en we zijn er van overtuigd dat dit in de toekomst niet anders zal zijn... en waarom dan niet bij u via dit prachtige merrie veulen!

» Quilana is a filly by a very special stallion that we had at home for a long period of time and we used a lot. We talk about Chatman, the beloved stallion of Harrie Reyntens. Chatman became Belgian Champion in Kapellen with Ludo Philipaerts and did an amazing job in breeding. His daughter Indiana vh Kapelhof was recently crowned European Champion in the junior division under the saddle of Gilles Thomas. Also Gines vd Klunderd (by Chatman) was part of the Belgian team that won the team gold in Millstreet. Many more Chatman descendants jump internationally up to 1.60m. Also the father of the mother Thunder vd Zuuthoeve has been ridden by myself as a five and six-year-old in the Cyclus and on the World Championship in Lanaken. Thunder, the beloved stallion of the late René Vets, grew out to be one of the best breeding stallions in the world! I have always regretted René hasn’t witnessed the great breakthrough of his two homebred stallions Thunder and Tangelo vd Zuuthoeve. Tangelo was also at Stud 111 for a while… Furthermore this lovely filly is from the Jonka damline of Karel Aerts. This family delivered so many international jumpers and we are sure this will not be different in the future. Why don’t you try it with this filly?

Paul was vroeger zelf nog actief op het hoogste niveau in de springsport met zijn toppers Simson en Rapide dus hij weet als geen ander wat er voor nodig is om een topper te fokken.
