Annual General Meetings of the TTC Pension Fund Society and TTC Sick Benefit Association Members

As required under the Corporations Act, the Bylaws of the TTC Pension Fund Society (PFS) and the TTC Sick Benefit Association (SBA) notice is hereby given of the Annual General Meetings (AGM) of Members. The meetings will take place on:

The purpose of these meetings is to receive the financial statements, to approve any Bylaw amendments and the reports of the Auditors and Directors with respect to the fiscal period ended December 31, 2017 and to appoint the Auditors for the current year.

The 2017 Financial Statements, reports of the Auditors and Bylaw amendments are included in the June 2018 AGM package. We will have copies of this package available at work locations and at the meeting on June 16th. Also, you can request a copy of the AGM package and/or minutes of last year’s meeting by calling 416-393-4372, toll free at 1-800-663-6820 or via email at [email protected]. You can also request an electronic copy be forwarded or you can access the newsletter on the PFS intranet website or at www.thecoupler.ca.

Please note that only Regular Members of the PFS and SBA are eligible to vote at these meetings. However, all employees and pensioners are welcome and encouraged to attend. Please bring your TTC employee Presto pass for identification as voting cards will be distributed.

By Transit St. Paul’s Bloor Street is located on the South side of Bloor Street East, halfway between Yonge/Bloor and Sherbourne stations.

Parking There is a paid parking lot at the Manulife building located on the north side of Bloor Street at the top of Ted Rogers Way (formerly Jarvis Street). The church is located a half block west of Manulife on the south side of the street. There are also smaller paid parking lots surrounding St. Paul's.

St. Paul’s Bloor Street is wheelchair accessible.

The following Bylaw amendments were approved by the PFS Board since the last Annual General Meeting. For your reference, any new wording has been underlined and any wording that has been removed is indicated with a strikethrough. These amendments have been filed with the Regulators and TTC Board sanction has been received. Membership approval of these Bylaws will be requested at the AGM.

Bylaw 2 Definitions, 6.02 Pensionable Earnings, 9.02 Normal or Postponed Retirement Pension and 13.02 Ad Hoc Adjustments, reflects the Board’s April 13, 2018 decision to approve a one year update to the base period, a 1.56% ad hoc indexing increase for pensioners and a one year update to the Survivor Benefit Date.

Bylaw 3.04 Officers and 7.02 Contributions Other, reflects the Board’s February 9, 2018 decision to make certain changes to the TTC Pension Fund Society organizational structure.

BYLAW NUMBER 2

DEFINITIONS

2.01 – Where Used in Any Bylaws of the Society:

(35) “Survivor Benefit Date” shall mean January 1, 2018.

BYLAW NUMBER 6

6.02 Pensionable Earnings

(1) Average Base Period Earnings

Effective January 1, 20178 for Members retiring on or after January 1, 20178 pursuant to Bylaw 8 and for Regular Members whose death occurs on or after January 1, 20178 for purposes of Bylaw 11, and effective May 10, 2017 April 13, 2018, for Members terminating on or after May 10, 2017April 13, 2018, for the purposes of calculating the amount of Regular Member’s pension for Credited Service accrued to December 31, 20167, Average Base Period Earnings shall be the greater of:

(a) the average of the highest consecutive four calendar year’sPensionable Earnings prior to 20178 and for this purpose two calendaryears will be considered consecutive even if they include a temporarybreak in service, and

(b) the average of the highest four calendar year’s Pensionable Earningsafter December 31, 1985 and prior to 20178.

A Member’s Base Period shall mean the four years used for computing his or her Average Base Period Earnings. For a Member who does not have four calendar years of Pensionable Earnings prior to 20178, the Member’s Base

Period shall be his or her total number of calendar years, including fractional years, of Pensionable Earnings prior to 20178.

The YMPE used in the calculation of pension entitlements for the Base Period pursuant to Bylaw 9.01 and 9.04 shall be the YMPE under the Canada Pension Plan for each of the corresponding calendar years used in determining the Member’s Average Base Period Earnings, or if the Member’s Pensionable Earnings are less than the YMPE in a corresponding calendar year, the Member’s Pensionable Earnings in that year.

BYLAW NUMBER 9

9.01 Normal or Postponed Retirement Pension

(1) For a Regular Member who retires pursuant to Bylaw 8.01 or 8.02 onor after January 1, 20178 and for a Regular Member whose deathoccurs on or after January 1, 20178 for purposes of Bylaw 11, theannual amount of pension shall be determined as the sum of:

(a) 1.6% of the Member’s Average Base Period Earnings Below YMPEplus 2% of the Average Base Period Earnings Above YMPE,

multiplied by

the number of calendar years in the Member’s Base Period divided by the number of years of Credited Service in the Member’s Base Period,

multiplied by

the years of Credited Service accrued to December 31, 20167; plus

(b) 1.6% of Pensionable Earnings Below the YMPE plus 2% of Pensionable Earnings above the YMPE for the period of Credited Service after December 31, 20167; plus

(c) 0.4% of the Member’s Average Base Period Earnings Below YMPE multiplied by the number of calendar years of Credited Servicebefore 1987 during which the Member:

(i) was at least age 65 for the entire year; and,

(ii) did not contribute any amount to the Canada Pension Plan during the calendar year.

(2) The total amount of pension payable to any Member under thisSubsection shall not be less than the total amount of accrued pensionpayable to such Member in respect of years of service up to

December 31, 20167, determined in accordance with the Bylaws of the Society in effect as at December 31, 20167.

(3) Notwithstanding Bylaw 9.01(1), for each calendar year in which aMember is sick or injured and is credited with Pensionable Earningspursuant to Bylaw 6.02 but not Contributory Earnings, the level ofYMPE for purposes of Bylaw 9.01(1) shall be based on the YMPE inthe year such sickness or injury was incurred or, if later, the year inwhich the Member’s Pensionable Earnings ceased to be adjusted forgeneral increases that are granted to all other employees in theMember’s job class.

(4) The annual pension of a Member who retires in accordance withBylaw 8.01(2) and who:

(a) has Credited Service and Continuous Service which are each lessthan 30 years, and

(b) has age plus Continuous Service which equal less than 80years shall be multiplied by the early retirement factor applicable to theMember as of his or her pension commencement date shown in theTable of Early Retirement Factors adopted by the Board, and shall befurther reduced if necessary so that the total reduction is at least thatrequired under Bylaw 9.02(2).

BYLAW NUMBER 13

13.02 Ad Hoc Adjustments

(1) Notwithstanding Bylaw 13.01, and subject to Bylaw 16.13 andBylaw 13.02(2) and (3), pensions in the course of payment toAssociate Members may be increased in accordance with thisBylaw 13.02. Increases approved by the Board shall be set out inBylaw 13.02(4) and shall specify the effective date, the pensions towhich the increase is applicable and the amount of the increase.

(2) An increase under Bylaw 13.02(1) that applies to a pension which firstbecomes payable in the year prior to the effective date of the increaseshall be the full increase multiplied by the ratio of the number of daysfor which the pension was payable to the total number of days in thecorresponding calendar year.

(3) Increases under Bylaw 13.02(1) shall be applied equally to pensionsin the normal form or optional forms available to Members underBylaw 10.

(4) Effective January 1, 2011, pensions in the course of payment shall beincreased by 2.0%. The pensions to which the increase is applicableshall be determined in the same manner as provided under

Bylaw 13.01.

(5) Effective January 1, 2012, pensions in the course of payment shall beincreased by 1.0%. The pensions to which the increase is applicableshall be determined in the same manner as provided under Bylaw13.01.

(6) Effective January 1, 2013, pensions in the course of payment shall beincreased by 2.0%. The pensions to which the increase is applicableshall be determined in the same manner as provided under Bylaw13.01.

(7) Effective January 1, 2014, pensions in the course of payment shall beincreased by 2.0%. The pensions to which the increase is applicableshall be determined in the same manner as provided under Bylaw13.01.

(8) Effective January 1, 2015, pensions in the course of payment shall beincreased by 2.0%. The pensions to which the increase is applicableshall be determined in the same manner as provided under Bylaw13.01.

(9) Effective January 1, 2016, pensions in the course of payment shall beincreased by 1.28%. The pensions to which the increase is applicableshall be determined in the same manner as provided under Bylaw 13.01.

(10) Effective January 1, 2017, pensions in the course of payment shall beincreased by 1.35%. The pensions to which the increase is applicable shall bedetermined in the same manner as provided under Bylaw 13.01.

(101) Effective January 1, 20178, pensions in the course of payment shall beincreased by 1.56%. The pensions to which the increase is applicable shall bedetermined in the same manner as provided under Bylaw 13.01.

BYLAW NUMBER 3

3.04 – Officers

(1) The officers of the Board shall be a President and a Vice-President. TheBoard shall also appoint a Secretary and a Treasurer, who shall beemployees of the CommissionSociety. No remuneration shall be paid toany such individual by the Society.

(2) The President and Vice-President shall be Directors, and shall be elected bythe Board and shall hold office as long as they continue to be Directors oruntil successors are appointed. The President, and in his or her absence theVice- President, shall convene and preside over all meetings of the Board. In

the absence of both the President and the Vice-President, the Board shall select a Director from among its number to preside.

(3) The Secretary shall be a Regular Member of the Society but shall not be aDirector. He or she shall be appointed by the Board. on recommendation ofthe President with the approval of the Commission and shall be paid by theCommission. As an employee of the Commission the Secretary shall besubject to all rules for Commission employees and may be partially employedupon Commission work. The Secretary shall receive and deal with allapplications for benefits and when they have been found to be in order shallsubmit them to the Board for approval. The Secretary shall submit atmeetings of the Board any records which the Secretary shall be notified bythe Board to produce. The Secretary shall keep such statistical records asmay be required by the Board.

The Secretary shall be ex-officio Clerk of the Board and shall attend all the sessions of the Board and meetings of the Members and record all facts and minutes of all proceedings in the books kept for that purpose. The Secretary shall give all notices required to be given to Members and to Directors; shall keep such individual records of Members as may be required by the Board, and shall keep in accessible form all Board decisions which might be used as precedents for future action. The Secretary shall give such security as may be decided by the Board, the cost of which shall be approved and paid by the Commission. The Secretary shall also see that the provisions of Sections 299 and 300 of the Corporations Act of Ontario, as amended from time to time, are duly complied with.

(4) The Treasurer of the Society shall be a Regular Member and shall beappointed by the Board on recommendation of the President. and shall beappointed by the Chief General Manager of the Commission, or if the ChiefGeneral Manager is not a Member of the Society, by the Commissionappointed Directors.

The Treasurer of the Society shall not be a Director. He or she shall pay theinvoices related to the operation of the Fund, as approved by the Board,along with all benefits provided by the Bylaws. Claims to such benefitsshall be approved by the Board.The Treasurer shall submit to the Board regular statements of the currentfinancial position of the Society and such other statements or recordswhich the Treasurer shall be notified by the Board to produce.

The Treasurer shall collect all monies due to the Society. All payments outof the Fund shall be made by cheque signed by the Treasurer and thePresident or their duly authorized deputies, or by electronic transferauthorized in writing by the Treasurer and President or their duly authorizeddeputies. The Treasurer shall keep the general books of account of theFund and shall be responsible for safeguarding the assets of the Society.

The Treasurer shall also see that provisions of Section 302 of the Corporations Act of Ontario, as amended from time to time, are duly complied with. The Treasurer shall give such security as may be decided by the Board, the cost of which shall be approved and paid by the Commission.

(5) The CEO and Society staffand his or her staff shall be hired by the Board, oras otherwise directed by the Board, and shall be an employees of theSociety. The CEO shall perform such duties in respect of the day-to-dayadministration of the Society as directed by the Board, and shall providesuch reports and information to the Board regarding such duties as theBoard may request from time to time.

The salary, benefits, and related expenses of the CEO and Society staff shallbe paid by the Society from the Pension Fund. The Commission shall at itsown expense provide all necessary support services to the CEO includingoffice space, administrative resources, and information technology support.

BYLAW NUMBER 7

7.02 – Contributions Other

(1) A Member’s contributions to the Fund shall be in addition to anycontributions that the Member will be required to make under the CanadaPension Plan. Such contributions will be deducted by the Commission or theSociety, as applicable, from the salary or wages from time to time payable toeach Regular Member, and shall commence from the beginning of the pay-period in which the Regular Member completes six months of ContinuousService with the Commission or the Society, and shall continue as long as heor she remains a Regular Member.

(2) Regular Members granted leave to serve with the Armed Forces of Canadashall not be required to contribute to the Society during such leave.

(3) The Society shall maintain a record of each Regular Member’s RequiredContributions made annually, plus Credited Interest thereon. CreditedInterest shall be determined at a rate of interest to be calculated on the basisof the 12 month average of the yields of five year personal fixed termchartered bank deposit rates, averaged over a reasonably recent period,credited from the end of the month in which the Contribution is made, andcompounded yearly, to the date on which the Member dies or otherwiseterminates employment with the Commission or the Society.

The amount of interest to be calculated on contributions made for periodthat is part of a calendar year shall be determined as one-half thecontributions made by the Member during that period multiplied by the

product of the applicable annual rate of interest and the fraction that period is of a whole year.

(4) Contributions made by a Member under Bylaw 5.05 or 5.06 to purchaseCredited Service for periods of service prior to 1987 shall be consideredRequired Contributions. One half of the contributions made by a Memberunder Bylaw 5.05 or 5.06 to purchase Credited Service for periods of serviceafter 1986, shall be considered Required Contributions, except that all of thecontributions made by a Member for a period of family medical leave shall beconsidered Required Contributions.

(5) The applicable employer participating in the Society may contribute additionalamounts provided that each such amount is all or part of the amount ofMember contributions under Bylaw 5.03, 5.05 or 5.06 in relation to servicepurchase, excluding those related to previously credited pre-1990 service,pursuant to an agreement between the employer and the Member or Members,or the Union representing them. Where this applies, Bylaw 5.03, 5.05, and5.06 are modified as necessary to permit contributions by the employer in lieuof Member contributions.

(6) The Commission shall, in addition, bear all administration and office expensesof the Society, with the exception of the following (which shall be paid bythe Society from the Fund):The Society shall be responsible for any actuarialand special legal fees incurred by the Society; the salary, benefits and relatedexpenses of the CEO and his or her staff; such other special expensesspecifically approved by the Board, and fees of the trust and insurancecompanies and investment counsellors for custody and investment of theFund, and any other administrative expenses as may be agreed by theSponsors from time to time in writing.

(7) The Commission shall be responsible to reimburse the Society for expenses inaccordance the Memorandum of Agreement, Establishing the Society as a Jointly-Sponsored Pension Plan, dated May 27, 2011, as amended.

We have audited the accompanying financial statements of Toronto Transit Commission Sick Benefit

Association, which comprise the statement of financial position as of December 31, 2017 and the statement

of operations and accumulated surplus for the year then ended, and the related notes, which comprise a

summary of significant accounting policies and other explanatory information.

Management’s responsibility for the financial statements

Management is responsible for the preparation and fair presentation of these financial statements in

accordance with Canadian public sector accounting standards, and for such internal control as

management determines is necessary to enable the preparation of financial statements that are free from

material misstatement, whether due to fraud or error.

Auditor’s responsibility

Our responsibility is to express an opinion on these financial statements based on our audit. We conducted

our audit in accordance with Canadian generally accepted auditing standards. Those standards require

that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance

about whether the financial statements are free from material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in

the financial statements. The procedures selected depend on the auditor’s judgment, including the

assessment of the risks of material misstatement of the financial statements, whether due to fraud or

error. In making those risk assessments, the auditor considers internal control relevant to the entity’s

preparation and fair presentation of the financial statements in order to design audit procedures that are

appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of

1. NATURE OF OPERATIONS

The Sick Benefit Association (the “Association”) was incorporated in Ontario by Letters Patent datedDecember 29, 1960. The Association was established to adjudicate and pay benefit claims to eligibleMembers of the Association unable to work due to illness or disability, as defined in the By-Laws.Effective, January 1, 2013, in accordance with the Association’s By-laws, the Toronto Transit Commission(the “TTC”) elected to pay benefits directly to the Members.

2. SIGNIFICANT ACCOUNTING POLICIES

(a) Basis of Presentation

These financial statements are prepared in accordance with Public Sector Accounting Standards.

A Statement of Change in Net Debt has not been presented as the Association does not have any non-financial assets and does not generate a surplus or deficit. Therefore, the presentation of a Statement of Change in Net Debt would not provide any information that could not be obtained from the Statement of Financial Position or the Statement of Operations and Accumulated Surplus.

(b) Measurement Uncertainty

The preparation of financial statements, in conformity with Public Sector Accounting Standards,requires management to make estimates and assumptions that affect the reported amounts. Inparticular the provision for payroll taxes is based on the best information available at the time offinancial statement presentation. Actual amounts could differ from those estimates.

(c) Financial InstrumentsThe main categories of financial instruments held by the Association are cash and accountsreceivable. Due to their short term nature, the fair values of these financial assets approximatetheir recorded carrying values.

(d) Cash

Cash consists of funds on deposit with a chartered bank, which are accessible at any time andare unrestricted.

(e) Revenue Recognition

Contributions from the TTC are recognized as revenue when the benefits are accrued by eligiblemembers or when expenses are incurred by the Association.

(f) Income Taxes

The Association is an employee mutual benefit society and as such is exempt from income taxunder the Income Tax Act (Canada).

3. AMOUNT DUE FROM THE TORONTO TRANSIT COMMISSION

The amount due from the TTC is non-interest bearing and due on demand.

4. PROVISION FOR PAYROLL TAXES

The Association has recorded an amount payable to the Canada Revenue Agency based onManagement’s assessment of the likelihood and estimated outcome of a retrospective legal obligationto pay payroll taxes on claim payments for the period January 1 to July 21, 2012. The timing andultimate settlement of the obligation is unknown at this time.

5. STATEMENT OF CASH FLOWS

A statement of cash flows has not been presented as the related information is readily apparent fromthe other financial statements. All cash flows are classified as operating in nature.

The Coupler’s 2017 in Review

February 6: The TTC unveiled its 2017 Customer Charter containing 37 time-bound commitments to customers. It was the TTC’s fifth charter announcement.

April 4: The final two Toronto Rocket subway cars arrived at Wilson Yard to complete the delivery of 82 fully accessible Toronto Rocket train sets.

May 7: Downsview Station was officially renamed Sheppard West Station in advance of the opening of the Line 1 extension to York Region.

May 8: The TTC began random drug and alcohol testing for employees in safety-sensitive positions, as well as designated management and executives of the TTC.

May 14: The TTC’s Peer Support Program won a National Corporate Leadership Award from the Canadian Urban Transit Association.

May 27: Toronto got its first look at the new Downsview Park and York University stations as part of the annual Doors Open event.

June 26: The TTC was named Outstanding Public Transportation System for 2017 by the American Public Transportation Association.

July 12: The TTC officially celebrated 31 billion riders carried since 1921 by presenting a MDP subscriber with a year’s worth of complimentary monthly passes.

August 30: The TTC, in partnership with Universal Music Canada and Apple Music, celebrated the launch of Tracks on Tracks, a new program that includes two distinctive TTC-branded playlists – Rush Hour and Hush Hour.

September: With its third elevator entering service, St Clair West became the TTC’s 36th accessible station. Later in the month, Woodbine became the TTC’s 37th accessible station.

September 3: The TTC’s new accessible streetcars made their maiden voyage for customers on the 512 St Clair route.

September 5: The TTC began a nine-month pilot project to test various service enhancements on the 400 Lawrence Manor and 404 East York Community Bus routes.

September 6: The TTC launched a bold campaign (This Is Where) and free mobile app (SafeTTC) as part of its commitment to combat harassment and enhance public safety on the TTC.

September 21: The TTC was awarded the Ontario Safety League’s Award of Excellence for Public Safety for the recently implemented random drug and alcohol testing program.

October 9: Tom Dedes, an 18-year TTC veteran and subway track maintenance employee, succumbed to injuries sustained after a workplace incident at McCowan Yard on October 1.

October 25: The TTC conducted an extensive emergency simulation with first responders and community partners at the new York University Station.

October 28: The TTC hosted public open houses at the new Pioneer Village, Highway 407 and Vaughan Metropolitan Centre stations.

October 28: Wheel-Trans made its first-ever customer drop-off at a conventional bus stop as part of the Family of Services Pilot.

November 12: The King Street Transit Pilot began a year-long reconfiguration of the central portion of King (Bathurst to Jarvis) with the goal of improving the speed and reliability of the 504 King and 514 Cherry streetcar services.

November 21: CEO Andy Byford announced that he will be leaving the TTC to take the role of President and CEO of New York City Transit.

November 26: The TTC entered the final stages of testing on the Line 1 extension with the start “ghost service: between Sheppard West and Vaughan Metropolitan Centre stations.

November 28: The TTC Board unanimously approved the appointment of Deputy CEO/Chief Service Officer Rick Leary as Acting CEO, effective December 23.

December 15: The TTC officially opened the Line 1 Extension to York Region with an official ribbon-cutting ceremony held at the new Vaughan Metropolitan Centre terminal station with The Right Honourable Justin Trudeau, PC, MP, Prime Minister of Canada; The Honourable Kathleen Wynne, MPP, Premier of Ontario, His Worship John Tory, Mayor of Toronto; and Wayne Emmerson, Regional Chairman and CEO of York Region.

December 16: The TTC hosted a public open house at the new Finch West Station.

December 17: First day of revenue service on the Line 1 extension. All six stations are fully accessible, Wi-Fi-equipped, PRESTO-enabled, and staffed by new Customer Service Agents.

December 31: Coxwell became the TTC’s 44th accessible station.

December 31/January 1, 2018: For the fifth consecutive year, the TTC offered free New Year’s Eve rides courtesy of Corby Spirit and Wine.
