1.DEFAULTBYPURCHASER:IfPurchaserbreachesanyofitsobliga.onshereunder,whichincludewithoutlimita.onPurchaser’srefusalorneglecttoprovideanyoftheitemsrequiredofPurchaserhereunder;proceedwiththepresenta.onoftheengagementswhicharesubjectofthisagreement;.melymakeanyofthepaymentsreferredtoherein;furnishthetype,size,andqualityofpublicaddress(PA)requestedbyMaVDuskor,ifatany.mepriortoorduringtheactualperformanceofMaVDuskshouldthesaidpublicaddress(PA)systembeotherwisethaninperfectworkingcondi.on;theninanyofsucheventsandinaddi.ontoanyofMaVDusk’sotherrightsorremedies;MaVDuskmayelecttoterminatethisagreementwithoutliabilitytoperformhereunderorotherwise.Insuchevent,MaVDuskshallretainallamountstheretoforepaidtoMaVDuskbyPurchaseraspar.aloffsetagainstamountsowed,andPurchasershallremainliabletoMaVDuskforanyaddi.onalmonieshereinprovidedorotherwisepayableasamaVeroflaw.

2.FORCEMAJEURE:MaVDuskshallbeexcusedfromitsobliga.onshereunderintheeventofasicknessoraccidenttoanymemberofMaVDusk(includingbandmembersandTourManager)orifMaVDusk’sperformanceisrenderedimpossibleorcommerciallyimprac.cablebyreasonofaforcemajeureevent,includingwithoutlimita.onanyactorregula.onofanypublicauthorityorbureau,civiltumult,strike,epidemicinterrup.oninordelayoftransporta.onservices,warcondi.onsoremergencies,oranyothercauseorcausesbeyondthecontrolofMaVDusk,whetherofasimilarnature.HoweverifMaVDuskisready,willingandabletoperformhereunder,noforcemajeureoranyothereventshallrelievePurchaserofitsobliga.onsunderthisagreement.

3.RAINORSHINECLAUSE:MaVDuskistobepaidRainorShine,regardlessofanyinclementweatherthatrequirestheshowtobecancelled.

4.INDEPENDENTCONTRACTOR:MaVDuskisexecu.ngthisagreementasanindependentcontractorandnotasanemployeeoragentofPurchaser.Thisagreementshallnot,inanyway,beconstruedsoastocreateanagency,partnership,oranyotherjointundertakingorventurebetweenthepar.eshereto,andneitherpartyshallbeliableforanyrepresenta.on,actoromissionoftheorder.

5.THIRDPARTYAGREEMENTS:NoprovisioncontainedinanyconcerthallleaseorotheragreementsbetweenPurchaserandanythirdpartywhichisinconsistentwithanyprovisionofthiscontractridershallbebindingonMaVDuskunlessMaVDuskconsentsinwri.ngthereto.PurchaserrepresentsandwarrantsPurchaserisunawareofanysuchinconsistency.

6.INDEMNIFICATION:PurchaserherebyagreestoindemnifyandholdharmlessMaVDuskfromandagainstanyclaims,costs,damages,liabili.es,andjudgmentsarisingoutoforconnectedwithanyclaimbyathirdpartywhichisinconsistentwithanyofthewarran.es,representa.onsorobliga.onsofPurchaserhereunder.

7.INSURANCE:PurchasershallprovideMaVDusk,atleasttwoweekspriortotheperformance,withacer.ficateofinsuranceevidencingthefollowing:

(a)Comprehensivegeneralliabilityinsuranceintheamountrequiredbythevenue,butinnoeventwithalimitlessthan$2,000,000.00combinedsinglelimitforbodilyinjuryandpropertydamage;and

(b)MaVDuskhasbeenaddedtosaidpolicyasanaddi.onalnamed‘insured'.

8.DAMAGEBYOTHERS:MaVDuskshallnotberesponsiblefordamageorinjurytoanypatronsorthefacilityoranyfixturesorpersonalpropertytherein,causedbyfansoranyothersnotapartofMaVDuskandtheirroadcrew.PurchasershallindemnifyandholdMaVDuskharmlessfromanythirdpartyclaimsconcerningtheforegoing(asprovidedinParagraph#5above)andPurchasershallmakenoclaim,deduc.onoroffsetinrespectofsame.

9.PRE-EMPTION:Purchaseragreesthat,atMaVDusk'sdiscre.on,theymaypostponeand/orcanceltheengagementhereunderbygivingPurchaserwriVenno.cethereofatleastthirty(30)dayspriortothecommencementdateoftheengagement,providedMaVDuskshouldbecalledupontofurnishtheservicesofMaVDuskinconnec.onwithatheatricalmo.onpicture,television,orothersignificanteventwhichmightconflictwiththisengagement.

10.PURCHASER'SCAPACITY:PurchaserrepresentsandwarrantsthatPurchaserhastheright,powerandauthoritytoenterintoandfullyperformthiscontractandisoflegalage.

11.PERFORMANCEEXCUSE:MaVDuskwillnotberequiredtoperformbeforeanaudiencewherethereisadangerofriot,civildisturbanceorinjurytoanymemberofMaVDusk(includingallcrewmembers).Failuretoperformundersuchcircumstances,asdeterminedbyMaVDusk’sManager,AgentorTourManager,shallnotrelievePurchaserofitsobliga.onstomakeanypaymentsrequiredhereunder.

12.PERMITS,ETC:Purchasershall,atPurchaser'sexpense,obtainallnecessarypermits,licenses,orotherconsents(includingwithoutlimita.on,publicperformancelicenses)asmaybenecessaryordesirableandshallindemnifyMaVDuskinrespectofsameasprovidedinParagraph#5above.

13.MISCELLANEOUS:ThisAgreementistheen.retyofallnego.a.onsandunderstandingsmergedhereunder.AllapprovalsorconsentsofMaVDuskhereundermaybewithheldwithoutcause.ThisAgreementcannotbemodifiedexceptbyaninstrumentinwri.ng,executedbyboththePurchaserandMaVDusk.Awaiverofabreachbyeitherpartyinanyoneinstanceshallnotcons.tuteawaiverofanysubsequentbreach,whetherornotsimilar.ThisAgreementisnotintendedforthebenefitofanythirdparty.Shouldanyprovisionhereofbeheldinvalidorunenforceable,itshallbeseparablefromandshallnotaffectanyotherprovision.AllremediesforbreachofthisAgreementshallbecumula.veandtheexerciseofanyoneshallnotbedeemedawaiverofanyother.Theparagraphheadingshereinareforconvenienceonlyandnottobeu.lizedinconstruc.onorinterpreta.onofthisAgreement.Intheeventofli.ga.onconcerningthisAgreement,theprevailingpartyshallbeen.tledtorecoverreasonableaVorney'sfees.Timeisoftheessenceinthepaymentofalldeposits,guaranteesandothermoniesrequiredhereunder.
