PROJECT #06-2020 COUNTY OF WILLIAMS SEALED BIDS FOR HCL FIBER SERVICE PROJECT

The Board of Williams County Commissioners will receive sealed bids in their office, One Courthouse Square, 4th Floor, Bryan, Ohio until 10:00 A.M. Local Time Thursday, September 24th, 2020 for: Project #6-2020 HCL FIBER SERVICE PROJECT, Williams County, Ohio.

Complete sets of documents for the Request for Proposals will be available for examination, Monday through Friday from 8:30 a. m. to 4:00 p. m. at the above named office. Copies may be obtained by request from the Williams County Commissioners, One Courthouse Square, 4th Floor, Bryan, Ohio 43506, 419-636-2059 or on the Commissioners’ Web Site at https://www.williamscountyoh.gov/ under the heading COMMISSIONERS, LEGAL NOTICES at no charge. Documents will be mailed upon request for a charge of $10.00.

Bids must be submitted on the forms found in the Bidding Document; must contain the names of every person or company interested therein. Each bidder must submit evidence of its experiences on projects of similar size and complexity. The Owner intends and requires that this project be complete no later than November 30th, 2020

Each bidder shall be required to file with his proposal a Bid Guaranty in accordance with Section 153.54 of the Ohio Revised Code. The guaranty shall be a bond for one hundred percent (100%) of the bid amount. A certified check or cashier’s check for ten percent (10%) of the bid can be submitted in lieu of a bond. The successful Bidder will be required to furnish a satisfactory Performance Bond for one hundred percent (100%) of the bid amount.

Bidders must comply with the prevailing wages rates for Public Improvements for Williams County, Ohio as determined by the Secretary of Labor, under the Federal Labor Standards.

Contractor compliance with the non-discrimination and equal employment opportunity requirements of Title VI of the Civil Rights Act of 1964 (Title VI) and Ohio Administrative Code Chapter 123, the Governor’s Executive Order of 1972, and Governor’s Executive Order 84-9 shall be required.

SPECIAL ATTENTION MUST BE GIVEN to all the requirements contained in the bid packet, particularly to prevailing wages, various insurance requirements, various equal opportunity provisions, and the requirement for a performance bond for 100% of the contract price.

Any bid may be withdrawn prior to the schedule closing time for the receipt of bids, but no bidder shall withdraw his bid within 30 days after the actual opening thereof. The County reserves the right to reject any or all bids, waive irregularities in any bid, and to accept any bid which is deemed most favorable to the County.

ITEM 00100 Instruction To Bidders

1. Defined TermsTerms used in these Instructions to Bidders that are defined in the 100 General Provisions, State of Ohio, Department of Transportation, Construction and Materials Specifications, 2019 (2019 CMS).

Certain additional terms used in these Instructions to Bidders have the meanings indicated below which are applicable to both the singular and plural thereof.

1.1 BIDDER-one who submits a Bid directly to Owner as distinct from a sub-bidder, who submits a bid to a bidder.

1.2 ISSUING OFFICE-the office from which the Bidding Documents are to be issued and where the bidding procedures are to be administered.

1.3 SUCCESSFUL BIDDER-the lowest, responsible and responsive Bidder to whom Owner (on the basis of Owner's evaluation as hereinafter provided) makes and award.

2. Copies of BiddingDocuments

2.1 Complete sets of the Bidding Documents in the number and for the non-refundable sum stated in the Advertisement or Invitation to Bid may be obtained from the Issuing Office.

2.2 Complete sets of Bidding Documents must be used in preparing Bids; neither Owner nor Engineer assume any responsibility for errors or misinterpretations resulting from the use of incomplete sets of Bidding Documents.

2.3 Owner and Engineer in making copies of Bidding Documents available on the above terms do so only for the purposed of obtaining Bids for the Work and do not confer a license or grant for any other use.

3. Qualifications of Bidders3.1 To demonstrate qualifications to perform the Work, each Bidder must be prepared to submit within five days after Bid opening, upon Owner's request, detailed written evidence such as financial data, previous experience, present commitments, and other such data as may be called for below (or in the Supplementary Instructions or LPA Template).

3.2 Each Bid must contain evidence of Bidder's qualification to do business in the state where the Project is located or covenant to obtain such qualification prior to award of the contract.

4. Examination of ContractDocuments and Site

4.1 It is the responsibility of each Bidder before submitting a Bid:

4.1.1 to examine thoroughly the Contract Documents and other related data identified in the Bidding Documents (including "technical data" referred to below);

4.1.2 To visit the site to become familiar with and satisfy Bidder as to the general, local and site conditions that may affect cost, progress, performance or furnishing of the Work;

4.1.3 To consider federal, state and local Laws and Regulations that may affect cost, progress, performance or furnishing of the Work;

4.1.4 To study and carefully correlate Bidder's knowledge and observations with the Contract Documents and such other related data; and

4.1.5 To promptly notify Engineer of all conflicts, errors, ambiguities or discrepancies, which Bidder has discovered in or between the Contract Documents and such other related documents.

4.2 Information and data shown or indicated in the Contract Documents with respect to existing Underground Facilities at or contiguous to the site is based upon information and data furnished to Owner and Engineer by owners of such Underground Facilities or others, and Owner and Engineer do not assume responsibility for the accuracy or completeness thereof unless it is expressly provided otherwise in the Supplementary Conditions.

4.3 Before submitting a Bid, each Bidder will be responsible to obtain such additional or supplementary examinations, investigations, explorations, tests, studies and data concerning conditions (surface, subsurface and Underground Facilities) at or contiguous to the site or otherwise, which may affect cost, progress, performance or furnishing of the Work or which relate to any aspect of the means, methods, techniques, sequences or procedures of construction to be employed by Bidder and safety precautions and programs incident thereto or

which bidder deems necessary to determine its Bid for performing and furnishing the Work in accordance with the time, price and other terms and conditions of the Contract Documents.

4.4 On request, Owner will provide each Bidder access to the site to conduct such examinations, investigations, explorations, tests and studies as each Bidder deems necessary for submission of a Bid. Bidder must fill all holes and clean up and restore the site to its former conditions upon completion of such explorations, investigations, tests and studies.

4.5 The submission of a Bid will constitute an incontrovertible representation by Bidder that Bidder has complied with every requirement of this Article 4, that without exception the Bid is premised upon performing and furnishing the Work required by the Contract Documents and applying the specific means, methods, techniques, sequences or procedures of construction (if any) that may be shown or indicated or expressly required by the contract Documents, that Bidder has given IT Manager written notice of all conflicts, errors, ambiguities and discrepancies that bidder has discovered in the Contract Documents and the written resolutions thereof by Engineer is acceptable to Bidder, and that the Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for performing and furnishing the Work.

5. Availability of Lands for Work,etc.

The lands upon which the Work is to be performed, rights-of-way and easements for access thereto and other lands designated for use by Contractor in performing the Work are identified in the Contract Documents. All additional lands and access thereto required for temporary construction facilities, construction equipment or storage of materials and equipment to be incorporated in the Work are to be obtained and paid for by contractor. Easements for permanent structures or permanent changes in existing facilities are to be obtained and paid for by Owner unless otherwise provided in the Contract Documents.

6. Interpretations and Addenda6.1 All questions about the meaning or intent of the

Bidding Documents are to be directed to Engineer. Interpretations or clarifications considered necessary by Engineer in response to such questions will be issued by Addenda mailed or delivered to all parties recorded by Engineer as having received the bidding Documents. Questions received less than ten days prior to the date for opening of Bids may not be answered by formal written Addenda will be binding. Oral and other interpretations or clarifications will be without legal effect.

6.2 Addenda may also be issued to modify the Bidding Documents as deemed advisable by Owner or Engineer.

6.3 Addenda, if issued, will be mailed at least three days prior to bid date to each bidder recorded by the Engineer as having received, be available for inspection as listed in "Invitation to Bid".

7. Bid Security7.1 Each Bid shall be accompanied by a Bid Guarantee, in the form of a bid bond, a certified check, a cashier’s check or a letter of credit, in conformity with the requirements of ORC 153.54 and 153.571 (B). If a bid bond is used, the bond shall be in the full amount of the bid and signed by a Surety company authorized to do business in Ohio, and accompanied by the Surety’s sufficient power of attorney affirming said signature. If a certified check, cashier’s check, or letter of credit is used, the instrument shall be drawn on a solvent bank in an amount not less than ten percent (10%) of the Bid.

7.2 The Bid security of Successful bidder will be retained until such Bidder has executed the agreement, furnished the required contract security and met the other conditions of the Notice of Award, whereupon the Bid security will be returned. If the Successful Bidder fails to execute and deliver the Agreement and furnish the required contract security within fifteen days after the Notice of Award, Owner may annul the Notice of Award and the Bid security of that Bidder will be forfeited. The Bid security of other Bidders Whom Owner believes to have a reasonable chance of receiving the award may be retained by Owner until the earlier of the seventh day after the Effective Date of the Agreement or the thirty-sixth day after the Bid opening, whereupon Bid security furnished by such bidders will be returned. Bid security with Bids which are not competitive will be returned within seven days after the Bid opening.

8. Contract TimesThe number of days within which, or the dates by which,

the Work is to be substantially completed and completed and ready for final payment (or incorporated therein by reference to the attached Bid Form).

9. Liquidated DamagesProvisions for liquidated damages Section 100 General Provisions, Ohio Department of Transportation, Construction and Materials Specifications, 2019

10. Subcontractors, Suppliers andOthers

11.1 If the Supplementary Conditions require the identity of certain Subcontractors, Suppliers and other persons and organizations (including those who are to furnish the principal items of material and equipment) to be submitted to Owner in advance of a specified date prior to the Effective Date of the Agreement, apparent Successful Bidder, and any other Bidder so requested, shall within five days after bid opening submit to Owner, a list of all such Subcontractors, Suppliers and other persons and organizations proposed for those portions of the Work for which such identification is required. Such list shall be accompanied by an experience statement with pertinent information regarding similar projects and other evidence of qualification for each such Subcontractor, Supplier, person or organization if requested by Owner. An Owner or Engineer who after due investigation has reasonable objection to any proposed Subcontractor, Supplier, other person or organization, may before the Notice of Award is given request apparent Successful bidder to submit an acceptable substitute, [select one of two alternatives] in which case apparent Successful Bidder shall submit an acceptable substitute, that Bidder's Bid price will be increased (or decreased) by the difference in cost occasioned by such price adjustment in evaluating Bids and making the contract award.

without an increase in Bid price.

If apparent Successful Bidder declines to make any such substitution, Owner may award the contract to the next lowest Bidder that proposes to use acceptable Subcontractors, Suppliers and other persons and organizations. The declining to make requested substitutions will not constitute grounds for sacrificing the Bid security of any Bidder. Any Subcontractor, Supplier, other person organization listed and to whom Owner or Engineer does not make written objection prior to the

giving of the Notice of Award will be deemed acceptable to Owner and Engineer subject to revocation of such acceptance after the Effective Date of the Agreement as provided in Paragraph 6.06 of the General Conditions.

11.2 In contracts where the Contract Price is on the basis of Cost-of-the-Work Plus a Fee, apparent Successful Bidder, prior to the Notice of Award, shall identify in writing to Owner those portions of the Work that such Bidder proposes to subcontract and after the Notice of Award may only subcontract other portions of the Work with Owner's written consent.

11. Bid Form12.1 The Bid Form is included with the Bidding Documents; additional copies may be obtained from Engineer (or the Issuing Office).

12.2 All blanks on the Bid Form must be completed by printing in ink or by typewriter.

12.3 Bids by corporations must be executed in the corporate name by the president or a vice-president (or other corporate officer accompanied by evidence of authority to sign) and the corporate seal must be affixed and attested by the secretary an assistant secretary. The corporate address and state of incorporation must be shown below the signature.

12.4 Bids by partnerships must be executed in the partnership name and signed by a partner, whose title must appear under the signature and the official address of the partnership must be shown below the signature.

12.5 All names must be typed or printed in black below the signature.

12.6 The Bid shall contain an acknowledgment of receipt of all Addenda (the numbers of which must be filled in on the Bid Form).

12.7 The address and telephone number for communications regarding the Bid must be shown.

12.8 Evidence of authority to conduct business as an out-of-state corporation in the state where the Work is to be performed shall be provided in accordance with Paragraph 3 above. State contractor license number, if any, must also be shown.

12.9 Bidders may submit a Bid for any of the separate sections described in the Contract Documents or any combination of sections as provided for in the Bid Form.

12.10 Bids must be priced on a lump sum basis for the base contract and include a separate price for each alternate described in the Specifications as provided for in the Bid form. The price of the Bid for each alternate will be the amount to be added to or deducted from the price of the base Bid if Owner selects the alternate.

12. Submission of Bids

Bids shall be submitted at the time and place indicated in the Advertisement of Invitation to Bid and shall be enclosed in an opaque sealed envelope, marked with the Project title (and, if applicable, the designated portion of the Project for which the Bid is submitted) and name and address of Bidder and accompanied by the Bid security and other required documents. If the Bid is sent through the mail or other delivery system, the sealed envelope shall be enclosed in a separate envelope with the notation "BID ENCLOSED" on the face of it.

13. Modification and Withdrawal of Bids

13.1 Bids may be modified or withdrawn by an appropriate document duly executed (in the manner that a Bid must be executed) and delivered to the place where Bids are to be submitted at any time prior to the opening of Bids.

13.2 If, within twenty-four hours after Bids are opened, any Bidder files a duly signed, written notice with Owner and promptly thereafter demonstrates to the reasonable satisfaction of Owner that there was a material and substantial mistake in the preparation of its Bid, that Bidder may withdraw its Bids and the Bid security will be returned. Thereafter, that Bidder will be disqualified from further bidding on the Work to be provided under the Contract Documents.

14. Opening of BidsBids will be opened publicly and (unless obviously non-responsive) at the place where Bids are to be submitted.

An abstract of the amounts of the base bids and major alternates (if any) will be made available to Bidders after the opening of Bids.

15. Bids to Remain Subject toAcceptance

All Bids will remain subject to acceptance for sixty days after the day of the Bid opening, but Owner may, in its sole discretion, release any Bid and return the Bid security prior to that date.

16. Award of Contract

16.1 Owner reserves the right to reject any or all Bids, including without limitation the rights to reject any or all nonconforming, non-responsive, unbalanced or conditional Bids and to reject the Bid of any Bidder if Owner believes that it would not be in the best interest of the Project to make an award to that Bidder, whether because the Bid is not responsive or the Bidder is unqualified or of doubtful financial ability or fails to meet any other pertinent standard or criteria established by Owner. Owner also reserves the right to waive all informalities not involving price, time or changes in the Work and to negotiate contract terms with the Successful Bidder. Discrepancies between the multiplication of units of Work and unit prices will be resolved in favor of the unit prices. Discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum. Discrepancies between words and figures will be resolved in favor of the words.

17.1.1 Disqualification of Bidders. Any of the following reasons may be considered as being sufficient for the disqualification of a Bidder and the rejection of his proposal or proposals:

(a) More than one proposal for the same work from an individual, firm, or corporation under the same or different name.

(b) Evidence of collusion among Bidders. Participants in such collusion will receive no recognition as Bidders for any future work of the Owner until any such participant shall have been reinstated as a qualified Bidder.

(c) Bid prices which obviously are materially

unbalanced. Mathematically un-balanced bid prices are those that do not reasonably reflect the cost of the item bid, inclusive of labor, profit, overhead and material costs. Some examples of a mathematically unbalanced are ‘front-end loading’ and ‘covering’ (moving money from one item to another). Bidders must bid at least the cost of the materials for every item bid. Rejection of a bid will result if the Owner or Engineer determines that the bid prices submitted are ‘materially unbalanced’. A bid is materially unbalanced if there is a reasonable doubt that the award to the bidder submitting the mathematically unbalanced bid will result in the lowest ultimate cost to the Owner.

16.2 In evaluating Bids, Owner will consider the qualifications of Bidders, whether or not the Bids comply with the prescribed requirements, and such alternates, unit prices and other data, as may be requested in the Bid Form or prior to the Notice of Award.

16.3 Owner may consider the qualifications and experience of Subcontractors, Suppliers, and other persons and organizations proposed for those portions of the Work as to which the identity of Subcontractors, Suppliers, and other persons and organizations must be submitted as provided in the Supplementary Conditions. Owner also may consider the operating costs, maintenance requirements, performance data and guarantees of major items of materials and equipment proposed for incorporation in the Work when such data is required to be submitted prior to the Notice of Award

16.4 Owner may conduct such investigations as Owner deems necessary to assist in the evaluation of any Bid and to establish the responsibility, qualifications and financial ability of Bidders, proposed Subcontractors, Suppliers and other persons and organizations to perform and furnish the Work in accordance with the Contract Documents to Owner's satisfaction within the prescribed time.

16.5 If the contract is to be awarded, it will be awarded to lowest Bidder whose evaluation by Owner indicates to Owner that the award will be in the best interests of the Project.

16.6 If the contract is to be awarded. Owner will give Successful Bidder a Notice of Award within sixty (60) days after the day of the Bid opening.

17. Contract Security

The successful bidder shall furnish a performance bond in an amount equal to 100% of their bid.

18. Signing of AgreementWhen Owner gives a Notice of Award to the Successful bidder, it will be accompanied by the required number of unsigned counterparts of the Agreement with all other written Contract Documents attached. Within fifteen days thereafter Contractor shall sign and deliver the required number of counterparts of the Agreement and attached documents to Owner with the required Bonds. Within ten days thereafter Owner shall deliver one fully signed counterpart to Contractor. Each counterpart is to be accompanied by a complete set of the Drawings with appropriate identification.

19. Prebid ConferenceOwner reserves the right to call a prebid conference. Plan holders will be notified of the meeting and notice will also be posted on the Williams County Web Page at: www.williamscountyoh.gov

20. Sales and Use TaxesThis project is exempt from sales tax.

21. RetainageProvisions concerning retainage and Contractors' rights to deposit securities in lieu of retainage are set forth in the Agreement.

22. Prevailing WagesIn accordance with Item 01900, the Federal Davis Bacon Wage Rates will be applicable to this project, and all bidders shall ensure that their bids have met the requirements. An addendum may be issued to plan holders and posted on the web page to notify a change of wage rates for the project. Wage Rates for the Contract will be the most recent determination in effect on the bid date, as posted on the Federal Wage Determination Web Page.

projects, for mechanics and laborers is included and shall constitute the minimum hourly wage paid to workmen for the duration of the contract. Prior to final payment, the contractor must file an affidavit with the Engineer attesting to the contractor’s compliance of this requirement. The contractor and subcontractors shall provide the prevailing wage coordinator a schedule of the pay dates and a certified copy of all payrolls during the life of the contract.

23. Campaign ContributionCompliance

The successful bidder will be required to complete documentation certifying Compliance with Sections 3517.13 of the Ohio Revised Code.

24. SafetySection 107.01 of the Specifications requires, among other things, compliance with Chapter 4121:1-3 of the Ohio Administrative Code entitled "Specific Safety Requirements of the Industrial Commission of Ohio relating to Construction," effective November 1, 1979, and with the "Federal Occupational Safety and Health Act of 1970 and Code of Federal Regulations, Title 29, Chapter XVII, Part 1926."

NOTICE TO BIDDERS

Sealed proposals will be received by the Williams County Board of Commissioners (Board) for the following:

Fall 2020 HCL Fiber Service Project

The Williams County Board of Commissioners are seeking bids from qualified vendors to provide dark fiber network connectivity to one or multiple county facilities.

Bid Specifications, Bid Forms, Q&A, and Instructions are being made available online at https://www.williamscountyoh.gov/Bids.aspx or upon request through the Board of Commissioners [email protected].

Bids must be received no later than September 24th, 2020 at 10:00 AM EST at the Williams County Commissioners Office, One Courthouse Square, Bryan, OH 43506. Bids will be opened September 24th at 10:00 AM. The submitted bids shall be clearly marked “FALL 2020 HCL Fiber Service Project” on the front of the envelope or the top of the package that encloses the bid documents.

Each proposal must contain the full name of the party or parties submitting the proposal and all persons interested therein. Each bidder is required to furnish with their proposal a Bid Guaranty and Contract Bond which complies with Section 153.571 of the Ohio Revised Code. The Bid Specifications document contains the Bid Guaranty and Contract Bond to be completed.

The Williams County Commissioners Office reserves the right to reject any and all bids, or to increase or decrease or omit any items, or to waive any informality in any bid(s), and to award the contract to the lowest and best bidder in accordance with Section 307.86 of the Ohio Revised Code as determined by the Williams County Board of Commissioners.

1. PROJECT INFORMATION

1-A. Purpose and Scope of Work

The purpose of this request is to receive competitive bids to provide the requirements described in the following specifications. The Board is not liable for any costs incurred by the respondents in the preparation and submission of this bid. This BID does not constitute a contract for services performed or to be performed.

The Board is seeking to improve connectivity to county facilities for the services below to reduce long-term costs for Internet, video streaming services, and phone service. To that end, the Board is seeking a vendor within a 50-mile radius of Bryan, Ohio.

1.A.1. FiberThe Board is looking for a Dark Fiber Optic connection from a splice point at theintersection of Williams County Road I & Williams County Road 13 to the datacloset within the Hillside County Living Main Distribution Closet. Fiber needs toremain underground where feasible.

1-B. General Instructions

The bid shall be submitted in a sealed envelope to:

The submitted bids shall be clearly marked “FALL 2020 HCL FIBER SERVICE PROJECT” on the front of the envelope or the top of the package that encloses the bids. All submitted bids shall be submitted to the Williams County Board of Commissioners Office where they shall remain sealed and held until the time of the public bid opening. Bids must be received at the above address no later than September 23rd, 2020 at 4:00 PM EST to be considered. All respondents must furnish the Commissioners Office with five (5) complete printed copies of the bid. Bids received after the scheduled receipt date and time will not be accepted and will be marked "Late" and may be returned to the bidder. All bids and materials submitted become the property of the Williams County Board of Commissioners and will not be returned. Williams County is not responsible for any cost incurred by the vendors in seeking this award. Pursuit of this contract shall be borne by the vendor.

Faxed or emailed bids will not be considered. The bid document must be signed with an original ink signature by the person authorized to sign the bid. The Williams County Board of Commissioners reserve the right to accept any bid, to reject any bid or all bids, to waive irregularities and/or informalities in any bid, to increase or decrease or omit any item or items, and to make the award in any manner deemed in the best interest of

Williams County. The selection decision will be based upon the Williams County Board of Commissioners judgment of relevant criteria listed in section 1-C.

3. Questions and Clarifications Regarding the BID: Vendors shall submit all questionsin writing or via email exclusively to the Williams County Commissioners Office. 4. Bid Guaranty and Contract Bond Required: As required by State law, any bidsubmitted in response to this BID shall be accompanied by a bid guaranty in the formof a bond or a certified check, cashier’s check, or a money order made out toWilliams County Board of Commissioners from a solvent bank or savings and loanassociation. The bid guaranty shall conform to R.C. §153.54. The bid guaranty mustbe valid for a minimal period of ninety (90) days after the date of opening or until acontract is signed, whichever is shorter. Once a contract has been signed by boththe Williams County Board of Commissioners and selected vendor, the bid guarantyand contract bond of the vendors who were not selected will be returned to thosevendors upon request.

5. State Taxes: The Williams County Board of Commissioners are exempt from allsales, excise, and transportation taxes, except the State of Ohio gasoline tax. The

price or prices bid shall be exclusive of all such taxes and will be so construed. The Williams County Board of Commissioners will provide documentation of its exemption.

6. Subcontractors: The use of subcontractors will be permitted on this project.

7. Non-Discrimination Practices: The vendor shall agree that it shall not discriminate inany manner based on sex, race, color, age, religion, national origin, or ancestry ofany person.

8. Payment Schedule: The Williams County Board of Commissioners and theselected vendor will determine a payment schedule at the time of contractnegotiations with the selected firm.

9. Project Time Frame: The Williams County Board of Commissioners require that theproject be completed by November 30th, 2020 at the latest.

10. Bid Opening: All bids received will remain sealed until the bid opening. The bids will be opened on September 24th at 10:00 AM EST in the Board of Commissioners Board Room, located at One Courthouse Square, Bryan OH 43506. At that time, Bids will be opened and logged. Bids will not be available for public viewing during the bid review and vendor selection process. Respondents are not required to be present at the bid opening.

11. Insurance & Workers Compensation: The Williams County Commissioners Officewill require the selected firm to maintain liability and workers compensationinsurance throughout the term of the contract. The company shall saveharmless the Williams County Board of Commissioners and its officers or agentsfrom all claims, demands, payments, suits, actions, recoveries, and judgementsof every kind brought against it by reason of act or omission of the company.The selected company will be required to provide proof of insurance at the timeof selection.

12. Valuable Papers Insurance: The selected vendor or shall carry valuable papersinsurance in an amount sufficient to cover all claims on any data and informationwhich belong to the Williams County Board of Commissioners and is in the vendor’spossession, all work products and deliverable items covered in the contract. Theselected vendor will be required to provide proof of insurance at the time ofselection.

13. Licenses, Permits, and Regulations: Permits and licenses necessary for theprosecution of the project shall be secured and paid for as part of the project. Thevendor shall include any licensing, permit, and regulatory costs in the overallproposal. Any reoccurring costs pertaining to Licenses, Permits, and Regulationsmust be revealed as a part of the proposal.

14. Tie Bids: If two or more bids are determined by the Williams County Board ofCommissioners to be equally qualified, the Williams County Board ofCommissioners will invite each equally qualified bidder to make a presentationwhich the Williams County Board of Commissioners will use to determine the bidderto be awarded the project. The bidder shall solely be responsible for all costs

associated with the presentation.

15. Method of Bidding: Bids are solicited for the services requested as described in thespecifications. Bids shall be submitted on a lump sum only bid for the entire project

16. Examination of Sites: Bidders are required to satisfy themselves by personalexamination at the sites of the service, and by examination and study of the contractdocuments as to the conditions existing and difficulties likely to be encountered in theinstallation of services. No plea of ignorance, as a result of failure to make suchexaminations on the part of the Vendor, will be accepted as an excuse for failure tofulfill the provisions of the Contract.

17. Drug Free Work Place: The Vendor must be enrolled and in good standing in theOhio Bureau of Workers’ Compensation Drug-Free Workplace (DFWP) DiscountProgram or a similar program approved by the Bureau of Workers’ Compensationwithin eight (8) days of the bid opening.

18. Notice of Delinquent Taxes: Within ten (10) days after the award of the Contract, thebidder shall submit to the Williams County Board of Commissioners an affidavitstating either that he owes no delinquent taxes or that he does owe delinquenttaxes and the amount. If the bidder owes such taxes, a copy of the statement willbe sent to the Williams County Treasurer within thirty (30) days. A copy of thestatement will be attached to the Contract. No payment will be made on theContract without such a statement.

19. Liability Insurance and Builders Risk Insurance: From the date of thecommencement of the Improvements until the date of final completion of allinstallation of services by Vendor on the site(s), Vendor shall purchase and maintaincommercial general liability insurance. See Article 8 of the proposed Contractdocument for further details.

1-C. Selection Criteria

The Williams County Board of Commissioners will select a firm which they determine to be capable of providing a high-quality service at a reasonable cost, in accordance with Section 307.86 of the Ohio Revised Code.

The following is a partial list of criteria which will be used to evaluate bids: experience and personnel qualifications, compliance with BID instructions, costs, delivery schedules, fee distribution, knowledge and technical expertise, subcontractor details, proposed procedures, and references. The Williams County Board of Commissioners reserves the right to reject any bid and all bids, or to increase or decrease or omit any item or items, or to waive any informality in any bid(s), and to award the contract to the lowest and best bidder in accordance with Section 307.86 of the Ohio Revised Code as determined by the Williams County Board of Commissioners.

1-D. Bid Content

All bids must follow the same format. No exceptions to this format will be accepted, and all sections of the format must be clearly addressed in order for a bid to be accepted for evaluation. The purpose of the required format is to simplify the bid evaluation processes and to ensure that all bids receive the same orderly review.

1-E. Bid Content Details

1. Cover Letter: Provide a cover letter introducing the document as to its contentand purpose. The cover letter should also identify the individual within yourorganization who will respond to questions the Williams CountyCommissioners may have regarding your bid. Include title, phone number,fax number, email address and address where this person may be contacted.Also include specific highlights of your firm in your bid.

2. Project Service Plan/Technical Approach: This section is intended to be theheart of the bid and should reflect the vendor's knowledge and experiencewith the complete methodologies, equipment, hardware, and softwarenecessary to complete the project scope of work.

3. Project Schedule: The vendor must complete the Project Schedule for servicecompletion.

4. Proposed Service Maps: For several of the connections, the vendor is beingasked to provide the route for all portions of the service connection. Thevendor must submit complete fiber route maps in .KMZ format, designatingunderground sections in Blue and aerial sections in Red.

5. References for Similar Projects and Firm Financial Background: Include asummary description of at least 3 prior similar projects that exhibits yourfirm's experience and capabilities. Include the client name, organization, andcontact person (with a current phone number and email address) that theWilliams County Board of Commissioners may contact for referencepurposes. Also, the vendor must provide a current company financialstatement.

6. Cost Bid Form: The vendor must complete the Cost Bid Form included with

Bidders are advised that there are no plans to relocate any existing utilities.

Article 3. Contract Times3.1

3.2 Liquidated Damages. OWNER and CONTRACTOR recognize that time is of the essence of this Agreement and that OWNER will suffer financial loss if the Work is not completed within the times specified in paragraph 3.1 above, plus any extensions thereof allowed in accordance with Article 12 of the General Conditions. They also recognize the delays, expense and difficulties involved in proving the actual loss suffered by OWNER if the Work is not completed on time. Article 5. Payment ProceduresCONTRACTOR shall submit Applications for Payment on a monthly basis. Applications for Payment will be processed by ENGINEER as provided in the General Conditions.

5.1 Progress Payments; Retainage. OWNER shall make progress payments on account of the Contract Price on the basis of CONTRACTOR's Applications for Payment as recommended by ENGINEER, on or about the 20th day each month during construction as provided in paragraphs 5.1.1 and 5.1.2 below. All such payments will be subject to Unit Price Work based on the number of units completed.

5.1.1 For Cost of Work: Progress payments on account of the Cost of the Work will be made.

5.1.2 Progress payments will be made in an amount equal to the Units or Percentage completed, but, in each case, less the aggregate of payments previously made and less such amounts as ENGINEER shall determine, or OWNER may withhold, 8% of ALL work completed up to 50% completion of the contact amount.

5.1.3 OWNER may pay, 75% of ALL stored materials. (2019 CMS – 109.10)

Article 6. Contractor's RepresentationsIn order to induce OWNER to enter into this Agreement CONTRACTOR makes the following representations:

6.1 CONTRACTOR has examined and carefully studied the Contract Documents (including the Addenda listed in paragraph 13) and the other related data identified in Bidding Documents including "technical data."

6.2 CONTRACTOR has visited the site and become familiar with and is satisfied as to the general, local and site conditions that may affect cost, progress, performance or furnishing of the Work.

6.3 CONTRACTOR is familiar with and is satisfied as to all federal, state and local laws and regulations that may affect cost, progress, performance and furnishing of the Work.

6.4 CONTRACTOR has carefully studied all reports of explorations and tests of subsurface conditions at or contiguous to the site and all drawings of physical conditions in or relating to existing surface or subsurface structures at or contiguous to the site been identified in the Supplementary Conditions. CONTRACTOR acknowledges that such reports and drawings are not Contract Documents and may not be complete for CONTRACTOR's purposes. CONTRACTOR acknowledges that OWNER and ENGINEER do not assume responsibility for the accuracy or completeness of information and data shown or indicated in the Contract Documents with respect to Underground Facilities at or contiguous to the site. CONTRACTOR has obtained and carefully studied (or assumes responsibility for having done so) all such additional supplementary examinations, investigations, explorations, tests, studies and data concerning conditions (surface, subsurface and Underground Facilities) at or contiguous to the site or otherwise which may affect cost, progress, performance or furnishing of the Work or which relate to any aspect of the means, methods, techniques, sequences and procedures of construction to be employed by CONTRACTOR and safety precautions and programs incident thereto. CONTRACTOR does not consider that any additional examinations, investigations, explorations, tests, studies or data are necessary for the performance and furnishing of the Work at the Contract Price, within the Contract Times and in accordance with the other terms and conditions of the Contract Documents.

6.5 CONTRACTOR is aware of the general nature of work to be performed by OWNER and others at the site that relates to the Work as indicated in the Contract Documents.

6.6 CONTRACTOR has correlated the information known to CONTRACTOR, information and observations obtained from visits to the site, reports and drawings identified in the Contract Documents and all additional examinations, investigations, explorations, tests, studies and data with the Contract Documents.

6.7 CONTRACTOR has given ENGINEER written notice of all conflicts, errors, ambiguities or discrepancies that CONTRACTOR has discovered in the Contract Documents and the written resolution thereof by ENGINEER is acceptable to CONTRACTOR, and the Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work.

Article 7. Accounting Records

CONTRACTOR shall check all materials, equipment and labor entering into the Work and shall keep such full and detailed accounts as may be necessary for proper financial management under this Agreement, and the accounting methods shall be satisfactory to OWNER. OWNER shall be afforded access to all CONTRACTOR's records, books, correspondence, instructions, drawings, receipts, vouchers, memoranda and similar data relating to the Cost of the Work and CONTRACTOR's fee. CONTRACTOR shall preserve all such documents for a period of three years after the final payment by OWNER.

Article 8. Contract Documents

The Contract Documents which comprise the entire agreement between OWNER and CONTRACTOR concerning the Work consist of the following:

Article 9. Miscellaneous

9.1 Terms used in this Agreement, which are defined in 100 General Provisions, Ohio Department of Transportation, Construction and Material Specification, 2016.

9.2 No assignment by a party hereto of any rights under or interests in the Contract Documents will be binding on another party hereto without the written consent of the party sought to be bound; and, specifically but without limitation, moneys that may become due and moneys that are due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment no assignment will release or discharge the assignor from any duty or responsibility under the Contract Documents.

9.3 OWNER and CONTRACTOR each binds itself, its partners, successors and legal representatives to the other party hereto, its partners, successors, assigns and legal representatives in respect to all covenants, agreements and obligations contained in the Contract Documents.

9.4 Any provision or part of the Contract Documents held to be void or unenforceable under any Law or Regulation shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon OWNER and CONTRACTOR, who agree that the Contract Documents shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision.

These supplementary conditions amend or supplement the standard General Conditions of the Construction Contract.

Article 1. Bonds & Insurance

CONTRACTOR'S LIABILITY INSURANCE:

The CONTRACTOR shall secure and maintain in effect at all times, at his expense, insurance of the following kinds

and limits, with OWNER to be named as additionally insured thereon, to cover all locations of the CONTRACTOR'S

operations in connection with work on the OWNER's project.

A. The limits of liability for the insurance required shall provide coverage for not less than the following amount

or greater where required by Laws and Regulations:

1. Workmen's Compensation and Employer's Liability covering employees of the CONTRACTOR:

a. Workmen's Compensation with statutory limits of liability, and in States with limited

medical benefits, additional medical payments of at least $500,000.00 per employee;

b. Employer’s Liability with a limit of liability of at least $500,000.00 per accident or disease.

2. Public Liability Insurance covering the CONTRACTOR'S legal liability for bodily injuries, in limits of not less

than $1,000,000.00 per person and $2,000,000.00 per occurrence and for property damage of not less than

$1,000,000.00 per accident and $2,000,000.00 aggregate, and covering at least the following hazards:

a. CONTRACTOR'S Premises and Operations;

b. CONTRACTOR’S Protective for his legal liability in connection with SUB-CONTRACTOR'S

operations;

c. Completed Operations Insurance in effect at all times for at least one year following the final

completion and acceptance of his work by the OWNER.

3. Automobile Liability Insurance for bodily injuries in limits of not less than $1,000,000.00 per person and

$2,000,000.00 per accident for property damage of not less than $1,000,000.00 per accident, providing

coverage for any accident arising out of resulting from the operation, maintenance or use by

CONTRACTOR of any owned, non-owned or hired automobiles, trailers of other equipment required to be

licensed.

4. Direct Damage Insurance. The CONTRACTOR shall secure and maintain in effect at all times, at his

expense, extended coverage, and vandalism and malicious mischief insurance to cover the work from the

time of insurable exposure until the work is accepted by the OWNER. The amount of insurance shall be

the full insurable value of the work as determined by the OWNER. Such insurance is to be written in

accordance with the standard "Builders' Risk Completed Value Form" of the State in which the work is

located. The policy(s) shall name both the OWNER and the CONTRACTOR as insured as their interests

may appear. The original policy(s) shall be furnished to the OWNER prior to the existence of insurable

exposure as determined by the OWNER.

B. No certificate shall be acceptable to the OWNER unless it provides that any change or termination within

the policy periods of the insurance coverages, as certified, shall not be effective within ten (10) days prior to

written notice to the OWNER. In addition, the OWNER'S Protective Policy shall contain the following

provisions:

1. The presence of the OWNER'S ENGINEERS, ODOT ENGINERS or their agents on the site of the work

shall not invalidate the policy of insurance;

2. The policy shall not be invalidated by reason of any violation by CONTRACTOR of any of the terms of any

policy issued;

3. A breach of warranty by the CONTRACTOR shall not negate any insurance coverage provided to the

OWNER or ODOT as additional insured.

Article 2. TaxesOWNER is exempt from State Sales and Use Taxes on materials and equipment to be incorporated in the work.

Said taxes shall not be included in the contract price.

PART 1 GENERAL

1.01 Definition - Change Order A. See the General Conditions, CMS 109.

1.02 Reference A. Refer to the General Conditions, - Changes in the Work.

1.03 Submittals A. Submit to Project Manager, the name of the individual authorized to receive change documents

for the Prime Contractor. The same person will be responsible for informing all Subcontractors of changes to the Work.

1.04 Documentation of Change in Contract Sum/Price and Contract TimeA. Maintain detailed records of work done on a time and material basis. Provide full information

required for evaluation of proposed changes, and to substantiate costs of changes in Work.

B. Document each quotation for a change in cost or time with sufficient data to allow evaluation of the quotation.

C. Upon request, provide additional data to support computations: 1. Quantities of products, labor, and equipment.2. Taxes, insurance and bonds.3. Overhead and profit.4. Justification for any change in Contract Time.5. Credit for deletions from Contract, similarly documented.

D. Support each claim for additional costs, and for work done on a time and material basis, with additional information: 1. Origin and date of claim.2. Dates and times work was performed, and by whom.3. Time records and wage rates paid.4. Invoices and receipts for products, equipment, and subcontracts, similarly documented.

1.05 Change Order ProceduresA. The Project Manager will advise Contractor and Owner of minor changes in the Work not

involving an adjustment to Contract Sum/Price or Contract Time by issuing supplemental instructions or field directive.

B. The Project Manager may issue a Proposal Request which includes a detailed description of a proposed change with supplementary or revised Drawings and Specifications, a change in Contract Time for executing the change with a stipulation of any overtime work required and the period of time during which the requested price will be considered valid. Contractor shall prepare and submit to Project Manager an estimate within 7 days after receipt of said material.

C. The Contractor may propose a change by submitting a request for change to the Project Manager, describing the proposed change and its full effect on the Work, with a statement describing the reason for the change, and the effect on the Contract Sum/Price and Contract Time with full documentation and a statement describing the effect on Work by separate or other Contractors. The Contractor will not be reimbursed for any costs born by the Contractor, associated with submitting the proposed change (i.e., Drawings, Document Preparation, etc.).

1.06 Construction Change AuthorizationA. The Project Manager may issue a directive, signed by the Owner, instructing the Contractor to

proceed with a change in the Work, for subsequent inclusion in a Change Order.

B. The document will describe changes in the Work, and will designate method of determining any changes in Contract sum/Price or Contract Time.

C. Promptly execute the change in Work.

1.07 Stipulated Sum Change OrderA. Based on Proposal Request and Contractor's fixed price quotation or Contractor's request for a

Change Order as approved by the Project Manager.

1.08 Unit Price Change OrderA. For pre-determined unit prices and quantities, the Change Order will be executed on a fixed unit

price basis.

B. For unit costs or quantities of units of work, which are not pre-determined, execute Work under a Construction Change Authorization.

C. Changes in Contract Sum/Price or Contract Time will be computed as specified for Time and Material Change Order.

1.09 Time and Material Change OrderA. Submit itemized account and supporting data after completion of change, within time limits

indicated in the Conditions of the Contract.

B. Engineer will determine the change allowable in Contract Sum/Price and Contract Time as provided in the Contract Documents.

C. Maintain detailed records of work done on Time and Material basis.

D. Provide full information required for evaluation of proposed changes, and to substantiate costs for changes in the Work.

1.10 Execution of Change Orders A. Engineer will issue Change Orders for signatures of parties as provided in the General Conditions.

B. No work for which a change in contract sum or contract time is anticipated shall be performed without a directive issued first.

1.11 Correlation of Contractor SubmittalsA. Promptly revise Application for Payment forms to record each authorized Change Order as a

separate line item and adjust the Contract Sum/Price.

B. Promptly revise progress schedules to reflect any change in Contract Time, revise sub-schedule to adjust time for other items of work affected by the change, and resubmit.

C. Promptly enter changes in Project Record Documents.

WILLIAMS COUNTY COMMISSIONERS OFFICE DISPUTE RESOLUTION AND ADMINISTRATIVE CLAIM PROCESS

The Williams County Dispute Resolution and Claim Process is premised on the partnering approach to construction administration and must be adhered to by the Contractor in order to resolve disputes on the project and in order to seek additional compensation or contract time from Williams County in the form of an Administrative Claim.

Disputes and Claims Disputes include disagreements, matters in question, and difference of opinion between Williams County’s personnel and the Contractor. Claims are disputes that are not settled through Steps 1 and 2 of the Dispute Resolution and Administrative Claim Process and for which the Contractor has documented costs or time incurred as a result of such disputes.

Disputes and claims by subcontractors and suppliers may be pursued by the Contractor on behalf of subcontractors or suppliers. Disputes and claims of subcontractors and suppliers against the Contractor will not be reviewed by Williams County. Disputes and claims by subcontractors and suppliers against Williams County but not supported by the Contractor will not be reviewed by Williams County.

Disputes and claims subject to review by Williams County include:

1. Interpretation of specifications, standard drawings, plans, proposal, working drawings, change ordersauthorized by the Williams County Commissioners, and orders by Williams County personnel havingauthority over the project.

2. Differing site conditions as defined in CMS 104.02.B.

3. Cost and time incurred by:a. Suspension of the work pursuant to CMS 104.02.Cb. Significant changes in character of the work pursuant to CMS 104.02.Dc. Utility interference with the work pursuant to CMS 105.07 and Utility notes.d. Extra work ordered pursuant to CMS 104.02.F and Item 01028 Change Orders.e. Acts or inaction of Williams County or other government agencies.

4. Adequacy and constructability of the plan design.

5. Contract time extensions due to weather, shortages of labor, equipment, or materials, or other causesbeyond the Contractor’s control as defined in CMS 108.06 and Item 01028 Change Orders.

6. Other subjects mutually agreed upon by Williams County and the Contractor to be within the scope of theDispute Resolution and Administrative Claim Process.

Process The Contractor must exhaust Williams County’s Dispute Resolution and Administrative Claim Process prior to seeking additional compensation or contract time by filing an action in a Williams County Court. The following procedures do not compromise the Contractor’s right to seek relief in any appropriate Court in Williams County.

All parties in the dispute must adhere to the Dispute Resolution and Administrative Claim process. Williams County personnel involved in second step reviews will not consider a dispute until the previous step has properly reviewed the dispute and issued a decision. The Contractor’s personnel shall not contact Williams County personnel involved in a second step review until a decision has been issued by the previous step.

Failure to meet any of the timeframes outlined below or to request an extension may terminate further review of the dispute and may serve as a waiver of the Contractor’s right to file a claim.

Continuation of Work. The Contractor shall continue with all Work, including that which is in dispute. The Owner will continue to pay for Work.

Step 1 (On-Site Determination). The Field Engineer shall meet with the Contractor’s superintendent within two (2) working days of receipt of the Contractor Written Early Notice set forth in CMS 104.02.G. They shall review all pertinent information and contract provisions and negotiate in an effort to reach a resolution according to the Contract Documents. The Field Engineer or Project Manager will issue a written decision of Step 1 within fourteen (14) calendar days of the meeting. If the dispute is not resolved, the Contractor must either abandon or escalate the dispute to Step 2.

Step 2 (District Dispute Resolution Committee). Within seven (7) calendar days of receipt of the Step 1 decision, the Contractor must submit a written request for a Step 2 meeting to the Field Engineer. The Field Engineer will assign the dispute a dispute number. The dispute number will consist of the Owner’s project number, followed by a hyphen and then the number of disputes on this project that this dispute represents. Within fourteen (14) calendar days of receipt of the request for a Step 2 meeting, the Contractor shall submit the Dispute Documentation as follows:

1. The Contractor shall submit three (3) complete copies of the documentation of the dispute to the WilliamsCounty Commissioners.

2. The Dispute Documentation shall be identified on a cover page by county, project number, Contractorname, subcontractor or supplier if involved in the dispute, and dispute number.

3. The Dispute Documentation shall be an original document that clearly and in detail gives the requiredinformation for each item of additional compensation and time extension requested.

4. A narrative of the disputed work or project circumstance at issue. This section must include the dates ofthe disputed work and the date of early notice.

5. References to the applicable provisions of the plans, specifications, proposal, or other contract documents.Copies of the cited provisions shall be included in the Dispute Documentation.

6. The dollar amount of additional compensation and length of contract time extension being requested.

7. The cost and supporting documents that served as the basis for the requested compensation stated innumber six (6) above.

8. A detailed schedule analysis must be included in the Dispute Documentation for any dispute concerningadditional contract time, actual or constructive acceleration, or delay damages. At a minimum, theschedule analysis must include the Schedule Update immediately preceding the occurrence of thecircumstance alleged to have caused delay and must comply with accepted industry practices. Failure tosubmit the required schedule analysis will result in the denial of that portion of the Contractor’s request.

9. Copies of relevant correspondence and other pertinent documents.

Williams County shall establish a Dispute Resolution Committee (DRC) which shall be responsible for hearing and deciding disputes at the Step 2 level. The DRC shall consist of the Project Manager, the Williams County IT Manager, or designees as determined by the Williams County IT Manager. (Who may include a representative of Owner).

To prepare for the DRC meeting, the IT Manager will create a file on the dispute and assign a person to review and manage the dispute. When submitting the Claim Documentation, the Contractor must certify the claim in writing. Such certification shall attest to the following:

1. The claim is made in good faith.

2. To the best of the Contractor's knowledge, all data offered to support the claim is accurate and complete.

3. The claim amount accurately reflects the Contractor's actual incurred costs and additional time impacts.

4. This claim certification shall also be notarized pursuant to the laws of the State of Ohio.

The following is an example of the correct form for a claim certification: (The Contractor) certifies that this claim is made in good faith, that all supporting data is accurate and complete to the best of (the Contractor's) knowledge and belief, and that the claim amount accurately reflects the contract amendment for which (the Contractor) believes Williams County is liable.

The DRC shall meet with the Contractor at the office of the Williams County COMMISSIONERS and consider the dispute within fourteen (14) calendar days of receipt of the Contractor’s Dispute Documentation. The DRC may disagree with the entire claim, may agree in part to resolution of parts of the claim, or may agree with the claim in its entirety. In the event that the dispute is not resolved, the Contractor must either abandon the claim or unresolved part therein or escalate the dispute to Step 3.

Step 3 (Remedy Through the Courts).

In the event that there is no resolution to the dispute, the Contractor may continue the claim through proper legal proceedings in the appropriate Williams County Court.

In the cases below, the following person must give Form W-9 to the partnership for purposes of establishing its U.S. status and avoiding withholding on its allocable share of net income from the partnership conducting a trade or business in the United States:

• In the case of a disregarded entity with a U.S. owner, the U.S. owner of the disregarded entity and not the entity,

• In the case of a grantor trust with a U.S. grantor or other U.S. owner, generally, the U.S. grantor or other U.S. owner of the grantor trust and not the trust, and

• In the case of a U.S. trust (other than a grantor trust), the U.S. trust (other than a grantor trust) and not the beneficiaries of the trust.

Foreign person. If you are a foreign person or the U.S. branch of a foreign bank that has elected to be treated as a U.S. person, do not use Form W-9. Instead, use the appropriate Form W-8 or Form 8233 (see Publication 515, Withholding of Tax on Nonresident Aliens and Foreign Entities).

Nonresident alien who becomes a resident alien. Generally, only a nonresident alien individual may use the terms of a tax treaty to reduce or eliminate U.S. tax on certain types of income. However, most tax treaties contain a provision known as a “saving clause.” Exceptions specified in the saving clause may permit an exemption from tax to continue for certain types of income even after the payee has otherwise become a U.S. resident alien for tax purposes.

If you are a U.S. resident alien who is relying on an exception contained in the saving clause of a tax treaty to claim an exemption from U.S. tax on certain types of income, you must attach a statement to Form W-9 that specifies the following five items:

1. The treaty country. Generally, this must be the same treaty under which you claimed exemption from tax as a nonresident alien.

2. The treaty article addressing the income.

3. The article number (or location) in the tax treaty that contains the saving clause and its exceptions.

4. The type and amount of income that qualifies for the exemption from tax.

5. Sufficient facts to justify the exemption from tax under the terms of the treaty article.

Example. Article 20 of the U.S.-China income tax treaty allows an exemption from tax for scholarship income received by a Chinese student temporarily present in the United States. Under U.S. law, this student will become a resident alien for tax purposes if his or her stay in the United States exceeds 5 calendar years. However, paragraph 2 of the first Protocol to the U.S.-China treaty (dated April 30, 1984) allows the provisions of Article 20 to continue to apply even after the Chinese student becomes a resident alien of the United States. A Chinese student who qualifies for this exception (under paragraph 2 of the first protocol) and is relying on this exception to claim an exemption from tax on his or her scholarship or fellowship income would attach to Form W-9 a statement that includes the information described above to support that exemption.

If you are a nonresident alien or a foreign entity, give the requester the appropriate completed Form W-8 or Form 8233.

What is backup withholding? Persons making certain payments to you must under certain conditions withhold and pay to the IRS a percentage of such payments. This is called “backup withholding.” Payments that may be subject to backup withholding include interest, tax-exempt interest, dividends, broker and barter exchange transactions, rents, royalties, nonemployee pay, payments made in settlement of payment card and third party network transactions, and certain payments from fishing boat operators. Real estate transactions are not subject to backup withholding.

You will not be subject to backup withholding on payments you receive if you give the requester your correct TIN, make the proper certifications, and report all your taxable interest and dividends on your tax return.

Payments you receive will be subject to backup withholding if:

1. You do not furnish your TIN to the requester,

2. You do not certify your TIN when required (see the Part II instructions on page 3 for details),

3. The IRS tells the requester that you furnished an incorrect TIN,

4. The IRS tells you that you are subject to backup withholding because you did not report all your interest and dividends on your tax return (for reportable interest and dividends only), or

5. You do not certify to the requester that you are not subject to backup withholding under 4 above (for reportable interest and dividend accounts opened after 1983 only).

Certain payees and payments are exempt from backup withholding. See Exempt payee code on page 3 and the separate Instructions for the Requester of Form W-9 for more information.

What is FATCA reporting? The Foreign Account Tax Compliance Act (FATCA) requires a participating foreign financial institution to report all United States account holders that are specified United States persons. Certain payees are exempt from FATCA reporting. See Exemption from FATCA reporting code on page 3 and the Instructions for the Requester of Form W-9 for more information.

Updating Your Information

You must provide updated information to any person to whom you claimed to be an exempt payee if you are no longer an exempt payee and anticipate receiving reportable payments in the future from this person. For example, you may need to provide updated information if you are a C corporation that elects to be an S corporation, or if you no longer are tax exempt. In addition, you must furnish a new Form W-9 if the name or TIN changes for the account, for example, if the grantor of a grantor trust dies.

Penalties

Failure to furnish TIN. If you fail to furnish your correct TIN to a requester, you are subject to a penalty of $50 for each such failure unless your failure is due to reasonable cause and not to willful neglect.

Civil penalty for false information with respect to withholding. If you make a false statement with no reasonable basis that results in no backup withholding, you are subject to a $500 penalty.

Criminal penalty for falsifying information. Willfully falsifying certifications or affirmations may subject you to criminal penalties including fines and/or imprisonment.

Misuse of TINs. If the requester discloses or uses TINs in violation of federal law, the requester may be subject to civil and criminal penalties.

Specific Instructions

Name

If you are an individual, you must generally enter the name shown on your income tax return. However, if you have changed your last name, for instance, due to marriage without informing the Social Security Administration of the name change, enter your first name, the last name shown on your social security card, and your new last name.

If the account is in joint names, list first, and then circle, the name of the person or entity whose number you entered in Part I of the form.

Sole proprietor. Enter your individual name as shown on your income tax return on the “Name” line. You may enter your business, trade, or “doing business as (DBA)” name on the “Business name/disregarded entity name” line.

Partnership, C Corporation, or S Corporation. Enter the entity's name on the “Name” line and any business, trade, or “doing business as (DBA) name” on the “Business name/disregarded entity name” line.

Disregarded entity. For U.S. federal tax purposes, an entity that is disregarded as an entity separate from its owner is treated as a “disregarded entity.” See Regulation section 301.7701-2(c)(2)(iii). Enter the owner's name on the “Name” line. The name of the entity entered on the “Name” line should never be a disregarded entity. The name on the “Name” line must be the name shown on the income tax return on which the income should be reported. For example, if a foreign LLC that is treated as a disregarded entity for U.S. federal tax purposes has a single owner that is a U.S. person, the U.S. owner's name is required to be provided on the “Name” line. If the direct owner of the entity is also a disregarded entity, enter the first owner that is not disregarded for federal tax purposes. Enter the disregarded entity's name on the “Business name/disregarded entity name” line. If the owner of the disregarded entity is a foreign person, the owner must complete an appropriate Form W-8 instead of a Form W-9. This is the case even if the foreign person has a U.S. TIN.

Note. Check the appropriate box for the U.S. federal tax classification of the person whose name is entered on the “Name” line (Individual/sole proprietor, Partnership, C Corporation, S Corporation, Trust/estate).

Limited Liability Company (LLC). If the person identified on the “Name” line is an LLC, check the “Limited liability company” box only and enter the appropriate code for the U.S. federal tax classification in the space provided. If you are an LLC that is treated as a partnership for U.S. federal tax purposes, enter “P” for partnership. If you are an LLC that has filed a Form 8832 or a Form 2553 to be taxed as a corporation, enter “C” for C corporation or “S” for S corporation, as appropriate. If you are an LLC that is disregarded as an entity separate from its owner under Regulation section 301.7701-3 (except for employment and excise tax), do not check the LLC box unless the owner of the LLC (required to be identified on the “Name” line) is another LLC that is not disregarded for U.S. federal tax purposes. If the LLC is disregarded as an entity separate from its owner, enter the appropriate tax classification of the owner identified on the “Name” line.

Other entities. Enter your business name as shown on required U.S. federal tax documents on the “Name” line. This name should match the name shown on the charter or other legal document creating the entity. You may enter any business, trade, or DBA name on the “Business name/disregarded entity name” line.

Part I. Taxpayer Identification Number (TIN)

Enter your TIN in the appropriate box. If you are a resident alien and you do not have and are not eligible to get an SSN, your TIN is your IRS individual taxpayer identification number (ITIN). Enter it in the social security number box. If you do not have an ITIN, see How to get a TIN below.

If you are a sole proprietor and you have an EIN, you may enter either your SSN or EIN. However, the IRS prefers that you use your SSN.

If you are a single-member LLC that is disregarded as an entity separate from its owner (see Limited Liability Company (LLC) on page 2), enter the owner’s SSN (or EIN, if the owner has one). Do not enter the disregarded entity’s EIN. If the LLC is classified as a corporation or partnership, enter the entity’s EIN.

Note. See the chart on page 4 for further clarification of name and TIN combinations.

How to get a TIN. If you do not have a TIN, apply for one immediately. To apply for an SSN, get Form SS-5, Application for a Social Security Card, from your local Social Security Administration office or get this form online at www.ssa.gov. You may also get this form by calling 1-800-772-1213. Use Form W-7, Application for IRS Individual Taxpayer Identification Number, to apply for an ITIN, or Form SS-4, Application for Employer Identification Number, to apply for an EIN. You can apply for an EIN online by accessing the IRS website at www.irs.gov/businesses and clicking on Employer Identification Number (EIN) under Starting a Business. You can get Forms W-7 and SS-4 from the IRS by visiting IRS.gov or by calling 1-800-TAX-FORM (1-800-829-3676).

If you are asked to complete Form W-9 but do not have a TIN, apply for a TIN and write “Applied For” in the space for the TIN, sign and date the form, and give it to the requester. For interest and dividend payments, and certain payments made with respect to readily tradable instruments, generally you will have 60 days to get a TIN and give it to the requester before you are subject to backup withholding on payments. The 60-day rule does not apply to other types of payments. You will be subject to backup withholding on all such payments until you provide your TIN to the requester.

Note. Entering “Applied For” means that you have already applied for a TIN or that you intend to apply for one soon.

Caution: A disregarded U.S. entity that has a foreign owner must use the appropriate Form W-8.

Part II. Certification

To establish to the withholding agent that you are a U.S. person, or resident alien, sign Form W-9. You may be requested to sign by the withholding agent even if items 1, 4, or 5 below indicate otherwise.

For a joint account, only the person whose TIN is shown in Part I should sign (when required). In the case of a disregarded entity, the person identified on the “Name” line must sign. Exempt payees, see Exempt payee code earlier.

Signature requirements. Complete the certification as indicated in items 1 through 5 below.

1. Interest, dividend, and barter exchange accounts opened before 1984 and broker accounts considered active during 1983. You must give your correct TIN, but you do not have to sign the certification.

2. Interest, dividend, broker, and barter exchange accounts opened after 1983 and broker accounts considered inactive during 1983. You must sign the certification or backup withholding will apply. If you are subject to backup withholding and you are merely providing your correct TIN to the requester, you must cross out item 2 in the certification before signing the form.

3. Real estate transactions. You must sign the certification. You may cross out item 2 of the certification.

4. Other payments. You must give your correct TIN, but you do not have to sign the certification unless you have been notified that you have previously given an incorrect TIN. “Other payments” include payments made in the course of the requester’s trade or business for rents, royalties, goods (other than bills for merchandise), medical and health care services (including payments to corporations), payments to a nonemployee for services, payments made in settlement of payment card and third party network transactions, payments to certain fishing boat crew members and fishermen, and gross proceeds paid to attorneys (including payments to corporations).

Secure Your Tax Records from Identity Theft

Identity theft occurs when someone uses your personal information such as your name, social security number (SSN), or other identifying information, without your permission, to commit fraud or other crimes. An identity thief may use your SSN to get a job or may file a tax return using your SSN to receive a refund.

Protect yourself from suspicious emails or phishing schemes. Phishing is the creation and use of email and websites designed to mimic legitimate business emails and websites. Privacy Act Notice

PREVAILING WAGE REQUIREMENTS

PLEASE NOTE THIS SECTION CONTAINS THE OWNERS STANDARD PREVAILING WAGE CONTRACT PROVISIONS. ADDITIONAL INFORMATION CAN ALSO BE FOUND IN ITEM 00101, ODOT SECTION 15 AND FHWA SECTION IV. IN MATTERS OF CONFLICT ITEM 00101 WILL PREVAIL.

I. Project #6-2020, 2020 HCL Fiber Service Project is subject to Federal Prevailing Wage Laws and Wage Rates (Davis Bacon). The Contractor and Sub-Contractors are responsible for compliance with the Prevailing Wage Statutes and Regulations.

II. Federal Prevailing Wage Law (Davis Bacon) and Ohio Prevailing Wage Laws differ in manyareas and the Contractor for this project is required to comply with Federal Laws. Differencesinclude but are not limited to the areas of record keeping, payroll reporting, constant rates throughoutthe project, and notice of prevailing wage rates to non-union employees.

III. The PROJECT WAGE RATES are included in this section of bid packet (Exhibit A). Changes in thewage rates during the Bidding process MAY be added to posted wage rates. Wage Rates in effecton the bid date will be issued as the Contract Wage Rates. Wage Rates in Federal projects are notsubject to change during the project as is the case with State of Ohio projects.

IV. Item 01900, Prevailing Wage Requirements, contains excerpts from the Codes, ExampleExhibits, and the Prevailing Wage Rates for the Project. The Codes are not reproduced in theirentirety and the Contractor is responsible for his/her compliance and compliance of all Sub-Contractors and applicable Suppliers.

V. Definitions:

Apprentice means any employee who is enrolled or indentured per trade occupation as a member of a bona fide apprenticeship program, or a person in the first ninety days of probationary employment as an apprentice in such an apprenticeship program who has been certified by the Ohio apprenticeship council or registered with the Ohio apprenticeship council through those states with which Ohio holds reciprocal apprenticeship agreements to be eligible for probationary employment as an apprentice.

Bona Fide Apprenticeship Program means a comprehensive training program registered with the Ohio apprenticeship council or certified by those with which Ohio holds reciprocal apprenticeship agreements.

Employee means any person in the employment of an employer who performs labor or work of the type performed by a laborer, workman, or mechanic in the construction, prosecution, completion or repair of a public improvement and includes owners, partners, supervisors, and working foremen who devote more than twenty per cent of their time during a work week to such labor or work for the time so spent. Employee does not include an individual who is a sole proprietor.

Fringe Benefits means: Medical or hospital care or insurance to provide such; Pensions on retirement or death or insurance to provide such; Compensation for injuries or illnesses resulting from occupational activities if it is in addition to that coverage required by Chapter 4121 and 4123, of the Revised Code; Supplemental unemployment benefits that are in addition to those required by Chapter 4141. of the Revised Code; Life insurance; Disability and sickness insurance; Accident insurance; Vacation and holiday pay; Defraying of costs for apprenticeship or other similar training programs which are beneficial only to the employees affected; Other bona fide fringe benefits.

Prevailing Wage and/or Total Prevailing Wage Rate means the sum of the following: • The basic hourly rate of pay, paid to the employee before deductions, excluding fringe

benefits.• The rate of contribution irrevocably made by an employer to a trustee or to a third person

pursuant to a fund, plan, or program which is communicated in writing to the employeesaffected prior to completion of any project to which sections 4115.03 to 4115.16 of theRevised Code apply;

• The rate of costs to the employer which may be reasonably anticipated in providing FringeBenefits to employees pursuant to an enforceable commitment to carry out a financiallyresponsible plan or program which is communicated in writing to the employees affected priorto completion of any project to which sections 4115.03 to 4115.16 of the Revised Code apply.

VI. Prevailing Wage Notification to Employee – ORC 4115.05. This Notice is not applicable onFederal projects.

VII. Certified Payroll Reports. The initial Original signed certified payroll reports should be sent tothe Owner’s Prevailing Wage Coordinator within two weeks after the first employee pay. Reportsfor Projects scheduled to last less than four months are to be filed weekly after the initial report.Projects scheduled to last longer than four months may submit reports monthly. Certified Payrollreports must be received prior to the processing of monthly pay estimates by the Owner. ASample report is included in this section. The initial and all supplemental payroll reports shallcontain the required information required on Pay Roll Report (WH-347), and an accuratedescription of the nature of the deductions withheld from each employee's wages. Where fringebenefits are paid into a bona fide plan instead of cash, the Contractor should provide a listing ofeach benefit and the amount per hour paid to the program for each employee. The Owner isobligated to report deficiencies. The Prime Contractor much submit weekly reports after theproject begins until all regular work and punch items are completed even if the prime has noemployees on the site that week. Subs are not required to submit “No Work” reports when off site.

VIII. Affidavit of Compliance ̶ Prevailing Wage. The Affidavit is to be completed by the Contractorand all Sub-Contractors. The completed Original signed document should be forwarded to theOwner’s Prevailing Wage Coordinator, upon completion of the work. The Owner will NOT makefinal payment for the work until all Affidavits have been received.

IX. Wage Rate Posting. The Contractor is required to Post in a prominent and accessible place onthe site of the work a legible statement of the schedule of wage rates specified in the contract forthe various occupations of laborers, workmen, and mechanics employed. (Sub-Contractors mustalso have access to the notice.) The notice must remain posted during the life of the contract andmust be supplemented in its entirety whenever new wage rate schedules are issued by thedepartment. The schedule must also state the name, address, and phone number of the prevailingwage coordinator.

X. Penalties for Violation. Contractors may be assessed the wages owed, plus penalties for the wages owed, payable to the employee. The Code also provides for additional penalties as may be imposed by the State of Ohio or the Federal Government.

XI. Public Records. Certified Payrolls, Affidavits, Wage Rates, etc. are public records and aresubject to Public Records Requests. To the extent that the Public Records Law allows, the Ownerwill redact all employee home addresses and all but the last four digits of all employee socialsecurity numbers.

The classifications are listed in alphabeticalorder of ""identifiers"" that indicate whether the particularrate is a union rate (current union negotiated rate for local),a survey rate (weighted average rate) or a union average rate(weighted union average rate).

Union Rate Identifiers

A four letter classification abbreviation identifier enclosedin dotted lines beginning with characters other than ""SU"" or""UAVG"" denotes that the union classification and rate wereprevailing for that classification in the survey. Example:PLUM0198-005 07/01/2014. PLUM is an abbreviation identifier ofthe union which prevailed in the survey for thisclassification, which in this example would be Plumbers. 0198indicates the local union number or district council numberwhere applicable, i.e., Plumbers Local 0198. The next number,005 in the example, is an internal number used in processingthe wage determination. 07/01/2014 is the effective date of themost current negotiated rate, which in this example is July 1,2014.

Survey Rate Identifiers

Classifications listed under the ""SU"" identifier indicate thatno one rate prevailed for this classification in the survey andthe published rate is derived by computing a weighted averagerate based on all the rates reported in the survey for thatclassification. Union Average Rate Identifiers

Classification(s) listed under the UAVG identifier indicatethat no single majority rate prevailed for thoseclassifications; however, 100% of the data reported for theclassifications was union data. EXAMPLE: UAVG-OH-001008/29/2014. UAVG indicates that the rate is a weighted unionaverage rate. OH indicates the state. The next number, 0010 inthe example, is an internal number used in producing the wagedetermination. 08/29/2014 indicates the survey completion datefor the classifications and rates under that identifier.

A UAVG rate will be updated once a year, usually in January ofeach year, to reflect a weighted average of the currentnegotiated/CBA rate of the union locals from which the rate isbased.

WAGE DETERMINATION APPEALS PROCESS

On survey related matters, initial contact, including requestsfor summaries of surveys, should be with the Wage and HourRegional Office for the area in which the survey was conductedbecause those Regional Offices have responsibility for theDavis-Bacon survey program. If the response from this initialcontact is not satisfactory, then the process described in 2.)and 3.) should be followed.

Davis-Bacon contract clauses allow contract termination and debarment of contractors from future federal contracts for up to three years. A contractor who falsifies certified payroll records or induces wage kickbacks may be subject to civil or criminal prosecution, fines and/or imprisonment.

Apprentice rates apply only to apprentices properly registered under approved Federal or State apprenticeship programs.
