General Terms and Conditions of Sale

1 Application of these General Sales Conditions

The present General Terms and Conditions of Sale (GTCs) shall apply to any supply of goods by ARPER, including goods made by using components provided by the customer (COM/COL customized supplies). These GTCs shall prevail on any ARPER customer’s (“Purchaser”) general terms and conditions of purchase. Any possible amendment to these GTCs shall be made in writing.

2 Finalization of Supply

Offers and promises made by any ARPER’s agent or sales representative shall not be binding upon ARPER unless ARPERissuesawrittenconfirmation.Suppliesagreedwiththeclause“subjecttoavailability”orsimilarshallbeconditionaluponconfirmationbyARPERthatthe goods concerned are actually available.Tests on components provided by the Purchaser shall not, per se, constitute acceptance of the order.OrdersplacedbyPurchasershallbeconsideredasfirmafter3(three)daysfromreceipt,andaresubjecttowrittenorderconfirmationbyARPER.Ifsuchconfirmationisnotreceived,this means that the order has been refused, unless ARPER hasindicateditsacceptanceinsomeotherway.Should the terms & conditions in a Purchaser’s order diverge fromthosesetforthinARPER’relevantorderconfirmation,thelattershallprevail(a)wheresaiddivergenceisnotmaterialandPurchaserdoesnotpromptlyobjects;(b)inanycase,wherePurchaserdefactostartsperformingitscontractual obligations.

3 Delivery

Delivery shall be governed by the ICC INCOTERMS in force atthetimeoforderconfirmation.Unlessotherwiseagreeduponinwriting–— Delivery to any destination in Italy shall be DAP Purchaser premises;— Delivery to any destination out of Italy shall be FCA.In case ARPER has to pay for transport, and the sale net value is less than €500 (Italy) or €600 (abroad), Purchaser shall be charged the contribution set forth in relevant order confirmation.Scheduled dates shall refer to shipment irrespective of the delivery term utilized, and shall serve as an indication only. Purchaser shall be entitled to terminate the contract failing shipmentwithin20workingdaysfromrelevantscheduled

date.ARPERisnothoweverliableforthepaymentofanydamages for delayed delivery.If the Purchaser does not take delivery on the agreed date, ARPER shall have the right to terminate the contract, to keep the goods available to the Purchaser and charge storage costs,ortoarrangeforitsowncarriertotransportthegoodsto the Purchaser’s premises at the expense and risk of the latter. ARPER goods are delivered suitably packed and may be delivered disassembled. Disposal of the packaging shall be the responsibility of the Purchaser.

4 Prices

The price of the goods is that indicated in the ARPER price lists in force at the time the order is placed and is net of duties, taxes, transport, assembly or similar costs.

5 Payment

Unlessotherwiseagreed,paymentshallbemadedirectlytoARPER,togetherwiththepurchaseorder.In the event of late or non-payment, ARPER may terminate thecontractbywrittencommunicationtothateffect.InterestforlatepaymentwillbechargedattheECBreferencerateplus 12 points.Until full payment has been made, the goods remain the propertyofARPER,whichhastherighttotakethemback.Unlessotherwiselegallyruled,thereservationoftitleextends to the proceeds of any resale of the goods to third parties.

6 Transportation

ARPER FREIGHT PROGRAM

ARPER continues to offers goods delivered free destination (DOP,lncoterms2010),whereasshippingandhandlingarepre calculated and clearly added to each document. Freight chargeswillbeappliedasaseparatelineatthebottomofeachdocumentandbasedonaspecificratedefinedforyourarea. ForSweden,ARPERhassetafixedfreightcostasshownbelow.Shippingandhandlingchargesarefornormaldelivery only and do not include any further service such as inside delivery, installation, removal of cartons, cartons disposaletc.Themostsuitableforwarderwillbeselectedtoensure guaranteed shipping. The freight amount is calculated on the total merchandise


net price, despite of any discount applied. Still, a minimum freight charge of 880 SEK applies in case the shipment has anetvaluelowerthan11.000SEK,regardlessofyourpostalcode.

Furthermore, a threshold of 150.000 SEK gross list price is set for the calculation. Fororderswithagrosstotalvaluelowerthan150.000SEKyourfreightwillcorrespondto8% of the total net value.

Forordersandquotationswithatotalgrossvaluehigherthan150.000SEKARPERcommitsitself,whenpossible,toreviewingtheimpactoftransportbygivingalowerfreightratethanwhatisbeingoriginallycalculated.

Pleasenotethatwhenapplyingforthequotationifyoudonot communicate the exact place of delivery and the order has a different delivery zip code than the one mentioned in the quotation, ARPER reserves the right to revise the shipping cost granted in the offer.

7 Non-conformity

ARPERgoodsaremadeinconformitywithEUstandards;anyotherrequirementsmustbeagreedinwriting.Descriptions of goods in ARPER catalogues or other illustrative publications are given as an approximate indication and any divergences may not be considered as nonconformity.Conformitytoasample,ifspecified,musttake into account the tolerances inherent in the use of naturalmaterials(suchashide,leather,wool,wood,etc.)whichdonotgiveuniformresults.Savewhatprovidedundersection7below(warranty),Purchaser loses the right to rely on a lack of conformity ofthegoodsifhedoesnotgivewrittennoticetoARPER— specifying the nature of alleged lack of conformity and providingARPERwithpicturesofsatisfyingdetailsandevidence of reservations, if any, made upon taking delivery —withineightdaysafterhehasdiscovereditoroughttohavediscovereditand,inanyevent,withintwomonthsfromthedateonwhichthegoodswereactuallyhandedovertoPurchaser. ARPER shall repair or replace free of charge any non-conforming goods; ARPER shall bear no further liability whatsoever.Neitherreturnofgoods,norpricereductionisallowedunlessauthorizedinwritingbyARPER.

8 Warranty

Subjecttotheprovisionstherein,ARPERshallguaranteethattheirgoodswillmaintaintheircharacteristicsfora

periodoffiveyears(reducedtotwoforelectric/electroniccomponents) from the date of delivery as per section 3 above, Any extension of this guarantee period shall be against a surcharge,tobeagreedbetweentheparties.Thepresentwarrantyshallnotapplyto:— any component supplied by Purchaser, or by a third party upon Purchaser’s request;—goodswhosepriceisnotfullypaid.Thepresentwarrantyshallnotapplytoalterationscausedby:—normalwearandtear;— imperfections, changes, and normal tolerances of natural materialsandfibres(coverslossofelasticityincluded);— assembling, utilization, or maintenance not conforming to indications as per relevant Products Sheet (e.g. stacking withoutproperstackingpad);— abnormal, not previously agreed upon utilization (e.g. in unusual environmental conditions, or task chairs utilized more than 8 hours/day for 220 days a year);— user’s reckless behavior (e.g. scratches, or coloring due to user’s clothes such as blue denim, or metal studs).ArequestforwarrantyinterventionistobefiledinaccordancewiththeproceduresetbyARPER,andARPERis to be granted access to any claimed goods. Inallcaseswherethepresentguaranteeapplies,ARPERshall at its option either:(i) replace the guaranteed goods. Should the goods be guaranteedformorethantwoyears,Purchasershallpayacontribution of 40%, 60%, or 80% of their original purchase price, if intervention is requested respectively in the 3rd, 4th, or 5th year; or (ii) (ii) to pay Purchaser a compensation equal to the purchase price. Should the goods be guaranteed for more thantwoyears,saidcompensationshallbereducedto60%,40%, and 20% of their purchase price, if intervention is requested respectively in the 3rd, 4th, or 5th year. ARPER shall bear no further liability. Purchaser shall waiveanyrightofredressagainstARPERderivingfromPurchaser’sliabilitytowardsaconsumer.

9 Manufacturer’s liability

The Purchaser is obliged to inform their customers and other individualsfurtherdownthegoodsdistributionchainoftheusage characteristics of these goods in order to minimize the riskofimproperusewhichmightexposeARPERtoclaimsunder manufacturer’s liability. Failing this, the Purchaser shall exonerate ARPER from any liability.

10 ARPER’s intellectual and industrial property rights

Any of ARPER’s production and/or commercial technology, whetherpatentedornot,whichisnotinthepublicdomainandwhichcomestotheknowledgeofthePurchasershallbetreatedbythelatterasconfidentialandshallnotbeusedordivulgedinanywaywithoutwrittenpermissionfromARPER.The Purchaser is required not to register or use distinctive marks that are similar or identical to those used by ARPER.

11 Disputes and applicable rules

DISPUTES. Any disputes relating to either this GTCs, and anytransactionsgovernedbyitshallthesamebefinallysettledincompliancewiththeQUADRAADRRules(www.adrquadra.com).Notwithstandingtheabove,ARPERshall be entitled to address either the Treviso court, or the competentcourtinthePurchaser’sjurisdictioninordertoobtain an ex parte payment order in respect of any unpaid supplied goods.RULES.Foranythingnotspecifiedherein,theVienna1980 Convention on International Sale of Goods and, subordinately, the Unidroit Principles on International Commercial Contracts (latest version) shall apply.

N.B.PurchaseracknowledgesthatARPERhasadopted,andimplemented a scheme for its organization, management, andcontrol(“Model231")incompliancewithlegislativedecree no. 231 of June 8th, 2001. Purchaser declares to have read and fully understood the Ethical Code and the Model231asavailableinARPERwebsite(www.arper.com)andherebydeclarestocomplywiththeprinciplesandcontent therein.

Pigmented leather in terms of manufacture, the leatherundergoes the same processes as aniline or semi-anilineleather,withadditionaldyeingandfinishingtreatmentstomeet different needs in terms of comfort, softness to the touch,strength,durabilityandcolor.Itswearresistanceand ease of cleaning make it suitable for many uses.

Fine leather:leatherwithacompactstructure,butatthesametimewithasoftfeel.Thegrainisregularovertheentiresurfacewhileaslightpolishedeffectontheraisedareas gives depth to color. Available in 5 shades of color.

Natural characteristics:

Leatherandhardleathermayshowmarksandimperfectionssuchaswrinkles,veins,differencesincolorfromonebatchto another. These are distinctive features that distinguish genuine leathers and their natural beauty, ensuring the authenticity of the material and the unique comfort that only a natural product can offer.Alsoourleathersamplesreflectthisvariability,bothamongdifferent types of leathers and for the same type of leather, changing the shades of color and their natural features. Anysamples,suppliedonrequestwithreferencetoindividual orders, are not to be considered as a guarantee ofperfecthomogeneitybetweensampleandactualsupply.

— Grain variations:areasoftheleatherwheregraincanbecoarse,forexamplethepartoftheleatherbetweenthesideand the belly.

— Wrinkles, veins and stretch marks:theyhaveawidthofabout34mm,withaslightlyroughergraininthesurrounding area. They are more visible against the light.

— Backbone:backpartoftheanimal,wheretheskinisthemost valuable as it is the thickest and most compact part. It canhavewrinkles. — Insect bites: small marks on the surface of the leather due to different types of insect bites.

For this reason,shouldanyfireresistanceorflammabilitytestprovenecessary,itwillbecarriedoutuponrequestandattheexpense of the client. Furthermore, Arper does not provide fabric samples for the Graded-In products; for any information about the individual fabrics - including the composition and color versions - theclientshouldrefertothespecificationsissuedbythemanufacturer of the upholstery.

General conditions for COM/COL customised supplies

Before accepting a customised order using materials provided by the customer, Arper SPA requires a sample of fabric/leather to be submitted DDP (Delivered Duty Paid), togetherwiththedulycompletedmaterialschartforapreliminary evaluation of feasibility. For plain color fabrics, the sample must have a size of at least 400 mm x 300 mm; if the fabric features a decorative pattern, the customer is required to contact Arper SPA to ask for the exact size of the sample to send.If the result of the preliminary test on the fabric/leather sampleisnotconclusive,ArperSPAwillaskthecustomertosupplyasufficientquantityofmaterialtoproduceacompletesample,whichwillthenbeinvoicedinthenormalwayandsenttothecustomerforevaluationinaccordancewithaprocedure to be agreed.The information obtained during the experimentation phase might lead to a request for additional quantities of material and/or lengthening of delivery times. The initial estimate preparedbyArperSPAortheCOM/COLlistpricewillbeincreased by 10% if the customer’s order is for less than 8piecesorifthematerialsupplieddoesnotconformwithArper’sproductcharacteristics,resultingininefficientproduction.ArperSPAwillnotacceptanydespatchofCOM/COLmaterialuntiltheorderwithrelativeindicationofthequantityof covering material has been accepted.

If the covering material is sent by any delivery method other than DDP (Delivered Duty Paid), Arper reserves the right to rejectthematerialorincreaseitschargetothecustomer.

Thecustomer’sownfabricmustalwaysbesentalongwiththe related invoice, in order to complete the administration procedures connected to product realization and, for productsintendedfortheforeignmarket,tocomplywiththenecessary customs clearance procedures.

EvenifCOM/COLisaccepted,ArperSPAshallinnowaybe responsible for the appearance, durability, brightness of colours or any other type of quality problem encountered withthematerial.TheresponsibilityofArperSPAislimitedtoanydefectsdirectlyattributabletotheworkperformedandwarrantywillnotbeextendedtothetechnicalperformanceand/oraestheticresultsobtainedwithnonstandardmaterials.ArperSPAdoesnotacceptCOMwithfabricalreadylistedinthe Recapitulations table.Thereportedmeasuresrefertobielasticfabricswithsolidcolour. For different types of fabrics (monoelastic, print, etc.) requirementsandpriceswillbeevaluateduponrequest.

4. FabricsCleaning on a regular basis is important to keep upholsteryin the best conditions and guarantee a long life. Dust and dirt ruin the fabric. Vacuum clean regularly (also at a low power level), preferably once a week. Remove non-oil based stains by gently moistening them with a clean lint-free cloth or a sponge dampened in warm water and then wrung. If necessary, subsequently damp the cloth in warm soapy water or water and liquid dish detergent (see Formulas below). Then rinse the upholstery with clean lukewarm water. Formulas: the soapy solutions consists of ¼ soap flakes per each liter of warm water. Cool water before use. The solution containing liquid dish detergent consists of maximum 1 teaspoon of detergent per each liter of water. Use only a few drops of product in case of concentrated dish detergent.

5. Hard leather grade 1, hard leather grade 2 and soft leatherMust not be cleaned with water as this may leave marks. It is better to use quality products for cleaning leather, carefully following the instructions of the manufacturer of the cleaning product.
