    non-contingent cash offer above the Published Reserve price on each individual tract.

    fees, fees for tax certificates, and any other recording fees except for recording fees associated with Jefferson

    Properties, LLC that are attributable to the release of the American AgCredit, FLCA liens and the release of the

    Memorandums of Pulpwood and Sawtimber Agreements.

    B. Buyer will be responsible for any real compensation taxes or rollback taxes and penalties as a result of a

    change in use or designation of the property including, but not limited to, a change from open space, agriculture,

    forest land or recreation.

    C. Resurvey is not required by Seller for any sale property. If Buyer desires to have a tract resurveyed, Buyer

    will be responsible for ordering the survey and the cost of the survey. The surveyor must be approved in advance

    in writing by Seller and the survey must be certified by the surveyor to Seller.

    D. All sales must close within the time specified on the Agreement to Sell (Louisiana) or Agreement of Sale

    (Texas) for each property, unless extended by Seller in writing. Closings may not be extended due to reasons

    related to the completion of survey work without the written consent of Seller.

    Additional ConditionsA. No mineral interest is included in the sale of any of the properties in this sale. For those properties owned

    by Jefferson Timber Properties, LLC and located in Texas, bidder acknowledges review and acceptance of Ground

    Water Reservation Process East Texas information by submission of completed bid form.

    B. No claim will be considered for allowance, adjustment or rescission based upon failure of the property to

    correspond to any particular expectation or standard.

    C. Acreages set forth for the properties are approximations only, based upon Sellers estimate of acreages,

    but actual sizes may be different. In addition, the legal description acreage may not correspond to the estimated

    acreage or the tax acreage. No adjustments will be made to any bid or sales price due to any variance

    determined between actual acreage and that stated in any of the information provided by Seller or Walsh Land

    Brokers, LLC.

    D. Properties will be sold AS IS. Bidder should examine the property and all supporting documentation

    carefully. Bidder is responsible for evaluating the property and shall not rely on Seller, sales agents, or escrow

    agent. Buyer will take possession at the close of escrow. Seller has no obligation to adjust the purchase price

    due to a variance of acreage or condition from that published in bid materials.

    E. Seller will convey the property by an Act of Cash Sale or Special Warranty Deed (Louisiana) or SpecialWarranty Deed (Texas), subject to the Permitted Exceptions and AS-IS as stated in the contract. Buyer who

    purchases and closes on more than one property in the same Louisiana parish will accept the conveyance of all

    properties in that parish under one Act of Cash Sale or Special Warranty Deed. If multiple Act of Cash Sales or

    Special Warranty Deeds are requested, Buyer will be a responsible for reimbursing Seller for any and all additional

    fees, costs and expenses incurred by Seller in providing multiple Act of Cash Sales or Special Warranty Deeds.

    Buyer who purchases and closes on more than one property in Texas will accept the conveyance of all properties

    under one Special Warranty Deed per county per Grantee. If multiple Special Warranty Deeds are requested,
