MINUTES OF CITY COUNCIL REGULAR MEETING

November 7, 2016

Pursuant to due call and notice thereof, a Regular Meeting of the City Council of the City of Nebraska City was

conducted in the William F. Davis Room at City Hall, 1409 Central Avenue, on November 7, 2016. Notice of

the meeting was given in advance thereof by posting in at least three public places, the designated method for

giving notice, as shown by the Certificate of Posting Notice attached to these minutes. Availability of the

agenda was communicated in advance to the media, Mayor and Commissioners of this proceeding and said

meeting was open to the public.

Mayor Bequette called the meeting to order at 6:00 p.m. The Mayor publicly stated to all in attendance that a

current copy of the Nebraska Open Meetings Act was available for review and indicated the location of such

copy posted in the room where the meeting was being held. Mayor Bryan Bequette then led in the Pledge of

Allegiance. Upon roll call the following answered present: Erv Friesen, Jeff Crunk, Vic Johns, Gloria Glover

and Mayor Bequette. Absent: None. The following City Officials were present: City Administrator Grayson

Path, City Clerk-Treasurer Randy Dunster, Police Chief David Lacy, Construction and Facility Manager Marty

Stovall.

Mayor Bequette proclaimed the week of November 14-19, 2016 as Jaycee Family Week. Laura Liesemeyer,

Tarryn Godsey and Summer Godsey received the signed proclamation.

Mayor Bequette proclaimed November 11, 2016 Veteran’s Day of Recognition.

Moved by Commissioner Glover and seconded by Johns to approve minutes from the October 17, 2016 City

Council Meeting with clarifications on the South 11th

Street Project and the adjustments to the Wildwood

Period House Rules of Use changes. Upon roll call the following voted YES: Johns, Glover, and Mayor

Bequette. Voting NO: None. Abstain: Crunk, and Friesen. Motion carried.

Moved by Commissioner Johns and seconded by Glover to approve the report of new claims against the City

except for the invoice from Miller Monroe-Ferrell due to a conflict of interest and approving disposition of

claims set for the period of October 18, 2016 to November 7, 2016. Upon roll call the following voted YES:

Crunk, Friesen, Johns, Glover, and Mayor Bequette. Voting NO: None. Motion carried.

Moved by Commissioner Glover and seconded by Mayor Bequette to approve the report of new claims against

the City from Miller Monroe-Ferrell and approving disposition of claims set for the period of October 18, 2016

to November 7, 2016. Upon roll call the following voted YES: Crunk, Friesen, Glover, and Mayor Bequette.

Voting NO: None. Abstain: Johns. Motion carried.

Discussion was held regarding an appeal from Louie Peterson to maintain 5th Ave West to the end of street. It

was agreed that Mr. Peterson would meet with Mr. Stovall and Commissioner Johns to resolve the maintenance

schedule. Louie Peterson and Rich and Kathy Shank spoke to explain their request.

Grayson Path led a discussion regarding Health, Life, Vision, Dental and AD&D employee insurance benefits

renewal options to be considered. Beau Reid from Holmes Murphy spoke regarding the options.

Commissioner Crunk departed the meeting at 7:17 PM.

Marty Stovall led a discussion regarding the recommendation regarding the City Engineer and Street

Superintendent RFQ for 2017 service. Grayson Path and David Partsch also spoke regarding the options.

Moved by Commissioner Friesen and seconded by Johns to approve agreement with NDOR for relocation of

additional sewer main East of the SE corner of the South Interchange. Upon roll call the following voted YES:

Friesen, Johns, Glover, and Mayor Bequette. Voting NO: None. Motion carried.

Moved by Commissioner Glover and seconded by Friesen to approve and authorize the Mayor to sign the

Snapshot Audit Agreement and Letter of Agency with The Spyglass Group, LLC to complete a no-cost

assessment of our communications expenses in order to find areas where expenditures can be reduced. Upon

roll call the following voted YES: Friesen, Johns, Glover, and Mayor Bequette. Voting NO: None. Motion

carried.

Moved by Mayor Bequette and seconded by Johns that the statutory rule requiring reading on three different

days be suspended. Upon roll call the following voted YES: Johns, Glover, Friesen and Mayor Bequette.

Voting NO: None. Motion carried. Mayor Bequette declared that the motion adopted by three fifths vote of the

council and the statutory rule suspended for the consideration of said ordinance.

Moved by Mayor Bequette and seconded by Glover to table Ordinance 2981-16 reducing street width at 4th

Rue between 4th and 5th Terrace. Upon roll call the following voted YES: Johns, Glover, Friesen and Mayor

Bequette. Voting NO: None. Motion carried. Harvey Varenhorst spoke to explain the request.

NOTICE IS HEREBY GIVEN THAT, on Tuesday, November 21, 2016 at 6:00 P.M., at the Council

Chambers in City Hall, 1409 Central Ave., Nebraska City, Nebraska, the City Council of Nebraska City,

Nebraska, will hold a Public Hearing concerning the use of $250,000 of City of Nebraska City Economic

Development Program Funds (LB840) accumulated from the collection of funds through the local municipal

options sales tax (LB840) voted in by the citizens of Nebraska City, Nebraska.

If approved by the City Council, the Program funds will be provided as grant funds through LB840 funding to

SAI Properties, Inc. These funds will be used for building and developing a hotel/motel/lodging and

operations at Lot 3 Grundman Parcel ID 2890500, Nebraska City, Nebraska.

There will be no displacement of persons as a result of this activity.

All interested persons are invited to attend the public hearing at which time they will be given the opportunity to

renovation. This project will have an anticipated project investment of over $430,000. There will be no

WHEREAS, the City of Nebraska City has received Program Funds through the City of Nebraska City

Economic Development Plan and,

WHEREAS, Program funds for Economic Development are allowed to be used for making funding awards to

eligible businesses in accordance with the City of Nebraska City Economic Development Plan, program and

governing regulations, and

WHEREAS, the City of Nebraska City Economic Development Plan has previously been adopted and

approved by the voters, and

WHEREAS, the Citizens Advisory Review Committee has recommended approval of a grant application with

$250,000.00 sought through the Economic Development Program by an eligible business, SAI Properties, Inc.,

for construction of a Holiday Inn Express & Suites hotel, with a total project cost estimated at $7,700,000.00, to

be located along the J. Sterling Morton Beltway, north and east of the City’s south intersection at Lot 3,

Grundman Subdivision, Nebraska City, Otoe County, Nebraska, and

WHEREAS, the City Council of Nebraska City conducted a public hearing upon the proposed use of Economic

Development Program funds,

NOW, THEREFORE, BE IT RESOLVED by the City Council of Nebraska City, that the obligation of funds

is approved as applied in the amount of $250,000, subject to the terms of the Grant Agreement attached hereto,

which is hereby approved by Council. The Mayor is authorized to execute all necessary and appropriate

documents, including said Grant Agreement, on behalf of the City and the City of Nebraska City Economic

Development Program to complete the project funding for “SAI Properties, Inc.”, contingent upon approval of

the City Attorney as to form.

Minutes

Meeting called to order at 12:00 p.m. at 123 S. 8th Street, Suite 7, Nebraska City, NE 68410

I. Members present: Jim Kuhn, JoAnn Martens, Kiel VanderVeen, Jeanna Stavas and Vaughn Hammond. Absent

was ex-officio Rick Freshman. Guest present was Deven Patel with SAI Properties and William Heng with

Prairie City, LLC. Also present was the fund administrator, Dan Mauk and Administrative Assistant Laurie

Stukenholtz.

II. The financial information was emailed to committee. Dan informed the committee that the City had approved the

transfer of sales tax funds of $200,000 to LB840 and we rely on the City for the financials so there is really

nothing for the committee to approve.

III. The minutes from July 31, 2016, were reviewed. Motion to accept the minutes were made by JoAnn Martens.

by Kiel VanderVeen. Motion carried.

IV. Review Holiday Inn Express & Suites second Application for a grant of $250,000: Deven Patel with SAI

Properties, Inc, Gretna, Nebraska, was in attendance to present to the committee his application for a grant request

in the amount of $250,000 for a Holiday Inn Express & Suites at a new location. This location is behind the Best

Western in the Grundman Lot/North Parcel along the J. Sterling Morton Beltway, east of the south intersection. Mr.

Patel is buying the land, approximately 2 acres for the project located within city limits, within the Blight and

Substandard Map area and is submitting an application for Tax Increment Financing. Mr. Patel explained the only

change from the previous application is the location of the hotel. At 12:37 p.m. a motion to go into Executive

Session was made by Kiel VanderVeen, seconded by Jim Kuhn. At 12:52 p.m. a motion to leave Executive Session

was made by JoAnn Martens and seconded by Vaughn Hammond. A motion was made by JoAnn Martens and

seconded by Kiel VanderVeen: “Contingent upon city voters renewing this program on November 8th, 2016, The

Citizen Advisory Review Committee recommends approval of this request for a grant to SAI Properties in the

amount of $250,000 contingent upon approval of Tax Increment Financing funds for a Holiday Inn Express hotel

with a 65 room minimum size.” The committee believes this development meets the guidelines set by The Plan.

Motion carried without objection. Mr. Patel was informed that this matter would be on the agenda with the City

Council for their November 21st

meeting. (see minutes from July 31st for all the specifics of the hotel).

V. Review Prairie City, LLC Application for a grant of $60,000: William Heng was in attendance to present to the

committee his application for a grant request in the amount of $60,000 for Prairie City Chophouse. Mr. Heng

informed the committee that he currently owns the building which he paid cash for. He is originally from

Nebraska City, worked for Wal-Mart for 12 years in various capacities, and was District Manager in the Kansas

City area before returning to the Omaha area Wal-Mart. He bought a restaurant called Frankie and Ollie’s in

Fremont and owned it for 2 years before a fire destroyed that business. Heng decided to move back to Nebraska

City and open a restaurant here. Heng has completed extensive repair and remodeling work on the building.

There will be a steak house restaurant open first with a pizzeria planned to open sometime next year in the other

half of the building using a common kitchen. There then would be two restaurants, bathrooms in each facility,

etc., but these businesses would share the kitchen. The proposed opening date of the chophouse is December 1,

2016. The purpose of the $60,000 would be used for $30,000 cash flow and $30,000 roof repair and begin

remodel on the west side for the pizzeria. Sysco has already been contracted as the food vendor and line-of-credit

established. Heng estimates 11 fulltime employees and 14 part time employees, initially. The committee asked if

Mr. Heng would be interested in doing a ‘forgivable loan’ vs a grant. Mr. Heng said he would be interested in

that once he knew what the parameters of that entailed. The Mr. Heng said he would like to start his business

‘debt free’ that is why he was asking for a grant as he could get a loan from the bank but he would rather not. The

committee asked Mr. Heng for additional financial information. At 1:21 p.m. a motion to go into Executive

Session was made by Vaughn Hammond, seconded by Jim Kuhn. At 1:25 p.m. a motion to leave Executive

Session was made by Jeanna Stavas and seconded by JoAnn Martens. The committee is requesting the following

information from Mr. Heng before the committee makes a decision on the application: 1) their 2014 federal Tax

Returns 2) Credit Report or Letter indicating credit worthiness from a bank 3) a 3-year financial projection (a

one year was provided) 4) clarification on his listed life insurance cash value -- $100,000 face value vs cash

value. The committee will meet again on Monday, November 7th at 1:00 p.m. to discuss this application further

contingent upon Mr. Heng providing the committee with the 4 items requested above.

VI. Rescind contingent recommendation: Fulton Repair made application for loan funds which were contingent on

Fulton proving proof of credit worthiness. After several months no such information has been provided. A

motion made by Jim Kuhn, seconded by Vaughn Hammond to notify Mr. Fulton that the committee’s contingent

recommendation has been rescinded. Motion carried unanimously. The application for Fulton Repair is now

rescinded.

VII. Miscellaneous: Mauk gave a report on the city’s current effort to revise the Blight and Substandard area map.

This will affect which areas are eligible for tax increment financing.

VIII. Adjourn: The meeting was adjourned at 1:34 p.m.

GRANT AGREEMENT

This grant agreement is entered into this 21st day of November, 2016 between the City of Nebraska City,

hereinafter referred to as “the City”, and SAI Properties, Inc., a Nebraska Corporation.

WHEREAS, the citizens of Nebraska City approved the City of Nebraska City Economic Development

Plan (LB 840), hereinafter referred to as “the Plan”, in November, 2006, and have extended an amended plan

for an additional ten years. The Plan provides rules and procedures for the use of a specified portion of the

City’s sales tax receipts for economic development projects. The Plan allows for the use of Economic

Development Program Funds for making grants to eligible entities to spur downtown revitalization, to attract

new capital investment through business development and to promote tourism, and,

WHEREAS, SAI Properties, Inc. has submitted a grant application for the purpose of construction of a

Holiday Inn Express & Suites hotel. The application was submitted in accordance with the City of Nebraska

City’s Economic Development Plan seeking the amount of $250,000.00 for the purpose of providing funds to

the construction with a total estimated cost of $7,700,000.00.

WHEREAS, said application was recommended for approval at a meeting of the Citizen’s Advisory

Review Committee on October 31, 2016, and approved by resolution of the City Council contemporaneously

herewith on November 21, 2016.

NOW THEREFORE, the parties to this agreement agree as follows:

1) The City through LB 840 shall pay up to the total sum of $250,000.00, through reimbursement of

expenses, to assist in construction of a Holiday Inn Express & Suites hotel by SAI Properties, Inc.

contingent upon the following conditions first being met:

a. acquisition by SAI Properties, Inc. of tax increment financing for the project;

b. the hotel site location being at Lot 3, Grundman Subdivision, Nebraska City, Otoe County,

Nebraska;

c. the hotel being designed to contain a minimum sixty-five (65) guest rooms;

d. disclosure of the balance sheets and financials for SAI Properties, Inc. covering the last three

years showing company solvency;

e. submission of a currently valid Certificate of Good Standing issued by the Nebraska

Secretary of State;

f. receipt of a marketing plan for the hotel;

g. submission of receipts for expenses directly related to the physical construction of the

Holiday Inn Express & Suites hotel.

2) This agreement sets forth the entire understanding of the parties.

3) This agreement has no bearing on the project’s application for tax increment financing, which may

still be approved or denied by City Council through the tax increment financing application process.

4) This agreement may be modified or terminated only by written memorandum executed by both

parties.

CITY OF NEBRASKA CITY ECONOMIC DEVELOPMENT PROGRAM

LOAN CONDITIONS

For

“Prairie City, LLC”

In consideration of financing for “Prairie City, LLC” the following items describe the loan to “Prairie City,

LLC” by the City of Nebraska City, Nebraska (representing the City of Nebraska City Economic

Development Program or LB840):

A. City of Nebraska City will have a second security position on the property legally described as:

NEBRASKA CITY PROPER, OTOE COUNTY, NEBRASKA (610 Central Avenue, Nebraska City).

B. City of Nebraska City’s Deed of Trust will be in a second position in the amount of $30,000.00,

subordinate only to bank financing.

Included in the financing for “Prairie City, LLC” will be a CITY OF NEBRASKA CITY ECONOMIC

DEVELOPMENT PROGRAM (LB840) loan in the amount of $30,000.00 with an interest rate of 2.00% fixed

for a period of 10 years from the City of Nebraska City Economic Development Program Fund (LB840). A

Promissory Note will describe payment obligations, which will include monthly payments of principal and

interest. A Deed of Trust will secure the loan.

Conditions of lending:

1. The funds will be used by the owners of “Prairie City, LLC” to make building renovations and

improvements at 610 Central Avenue, Nebraska City, Nebraska. In addition to building renovations

and improvements, funds may be used as operating capital in order to assist with the early stages of

operation.

2. The City shall pay the total sum of $30,000.00 in a low-interest loan secured by the property located

at 610 Central Avenue.

3. The low-interest loan ($30,000.00) will be payable at a rate of 2.00% for 10 years with the first

payment being due 180 days following the opening of the business.

4. The City of Nebraska City shall be in second security position as noted above.

5. Personal guaranty signed by the owners of “Prairie City, LLC”.

6. Submission of Financial Statements for “Prairie City, LLC” (Profit and Loss & Balance Sheet) to

the Application Review Board after six months of operation and annually thereafter for the life of the

loan.

7. In the event of business closure, rental or sale to another party, the unpaid balance of the note

becomes due within 30 days.

8. Borrower agrees to adhere to City Ordinances in the operation of the business.

All the terms and provision of this agreement shall be binding upon and inure to the benefit of the

parties and their respective successors and assigns.

C. Costs for “Loan Closing” for the LB840 loan will be the responsibility of the borrower. These costs may

include, but will not be limited to the following:

Steinhart Trail Project Phase II was chosen as the winning project in the Recreational Trail category by the Nebraska Concrete Paving Association. Schemmer, our engineer for the project submitted the application. TAB Construction was our Contractor and Nebraska Department of Roads provided project oversight for Nebraska City. Thanks to all, it has taken many years of continued effort to see this project through. To have this recognition in the end makes it all the better. a. On November 7, 2016, the City Council was presented information on the City’s available options for the City/NCU

Employee’s Benefit Renewal.

b. As mentioned in that agenda sheet (re-attached to this sheet), the Council was asked to take the last two weeks to

consider the packet of information presented and be prepared to make a decision on the 11/21/16 council meeting.

c. The City/NCU needs to implement its open enrollment for its employees in the first half of December, so it is

requested that the City Council make their decisions tonight.

d. At the time of writing this agenda sheet, there had not been any known further questions from any of the

Commissioners.

e. The City needs to renew the following:

i. Health Insurance: Either Fully Insured with UHC at a 0% premium increase – or – the Captive Option at

about a 5% increase in total cost

ii. Dental Insurance: Recommended that the City proceed with Guardian at a 9% rate increase

iii. Vision Insurance: This is at the employee’s cost – recommended that the City proceed with Guardian at a

6% rate increase

iv. Life Insurance: No rate increase – 1.5x employee salary up to $200k

v. AD&D: No rate increase

B. Options:

a. Health:

i. Fully Insured option with UHC at a 0% premium increase.

ii. Captive Insured option with Mainstreet Holdings, LLC at about a 5% increase.

b. Dental:

i. Current carrier is Guardian at a 9% increase with two local dentists

ii. Lincoln Financial Group at a 4% increase with one local dentist and one local orthodontist. Not

c. Vision:

D. Recommendation:

a. Health:

i. Ultimately, the Captive program seems like the right direction to go, eventually, but at this time we are still

waiting to review all the necessary agreements to join. The Captive is still being licensed and thus has no

history as Mainstreet Holdings, LLC. Speaking with Cuming County and Arbor Day Foundation who are

both members of the captive, they recommend joining (very positive feedback on the captive and the listed

manager in the operating agreement). According to these members, the captive works the exact way it has

been explained to us (three tiers, keep whatever is not spent, reinsurance kicking in, etc.). They still need

to form their new committees, understand how the role of manager/member is going to work, and get

started as the Mainstreet Holdings, LLC. Without having been given all the final versions of the contracts

to read and with us needing to still verify that Cities can enter in to Captive agreements in Nebraska under

statute, at this time we are recommending the UHC fully insured option at a 0% premium increase – but

with the goal of revisiting this captive in 6 months to see how it is operating and perhaps consider joining it

at that time.

b. Dental and Vision

i. Given that Lincoln Financial Group does not have any local providers for Vision (very clear that employees

prefer local over non-local given the options they have chosen under Guardian [VSP vs. Davis]); and

ii. Given that Lincoln only has one local dentist while an unknown number of employees attend a local dentist

that is covered under Guardian but not Lincoln;

iii. It is our recommendation that the City stay with Guardian due to the local providers that are established. A

change would affect a lot of employees, forcing them to either change providers or leave town to get

coverage.

iv. We have asked Mary Kramer with Holmes Murphy to prepare questionnaires for both local providers and

employees to determine whether local providers will agree to join other carrier contracts (join Lincoln and

others) and if employees would be willing to travel out of the City to seek covered providers if we change

and there are no local providers. Given the time restraints present, our committee has assumed that most

employees (especially with families) prefer local, thus recommended to keep what is current.

Ultimate Recommendation with the following information: Review in preparation for decision on 11/21/16.

F. Synopsis of Issue:

a. The City’s Health, Dental, Life, Vision and AD&D Insurance are all up for its annual renewal January 1st. The enrollment

period needs to occur in December for employees so a decision will need to be made by November 21, 2016 on each of

these items.

b. Regarding Dental and Vision, the City Staff just recently (11/4/16) obtain some information that it needs to review before

making a recommendation. The information on Guardian vs. Lincoln Financial Group is included in this packet, but a

recommendation will come in the 11/21/16 council meeting.

c. The City’s Life and AD&D rates do not change.

d. This year, there are two different types of options that the council is being asked to consider for Health Insurance.

e. Over the past couple of years, the City’s Health Insurance Broker Holmes Murphy has been discussing with the City and

NCU the idea of switching the City’s insurance from a “Fully Insured” plan to a “Self-Insured/Captive Plan” that I will

simply refer to as the “Captive Plan” in this support sheet.

f. The purpose of this support sheet is to describe what a Captive Plan is, given the information Holmes Murphy has

provided us, as well as provide cost summary comparisons of the various policies up for renewal. The Council is being

asked to take the next two weeks to consider what is presented here tonight.

g. A draft Mainstreet Agreement is included in this packet. It has not been read by Administration just yet due to time

constraints, but it will be read by the 11/21/16 council meeting.

G. Options:

a. Take two weeks (11/21/16) to consider the information presented tonight, develop additional questions, and be prepared to

make a decision on either pursuing the current UHC Fully Insured option or the Mainstreet Captive Insurance option.

b. On 11/21/16, please also be prepared to make a decision on the Dental, Life, Vision and AD&D. A recommendation will

develop on Dental and Vision in the next two weeks.

H. Fiscal Note:

a. According to the Coverage Cost Comparison you have attached with this support sheet, the premium increases for Health

Insurance options are estimated at:

i. UHC = 9%

ii. Mainstreet = 5% (not a true “premium”, see the background notes for more information)

b. The City budgeted for a 12% increase, therefore both increases are within budget.

c. Fully Insured options such as UHC require that 100% of the City’s premium be spent with none given back, even if there

are no claims.

d. Captive Insurance options are designed so that there are a small fixed (non-refundable) fee, a captive funding, captive

collateral, and claim funding. The City will not receive back the fixed fee but the remainder of the funding has the

potential to be returned to the City.

I. Recommendation:

a. Take two weeks (11/21/16) to consider the information presented tonight, develop additional questions, and be prepared to

make a decision on either pursuing the current UHC Fully Insured option or the Mainstreet Captive Insurance option.

J. Background:

a. With the ever increasing cost to health insurance, private and public sector entities are looking for different ways to hedge

this cost and lower their rates.

b. Last year, the City put its health and dental insurance out for bid. That was not done this year as Administration thought it

best to wait at least two years in between bidding to insure consistency to employees (they know their policy will stay the

same for at least two years) and for better competition between vendors (in bidding situations – though granted not all and

not always – one school of thought is if a company annually bids out a service, the vendors tend to stop placing effort in

placing a bid each year, especially if they are not chosen year after year). Bidding out is recommended for next year.

c. Fully Insured is the standard and traditional health insurance option that many Americans have – you pay a fixed monthly

premium and your policy covers what it will cover, minus the deductible. The City currently has this. Example: an

employee has a claim, the employee pays the deductible and if it is covered under their policy, insurance takes care of the

rest. Each month, the City and employee pay the premium 85/15 respectively. The City also has an HRA for deductible

assistance to the employees.

d. A self-insured plan is where an entity takes on the claims itself by having a large enough reserve (using actuarial studies

and risk management) and a 3rd

party administrator. When an employee has a claim, the 3rd

party administrator processes

it, the employee pays their deductible and the City pays the rest unless it has a Stop Loss Policy, in which case re-

insurance kicks in at a certain threshold. The Cities of Beatrice and Wayne are self-insured.

e. A captive insurance plan is a hybrid of a self-insurance plan. The captive that Holmes Murphy is speaking about today,

Mainstreet, is a combination of numerous entities (exact number is unknown) that have come together to pool their

resources. For the following details, please look at p.12 of 26 in the attached Medical Proposal from Holmes Murphy.

Note that these Captive numbers are slightly different than the most current Coverage Cost Comparison as this particular

packet was given two weeks ago to staff.

i. The City of Nebraska City would have a fixed fee of $65,833.56 which is non-refundable and used to help

administer the program by BCBS (3rd

Party Administrator) and Holmes Murphy. This is paid in monthly

installments.

ii. The City would pay $487,956.84 in captive funding which is the captive’s pool of funds. This is paid in monthly

installments and has the potential to be refunded if the group as a whole does well.

iii. The City would pay $58,241.00 in collateral which is also for the captive’s pool of funds, but this will be paid

upfront in order to establish an initial pool of available funds January 1st, the initial reserve that is required for

insurance. This too has the potential to be refunded if the group as a whole does well.

iv. The City would then pay claims up to $30,000.00 (the sheet says $25k, but that is a typo) per covered life

(employee, spouse, child). The estimated maximum exposure to the City/NCU, given the number of covered

individuals, is $834,611.28. This is only spent when a claim occurs and with that, the City is only charged the

monthly pro-rated amount (What I mean is, $834,611.28 / 12 = $69,550.94, and so if 10 employees each have

$30,000.00+ claims in February = $300,000.00, the City will only be billed $69,550.94 each month until

$300,000.00 is reached. If no claim occurred in January, then the City would make two $69,550.94 payments in

February to get caught up.).

v. Once again, the City/NCU has the potential to save part of the $834,611.28 and recoup part of the Captive

Funding and Collateral total of $546,197.84. Remember, with a fully insured plan, you do not save or recoup

anything.

vi. Though this scenario is nearly impossible, to help paint the picture for you, IF no employee in all captive entities

had a claim; under fully insured, the cost to the City is still the $1.5 million estimate but under the Captive

program, the cost is only $65,833.56 in administrative fixed fees. The City would save $1.4 million next year.

Again, that is nearly impossible, but I hope it paints the picture of the difference between Captive and Fully

Insured.

vii. According to Holmes Murphy, the final listed costs on p.12 (adjusted once the disclosure form is completed) is

fixed and cannot be exceeded.

f. How a claim would work under the Captive Program:

i. An employee has $1,000,000 medical claim.

ii. The City and Employee (deductible) pay the first $30,000.00.

iii. The Captive Funding Pool pays up until $250,000.00.

iv. Stop Loss kicks in and covers the remainder of the claim.

g. Stop Loss

i. According to Holmes Murphy, we have both a Specific Stop Loss Policy and an Aggregate Stop Loss Policy.

Specific Stop Loss covers claims above $250,000.00 per covered life. Aggregate Stop Loss protects the Captive

pool from claims that deplete the pool of captive funding. Having a Specific Stop Loss and an Aggregate Stop

Loss policy is good protection.

h. Risk:

i. The Mainstreet agreement needs to be read in more detail, therefore terms are still not fully understood at this

time.

ii. If other entities pull out of the captive, the City takes on a larger portion of the captive funding and collateral,

thus more risk.

iii. The Mainstreet Captive has not been fully licensed yet, expecting to by January 1st, so there is no history for the

City to look on and determine how it has been managed and operated.

iv. The City of Nebraska City/NCU has not seen a list of current Mainstreet members, so we are not sure as to the

stability and risk that other members bring to the captive.

Mainstreet Holding, LLC

Mainstreet Holding, LLC (“Company”) is the group of members who have agreed to form the Captive. The operating agreement is

mostly dedicated to determining the powers of the manager. The Manager is Innovative Captive Strategies, LLC (assumedly a

Holmes Murphy entity). The company signs a Joinder Agreement with each member who also signs the operating agreement at the

same time: 1) We want to join and 2) we agree to the operations agreement with this group. In reality the operating agreement is

between the Mainstreet members and the manager as they are the ones who sign the operations agreement (again, a Holmes Murphy

product – thus they are controlling the process). Each member has separate agreements for their own self-insured layer (3rd

Party

Administrator, Individual Stop Loss provider, Aggregate Stop Loss Provider). It looks like, from the Preliminary Section C, the

Manager has helped the members identify the third party providers that we are going to use. This makes sense with what Holmes

Murphy has told us, they have already identified BCBS and HM.

The Operating Agreement discusses the 1) Administration and 2) Captive Collateral contributions. Each member pays both and is not

entitled to getting anything back (it is the risk you take, you pool your funds and you may not get anything back). Exhibit C describes

the process for receiving back available funds (dividends). Section III(3) says if we do have available cash at the end, we can collect it

or have it count towards the next year’s collateral. Section IV says that, using their formulas, if they determine that if we used our full

share of the captive collateral, we will not get any of the available cash – only those who did not use their pro-rata share will get a

portion of what is left over. Seems fair enough.

Triple Arches Group, LLC, manages the captive layer of coverage while Innovative Captive Strategies, LLC, works directly with them

to make the payments and cover any leftover available cash to members. Triples Arches Group, LLC, manages the re-insurance as a

specific and aggregate stop loss for the Company. That is a separate agreement that we have not seen yet as well.

To exit the Company, can simply decide to do so and send written notice. Our available cash contributions that still exist will be paid

out.

The rest of the agreement discusses the member’s role in the company (vote, meetings, pay our contributions, leave the company, have

agreements with third party vendors, receive any available cash if any in the end, committees, etc.), manager (lots of discretionary

powers as manager – that is just something that it appears we have to be willing to agree to), and capital contributions.

Note – we are not entitled to receiving any contributions back, Article VI and Exhibit C tell us how this will occur and when. It

appears on V(b)(i), we may have to pay more administration costs if they do not collect enough, but it appears to say specifically that

we will not have to pay more captive collateral.

A. Synopsis of Issue:

a. The City of Nebraska City’s CDBG Housing Rehabilitation Program has two additional applicants that have met the

criteria and have been approved by the Community Housing Advisory Committee for recommendation to the City

Council.

b. These are project numbers #3 and #14 (numbering is the order of applications).

c. Details of the work that is being done, the contractor being used, and the grant amount for each are attached.

B. Options:

a. Approve the housing grants.

b. Reject the housing grants.

c. Approve one but not the other housing grant.

C. Fiscal Note:

a. These are 100% covered by the CDBG program. Bills are sent from the contractor to SENDD who then performs an

onsite inspection. Once the inspection has been completed and approved, SENDD sends the documentation and

paperwork to the City Council for approval and request of CDBG drawdown. The City can either pay the contractor

up front and be reimbursed by the CDBG funds or can wait to have NDED process and make the drawdown

payment to the City to be paid out to the contractor. The City has normally picked the latter option which is cleaner.

b. Project #3 = $24,029.50 in grants

c. Project #14 = $24,995.00 in grants

D. Recommendation:

a. Approve the housing grants.

E. Background:

a. The City was awarded the Housing Rehabilitation Grant (Owner-Occupation Rehabilitation – OOR) in 2014.

b. There have been four completed projects.

c. The program was funded for up to 8 projects, the two tonight would make the total up to six.

d. There have been another 8 applicants who did not meet CDBG requirements and eligibility.

e. The City Council requested from NDED in August that the program be extended. It was originally set to expire in

October, but NDED approved the extension request through May 1, 2017. This gives the program more time to seek

out and fund two additional projects after these.

f. You will see that a number of work items were deleted. This is done to get the project down to the grant cap of

about $24,995.00/project. SENDD performs an inspection, writes up everything that could be done, bids it out, the

contractors come back with their pricing, and based on this they negotiate it down to what is coverable under the

K. Synopsis of Issue:

a. This year, the US Department of Labor increased the minimum salary qualification for exempt employees from

$455/week to $913/week.

b. Employees that meet Executive, Administrative or Professional exemptions from Overtime Compensation under the

FLSA must meet several thresholds to be considered exempt. One is the minimum salary level which again is now

at $913/week.

c. When the City Council was working on the Golf Course Professional changes during the budget process, the City

Administrator overlooked this recent change and set his current salary at a level below this threshold.

d. The Golf Course Professional is currently making $45,845.00 and the minimum threshold is $47,476.00.

e. The new rulings take effect December 1, 2016.

f. The potential for large amounts of overtime exist with the Golf Course Professional during busy summer months.

This chance is further increased with the Professional being away from the Course for the winter months and

needing to get caught up in the Spring and ready for the golf season.

g. This will require an updated Step Plan with Ordinance.

h. All other exempt employees are above this threshold.

L. Options:

a. Make the Golf Course Professional position an hourly employee and pay OT when it occurs.

b. Make the Golf Course Professional position an hourly employee and restrict the position to no more than 40 hours

(no OT).

c. Increase the Golf Course Professional’s annual salary to $47,500.00 to place it above the minimum threshold to

allow for the necessary work required even beyond 40 hours a week which occurs at times.

M. Fiscal Note:

a. Please see the attached table for overall cost details.

b. With the recently acquired Health and Dental rates, the Golf Course will have some savings that can be used to

cover the increased cost in Step Plan (assuming the City pursues UHC and Guardian – but even if the Captive option

is pursued, I’m confident savings will still occur).

c. Looking at a sampling of 30 weeks of hours from each of 2015 and 2016, the average total OT recorded by the Golf

Course Professional was 118 hours. Taking in to consideration the annual evaluation date, the step plan before and

after this point, SS, Medicare and Retirement costs; paying OT would add an additional $4,600.00 (rounded down)

in estimated expense. The current suggestion being recommended below would add an estimated $1,600.00

(rounded up) in expense. Therefore using two years of history, it is reasonable to assume that paying OT will add

more expense than moving the employee up to above the minimum threshold for OT exemption. These calculations

are available in a spreadsheet for any Commissioner to examine.

N. Recommendation:

a. Increase the Golf Course Professional’s annual salary to $47,500.00 to place it above the minimum threshold to

allow for the necessary work required even beyond 40 hours a week which occurs at times.

O. Background:

a. The Golf Course Professional position step plan was cut by ¼ during the budget process to close the shop during

winter months.

b. The following is information from the Department of Labor’s website on the new changes.

Key Provisions of the Final Rule

The Final Rule focuses primarily on updating the salary and compensation levels needed for Executive, Administrative and Professional workers to be exempt. Specifically, the Final Rule:

1. Sets the standard salary level at the 40th percentile of earnings of full-time salaried workers in the lowest-wage Census Region, currently the South ($913 per week; $47,476 annually for a full-year worker);

2. Sets the total annual compensation requirement for highly compensated employees (HCE) subject to a minimal duties test to the annual equivalent of the 90th percentile of full-time salaried workers nationally ($134,004); and

3. Establishes a mechanism for automatically updating the salary and compensation levels every three years to maintain the levels at the above percentiles and to ensure that they continue to provide useful and effective tests for exemption.

Additionally, the Final Rule amends the salary basis test to allow employers to use nondiscretionary bonuses and incentive payments (including commissions) to satisfy up to 10 percent of the new standard salary level.

The effective date of the final rule is December 1, 2016. The initial increases to the standard salary level (from $455 to $913 per week) and HCE total annual compensation requirement (from $100,000 to $134,004 per year) will be effective on that date. Future automatic updates to those thresholds will occur every three years, beginning on January 1, 2020.

RESOLUTION NO. 2723-16

SUBJECT: Approval of First Amendment to Fiscal Year 2016-2017 Step Pay Schedule for City Employees. WHEREAS: Section 2-9 of the City Code of the City of Nebraska City provides that the Step Pay Schedule

for City employees may be updated by Resolution; and WHEREAS: The City of Nebraska City, Nebraska, updates its wages and salaries for City employees

periodically as it strives to remain competitive in the market place, maintain employee satisfaction, and remain responsible to the taxpayers; and,

WHEREAS: The attached Step Pay Schedule has been drafted in conjunction and conformity with the

various City Council budget meetings during 2016 and to ensure compliance with the federal Fair Labor Standards Act.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF NEBRASKA CITY THAT:

The City Council hereby adopts the Step Pay Schedule attached hereto as the Step Pay Schedule for the Fiscal Year 2016-2017 for the various listed employee positions of the City of Nebraska City, Nebraska. The rates of pay as provided shall be effective from the 1st day of December, 2016, and shall continue until amended by future Resolution.

A. Synopsis of Issue:

a. Kearney Hill Road Improvements Project CDBG #14-CIS-003. All Specifications, Contract Documents and any

revisions have been completed and ready to go out for bid.

B. Options:

a. Approve Plans, Specifications and Contract Documents as submitted and begin advertising, Invitation to Bid.

C. Fiscal Note:

a. This project is funded using 60% CDBG Funds and City Funds through Capital Improvements Projects at 40%, all

have been budgeted for in the 2016-2017 budget year.

b. CDBG Funds are capped at $220,000.00. Once this cap is hit, 100% of the cost is the City’s responsibility.

Engineers estimate is for the Project is $328,000.00.

D. Recommendation:

a. Approve Plans, Specifications and Contract Documents to allow advertising for Invitation to Bid.

By approving, we can start advertising for bid for four weeks starting, Nov. 25th

E. Background:

a. This has been approximately two years of work leading up to this point. JEO has been in design for the project in the

last six months. Judi Meyer with SENDD is our representative for the CDBG funds and will be working with us

throughout the project to stay in compliance with all Federal Funding requirements. JEO will serve as Engineer and

provide Responsible Charge (RC) duties for daily construction operations.

Meeting pertaining to the Project please see Marty Stovall.
