GTC

I. General parameters and scope

1. All contractual agreements established with the customer shall be governed exclusively by our General Terms and Con-ditions (hereinafter also termed „Terms and Conditions“). We shall not recognise or admit Terms and Conditions defined by the customer that shall be in contradiction of or at variance with those stipulated by us, unless we shall have expressly ac-cepted their applicability. Our Terms and Conditions shall also apply in the event that we effect delivery unconditionally to the customer in cognition of prevailing Terms and Conditions defi-ned by that party that shall be in contradiction of or at variance with those stipulated by us.

2. We shall be entitled to effect subsequent modification of these Terms and Conditions in prevailing agreements. Such modification shall assume validity solely in the event that the customer shall have consented to the modification or if the customer’s consent shall be deemed apportioned in ac-cordance with the provisions detailed below. We shall com-municate the revised Terms and Conditions to the customer in writing not later than two months prior to the proposed date upon which they are to come into effect and shall, conco-mitantly, annotate the amended clauses. Consent pertaining to the validity of the revised Terms and Conditions shall be deemed to have been apportioned if the customer shall fail to intimate to us his rejection thereof prior to the proposed date upon which they are to come into effect. We shall make spe-cial reference to this de facto consent in our communication to the customer.

3. Our Terms and Conditions shall also apply exclusively to all future agreements established with the customer within the parameters of the business relationship that subsists between the customer and us.

4. Since the online shop operated by us is intended solely for commercial traders or entrepreneurs, our Terms and Condi-tions shall apply solely to entrepreneurs, legal persons subject to public law and special funds governed by public law, as defined in § 310 Paragraph 1 of the German Civil Code (BGB).

II. Quotation; conclusion of the contractual agreement; quotation documents

1. Our quotations shall be non-binding and may be revoked by us, or the prices detailed therein modified by us, at any time prior to the customer’s provision of a declaration of ac-ceptance, unless we shall have expressly specified that our quotation shall be binding.

2. We shall retain all proprietary rights and copyrights to ima-ges, drawings, calculations and other documents (hereinafter termed „documents“), also insofar as they shall have been prepared by the customer in accordance with our instructions.

3. We shall have the right to deviate from the documents, such as images, drawings, weight and measurement specifi-cations (here collectively termed „specifications“), that shall be governed by the agreement within the parameters of technical advancement or for production-related reasons to an extent that shall be deemed reasonable in terms of customer de-liverables, unless we shall have expressly asserted that the specifications are to be binding. Furthermore, the right to effect technical modifications and changes in terms of shape, colour, material and/or weight within the parameters of technical ad-vancement and of what shall constitute reasonable customer deliverables shall remain reserved.

4. In the event that an order shall be placed in the absence of a prior quotation having been submitted by us, we shall be entitled to accept the customer’s contractual quotation that shall be incorporated in the order within 14 calendar days of our receipt thereof. Acceptance may be effected by means of a written confirmation of the order or by means of the com-mencement of delivery of the item that is to be supplied to the customer. In the case of the latter, our delivery note shall be deemed to constitute confirmation of the order. The afore-mentioned Terms shall also apply in the event of subsequent orders and additional orders.

5. In the event that the order shall be submitted by electro-nic means, we shall immediately acknowledge receipt thereof. Acknowledgement of receipt shall not constitute a binding ac-ceptance of the order. Acknowledgement of receipt may be combined with the declaration of acceptance.

6. The agreement shall be concluded on the indemnifying pro-viso that appropriate and timely delivery shall be effected by our suppliers. This shall apply solely in the event that non-delivery shall not be attributable to us, particularly if a congru-ent hedging transaction shall have been established with our supplier. Please also see Clause XI in this regard. We shall inform the customer immediately of the non-availability of the service and shall return any remuneration already received without delay.7. Specifications detailed in brochures, promotional literature or catalogues (whether in printed format or online) shall be deemed integral to the components of the delivery item solely if such an imperative shall have been expressly agreed by the

customer and us.

8. No liability shall be accepted for modifications and errors occurring in any brochures, promotional literature or cata-logues (whether in printed format or online). Images shall be similarly treated and may, for technical reasons, deviate from the original.

III. Prices and terms of payment

1. Unless otherwise agreed with the customer, our prices shall be deemed net and ex-works (EXW – Incoterms 2010) and shall exclude incidental costs, such as those incurred on freight and duty; in the event that these shall be incurred, they shall be separately invoiced and specifically annotated within the invoice. Value-added tax is not included in our prices; inso-far as value-added tax shall be applicable, the amount thereof prevailing on the date of invoicing shall be specifically annota-ted within the invoice.
