Extract from Articles of Association (1):Maximum number of directors
37. The maximum number of directors shall be 11.
Eligibility as directors
38. A person shall not be eligible for election/appointment as a director under articles 40 to
42 unless he/she is a member of the company.
39. A person appointed as director under articles 43 and 44 need not, however, be a
member of the company.
Election, retiral, re-election
40. At each annual general meeting, the members may (subject to article 37) elect any
member (providing he/she is willing to act) to be a director. Nomination shall be made by a
member.

Extract from Articles of Association (2):41. The directors may at any time appoint any member (providing he/she is willing to act) to be
a director (subject to article 37). Any Director appointed during the year should stand down at
AGM but be eligible to re-stand for their first 3 year term.
42. Each director shall hold office for a term of three years after which he or she must retire at
the immediately following AGM. Retiring directors may be re-appointed by ordinary resolution
for a subsequent three year term, but shall not hold office for a continuous period of more than
six years, unless they are serving as an office bearer in which case their term of office will be
subject to the provisions of article 48.
Adviser(s) to the board and any committee of directors
43. In addition to their powers under article 41, the directors may (subject to article 37) at any
time appoint any non-member of the company to be a director (providing he/she is willing to act)
on the basis that he/she could be of assistance to the directors. The maximum number of non-
member co-opted directors will be 2.
44. At each annual general meeting, all of the directors appointed under article 43 shall retire
from office – but shall then be eligible (subject to article 39) for re-appointment under article 43.
