Media giant tells P&Gto Viacom and get it
Procter & Gamble (N:PG)has entered into a $300Mcross -platform marketingpartnership with Viacom(N:VIA) which gives it ac-cess to 12 Viacom televisionproperties, which is beingcalled Viacom Plus, and in-cludes CBS Television Net-work, MTV, MTV2, VH1,
Nickelodeon/Nick at Night,CMT, BET, UPN, TV Land,Paramount Television, KingWorld and Comedy Central.Although the initial deal isonly for TV and cable, TheWall Street Journal reportedthat the companies also planto eventually expand intoother outlets, such as radio,outdoor and Blockbustervideo rentals.

April continues downwardrevenue spiral
The Radio Advertising Bureaunumbers are in for April, and itcontinues to tell the tale of thelate, lamented dot-com dollars.National business, where theirabsence is felt the most, weredown 22% compared to April2000, and local business de-clined by 5%, bringing total rev-enues down 9% for the month.

FINOVA mulling bids
FINOVA Group (N:FNV) says ithas been contacted about a $7Bbuyout bid by General Electric's(N:GE) GE Capital and GoldmanSachs (N:GS) and will give con-sideration to the competing bid.
FINOVA had previouslyagreed to a $6B bid by Berk-shire Hathaway (N:BRKa) andLeucadia National (N:LUK)when it filed a Chapter 11 peti-tion for bankruptcy reorganiza-tion in March (RBR 3/5, p. 2).Immediately afterward, reportsbegan circulating that GE Capi-tal and Goldman Sachs weremeeting with dissatisfiedFINOVA creditors to put to-gether a competing bid (RBR 3/19, p. 13)-a $7B bid which wasfinalized late last week whenGE Capital and Goldman Sachssigned a letter of intent with agroup of FINOVA creditors.
"Although FINOVA has notreceived a copy of the letter ofintent, been informed of its termsor been contacted by the princi-pals, it has requested a meetingwith these parties," FINOVAChairman G. Robert "Bull"Durham said in a company state-ment. "FINOVA's Board of Di-rectors is committed to maximiz-ing FINOVA's value and looksforward to thoroughly review-ing the terms of the proposal."
Meanwhile, in reaction to theGE/Goldman bid, the Berkshire-Leucadia joint venture-calledBerkadia-is revising the termsof the bailout deal it had filedwith the US Bankruptcy Courtin Wilmington, DE. Berkadiawill drop its guaranteed mini-mum interest rate of 9% on a

LA Times claims payola"smoking gun"
A story in the Lo., i Times(5/29) claimed that internal docu-ments used by independentrecord promoters-called"banks"-directly link recordairplay to payments from labels."What you have here is a smok-ing gun," Peter Hart of thewatchdog group Fairness & Ac-curacy in Reporting was quotedas saying. He claimed that thedocuments provided proof thatthe activities of record promot-ers amount to illegal payola. TheTimes story also included quotesfrom record promoters who de-nied any tit -for -tat deals to pro-vide stations with cash, travel,concert tickets and other good-ies in return for airplay. Thepromoters said the documentsare nothing new or unethical-that they are merely internalrecords to keep track of airplay.

Commission set, sort of
A day after the Senate Commit-tee on Commerce, Science andTransportation registered a 17-0vote to confirm the nomina-tions of Michael K. Powell (R)for chairman of the FCC, andKathleen Q. Abernathy (R),Kevin J. Martin (R) andMichael J. Copps (D) as Com-missioners (5/28), they receivedthe blessings of the full Senate.
Two of them, Abernathy andCopps, were officially sworn in5/31. Republican HaroldFurchtgott-Roth and Demo-crat Susan Ness have just asofficially exited.
Further change is in store forthe FCC, however, as the otherDemocrat, Gloria Tristani, hasannounced she will be vacatingher seat for a run at Sen. PeteDomenici (R) back in her homestate of New Mexico. She hasnot yet announced her date ofdeparture.-DS
FCC approvingincomplete applications
Since implementing itselec-tronic filings system early thisyear, the Federal Communica-tions Commission has grantedat least five radio station trans-fers without providing publicaccess to the sales contracts, asrequired by the FCC's own rules.
Radio Business Report hassought access to each and everystation sale contract, whethersubmitted as a file attached tothe electronic form or on paper.

Radio NewtWe have also diligently checkedhack for updated filings. Todate, though, the FCC's MassMedia Bureau has granted fivetransfers where, despite re-peated requests, the documentswere never made available toRBR or the general public. RBRis preparing legal filings to havethese illegal grants rescinded.

tion in stages over the past fewmonths, the FCC's CDBS elec-tronic filing system has beenplagued by problems. Many at-torneys, engineers, journalistsand researchers have com-plained of difficulties in eithersubmitting or retrieving infor-mation. In many cases, the sys-tem has refused to accept elec-tronic attachments to FCC forms,so attorneys and engineers haveresorted to sending in CD-ROMcopies or old-fashioned paper.
Despite efforts by FCC staff-ers to update the electronic fill-ings from the CD-ROM submis-sions or to dispatch copies of thepaper filings to the Public Refer-ence Room, the list of incom-plete filings maintained by RBRhas been growing faster than theproblems are being resolved (seepage 15 for a market -by -marketlist of the problem filings).
RBR observation: While wedon't want to do any damage tobroadcasters who have submit-ted their required documenta-tion, only to have it get lostinside the FCC, RBR is standingfirm on making the FCC enforceits rules. Station sale contractsare public contracts and trans-fers may not be granted whenthere has been no public accessto those public documents.-JM
Business still shy in Chitown
RBR has acquired .hicago radio revenue torwaid pm( ingreport for the week ending 5/20 prepared by I fungerhml,Aldrin, Nichols & Carter from an anonymous source. Wilde itdoes not paint a pretty picture, there are signs of hem.; limesahead. August advance sales on the national side arc .( to)better than in June and July. One factor skewing the local/national numbers is said to be the fact that national buys arebeing placed on a regional basis, and often get counted aslocal. Q4 is said to be looking good.
RBR observation: There is a good chance radio will haverighted itself by Q4. The biggest problems are in the largestmarkets, and radio groups which are further down the markettotem pole have, in may cases, already turned the corner.Further, the end of tough dot-com comps was the month ofMay, up 25% last year. However, in Y2K radio continued ona double-digit parade throughout the summer, per the RAB-June was 14%/14%/14% local/national/total, July was 11%/9%/11% and August was 11%/6%/10%. It was not untilSeptember, with 6%/-6%/3%, that business really began totank. And September 2001 is when comps will become benign.

right to match, and obvi-ously if Infinity gets them,Westwood's going to syndi-cate them. That's really thebottom line deal."
So Premiere has been try-ing, but they won't get theshow? "Right. It's not beensigned yet, but it's not goingto happen."

ABC News trims down
ABC News has reportedly givenbuyout packages to 85 staffers,including producers, editors andeditorial assistants -all part ofDisney's ongoing effort to trim4,000 out of 120,000 staffers by7/ 1. "We think to get to thenumber that we need to get toto satisfy Disney, there will beanother 25-30 layoffs. The wholeprocess will be completed byJuly 1. ABC News Radio will bereally diminutive because it is asmall staff. to begin with-theyget their stuff from ABC News,"two RBR sources explain.-CM
New court dateset for Bubba
WXTB-FM's Bubba The LoveSponge's (Todd Clem) attorneyappeared before a Florida judgeto answer the charges of felonyanimal cruelty (a boar castration/slaughter) for his client. Clem hadpleaded not guilty to the chargeslast month. While Bubba didn'tappear in court, he and the otherdefendants (including two listen-ers that performed the act) mustappear during the next appear-ance, set for 6/11. The crime ispunishable by up to $10K finesand five years in jail. No word yeton whether the slaughter videowill be released to the media(RBR.com 5/29).-CM
Internet radiolistening stable
Internet radio listening duringthe weekend leading into Memo-rial Day increased 38% over theprevious weekend, according tothe MeasureCast Internet RadioReport for the week of 5/21-5/27.
However, MeasureCast'sInternet Radio Index for theentire week was unchanged at149. Saturday, 5/26 and Sunday,5/27 saw the highest percent-age of weekend listening so farthis year. Internet radio listen-ing over the weekend accountedfor 14% of the total number ofhours streamed last week.

Rep. Jim Traficant (D -OH), currently under indictment for tax evasion, bribery and racketeeringbegan a four -day run at the mic on Clear Channel's WKBN-AM Youngstown, OH on 5/29. He'sfilling in for host Dan Ryan. The tell -it -like -it -is Congressman says his legal drama is the result ofJustice Department harassment and blames the FBI for much of his district's local corruption.-CM
NYC pirate radio operator arrested
US Marshals have arrested Ibar Mohamed from operating an unlicensed station at 89.3 mHz inQueens and Brooklyn NYC. Prior FCC warnings and enforcements had not convinced Mohamedto shut down. Marshals had also seized Mohamed's equipment on two previous occasions.-CM
Launch Media announces financing
Launch Media (O:LAUN), producer of online music destination site Launch.com, announced 5/29 it has completed $2M short-term secured debt financing from a "major media company." Thisfinancing replaces the secured convertible note financing that the company had previouslyannounced pursuant to a non -binding letter of intent.-CM
WZJM-FM Cleveland switches to Active Rock
Yet another Clear Channel Jammin' Oldies outlet is retired: this time WJZM-FM Cleveland. Theswitch took place on the morning of 5/25, over to Active Rock. The new name: "Xtreme Rock."The entire staff was terminated and the station is currently running without DJs. The new PD isMichael Luczak.-CM
Spent Listening (TTSL). 16 sta-tions showed an increase in cume.Significant increases in TTSL weremade by ESPNRadio.com (40%),and WolfFM.com (28%). The to-tal number of hours streamed byon-line broadcasters measuredby MeasureCast has increased49% since January.

Emmis mourns Heckman
The grand old man of Indianaradio newscasters, FredHeckman, has died of cancerat age 77. Heckman served for35 years as news director ofWIBC-AM, from 1957 until exit-ing in 1993 in a dispute withnew owner Horizon Broadcast-
ing. He returned on a part-timebasis when the station was ac-quired by Emmis (O:EMMS) ayear later and continued to de-liver his "My Town Indy" com-
mentaries until retiring as se-nior news analyst just last year.Heckman was inducted into theIndiana Journalism Hall of Famein 1982 and the WIBC news-room was dedicated to him af-ter his retirement.

Jack Messmer) As I was growingup in central Indiana, hearing FredHeckman on WIBC was a bigfactor (perhaps the biggest) inmaking me want a career in radionews. He led an aggressive, hard-hitting news team-and a class actas well. Years later, I told RandyOdeneal. whose Sconnix Broad-casting then owned WIBC, that myultimate career goal had alwaysbeen to become news director ofWIBC-but it appeared that Fredwould never retire! Of course, hedid eventually step down, but notuntil after Odeneal had sold thestation. Fred and I never workedtogether and I only met him face-to-face a few times over the yearsat various industry gatherings.People who knew him betterare obviously feeling his lossmore, but I join them in mourn-ing a top-notch newsman whoseinfluence was felt in ways henever even knew.-JM

Radio Rx-Getmore drug ads
According to a report from theInterep Marketing Group, radiohas benefited greatly from the1997 relaxation of rules govern-ing the advertising of prescrip-tion drugs. Its take from thiscategory grew from $9M in 1999to $33M in 2000.
If that seems good, thinkagain. It is a mere drop in thebucket compared to the $2.3Bthe sector spends annually onadvertising. 50% of that cur-rently goes to TV.
According to Interep's DebbieDurben, some prescription drugcompanies have seized on ad-vantages offered by radio. "Mar-keters are beginning to recognizethe tremendous share of voiceopportunity available on radio,particularly as television becomesincreasingly crowded with com-peting DTC (direct -to -consumer)prescription brands," she said.

I participated in an agency/network panel discussion recentlywith a majority of the New York network radio buyingcommunity. Again and again I heard the same story...we asbuying departments and supervisors need help in the educationand promotion of the medium. For the past two years thenetworks have basked in the glow of large ad budgets, the newdot.com advertisers and a booming economy. Was it short-sighted thinking and failure to realize that the client, planningand account groups for the more traditional accounts and longtime supporters of the medium were being ignored or notrecognizing the personnel changes in the new merging mediabuying services? With all the new network configurations and
buy-outs, information was being disseminated to buyers that could not possibly keep updated their
ever growing client base and personnel changes in planning and account groups.I beg to differ with a well -respected colleague who said there was no need for a Network Radio
Association. Both the often limited -staffed network radio buying departments and thenetworks elimination of dedicated new business teams has hurt this business significantly.While I believe we put our best effort forward to promote the medium and educate ouragency staff and clients, our time is usually dedicated to the budget currently on our desk.Networks and agencies both need additional educational and informational resources intoday's marketplace of 10 second networks, split copy abilities, satellite, Internet, networkreconfigurations, multitude of syndication properties, sponsorships, multi-platform packag-ing, copy reads, promotions, merchandising, etc.
We have history, flexibility, personality, affordability, efficiency, choices and a group ofgreat people who can make network radio a part of almost any advertiser's marketing plan.I still believe that in the age of Internet and "reality based television" that today's consumerstill turns on their radio for music, sports and news. So network management...if you arelistening...until you can rebuild a working Network Radio Association, get yourselvestogether and build a solid generic presentation that demonstrates all the great thingsnetwork radio can do with success stories, creative copy examples, promotions and thenUSE IT! And if anyone at any radio network is confident that they did their due diligencewith regard to educating clients and agencies I welcome you to sit at my desk for just oneday and answer the questions I do...you may be surprised!

Stiff problem inWashington State
A Calilornia ad agency is go-ing out of business, leavinga Washington agency and thestate's Department of Healthwith egg on their face, andleaving 120 radio and televi-sion stations with a dead-beat account, according to astory in Advertising Age.

The Department ofHealth shelled out $1.2Mto a local ad agency for ananti -smoking campaign.The local agency in turnsubcontracted a secondagency based in California.The ads were created,booked and aired. But theCalifornia company is dis-banding and reneging onpaying for the airtime.
The agency apparently of-fered to pay at least oneradio station 50 cents on thedollar to close the account.

Again, the strength of the format group in the top markets boost itto the number one format group in the US. It is far and away theking of the AM dial. Only the Standards format keeps its sub-categories from a clean sweep of the top four rankings.
The formats as a group have made few inroads onto the FM dial,but what little is there is almost all in the All Talk category.

News -Talk is particulary strong in the largest markets. In fact, it isonly in recent years, with the proliferation of syndicated offerings,that smaller markets have been able to afford to run these otherwiselabor-intensive formats. Once out of the top 50, the category neveragain achieves a break-even index of 100, and it is rare for anysubcategory to post an index of 100 or better.
Note that, in particular, the All News subcategory has virtuallyall of its strength in the top 50 markets. In fact, it is in less than halfof the top 50, with only 21 stations generating all of the audiencefor the format. Few stations program an All News format, but theones that do are among the biggest stations in the country.

Sports station, and men are much more likely to tune in than women.This is especially true of the Sports format. Even the young guys,
who put up an index of only 64 for the N -T group, put up animpressive 157 for this subcategory.
What women in general have in common with the young men is that they.too, generally rind something else to listen to. The older women are almostat par for the All News category, but have an index of only 78 for the gr( >upas a whole. It all goes clown from there into the younger female demos.
Men 25 and up carry the clay for the formats as a whole, and tuneinto Sports at double the rate of the general 12+ population.

S&P cuts Ackerley'scredit ratings
Standard & Poor's has cut itscredit ratings for The AckerleyGroup (N:AK). S&P (5/30) low-ered Ackerley's rating for long-term corporate debt to B+ fromBB- and its subordinated debtto B- from B. S&P said its out-look for Ackerley is "negative."
Although S&P noted thatAckerley had recently reduced itsdebt load with the $200M sale ofthe NBA Seattle SuperSonics, thecompany's debt at year end isprojected to be around $275M-up from the current S230M. WithAckerley's broadcast and outdoorbusinesses expected to generate
about $35M in EBITDA (cashflow minus corporate overhead)this year, the company's debt toEBITDA ratio will rise to "the highseven times area," S&P said.
On the plus side, S&P notedAckerley's "solid market posi-tions and the business and geo-graphical diversity of its out-door advertising, television, andradio operations." However, itwarned that Ackerley's creditratings could be lowered againif the company's "overall finan-cial profile deteriorates signifi-cantly this year from currentexpectations or if it does notmeaningfully improve in 2002."

"Right now, we're not market-ing the stations, although if some-one were to call us and offer us 150to 175 [million dollars] we wouldcertainly look at that very strongly-but we are not trying to sell ourradio group." Ackerley Co -Presi-dent Denis Curley said in the 5/2discussion with Wall Street ana-lysts. "The other thing is, if wewere-to get into Seattle, there arefive groups currently in Seattle andthere are no stations [available] tobuy. If you want in Seattle, you'regoing to have to pay a premium."
RBR observation: Who couldwe expect to come up with thatS150 -175M? Rumors are circulat-ing that Microsoft (O:MSFT) co-founder Paul Allen. who ownsKXL-AM & KXJM-FM Portland,OR, is one potential buyer who'sinquired about the Ackerley sta-tions. The other logical buyer isViacom's (N:VIA) Infinity, whichwould have to spin off an FM-perhaps to Salem (O:SALM),which has four operating AMsand an expanded band alloca-tion in the market. The market'sother big players are Entercom( N:ETM), which has a full load offive FMs, and two groups whichhave not been active buyers oflate, Fisher (O:FSCI) andSandusky. Seattle. =14. is the larg-est US market which has nary aClear Channel (N:CCU) station,hut the mega -group of mega -groups appears to be focusedright now on digesting last year'spile of acquisitions and making afew fill-in purchases-not tomention figuring out how to op-erate 1,200 stations in a toughadvertising market.
Orban/CRL buying Avocet
Circuit Research Labs Inc.(O:CRLI), which lately has beencalling itself Orban/CRL, an -

nounced 5/29 that it has anagreement to acquire AvocetInstruments Inc. Avocet is a
supplier of audio receivers andcoders for the television indus-try. Saying that Avocet willcomplement the line of TV prod-ucts currently produced by CRLand Orban, CEO JayBrentlinger said the acquisi-tion will also "offer productioneconomies that will substantiallyincrease the line's profitability."Operations of Avocet, currentlybased in Beaverton, OR, will berelocated to Orban/CRL'sTempe, AZ manufacturing plantlater this year. Terms of theacquisition were not announced.
Meanwhile, Orban/CRL hasamended its annual report (10-K)to the SEC for 2000. After filing itsoriginal 10-K, Orban/CRL said,"the Company's managementdetermined that sales totaling$275,060 that was recorded in2000 should have been reverseddue to their subsequent return bythe customer in the first quarter of2001." Even so, said CFO JimSeemiller, "sales exceeded ourgoals and budgets and createdsubstantial backorders going for-ward into 2001, which we are inthe process of filling."
Stations seguein Santa Rosa
Sinclair Telecable has a compli-cated deal to acquire a trio ofstations in the Santa Rosa, CAmarket from companies ownedby Mary F. Constant. The localsuperduopoly owner is identi-fied in the RBR Source Guide &Directory as Moonbeam Inc.,but neither selling companyactually carries that name.
In part one of this deal,Sinclair Telecable. headed byPresident J. David Sinclair, willpay Independent BroadcastingCorp. $9M cash for two of theFMs-with $5.5M allocated toKRSH and $3.5M to KGRP.
Part two is a stock deal, withSinclair paying Constant $2.1M forall of the stock of Deas Communi-cations Inc., the licensee of KSXY.
All three have been LMAedby Sinclair since 4/12.
RBR observation: You maythink this is a complicated deal,but it's actually less complicatedthan what had been planned.The original contract called forIndependent and Deas to swapKGRP and KSXY before the sale,apparently to enhance the taxadvantages of the stock saleportion of the dual deal. Ac-cording to a contract amend-ment, the parties subsequentlydetermined that it would actu-ally be more advantageous, tax -
wise, to leave the stations withtheir original licensees, so thepre -sale swap was called off.
Brill Media revenuesup slightly
Brill Media, whose fiscal yearended 2/29/01, reported thatrevenues for the year rose amodest 2% to $45.8M.
Revenues for Brill's radiogroup were down slightly over$200K to $17.7M, but the previ-
ous year's results had in-cluded LMA fees from somestations which were in theprocess of being sold. Ex-cluding those LMA fees, ra-dio revenues were up 2.4%.
Newspaper revenues rose4.2% to $28.1M. Media cash flowfor the year declined 9.3% to$11M, primarily due to increasedcosts at the newspaper division.
Brill Media is privatelyowned by Alan Brill, but haspublic bonds.

The deal includes WHUC-AM/WZCH-FM out of Hudsonand WCKL-FM/WCTW-FMout of Catskill. RBR observation: BeforeGloria Tristani writes anotherobjection to a deal which willend the chances of competitionwithin a given market, let uspoint out that the sum and total ofthe 12+ ratings garnered by thesefour stations during the Fall2000 survey was 11.2 shares.This is less than the total amassedby one leading station inmany similarly -sized markets(Ann Arbor is ranked #146).
While these stations weresnagging their 11.2, Detroitstations were walking off with57.9 shares of the Ann Arborear pool. Even a Toledo sta-tion made off with 1.0. However, the group has gonedown 3% over the last four weekswhile the rest of the radio uni-verse was flat.
BAS's Radio BroadcastingMonthly predicts that Q3 maywell be the bottom of thecurrent revenue slump. Whilethey expect continued pres-sure on stock prices, they alsosuggest that this may be agood spot for those interestedin radio to do some carefulbargain shopping.
