Call to Order The meeting was called to order at 10:03 a.m. by Mary Jane Burke.

Approval of Agenda A motion to approve the agenda was made by Marguerite Bulkin and seconded by Brock Falkenberg, and passed unanimously.

Approval of Minutes of October 16, 2016 Marguerite Bulkin made a motion to accept the minutes of the October 16, 2016 meeting as presented. Brock Falkenberg seconded the motion and it was passed unanimously.

Welcome from FCMAT’s Administrative Agent Christine Frazier welcomed board members and guests and thanked everyone for attending.

Introduction of new members: Christine Frazier introduced the new and returning board members: Mary Barlow, Associate Superintendent, Kern CSS; Brock Falkenberg, Superintendent, Lake COE; Gayle Garbolino-Mojica, Superintendent, Placer COE (returning); Kent Kern, Superintendent, San Juan USD; Rick Schmitt, Superintendent, San Ramon Valley USD; Robin Hopper, Superintendent, Mariposa COE; and Ted Alejandre, Superintendent, San Bernardino CSS.

Mary Barlow will replace Christine Frazier as the FCMAT administrative agent representative effective February 1, 2017; Brock Falkenberg replaced Garry Eagles as the region 1 county representative; Gayle Garbolino-Mojica returned as the region 3 county representative; Kent Kern, not present, replaced Chris Evans as the region 3 district representative; Rick Schmitt replaced Tom Lohwasser as the region 4 district representative; Robin Hopper replaced Cecilia Massetti as the region 7 county representative; Al Mijares replaced Randolph Ward as the region 9 county representative; and Ted Alejandre, not present, replaced Stacey Adler as the region 10 county representative.

FCMAT Executive Committee Approval for hire:

Mary Jane Burke announced that two CSIS positions were approved for hire: David Tindall, CSIS Programmer/Analyst and Nouman Shah, CSIS Programmer/Analyst. She also stated that one FCMAT position was approved for hire: Andrea Dodson, FCMAT Intervention Specialist. No board action required; information only.

Acknowledgment of leaving members: Mary Jane Burke acknowledged and thanked Garry Eagles, Superintendent, Humboldt COE, not present; Randolph Ward, Superintendent, San Diego COE, not present; Ellen Dougherty, Superintendent, Lawndale ESD, not present; and Christine Frazier, Superintendent, Kern CSS, for their service on the FCMAT Board of Directors. Joel Montero personally thanked Christine for her support and friendship and wished her the best.

Report from the California Department of Education (CDE) Nicolas Schweizer presented the CDE update to the board. He commented on topics such as the reorganization of CDE’s internal structure, CDE’s stakeholder meetings and webinar offerings.

Nicolas discussed the two major changes in the reorganization of the CDE. First, he stated that new teams will be instituted with the focus of increasing the CDE’s capacity to support districts across the programs, divisions, and branches within the CDE. These teams will be created with new focuses, such as a team focus on integration of state and federal programs; team focus of teacher and administrator support and capacity building; team focus for integrating programs focusing on the whole child, such as support for child care, before and after school care, and nutrition; team focus on LEA and school-level planning and evaluations; and team focus on building internal capacity. He then mentioned a second internal change: CDE will internally change from four to three branches. The new branches are as follows: 1st branch focus on accountability systems, testing systems; 2nd branch focus on standards, implementation, teacher preparation; 3rd branch will house the internal operation of the CDE, school facilities, nutrition programs, and state special schools. Nicolas said implementation of the reorganization will be at the beginning of the 2017-18 fiscal year.

Nicolas reported that the CDE is mainly focused on the work of consolidating and integrating the federal planning and accountability requirements for the LCAPs. He also said that the CDE will be offering webinars and stakeholder meetings in February 2017 hosted at Fresno COE, Orange CDE, Riverside COE, and Sacramento COE. More information can be found on the CDE website.

Nicolas briefly commented on the federal regulation associated with school site expenditure reporting. He stated that the CDE will begin working with WestEd to develop an outreach plan to discuss how to create a standard methodology used across the state that reflects current expenditures.

Report from Michael Hulsizer Michael Hulsizer reported on the highlights of the state budget update. He presented the California Budget Summary/Governor’s 2017-18 Budget Proposal Memorandum, dated January 25, 2017; K-14 Facts and Figures 2017-18; and the California School Boards Association (CSBA) editorial on CalPERS, which were all included in the board packet.

State Budget Update Michael stated that revenue is down; the Governor’s budget summary reports that revenues for the three year period 2015-16 through 2017-18 are now $5.8 billion or 1.6% lower than projected last June. Michael mentioned that Governor Brown provided two reasons for the revenue deterioration: reduced overall wage growth and reductions in General Fund tax collections since June 2017. The Governor pointed out that as a consequence, the current 2016-17 budget would face a deficit of almost $2 billion. Accordingly, Governor Brown proposes a number of one-time

spending adjustments, delays, and suspensions to General Fund spending commitments to “rebalance the budget.” He stated that the 2017-18 Budget does not provide any additional funds beyond those from the prior year budget.

Michael discussed the next steps of measures for the state budget, which included the launch of the six-month process of enacting a new state spending plan for 2017-18. He referenced the CSBA editorial regarding the impact on schools from the higher contribution rates between CalPERS and CalSTRS. He stated that the Governor proposes no additional increases to employer (or employee) contributions beyond those already scheduled.

Report from the Office of the Chancellor, California Community Colleges (CCCCO) Mario Rodriguez reported on the highlights of the community colleges. He presented the CCCCO memo and California Guided Pathways overview, which were both provided as handouts.

Mario announced the new Chancellor, Eloy Ortiz Oakley, who was not present. He referenced the CCCCO memo as he reviewed the key points of the California Community Colleges budget and briefly discussed the impact of the 2017-18 Governor’s Budget release.

Mario commented on the California Guided Pathways overview and then briefly discussed the conflict between the community colleges and California Guided Pathways.

Report from Business and Administration Steering Committee (BASC) Denise Porterfield reported on the Common Message. She commented on common topics of interest among school CBOs, such as the Uniform Guidance and recent CalSTRS regulation amendments. Common Message Denise stated that BASC is currently working on the updates to the Common Message, which is chaired by John Von Flue, Kern County Superintendent of Schools. She stated that this edition will highlight issues of the budget, specifically the reserves, CalSTRS and CalPERS, and negotiations. She stated that this edition of the Common Message will be released to the county offices by February 15, 2017. She commented on the challenges that are emerging in the 2017-18 year.

Report from the California Collaborative for Educational Excellence (CCEE) Josh Daniels, Director of Training and Outreach, CCEE, reported on the highlights of the CCEE’s update. He introduced himself to the board and announced that the CCEE has identified two new LEA appointments: Anaheim Union High School District, Orange County and Victor Valley Union High School District, San Bernardino County. He stated that CCEE will have a set of springtime professional development trainings starting in March 2017 with Spanish translation available. CCEE reduced the seats available to 250 per workshop and increased the number of workshops from 9 to 11 for the year; adding two new locations in the north coast region and the central coast region.

Report from the CEO Vice Chairman of the Board Appointment

Christine Frazier made a recommendation to appoint Gayle Garbolina-Mojica, Superintendent, Placer COE, as the vice chairman of the board. A motion was made to approve Gayle Garbolina-

Mojica to serve as the vice chairman of the board by Christine Frazier and seconded by Tracey Quarne, and passed unanimously.

Certification 1st Interim – Unofficial Count Joel Montero provided a brief review of the Certifications of Financial Reports, which was included in the board packet. He stated that the number of districts that self-certified as qualified had doubled from 14 to 28, while the number of districts that self-certified as negative remained the same.

Status of Deputy Operations Officer, CSIS recruitment Michael Fine provided a status update to the board regarding the CSIS Deputy Operations Officer recruitment. FCMAT was not able to complete the final interviews for this position; so, it remains open. He asked the board to help seek new candidates for this unique position.

Status of Key Assignments Report A written report of current FCMAT jobs was provided with board materials. Michael Fine briefly reported on the following:

Inglewood Unified School DistrictMichael Fine reported that the 5th progress review of Inglewood USD has been scheduledfor March 2017. He stated that FCMAT will continue to work with the stateadministrator, Dr. Vince Matthews.

Sausalito-Marin City School DistrictMichael Fine commented on the final report of the study. After back-and-forth writtenresponses between the FCMAT and district, FCMAT’s findings and outcomes haveremained the same.

Parlier Unified School DistrictMichael Fine stated that the work has been completed for this study; now has an activedistrict attorney’s office investigation involved.

Oxford Preparatory AcademyMichael Fine said that the work has been completed for this study; now has an activedistrict attorney’s office investigation involved.

FCMAT/CSIS Quarterly Report Nancy Sullivan provided an update to the board. A printed copy of the FCMAT/CSIS status report summarizing the recent CALPADS accomplishments dated January 2017 was provided in the board packet.

Nancy briefly commented on the Governor’s recommendation with respect to 2017-18 funding for CSIS support of CALPADS. She also mentioned that the CSIS office will be moving locations within the Sacramento area in February 2017.

FCMAT Professional and Product Development Approval of the CBO Mentor Program, 14th Cohort participants

Shayleen Harte briefly commented on the participation selection for CBO Mentor Program 14th cohort, which was provided in the board packet, and thanked the board for their continued support. She encouraged those who didn’t make the cut for this cohort to please apply again next year. She stated that the 13th cohort graduation ceremony will be held on March 11, 2017.

Debra Duardo made a motion to approve the list for the CBO Mentor Program, 14th cohort, as presented. Jim Cloney seconded the motion and it passed unanimously.

Projection-Pro Project Michael Fine provided an update and informed the board that the Projection-Pro software will replace the Budget Explorer software. The full release is less than a year away; anticipate it will be released with the Governor’s Budget release in 2018.

SACS Software Project Michael Fine stated that FCMAT will be the contractor to revise and modernize the SACS software, not the structure. FCMAT is working through the current engagement; first deliverable will be the actual scope and cost of the project so that the CDE can commit to the budget.

LCFF Calculator Michael Fine commented on the LCFF calculator. Next version update will be released in April 2017; the calculator will have a number of new features and updates.

Public Participation There were no comments from the public.

Board Members’ Comments Ed Cora announced a new CBO position opening in northern Santa Barbara.

Economic Update

U.S. consumer price inflation rose 2.5 percent in January from a year ago, the fastest year-over-year growth

since early 2012. Employment in California and the nation continued to grow, albeit more slowly than in 2016.

LABOR MARKET CONDITIONS

California’s unemployment rate fell by 0.1 percentage point to 5.1 percent in January, only 0.2 percentage point higher than the pre-recession low of 4.9 percent in December 2006. The U.S. unemployment rate rose by 0.1 percentage point to 4.8 percent in January before falling back to 4.7 percent in February.

The labor force participation rate held steady at 62.2 percent in California in January. It rose by 0.2 percentage point to 62.9 percent for the U.S., before rising again by 0.1 percentage point in February.

California added 9,700 jobs in January, well below the monthly average gain of 30,000 jobs in 2016. Seven sectors gained jobs while four lost jobs. Educational and health services gained the most (19,800), followed by professional and business services (12,500), information (7,200), financial activities (1,700), government (900), other services (400), and manufacturing (200). The sector losing the most jobs was trade, transportation and utilities (down 21,100), followed by construction (6,900), leisure and hospitality (4,700), and mining and logging (300).

California’s year-over-year job growth was 2.0 percent in January, higher than the 1.6 percent in the U.S. but significantly slower than the 2.7-percent monthly average in 2016.

The benchmark revision showed that over the course of 2016, California’s labor force participation rate rose by 0.1 percentage point to 62.2 percent while the U.S. held steady at 62.7 percent.

BUILDING ACTIVITY

California added 82,000 housing permits in January at a seasonally adjusted annualized rate, lower than the 100,000 total permits in 2016. In January, 46,000 units were single-family and 35,000 units were multi-family. Both numbers were down from a month ago by 21.3 percent and 37.8 percent, respectively.

Nonresidential valuation was also down by 4.3 percent to $26.1 billion on a seasonally adjusted annualized basis in January from a month ago, and lower than the $26.7 billion total nonresidential valuation in 2016.

REAL ESTATE

Sales of existing single-family homes in California rose in January, with sales volume up from both the previous month and year by 2.1 percent and 4.4 percent respectively to a seasonally adjusted annualized rate of 420,100 units, slightly higher than the monthly average of 418,570 units in 2016.

The statewide median home price in January fell by 3.8 percent from last month to a seasonally-adjusted $489,580 in January. Although the price was still 4.8 percent higher from a year ago, the January price was lower than the 2016 average of $501,560.

MONTHLY CASH REPORT

Preliminary General Fund agency cash for February was $256 million below the 2017-18 Governor’s Budget

forecast of $5.186 billion. Year-to-date revenues are $253 million below the forecast of $73.664 billion.

Personal income tax revenues to the General Fund were $50 million below the month’s forecast of $2.811 billion. Withholding receipts were $220 million above the forecast of $4.628 billion. However, refunds issued in February were $252 million higher than the forecast of $2.294 billion. Other receipts were $20 million below the forecast of $527 million. Proposition 63 requires that 1.76 percent of total monthly personal income tax collections be transferred to the Mental Health Services Fund (MHSF). The amount transferred to the MHSF in February was $1 million below the forecast of $50 million. Year-to-date General Fund income tax revenues are $259 million below forecast.

Sales and use tax receipts were $166 million below the month’s forecast of $1.973 billion. February cash includes a portion of the final payment for fourth quarter 2016 sales, as well as the first prepayment for the first quarter 2017 sales. Year-to-date revenues are $226 million below forecast.

Corporation tax revenues were $77 million below the month’s forecast of $259 million. Prepayments were $6 million below the forecast of $110 million and other payments were $102 million lower than the $238 million forecast. Total refunds for the month were $31 million below the forecast of $90 million. Year-to-date revenues are $106 million above forecast.

Insurance tax revenues were $1 million below the month’s estimate of $29 million. Year-to-date insurance tax revenues are $20 million above forecast. Revenues from the estate, alcoholic beverage, tobacco, and pooled money interest taxes were $2 million above the month’s forecast and are up $4 million year-to-date. "Other" revenues were $36 million above the month’s forecast of $82 million and are up $103 million year-to-date.

Re: Amendments to FCMAT Conflict of Interest Code

The Board is required to review and update the FCMAT Conflict of Interest Code when changes are necessary and report the changes to the Fair Political Practices Commission. On the following pages, you will find a revised code that incorporates proposed amendments that need to be adopted to reflect changes in administrative staff.

The only change is to the list of Designated Positions in Appendix A. These are the positions whose holders must disclose certain investments, holdings and sources of income annually on FPPC Form 700.

The proposal is to (1) delete the position of Deputy Executive Officer II to reflect the retirement of Anthony Bridges and the decision not to continue that position and (2) add the position of Chief Administrative Officer, currently held by Michael Fine.

The disclosure categories for all designated positions are Categories I and II, as described in Appendix B to the Code.

The requested action is a motion to adopt amendments to Appendix A of the Conflict of Interest Code as recommended by staff.

FISCAL CRISIS AND MANAGEMENT ASSISTANCE TEAM (FCMAT)

CONFLICT-OF-INTEREST CODE

The Political Reform Act (Government Code Section 81000, et seq.) requires state and

local government agencies to adopt and promulgate conflict-of-interest codes. The Fair

Political Practices Commission has adopted a regulation (2 California Code of Regulations

Section 18730) that contains the terms of a standard conflict-of-interest code, which can be

incorporated by reference in an agency’s code. After public notice and hearing, the

standard code may be amended by the Fair Political Practices Commission to conform to

amendments in the Political Reform Act. Therefore, the terms of 2 California Code of

Regulations Section 18730 and any amendments to it duly adopted by the Fair Political

Practices Commission are hereby incorporated by reference. This regulation and the

attached Appendix (or Appendices), designating positions and establishing disclosure

categories, shall constitute the conflict-of-interest code of the Fiscal Crisis and

Management Assistance Team (FCMAT). (FCMAT is created pursuant to the provisions of

Education Code Section 42127.8)

Individuals holding designated positions shall file their statements of economic

interests with FCMAT, which will make the statements available for public inspection

and reproduction. (Gov. Code Sec. 81008.) Upon receipt of the statements for the

Members of the Board, FCMAT shall make and retain copies and forward the originals to

the Fair Political Practices Commission. All other statements will be retained by

FCMAT.

FCMAT/California School Information Services

Program Status Report FY 2016-7 April 2017

Introduction The California School Information Services (CSIS) Program, administered by the Fiscal Crisis and Management Assistance Team (FCMAT), was created to address a variety of challenges faced by California local education agencies (LEAs) in the management, exchange and effective use of public school student, staff and institutional data. This report provides a summary of FCMAT/CSIS work related to CALPADS from mid-January through mid-March 2017.

Summary of Recent FCMAT/CSIS CALPADS Accomplishments During this quarter, FCMAT/CSIS completed the following CALPADS work:

Supported the amendment window for Fall 1 (enrollment, graduates, dropouts, Free and Reduced Price Meal (FRPM) eligibility, English Language Acquisition Status, Title III Eligible Immigrants and unduplicated counts of FRMP/English Learner/Foster youth) and the initial and final deadlines for the Fall 2 submission (teacher demographics, staff assignments, student course enrollment, and English Learner services data). All but two closed LEAs certified their Fall 1 submission. The Fall 2 submission closes March 31, 2017; the final status will be provided at the Board meeting.

Completed requirements, development, testing and configuration/deployment work for CALPADS releases in February and March to support the Fall 1 and Fall 2 submissions.

Completed requirements tasks and began development and testing work for releases to support the End of Year Submission (EOY) that will begin on May 15, 2017. The EOY submission includes EOY 1, Course Completion and Career Technical Education; EOY 2, Program Participation; and EOY 3, Absence Summary/Cumulative Enrollment/Discipline. The student absenteeism data and certification of cumulative enrollment counts automatically calculated from enrollment records posted in CALPADS will be required for LEAs the first time in 2016–17. The collection of two new data elements, Golden State Seal Merit Diploma and State Seal of Biliteracy, will be added to the Student Enrollment (SENR) file type on May 9, 2017 in preparation for EOY.

Began requirements work for releases in June and for changes in 2017-18. Changes for the 2017-18 year include revisions to the CALPADS security model to better accommodate existing system usage, desired enhancements, and extensions to CALPADS to include Assessment administration and reporting, Accountability analysis, and CASEMIS transition to CALPADS.

Supported LEAs in maintaining data in CALPADS, including making any updates needed for assessment purposes.

During this quarter, CSIS also completed its move to the new CSIS office in Sacramento at 500 Capitol Mall, Suite 200 (Second Floor). The FCMAT/CSIS data center move was completed concurrently over the weekend of February 17th with minimal downtime to FCMAT and CSIS email, listservs and websites.

ARTICLE I Name

This organization shall be known as the Fiscal Crisis and Management Assistance Team (FCMAT) Governing Board.

ARTICLE II Role and Functions of the Governing Board

Section 1: General Purpose

The general purpose of the Governing Board is to provide policy direction and broad operational guidance to the County Office that has been selected to operate FCMAT. In performing this general purpose, the Governing Board will work cooperatively with the County Office to enable the County Office to perform satisfactorily its duties under its contract with the California Department of Education and to insure performance of FCMAT's statutory and contractual duties.

Section 2. Specific Duties

The specific duties of the Governing Board, as determined by statute and the contract between the State and the County Office of Education that serves as Administrative/Fiscal Agent, are to:

A. Implement the organizational structure provided by the County Office as the operational framework for the Team

B. Select Team members based on recommendations of the County Office

C. Develop criteria for and prioritize requests for assistance, including requests from the SPI, in cooperation with the Team

D. Develop standardized formats for reports

E. Develop, in cooperation with the Team, and distribute rates for onsite personnel costs and travel costs incurred by the Team

F. Define fiscal emergency

for contract services to assist school districts and county offices that have a fiscal emergency

I. Determine the training required to comply with the purpose of FCMAT

J. Approve any payments to the CDE, from available funds, to reimburse the CDE for actual administrative expenses incurred in the review of the budgets and fiscal conditions of school districts and county offices

K. Establish procedures for board members to obtain reimbursement of

expenses from the members' respective agencies such as travel and per diem

L. Perform additional tasks as assigned to the Governing Board by statute or

state contract. Section 3: Advisory Function The Governing Board provides advice on issues brought to the Board by board members, the Administrative Agent or the Team. Items for Board review can be placed on the agenda of quarterly meetings of the Board and/or considered by the Executive Committee of the Board in order to respond to issues on a timely basis. Issues for Board/Committee advice should relate to the purposes for which FCMAT was established and should generally meet the following criteria:

A. The issue is of significant importance to FCMAT

B. The issue is consistent with the purpose of the organization

C. Action on the issue will not compromise the neutrality and independence of FCMAT.

Section 4: Informational Function The Board functions as an avenue of communication and information among school districts, county offices of education, community colleges, charter schools, the administrative agent and the Team. This function can be accomplished by written/electronic means, as well as during scheduled meetings. The purpose of this function is to insure the relevance and accuracy of information with which FCMAT is working, and to enhance the collaborative efforts of FCMAT.

Section 5: Preserving FCMAT’s Independence and Objectivity In discharging its general and specific duties, the Governing Board will insure that FCMAT is kept free from real or perceived interference or conflicts of interest that might impair its independence and objectivity.

ARTICLE III Executive Committee

An Executive Committee of the Board shall be established for the purpose of conducting the business of the Board as needed to respond to issues in a timely manner, and to review issues in preparation for regularly scheduled Board meetings. The Executive Committee shall be composed of the chair, immediate past chair, vice-chair, two district superintendents selected by the Board, Chancellor of the California Community Colleges or his or her designee serving as a member of the Board, the Administrative Agent and the chief executive officer of FCMAT. The Executive Committee will convene as needed and determined either by the chair, the Administrative Agent, or the CEO.

ARTICLE IV Role and Functions of the Administrative and Fiscal Agent

Section 1: General Purpose The general purpose of the County Office selected by the State as Administrative and Fiscal Agent is to provide immediate supervision of the Team and operate all aspects of FCMAT in accordance with the terms of its contract(s) with the State of California and applicable statutes. Section 2: Specific Duties The specific duties of the County Office, as determined by statute and its contract with the State, are to:

A. Provide fiscal crisis intervention when requested by School Districts, County Offices of Education, the Board of Governors of the California Community Colleges or when assigned by the SPI.

B. Provide management assistance to School Districts, County Offices of

Education, Community Colleges (CC) and Charter Schools when requested or assigned

C. Provide workshops and in-service training to School Districts, County

Offices of Education, Community Colleges and Charter Schools staffs

D. Conduct site reviews and studies, on request or assignment

E. Serve as fiscal advisor, on assignment

F. Assist county superintendents in performance of audits or reviews under Education Code Section 1241.5, on request

G. Act as a resource for innovative and effective solutions to School Districts, County Offices of Education, Community Colleges and Charter Schools fiscal management and business operation problems

H. Operate the California School Information Systems (CSIS) as directed and funded by the State

I. Recruit, screen, and recommend Team members to the Governing Board

J. Evaluate Team members

K. Discharge all FCMAT personnel functions

L. Negotiate employee and independent contractor contracts in accordance with the terms of the state contract

M. Review and approve all external reports and submit copies to the CDE

N. Recommend standardized format reports to the Governing Board

O. Recommend criteria for services and service priorities to the Governing Board

P. Assist the Governing Board in the development of rates to be charged for onsite personnel and travel costs incurred by Team members

Q. Market Team services

R. Provide staff support to the Governing Board

S. Perform additional tasks as assigned to FCMAT by statute or state contract.

ARTICLE V Composition of the Board

Section 1(a). The Governing Board shall consist of twenty five (25) voting

members who function according to statutes. The voting members shall consist of one representative from the California Department of Education, and one county and one district superintendent from each of the eleven service regions established by the California County Superintendents Educational Services Association (CCSESA), the Chancellor of the CCC or his or her designee, and one member of a community college district governing board chosen by the chancellor.

Section 1(b) In addition to the voting members specified in subsection (a),

above, there shall be one nonvoting member representing the charter schools of the state, and one nonvoting member representing the California Collaborative for Educational Excellence (CCEE), each selected by the Executive Committee, upon recommendation by the CEO, and confirmed by a majority vote of the quorum. Except for nonvoting status, the charter school member and CCEE member shall have all the rights and duties of voting board members.

Section 2. County superintendents shall serve a two-year term, staggered so

that one-half of the Directors are elected in any one year. Directors in odd numbered regions will be elected in even numbered years.

Section 3. District superintendents' initial terms were staggered in one, two,

and three-year terms. District superintendents serve three-year terms after their staggered term expires. The community college district governing board member serves a three-year term.

Section 4. The charter school member and CCEE member serve three-year

terms. Section 5. Each board member is encouraged to select an alternate from

his/her region, or, in the case of the charter school member, from a charter school and in the case of the CCEE member, from the CCEE, to attend in his/her absence. The role of the alternate shall be to convey any information to the board on behalf of the absent regular member and to observe and report back to the regular member regarding the board meeting. The alternate shall not be considered a member of the board for any purpose including voting or establishing a quorum.

Section 6. The board shall elect a chairperson to conduct meetings and a vice

chair to conduct meetings in the chairperson's absence. Section 7. The chairperson and vice chair shall be county superintendents that

serve a term of two years. Section 8. The FCMAT board shall appoint a replacement for any member

who may be unable to perform his/her duties due to resignation or other inability for the remainder of his/her term. A concurrence of two-thirds (2/3) of the board will confirm this appointment.

ARTICLE VI

Nominations and Elections Section 1. The State Department representative and Chancellor of the CCC or

his or her designee shall serve a continuing term. County superintendents shall be nominated by CCSESA and district superintendents shall be nominated by the Association of California School Administrators (ACSA) in October of each year. The community college district governing board member is chosen by the Chancellor. FCMAT will notify CCSESA, ACSA, the Chancellor, and the Executive Committee of expiring terms.

Section 2. Elections shall be held in October. New board members will begin

their terms in January of the next year.

ARTICLE VII Meetings

Section 1. Regular meetings shall be held on a quarterly basis. Section 2. Special meetings may be called when deemed necessary by the

California Department of Education, Administrative Agent, FCMAT CEO, or Board Chairperson.

Section 3. A quorum consists of thirteen (13) voting members. Section 4. The Administrative Agent, FCMAT CEO, and designated staff shall

attend meetings of the Board of Directors. Section 5. Meetings shall be conducted in accordance with the Bagley-Keene

Act relating to open meetings.

ARTICLE VIII

Finances Section 1. Allowable expenditures are the actual and necessary costs of

travel, lodging and meals of the board member. Expense claims and receipts shall be submitted to the FCMAT secretary for processing.

Section 2. Fiscal control shall be in accordance with AB 1200 and the contract

limitations established by the California Department of Education.

ARTICLE IX Dissolution

The board shall continue in existence until it is dissolved upon the effective date of the repeal of the statutory authority which created the board, or upon the effective date of any statutory amendment which so substantially alters that authority as to require the creation of a different board or governance structure.

ARTICLE X Rules of Order

The board shall act upon majority vote of the quorum.

ARTICLE XI Amendments

Any amendments to these Bylaws may be adopted at a regularly scheduled meeting by a two-thirds (2/3) vote of those members in attendance at the meeting at which amendments are considered for approval. Written notice shall be given to board members at least two weeks prior to the meeting.
