SECOND PART+.desirous of appointing Super Stockiest / Distributor have agreed it to

an agreement to conduct business for and on behalf of the -FIRST PART+.the terms &

condition agreed to amongst the parties are reduced to writing as under:-

TERRITOR+: That the operations the SECOND PART+. shall be allotted the area

you may approach the Distributor / Dealer located in the allotted area only

under business losses if re!uired the company has full right to increase number

of Super Stockiest / Distributor for said territory"

STATUS POSITION: That the SECOND PART+. shall hold the position of

super stockiest /distributor on his authori#ed territory and shall en$oy all the rights

privileges and facilities and simultaneously by bond by all duties and liabilities as the

distribution network development sales promotion and payment recovery on behalf

term & condition of company with own responsibilities"

PRICE STRUCTURE: The price finali#ed between the F3st Pa3t and the Se5678

Pa3tis %"' (aisa/ ' )s" packet and *"+ paisa/+ )s" (acket inclusive all the ta,es and

freight for ne,t Three months and The )ate of the upcoming product will be finali#ed

only once it is launched in the market"ake .ll ma,imum prices will be printed on the

date of dispatch time to Super Stockiest / Distributor shall ensure that the company

should the keep the uniform pricing policy and as such as the price shall be notified for

selling the products to subordinate distribution network as well as to consumer which

are self e,planatory will be dispatched for your reference and records"

)AT/CST REGISTRATION: That Super Stockiest / Distributor will have to obtain

the necessary )AT CST registration number in the name of the own firm in the specified

territory and will be liability for own cost/e,perience" That all direct ta,es including

CST / )ATshall be born by the -SECONDPART+. and reimburse by the-FIRST

PART+. in way of credit note sub$ect to fulfillment of all reports information &

clearance of dues payments by the -SECOND PART+.on time to -FIRSTPART+.*

CARRIAGE TRANSPORTATION OF GOODS:That freight of goods on 0)

basis to the SECOND PART+1 transport destination shall be borne by the FIRST

PART+.on way of credit note" Thereafter loading/unloading charge & freight will be

reimburse by SECOND PART+1 own cost to the S2304D (.)T1"

DAMAGE DEFECTED : Super Stockiest /Distributor/ will event of receipt ofany

Damaged / Shortage aterial of receipt from the transportation will keep the company

informed within % days of receiving as all particular product wise in writing us to settle

the claim in kind either should not be accepted"

MODE OF SUPP"+ OF GOODS: That the-FIRST PART+. shall supply goods to

the SECOND PART+. against road permit & form. C -9 re!uired" The

delivery of material shall be affected as 5 days of before payment receiving in advance

make supply upon depending the availability of suitable appropriate 6oods / (lace /

Transportation / Situation"

*OB"IGATION OF CUSTOD+ OF GOODS: That the SECOND PART+. shall

also responsible for safecustody of the goods including their storage and

Delivery with own risk they are delivered to the only authori#ed

Distributors/ Dealer / )etailer of order through local delivery on own "0")"

cost sales and payment shall strictly ensure that the goods only yours responsibilities

and also inform you company in fruitful way"

PA+MENT TERMS: - payment shall be made against on place order in advance 5

days before dispatch of goods only" That the secondary payment shall be collected by

the SECOND PART+1 and the FIRST PART+1 shall not any involvement inregards to payment" 3redit will be issue on the company nature not be bounded"

MINIMUM ORDER UANTIT+: 6oods once 0rder / Sold should not back either

if make anydispute arising conditions i"e" delivery schedule/ availability of goods etc"

That the SECOND PART+.shall place a minimum order !uantity of 5' bo, mi,

falvour for Super Stockiest on the company order book format duly signed and stamp

with Demand Draft /3he!ue/ 7ire Transfer in advance 5 days of available products"

SECOND PART+.is re!uired order dispatch on the +st %t38and 'thday of every week

for fruitful supply"

* SUBORDINATE DISTRIBUTION NET'ORK: That Super Stockiest /

Distributor bounded and derivemay appoint Distributor / Dealer / )etailer in

its territory of its own e,perience and contractual basis as per re!uirement and

as per company norms" Super Stockiest / Distributor shall only be responsible for

their omission or commissions company8s representative also obligation for that butnot be bounded"

*SUPP"+ TO SUBORDINATE DISTRIBUTION:- That the SECOND

PART+. will supply stock to the authori#ed subordinate distribution networkonly on his territory as for the instruction from the company8s officer

assigned for the purpose not make any differences and fully responsible for the same

only SECOND PART+."

SA"ES TARGET:- The company shall fi, and inform about sales target of !uantity in a

!uarterly basis in future but also second party bounded to sell the minimum ' bo, forSuper Stockiest" in primary phases and shall ensure to achieve the above target with own

FIRST PART+will provide its logo to the SECOND PART+only to include in

SECOND PART+ want to use logo somewhere else then they have to inform to theFIRST PART+in prior"

PROMOTION: That the-FIRST PART+. will try to maintain of the (roduct

the companyrepresentative to inspect all the documents and assist in any en!uiry that they may

wish to make with regard to goods dispatched and balance stock of the company remaining
