tion Part I - Name

1. ThenameoftheOrganisationshallbeTHELIBERALPARTYOFAUSTRALIA,whichnameshallbeadoptedbytheDivisionsintheStatesandtheAustralianCapitalTerritory.

Part II - Objectives

2. TheobjectivesoftheOrganisationshallbetohaveanAustraliannation:-

(a) dedicatedtopoliticallibertyandthefreedomanddignityofman;

(b) safefromexternalaggressionandlivingintheclosestcommunionwithfellowmembersoftheCommonwealth,playingitspartinaworldsecurityorderwhichmaintainsthenecessaryforcetodefendpeace;

(c) inwhichnationaldefenceisamatterofuniversalduty,andinwhichthespiritofpatriotismisfosteredandallAustraliansunitedinthecommonserviceoftheircountry;

(d) inwhichanintelligent,freeandliberalAustraliandemocracyshallbemaintainedby:-

i) aParliamentcontrollingtheExecutiveandtheLawcontrollingall;

ii) independenceoftheJudiciary;

iii) freedomofspeech,religionandassociation;

iv) freedomofcitizenstochoosetheirownwayoflivingandoflife,subjecttotherightsofothers;

v) protectingthepeopleagainstexploitation;

vi) lookingprimarilytotheencouragementofindividualinitiativeandenterpriseasthedynamicforceofprogress;

vii) developingtothefullestextentanationalspiritinAustralia;

(e) inwhichmenandwomenwhohavebeenmembersofthefightingservicesandtheirdependantsshallenjoyhonourandsecurityandwherepreferenceandgenerousrepatriationbenefitsarerecognised;

(f) inwhichprimary,secondaryandtertiaryindustriesarepromoted,newandadequatemarketsdeveloped,thelotofcountrypeopleimproved,ruralamenitiesincreased,anddecentralisationofindustriesencouraged;

(g) inwhichthereshallbenonationalisationofanyAustralianindustrywithouttheapprovalofthepeople;

(h) inwhichconstantemploymentatgoodwagesisavailabletoallwillingandabletowork;

(i) inwhichemployerandemployeehaveasenseofcommoninterestandduty,andshareasco-operatorsinalladvancesofprosperity,andinwhichlivingstandardsrisesteadilyasphysicalresourcesexpandandingenuitygrows;

tion (j) inwhichsocialprovisionismadefortheaged,theinvalid,thewidowed,

thesick,theunemployedandtheirchildren;

(k) inwhichadequatemedicalservicesarewithinthereachofall;

(l) inwhichacomprehensivesystemofchildandadulteducationisdesignedtodevelopthespiritoftruecitizenship,andinwhichnoconsiderationofwealthorprivilegeshallbeadeterminingfactor;

(m) inwhichtheyouthofthenationisgiveneveryencouragementtodevelopitstalenttothefull,recognisingthatfromitsrankswillcometheleadersoftomorrow;

(n) inwhichfamilylifeisseenasfundamentaltothewell-beingofsociety,andinwhicheveryfamilyisenabledtoliveinandpreferablytoownacomfortablehomeatreasonablecost,andwithadequatecommunityamenities.

Part III - Powers

3. TheOrganisationshallhavethefollowingpowers:-

(a) toestablishinanyplacewithinAustraliabranchesoftheOrganisation,andDivisionsintheStatesandtheAustralianCapitalTerritory;

(b) toprovide,maintainandmanageandcarryonHeadquarters,Clubs,SocialCentresandplacesofmeetingorrecreationorinstructionwithinAustraliaasmayberequired,andtofurnish,equipandprovidesuppliestherefore;

(c) topurchase,takeon,leaseorinexchange,hireorotherwiseacquireanyrealandpersonalestatewhichmaybedeemednecessaryorconvenientforanyofthepurposesoftheOrganisation;

(d) toconstruct,maintainandalteranyhouses,buildingorworksnecessaryorconvenientforthepurposesoftheOrganisation;

(e) totakesuchstepsbypersonalorwrittenappeals,publicmeetingsorotherwise,asmayfromtimetotimebedeemedexpedientforthepurposesofprocuringcontributionstothefundsoftheOrganisationintheshapeofdonations,annualsubscriptionsorotherwise;

(f) toinvestanymoneysoftheOrganisationnotimmediatelyrequiredforanyofitsobjects,insuchamannerasmayfromtimetotimebedetermined;

(g) toenterintoanyarrangementforamalgamation,jointworkingorco-operationwithanyParty,association,societyorbodyofpersonswhetherincorporatedornotcarryingonworkorhavingobjectssimilartotheworkandobjectsoftheOrganisationandtoassistandsupportbypecuniarycontributionsorotherwisetheoperationsofanysuchParty,association,societyorbody,andtotakeoveruponanytermsalloranyoftheproperty,undertakingsandliabilitiesofanysuchParty,association,societyorbody;

tion (h) toproduceandpublishandtodistributegratuitouslyorotherwisesuch

books,newspapers,pamphlets,periodicalsandotherliteratureasmayseemcalculatedtopromotetheobjectsoftheOrganisation;

(i) toreceiveandacceptdonations,subscriptionsandendowmentsormoneyorofanyformofproperty;

(j) (Clause 3(j) amended by Resolution of the 1996 Federal Council)

(i) toborrowmoneywithorwithoutsecurityforthepurposeofcarryingoutanyoftheobjectsorexercisinganyofthepowersoftheorganisation;

(ii) todraw,make,accept,indorseanddiscountbillsofexchangeandsimilarinstrumentsforthepurposeoforinconjunctionwiththeexerciseofthepowersoftheOrganisationunderparagraph(j)(i)ofthisclause;

(k) toimprove,manage,develop,sell,exchange,lease,mortgageorotherwisedealwithorturntoaccount(butsubjecttoanysuchconsentorapprovalasmaybylawberequired)alloranyofthepropertyoftheOrganisation;

(l) toengageanddismissallpaidofficersandservantsoftheOrganisationandfixtheirremunerationandtermsofemployment;

(m) tograntandpaysuchpensions,salaries,gratuitiesorothersumsinrecognitionofservicetoanypersonasmayfromtimetotimebeapprovedbytheFederalExecutiveortheExecutiveofaDivisionoftheOrganisation;

(n) toappointatrusteeortrusteespersonalorcorporatetoreceiveandholdanypropertyonbehalfoftheOrganisationandtoallowanysuchpropertytoremainoutstandinginsuchtrusteeortrustees;

(o) todoallsuchactsandthingsasareormaybeincidentalorconducivetotheattainmentorfurtheranceofanyoftheobjectsortheexerciseofanyofthepowersoftheOrganisation;

(p) notwithstandingtheprovisionsoftheabovesubclauses,theOrganisationshallnotbeempoweredtoencumbertheOrganisation’sFederalHeadquartersbuildinginanywaywhatsoever.

4. TheOrganisationisformedtocarryouttheobjectivesabove-mentionedandnotforthepurposeoftradingorsecuringpecuniaryprofittothemembersfromthetransactionsthereof.

5. TheincomeandpropertyofthePartywhencesoeverderivedshallbeappliedsolelytowardsthepromotionoftheobjectsofthePartyassetforthinthisConstitutionandnoportionthereofshallbepaidortransferreddirectlyorindirectlybywayofprofittothemembersoftheParty.ProvidedalwaysthatnothinghereincontainedshallpreventthepaymentingoodfaithofremunerationwhetherbywayofsalaryorhonorariaorotherwiseinreturnforanyserviceactuallyrenderedtooronbehalfoftheParty,toanyofficersorservantsofthePartyortoanymemberthereoforotherperson.

tion6. IfuponwindingupordissolutionofthePartythereremainsaftersatisfaction

ofallitsdebtsandliabilitiesanypropertywhatsoeverthesameshallnotbepaidordistributedamongstthemembersofthePartybutshallbegivenortransferredtosomecompany,association,societyorotherbodyhavingobjectssimilarorinpartsimilartotheobjectsofthePartyandwhichshallprohibitthedistributionofitsortheirincomeandpropertyamongitsortheirmemberstoanextentatleastasgreatasisimposedonthePartyunderorbyvirtueoftheConstitutionsuchcompany,association,societyorotherbodytobedeterminedbytheFederalCouncilofthePartyatorbeforethetimeofdissolutionandindefaultthereofsuchJudgeoftheSupremeCourtasmayhaveoracquirejurisdictioninthematter.

Part IV - Structure of the Organisation

7. TheOrganisationshallcomprise:-

(a) theFederalCouncil,theFederalExecutiveandsuchothercommitteesasarehereinafterprovided;

(b) theDivisionsashereinafterconstitutedwhichareempoweredtoadoptfromtimetotime,Constitutions,StandingOrdersandrules(hereinaftercalled‘theConstitutionoftheDivision’)forthemanagementandcontroloftheaffairsofaDivisionandinparticularthefollowingPartsoftheConstitutionwhichshallonlyapplytoaDivisionwhichresolvestoadoptthesaidPartorpartsofanysectionthereof,namely-

PARTV Membership PARTVI Branches PARTVIII ExecutivesoftheDivisions PARTIX OfficersoftheDivisions

Part V - Membership

8. AnypersonwhoisaresidentofAustraliaoritsTerritoriesorwhohasavoteattheFederalorStateelectionoranelectionfortheAustralianCapitalTerritoryHouseofAssemblyshallbeeligibleforenrolmentasamember.

9. Rulesrelatingtoqualificationsandapplicationsformembershipandtheiracceptance,expulsionofmembers,annualmembershipfeeandrightsandobligationsofmembersshallbeprovidedforintheConstitutionofeachDivision.

10. AnypersonwhoresignshismembershiporwhohasbeenexpelledorhadhismembershipsuspendedaccordingtotheprovisionsoftheConstitutionofhisDivisionshallnotbeentitledtomembershipoftheFederalParliamentaryPartyortoparticipateinthemeetingsofthatbody.

tion Part VI - Branches

11. BranchesoftheOrganisationmaybeformedinaccordancewiththeprovisionsoftheConstitutionoftherelevantDivisions.

12. BranchesoftheOrganisationmay,withtheconsentoftheExecutiveanduponsuchtermsandconditionsasitthinksfit,beformedintheNorthernTerritory.

13. Thefunctionsofabranchshallbe:-

(a) topromotetheobjects,policyandplatformoftheOrganisation;

(b) toworkfortheelectiontoParliamentoftheselectedandendorsedcandidateoftheOrganisation,andforthatpurposetoco-operatewithalltheotherbrancheswithintheelectorateandwithcommitteesinorganisingtheelectoratetothatend;

(c) toenlistsupportersoftheOrganisationasmembersofthebranch;

(d) toraisefundsforthepurposeoftheOrganisationandforfurtheranceofitsobjects;

(e) tosecuretheenrolmentofeverypersoneligibleasanelectorandtheremovalfromtheElectoralRollofthenamesofallunqualifiedpersons;

(f) toencouragewithinthebranchandtheOrganisationalleducationalworkofapolitical,socialandeconomiccharacter;

(g) toadoptresolutionsforsubmissiontotheCounciloftheDivisionortosuchothercommitteesintheDivisionsasmaybeprovidedforintheConstitutionoftheDivision.

NobranchshallaffiliatewithanyoutsidebodywithouttheconsentoftherelevantDivisionalauthority.

14. (Clause 14 deleted by Resolution of the 1994 Federal Council and replaced by the following clause)

EachbranchshallelectannuallyorbienniallyaCommitteeconsistingofaPresident,Secretary,Treasurerandsuchotherofficebearers,delegatesorcommitteesasmayberequiredbytheConstitutionoftheDivision.

15. SubjecttothisConstitutionandtotherightoftherelevantDivisionalauthorityfromtimetotimetoprescribeby-lawstobeobservedandbindingonbranchesgenerally,eachbranchshallhavetheconductandmanagementofitsownaffairs.

16. Where,intheopinionoftherelevantDivisionalauthority,itisimpracticaltoformabranchinanelectorate,itmayapproveoftheformationofacontactgrouporgroups,andmayfromtimetotimeprescribeby-lawsfortheircontrolandmanagement.

tion17. InthisPart“therelevantDivisionalauthority”meanstheCounciloftheDivision,

theExecutiveoftheDivisionorsuchotherbodywhich,undertheexistingConstitutionoftheDivisionconcerned,isvestedwiththerequisitepower.IftheConstitutionoftheDivisionissilentastowhichbodyshallexercisethepower,thentherelevantDivisionalauthorityshallbetheExecutiveoftheDivision.

Part VII - Divisions

18. ThereshallbeaDivisionoftheOrganisationineachStateandtheAustralianCapitalTerritoryconsistingofthemembersoftheOrganisationresidentthereinand,subjecttothisConstitution,themanagementandcontroloftheaffairsofaDivisionshallbevestedintheCounciloftheDivision,exceptinthecaseoftheQueenslandDivisionwheretheyshallbevestedintheConvention.

19. TheCouncilofaDivision,or,inthecaseoftheQueenslandDivision,aConventionshallhaveinadditionpower-

(a) toexercisealloranyofthepowersoftheOrganisationashereinbeforementionedwithintheboundariesofitsDivision;

(b) todelegatealloranyofitspowerstotheExecutiveoftheDivisionorsuchothercommitteeorcommitteesasitmaydeemexpedient,withtheexceptionofanypowerordutywhichisexpresslyreservedtoit;

(c) tomakerulesorregulationsfortheconductofitsownbusinessandthatoftheDivision.

ThereshallbeelectedannuallyorbienniallyasdeterminedbythatDivisionaPresident,anExecutiveandsuchotherofficebearersandcommitteesfortheDivisionasmaybeprovidedfortheConstitutionoftherelevantDivision.

Part VIII - Executives of the Divisions

21. SubjecttothisConstitutionandtothecontroloftheCounciloftheDivision,orConventioninthecaseoftheQueenslandDivision,themanagementoftheaffairsoftheOrganisationineachDivisionshallbevestedintheExecutiveoftheDivision.

22. ItshallexercisesuchpowersandfunctionsasareexpresslyconferreduponitbytheConstitutionoftheDivisionandinadditionsuchpowersandfunctionsasmaybeconferreduponitbytheCounciloftheDivisionorConventioninthecaseoftheQueenslandDivision.

23. TheFederalPresidentandtheFederalParliamentaryLeaderofthePartyshallbeMembersex-officiooftheExecutiveofeachDivision.

tion Part IX - Officers of the Divisions

24. TheExecutiveofaDivisionorsuchotherbodyasmaybeauthorisedtothatendundertheConstitutionofthatrelevantDivisionmayfromtimetotimeengageuponsuchtermsasitthinksfitaChiefExecutiveOfficerandsuchotherofficersasitconsidersnecessary.

Part X - Federal Council

25. ThereshallbeaFederalCouncilwhichshallconsistof:-

(a) thePresidentofeachDivisionor,wherethePresidentisotherwiseamemberofFederalCouncilbyvirtueofsubclauses25(h)or(j)(i),(ii)or(iii),aDelegatewhoisnotamemberofParliamentoramemberofFederalCouncilbyvirtueofotherprovisionsofthisclause25,andwhoischosenbythatDivision;

(b) (Clause 25(b) deleted by Resolution of the 1994 Federal Council and replaced by the following clause)

ThePresidentoftheWomen’sSectionineachDivisionor,intheeventthatsheisconcurrentlythePresidentoftheFederalWomen’sCommittee,hernominee;

(c) (Clause 25(c) amended by Resolution of the 2009 Federal Council)

thePresidentoftheYoungLiberalMovementfromeachDivisionor,intheeventthatheorsheisconcurrentlytheFederalPresidentorFederalVice-PresidentoftheYoungLiberalMovementofAustralia,hisorhernominee;

(d) (Clause 25(d) amended by Resolution of the 2009 Federal Council)

eachStateandTerritoryParliamentaryLeader;

(e) (Clause 25(e) deleted by Resolution of the 2009 Federal Council and replaced by the following clause)

TenotherdelegateschosenannuallyorbienniallybyeachDivisionasdeterminedbythatDivision,themajorityofwhomshallnotbeMembersofParliament;providedthatnopersonwhoisalreadyamemberofFederalCouncilbyvirtueofotherprovisionsofthisclause25maybechosenasadelegateunderthisprovision;

(f) theFederalParliamentaryLeaderandDeputyLeader,andtheLeaderandDeputyLeaderoftheParliamentaryPartyintheSenate;

(g) theFederalPresidentandFederalVice-PresidentoftheYoungLiberalMovementofAustralia;

(h) theImmediatePastFederalPresident;

(i) thePresidentoftheFederalWomen’sCommittee;

i) theFederalPresident; ii) theFederalVice-Presidents; iii) theHonoraryFederalTreasurer; iv) thesuccessortotheFederalPresident; v) thesuccessortotheHonoraryFederalTreasurer;

theChairmanoftheFederalRegionalandRuralCommitteeestablishedbyclause85.

26. SaveasexpresslyprovidedinthisConstitutionandwithoutlimitingthepowersofeachDivision,themanagementandcontrolofthefederalaffairsoftheOrganisationshallbevestedintheFederalCounciland,inadditiontoanypowersanddutieshereingivenandvestedintheFederalCouncil,suchCouncilshallhavepower:-

(a) toexercisealloranyofthepowersoftheOrganisationashereinbeforementioned;

(b) tomakesuchby-lawsasmayberequiredforcarryingoutanyofitspowers;

(c) todelegatealloranyofitspowerstotheFederalExecutiveorsuchothercommitteeorcommitteesasitmaydeemexpedient,withtheexceptionofanypowerordutywhichisexpresslyreservedtotheFederalCouncil.

27. WithoutlimitingthegeneralityoftheaforegoingprovisionsthedutiesoftheCouncilshallbe:-

(a) todoeverythinginitspowertostimulatetheprogressofLiberalisminAustralia;

(b) toexpresstheviewsoftheOrganisationoncurrentpoliticalquestionsastheyarise;

(c) toraise,administerandinvestfundsfortheperformanceofitsdutiesandthoseoftheFederalExecutiveandtheFederalSecretariat;

(d) tomaintaintheFederalSecretariat;

(e) toco-ordinatetheactivitiesofthevariousDivisionsinrelationtofederalmatters;

(f) fromtimetotimedetermine,alteroramendtheplatformofthePartysubjecttoprovisionshereinaftercontained.

28. (a) (Clause 28(a) amended by Resolution of the 2009 Federal Council)

TheFederalCouncilshallelectannuallyaPresident,fourVice-Presidents(ofwhomoneshallbeawomanandoneaman)andaTreasurer.NomorethantwooftheVice-PresidentsshallbefromanyoneDivision.TheFederalCouncilshalladoptthefollowingprocedureinconductingtheelection.TheFederalCouncilshallseparatelyelectonefemaleVice-PresidentandonemaleVice-Presidentandshallthenelect,separately,twofurtherVice-Presidents.

tion (b) TheFederalCouncilmayinitsdiscretionelecttotheofficeofPresident,

Vice-PresidentorTreasureranypersonwhoatthetimeofelectionisafinancialmemberofaDivisionofthePartywhetherornotsuchapersonisalsoamemberofFederalCouncil.

(c) ApersonelectedtotheofficeofPresident,HonoraryTreasurerorVice-PresidentshallbeamemberofCouncilexofficiofromthetimeheassumesoffice.IfheisnotamemberofCouncilatthetimeofhiselectionheshallbecomeamemberofCouncilexofficioimmediatelytheresultofhiselectionisdeclarednotwithstandingthatheshallnotassumetheofficetowhichhehasbeenelecteduntiltheconclusionofthemeetingoftheCouncilatwhichheiselected.

29. (a) ThePresident,Vice-PresidentsandHonoraryTreasurershallassumetheirrespectiveofficesattheconclusionofthemeetingofFederalCouncilatwhichtheyareappointedandshallholdthesameuntiltheconclusionofthemeetingoftheCouncilatwhichtheirsuccessorsareappointed.

(b) AllothermembersoftheFederalCouncilandmembersofallCommitteesshallcontinuetoholdtheirrespectiveofficesuntiltheirsuccessorsareappointed.

30. TheFederalPresidentshallpresideatallmeetingsoftheFederalCouncilatwhichheispresent.IntheabsenceofthePresident,theChairwillbetakenbyaVice-President,or,intheabsenceofbothVice-Presidents,bysomepersonelectedbytheCouncilforthatmeetingoftheCouncil.

31. AnyextraordinaryvacancyintheofficesofPresident,Vice-PresidentsorHonoraryTreasurershallbefilledbytheFederalExecutive,subjecttotheconfirmationofthenextmeetingoftheFederalCouncil.

32. CasualvacanciesontheCouncilamongthedelegatesreferredtoinclause25(e)ofthisConstitutionshallbefilledbytheDivisionconcerned.

33. TheCouncilshallappointsuchcommitteesasfromtimetotimeitmayconsidernecessary.Itshallfixtheirnumbersanddeterminethescopeoftheirauthority.AllsuchcommitteesshallbesubjecttotheauthorityoftheCouncilandshallreporttoitwheneveritmeets.

34. TheFederalPresident,theImmediatePastFederalPresidentandtheFederalParliamentaryLeaderofthePartyshallbemembersexofficioofallFederalcommittees.

35. ThereshallbeanordinarymeetingofFederalCouncileachcalendaryearunlesstheFederalExecutiveotherwisedetermines,providedthatinnocaseshalltherebemorethantwoyearsbetweenordinarymeetingsofCouncil.SpecialmeetingsofFederalCouncilmaybeheldonsuchoccasionsasFederalExecutiveshalldetermine.

UnlessincaseofurgencyorastheFederalExecutiveshallotherwisedetermine,atleast28daysnoticeshallbegiventomembersoftheFederalCouncilofthedateandplaceofanymeetingoftheCouncilandatleast14daysnoticeofthebusinesstobetransactedthereat.AnyproposaltoamendthisConstitutionshallrequire60daysnotice.

37. (Clause 37 amended by Resolution of the 2009 Federal Council)

AtallmeetingsoftheFederalCouncilaquorumshallconsistoftwenty-onepersonsprovidedthatamajorityoftheDivisionsarerepresentedbymemberspresentinpersonorbyproxy.EachmemberofFederalCouncilhasadutytoactintheinterestsoftheOrganisationasawhole.

38. ShouldanymembersoftheCouncilbeunabletoattendanymeetinghe,orfailingappointmentbyhimthePresidentoftherelevantDivision,may,bywritingunderhishandaddressedtotheFederalPresident,appointsomeotherpersonbeingamemberoftheCouncilofhisDivisionortheFederalCounciltoactashisproxy,andsuchpersonshallvoteonhisbehalfaccordingly.

Part XI - Federal Executive

39. ThereshallbeaFederalExecutiveconsistingof:-

(a) theFederalPresident;

(b) theVice-Presidents;

(c) theFederalParliamentaryLeader;

(d) theDeputyFederalParliamentaryLeader;

(e) theLeaderoftheParliamentaryPartyintheSenate;

(f) theDeputyLeaderoftheParliamentaryPartyintheSenate;

(g) theHonoraryFederalTreasurer;

(h) thePresidentsoftheDivisionsortheirnominees;

(i) thePresidentoftheFederalWomen’sCommittee;

(j) theFederalPresidentoftheYoungLiberalMovementofAustralia;

managementoftheaffairsoftheCouncilshallbevestedintheFederalExecutive,andinadditiontoanypowersanddutieshereingivenandvestedintheFederalExecutiveitshall:-

(a) exercisethepowersandfunctionsoftheCouncilbetweenmeetingsotherthanthepowertoamendthisConstitution;

(b) doallthingsnecessaryandessentialtotheefficientmanagementoftheaffairsoftheCouncil;

(iii) theexistenceofcircumstancesthat,intheopinionoftheFederalExecutive,substantiallyprejudicetheabilityofthePartytoeffectivelycontestorwinafederalelection;

(ea) TheFederalExecutiveshallbeconvenedonnotlessthan14daysnoticetoconsideranymatterraisedundersubclause(e);

inwritingtotheDivisionconcernedthefollowing:

(i) thegroundorgroundssetoutinsubclause(e)thatitbelievestobeapplicable;

(ii) arequestthattheDivisionrectifythecircumstancesconstitutingsuchgrounds;

(iii) thetimebywhichsuchrectificationshalloccurwhichshallbeaperiodthat,inthecircumstances,isreasonable;

andtheDivisionconcernedmusthavefailedtocomplywiththerequestoftheFederalExecutive;

(i) appointanadministratororcommitteetotakeoverthemanagementofthatDivisionwhichadministratororcommitteeshallhavethepowersspecifiedbytheFederalExecutiveandshallcomplywiththetermsofreferencespecifiedbytheFederalExecutive;

(ii) rescindoramendanydecisionmadebytheStateorTerritoryexecutiveorgoverningorotherbodyofthatDivision;and

(iii) terminatethetakingoverofthemanagementofthatDivision

ProvidedthatneithertheFederalExecutivenortheadministratororcommitteeshallhavepowertoamendtheConstitutionoftheDivisionconcerned;

(ee) WheretheFederalExecutiveresolvestotakeoverthemanagementofaDivisionpursuanttosubclause(e)theFederalExecutiveshallspecifythefollowing:

(i) thegroundorgroundsuponwhichsuchresolutionisbased;

(ii) thetermofsuchtakingoverwhichshallnotexceedtwoyears;

(iii) thetermofappointmentofanysuchadministratororcommitteewhichshallnotexceedtwoyears;

(iv) thepurposeofthetakingover;

(v) thepowersandtermsofreferenceofanyadministratororcommittee;

(vi) thefrequencyofreportsfromanyadministratororcommitteetotheFederalExecutivewhichshallbenotlessthaneachthreemonthsafterthetakingover;and

(ef) Everyresolutionundersubclauses(e)to(ee)inclusivemustbepassedbyanaffirmativevoteofnotlessthan75%oftheFederalExecutivememberspresentandvoting,includingasimplemajorityoftheDivisionPresidentsortheirproxiespresentandvoting;

(f) TheFederalExecutiveshallhavethefollowingpower,inrelationtocandidateschosenfortheSenateandtheHouseofRepresentatives:-

(i) wheretheFederalExecutive,onthereferenceoftherelevantDivisionortheadviceoftheCandidateReviewCommittee,isoftheviewthatfollowingthepreselectionorendorsementofacandidatetherearemattersorpotentialpubliccontroversywithregardtothepersonalcircumstancesofthatcandidatewhichwerenottakensufficientlyintoaccountinthepreselectionprocessandwhicharelikelytojeopardisetheParty’sprospectsofelectoralsuccessitmayrequesttherelevantDivisiontoreviewthepreselectionorendorsementofthatcandidateinaccordancewiththeappropriateproceduresofthatDivisionandreportbacktotheFederalExecutivewithinareasonabletimeontheoutcomeofitsreview;

(iii) WheretheFederalExecutiveresolvestodis-endorseacandidateitshallrequiretheDivisioninquestiontotakesuchstepsasarenecessarytoselectorappointanewcandidatewhoshallbecometheselectedcandidatefortheParty.

(iv) Forthepurposeofparagraph(i)abovetheReviewCommitteeshallcomprisetheFederalPresident,thetwoFederal-VicePresidents,therelevantStatePresidentandtworelevantDivisionalVicePresidentschosenbytheDivisionorintheeventthataDivisionhasonlyoneVicePresidentanadditionalmemberoftheExecutivechosenbythatDivision;

(iii) thepowersreferredtoinparagraphs(i)and(ii)abovearepowerstotakedisciplinaryactioninrespectofthememberormembersconcernedand,withoutlimitingthegeneralityoftheforegoing,toimposeapenalty,tosuspendthememberfrommembershipofthe

amemberfromtheOrganisation;ProvidedthatthesepowersdonotapplytoaMemberoftheHouseofRepresentativesorSenatorwhoisacandidateandwhowasasittingMemberorSenatorimmediatelybeforethecallingoftheelectionorby-electionconcerned;

(iv) forthepurposeofthisSubclause:

“Partyoffice-bearers”meanstheFederalPresident,theFederalVice-Presidents,theFederalTreasurer,theFederalDirector(“collectivelyreferredtoforthepurposesofthisclauseastheFederaloffice-bearers”),thePresidentoftheDivisionconcernedandnomorethantwoVice-PresidentsoftheDivisionconcerned;“quorum”meansatleastthreeoftheFederaloffice-bearersandatleastoneoftheoffice-bearersoftheDivisionconcerned;Providedthat,ifanyofthesituationssetoutinSubclause(i)(v)(c)apply,aquorumshallbeconstitutedbyanyfourFederaloffice-bearers;“urgentcircumstances”existwhenoneormoremembers(includinganyendorsedcandidatebutnotincludinganysittingMemberofParliament)have,inthepast,madestatementsortakenactionsofwhichthePartybecomesawareormakesstatementsortakesactionsthatareorcouldbeprejudicialtotheelectoralinterestsofthePartyorwhichcouldsubstantiallylessentheParty’sprospectsofelectiontoGovernmentorofwinninganyoneormoreseatsintheCommonwealthParliament;

(v) thepowersprovidedbythisSubclausemaybeexercisedasfollows:

(a) wheretheFederalDirectorformstheviewthaturgentcircumstancesexistormightexistheshalladvisetheFederalPresidentandtheLeaderoftheFederalParliamentaryPartyaccordinglyassoonaspracticable;

(b) theFederalDirectorshallthencontacttherelevantDivisiontoascertainwhethertheDivisionisableorwillingtodealwiththeurgentcircumstancesordesirestomakearequestunderSubclause(i)(i)above;

(c) if,withinatimethatisreasonableinthecircumstancestheDivision’soffice-bearerscannotbecontactedordonotrespondtotheFederalDirector;theDivisionmakesarequestunderSubclause(i)(i)abovebutdoesnotmaketheDivision’soffice-bearersavailableforameetinginrelationtotheurgentcircumstances;theDivisionisunableorunwillingtodealwiththeurgentcircumstances;ortheDivision’soffice-bearersdonotmakethemselvesavailableforameetinginrelationtotheurgentcircumstances;thenaquorumofnotlessthanfouroftheFederaloffice-bearersmaydealwiththeurgentcircumstancesandexercisethepowersprovidedbythisSubclause;

shallcontacttheFederaloffice-bearersandtheDivision’soffice-bearersandgivethemwrittennoticeofameetingbyfacsimile,emailorotherwrittenformwhichnoticeshallbereasonableinthecircumstancesinvolvedbutnoactiontakenbyaquorumofthePartyoffice-bearerspursuanttothisSubclauseshallbeinvalidbyreasonofthefactthattheFederalDirector,afterhavingmadereasonableeffortstocontactalloftheFederaloffice-bearersandtheDivision’soffice-bearersandgivethemwrittennoticeofthemeeting,isunabletocontactorhasnotcontactedalloftheFederaloffice-bearersand/ortheDivision’soffice-bearers;

(e) thePartyoffice-bearers,ornotlessthanaquorumofthem,maymeetinpersonorinanyothermannerthatallowscommunicationbetweenthemtodecidewhethertoexercisethepowersprovidedbythisSubclauseandtoexercisesuchpowersastheyseefit,inordertodealwiththeurgentcircumstances;

(f) themeetingreferredtoinSubclause(i)(v)(e)abovemayexerciseanypowerinSubclause(i)(iii);

(g) eachmemberoftheOrganisationisdeemedtohaveirrevocablyagreedtothetermsandapplicationofthisSubclauseandnoactiontakenunderthisSubclauseshallbechallengedonanybasis.

40A. (Clause 40A inserted by Resolution of the 2009 Federal Council)

(a) TheFederalExecutivehasresponsibilitytoprotecttheParty’sname,logo,brandandotherintellectualpropertyoftheParty.

(b) TheFederalExecutivemaybynoticeinwritingremovetherightofaStateorTerritoryDivisionorotherassociatedbodyofthepartytousetheParty’sname,logo,brandandotherintellectualproperty,andmayestablish,constituteorreconstituteaDivisioninaStateorTerritory.Theexerciseofthispowershallrequirearesolutionpassedbyavoteofnotlessthan75%ofthemembersofFederalExecutive,includingasimplemajorityoftheDivisionPresidentsortheirproxiespresentandvoting.

(v) AuthoriseorpurporttoauthorisetheuseoftheOrganisation’slogoorthename“Liberal”(whetheraloneorinconjunctionwithotherwords)byanyotherparty,association,societyorbodyofpersonswhetherincorporatedornot.ThisparagraphdoesnotapplytoauthorisationsgrantedbyaStateorTerritoryDivisionorotherassociatedbodyofthepartypriortothedatewhenthissubclause40Abecameoperative;

(vi) Otherwisedealwiththe“brand”ofthePartyinrespectoforinassociationwithanyotherpartyorentity.

41. TheFederalExecutivemaydelegateanyofitspowerstosub-committeesconsistingofmembersoftheExecutiveoroftheOrganisation.

Everysub-committeeshallintheexerciseofthepowerssodelegatedconformtoanyregulationswhichmayfromtimetotimebeimposeduponitbytheFederalExecutiveandshallholdofficeforsuchperiodastheExecutiveshalldetermine.

TheFederalExecutivemayempoweranysub-committeesoappointedtomakefinaldecisionsuponanyquestionandtakeactionthereon.

45. ShouldanymemberoftheExecutivebeunabletoattendanymeetinghemaybywritingunderhishandaddressedtotheFederalPresidentappointsomeotherpersonbeingamemberoftheFederalCounciltoactashisproxy.

50. PublicityforFederalpurposesshallbecontrolledandorganisedbytheFederalSecretariat,underthegeneralcontroloftheFederalCouncil,andinco-operationwithanypublicitysectionorcommitteewhichmaybeestablishedbyeachDivision.

Part XIV - Parliamentary Party

51. TheParliamentarysectionoftheOrganisationshallconsistintheFederalsphereofthemembersoftheOrganisationelectedtoFederalParliamentandmaintainingmembershipoftheOrganisation,andineachStateofthemembersoftheOrganisationelectedtotheStateparliament,anditshallbeknownastheFederalParliamentaryPartyandtheStateParliamentaryPartyrespectively.IntheAustralianCapitalTerritorytheParliamentarysectionoftheOrganisationshallconsistofthemembersoftheOrganisationelectedtotheAustralianCapitalTerritoryHouseofAssemblyandmaintainingmembershipoftheOrganisationanditshallbeknownastheAustralianCapitalTerritoryParliamentaryParty.

52. TheParliamentaryPartyshall:-

(a) appointitsLeader,whoshallthereuponbecometheParliamentaryLeaderoftheOrganisation;

(b) beresponsiblefortheworkanddutiesofMembersofParliamentandfortheorganisationofthatwork.

53. ItshallbethedutyoftheParliamentaryPartyandoftheOrganisationtokeeponeanotherinformedonallpoliticalmattersandtoco-operateclosely.ThereshallberegularmeetingsbetweentheLeaderoftheFederalParliamentaryParty,DeputyLeaderoftheFederalParliamentaryParty,theLeaderoftheParliamentaryPartyintheSenate,theFederalPresidentandtheFederalVice-Presidents.

56. Platform

(c) TheFederalParliamentaryPartymay,throughtheFederalParliamentaryLeader,fromtimetotimeaskforareviewoftheFederalPlatformoranypartofit.Uponreceiptofanysuchrequest,theFederalSecretariatshallreferittotheCouncil,whichmay(subjecttoparagraph(e)):

(i) adoptitorreferitbacktotheFederalParliamentaryPartyforfurtherconsideration;and

(ii) inthecaseofmattersaffectingtheimplementationoftheFederalPlatform,advisetheFederalParliamentaryPartythereon.

(d) AnyDivisionmay,fromtimetotime,askforareviewoftheFederalPlatformoranypartofit.AnysuchrequestmayonlybemadeuponaresolutiontothateffectbytheExecutiveoftherelevantDivisionandshallbeforwardedtotheFederalSecretariatforsubmissiontotheCouncil.Uponreceiptofanysuchrequest,theFederalSecretariatshallreferittotheCouncil,which(subjecttoparagraph(e)below):

(i) mayadoptitorreferitbacktotheCouncil(inQueenslandtheConvention)oftherelevantDivisionforfurtherconsideration;and

(ii) inthecaseofmattersaffectingtheimplementationoftheFederalPlatform,advisetheFederalParliamentaryPartythereon.

(e) IndeterminingtheFederalPlatformandconsideringanyrevisionofit,theCouncilshallconsultwiththeAdvisoryCommitteeonFederalPolicyinsuchmannerastheCouncilshalldetermine.

(f) TheFederalParliamentaryPartyshallbeboundbytheFederalPlatform,exceptinsofarastheFederalPlatformpurportstodetermineFederalpolicymatterswhichareproperlytheprovinceoftheFederalParliamentaryPartyashereinafterprovided.

57. Policy

(a) AsbetweentheOrganisationandtheFederalParliamentaryParty,theFederalParliamentaryPartyshallhaveultimateresponsibilityforthedeterminationand,fromtimetotime,therevisionofFederalPolicy.FederalPolicyshallconsistofastatementofthedetailedmeansandprogramsbywhichtheobjectivesoftheFederalPlatformareproposedtobemetandachievedbytheFederalParliamentaryParty,whetheringovernmentorinopposition.

(b) TheMinisters,ShadowMinistersorspokesmenelectedorappointedbytheFederalParliamentaryPartyshallcarrytheprimaryresponsibilityforpolicyformulationonbehalfoftheFederalParliamentaryParty.In

shallconsultwithpeopleandgroupsofpeoplewithintheOrganisation(including,butnotlimitedto,Divisions,theParliamentaryPolicyCommittee,relevantBackbenchCommitteesandMinistryorShadowMinistryManagementGroupsand,whereappropriate,thestandingcommitteesofthePartysuchastheFederalWomen’sCommitteeandtheYoungLiberalMovementofAustralia).Afterformulatinginthiswayadraftpolicy,theMinisters,ShadowMinistersorspokesmenshallconferandconsultwiththeAdvisoryCommitteeonFederalPolicypriortotheadoptionofthepolicybytheParliamentaryParty.

(c) Withoutlimitingthescopeofparagraph(b),whentheFederalParliamentaryPartyisinOpposition,itshall,priortotheadoptionofanymajorelectionpoliciesorpolicydirections,referthemtotheFederalExecutiveforcomment.Similarly,whentheFederalParliamentaryPartyisingovernment,itmayreferproposednewpoliciesorpolicydirectionstotheFederalExecutiveforsuchcomment.Onanysuchreferralandinanyothercase,theFederalExecutivemayresolvetomakepolicyrecommendationstotheFederalParliamentaryParty,butsuchpolicyrecommendationsshallnotbebindingontheFederalParliamentaryParty.Anysuchrecommendationsshallbedealtwithasfollows:

(i) resolutionspassedbytheFederalCouncilrelatingtoFederalPolicymattersshallbeforwardedtotheLeaderoftheFederalParliamentaryPartyforsubmissiontoaFederalParliamentaryPartymeeting,andcopiesofsuchresolutionsshallbeforwardedtotheappropriateLiberalMinistersorParliamentaryspokesmen;

(ii) theFederalParliamentaryPartyshallconsiderpolicyresolutionsoftheFederalCouncilsoforwardedtoitandshallcommunicateitsdecisionsinrespectofsuchresolutionsandthereasonsforthosedecisionstotheFederalExecutivewithinareasonabletimeoftheFederalParliamentaryParty’sreceiptofthesame;

(iii) theFederalPresidentshallpresenttoeachmeetingofFederalCouncilareportontheFederalParliamentaryParty’sdecisionsinrespecttopastresolutionspassedbythepreviousFederalCouncilandthereasonsforthosedecisions;

(iv) theLeaderoftheFederalParliamentaryPartyshallreporttotheFederalExecutiveontheimplementationofpolicyrecommendedbytheOrganisation.

(d) ThereshallbeanAdvisoryCommitteeonFederalPolicyconsistingof:-

TheConstitutionofeachDivisionshallprescribethemethodofelectionoftheDivisionalFinanceCommittee,theappointmentofTrustees,themethodofcollection,investmentanddisbursementofdonations,bequestsandotherfunds,thedelegationofsuchpowersandfunctionsandsuchotherrequirementsdeemednecessaryforthefinancingoftheoperationsoftheDivision.

AsanintegratedpartoftheOrganisationthereshallbeaYoungLiberalMovementofAustralia,opentopersonsbetweentheagesof16and30years.TheMovementshallbeorganisedinDivisions.ADivisionoftheMovementmaybeestablishedwithineachDivisionoftheOrganisation.Inaddition,theFederalCounciloftheYoungLiberalMovementmay,byresolution,establishaDivisionoftheMovementinaTerritory,atsuchtimeandonsuchconditionsasitseesfit.

92. Itsobjectivesshallbe:-

(a) topromotetheobjectives,policyandplatformoftheOrganisationamongstyoungpeople;

(b) topromotefullcitizenshipwithemphasisofawell-balancedpersonality;

(c) togiveyoungpeopletheopportunitytocometogetherinacongenialatmosphereandlearnbyco-operationthroughcombinedactivities;

(d) togiveanearlyopportunityoflearningandpractisingaLiberalwayoflife.

ThemanagementoftheaffairsoftheMovementinanyDivision,includingtheorganisationofclubsandbranches,theoperationofCouncilsandotherregionalbodies,andtherepresentationoftheMovementanditsmembersonalloranyofthecontrollingbodiesoftheDivisionshallbeprovidedforbytheConstitutionofeachDivisionoftheOrganisation.

94. ThereshallbeaNationalConventionoftheYoungLiberalMovementofAustraliawhichshallcomprisesuchmembersoftheMovementaselecttoattend.

95. ThereshallbeaFederalCounciloftheYoungLiberalMovementofAustraliawhichshallcomprise:-

(a) theFederalPresidentoftheMovement;

(b) theFederalVice-PresidentoftheMovement;

(b) TheConstitutionoftheAustralianCapitalTerritoryDivisionshallprovidefortheselectionofcandidatesfortheSenateandforFederalandHouseofAssemblyelectorateswithintheAustralianCapitalTerritoryDivision,butsubjectalwaystothepowersreservedtotheFederalCouncilandtheFederalExecutivebythisConstitution.IftheConstitutionoftheDivisionprovidesthattheselectionofsuchcandidatesisconductedbysomeorganoftheDivisionotherthantheCouncil,anysuchselectionshallbereviewablebytherelevantTerritoryPartyforumprovidedforintheConstitutionoftheDivisionandshallprovidethatuponsuchreviewtherelevantPartyforumshallhavethepowertorevoketheselectionofanycandidatefortheSenateoranyFederalelectoratewithintheDivisionandselectanycandidateinplaceofanypersonwhosecandidaturehasbeensorevoked.

104. Asfarasitispracticable,candidatesshouldbeselectedatleasttwelve(12)monthsbeforethenormaltimeofthenextelection.

105. ThemethodofselectionofcandidatesforelectoratesnotcoveredbyanyDivisionshallbeprescribedfromtimetotimebyFederalCouncilor,inthecaseofurgency,bytheFederalExecutive.

106. (Clause 106 amended by Resolution of the 2009 Federal Council)

ThisConstitutionmayberepealedoraddedtooramendedbyatwothirdsmajorityofthosepresentinpersonorbyproxyatanymeetingoftheFederalCouncilatwhichduenoticeofanyrepeal,additionoramendmentshallhavebeengiveninaccordancewithRule36,providedthatamajorityofthedelegatesfromeachof4Divisionsvotefortheamendment.Anamendmentshallcomeintoeffectimmediately,unlesstheamendingresolutionprovidesotherwise.

108. WithineachParliamentaryterm,atatimedeterminedbytheFederalPresidentafterconsultationwiththeFederalDirectorandtheFederalParliamentaryLeader,thePresidentshallestablishaFederalCampaignCommittee.

109. TheroleoftheFederalCampaignCommitteeshallbetoprovideoveralldirectionandco-ordinationofthefederalcampaignandtodeterminethecampaignbudget.

110. TheFederalCampaignCommitteeshallcomprisethePresident,oneoftheFederalVice-Presidents(appointedbytheFederalExecutive),theFederalTreasurer,theFederalDirector,theFederalParliamentaryLeader(orhisorhernominee),theLeaderoftheLiberalPartyintheSenate(orhisorhernominee)andanyotherpersonagreedbythePresidentandtheFederalParliamentaryLeader.
