NOTICE INVITING TENDERS E - Tenders are invited by D.E.S.&H.S. from reputed and experienced organizations/ Institutes for the
supply of Computer and connected accessories, Education software’s, Online M.I.S., teaching faculty and
provision of IT Education Services in 5000 Government Secondary and Higher Secondary schools in 10
groups (i.e. 10 regions) from the districts of the State of Maharashtra as specified in DTN for a period of
five years. The bidding unit would be 1 School per region and there would be a total of 5000 Schools in the
state which are distributed in 10 groups (i.e. 10 regions).
• Name of Work: Implementation of ICT scheme in 5000 schools (ICT phase III) in various
regions of Maharashtra State.
• Bid Security / EMD: Rs. 50 Lac. (Rs. Fifty Lac only) for one group and accordingly in the
multiplicity of Rs. 50 lac for the number of groups the bidder is submitting his bid. Bid
security should be in form of Demand Draft / Bank guarantee of any nationalized bank
in favor of “ Director of Education (Secondary and higher Secondary )Maharashtra
State, Pune” payable at Pune. The bidder shall submit the bid security to DES&HS on or
before the time of opening of technical bid, failing which will cause a rejection of bid as non-
responsive. The bid security /EMD of the unsuccessful bidders will be returned within 30 day’s
timeafter the award of the contract to the successful bidder. Bidders, under any
circumstances, will not be entitled to claim or receive interest/penalty/damages from
Director of Education (Secondary & Higher Secondary) Maharashtra State, Pune or the
Government of Maharashtra on account of the Tender Fee, EMD, Bank Guarantee required to
be submitted under this tender and the contract. No claim/dispute in this regard will be
received or accepted. The above EMD amount will be held by Director of Education
(Secondary & Higher Secondary) Maharashtra State, Pune 411001 till it is returned and will
not earn any interest thereof.
• Validity of Bid: 120 days from the last date of submission.
• Validity of the contract and Rate: 66 months
• Issue of Blank Tender Forms: From 10/11/2012 to 29/11/2012. Up to 14:00 pm The

• 1. Introduction
• 1.1 About School Education Department & DES & HS
School Education Department is working as an Administrative Department with Directorates under its
control. The functions of School Education Department are to implement National Education Policy 1986
up to higher Secondary level and to give recognition to the educational institutions. The main objectives
are to guide, help and to co-ordinate all aspects of educational policies and administrative matter to work
for improving educational standards and improvement in quality of resource books.
One of the major responsibilities of School Education Department is also to provide grant-in-aid facility to
the Local bodies, Voluntary agencies engaged in the work of Adult Education, other educational functions
and school educational programmes.
The School Education department is responsible for education of students from primary (I–IV) and upper
primary (V–VII), Secondary (VIII – X) and Higher Secondary (XI – XII).
School Education Department consists of the following Directorates:

• 1.2 About the Project
The proposed project is about setting up of computer laboratories in Secondary and Higher
Secondary schools all across the state of Maharashtra. It has been decided that a region wise
implementation is to be done for the same and a representative number of schools have been
chosen from the regions created. The following table provides the details of the regions created
along with the number of schools chosen for the project in the respective regions.

• 1.3 Approach to Project Implementation
The ICT scheme as it may be called is to cover all the schools across the state in the due course of time.
Given the challenges and the stakes involved in such a large scale implementation, a phased approach
has been adopted by DES&HS. DES&HS in the past has already done the proposed kind of
implementations in different regions of Maharashtra State in two different phases whose details are
mentioned below.
Phase I – 500 labs all across Maharashtra have been established in 2007-08 by NIIT Technologies
Ltd
Phase II – 2500 labs in 8 regions have been established in 2011-12 by 3 Implementation partners
as listed below:

Phase III – approximately 5000 labs have to be established in 10 regions.
Documents related to the first two phases are available with the department and can be provided to the
implementing agencies on their request. It should be noted that the purpose of this Request for Proposal
(RFP) is to select an Implementing Agency for the third Phase.
Stage wise implementation approach
The implementation of Information, Communication and Technology Scheme in Secondary & Higher
Secondary Schools in Maharashtra State for DES&HS (as perPhase III) will be done in a staged manner.
The activities planned for the two phases are given below:
• Stage I – Implementation stage
This phase shall involve implementation of Information, Communication and Technology Scheme in
Secondary & Higher Secondary Schools in Maharashtra State for DES&HS. The Stage I shall involve the
following key components:
• System study and Preparation of Implementation Plan
• Preparation of Hardware Requirements report to meet the requirements of the project and
deployment plan for hardware and networking (as defined in this RFP),
• Development / Customization of Education Software application modules (as per RFP),
• User acceptance testing, modification and deployment of the Software applications,
• Procurement and deployment of hardware, lab infrastructure and networking
• Testing and User Acceptance of hardware, lab infrastructure and networking
• Training & Change Management,
• Stage II - Operations and Maintenance

The IPwill be required to deliver the operations and maintenance services underthis stage. This
phase shall comprise of:
• Technical Support for the Software applications including but not limited to bug resolution,
change control, provision of upgrades & patches etc.,
• Warranty and Maintenance of the hardware & networking equipment’s and system
software,
• Operational Support till the end / termination of contract agreement.
• Continuous Training
• 1.4 Definitions
The definitions of various terms that have been used in this RFP are as follows:
• “Contract / Agreement / Contract Agreement” means the Agreement to be signed between the
successful bidder and DES&HS, including all attachments, appendices, all documents
incorporated by reference thereto together with any subsequent modifications, the RFP, the bid
offer, the acceptance and all related correspondences, clarifications, presentations.
• “Authorized Representative / Competent Authority” shall mean any person authorized by
either of the parties i.e. Bidder and DES&HS.
• “Bidder / Implementation Partner (IP)” means any firm offering the solution(s), service(s) and /or
materials as required in the RFP. The word Bidder / implementation partner when used in the pre-
award period shall be synonymous with parties bidding for this RFP, and when used after award of
the Contract shall mean the successful party with whom DES&HS signs the agreement for
rendering of services for implementation of this project.
• “Party” means DES&HS or Bidder individually and “Parties” mean DES&HSand Bidder,
collectively.
• “Proposal / Bid” means the Pre-Qualification, Technical and Commercial bids submitted for this
project against this RFP.
• “Request for Proposal (RFP)” means this document and its annexures and any other documents
provided along with this RFP or issued during the course of the selection of bidder, seeking a set
of solution(s), services(s), materials and/or any combination of them.
• “Requirements” shall mean and include schedules, details, description, statements of technical
data, performance characteristics and standards (Indian & International) as applicable and
specified in the RFP.
• “Similar Projects” shall means the projects which involves supply and maintenance of hardware
and related education content, providing teachers for teaching computer education/ computer
aided learning, sup[ply of consumables related to computer education in school in
BOOT/BOOM/BOO/Turnkey basis model.
• “Successful Implementation / Go-Live”:
• Procurement, deployment and commissioning of all thehardware at all labs.

• Procurement, deployment and commissioning of the entire lab infrastructure at all labs.
• Procurement, deployment and commissioning of the networking equipment’s and
connectivity required to support the functioning of the labs
• Procurement, deployment and implementation of all the required software’s in all the labs.
• “DES&HS” shall mean Directorate of Education (Secondary and Higher Secondary), Maharashtra
State (D.E.S &H.S.)
• “Project Committee” shall mean the Project Committee established for this project.

• Scope of Work
The Bidder shall provide the following services for Management of all computer training laboratories at
designated schools. The Successful Bidder shall ensure that appropriate System and Processes are in
place for delivering following:
• Configuration Management
• Problem Management
• Performance Management
• Change Management
• Help Desk Management
• Service Level Management
Minimum requirements of DES&HS are given below for all the aspects of the implementation and operation
of the project.
• 2.1 Hardware, Networking and other physical infrastructure in labs
• To Supply Computer Hardware and connected accessories (must be brand new & as per minimum
specifications given in this Tender Document in Annexure 7, although bidder is free to provide higher
configuration as well) and provide Textbook based Educational software, Computer Education
software, additional educational software’s, online management dashboard’s (M.I.S) in the specified
Government Secondary and Higher Secondary Schools for Std V to Std XII as prescribed in the
Tender Document for a contract period of 5 years.
• To set up a computer lab with 10 computers that can accommodate twenty students at any given time.
OR
To set up a computer lab in a Virtual Environment with 2 Desktop with 5 virtual nodes each that can
accommodate twenty four students at any given time.
The bidder is free to choose from any of the above optionshowever all the computer labs in the chosen
region should be equipped with same option. Specifications provided in Annexure 7
• To provide, install and maintain in working condition the hardware, software and necessary
infrastructure such as Electrification, LAN cabling, UPS (including batteries), etc. and get insurance
against theft and fire for the computer hardware and the accessories.
• The IP would be required to install, commission and maintain the network infrastructure such as router,
switch etc. (as per project requirements) at its own cost. The IP shall build and maintain a Local Area
Network (LAN) with structured cabling at each location. The IP shall use network switches to provide
LAN connectivity. The IP would have to upgrade the network infrastructure as and when required to
meet the service levels mentioned in the SLAs.
• The IP shall provide the ‘structured’ cabling as per the industry standards.
• The IP would also need to provide backup power through UPS in order to meet the SLAs. In case
additional hardware or upgrade is required in order to maintain the service levels, then IP shall procure
/ upgrade the same with no additional cost to DES&HS.
• To maintain the entire system in working condition during the contract period of 5 years.
The IP will be required to procure the infrastructure (IT hardware, system software etc.) as per the
requirements in order to provide the services as indicated in the scope of work. Although the minimum

hardware required and the minimum specifications for the same have been provided in the Annexure 7,
the IP will have to carefully study the complete project requirements from the viewpoint of the software
applications, functions to be carried out, services to be delivered, connectivity, future growth, operations
and maintenance and then come up with the actual requirements of hardware and networking.
Please Note: Annexure 7 provides the minimum hardware & technical specifications for the IT
infrastructure requirements. In case higher specifications / additional hardware is required to
meet the desired service levels as mentioned in this RFP, the same shall have to be proposed
at the bidding stage. In case after winning the contract the IP is not able to maintain the
mentioned SLA’s due to improper judgement of IT infrastructure requirements on its part, the
IP shall have toprovide the additional hardware / higher specification hardware at no additional
cost to DES&HS.
• 2.2 Procurement, Customization and Deployment of various Software’s
• To provide State board textbook based educational software for Std V to Std. X of all subjects, for Std.
XI & Std. XII hard-spots on P,C,M,B and provide software on computer education, as per the course
outline mentioned in Annexure 8on all computer system/nodes. During the Presentation all the bidders
may be invited to demonstrate their proposed software and they will be assessed by the Committee on
basis of the level of interactivity, multimedia content and the overall User Interface and experience.
The selected bidder after the completion of tender process will be required to customize the proposed
software to bring it in line with the syllabus of Maharashtra State board and will also be required to
include Marathi narration and other written content. This software will then be approved by a
committee set up byDES&HS. However this process will not delay the implementation of other
activities in setting up the labs and will be taken up on a parallel basis.
• To provide computer educational Software in each computer in all the labs in Marathi language. This
software should also be demonstrated as mentioned above in the bidder presentation.
• To deploy and maintain at its own cost School Management Software to be provided later by the
DES&HS in all the computers across all the labs to automate various administrative aspects of a
school.
• Management of Software applications:
• The IP will be responsible for the development, customization and implementation of the
software applications as per the requirements of the project
• The IP will be required to provide the Technical Support for the applications including:
• Resolution of any bugs & issues including bug fixing, improvements in presentation and/or
functionality and others within a duration mentioned in SLAs.
• Provide the latest updates, patches / fixes, version upgrades relevant for the software
components.
• Software version control and software documentation management reflecting features
IPand functionality of the solution.
• Installation of the necessary patches and application upgrades at various locations

• All licenses procured by the IP under this project will be in the name of the DES&HS on a
perpetual basis and DES&HS reserves the right to use the software in its own or other
Government of Maharashtra schools, offices and other institutions without any restrictions.
• Any issues in the software application will be escalated to the IP as per the proposed
escalation procedure by the IP and the IP will have to resolve the issues within the defined
timelines, to meet the SLA
• The IP will also be responsible to keep track of the version control of the software applications
• The IP would be required to develop additional functionalities in the software’s as per the
future requirements of the DES&HS. The process of Change Request should be followed in
any such case and the incorporation of the additional functionalities will be done only after due
approval of the competent authority of the DES&HS. The IP will be paid duly for any extra
work as per the man-month rates decided for Software Development in the Rate Contract of
Directorate of IT, Government of Maharashtra or in its absence by any other similar Rate
Contract by Government of India.
• 2.3 Training
• To impart training to at least 5 (five) teachers per year per school for a period of ten days for normal
operation,installing and use of Textbook based Educational software, computer education software,
additional Educational Software’s, School Management Software, common software applications (
word, presentation, spreadsheet etc.) and Online M.I.S.
• The teachers’ manual should be made available for all the software’s to all trainee teachers with
Marathi as one of the language options.
• To provide one full-time instructor at each school with the minimum qualification of basic graduation
with diploma in computer applications / DOEACC _A_ Level / BCA or higher from reputed institutions.
In case any relaxation is required due to non-availability of qualified candidates, a committee
constituted by the DES&HS for the purpose may consider such request.
• To ensure that the computer teacher appointed follows the behavioral guidelines enlisted by the
respective school, state education department, Government of Maharashtra.
• To ensure regular attendance of the appointed teachers and observe general school timings as work
hours.
• To assist the school teachers to use computer aided technology for teaching other subjects by using
approved educational software.
• To provide the school children an opportunity to get familiar with the use of computer, internet & gain
extracurricular knowledge by using various additional educational software’s on improving Spoken
English communication skills, educational games, awareness on cybercrime, safe usage of internet
etc.
• 2.4 Operations
• To make provision for Internet broadband of at least 512 kbps via any option like Broadband, DSL,
Dial-up, Wireless etc. At places where no option is available bidder should provide a letter from BSNL

about the non-availability of same. Service provider will be responsible for meeting all the expenses on
this count. A remote internet speed monitoring tool to be installed in each computer which along with
the MIS tool should give the average internet speed available in each lab.
• To maintain the hardware, software and connected accessories for a period of five years and ensure
systems are functional at all the time across all the labs.
• To make payment for provision for regular electricity and also provide electricity during load shedding
time by installing generator which will generate electricity and meet running expenses there on.

• Bidder will have to ensure safety & security of computer lab in the school premises.
• To install, maintain and Refill fire extinguishers every year and carry out monthly Fire Drill involving
school staff.
• To supply adequate stationery and consumables at each computer lab.
• To provide computer education as per the prescribed syllabus in Annexure 8for each standard.
• To provide a landline phone and create an email id for each lab at IP’s email domain both of which
shall be reflected in the “Contact Us” or “Support” section of the MIS Dashboard for a particular region
• The appointed full time instructor needs to make sure the successful operations of computer lab which
would consist of logging complaint with the help desk, start/shut down of computer/ generator / lab
facilities, helping out school staff, imparting computer education etc.
• 2.5 MIS Dashboard
Management Information System Dashboards (MIS): The bidder has to provide an online
MISdashboard. The Management and staff based on their role and responsibility will have unique MIS
requirements, which enables them to effectively plan and deliver the responsibilities allocated to the
concerned individuals. The Decision Support Systems/Management Dashboards are envisaged to provide
user-specific information needed for day-to-day operations. System will facilitate defining the MIS
requirements/parameters based on various stakeholders and perform data gathering from various
intervention locations analyze and present the information in an appropriate manner for decision making.
System will also facilitate graphical view of the MIS information in terms of presenting the location profile in
GIS map. It will help to monitor the computers and should be able to produce different reportsabout uptime,
downtime and idle time of all the systems (similar to tool introduced by Government of India in CSC
scheme). Online dashboard website is to follow all Government of Maharashtra and Government of India
guidelines and standards. Each bidder is required to give a demonstration of the proposed MIS Dashboard
during the presentation andDES&HS may decide to standardize it after the presentation stage as a
common tool for all the regions. Please note that this MIS dashboard should be able to pick up live data
about computer availability, idle time, usage time, internet speed etc. from the client based tool IP is
supposed to install in each computer, via internet. IP should be able to provide at least ten user log in for
DES&HS to monitor the MIS Dashboard.
• 2.6 O&M and Help Desk Services
The IP will be required to operate and maintain the Hardware, Networking equipment’s, Applications and
internet connectivity, online MIS Dashboard and the entire facility management including furniture,

electricity etc. during the duration of the contract period. The IP will also appoint one teacher required to
handle the operations during the contract period. In case IP wants to employ more than one staff at a lab it
will beat its own cost.
• O&M services
• The IP will be required to commission, run and maintain the Hardware, Application& System
Software as specified at all the locations till the end of the period of the contract.
• The scope of hardware support services will include preventive and corrective comprehensive
maintenance and cover installation, on-site diagnosis and resolution of hardware faults in
response to the reported problems. The IP will also resolve all the hardware problems
detected during routine operational support activities and will ensure that the problems are
resolved within the defined SLAs including appropriate replacement and /or replenishment of
systems and networking equipment’s as and when required.
• The IP will inform DES&HS in advance by at least 2 working days about the scheduled
maintenance shutdown of any service including the MIS dashboard website, internet service
etc. Any of the scheduled maintenance & shut down of any service will be carried out only
after the approval of the competent authority.
• The IP will also maintain a record of the infrastructure and hardware installed under this
project.
• All hardware warranty shall start only after commissioning in the lab has been completed.
• Help Desk Service
The IP will provide help desk services which will serve as a single point of contact for all ICT related
incidents and service requests. This service will provide a Single Point of Contact (SPOC) and also
resolution of incidents. The scope of work includes:
• Help Desk facility for reporting issues / problems with the IT infrastructure.
• Help Desk facility for reporting issues / problems with the Lab facility infrastructure.
• Set up all necessary channels for reporting issues to help desk. The incident reporting
channels will be the following:
• Specific E-Mail for raising a service request.
• Dedicated toll free Phone Number (freely reachable from landline as well as all major
mobile service providers)
• Remote assistance for quick resolution
• The Help Desk shall undertake the following activities:
• Log issues / complaints related to IT and facility management at the school under the
scope of work and issue an ID number against the issue / complaint.
• Assign severity level to each issue / complaint.
• Track each issue / complaint to resolution
• Escalate the issues / complaints, to department if necessary as per the escalation matrix
to be defined in discussion with ‘DES&HS’
• Provide feedback to ‘DES&HS’

• Analyze the issue / complaint statistics
• Creation of knowledge base on frequently asked questions (FAQs) to aid the users of the
IT infrastructure
• On department request provide detailed reports of all incidents raised by users and their
resolution time.
• 2.7 Other Requirements
• If the Government of India sanctions additional number of schools for ICT scheme, the same work may
be allotted to bidder/operator with the discretion of the State Government.
• To Provide 1 District Coordinator for each district and 1 project Manager for a region for project
Management & Monitoring, This Project manager shall be coordinating with Govt. of Maharashtra.
• The successful bidder shall put a “Name Board” of size 4”X3” on the outer façade of computer lab as
per the sample layout printed copy to be provided by the D.E. (S &HS).

T, as referred above, is the date of EITHER the ‘award of contract’ notification issued by DES & HS to
selected IP OR the signing of contract between selected IP and DES & HS OR the meeting conducted by
DES & HS to kick-off the project; whichever happens the earliest.
The operation and maintenance phase of 5 years shall commence post “Go-Live” only.
If the space in the school for setting up of the lab infrastructure is not made available in time,
then the IP will have to procure a certificate from the concerned school headmaster designating
the actual date of availability of space. The committee shall take further decisions on exceptions
to be made on a case to case basis.

• 2.9 Service Level Requirement
This section defines the required service levels which the IP must adhere to. Some of the terms and
definitions mentioned in the SLAs have been provided in the following table:

Please Note:
Following conditions per region will be considered as the Breach of the Agreement and DES&HS reserves
the Right to terminate the agreement with IP.
• Delay in the Development / customization, testing, implementation and acceptance of textbook
based Software applications beyond 9th month.
• Delay in the deployment of hardware of appropriate specifications, beyond 9thmonth.
• Availability of network for less than 90% and availability of internet less than 70% during
PBHcontinuously for a quarter will be considered as the Breach of the Agreement and DES&HS
reserves the Right to terminate the agreement with IP.
• System uptime of less than 90% continuously for a quarter;
• More than 10 incidents of not resolving the bugs / issues within the defined time limits in a quarter;
• Average page loading time for online MIS Dashboard to be more than 20 seconds evaluated for a
quarter;
• More than 4x leaves in a quarter for the manpower deployed, where x is the number of
professionals deployed for the project. The working schedule will vary from school to school.
• For the purpose of this RFP, “Acceptance of application” would mean sign off from the Committee
appointed by DES&HS.
• Bidders, other than sole agents in India of the quoted packaged solution, must submit a letter of
authority from the packaged solution owner that they have been authorized to quote for the
solution.
• The payment for the hardware will be made against the actual quantities deployed &
commissioned for the project.
• Exceptionsin enforcing the SLA and other penalty clauses to be madeonly in case of Force
Majeure situations.

• Proposal Evaluation Process
• 3.1 Evaluation of Bid
Proposals will be reviewed by the Project Committee. Evaluation of the bids will be done in three stages
and at the end of every stage short listed bidders may be informed of the result to have a fair and healthy
competition. The final awarding of the contract will be done based on Lowest Bid. The following is the
procedure for evaluation:
• Pre-Qualification evaluation: The pre-qualification bid documentation furnished by the bidder shall be
examined prima facie to substantiate the compliance with the bidder’s eligibility criteria as set out for
this project in terms of organizational, financial and technical experience etc.
• Technical evaluation: The next stage of the evaluation will be an assessment of the technical bid.
Based on the short-listing of the pre-qualified bidders, DES&HSappointed project committee will then
proceed to a detailed technical evaluation of the Bids of eligible bidders in order to determine whether
they are substantially responsive to the requirements set forth in the Request for Proposal or not. In
order to reach such a determination, DES&HSwill examine the information supplied by the Bidders,
and shall evaluate the same as per the Technical evaluation criteria specified in this RFP in Annexure
2. This evaluation will also involve scoring against each component of the technical bid as per
guidelines described in this RFP so that each technical bid will be assigned an overall score.
• The Technical Bid Opening Committee will open all the parts of Technical Proposals, in the
presence of Bidders or their designated representatives who choose to attend, at the time, date,
and location, to be intimated by DES&HS. The Bidders representatives who are present shall sign
the proforma evidencing their attendance.
• The Technical proposal should not contain any financial information. Technical bids containing
financial information will be summarily rejected.
• A Proposal shall be rejected at this stage if it does not respond to important aspects of the RFP,
and particularly the Scope of Work or if it fails to comply with the technical requirements. The
technical evaluation criterion is same as given in Annexure 2 of this document.
• After the technical evaluation is completed and approved, DES&HSshall inform the Bidders, who
have submitted bids, the detailed compliance of their Technical Proposals, and shall notify those
Bidders whose Proposals did not meet the minimum technical criterion or were considered non
responsive to the RFP and Scope of Work, that their Commercial Proposals will be returned
unopened after the completion of selection process. DES&HSshall simultaneously notify in writing
or by email to Bidders that have complied with the technical criterion specified in the RFP the date,
time and location for opening the Commercial Proposals.
• Evaluators of Technical Bids shall have no access to the Commercial Bids until the technical
evaluation is concluded and the same is approved by the appropriate committee.
• All bidders may be called for a presentation and demonstration of labs similar to theproposed
technology to showcase proposed Textbook based software, computer education software, MIS
Dashboard with required features and help desk capabilities.

• Commercial evaluation
Based on the results of the technical evaluation, the committee will then proceed to open and evaluate
the Commercial bids of only those bidders who are able to qualifythe Technical evaluation. The
Commercial evaluation will take into account the information supplied by the Bidders in the
Commercial Bid, and the same shall be evaluated in accordance with the evaluation criteria specified
in this document.
• Please note that the commercial bid should not be conditional and no technical information
should be provided along with the commercial bid. In such cases, the bids would be summarily
rejected. Bidders are required to submit a self-declaration for the submission of unconditional
bid as per Form 12 of this document given in Annexure 2.
• IP would be responsible for making the solution perform. In case the IP does not consider any
specific hardware/software/system in the commercial bid, which would hamper the
performance of the solution, as per SLAs mentioned in RFP, DES&HSwould not be held
responsible. In such a case, the IP has to provide additional equipment/services, without any
additional cost to DES&HS.
• The financial evaluation shall be based on Lowest Offer. Lowest bidder will be adjudicated as
the “Best Value Bidder” for award of the Project. The cost should be a fixed Cost that included
Setting up Labs, Software, Hardware, Networking, Site preparation, change management,
implementation, operation & maintenance etc. as per scope of work for 5 years
Note:
• A substantially responsive Bid is one, which conforms to the requirements, terms, conditions and
specifications of the Request for Proposals without material deviation. For the purpose of this RFP
a material deviation is defined as one which affects in any substantial way the functionality, scope,
quality, or performance of the Deliverables, or which limits in any substantial way, inconsistent with
the Request for Proposals, Corporation’s rights or the Bidder's obligations for, performance of the
Project and the rectification of which deviation would affect unfairly the competitive position of
other Bidders presenting substantially responsive Bids.
• DES&HSmay waive any minor informality or non-conformity or irregularity in a Bid, which does not
constitute a material deviation, provided such a waiver does not prejudice or affect the relative
ranking of any Bidder.All the deviations in response to the bid should be mentioned in the format
given in Annexure 2 Form 7
• 3.2 General Eligibility Criteria for Bidders
This invitation for bids is open to all bidders who fulfill pre-qualification criteria as specified below.
Maximum of TWO companies allowed in Consortium, including Prime Bidder. Prime Bidder would be
completely responsible to DES&HSfor discharging of all responsibilities related to the bid finalization and
implementation of project (if selected as the ‘Implementation Partner (IP)’).
• 3.3 Pre-Qualification Bid Evaluation

• The Prime Bidder should be a single entity ("Bidder").
• The Bidders shall not have any kind of conflict of interest. All Bidders found to have a conflict
of interest during the prequalifying evaluation process shall be disqualified. Bidders shall be
considered to have a conflict of interest, if they
• Have controlling shareholders in common; or
• Receive or have received any direct or indirect subsidy from any of them; or
• Have the same legal representative for purposes of their bids; or
• Have a relationship with each other, directly or through common third parties, that puts
them in a position to have access to information about or to influence the bid of another
Bidder in the subsequent bidding process or influence the decisions of DES&HSregarding
this prequalification process.
• Qualification Criteria
This RFP is open to all companies established in India who fulfill the pre-qualification criteria as specified in
this section. The Bidder(s) could be individual companies or a Consortium of companies. In case of a
Consortium, the members must nominate one of them as the Prime Bidder who shall be responsible to
DES&HS for undertaking and discharging all responsibilities related to the Bid Process and the Project.
The arrangement among the members of the Consortium shall be disclosed in the bid and binding on the
members and no change in role and responsibility of the members would be accepted after the submission
of the bid. The Prime Bidder shall respond to all queries and clarifications and ensure compliance to Bid
Process requirements.

Note:
• Definition of Similar Project: The projects which involves supply and maintenance of hardware
and related education content, providing teachers for teaching computer education/ computer
aided learning, supply of consumables related to computer education in school in
BOOT/BOOM/BOO/Turnkey basis model.
• A checklist as per the format given in Annexure1 - Pre-qualification Criteria Checklist and Forms
should be attached with the bid. In absence of the requisite format for the above desired
information, DES&HSholds the right to summarily reject the bids during the pre-qualification stage
itself.
• 3.4 Technical Evaluation
Each Proposal will be evaluated according to the following criteria, but not limited to:
• The quality, responsiveness, responsibility, ease of use, reliability and comprehensiveness of the
proposed solution, technologies, other strategic dimensions and services incorporated in the proposed
solution.

• Bidder understands the project’s requirements as reflected in the approach / options presented by the
Bidder of the solution offered.
• The evaluation will measure if the Bidder’s proposed solution meets project’s service needs as outlined
in the RFP. Site Inspections and Management Interviews, if requested by DES&HS, will be factored into
the evaluation.
• The evaluation will be made based on Bidder’s responses to all RFP requirements including, but not
limited to, data from the Bidder’s Proposal, questions and answers, Bidder qualifications, expertise and
relevant experience.
• Bidder demonstrates the ability to make available the key personnel at the time of contracting and post
key personnel on the project thereafter.
• The Bidder understands the MIS requirements of this project and approach presented by the Bidder in
developing the same. The Bidder may also choose to demonstrate expertise in tools (if applicable) for
developing the solution.
• The Bidder’s expertise in imparting education to teachers/trainers/users as well as the bidder’s
experience in implementing similar projects.
• Bidder’s ability to provide the needed support (installation, support, maintenance, training etc.),
references confirming past success in similar projects, use of appropriate methodologies, technologies
and products, ability to provide integrated software solution etc.
• The Bidder’s Design, Development and Implementation Plan, its deployment of sound project
management strategy and its allocation of sufficient resources to address all aspects of its proposed
solution will also be evaluated.
All successful bidders should demonstrate a similar lab preferably within Mumbai region with proposed
technology to DES&HS and running similar software as proposed.
The Committee with the help of experts will be set up to evaluate the content, educational software and
methodology and approach for implement of the project. The bidder may have to give presentation to the
committee as per above credential.
Annexure-2 gives the technical bid formats as per which the bidder is required to submit the bid document.
The evaluation committee shall evaluate the Technical Bids on the basis of the technical evaluation criteria
provided in the RFP (Annexure 2). Bidders are required to score a minimum of 50 marks out of the total
100 Marks in the technical evaluation criteria. The bidders satisfying the minimum technical qualification
criterion based on their Technical Scores shall be qualified to participate in the commercial bid opening.
• 3.5 Financial Evaluation
The financial evaluation of the bid would be carried out for bidders who have been technically qualified.
The details about the bid formats and the bidder selection criterion are as follows:
• Commercial bid formats & Marking
Bidders shall quote for the entire Project on a single responsibility basis on the following lines:

• Bidders intending for commercial bid should necessarily give the financial details in the format
given in Annexure 3 (Form 16). All the financial details should be given in the prescribed format
only and in accordance to the details and terms and conditions as mentioned in the RFP. It may
be noted that the responsibility to make the solution perform, is that of the Implementation partner
(hence the bidder is expected to understand the RFP in all respect). In case the IP does not
consider any hardware / software / system / any other expenses which would hamper the
performance as per SLAs mentioned in RFP, the IP would provide them, without any additional
cost to DES&HS.
• The financial evaluation shall be based on Lowest Offer. Lowest bidder will be adjudicated as the
“Best Value Bidder” for award of the Project.
• The bid should be comprehensive and inclusive for all the services to be provided by the bidder as
per scope of his work. The payments would be made to selected bidder on the basis of the bid
submitted and further negotiations between DES&HSand the bidder only. No separate payment
shall be made for services that are to be delivered by the IP as part of his scope of work for this
project.
• The prices quoted shall be inclusive of all taxes, duties and statutory payments excluding service
tax incident upon the bidder and it shall be a fixed price bid. Once the prices have to be submitted
as part of Commercial bid to DES&HS, no change / modification will be entertained for any cause
whatsoever. The prices once provided by the bidder will be valid for the entire period of validity of
the bid (till completion of project for the selected bidder as Implementation Partner).
• Any increase in the rates of taxes, duties, charges and levies at a later date and during the tenure
of the bid/ project will be to the account of the bidder while the bidder shall extend the advantage
of decrease in taxes to DES&HS.
• The IP shall be responsible for the costs towards travel / stay, daily allowance or any other
allowances with respect to their staff deployed for the execution of this project before or after the
award of the contract.

• 4. Payment Terms
The terms of payment will be governed by terms of the Contract between the Director of Education
(Secondary & Higher Secondary) Maharashtra State, Pune 411 001 and the Contractor. Payment to the
contractor shall be made strictly as per the terms of the Contract on a per school basis within 30 days after
the receipt of valid request for payment with the certificate on satisfactory performance by the concerned
School Head Master and third party agency appointed by DES & HS. The payments will be made in the
following manner:
• 30% payment will be made on satisfactory commissioning and installation of hardware and
delivery and installation of education related software (including operational handbook and
user manuals in Marathi & English) at each school within 90 days from the date of
agreement and satisfactory report by concern school head master & TPA appointed by
DES&HS.
ii) 5% payment will be made every semester (Total of 50% payment) as per the payment
schedule after considering the SLAs, subject to recovery of penalty or any other dues as
per the payment schedule after considering the SLAs. First installment being paid 90 days
from the date of certificate of successful completion issued by Director of Education
(Secondary & Higher Secondary) Maharashtra State, Pune 411 001 for each School and
satisfactory report by concern school head master & TPA appointed by DES&HS.
iii) Balance 20% payment will be made based on the performance of students to be adjudged
in the annual examination in computer subject conducted by Govt. of Maharashtra,
Director of Education (Secondary & Higher Secondary). DES&HS may also use services
of a Third Party Auditor to adjudge the performance of students in lieu of examinations. So
every year the contractor will be eligible for 4% payment through this mechanism. The
payment towards performance will be made as per the table mentioned below.
Performance Based Payment:
The performance of the students must be gauged on yearly basis (per school) by third
party auditor appointed by DES&HS. The students passing should score 60% marks in computer
subject. The payment to the Contractor for the performance based payment (per school) will be as
per the table below:

The decision of Director of Education (Secondary & Higher Secondary) Maharashtra State, Pune 411 001
in this regard will be final and binding and no disputes in this regard will be entertain.

• General Conditions
• 5.1 Bidding Document:
The following documents shall be part of Contract -
• Any modification or amendment issued by DES&HS prior to Bid submission date, along with documents submitted for prequalification.
• Correspondence between DES&HS and bidder after opening the bid and prior to letter of acceptance.
• Agreement on Stamp paper.
• Letter of Acceptance & Work Order.
• Tender Notice & Detailed Tender Notice.
• Instructions to Bidders.
• General Conditions of Contract.
• Amendments to the Conditions of Contracts
• Declaration of Contractor and Tender Form ‘C’
• Scope of Work.
• Technical Specifications of the items.
• 5.2 Clarification of Bidding Documents:
The clarification referred to as Common Set of Deviations (CSD) and shall form part of Bid documents
which will also be common and applicable to all Bidders. Common Set of Deviations issued if any by
DES&HS will form Part and parcel of the Bid Document.
• 5.3 Amendments to Bidding Documents:
At any time prior to the deadline of submission of bid, DES & HS may for any reason, whether at his own
initiative or in response to the clarification requested by a prospective bidder, modify the bid document by
issuance of corrigendum. The corrigendum will be uploaded on the web site or issued through notice in
hardcopy. The bidder shall download the same from website and incorporate the same in the bid and will
be binding on the bidders.

• 5.4 Language of the Bid:
The language of bid shall be English.
• 5.5 Documents Comprising Bid:
The bid to be prepared by bidder shall comprise of the form of bid and appendices thereto, the bid security,
the information on eligibility and qualification. Relevant information and any other material required to be
completed and submitted in accordance with the instructions to bidders embodied in bid document and
standard contract document. The forms and data provided in this document shall be used without
exception.
• 5.6 Bid Prices:
The bidder shall quote his offer as prescribed in Form of Bid, to be submitted as per procedure set in
Instruction to bidders.
1) The financial bid/ commercial bid as prescribed should be filled region wise on rate per school
basis. There are total 10 groups/regions. The bidder has choice to submit bid for any number of group
according to qualification criteria mentioned in the tender document / DTN.
2) The rate quoted by the Bidder shall be same for all the schools in the group for which it is
submitted.
3) The bidder has to quote the rate for all the schools in the groups as mentioned in the bid
documents and partial bidding will rejected as non-responsive bid
• 5.7 Currency of Bid and Payment:
All prices and rates quoted by the bidder shall be entirely in Indian Rupees only. All the payments shall be
made in Indian Rupees only.
• 5.8 Bid Validity:
Validity of the bid shall be 120 working days and shall be reckoned from the last date of submission of bids
and thereafter until it is withdrawn by notice in writing duly addressed to the authority opening the bid.
Such withdrawal before 120 working days shall effective from the date of receipt of notice by DES & HS.
• 5.9 Format and Signing of Bid:
1) All pages of the bid document in original shall be signed by a person duly authorized to sign on
behalf of the Bidder. All pages of the bid where entries or amendments have been made shall be initialed
by the person signing the bid.

2) The bid shall contain no alterations or additions, except those to comply with instructions issued
by DES & HS, or as necessary to correct errors made by the bidder in which case such corrections shall
be initialed by the person signing bid.
• 5.10 Submission of Bids:
MANNER OF SUBMISSION OF TENDER AND ITS ACCOMPANIMENTS:
“The tender shall be submitted online only.”
• 5.11 Award of Contract:
• AWARD CRITERIA: DES&HS will award the contract to a bidder / bidders whose bid has been
found to satisfy all the requirements of bid document and who is having the lowest bidin particular
region. The 5000 schools are divided in 10 groups. The bidder has to submit the Commercial bid
separately filled for each group, according to number of groups he is willing to submit.
• DECIDING AWARD OF CONTRACT: The process of decision and award of contract shall be as
under:-
• The bidder with the Lowest one (L1 bidder) in particular region will be considered for allotment of
tender in that region
• If same rate is quoted by more than one bidder for a particular region, then department reserves
the right to take further decision
• In case L1 defaults and L1 rates found to be reasonable, then Department holds the right to award
L2 at L1 rate
• DES&HS reserves the right to reject any or all offers received from the bidders without assigning
any reasons.
• 5.12 DES&HSs Right to Reject:
DES&HS reserves the right to accept or reject any bid, to cancel the bid process and reject all the bids at
any time prior to award of contract without thereby incurring any liability to the affected bidders or any
obligation to inform affected bidders of the ground of DES&HS’s action.

• 5.13 Notification of Award:
Prior to the expiration of bid validity period or any such extended period, DES & HS will notify the
successful bidder in writing by a registered letter that his bid has been accepted. This letter (herein after
called as letter of acceptance) shall name the sum, which DES & HS will pay to bidder/operator as
prescribed in contract. The notification of award will constitute formation of contract. Upon furnishing the
performance security by the successful bidder & after signing the contract agreement, the work order will
be issued by the Director of Education (Secondary and Higher Secondary), Maharashtra State, Pune.
• 5.14 Corrupt or Fraudulent Practices:
DES&HS requires that the bidders shall observe the highest standards of ethics the execution of the
contracts. In pursuant to this policy, DES&HS,
1) Defines, for the purpose of this provision, term set forth as below
i) “Corrupt Practice” means the offering, giving, receiving or soliciting of anything of value to
influence the action of the public official in the procurement process or contract execution; and
ii) “Fraudulent Practice” means a misrepresentation of facts in order to influence a procurement
process or execution of the contract to the detriment of DES & HS.
2) Will reject a proposal for award, if it determines that the bidder recommended for award has
engaged in corrupt or fraudulent practices in competing for the contract in question.
3) Will declare a firm ineligible, either indefinitely or for a stated period of time, to be awarded any
DES&HS contract, if it at any time determines that the firm has engaged in corrupt or fraudulent practices
in competing for, or in executing DES&HS contracts.
• 5.15 Acceptance and Withdrawal:
a. The final acceptance of the tender would be entirely vested with the Government of
Maharashtra, who reserves the right to accept or reject any tender, without assigning any
reason whatsoever. There is no obligation on the part of Government to communicate in
any way with rejected bidders. After acceptance of the tender by the Government, the
Bidder shall have no right to withdraw his tender or claim higher price.
b. Tenders with incomplete information are liable for rejection.
c. For each category of qualification criteria, the documentary evidence is to be produced
duly signed & sealed by the contractor, serially numbered and enclosed with respective
bids. If the documentary proof is not enclosed for any/all criteria the Tender is liable for
rejection.

d. If any information given by the contractor is found to be false / fictitious, the bidder will be
liable for debarring for 3 years from participating in any Maharashtra State Government
tenders.
e. The Bidder has to submit an undertaking in the prescribed format in the technical bid that
he accepts all the technical and financial/commercial tender conditions and shall abide by
the same fully.
• Fee for Computer Education:
No fee shall be collected from the School Students or the School authorities by the agencies
selected through the Tender.
• Escalation and Issue Monitoring:
The IP will be required to establish a well-defined escalation procedure for resolution of any
dispute. The same will need to be approved from competent authority of DES&HS. The IP will also
maintain a list of the issues which could affect the functioning and services of the Corporation.
• Auditing:
DES&HS shall appoint Third Party Agency for the project tracking and progress reporting. Third
Party will be doing pre-dispatch inspection, hardware installation & commissioning inspection, lab
facility inspection, application & software test and regular inspections during operation and
maintenance phase.
• Dispute Resolution:
Any dispute or difference whatsoever arising between the parties to this Agreement out of or
relating to the construction, meaning, scope, operation or effect of this Agreement or the validity of
the breach thereof, which cannot be resolved through the application of the provisions of the
Governance Schedule, shall be referred to a sole Arbitrator to be appointed by mutual consent of
both the parties. The provisions of the Arbitration and Conciliation Act, 1996 will be applicable and
the award made there under shall be final and binding upon the parties hereto, subject to legal
remedies available under the law. Such differences shall be deemed to be a submission to
arbitration under the Indian Arbitration and Conciliation Act, 1996, or of any modifications, Rules or
re-enactments thereof. The Arbitration proceedings will be held at Pune, India.

• 6 Other Terms and Conditions:
• The computer labs in the school should be available to school students and will not be given for
any other usage in any case.
• The computer lab after school hours may be used by the school students, under the supervision of
Lab teacher.
• The electricity charges for running the computer centers during and after the school hours shall be
borne by the contractor as per the sub-meter fixed. The Contractor will fix the sub-meter. The
contractor is to ensure that Electrical wiring is inclusive of providing standard earthing and also to
ensure that LAN Cabling is inclusive of providing cables, I/O boxes, PVC casing as per
requirement and fitting, fixing and integration etc. at each site.
• The normal school hours will be between 7:30 A.M and 5.30 P.M subject to any variation as may
be notified from time to time.
• Bid Proposals with incomplete information or not in accordance with instructions or without EMD
are liable to be rejected.
• Competent Authority will have the right to inspect the centers of the bidder already in operation for
verification purposes mentioned in the Technical Proposal.
• No equipment shall be removed from the school premises by the contractor without the
concurrence of the school Head Master including for the purpose of replacement, service etc.
• The Computer centers must be available for inspection by the competent authority at all times.
• The Computer centre will be utilized by DES&HS for IT enriched training in other subjects and
computer related work. However, the cost of the same if any will be decided by the committee
constituted by the Government for the purpose.
• The rate to be quoted must be including all the components mentioned in the Tender.
• The Director of Education (Secondary & Higher Secondary) Maharashtra State will appoint Third
Party Agency who would be doing the project tracking and progress reporting to the Director.
• Insurance should be made for full value against theft, burglary, fire and natural calamity.
• The bidder shall give compliance that no pirated software shall be installed on the computer
system in the labs
• The Pre dispatch inspection and acceptance test shall be done by Department or through third
party identified by DES&HS. If any goods or its component fails to meet the specifications, bidder
shall replace the goods or its component with required specification or higher within 15 days of
such inspection.
• Bidder will have to procure all the licenses of the software’s on the name of Director of Education
(Secondary & Higher Secondary) Maharashtra State and the original copy of the same shall be
deposited by the successful bidder at the Department’s office after signing of the contract and
before the installation of the software at any of the sites.
• Bidder should produce a satisfactory installation certificate issued by the third party agency
appointed by DES&HS & Headmaster of the school and counter signed by the Education Officer of
that particular region to the Director of Education (Secondary & Higher Secondary) Maharashtra
State, Pune 411 001. Director of Education (Secondary & Higher Secondary) Maharashtra State,

Pune 411 001 will consider for semester payments only after receipt of satisfactory report and
Acceptance Test report.
• The Bidder shall provide & maintain software updates, security patches & any other patches
directly from the OEM / Principal manufacturer for software like operating system, database,
Antivirus security, productivity suite software etc. for the entire period of contract (5 Years) from
time to time at no additional cost to the Government to meet the requirements of security and
quality of system software.
• The bidder should ensure that hardware warranty starts from installation date.
• The bidder should ensure that minimum salary paid to teacher deployed in the labs is Rs 8000/-
per month. The IP should also ensure that the teacher gets 10% annual increment and IP should
follow all the Labordepartment guidelines, wherever applicable. DES & HS can ask for salary proof
at any given point.
• Bidder shall carry out painting of Computer Lab to maintain good look and feel wherever felt
necessary.
• The Director of Education (Secondary & Higher Secondary) Maharashtra State, Pune 411001,
shall have the right to change / modify the school location and to replace a school location with
other school or a junior college with same terms and conditions. Bidder shall not be eligible for any
increase in contract amount due to this change on what so ever reason. Director of Education
(Secondary & Higher Secondary) Maharashtra State, Pune 411 001 shall have right to
increase/decrease the number of schools and contract amount shall be increased or reduced
accordingly.
• The manufacturer of the product (OEM) should be ISO 9001:2000 process certified for
manufacturing.
• All the hardware such as Computer System/Nodes, Printer, UPS, Integrated Computer
Projector, Multimedia speakers and Generator will be inspected and tested at the company site by
the technical person/third party agency appointed by the Director Education (Secondary & Higher
Secondary).
• 100% Computers will have to undergo burn in test for minimum of 24 hours at the company site.
• The tendering authority or its duly authorized representative/committee shall at all reasonable time
have access to the Bidder premises and shall have the power at all reasonable time to inspect and
examine the materials and workmanship of the goods/ equipment/ machineries used / consumed
during manufacturing process or afterwards as may be decided. In case of desktops and UPS the
Pre-Dispatch Inspection (PDI) shall be made at the Hardware (OEM) Manufacturer’s Factory site
(at Bidder cost) by the technical team/inspection committee appointed by Director, (Secondary &
Higher Secondary Education). In case of other hardware the inspection can be made at
factory/godown (at Bidders cost). The inspection period would be inclusive in the duration provided
for the complete delivery & installation under the project. The Bidder will not supply the hardware
directly to the schools without PDI. The PDI will be completed within 15 days of receiving the
request in writing from the Bidder, the time taken for PDI is included in the delivery period. Bidder
would supply & install only those makes & models of hardware/software which have been
accepted during technical evaluation. No other hardware (make & model)/software will be supplied

which is not quoted or not approved during the technical evaluation. The hardware/software items
not quoted or not technically approved shall be rejected during the PDI.
• The bidder will not be allowed to move, remove and change any of the equipment’s installed under
this Tender without prior written permission of the Director of Education (Secondary & Higher
Secondary).
• Transfer of Assets to Director of Education (Secondary & Higher Secondary) Maharashtra State,
Pune 411 001 at the end of Contract period: The bidder shall transfer all the assets created under
the project to Director of Education in working condition at a value of Re.1/- .
• Tenders will be accepted only from those who have purchased tender document of Rs. 25,000/-
from the Director of Education (Secondary & Higher Secondary) Maharashtra State, Pune 411
001. (Download facility provided.)
• All disputes will be subjected to Pune Jurisdiction.

• 7 Termination And Exit Management
• 7.1 Termination of Contract
• 7.1.1 Termination for Default
DES&HS, without prejudice to any other remedy for breach of Contract, by written notice of defaultsent to
the IP, may terminate the Contract fully or in part:
• If the IP fails to deliver any or all Contracted services as per service standards specified in
theContract, or
• If the IP fails to perform any other obligation(s) under the Contract, or
• If the IP in the judgment of the Authorized Representative of DES&HS, has engaged incorrupt or
fraudulent practices in competing for or in executing the Contract.
• 7.1.2 Termination for Insolvency
DES&HS may at any time terminate the Contract by giving written notice to the IP, if the operatorbecomes
bankrupt or otherwise insolvent. In this event, termination will be without compensation to theIP, provided
that such termination will not prejudice or affect any right of action or remedy whichhas accrued or will
accrue thereafter to the DES&HS.
• 7.1.3Termination for Convenience
DES&HS, by written notice sent to the IP, may terminate the Contract, in whole or in part, atany time for its
convenience. The notice of termination shall specify that termination is for itsconvenience and the IP will be
given 3 months before termination of contract takes place. In case oftermination for convenience, the
DES&HS would pay to the IP cost of services provided till the date of the termination and depreciated cost
of the equipment supplied. Deprecation would be calculated on the basis of a straight line method
assuming the useful life as 5 years from the date of the commissioning.
• 7.1.4Force Majeure
The IP shall not be liable for forfeiture of its Implementation Guarantee, Performance Security,Liquidated
Damages, or termination for default if and to the extent that it’s delay in performance or otherfailure to
perform its obligations under the Contract is the result of an event of Force Majeure.For purposes of this
clause, “Force Majeure” means an event beyond the control of the operator and notinvolving the operator’s
fault or negligence, and not foreseeable. Such events may include, but are notrestricted to, acts of the
DES&HSin its sovereign capacity, wars or revolutions, fires, naturaldisasters, terrorism, declarations of
governments, epidemics, quarantine restrictions and freightembargoes.If a Force Majeure situation arises,
operator shall promptly notify the Authorized Representative, DES&HS, GoM, in writing of such condition
and the cause thereof. Unless otherwise directed by theAuthorized Representative, DES&HS, GoM, in
writing, the operator shall continue to perform itsobligations under the Contract as far as is reasonably
practical, and shall seek all reasonable alternativemeans for performance not prevented by the Force
Majeure event.

• 7.2 Exit Management
• 7.2.1 Purpose
This clause sets out the provisions which will apply on expiry or termination of the “Contract Agreement”. In
the case of termination of the Contract Agreement due to any illegal activity performed by the IP during/ as
part of the activities related to the project, the DES&HS shall have the right to, at its sole discretion; apply
this clause with or without seeking an appropriate remedy from the IP.
• 7.2.2 Transfer of Assets
DES&HS during the Project Implementation Phase and Operation and ManagementPhase is entitled to
serve notice in writing on the IP at any time during the exit management period as detailed hereinabove
requiring the IP to provide DES&HS or its nominated agencies with a complete and up to date list of the
Assets within 30 days of such notice. Upon service of a notice as mentioned in point above, the following
provisions shall apply:
Implementation of Smart Card based PDS in Haryana
• All the Assets to be transferred to DES&HS on the last day of the exit management period which
shall be prescribed the DES&HS in case of termination of contract or at the end of the contract
period.
• That on the execution of clause 7.1.3, the IP and any individual assigned for the performance of
the services under this clause must handover or cause to be handed over all Confidential
Information and all other related materials in its possession, including all the hardware supplied by
IP under this clause to DES&HS.
• That the products and technology delivered to DES&HS during the contract term or on expiry of
the contract duration must not be sold or re-used or copied or transferred by IP to other locations
without prior approval of DES & HS. All hardware supplied, software & documents etc. used by IP
for the DES&HS shall be the legal properties of DES & HS.
• 7.2.3 Cooperation and Provision of Information
During the exit management period:
• The IP will allow DES&HS or its nominated agencies access to informationreasonably required to
define the then current mode of operation associated with theprovision of the services to enable it
to assess the existing services being delivered;
• Promptly on reasonable request by the DES&HS or its nominated agencies, theIP shall provide
access to and copies of all information held or controlled by it whichit have prepared or maintained
in accordance with the MSA, the Project Implementation,the Operation and Management SLA
relating to any material aspect of theservices (whether provided by the IP). DES&HS or its
nominated agenciesshall be entitled to copy all such information. Such information shall include
detailspertaining to the services rendered and other performance data. The IP shall
permitDES&HS or its nominated agencies and/or any Replacement IP to havereasonable access
to its employees and facilities as reasonably required to understandthe methods of delivery of the
services employed by the IP and to assist appropriateknowledge transfer.

• 7.2.4 Confidential Information, Security and Data
The IP will promptly on the commencement of the exit management period supply tothe DES&HS or its
nominated agencies the following:
• Information relating to the current services rendered and customer satisfaction surveysand
performance data relating to the performance in relation to the services; and
• Documentation relating to Intellectual Property Rights; and
• DES&HS data and confidential information; and
• All current and updated departmental data as is reasonably required for purposes of DES&HS or
its nominated agencies transitioning the services to its Replacement IP in areadily available
format; and
• All other information (including but not limited to documents, records and agreements)relating to
the services reasonably necessary to enable DES&HS Department or its nominatedagencies, or
its Replacement IP to carry out due diligence in order to transition theprovision of the Services to
DES & HS or its nominated agencies, or its ReplacementIP (as the case may be).
• Before the expiry of the exit management period, the IP shall deliver to DES & HSor its nominated
agencies all new or up-dated materials from the categories set out in point
• Before the expiry of the exit management period, unless otherwise provided under the
MSA,DES&HS or its nominated agencies shall deliver to the IP all forms of IPconfidential
information which is in the possession or control of DES&HS or itsnominated agencies or its users.
• 7.2.5 Employees
Promptly on reasonable request at any time during the exit management period, the IP shall, subject to
applicable laws, restraints and regulations (including in particular thoserelating to privacy) provide to
DES&HS or its nominated agencies a list of all employees (withjob titles) of the IP dedicated to providing
the services at the commencement of the exitmanagement period. The IP shall ensure the appointed
teachers should be duly paid in the exit management period.
• 7.2.6 Transfer of certain agreements
On request by DES&HS or its nominated agencies, the IP shall effect suchassignments, transfers,
innovations, licenses and sub-licenses as DES&HS may require infavor of DES&HS or its nominated
agencies, or its Replacement IP in relation toany equipment lease, maintenance or service provision
agreement between IP and thirdparty lessors, IPs, or IP, and which are related to the services and
reasonablynecessary for the carrying out of replacement services.
• 7.2.7 Right of Access to Premises
• At any time during the exit management period, where Assets are located at the IP'spremises, the
IP will be obliged to give reasonable rights of access to or, in the case ofAssets located on a third
party's premises, procure reasonable rights of access to DES&HSor its nominated agencies,
and/or any Replacement IP in order to inventorythe assets.
• The IP shall also give DES&HS or its nominated agencies, or any ReplacementIP right of
reasonable access to the IP's premises and shall procure DES&HSor its nominated agencies and
any Replacement IP rights of access to relevant thirdparty premises during the exit management
period and for such period of time followingtermination or expiry of the MSA as is reasonably
necessary to migrate the services to DES&HSor its nominated agencies, or a Replacement IP.

• 7.2.8 General Obligations of the IP
• The IP shall provide all such information as may reasonably be necessary to effect asseamless a
handover as practicable in the circumstances to DES&HS or its nominated agencies or its
replacement IP and which the IP has in its possession or control at any time during the exit
management period.
• For the purposes of this Clause, anything in the possession or control of any IP orassociated entity
is deemed to be in the possession or control of the IP.
• The IP shall commit adequate resources to comply with its obligations under this ExitManagement
Clause.
• 7.2.9 Exit Management Plan
• The IP shall provide DES&HS or its nominated agencies with a recommended exitmanagement
plan ("Exit Management Plan") which shall deal with at least the following aspects of exit
management in relation to the MSA as a whole and in relation to the ProjectImplementation, the
Operation and Management SLA.
• A detailed programme of the transfer process that could be used in conjunction with aReplacement
IP including details of the means to be used to ensure continuingprovision of the services
throughout the transfer process or until the cessation of theservices and of the management
structure to be used during the transfer; and
• Plans for communication with such of the IP's staff, suppliers, customers and anyrelated third party
as are necessary to avoid any material detrimental impact ondepartment’s operations as a result of
undertaking the transfer; and
• If applicable, proposed arrangements for the segregation of the IP's networks fromthe networks
employed by DES&HS or its nominated agencies and identificationof specific security tasks
necessary at termination; and
• Plans for provision of contingent support to DES&HS or its nominated agencies, andReplacement
IP for a reasonable period after transfer for the purposes of providingservice for replacing the
Services.
• The IP shall re-draft the Exit Management Plan annually thereafter to ensure that it iskept relevant
and up to date.
• Each Exit Management Plan shall be presented by the IP to and approved by DES & HS or its
nominated agencies.
• In the event of termination or expiry of MSA, Project Implementation, Operation andManagement
SLA each Party shall comply with the Exit Management Plan.
• During the exit management period, the IP shall use its best efforts to deliver theservices.
• Payments during the Exit Management period shall be decided by the committee set up by
DES&HS for exit management.
• This Exit Management plan shall be furnished in writing to the DES&HS or its nominated agencies
within 90 days from the Effective Date of MSA.

• 8.1 Annexure-1: Pre-qualification Criteria Checklist and Forms
The criterion for pre-qualification is as per the following checklist, to be attached by the Bidder with suitable
proofs against the checklist as part of the “pre-qualification bid”. Bidders are also required to attach the
Annexure 1 forms appropriately as part of the Pre-qualification Bid.

The Committee with the help of experts will be set up to evaluate the content, educational software and

registered and corporate office at (address of the Operator), (hereinafter referred to as “our constituent”,
which expression, unless excluded or repugnant to the context or meaning thereof, includes its successors
and assigns), agreed to enter into a Contract dated …….. (herein after, referred to as “Contract”) with you
for Project of Selection of Implementation Partner for Implementation of Information,
Communication and Technology Scheme in Secondary & Higher Secondary Schools in
Maharashtra State D.E.S &H.S, in the said Contract.

Contract, will be binding on us and we shall not be entitled to ask you to establish your claim or claims
under this Performance Bank Guarantee, but will pay the same forthwith on your demand without any
protest or demur.
This Performance Bank Guarantee shall continue and hold good till the completion of the contract period
(a minimum of 66 months from the date of signing of contract), subject to the terms and conditions in the
said Contract.
We bind ourselves to pay the above said amount at any point of time commencing from the date of the
said Contract until the completion of Contract period.

We further agree that the termination of the said Agreement, for reasons solely attributable to our
constituent, virtually empowers you to demand for the payment of the above said amount under this
guarantee and we would honor the same without demur.
We hereby expressly waive all our rights:
• Requiring to pursue legal remedies against D.E.S &H.S; and
• For notice of acceptance hereof any action taken or omitted in reliance hereon, of any defaults
under the Contract and any resentment, demand, protest or any notice of any kind.
We the Guarantor, as primary obligor and not merely Surety or Guarantor of collection, do hereby
irrevocably and unconditionally give our guarantee and undertake to pay any amount you may claim (by
one or more claims) up to but not exceeding the amount mentioned aforesaid during the period from and
including the date of issue of this guarantee through the period.
We specifically confirm that no proof of any amount due to you under the Contract is required to be
provided to us in connection with any demand by you for payment under this guarantee other than your
written demand.
Any notice by way of demand or otherwise hereunder may be sent by special courier, telex, fax, registered
post or other electronic media to our address, as aforesaid and if sent by post, it shall be deemed to have
been given to us after the expiry of 48 hours when the same has been posted.
If it is necessary to extend this guarantee on account of any reason whatsoever, we undertake to extend
the period of this guarantee on the request of our constituent under intimation to you.
This Performance Bank Guarantee shall not be affected by any change in the constitution of our
constituent nor shall it be affected by any change in our constitution or by any amalgamation or absorption
thereof or therewith or reconstruction or winding up, but will ensure to the benefit of you and be available to
and be enforceable by you during the period from and including the date of issue of this guarantee through
the period.
Notwithstanding anything contained hereinabove, our liability under this Performance Guarantee is
restricted to 5% of the contract value, and shall continue to exist, subject to the terms and conditions
contained herein, unless a written claim is lodged on us on or before the aforesaid date of expiry of this
guarantee.
We hereby confirm that we have the power/s to issue this Guarantee in your favor under the Memorandum
and Articles of Association / Constitution of our bank and the undersigned is / are the recipient of authority
by express delegation of power/s and has / have full power/s to execute this guarantee under the Power of
Attorney issued by the bank in your favor.
We further agree that the exercise of any of your rights against our constituent to enforce or forbear to
enforce or any other indulgence or facility, extended to our constituent to carry out the contractual
obligations as per the said Contract, would not release our liability under this guarantee and that your right
against us shall remain in full force and effect, notwithstanding any arrangement that may be entered into
between you and our constituent, during the entire currency of this guarantee.

Notwithstanding anything contained herein:
Our liability under this Performance Bank Guarantee shall not exceed 5% of the contract value. This
Performance Bank Guarantee shall be valid only for the complete duration of the project from the Date of
Signing of Contract; and
We are liable to pay the guaranteed amount or part thereof under this Performance Bank Guarantee only
and only if we receive a written claim or demand on or before the completion of project.
Any payment made hereunder shall be free and clear of and without deduction for or on account of taxes,
levies, imports, charges, duties, fees, deductions or withholding of any nature imposts.
This Performance Bank Guarantee must be returned to the bank upon its expiry. If the bank does not
receive the Performance Bank Guarantee within the above-mentioned period, subject to the terms and
conditions contained herein, it shall be deemed to be automatically cancelled.
This guarantee shall be governed by and construed in accordance with the Indian Laws and we hereby
submit to the exclusive jurisdiction of courts of Justice in India for the purpose of any suit or action or other
proceedings arising out of this guarantee or the subject matter hereof brought by you may not be enforced

mains feeder including distribution box and socket boxes (6Amp and 16Amp). Feeder
provided with Isolators and MCBs. Electric Sub-meter-10/20 amps, 1 phase/3phase
electronic/Analog Approved by Power Dept, Govt. of Maharashtra. Electrical wiring with 1
main MCB before or after Energy meter. Sub Meter of Computer LAB will be placed within
Computer LAB only. And Wiring from the mains till the Computer LAB will be Provided by
the DES & HS. Within Computer LAB Electrical Wiring will be the responsibility of the
Bidders.
Earthing: Earthing should be below 2 Volts with copper plate, and electrode with copper
wire with main switch. The copper plate has been buried with the necessary depth in the
soil, along with required quantity of salt, sand, and charcoal filling, after necessary
excavation.
The conditioning of electrical power is the sole responsibility of the Bidder wherever
required.
