DECLARATION OF REINA BERMUDEZ IN SUPPORT OF FIRST DAY MOTIONS
PERSONALLY APPEARED before the undersigned attesting officer, duly authorized to
administer oaths, Reina A. Bermudez, who, after being duly sworn, deposes and states on oath as
follows:
1. My name is Reina A. Bermudez. I am a resident of Cobb County, Georgia. I am
over the age of majority and I am competent to make this Declaration. I make this
Declaration under penalty of perjury. I am the Chief Executive Officer of Sydell,
Inc. (sometimes referred to as “Sydell”, the “Company” or the “Debtor”) and this
Declaration is made on the basis of my own personal knowledge except as
otherwise expressly stated herein.
2. Sydell is a corporation organized and existing under the laws of the State of
Georgia. Its principal place of business is located at 109 Smoke Lane, Suite 190,
Woodstock, Georgia. Sydell is owned 100% by me.
3. Sydell, Inc. operates six health and beauty spas in metropolitan Atlanta. Sydell is
currently building out space to open a seventh spa in Huntsville, Alabama. The
metropolitan locations operated under the trade name “Spa Sydell” are The

Creekview at Gumming, The Brookwood at Buckhead, The Alpharetta at
Mansell, the Forum Shoppes, Park Place at Ashford Dunwoody and Town Center
at Barrett Parkway.
4. Sydell filed a voluntary petition for relief under Chapter 11 of the Bankruptcy
Code on September 3, 2009 thereby commencing Chapter 11 Case No. 09-83407
in the United States Bankruptcy Court for the Northern District of Georgia,
Atlanta Division. That case is now closed.
5. I was not an owner of Sydell before the prior bankruptcy case.
6. Since emerging from the prior bankruptcy case in 2012, the Company has worked
diligently to meet past obligations, particularly to the Internal Revenue Service, as
well as meet current obligations. Meeting these past obligations put a significant
drain on the Company's cash flow.
7. The spa business is highly seasonal. Services are purchased as gifts in the fourth
quarter leading to high cash at each calendar year-end. Gifts are redeemed
through the year and the Company borrows money into the third quarter. Other
high sales periods include Valentine's Day weekend, Mother's Day and
Christmas.
8. In 2014, Atlanta experienced a significant ice storm that lead to stores being shut
dovm during the Valentine's Day weekend. Sydell experienced from that closure
a $250,000 cash loss. This one time hit, combined with payments for past
obligations led to the Company not being able to build cash reserves by the end of
2014. Sydell also experienced cost overruns and delays in construction of tenant
improvements at its new Town Center Spa that contributed to what was expected

to be a positive cash flow operation to be a drain on operating cash flow. In
addition, in November 2014, Spa Sydell at the Forum Shoppes experienced water
damage from a malfunctioning sprinkler head followed by a fire which required
that the spa be closed entirely for about one week and then only open partially for
the next month. Sydell has made a loss of income claim under the landlord's
insurance policy but understand that such policy will only cover a portion of the
time the spa was completely closed. Sydell experienced additional challenges
because of negative publicity.
9. Without cash reserves at the end of 2014, the following year was particularly
challenging for the Company. Unable to attract bank financing, Sydell resorted to
higher priced non-bank lenders. Payment of the high interest rates further
exacerbated the Company's financial situation.
10. Sydell, Inc. estimates that the Internal Revenue Service claims about $3,500,000,
the Department of Labor claims about $450,000 and the State of Georgia
Department of Revenue claims about $60,000. Between 2012 and 2016, the
Department of the Treasury, Internal Revenue Service filed eleven Notices of
Federal Tax Lien against Spa Sydell-Management, a Corporation and Sydell Skin
Care - Cosmetics. Certain of the notices were identical but were filed in different
counties in Georgia. The total amount of the federal tax liens subject to such
notices is about $800,000. The 1120 tax is $111.92, the 6721 tax is 320.24 and
the 940 tax is 11,473.76 and the balance of the Federal Tax Liens is for 941 taxes.
The Georgia Secretary of State records indicate that Spa Sydell Management was
merged into Sydell, Inc. in 1996. The Georgia Department of Labor has filed

several fifas for unemployment taxes in 2014 totaling approximately $490,000.
Fulton and DeKalb Counties and the City of Atlanta have filed several fifas in the
past five years which total about $17,000.
11. On or about April 7, 2015 Sydell, Inc. and American Express Bank FSB ("Amex
Bank") entered into a loan agreement in the amount of $57,000.00, as amended
from time to time and a Security Agreement (the "Amex Bank Agreement").
Amex Bank is currently owed approximately $28,000.
5. Pursuant to the Amex Bank Agreement, Sydell, Inc. granted Amex Bank a
security interest in and lien upon all of Sydell's, Inc.'s assets and the proceeds
thereof. Amex Bank filed a UCC-1 Financing Statement on April 7, 2015 listing
as collateral "all assets of the Debtor, whether now owned or hereafter acquired
or arising".
6. On or about August 17, 2015, Sydell, Inc. entered into a Purchase Agreement with
Merchant Capital Source, LLC ("Merchant Capital") regarding the purchase and sale
of Future Receivables, defined as Sydell's future accounts receivables and other
contract rights arising fi'om or relating to the use by Sydell's customers of any
Payment Device to purchase Sydell's products and/or services that are processed
with a credit card (not including Amex) or other Payment Device processor at any
time during the Term and fiirther defined Term as the period beginning on the
Effective Date and ending on the date on which the sum of $227,500 (the "Amount
Sold") has been paid by Sydell to Merchant Capital. Sydell received $175,000 for
this assignment and the parties agreed that the repayment would occur at the rate of
8% of collections on Visa and Master Card charges. Merchant Capital, upon

information and belief, attempted to perfect its security interest by the August 25,
2015 filing by Corporation Service Company, as Representative against Sydell, Inc.
listing as collateral, "Receivables as defined by contract". The remaining balance
owed to Merchant Capital currently is approximately $81,522.00.
7. TimePayment Corporation and Southem Automatic Machinery Co. both filed UCC-
1 Financing Statements perfecting security interests in specific items of equipment
that had been purchased by Sydell, Inc. TimePayment filed a UCC-1 Financing
Statement on April 8, 2013 describing as its collateral a water cooler and Southem
Automatic Machinery Co. filed a UCC-1 Financing Statement on December 21,
2015 describing two pieces of laundry equipment at Sydell's Kennesaw spa location.
TimePayment is currently owed approximately $6,717.61 and Southem Automatic
Machinery Co. is currently owed approximately $328.40.
8. On or about August 19, 2009, Bell Sembler I, LLC obtained a judgment against
Sydell, Inc. and recorded a Writ of Fieri Facias with the Superior Court of DeKalb
County, Georgia on August 28, 2009. The amount listed in the fifa is $213,181.86
including principal and court costs. That judgment lien predates the filing of
Sydell's 2009 Chapter 11 case.
9. On or about March 10, 2016 CPT Peachtree Forum I, LLC obtained a judgment
against Sydell, Inc. and recorded a Writ of Fieri Facias with the Superior Court of
Gwinnett County, Georgia on April 5, 2016. The amount listed in the fifa is
$213,181.86 including principal and court costs.
10. The Debtor employs 61 people, which number fluctuates based upon demand, of
which 3 are salaried, and 58 are hourly wage eamers. The Debtor also has 86

independent contractors. Debtor's employees are paid biweekly. Debtor's last
payroll was made on August 19, 2016 and covers the period from July 5 through
July 11, 2016 for hourly employees and independent contractors, and July 28
through August 3,2016 for salaried employees.
11. In the course of operating its business Sydell, Inc. incurs certain operating
expenses which are necessary for the continued operation of such business. Sydell,
Inc. also generates accounts receivable and proceed thereof which may constitute
"cash collateral" in which Amex Bank and Merchant Capital may assert an
interest.
12. Unless authorized to use the "cash collateral" in the ordinary course of its
business, Sydell, Inc.'s operations will be impaired and its ability to sell its assets
as a going concern will be jeopardized.
13. Sydell, Inc has an immediate need for the use of "cash collateral" for critical
operating expenses during the period immediately following the filing of its Chapter
11 case and prior to any final hearing on its Motion to Use Cash Collateral.
14. Authority to use "cash collateral" during the mandatory fourteen (14) day notice
period prior to a final hearing, is necessary to avoid immediate and irreparable harm
to Sydell.
15. Sydell distributed its most recent payroll checks on August 19, 2016 and there
are outstanding payroll checks to its employees and independent contractors from
the August 19 and prior period payrolls. Because the Debtor compensates its
employees and independent contractors in arrears, in the ordinary course of
business one or more of the Debtor's next pajrolls will cover periods prior of the

filing date. It is essential to the ability of the Debtor to operate as a going
concern that the payroll checks that have been issued to its employees and the
compensation checks that have been issued to its independent contractors are not
returned for insufficient funds because of the commencement of this bankruptcy
case. The amount of the outstanding payroll and expense reimbursement checks
by individual is attached hereto as Exhibit "A". To the best of my knowledge,
each of these employee or independent contractor's outstanding checks if
honored will not result in any employee or independent contractor receiving
more than the total sum of $12, 475.00 for wages or independent contractor
compensation.
16. Sydell uses checking accounts at each of its spa locations to process and receive
credit card charges (the "Depository Accounts"). It would be extremely
disruptive to its operations if the credit card companies were to halt payments
during the time it takes them to change electronic transfers from the Depository
Accounts to the new Debtor in Possession checking account. Sydell generally
sweeps balances in such Depository Accounts into a main account but has in the
past cashed payrolls for employees and independent contractors from the
Depository Accounts. Sydell will open new Debtor in Possession checking
accounts for operations, taxes and payroll.
