Subject: Termination of Distributorship with Trendy Sports SDN. BHD and

Transfer of I(BC and SparX brands to AidiMack Enterprise.

Dear Sirs,

By this deed, we, KBC Helmets(USA), Inc., hereby appoint your company, AidiMackfnterprise, to be the sole distributor in Malaysia, effectively from the date hereof. Youare entitled to purchase all range of our products, including both the KBC and SparXlineups, as well as our other manufactured lineups, to resale in Malaysia territory subject

to the terms and conditions as from time to time mutually agreed between the parties

hereto.

Moreover all prior agreements between the former distributor, Trendy Sports SDN.

BHD will be VOID due to non-payment and the mishandling of the brands, as mentioned

in the "Agreement for Distributorship," which was given at the time of this Letter ofOffer.

Throughout the continuance of this appointment we will use our best endeavors tosupport your sales in the territory in both technical and promotional materials to the

extent where we may think fit.
