Preface

Ministry of Statistics and Programme Implementation has decided

to initiate various measures to implement the UN Handbook on Non Profit

Institutions (NPIs), which include computerisation of the records of

Registrars of societies on NPIs, and compilation of satellite accounts for the

NPI sector in India.

State DESs are entrusted to conduct the Survey on NPIs. The CSO

has proposed to undertake this project and the survey is proposed to be

conducted in two phases. i.e. listing and detailed survey.

This report is prepared on the basis of first phase of the project in

which data is collected from the Registrar offices in the districts. I hope

that this report will give insight to Non Profit Institutions in Kerala

registered under different Acts

I use this opportunity to place on record all officers engaged in the

preparation of this report and invite valuable suggestions for improving

this report in future.

Chapter I

Introduction

The Handbook on non-profit institutions in the system of national accounts

recommends statistical standards and guidelines for the development of data on Non

Profit Institutions (NPIs) with in the System of National Accounts (SNA). The

fundamental aim of the Handbook is to answer to the growing interest that statisticians,

policy makers and social scientists have in organizations that are neither market firms

nor state agencies. It has been prepared to help national statistical offices to collect and

provide more comprehensive data on nonprofit institutions in an attempt to respond the

analytical needs of policy makers who are searching for ways to improve public

services and reduce the size of the government. Because of their distinctive features as

private institutions serving the public purposes, they offer advantages which explain

recent initiatives to promote NPIs and increase the need for better information on this

set of institutions and the role that they play in particular fields (health, education,

social services)

The Handbook gives guidelines for the establishment of a NPI satellite account

by regrouping those non profit units that are assigned to other institutional sectors in the

SNA together with those of the existing (but not fulfilled by all countries) the non

profit institutions serving households sector into one single NPI sector.

1.1 Main features of the Handbook on Nonprofit Institutions in the system of

National Accounts:

Definition of the Non Profit Institutions

The SNA defines NPI as:

“Non Profit Institutions are legal or social entities created for the purpose of

producing goods and services whose status does not permit them to be a source of

income, profit or other financial gain for the units that establish, control or finance them

In practice their productive activities are bound to generate either surpluses or deficits

but any surpluses they happen to make cannot be appreciated by other institutional

units.”

Thus working definition of the NPI is the following:

a) Organizations

b) Not-for-profit and by law or custom and non-profit distributing.

c) Institutionally separate from government.

d) Self-governing.

e) Non-compulsory.

1.2 Non-profit Institutions-Satellite Accounts

Satellite accounts are recognised internationally as a way of rearranging existing

information in the national accounts so that an area of particular economic or social

importance, such as non-profit institutions, can be analyzed more closely. Links are

maintained between the satellite accounts and the central national accounting

framework. This is important as it enables new information to be presented alongside

standard economic measures such as Gross Domestic Product (GDP). The United

Nations (UN) Handbook on Non-Profit Institutions in the System of National Accounts

has been used as a guide in compiling the satellite account. The UN Handbook

recommends statistical standards and guidelines for the development of data on non-

profit institutions. It was prepared as collaboration between the John Hopkins

University center for civil society studies and the Economic statistics Branch of UN

statistics division in response to the growing interest in institutions that are refered to as

Non-profit, voluntary or non-governmental and that are not in a single economic sector

under the System of National Accounts.

The NPISA includes information about non-profit institutions such as cultural

societies, sports, clubs, social service institutions, private schools and hospitals,

churches, environmental lobby groups, trade unions, political parties and charitable

trusts.

The data includes the following financial and non-financial information:

1 Total income and its components (sales, donations, grants,

investment)

2 Total expenditure and its components (salaries and wages,

donations, grants etc)

3 Operating surplus and savings

4 Number of institutions by type (environment, health, social services

etc)

5 Number of paid employees.

6 Number of Volunteers.

1.3 Need for Satellite Accounts on NPIs

Although section assignment makes sense for many analytical purposes, it

makes it difficult to gain a comprehensive view of the entire universe of NPIs. Gaining

such a view increasingly important, for number of reasons. Those reasons include the

following.

(a) NPIs constitute a significant and growing economic presence in

countries throughout the world, accounting 7-10 % of non-agricultural

employment in many developed countries and considerable share of the

employed labour force in developing as well.

(b) NPIs have distinct features that give them production functions and

other characteristics that differ significantly from those of the other

entities included in the corporate and government sectors to which they

are assigned under current usage. Those features include:

(i) The prohibition on the distribution of profits from their

operations, which gives them an objective function quite

different from that of for-profit corporations;

(ii) Their involvement in the production of public goods in

addition to whatever private goods they may produce;

(iii) A revenue structure that generally includes substantial

voluntary contributions time and money;

(iv) The use of volunteer as well as paid staff;

(v) Limited access to enquiry capital because of the

prohibition on their distribution of profits;

(vi) Eligibility of special tax advantage in many countries;

(vii) Special legal provisions pertaining to governance,

reporting requirements, political participation and related

matters;

(viii) The lack of sovereign governmental powers despite their

involvement in public goods provision;

(c) NPIs are increasingly a focus of policy attention as governments seek to

divert social functions to provide groups, which has increased the need

for better information on NPIs;

(d) Existing treatment, by folding NPIs into other sectors, reduces the

incentives to make the special efforts needed to capture NPIs fully in

current data;

(e) Existing sectoral rules are hard to apply given the increasing complexity

of NPI universe. Considerable variation in treatment may consequently

occur among countries.

The NPI Satellite Account utilizes a mid-range concept of the non-profit

institutions sector that uses components of the “Structural Operational” definition used

in the Johns Hopkins Comparative Non-profit sector Project to clarify the SNA

definition, particularly with respect to the borders between NPIs and both corporations

and governments. Three of the components of the structural-operational definition can

provide the needed clarification In the first place, the “Institutionally separate from

government “criterion places additional emphasis on the non-governmental nature of

NPIs, a crucial feature in most understandings of that set of institutions.

(a) In the second place, “the self-governing” criterion usefully distinguishes NPIs

from organizations that are essentially controlled by other entities, whether

government or corporation.

(b) Finally, the “non-compulsory” element of the “voluntary” criterion

distinguishes NPIs from entities that people belong to by birth or legal

necessity that distinguishes, NPIs from families, tribes and other similar entities,

and represents another central feature of the common understanding of those

organizations.

1.4 NPIs in India

Ministry of Statistics and Programme Implementation has decided to initiate

various measures, to implement the UN Handbook on the NPI, which include

computerization of the records of Registrars of societies on NPIs, and compilation of

satellite accounts for the NPI sector in India. The National Accounts Division of the

CSO has been given the responsibility of the said work, which would be completed

with in a time frame of 30 months. State DES is entrusted to conduct the survey on

NPIs. The survey is proposed to be conducted in two phases, i.e., listing and detailed

survey.

This report is based on the first phase (listing) of the survey conducted in Kerala

by the Department of Economics and Statistics. The listing work has been done by

collecting details of Registered Non profit Institutions from District Registrar offices.

Chapter II

Non-profit Institutions in Kerala

2.1 Kerala Economy

Kerala, known as ‘God’s own country’ invites the attention of the whole world

by its rich and varied cultural heritage. Kerala, with its high literacy rate and improved

health standards and comparatively better socio-economic situations is at par with the

developed countries of the world in several development indicators. At the same time

the per capita income and GDP are very low in comparison with developed countries.

Agriculture and allied activities remain the dominant source of livelihood in the

state. A predominant feature of agriculture in the state is the cultivation of cash crops.

It is a leading producer of coconut, rubber, pepper, cardamom, ginger, cocoa, cashew,

arecanut and coffee. It is the largest producer of rubber in the country, accounting for

85 per cent of the country's total land under rubber cultivation. Providing employment

to 1.73 million people, the state is the third highest in the number of small-scale

industries (258,000) in the country. The predominance of cash crop cultivation has led

to the growth of a number of agro-based industries engaged in food, rubber, cashew

and coir processing.

The state's traditional strength in tourism coupled with its emergence as an IT

destination has given a fillip to the services sector. The tourism sector accounted Its

unique culture and traditions, coupled with its varied demography, has made Kerala one

of the most popular tourist destinations in the world. Growing at a rate of 13.31%, the

tourism industry is a major contributor to the state's economy

In a state of over 4 million unemployed which accounts 12 percent, one Keralite

worker in ten now works overseas. The largest numbers work in construction, although

high literacy allows some Keralites to secure office work. Foreign remittances augment

the state’s economic output by nearly 25 percent.

The socio economic empowerment initiatives under Kudumbashree in Kerala

have been emerged as a hope for the millions of rural poor, who have remained without

having much role in the development efforts and decision making chance for

participating the development process.

Despite its achievements, state faces low industrial development and high levels

of unemployment. The educational reforms failed to make a direct mark on the state, as

people were left with no option but to go abroad for work options. Today, with over

25% of the population of the state living abroad, the policy in effect, created a brain

drain scenario.

2.2 Listing Work of NPIs in Kerala

The listing work of NPIs in Kerala was started in September 2008. State level

and regional level training were conducted before the listing work. The listing of NPIs

was done by the officers in District offices of Economics and Statistics in the 14

Districts. Details are collected from the registers kept in the offices of District

Registrars in the prescribed format and data entry was done in the District offices of

Economics and Statistics.

Name with address, register number with year, Governing body members (male

and female), activity, location (rural or urban), Act under which the society is registered

etc of every NPIs were collected during the listing work.

The total number of NPIs registered in Kerala till March 2008 under different

acts are 326392. Out of which, 278644 are in rural area and 47748 are in urban area.

That is about 85.37% of the NPIs were registered from rural areas and the rest from

urban area. Thiruvananthapuram district is at the top according to the number NPIs

registered from rural and urban areas. According to the number of NPIs registered,

Kasaragod and Waynad are at the bottom in rural and urban areas respectively.

Combining the rural and urban information on number of NPIs, Thiruvananthapuram is

at the top and Waynad is at the bottom.

2.4 Year wise Registration

Majority of rhe NPIs were registered after 1970. Out 326392 NPIs, only 4870

NPIs were registered before 1970. This is only about 1.5 % of the total NPIs. In the

table in the appendix, we can see that the entities in the row against some districts are

zeroes, as the districts are formed after the year. Considering the number of districts of

NPIs registered after 1970, about 36.27% of the total NPIs were registered in the last

decade of the 20th Century. In the present decade we can accept the same trend in the

number of NPIs registered. The Year wise details of the number of number of NPIs

registered in Rural and Urban area are given in the tables 1 and 2.

Out of 326392 NPIs, majority of the NPIs, were registered under Travancore

Cochin Act. 201112(61.61%) of the NPIs were registered under this act. 124954

(38.28%) registered under societies registration Act. Less than 0.1% of the NPIs were

registered under other acts.

As per Central Statistical Organisation’s instruction, the activities of NPIs are

133834 (41.%) of NPIs registered in Kerala are active in social services. This is

the highest according to activities of the NPIs. The number of NPIs active in law

advocacy and politics, Philanthropic intermediates and international activities are

comparatively small. When we analyze the district wise details, it can be seen that the

activities of majority of the NPIs in northern districts are not social services. In these

districts majority of the NPIs are active in culture and recreation or Business and

professional assistors. But in Southern districts the main activity of more than 59% of

NPIs are in social service. Considering the number of NPIs all over Kerala, the main

activity of NPIs are seems to be social service, this is due to the dominance of number

of social service NPIs in southern districts.

In table 5 of the appendix, District wise, major activity wise and sector wise

number of non-profit institutions according to year of registration are given. It can be

seen from the table that for majority of the activities, line portion of the number of NPIs

has been set up in the decade of 1991-2000. Highest number of NPIs those active in

Health oriented activities and in environmental activities also came into existence in the

period 2001-2005.All NPIs active in Law, advocacy and Politics have been established

after 1970.

Each NPI is governing by a member or a group of members. About 28.68 lakh

persons are included in the governing bodies of all NPIs operating in Kerala. About

10.28 lakh women are engaged in the proper functioning of the NPIs. It is about

35.85% of the total number of governing body members. The percentage of women

governing body members in rural areas is about 37.05% and that in the urban area is

28.87%. That is women participation in the NPIs in rural sector is more than that in the

urban sector. From the details collected it is clear that average number of governing

body members per NPI is higher for NPIs active in the area of ‘Culture and

Recreation’.

2.8 Conclusion

In the first phase of the NPI survey, all the NPIs registered till March 2008 are

listed. 3.26 lakh of NPIs enlisted through the survey. The number of NPIs per square

km is approximately 8. The contribution of NPIs in the State Domestic Product will be

studied in the second phase of the Survey, which is in progress. This survey is expected

to give all the financial aspects of the NPIs registered. Index-I

THE KERALA NON-TRADING COMPANIES ACT, 1961

ACT 42 OF 1961

An Act to provide for the incorporation, regulation and winding up of companies, other than trading corporations (including banking, insurance and financial corporations), with objects confined to the State of Kerala.

Preamble.-WHEREAS it is expedient to provide for the incorporation, regulation and winding up of companies, other than trading corporations (including banking, insurance and financial corporations), with objects confined to the State of Kerala;

BE it enacted in the Twelfth Year of the Republic of India as follows:-

1.Short title, extent and commencement.—(1) This Act may be called the Kerala Non-trading Companies Act, 1961.

(2) It extends to the whole of the State of Kerala.

(3) It shall come into force on such date as the Government may, by notification in the Gazette, appoint.

2.Definitions.—In this Act and in the Companies Act, 1956 (Central Act I of 1956), as applied to the State of Kerala by section 3, unless the context otherwise requires,--

(1)“company” means a company, other than a trading corporation (including banking, insurance and financial corporations), with objects confined to the State of Kerala formed and registered under the Companies Act, 1956 (Central Act I of 1956), as modified by this Act, or an existing company as defined in clause (2);

(2)“existing company” means a company; other than a trading corporation (including banking, insurance and financial corporations), with objects confined to the State of Kerala formed and registered under any of the companies laws, specified below:-

(i) Any Act or Acts relating to companies in force before the Indian Companies Act, 1866 (10 of 1866) and repealed by that Act; (ii) The Indian Companies Act, 1866 (10 of 1866);

(iii) The Indian companies Act, 1882 (6 of 1882); (iv) The Indian Companies Act, 1913 (7 of 1913); (v) The Registration of Transferred Companies Ordinance 1942 (54 of 1942);

(vi) The Travancore Companies Act, 1114 (IX of 1114); (vii) The Cochin Companies Act, 1120 (XI of 1120);

(viii) The Companies Act, 1956 (I of 1956), before the commencement of this Act;

(3) “Registrar” means the Inspector General of Registration for the State of Kerala or such other officer as the Government may, by notification in the Gazette, appoint to be the Registrar for purposes of this Act.

3.Application of the Companies Act, 1956 (Central Act I of 1956) to non-trading companies with objects confined to the State of Kerala.-The Companies Act, 1956, (Central Act I of 1956), in so far as it is the law relating to companies, other than trading corporations (including banking, insurance and financial corporations), with objects not confined to one State shall, mutatis mutandis, and subject to the modifications specified in the Schedule to this Act, be applicable to the State of Kerala, and shall be the law relating to companies, other than trading corporations (including banking, insurance and financial corporations, with objects confined to the State of Kerala.

4.Provision relating to existing companies.—Every existing company with its registered office in any place in the State of Kerala shall be deemed to be registered under the Companies Act, 1956 (Central Act I of 1956), as applied to the State of Kerala by section 3, and shall be governed by the said Act, accordingly.

5.Validation of registration of non-trading companies under Central Act 1 of 1956.-Every company other than a trading corporation (including banking, insurance and financial corporations), with objects confined to the State of Kerala, registered before the commencement of this Act under the Companies Act, 1956 (Central Act 1 of 1956), shall be deemed to have been validly and lawfully registered as if the said Act, in so far as it relates to such companies, had been passed by the State Legislature.

6.Transfer of records relating to existing companies to Registrar.-On the commencement of this Act, the records relating to existing companies in the office of Registrars appointed under the Companies Act, 1956 (Central Act 1 of 1956), shall be transferred to the office of the Registrar referred to in clause (3) of section 2 and shall thereafter be maintained in that office.

7.Construction of Companies Act as applied to the State.-Any court may construe the provisions of the Companies Act, 1956 (Central Act I of 1956), as applied by section 3, with such modifications not affecting the substance thereof as may be necessary or proper, in order to adapt them to the matters before the Court.

8.Repeal.—The Travancore Companies Act, 1114 (IX of 1114), the Cochin Companies Act, 1120 (XI of 1120), and the Indian Companies Act, 1913 (Central Act 7 of 1913), as in force in the Malabar district referred to in sub-section (2) of section 5 of the States Reorganisation Act, 1956 (Central Act, 37 of 1956), in so far as they relate to companies, other than trading corporations, with objects confined to one State, are hereby repealed.

MODIFICATIONS

(1) References to “the Central Government”, and “Government” where it refers to the Central Government shall be construed as references to the Government of Kerala.

(2)References to “Parliament” shall be construed as references to the Kerala State Legislature.

(3)References to “the Comptroller and Auditor-General of India” shall be construed as references to the Accountant-General Kerala.

(4) In section 1, sub sections (2) and (3) shall be omitted.

(5) In section 2, clauses (10), (16) and 40 shall be omitted.

(6)In section 3,--

(i) in sub-section (1), clause (i) and (ii) shall be omitted;

(ii) sub-section (2) shall be omitted.

(7) Parts X and XI shall be omitted.

(8) In section 643—

(a) in sub-section (1),-

(i) for the words “The Supreme Court after consulting the High Courts”, the words “The High Court” shall be substituted;

(ii) in sub-clause (i) of clause (b), for the words “in High Courts”, the words “in the High Court” shall be substituted;

(b) in sub-section (2), for the words “the Supreme Court”, the words “the High Court” shall be substituted;

(c) for sub-section (3), the following sub-section shall be substituted, namely:-

“(3) Until rules are made by the High Court as aforesaid all rules on the matters referred to in this section in force at the commencement of this Act shall continue to be in force in so far as they are not inconsistent with the provisions in this Act in the High Court and in courts subordinate thereto”.
