InformationprovidedinthisRFPtotheApplicantsmaybeonawiderangeofmatters,someofwhichmaydependuponinterpretationoflaw.Theinformationgivenisnotintendedtobeanexhaustiveaccountofstatutoryrequirementsandshouldnotberegardedasacompleteorauthoritativestatementoflaw.APIICacceptsnoresponsibilityfortheaccuracyorotherwiseforanyinterpretationoropiniononthelawexpressedherein.
APIIC,itsemployeesandadvisersmakenorepresentationorwarrantyandshallhavenoliabilitytoanypersonincludinganyApplicantunderanylaw,statute,rulesorregulationsortort,principlesofrestitutionorunjustenrichmentorotherwiseforany loss,damages,costorexpensewhichmayarisefromorbeincurredorsufferedonaccountofanythingcontainedinthisRFPorotherwise,includingtheaccuracy,adequacy,correctness,reliabilityorcompletenessoftheRFPandanyassessment,assumption,statementorinformationcontainedthereinordeemedtoformpartofthisRFPorarisinginanywayinthisSelectionProcess.
APIICalsoacceptsnoliabilityofanynaturewhetherresultingfromnegligenceorotherwisehowevercausedarising fromrelianceofanyApplicantuponthestatementscontainedin thisRFP.
APIICmayinitsabsolutediscretion, butwithoutbeingunderanyobligationtodo so,update,amendorsupplementtheinformation,assessmentorassumptioncontainedinthisRFP.
TheissueofthisRFPdoesnotimplythatAPIICisboundtoselectanApplicantortoappointtheSelectedApplicant,asthecasemaybe,fortheConsultancyand APIICreservestherighttorejectalloranyoftheProposalswithoutassigninganyreasonswhatsoever.
TheApplicantshallbearallitscostsassociatedwithorrelatingtothepreparationandsubmissionofitsProposalincludingbut notlimitedtopreparation, copying, postage,deliveryfees,expensesassociatedwithanydemonstrationsorpresentationswhichmayberequiredbyAPIICoranyothercostsincurredinconnectionwithorrelatingtoitsProposal.AllsuchcostsandexpenseswillremainwiththeApplicantandAPIICshallnotbeliableinanymannerwhatsoeverforthesameorforanyothercostsorotherexpensesincurredbyanApplicantinpreparationorsubmissionoftheProposal,regardlessoftheconductoroutcomeoftheSelectionProcess.

1. INTRODUCTION 1.1 Background
1.1.1 AndhraPradeshisoneofthemost progressive,forward-looking and advancedstatesinthecountrywhenitcomestoinfrastructuredevelopment&employmentgenerationefforts.AndhraPradeshIndustrialInfrastructureCorporationLimited(the“APIIC”),fullyownedbytheGoAP,isaprogressiveorganizationresponsiblefordevelopmentofIndustrial InfrastructureinthestateofAndhraPradesh.APIICisknownforcreatinglandmarkinfrastructureprojectsinthestate,whicharefuelingtheeconomicgrowthinthestate.APIIChassofardevelopedmorethan250industrialparks/estatesandcreatedlandbanksforthefutureindustrialdevelopment.
1.1.2 APIICisdevelopinganIndustrialParkatErramanchivillage,Penugonda,Ananthapurdistric
toveralandparcelof592acres(hereinafterreferredas“Project”).APIICproposetotakeuptheSiteGradingworksfortheentirelandparcelandhasappointedaimplantingagency.Thesitegradingworksareexpectedtobecompletedwithin6months.
1.1.4Inpursuanceoftheabove,APIIChasdecidedtocarryoutthe process
forselectionofaqualifiedProjectManagementConsultant(the“PMC”)forprovidingservicesinaccordancewiththeTermsofReferencespecifiedatSchedule-1(the“TOR”).
1.2 RequestsforProposal 1.2.1 APIICinvitesproposalsfrominterestedfirms(the“Proposals”)forselectionofaPMC
who will be responsible for providing the required consulting services (the “ProjectManagementConsultancy”or“Consultancy”).APIICintendstoselectthePMCthroughanopenCompetitivebiddinginaccordancewiththeproceduresetoutherein.
1.3 DuediligencebyApplicants
ApplicantsareencouragedtoinformthemselvesfullyabouttheassignmentandthelocalconditionsbeforesubmittingtheProposalbypaying avisittoAPIIC,sendingwrittenqueriestoAPIICbythedateandtimespecifiedinClause1.8andattendingaPre-ProposalConferenceonthedateandtimespecifiedinClause1.8.
1.4 RFPDocument,ProcessingFeeandProposalSecurity
RFPdocumentcanbedownloadedfromtheofficialwebsiteofAPIIC(www.apiic.in)from2605-2017onwards.TheproposalshouldbeaccompaniedwithaNon-RefundableProcessingFeeof Rs20,000/-(Rupees twentythousandonly)andarefundableProposalSecurityofRs2,00,000(RupeestwoLakhonly).TheProcessing Feeand ProposalSecurity shallbeintheformofaDemandDraftissuedbyoneoftheNationalised/ScheduledBanksinIndiainfavouroftheAndhraPradeshIndustrialInfrastructureCorporationLimitedpayableatVijayawada.Proposalswithout theaforesaidProcessing FeeandProposal Securityshall besummarilyrejected.
1.5 ValidityoftheProposal
TheProposalshallbevalidforaperiodofnotlessthan90daysfromtheProposalDueDate(the“PDD”).

1.6 BriefdescriptionoftheSelectionProcess
APIIChasadoptedatwostageselectionprocess(collectivelythe“SelectionProcess”)inevaluatingtheProposalscomprisingtechnicalandfinancialbidstobesubmittedintwoseparatesealedenvelopes.Inthefirststage,atechnicalevaluation willbe carriedoutasspecifiedinClause3.1.Basedonthistechnicalevaluation,alistofqualifiedapplicantsshallbepreparedasspecifiedinClause3.2.Inthesecondstage,afinancialevaluationwillbecarried outasspecifiedinClause 3.3. Proposals willfinallyberankedaccordingtotheircombinedtechnicalandfinancialscoresasspecifiedinClause3.4.ThefirstrankedApplicant(the“SelectedApplicant”)shallbecalledfornegotiation,ifnecessary,whilethesecondranked Applicantwillbekeptinreserve.
1.7 Currencyconversionrateandpayment
1.7.1 ForthepurposesoftechnicalevaluationofApplicants,Rs.65perUS$shallbeconsideredasthe applicablecurrencyconversionrate.Incaseofanyothercurrency,thesameshallfirstbeconvertedtoUS$asonthedate60(sixty)dayspriortothePDD,andtheamountsoderivedinUS$shallbeconvertedintoINRattheaforesaidrate.TheconversionrateofsuchcurrenciesshallbethedailyrepresentativeexchangeratespublishedbytheInternationalMonetaryFundfortherelevantdate.
1.7.2 AllpaymentstothePMCshallbemadeinINRinaccordancewiththeprovisionsofthisRFP.Th
ePMCmayconvertINRintoanyforeigncurrencyasperApplicableLawsandtheexchangerisk,ifany,shallbebornebythePMC.

2. INSTRUCTIONSTOAPPLICANTS
A. GENERAL
2.1 ScopeofProposal
2.1.1 Detaileddescriptionoftheobjectives,scopeofservices,DeliverablesandotherrequirementsrelatingtothisConsultancyarespecifiedinthisRFP.Incaseanapplicantfirmpossessesthe requisiteexperienceandcapabilitiesrequiredforundertakingtheConsultancy,itmayparticipateintheSelectionProcessindividually(the“SoleFirm”).Thetermapplicant(the“Applicant”)meanstheSoleFirm.ThemannerinwhichtheProposalisrequiredtobesubmitted,evaluatedandacceptedisexplainedinthisRFP.
2.1.2 ApplicantsareadvisedthattheselectionofPMCshallbeonthebasisofanevaluationbyAPIICt
hroughtheSelectionProcessspecifiedinthisRFP.ApplicantsshallbedeemedtohaveunderstoodandagreedthatnoexplanationorjustificationforanyaspectoftheSelectionProcesswillbegivenandthatAPIIC’sdecisionsarewithoutanyrightofappealwhatsoever.
2.1.3 TheApplicantshallsubmititsProposalintheformandmannerspecifiedinthisSectionoftheR
FP.TheTechnicalproposalshallbesubmittedintheformsatAppendix-IandtheFinancialProposalshallbesubmittedintheformatAppendix-II.Uponselection,theApplicantshallberequiredto enterinto anagreementwithAPIICintheformspecifiedatSchedule-2.
2.1.4 KeyPersonnel

2.2 ConditionsofEligibilityofApplicants
2.2.1 Applicantsmustreadcarefullytheminimumconditionsofeligibility(the“ConditionsofEligibility”)providedherein.ProposalsofonlythoseApplicantswhosatisfytheConditionsofEligibilitywillbeconsideredforevaluation.

2.2.2 TobeeligibleforevaluationofitsProposal,theApplicantshallfulfilthefollowing:
(A) TechnicalCapacity: TheApplicantshouldbeaprofessionalfirmhavingexperience inProjectManagementConsultancyandhavingaminimumof5(five)yearsofcontinuousexistenceasalegalentityasontheBidduedate(CopyofRegistrationcertificateshouldbeenclosed).TheApplicantshallhave,overthe past10(ten)yearsprecedingthePDD,undertakentheassignments asspecifiedbelow.
EligibleAssignments:ForthepurposesofsatisfyingtheConditionsofEligibilityandforevaluatingtheProposalsunderthisRFP,belowmentionedadvisory/consultancyassignmentsshallbedeemedaseligibleassignment.

Fortheavoidanceofdoubt,professionalfeeshereunderreferto feesreceivedbytheApplicantforprovidingadvisoryorconsultancyservicestoitsclients.

2.2.4 TheApplicantshallenclosewithitsProposal,certificate(s)fromitsStatutoryAuditorsstatingitstotalrevenuesfromprofessionalfeesduringeachofthepast3(three)financialyears(aspertheformatatForm-5ofAppendix-I)andthefeereceivedinrespectofeachoftheEligibleAssignmentsspecifiedintheProposal(aspertheformatatForm-8ofAppendix-I).IntheeventthattheApplicantdoesnothaveastatutoryauditor,itshallprovidetherequisitecertificate(s)fromthefirmofCharteredAccountantsthatordinarilyauditstheannualaccountsoftheApplicant.
2.2.5 TheApplicantshouldsubmitaPowerofAttorneyaspertheformatatForm-4ofAppendix-
I;provided,however,thatsuchPowerofAttorneywouldnotberequirediftheApplicationissignedbyapartnerorDirector(ontheBoardofDirectors)oftheApplicant
2.2.6 AnyentitywhichhasbeenbarredbytheCentralGovernment,anyStateGovernment,astatut
oryauthorityorapublicsectorundertaking,asthecasemaybe,fromparticipating inanyproject,andthebarsubsistsasonthedateoftheProposal,wouldnotbeeligibletosubmitaProposaleitherbyitselforthroughitsAssociate.
2.2.7 AnApplicantoritsAssociateshouldhave,duringthelast3(three)years,neitherfailedtoperfor
monanyagreement,asevidencedbyimpositionofapenaltybyanarbitralorjudicialauthorityorajudicialpronouncementorarbitrationawardagainsttheApplicantoritsAssociate,norbeenexpelledfromanyprojectoragreementnorhavehadanyagreementterminatedforbreachbysuchApplicantoritsAssociate.
2.2.8 WhilesubmittingaProposal,theApplicantshouldattachclearlymarkedandreferencedconti
nuationsheetsintheeventthatthespaceprovidedinthespecifiedformsintheAppendicesisinsufficient.Alternatively,Applicants mayformatthespecifiedformsmakingdueprovisionforincorporationoftherequestedinformation.
2.3 ConflictofInterest
2.3.1 AnApplicant shallnothaveaconflictofinterestthat mayaffecttheSelectionProcessortheConsultancy(the“ConflictofInterest”).AnyApplicantfoundtohaveaConflictofInterestshallbedisqualified.Intheeventofdisqualification,APIICshallforfeitandappropriatethePerformanceSecurity,ifavailable,asmutuallyagreedpre-estimatedcompensationanddamagespayabletoAPIICfor,interalia,thetime,costandeffortofAPIICincludingconsiderationofsuch Applicant’s Proposal,withoutprejudicetoanyotherrightorremedy thatmaybeavailabletoAPIIChereunderorotherwise.
2.3.2 APIICrequiresthatthePMCprovidesprofessional,objective,andimpartialadviceandatallti
mesholdAPIIC’sinterestsparamount,avoidconflictswithotherassignmentsoritsowninterests,andactwithout any consideration for futurework.ThePMCshallnotacceptorengageinanyassignmentthatwouldbeinconflictwithitspriororcurrentobligationstootherclients,orthatmayplaceitinapositionofnot beingabletocarryoutthe assignmentinthebestinterestsofAPIIC.
2.3.3 SomeguidingprinciplesforidentifyingandaddressingConflictsofInteresthavebeen
illustratedintheGuidanceNoteatSchedule-3.Withoutlimitingthegenerality

oftheabove,anApplicantshallbedeemedto haveaConflictofInterestaffectingtheSelectionProcess,if:
(a) theApplicant,itsconsortiummember (the “Member”) or Associates (oranyconstituentthereof)andanyotherApplicant,itsconsortiummemberorAssociate(oranyconstituentthereof)havecommoncontrollingshareholdersorotherownershipinterest;providedthatthisdisqualificationshallnotapplyincaseswherethedirectorindirectshareholdingorownershipinterestofanApplicant, its MemberorAssociate(oranyshareholderthereofhavingashareholdingofmorethan5percentofthepaidupandsubscribedsharecapitalofsuchApplicant,MemberorAssociate,asthecasemaybe)intheotherApplicant,itsconsortiummemberorAssociateislessthan5%(fivepercent)ofthesubscribedandpaidupequitysharecapitalthereof.ForthepurposesofthisClause2.3.3(a),indirectshareholdingheldthroughoneormoreintermediatepersonsshallbecomputedasfollows:(aa)whereanyintermediaryiscontrolledbyapersonthroughmanagementcontrolorotherwise,theentireshareholdingheldbysuchcontrolledintermediaryinanyotherperson(the“SubjectPerson”)shallbetakenintoaccountforcomputingtheshareholdingofsuchcontrollingpersonintheSubjectPerson;and(bb)subjectalwaystoSub-clause(aa)above,whereapersondoesnotexercisecontroloveranintermediary,whichhasshareholdingintheSubjectPerson,thecomputationofindirectshareholdingofsuchpersonintheSubjectPersonshallbeundertakenonaproportionatebasis;provided,however,thatnosuchshareholdingshallbereckonedunderthisSub-clause(bb)iftheshareholdingofsuchpersonintheintermediaryislessthan26%(twentysixpercent)ofthesubscribedandpaidupequityshareholdingofsuchintermediary;or
(b) aconstituentofsuchApplicantisalsoaconstituentofanotherApplicant;or
(c) suchApplicantoritsAssociatereceivesorhasreceivedanydirectorindirectsubsidyorgrantfromanyotherApplicantoritsAssociate;or
(d) suchApplicanthasthesamelegalrepresentativeforpurposesofthisApplicationasanyotherApplicant;or
(e) suchApplicanthasarelationshipwithanotherApplicant,directlyorthroughcommonthirdparties,thatputstheminapositiontohaveaccesstoeachother’sinformationabout,ortoinfluencetheApplicationofeitheroreachoftheotherApplicant;or
(f) ThereisaconflictamongthisandotherconsultingassignmentsoftheApplicant(includingitspersonnelandothermembers,ifany)andanysubsidiariesorentitiescontrolledbysuchApplicantorhavingcommoncontrollingshareholders.ThedutiesofthePMCwilldependonthecircumstancesofeachcase.WhileprovidingconsultancyservicestoAPIICfor this particularassignment,thePMCshallnottakeupanyassignmentthatbyitsnaturewillresultinconflictwiththepresentassignment;or
(g) whichhasbeenengagedbyAPIICtoprovidegoodsorworksorservicesforaproject,anditsAssociates,willbedisqualifiedfromprovidingconsultingservicesforthesameprojectsaveandexceptasprovidedinClause2.3.4;conversely,afirmhiredtoprovideconsultingservicesforthepreparationorimplementationofaproject,anditsMembersorAssociates,will bedisqualifiedfromsubsequentlyprovidinggoodsorworksorservicesrelatedtothesameproject;or
(h) theApplicant,itsMemberorAssociate(oranyconstituentthereof),andthebidderorconcessionaire/contractors,ifany,fortheProject,itscontractor(s)orsub-contractor(s)(oranyconstituentthereof)havecommoncontrollingshareholdersorotherownershipinterest;providedthatthisdisqualificationshall not apply in cases where the direct or indirect shareholding or
ownership interest of an Applicant, its Member or Associate (or any

shareholderthereof havingashareholdingofmorethan5%(fivepercent)ofthepaidupandsubscribedsharecapitalofsuchApplicant,MemberorAssociate,asthecasemaybe,)inthebidderorConcessionaire,ifany,oritscontractor(s)orsub-contractor(s)islessthan5%(fivepercent)ofthepaidupandsubscribedshare capital of such Concessionaire or its contractor(s)orsub-contractor(s);providedfurtherthatthisdisqualificationshallnotapplytoownershipbyabank,insurancecompany,pensionfundoraPublicFinancialInstitutionreferredtoinsection4AoftheCompaniesAct1956.ForthepurposesofthisSub-clause(h),indirectshareholdingshallbecomputedinaccordancewiththeprovisionsofSub-clause(a)above.
ForpurposesofthisRFP,Associatemeans,in relationtotheApplicant,apersonwhocontrols,iscontrolledby,orisunderthecommoncontrolwithsuchApplicant,orisdeemedorpublishedasan“AssociateOffice”;orhasaformalarrangementsuchastieupforclientreferralortechnologysharing,jointventurewiththeApplicant(the“Associate”);provided,however,thatiftheApplicanthasanyformalarrangementsuchasconsortiummembershipinaconsortiumofadvisers/consultantsforaparticularassignment/project,notbeingthisproject,withanyotherperson,thensuchotherpersonshallnotbetreatedtobeanAssociateoftheApplicantsolelyduetothereasonofformingsuchconsortium.Asusedinthisdefinition,theexpression“control”means,withrespecttoapersonwhichisacompanyorcorporation,theownership,directlyorindirectly,ofmorethan50%(fiftypercent)ofthevotingsharesofsuchperson,andwithrespecttoapersonwhichisnotacompanyorcorporation,thepowertodirectthemanagementandpoliciesofsuchpersonbyoperationoflaworbycontract.
2.3.4 AnApplicanteventuallyappointedtoprovideConsultancyforthisProject,itsAssociates,affili
atesandtheTeamLeader,shallbedisqualifiedfromsubsequentlyprovidinggoodsor worksorservicesrelatedtotheconstructionandoperationofthesameProjectandanybreach ofthisobligation shallbeconstruedasConflictofInterest;providedthattherestrictionhereinshallnotapplyafteraperiodof3(three)yearsfromthecompletionofthisassignmentortoanyconsultingassignmentsgrantedbybanks/lendersatanytime;providedfurtherthatthisrestrictionshallnotapplytoconsultancy/advisoryservicesperformedforAPIICincontinuationofthisConsultancyortoanysubsequentconsultancy/ advisoryservicesperformedforAPIICinaccordancewiththerulesofAPIIC.Fortheavoidanceofdoubt,anentityaffiliatedwith thePMCshallincludeapartnerinthePMC’sfirmorapersonwhoholdsmorethan5%(fivepercent)ofthesubscribedandpaidupsharecapitalofthePMC,asthecasemay be,andanyAssociatethereof.Fortheavoidanceof doubt, intheeventthat:(a)theTeamLeaderofanApplicant/PMCwasapartneroranemployeeofanotherfirm,whichattractstheprovisionsrelatingtoConflict ofInteresthereunder;and(b)wasdirectlyorindirectlyassociatedwithanyassignmentthatcausesaConflictofInteresthereunder,thensuchTeamLeadershallbedeemedtosufferfromConflictofInterestforthepurposehereof.
2.3.5 In theeventthatthe PMC,itsAssociatesoraffiliatesare
auditorsorfinancialadviserstoanyofthebiddersfortheProject,theyshallmakeadisclosuretoAPIICassoonasanypotential conflictcomestotheirnotice butin nocaselaterthan7(seven)daysfromtheopeningoftheRFQ(RequestforQualification)applicationsfortheProjectandanybreachofthisobligationofdisclosureshallbeconstruedasConflictofInterest.APIICshall,uponbeingnotifiedbythePMCunderthisClause2.3.5,decidewhetheritwishestoterminatethisConsultancyorotherwise,andconveyitsdecisiontothePMCwithinaperiodnotexceeding15(fifteen)days.
2.4 NumberofProposals
NoApplicantoritsAssociateshallsubmitmorethanoneApplicationfortheConsultancy.An Applicant applying individually shall not be entitled to submit

anotherapplicationeitherindividually,asthecasemaybe. 2.5 CostofProposal
TheApplicantsshallberesponsibleforallofthecostsassociatedwiththepreparationoftheirProposalsandtheirparticipationintheSelectionProcessincludingsubsequentnegotiation,visitstoAPIIC,etc.APIICwillnotberesponsibleorinanywayliableforsuchcosts,regardlessoftheconductoroutcomeoftheSelectionProcess.
2.6 VisittoAPIICandverificationofinformation
ApplicantsareencouragedtosubmittheirrespectiveProposalsaftervisitingtheofficeofAPIICandascertainingforthemselvestheavailabilityofdocumentsandotherdatawithAPIIC,ApplicableLawsandregulationsoranyothermatterconsideredrelevantbythem.
2.7 AcknowledgementbyApplicant
2.7.1 ItshallbedeemedthatbysubmittingtheProposal,theApplicanthas:
(a) madeacompleteandcarefulexaminationoftheRFP;
(b) receivedallrelevantinformationrequestedfromAPIIC;
(c) acceptedtheriskofinadequacy,errorormistakeintheinformationprovidedintheRFPorfurnishedbyoronbehalfofAPIICorrelatingtoanyofthemattersreferredtoinClause2.6above;
(d) satisfieditselfaboutallmatters,thingsandinformation,includingmattersreferredtoinClause2.6hereinabove,necessaryandrequiredforsubmittinganinformedApplicationandperformanceofallofitsobligationsthereunder;
(e) acknowledgedthatitdoesnothaveaConflictofInterest;and
(f) agreedtobeboundbytheundertakingprovidedbyitunderandintermshereof. 2.7.2 APIICshallnotbeliableforanyomission,mistakeorerrorinrespectofanyoftheaboveoronacc
ountofanymatterorthingarisingoutoforconcerningorrelatingtoRFPortheSelectionProcess,includinganyerrorormistakethereinorinanyinformationordatagivenbyAPIIC.
2.8 RighttorejectanyorallProposals
2.8.1 NotwithstandinganythingcontainedinthisRFP,APIICreservestherighttoacceptorrejectan
y Proposalandtoannulthe SelectionProcessandrejectallProposals,atanytimewithoutanyliabilityor anyobligationforsuchacceptance,rejectionorannulment,andwithout assigninganyreasonstherefor.
2.8.2 Withoutprejudiceto thegeneralityofClause2.8.1,APIIC reserves the right
torejectanyProposalif:
(a) atanytime,amaterialmisrepresentationismadeordiscovered,or
(b) theApplicantdoesnotprovide,withinthe timespecifiedbyAPIIC,thesupplementalinformationsoughtbyAPIICforevaluationoftheProposal.
Misrepresentation/improper response by the Applicant may lead to the

disqualificationofthe Applicant.If the Applicantisthe Lead Memberofaconsortium,thentheentireconsortiummaybedisqualified/rejected.Ifsuchdisqualification/rejectionoccursaftertheProposalshavebeenopenedandthehighestrankingApplicantgetsdisqualified/rejected,thenAPIICreservestherighttoconsiderthenextbestApplicant,ortakeanyothermeasureasmaybedeemedfitinthesolediscretionofAPIIC,includingannulmentoftheSelectionProcess.

C. PREPARATIONANDSUBMISSIONOFPROPOSAL
2.12 Language
TheProposalwithallaccompanyingdocuments(the“Documents”)andallcommunicationsinrelationtoorconcerningtheSelectionProcessshallbe inEnglishlanguageandstrictlyontheformsprovidedinthisRFP.NosupportingdocumentorprintedliteratureshallbesubmittedwiththeProposalunlessspecificallyaskedforandincaseanyoftheseDocumentsisinanotherlanguage,itmustbeaccompaniedbyanaccuratetranslationofalltherelevantpassagesinEnglish,inwhichcase, forallpurposesofinterpretationof theProposal,thetranslationinEnglishshallprevail.
2.13 FormatandsigningofProposal
2.13.1 TheApplicantshallprovidealltheinformationsoughtunderthisRFP.APIICwouldevaluateonlythoseProposalsthatarereceivedinthespecifiedformsandcompleteinallrespects.
2.13.2 TheApplicantshallprepareoneoriginalsetoftheProposal(togetherwithoriginals/copiesofD
ocumentsrequiredtobesubmittedalongtherewithpursuanttothisRFP)andclearlymarked“ORIGINAL”.Inaddition,theApplicantshallsubmit 1(one) copyoftheProposal,alongwithDocuments,marked“COPY”.Intheeventofanydiscrepancybetweentheoriginalanditscopies,theoriginalshallprevail.
2.13.3 TheProposal,anditscopy,shallbetypedorwritteninindelibleinkandsignedbytheauthorized

2.14 TechnicalProposal
2.14.1 Applicants shall submitthe technicalproposal in theformats at Appendix-I(the “TechnicalProposal”).
2.14.2 WhilesubmittingtheTechnicalProposal,theApplicantshall,inparticular,ensurethat:
a) ProcessingFeeandProposalSecurityisprovided;
b) all forms are submitted in the prescribed formats and signed by theprescribedsignatories;
c) powerofattorney,ifapplicable,isexecutedasperApplicableLaws;
d) CVsofallKeyPersonnelhavebeenincluded;
e) keyPersonnelhavebeenproposedonlyiftheymeettheConditionsofEligibilitylaiddownatClause2.2.2(D)oftheRFP;
f) noalternativeproposalforanyKeyPersonnel isbeingmadeand onlyoneCVforeachpositionhasbeenfurnished;
g) the CVs have been recently signed and dated, by the respectivePersonnelandcountersignedbytheApplicant;
h) theCVsshallcontainanundertakingfromtherespectiveKeyPersonnelabouthis/heravailabilityforthedurationspecifiedintheRFP;
i) KeyPersonnelproposedhavegoodworkingknowledgeofEnglishlanguage;
j) KeyPersonnelwouldbeavailablefortheperiodindicatedintheTOR;
k) noKeyPersonnelshouldhaveattainedtheageof65yearsatthetimeofsubmittingtheproposal;and
l) theproposalisresponsiveintermsofClause2.21.3. 2.14.3 FailuretocomplywiththerequirementsspeltoutinthisClause2.14shallmaketheProposallia
bletoberejected. 2.14.4 IfanindividualKeyPersonnelmakesafalseavermentregardinghisqualification,

experienceorotherparticulars,heshallbeliabletobedebarredforanyfutureassignmentofAPIIC for aperiodof3(three)years.TheawardofthisConsultancytotheApplicantmayalsobeliabletocancellationinsuchanevent.
2.14.5 TheTechnicalProposalshallnotincludeanyfinancialinformationrelatingtotheFinancialPro
posal. 2.14.6 Theproposedteamshallincludeexpertsandspecialists(the“ProfessionalPersonnel”)int
heirrespectiveareasofexpertiseandmanagerial/supportstaff(the“SupportPersonnel”)suchthatthePMCshouldbeabletocompletetheConsultancywithinthespecifiedtimeschedule.Theteamshallcompriseothercompetentandexperienced professionalpersonnelintherelevantareasof expertise(whereapplicable)asrequiredforsuccessfulcompletionofthisConsultancy.TheCVofeachsuchprofessionalpersonnelshouldbesubmittedintheformatatForm-12ofAppendix-I.
2.14.7 APIICreservestherighttoverifyallstatements,informationanddocuments,submittedbythe
ApplicantinresponsetotheRFP.AnysuchverificationorthelackofsuchverificationbyAPIICtoundertakesuch verificationshallnotrelievetheApplicantofitsobligationsorliabilitieshereundernorwillitaffectanyrightsofAPIICthereunder.
2.14.8 IncaseitisfoundduringtheevaluationoratanytimebeforesigningoftheAgreementorafterits
executionandduringtheperiodofsubsistencethereof,thatoneormoreoftheeligibilityconditionshavenotbeenmetbytheApplicantortheApplicanthasmadematerialmisrepresentationorhasgivenanymateriallyincorrectorfalseinformation,theApplicantshallbedisqualifiedforthwithifnotyetappointedasthePMCeitherbyissueoftheLOAorenteringinto oftheAgreement,and iftheSelectedApplicanthasalreadybeenissuedtheLOAorhasenteredintotheAgreement,asthecasemaybe,thesameshall,notwithstandinganythingtothecontrarycontainedthereinorinthisRFP,beliabletobeterminated,byacommunicationinwritingbyAPIICwithoutAPIICbeingliableinanymannerwhatsoeverto theSelectedApplicantorPMC,asthecasemaybe.
Insuchanevent,APIICshallforfeitandappropriatethePerformanceSecurity,ifavailable,asmutuallyagreedpre-estimatedcompensationanddamagespayabletoAPIICfor,interalia,time,costandeffortofAPIIC,withoutprejudicetoanyotherrightorremedythatmaybe availabletoAPIIC.
2.15 FinancialProposal
2.15.1 ApplicantsshallsubmitthefinancialproposalintheformatatAppendix-II(the“FinancialProposal”)clearlyindicatingthecostoftheConsultancyinbothfiguresand words,inIndianRupees,andsignedbytheApplicant’sAuthorisedRepresentative.Intheevent ofanydifferencebetweenfiguresandwords,theamountindicatedinwordsshallprevail.
2.15.2 WhilesubmittingtheFinancialProposal,theApplicantshallensurethefollowing:
(i) Allthecostsassociatedwiththeassignment shallbeincludedintheFinancialProposal.TheseshallnormallycoverremunerationforallthePersonnel(ExpatriateandResident,inthefield,officeetc.),accommodation,airfare,equipment,printingofdocuments, etc.The total amountindicatedintheFinancialProposalshallbewithoutanyconditionattachedorsubjecttoanyassumption,andshallbefinalandbinding.Incaseanyassumption orconditionisindicatedintheFinancialProposal,itshallbeconsiderednon-responsiveandliabletoberejected.
(ii) TheFinancialProposalshalltakeintoaccountallexpensesandtaxliabilities.

Fortheavoidanceofdoubt,itisclarifiedthatalltaxes,excludingservicetax,shall bedeemedtobeincludedinthecostsshownunderdifferentitemsoftheFinancialProposal.Further,allpaymentsshallbesubjecttodeductionoftaxesatsourceasperApplicableLaws.
2.16 SubmissionofProposal
2.16.1 The ApplicantsshallsubmittheProposalinhard boundformwith allpagesnumberedseriallyandbygivinganindexofsubmissions. 2.16.6 TheProposalshallbemadeintheFormsspecifiedinthisRFP.Anyattachmenttosuch

2.17 ProposalDueDate

2.18 LateProposals
ProposalsreceivedbyAPIICafterthespecifiedtimeonPDDshallnotbeeligibleforconsiderationandshallbesummarilyrejected.
2.19 Modification/substitution/withdrawalofProposals
2.19.1 TheApplicantmaymodify,substitute,orwithdrawitsProposalaftersubmission,providedthatwrittennotice ofthemodification, substitution, orwithdrawalisreceivedbyAPIICpriortoPDD.NoProposalshallbemodified,substituted,orwithdrawnbytheApplicantonorafterthePDD.
2.19.2 Themodification,substitution,orwithdrawalnoticeshallbeprepared,sealed,marked,andde
liveredinaccordancewithClause2.16,withtheenvelopesbeingadditionallymarked“MODIFICATION”,“SUBSTITUTION”or“WITHDRAWAL”,asappropriate.
2.19.3 Anyalteration/modificationintheProposaloradditionalinformationormaterialsuppliedsubs
equenttothePDD,unlessthesamehasbeenexpresslysoughtforbyAPIIC,shallbedisregarded.
2.20 PerformanceSecurity
TheApplicant,bysubmittingitsApplicationpursuanttothisRFP,shallbedeemedtohaveacknowledgedthatwithoutprejudicetoAPIIC’sanyotherrightorremedyhereunderorinlaworotherwise,thePerformanceSecurity,ifavailable,shallbeforfeitedandappropriatedbyAPIICasthemutuallyagreedpre-estimatedcompensationanddamagepayabletoAPIICfor,interalia,thetime,costandeffortofAPIICinregardtotheRFPincludingtheconsiderationandevaluation oftheProposalunderthefollowingconditions:
a) ifanApplicantengagesinanyoftheProhibitedPracticesspecifiedinClause 4.1ofthisRFP;
b) iftheApplicantisfound to havea ConflictofInterestas specifiedin Clause 2.3;and
c) iftheselectedApplicantcommitsabreachoftheAgreement.

2.21.6 Afterthetechnicalevaluation,APIICshallpreparealistofprequalifiedApplicantsintermsof
Clause3.2foropeningoftheirFinancialProposals.Adate,timeandvenuewillbenotifiedtoallApplicantsforannouncingtheresultof evaluation andopeningofFinancialProposals.BeforeopeningoftheFinancialProposals,thelistofpre-qualified ApplicantsalongwiththeirTechnicalScoreswillbereadout.Theopening ofFinancialProposalsshallbedoneinpresenceofrespectiverepresentativesofApplicantswhochoosetobepresent.APIICwillnotentertainanyqueryorclarificationfromApplicantswhofailtoqualifyatanystageoftheSelectionProcess.ThefinancialevaluationandfinalrankingoftheProposalsshallbecarriedoutintermsofClauses3.3and3.4.
2.21.7 ApplicantsareadvisedthatSelectionshallbeentirelyatthediscretionofAPIIC.Applicantssha
llbedeemedtohaveunderstoodandagreedthatAPIICshallnotberequiredtoprovideanyexplanationorjustificationinrespectofanyaspectoftheSelectionProcessorSelection.
2.21.8 AnyinformationcontainedintheProposalshallnotinanywaybeconstruedasbindingonAPII
C,itsagents,successorsorassigns,butshallbebindingagainsttheApplicantiftheConsultancyissubsequentlyawardedtoit.
2.22 Confidentiality
Informationrelatingtotheexamination, clarification, evaluation, andrecommendationfortheselectionofApplicantsshallnotbedisclosedtoanypersonwhoisnotofficiallyconcernedwiththeprocessorisnotaretainedprofessionaladviseradvisingAPIICinrelationtomattersarisingoutof,orconcerningtheSelection Process. APIIC shall treat all information, submitted as part of the

Proposal,inconfidenceandshallrequireallthosewhohaveaccessto suchmaterialtotreatthesameinconfidence.APIICmaynotdivulgeanysuch informationunlessitisdirectedtodosobyanystatutoryentitythathasthepowerunderlawtorequireitsdisclosureortoenforceorassertanyrightorprivilegeofthestatutoryentityand/orAPIICorasmayberequiredbylaworinconnectionwithanylegalprocess.
2.23 Clarifications
2.23.1 TofacilitateevaluationofProposals,APIICmay,atitssolediscretion,seekclarifications fromanyApplicantregardingitsProposal.Suchclarification(s)shallbeprovidedwithinthetimespecifiedbyAPIICforthispurpose.Anyrequestforclarification(s)andallclarification(s)in responsetheretoshallbeinwriting.
2.23.2 IfanApplicantdoesnotprovideclarificationssoughtunderClause2.23.1abovewithinthespe
cifiedtime,itsProposalshallbeliabletoberejected.IncasetheProposalisnotrejected,APIICmayproceedtoevaluatetheProposalbyconstruingtheparticularsrequiringclarificationtothebestofitsunderstanding,andtheApplicantshallbebarredfromsubsequentlyquestioningsuchinterpretationofAPIIC.
E. APPOINTMENTOFCONSULTANT
2.24 Negotiations
2.24.1 TheSelectedApplicantmay,ifnecessary,beinvitedfornegotiations.ThenegotiationsshallgenerallynotbeforreducingthepriceoftheProposal,butwillbeforre-confirmingtheobligationsofthePMCunderthisRFP.IssuessuchasdeploymentofKeyPersonnel,understandingoftheRFP,methodologyandqualityoftheworkplanshallbediscussedduringnegotiations.ThoseKeyPersonnelwhodidnotscore60%(sixtypercent)marksasrequiredunderClause 3.1.2 shallbereplacedbytheApplicantwithabettercandidatetothesatisfactionofAPIIC.IncasetheSelectedApplicantfailstoreconfirmitscommitment,APIICreservestherighttodesignatethe next rankedApplicantastheSelected Applicantandinviteitfornegotiations.
2.24.2 APIICwillexaminetheCVsofallotherProfessionalPersonnelandthosenotfoundsuitablesh
allbereplacedbytheApplicanttothesatisfactionofAPIIC. 2.25 SubstitutionofKeyPersonnelduringimplementationoftheAgreement
2.25.1 APIICexpectstheKeyPersonneltobeavailableduringimplementationoftheAgreement.PostsigningoftheAgreement,APIICwillnotconsidersubstitutionoftheKeyPersonnelexceptforreasonsofanyincapacityorduetohealth.SuchsubstitutionshallordinarilybelimitedtooneKeyPersonnelsubjecttoequallyorbetterqualifiedandexperiencedpersonnelbeingprovidedtothesatisfactionofAPIIC.Withoutprejudicetotheforegoing,substitutionoftheKeyPersonnelshallonlybepermittedsubjecttoreductionofpaymentequalto10%(tenpercent)ofthefeequotedbytheSelectedApplicantfordeliveringtheconsultingservices.
2.26 Indemnity
ThePMCshall,subjecttotheprovisionsoftheAgreement,indemnifyAPIIC,foranamountnotexceedingthetwotimesof valueoftheAgreement,foranydirectlossordamagethatiscausedduetoanydeficiencyinServices.

2.27 AwardofConsultancy
Afterselection,aLetterofAward(the “LOA”)shallbeissued,induplicate,byAPIICtotheSelectedApplicantandtheSelectedApplicantshall,within7(seven)daysofthereceiptoftheLOA,signandreturntheduplicatecopyoftheLOAinacknowledgementthereof.IntheeventtheduplicatecopyoftheLOAdulysignedbytheSelectedApplicantisnotreceivedbythestipulateddate,APIICmay,unlessitconsentstoextensionoftimeforsubmissionthereof,canceltheLOAandthenexthighestrankingApplicantmaybeconsidered.
2.28 ExecutionofAgreement
AfteracknowledgementoftheLOAasaforesaidbytheSelectedApplicant,itshallexecutetheAgreementwithintheperiodprescribedinClause1.8.TheSelectedApplicantshallnotbeentitledtoseekanydeviationintheAgreement.
2.29 CommencementofAssignment
ThePMCshallcommencetheConsultancywithin seven daysof the dateof the LOA,orsuchotherdateasmaybeagreedbyAPIIC.IfthePMCfailstoeithersigntheAgreementasspecifiedinClause2.28orcommencetheassignmentasspecifiedherein,APIICmayinvitethesecondrankedApplicantfornegotiations.Insuchanevent,theLOAortheAgreement,asthecasemaybe,maybecancelled/terminated.
2.30 Proprietarydata
SubjecttotheprovisionsofClause2.22,alldocumentsandotherinformationprovidedby APIICorsubmittedbyanApplicanttoAPIICshallremainorbecomethepropertyofAPIIC.ApplicantsandthePMC,asthecasemaybe,aretotreatallinformationasstrictlyconfidential.APIICwillnotreturnanyProposaloranyinformationrelatedthereto.Allinformationcollected,analysed,processedorinwhatevermannerprovidedbythePMCtoAPIICinrelationtotheConsultancyshallbethepropertyofAPIIC.

3. CRITERIAFOREVALUATION
3.1 EvaluationofTechnicalProposals
3.1.1 Inthefirststage,theTechnicalProposalwillbeevaluatedonthebasisofApplicant’sexperience,itsunderstandingofTOR,proposedmethodologyandworkplan,andtheexperienceofKeyPersonnel.OnlythoseApplicantswhoseTechnicalProposalsscore60pointsormoreoutof100shallberankedasperscoreachievedbythem,fromhighesttothelowesttechnicalscore(ST

3.2 Short-listing of Applicants

4. FRAUDAND CORRUPTPRACTICES
4.1TheApplicantsandtheirrespectiveofficers,employees,agentsandadvisersshallobservethehig
heststandard ofethicsduringtheSelectionProcess.NotwithstandinganythingtothecontrarycontainedinthisRFP,APIICshallrejectaProposalwithout being liableinanymannerwhatsoevertotheApplicant,ifitdeterminesthattheApplicanthas,directlyorindirectlyorthroughanagent,engagedincorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepractice(collectivelythe“ProhibitedPractices”)intheSelectionProcess.Insuchanevent,APIICshall,withoutprejudicetoitsanyotherrightsorremedies,forfeitandappropriatethePerformanceSecurity,ifavailable,asmutuallyagreedgenuinepre-estimatedcompensationanddamagespayable toAPIICfor,interalia,time,costandeffortofAPIIC,inregardtotheRFP,includingconsiderationandevaluationofsuchApplicant’sProposal.
4.2WithoutprejudicetotherightsofAPIICunderClause4.1hereinaboveandtherightsandremedies
whichAPIICmayhaveundertheLOA ortheAgreement,ifanApplicantorPMC,asthecasemaybe,isfound byAPIICtohavedirectlyorindirectlyorthroughanagent,engagedorindulgedinanycorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepracticeduringtheSelectionProcess,oraftertheissueoftheLOAortheexecutionoftheAgreement,suchApplicantorPMCshallnotbeeligibletoparticipateinanytenderorRFPissuedbyAPIICduringaperiodof3(three)yearsfromthedatesuchApplicantorPMC,asthecasemaybe,isfoundbyAPIICtohavedirectlyorthroughanagent,engaged orindulgedinanycorrupt practice, fraudulent practice, coercivepractice,undesirablepracticeorrestrictivepractice,asthecasemaybe.
4.3 ForthepurposesofthisClause,thefollowingtermsshallhavethemeaninghereinafterrespect

(a) “corruptpractice”means(i)theoffering,giving,receiving,orsoliciting,directlyorindirectly,ofanythingofvaluetoinfluence theaction ofanypersonconnectedwiththeSelectionProcess(foravoidanceofdoubt,offeringofemploymenttooremployingorengaginginanymannerwhatsoever,directlyorindirectly,anyofficialofAPIICwhoisorhasbeenassociatedinanymanner,directlyorindirectlywiththeSelectionProcessortheLOAorhasdealtwithmattersconcerningtheAgreementorarisingtherefrom,beforeoraftertheexecutionthereof,atany timeprior totheexpiryof1(one)yearfromthedatesuchofficialresignsorretiresfromorotherwiseceasestobeintheserviceofAPIIC,shallbedeemedtoconstituteinfluencingtheactionsofapersonconnectedwiththeSelectionProcess;or(ii)saveasprovidedherein,engaginginanymannerwhatsoever,whetherduringtheSelectionProcessoraftertheissueoftheLOAoraftertheexecutionoftheAgreement,asthecasemaybe,anypersoninrespectofanymatterrelatingtotheProjectortheLOAortheAgreement,whoatanytimehasbeenorisalegal,financialortechnicalconsultant/adviserofAPIICinrelationtoanymatterconcerningtheProject;

6.3 ItshallbedeemedthatbysubmittingtheProposal,theApplicantagreesandreleasesAPIIC,it
semployees,agentsandadvisers,irrevocably,unconditionally,fullyand finallyfrom anyandallliabilityforclaims,losses,damages,costs,expensesorliabilitiesinanywayrelatedtoorarisingfromtheexerciseofanyrightsand/orperformanceofanyobligationshereunder,pursuantheretoand/orinconnectionherewithandwaivesanyandallrightsand/orclaimsitmayhaveinthisrespect,whetheractualorcontingent,whetherpresentorfuture.

b) ThePMCshallalsoproduceoneMasterOverallscheduleandreportoverallprogresseveryfortnight.ThePMCshallpreparedetaileddisciplinewiseschedulesfor settingout targets;coordinate andonrequestbyAPIIC,assistAPIICinworkprogresspresentations/discussionsasmayberequired.
c) ThePMCshallmonitortheProject(bothphysical&financial)duringentireProjectdurationandshallsubmitDaileyfortnightlyreportsaswellasduringintermediateperiods,asrequiredbyAPIIC.CostControlof Projectconsideringresourcemobilisationandresourcelevelling,AnalysisofProjectrecords;Identificationofpresent conditions;Forecastingrequirementsfor completion;Preparationofincrementalandcumulativecostsrecords.
d) ThePMCshallreviewandupdatethenetworksandProjectschedulesregularlyandtake/initiatepro-activeactionstoavoiddelaysandensuringtimelycompletionoftheProjectandalsosuggestremedialactionstocatchupthedelayedactivities. The PMCshalldevelopProjectInformation system forhighlightingslippageandholduptheContractor(s)formanagement,actionandcontrol.

e) ThePMCshallbeasinglepointcontactforalltechnicalandcontractualmattersaswellassiteofficecoordination.ThePMCshallcoordinatetheactivitiesofallpartiesincludingAPIICtoeffectivelydelivertheirservices.
f) ThePMCshallcarryoutthefunctionofaccounting,financialrecordandcontrolsofalltheProjectrelatedactivitiesincluding paymentsschedulesanddeliverablesofContractor(s).
g) ThePMChastoreviewandfinalizeQualityControlManualandconstructionsafetymanualtobepreparedbythe Contractor(s).
h) ThePMCshallcoordinatetheactivitiessuchassitetakeover,discussionwithAPIICandtheContractor(s),reviewContractor‘sworkschedule,workplanandimplementationscheduleas per thecontract,reviewofmasterlistofequipmentsandmaterials,reviewofmasterlistofpersonnel,reviewoftheContractor‘sinsurancepolicy,makingarrangementsforitemslikesiteoffice,laboratoriesetc.
i) Incaseofdeviations/variationsintheProjectspecifications,thePMCshallcomputethesaving/excessintheProjectcostsduetothesame,thetimeattributabletothedeviations,reviewandrecommendationoftherateanalysis,estimatedquantity,Financeimplicationsetc.
j) ThePMCshalladdressissuesrelatingtospecificsiteconditions,;reviewmattersrelatedtosupervisionofsafetyandenvironmentmanagementmeasuresbyContractor(s)fortheProject.
k) ThePMCshallsuperviseQualitycontrol,commissioningproceduresandassistAPIICinissuingcertificateofsatisfactorycompletionofworks/milestones,establishmentofqualitycontrollabatsitebytheContractor(s).All thenecessaryQuality Controltests shallbe carried outbytheContractor(s)underthesupervisionofthePMCandthetestresultstobeacceptedbythePMCandrecommendedtoAPIIC.
l) ThePMCshallmakenecessaryarrangementsforsupervisionincasetheagency prefers towork in thenightshift,tokeep the timelines as thecasemaybe.ThePMCshallextendallthenecessarycoopetitiontoattendtheRFPintheminimumpossibletimetoenablethecontractortomaintaintheprogressdulyfulfillingthequalityrequirements.
m) ThePMChastoissuequalitycertificate(toensurecompliancewiththetechnicalspecificationsandcontractrequirements)fortheworksbeingcarried bythe

o) SafetyControlofboth thepublicandtheworkforcethroughco-ordinationwithAPIIC/Contractor(s)toresolvetheproblemsduetoenvironmentalimpactswithinthelaws,regulationsandpoliciesoftheState.PMCtodeployseniorsafetyofficer tomonitorconstructionsafetymeasures,keepingtheblastingoperationsinviewthatmayrequiretotakeplacebythesideoftheliveHighwayonwhichtrafficisflying24x7.
p) PMCshallevaluatethesafetyplanofthecontractorbothwithrespecttotheworkforceworkinginsiteandthepeopleandtrafficmovingontheroad.,andsuggestpropermeasurestoensuremaxpossiblesafetyforthecommuters,bothduetotheworkandalsoduetothemovementoftheworkforceandtheconstructionfleet.
q) ThePMCshallundertakeperformancecontrolwithrespecttothequality of worksmaterialsproposedbytheContractor(s)anddeliveredtotheProjectsitebyconductingtherequiredtestspecifiedinthespecificationsperiodicallyasset andapprovedbyAPIIC,these

i. Qualitytestsonallconstructionmaterial&completedworksinforcementsteel,aggregate,sand,cement, concrete,wood,PVC,pipes&materialsasperrequirementandmakesuretheycomplywiththeStandards&Specificationsandacceptedmethodofqualitycontrol.
ii. Inspection&certificationofqualityformaterial/equipmentprocuredbyContractor(s)byinspectingthemanufacturer‘scertificatesandtestresultsandensurecompliancewiththespecificationsincludingthecalibrationofequipmentasperthenecessity.
r) ThePMCshalldocumenttheEPCContractor‘sactivities&issueletters/workinstructions/noticerecommendationsasandwhenrequired.
s) WhileexecutionoftheProject,incaseoftechnicalissueswhereexecutiondrawingsarefoundnottobesuitable/erroneous,thePMCshallcomeoutwithanengineeringsolutiontotheproblembeingfaced,andissuethereviseddrawings,byinteractingwiththeContractor(s),APIICandco-ordinateforissuance of appropriate changes /revisionsandmonitortheexecutionofthesameincorporatingthechangesintotheoriginalplanwithsupportingdrawings.
t) ThePMCshallholdProjectsitereviewmeetingson weekly basiswhereAPIICandotherofficialsoftheAPIIC/Governmentmayalsobepresent.ThePMCshallconductmeetings and prepareMOMandfollow-upactionplan/actiontakenplanthatshallbereviewedinthenextmeeting.
u) ThePMCshallsubmittheprogressreportstoAPIICandintheformatsrequiredforvariousgovernmentauthoritiesasnecessary.Inaddition,thePMCisrequiredtoupdateandpresenttheactualprogressreportasandwhenrequiredforreviewbyAPIIC.ThePMCshallcarryout,incoordinationwithAPIIC,alltheactivitiesrequiredforthesafeandtimelycompletionoftheProjectwithoutcostover-runs/minimizingCostOver-runs;assurequalityofworkasperapplicablestandardsinallactivitiesrelatedtotheProject.
v) ThePMCshallliaisewithAPIICandContractor(s)toresolveexecutionrelatedproblemsencounteredduringtheConstructionStage.
ThePMCshallalsoundertakethefollowingactivitiesandwhereappropriatemakesuitablesuggestions.
i) AssistAPIICtoaddresslegalissuesassociatedwiththe Contract. Anyassistancewithrespecttocourtcasesandcontractagreementneeds tobeprovided.
ii) Analyzeandallocate/apportiondelaysattributabletoAPIIC,Contractor(s),etcand suggestremedialaswellas penal action.Assistin interpretingandapplyingthevariouslegalprovisionsofthe contractdocuments,andinamicablyresolvingdisputes.
iii) Ifrequired,assistAPIICinestablishinga system to monitor theProject‘senvironmentalimpactindicators,reviewthedatacollected,evaluatetheeffectivenesswithwhichtheenvironmentalmitigationandmonitoringmeasuresareimplementedandrecommendactiontobetaken.
iv) Provideeffectiveandregularsupervisionoftheworksandensuretheir qualityandconformitywiththestandardsandspecifications

prescribed in the contract and relevant specifications;to ensurepreventionratherthanpostcorrectiveremedialmeasures.
v) Compileandreviewallday-to-dayqualitycontroldataobtainedfromtheconstructionsites,andverifythe accuracy of such data byrandomchecksoftherecordsand by carrying out independenttestingasnecessary;
vi) Providecertificationonthequalityofworksaccomplishedandontheirconformitytospecifications and drawings; The PMC shallensurethattheworksarecompletedinaccordance with theapproveddesign.
vii) ExamineandmakerecommendationsonallclaimsfromtheContractor(s)fortimeextension,extracompensation,variationorder,changeinscopeorexpensesorothersimilarmatters;
viii) Proposeandpresentforapprovalanychangesintheplansthatmaybedeemednecessaryindicatinganyeffectthechangesmayhaveonthecontractandprepareallrequiredchangeorders;
ix) IfthePMCsconsideranyitemofworksubstandardorunacceptable,theywilladvisetheAPIICinwritingaboutit,providingfulljustificationsthereofwithallnecessarysupportingdataincludingtestresults;
w) QualityAssuranceSystem
i.)ThePMCshallprepareandimplementQualityassurancesystemwiththeapprovaloftheAPIIC.ThePMCshalldesignatea qualityassurancemanagerwhoshallformulateandmonitorthequalitysystemforthisproject.Heshallmonitor project qualitystandardsandshallconductregularchecksandthedocumentsshallbereleasedonlyafterhisconcurrence.
ii.)Thequalityoftheservicesshallbeensuredbydeploymentofresources–personnelandequipmentandthroughregularinteractionwithAPIIC.
x) PostConstructionPhase
i.)ThePMCshouldperform performance tests on all the works tothesatisfactionofAPIIC.

(o) “RFP”meanstheRequestforProposaldocumentinresponsetowhichthePMC’sproposalforprovidingServiceswasaccepted;
(p) “Services”meanstheworktobeperformedbythe PMCpursuanttothisAgreement,asdescribedintheTermsofReferencehereto;
(q) “Sub-Consultant”meansanyentitytowhichthePMCsubcontractsanypartoftheServicesinaccordancewiththeprovisionsofClause4.6;and
(r) “ThirdParty”means anypersonorentityotherthanthe Government,theAuthority,thePMCoraSub-Consultant.
Alltermsandwordsnotdefinedhereinshall,unlessthecontextotherwiserequires,havethemeaningassignedtothemintheRFP.

1.1.2 ThefollowingdocumentsalongwithalladdendaissuedtheretoshallbedeemedtoformandbereadandconstruedasintegralpartofthisAgreementandincaseofanycontradictionbetweenoramongthemthepriorityinwhichadocumentwouldprevailoveranotherwouldbeaslaiddownbelowbeginningfromthehighestprioritytothelowestpriority:
(a) Agreement;
(b) AnnexesofAgreement;
(c) LetterofAward
(d) RFP;andtheaddendumifany.
1.2 RelationbetweentheParties
NothingcontainedhereinshallbeconstruedasestablishingarelationofmasterandservantorofagentandprincipalasbetweentheAuthorityandthePMC.ThePMCshall,subjecttothisAgreement,havecompletechargeofPersonnelperformingtheServicesandshallbefullyresponsible fortheServices performed bythem oron theirbehalfhereunder.
1.3 Rightsandobligations
ThemutualrightsandobligationsoftheAuthorityandthePMCshallbeassetforthintheAgreement,inparticular:
(a) the PMC shall carryout the Services in accordance with the provisionsoftheAgreement;and
(b) theAuthorityshallmakepaymentstothePMCinaccordancewiththeprovisionsoftheAgreement.
1.4 Governinglawandjurisdiction
ThisAgreementshallbeconstruedandinterpretedinaccordancewithandgovernedbythelawsofIndia,andthecourtsatVijayawada/HyderabadshallhaveexclusivejurisdictionovermattersarisingoutoforrelatingtothisAgreement.
1.5 Language
AllnoticesrequiredtobegivenbyonePartytotheotherPartyandallothercommunications,documentationandproceedingswhichareinanywayrelevanttothis Agreementshallbe inwritingandinEnglishlanguage.
1.6 Tableofcontentsandheadings
Thetableofcontents,headingsorsub-headingsinthisAgreementareforconvenienceofreferenceonlyandshallnotbeusedin,andshallnotaffect,theconstructionorinterpretationofthisAgreement.

1.11 Taxesandduties

2. COMMENCEMENT,COMPLETIONANDTERMINATIONOFAGREEMENT
2.1 EffectivenessofAgreement
ThisAgreementshallcomeintoforceandeffectonthedateofissueofLOA (the “EffectiveDate”).
2.2 CommencementofServices
ThePMCshallcommencetheServiceswithinaperiodof7(seven)daysfromtheEffectiveDate,unlessotherwiseagreedbytheParties.
2.3 TerminationofAgreementforfailuretocommenceServices
IfthePMCdoesnotcommencetheServiceswithintheperiodspecifiedinClause 2.2above,theAuthoritymay,bynotlessthan1(one)weeks’noticetothePMC,declarethisAgreementtobenullandvoid,andintheeventofsuchadeclaration,thisAgreementshallstandterminatedandthePMCshallbedeemedtohaveacceptedsuchtermination.
2.4 ExpirationofAgreement
Unlessterminatedearlier pursuanttoClauses 2.3 or2.9 hereof, thisAgreementshall,unlessextendedbythePartiesbymutualconsent,expireupontheexpiryofaperiodof60(sixty)

2.5 EntireAgreement
2.5.1 ThisAgreementandtheAnnexestogetherconstitute acompleteandexclusivestatementofthetermsoftheagreementbetweenthePartiesonthesubjecthereof,andnoamendmentormodificationheretoshallbevalidandeffectiveunlesssuchmodificationoramendmentisagreedtoinwritingbythePartiesanddulyexecutedbypersonsespeciallyempoweredinthisbehalfbytherespectiveParties.Allpriorwrittenororalunderstandings,offersorothercommunicationsofeverykindpertainingtothisAgreementareabrogatedandwithdrawn;provided,however,thattheobligationsofthePMCarisingoutoftheprovisionsoftheRFPshallcontinue tosubsistandshallbedeemedtoformpartofthisAgreement.
2.5.2 WithoutprejudicetothegeneralityoftheprovisionsofClause2.5.1,onmattersnotcovered
bythisAgreement,theprovisionsofRFPshallapply.
2.6 ModificationofAgreement
Modificationof thetermsand conditionsofthisAgreement,includinganymodificationofthescopeoftheServices,mayonlybemadebywrittenagreementbetweentheParties.
2.7 ForceMajeure
2.7.1 Definition
(a) Forthe purposesofthis Agreement,“ForceMajeure”meansaneventwhichisbeyondthereasonablecontrolofaParty,andwhichmakesaParty’sperformanceofitsobligationshereunder impossibleorsoimpracticalasreasonablytobeconsideredimpossibleinthecircumstances,andincludes,butisnotlimitedto,war,riots,civildisorder,earthquake,fire,explosion,storm,floodorotheradverseweatherconditions,strikes,lockoutsorotherindustrialaction(exceptwheresuchstrikes,lockoutsorother industrialactionarewithinthepowerofthePartyinvokingForceMajeuretoprevent),confiscationoranyotheractionbygovernmentagencies.
(b) ForceMajeureshallnotinclude(i)anyeventwhichiscausedbythenegligenceorintentionalactionofaPartyorsuchParty’sSub-Consultantoragentsoremployees,nor(ii)anyeventwhichadiligentPartycouldreasonablyhavebeenexpectedtoboth (A) takeintoaccountatthetimeoftheconclusionofthisAgreement,and(B)avoidorovercomeinthecarryingoutofitsobligationshereunder.
(c) ForceMajeureshallnotincludeinsufficiencyoffundsorfailuretomakeanypaymentrequiredhereunder.

2.7.2 NobreachofAgreement
ThefailureofaPartytofulfilanyofitsobligationshereundershallnotbeconsideredtobeabreachof,ordefaultunder,thisAgreementinsofarassuchinabilityarisesfromaneventofForceMajeure,providedthatthePartyaffectedbysuchaneventhastakenallreasonableprecautions,duecareandreasonablealternativemeasures,allwiththeobjectiveofcarryingoutthetermsandconditionsofthisAgreement.

2.7.3 Measurestobetaken
(a) APartyaffectedbyaneventofForceMajeureshalltakeallreasonablemeasurestoremovesuchParty’sinabilitytofulfilitsobligationshereunderwithaminimumofdelay.
(b) APartyaffectedbyaneventofForceMajeureshallnotifytheotherPartyofsucheventassoonaspossible,andinanyeventnotlaterthan14(fourteen)daysfollowingtheoccurrenceofsuchevent,providingevidenceof thenatureandcauseofsuchevent,andshallsimilarlygivenoticeoftherestorationofnormal conditions assoonaspossible.
(c) ThePartiesshalltakeallreasonablemeasurestominimizetheconsequences of anyeventofForceMajeure.
2.7.4 Extensionoftime
AnyperiodwithinwhichaPartyshall,pursuanttothisAgreement,completeanyactionortask,shallbeextendedforaperiodequaltothetimeduringwhichsuchPartywasunable toperformsuchactionasaresultofForceMajeure.
2.7.5 Payments
DuringtheperiodofitsinabilitytoperformtheServicesasaresultofaneventofForce Majeure,thePMCshallbeentitledtobereimbursedforadditionalcostsreasonablyandnecessarilyincurredbyitduringsuchperiodforthepurposesoftheServicesandinreactivatingtheServicesaftertheendofsuchperiod.
2.7.6 Consultation
Notlaterthan30(thirty)daysafterthePMChas,astheresultofaneventofForceMajeure,becomeunabletoperformamaterialportionoftheServices,thePartiesshallconsultwitheachotherwithaviewtoagreeingonappropriatemeasurestobetakeninthecircumstances.
2.8 SuspensionofAgreement
The Authority may,bywrittennoticeofsuspension tothePMC,suspendallpaymentstothePMChereunderifthePMCshallbeinbreach ofthisAgreementorshallfailtoperformanyofitsobligationsunderthisAgreement,includingthecarryingoutoftheServices; providedthatsuchnoticeofsuspension(i)shallspecifythenatureofthebreachorfailure,and(ii)shallprovideanopportunitytothePMCtoremedysuchbreachorfailurewithinaperiodnotexceeding15(fifteen)daysafterreceiptbythePMCofsuchnoticeofsuspension.
2.9 TerminationofAgreement
2.9.1 BytheAuthority
TheAuthoritymay,bynotlessthan15(fifteen)days’writtennoticeofterminationtothePMC,suchnoticetobegivenaftertheoccurrenceofanyoftheeventsspecifiedinthisClause2.9.1,terminatethisAgreementif:

(a) thePMCfailstoremedyanybreachhereoforanyfailureintheperformanceofitsobligationshereunder,asspecifiedinanoticeofsuspensionpursuanttoClause2.8hereinabove,within15(fifteen)daysof receiptofsuchnoticeofsuspensionorwithinsuchfurtherperiodastheAuthoritymayhavesubsequentlygrantedinwriting;
(b) thePMCbecomesinsolventorbankruptorentersintoanyagreementwithitscreditorsforreliefofdebtortakeadvantageofanylawforthebenefitofdebtorsorgoesintoliquidationorreceivershipwhethercompulsoryorvoluntary;
(c) thePMCfailstocomplywithanyfinaldecisionreachedasaresultofarbitrationproceedingspursuanttoClause9hereof;
(d) thePMCsubmitstotheAuthorityastatementwhichhasamaterialeffectontherights,obligationsorinterestsoftheAuthorityandwhichthePMCknowstobefalse;
(e) anydocument,information,dataorstatementsubmittedbythePMCinitsProposals,basedonwhichthePMCwasconsideredeligibleorsuccessful,isfoundtobefalse,incorrectormisleading;
(f) astheresultofForceMajeure,thePMCisunabletoperformamaterialportionoftheServicesforaperiodofnotlessthan60(sixty)days;or
(g) theAuthority,initssolediscretionandforanyreasonwhatsoever,decidestoterminatethisAgreement.
2.9.2 BythePMC
ThePMCmay,bynotlessthan30(thirty)days’writtennoticetotheAuthority,suchnoticetobegivenaftertheoccurrenceofanyoftheeventsspecifiedinthisClause2.9.2,terminatethisAgreementif:
(a) theAuthorityfailstopayanymoneyduetothePMCpursuanttothisAgreementandnotsubjecttodisputepursuanttoClause9hereofwithin45(fortyfive)daysafterreceivingwrittennoticefromthePMCthatsuchpaymentisoverdue;
(b) theAuthorityisinmaterialbreachofitsobligationspursuanttothisAgreementandhasnotremediedthesamewithin45(forty-five)days(orsuchlongerperiodasthePMCmayhavesubsequentlygrantedinwriting)followingthereceiptbytheAuthorityofthePMC’snoticespecifyingsuchbreach;
(c) astheresultofForceMajeure,thePMCisunabletoperformamaterialportionoftheServicesforaperiodofnotlessthan60(sixty)days;or
(d) theAuthorityfailstocomplywithanyfinaldecisionreachedasaresultofarbitrationpursuanttoClause9hereof.
2.9.3 Cessationofrightsandobligations
UponterminationofthisAgreementpursuanttoClauses2.3or2.9hereof,oruponexpirationofthisAgreementpursuanttoClause2.4hereof,allrightsandobligationsofthePartieshereundershallcease,except(i)suchrightsandobligationsasmayhaveaccruedonthedateofterminationorexpiration,orwhichexpresslysurvivessuchTermination;(ii)theobligationofconfidentialitysetforthinClause3.3hereof;and(iii)anyrightorremedywhichaPartymayhaveunderthisAgreementortheApplicableLaws.

2.9.4 CessationofServices
UponterminationofthisAgreementbynoticeofeitherPartytotheotherpursuanttoClauses 2.9.1or2.9.2hereof,thePMCshall,immediatelyupondispatchorreceiptofsuchnotice,takeallnecessarystepstobringtheServicestoacloseinapromptandorderlymannerandshall makeeveryreasonableefforttokeepexpendituresfor thispurposetoaminimum.WithrespecttodocumentspreparedbythePMCandmaterialsfurnishedbythe Authority, thePMCshallproceedasprovidedrespectivelybyClauses3.8or3.9hereof.
2.9.5 PaymentuponTermination
UponterminationofthisAgreementpursuanttoClauses 2.9.1or2.9.2hereof,exceptinthe case of termination pursuant to Sub-clauses (a) through (e) of Clause 2.9.1hereof,theAuthorityshallmakethepaymentsto the PMC pursuant toClause6hereofforServicessatisfactorilyperformedpriortothedate oftermination(afteroffsettingagainstthesepaymentsanyamountthatmaybeduefromthePMCtotheAuthority).
2.9.6 DisputesaboutEventsofTermination
IfeitherPartydisputeswhetheraneventspecifiedinClause2.9.1orinClause2.9.2hereofhasoccurred,suchPartymay,within30(thirty)daysafterreceiptofnoticeofterminationfromtheotherParty,referthematterto arbitration pursuant toClause9hereof,andthisAgreementshallnotbeterminatedonaccountofsucheventexceptinaccordancewiththetermsofanyresultingarbitralaward.
3. OBLIGATIONSOFTHECONSULTANT
3.1 General
3.1.1 StandardsofPerformance
ThePMCshallperformtheServicesandcarryoutitsobligationshereunderwithallduediligence,efficiencyandeconomy,inaccordancewithgenerallyacceptedprofessionaltechniquesandpractices,andshallobservesoundmanagementpractices,andemployappropriateadvancedtechnologyandsafeandeffectiveequipment,machinery,materialsandmethods.ThePMCshallalwaysact, inrespectofanymatterrelatingtothisAgreementortotheServices,asafaithfuladvisertotheAuthority,andshallatalltimessupportandsafeguardtheAuthority'slegitimateinterestsinanydealingswithSub-consultantsorThirdParties.
3.1.2 TermsofReference
ThescopeofServicestobeperformedbythePMCisspecifiedintheTermsofReference(the“TOR”)atAnnex-1ofthisAgreement.ThePMCshallprovidetheDeliverablesspecifiedthereininconformitywiththetimeschedulestatedtherein.
3.1.3 ApplicableLaws
ThePMCshallperformtheServicesinaccordancewiththeApplicableLawsandshalltakeallpracticablestepstoensurethatanySub-Consultant,aswellasthePersonnelandagentsofthePMCandanySub-Consultant,complywiththeApplicableLaws.

3.2 ConflictofInterest
3.2.1 ThePMCshallnothaveaConflictofInterestandanybreachhereofshallconstituteabreachoftheAgreement.
3.2.2 PMCandAffiliatesnottobeotherwiseinterestedintheProject
The PMCagreesthat,duringtheterm ofthisAgreementandafteritstermination,thePMCoranyAssociatethereof,aswellasanySub-ConsultantandanyentityaffiliatedwithsuchSub-Consultant,shallbedisqualifiedfromprovidinggoods,works, services,loansor equity for anyprojectresultingfromorcloselyrelatedtotheServicesandanybreachofthisobligationshallamounttoaConflictofInterest;providedthattherestrictionhereinshallnotapplyafteraperiodof3(three)yearsfromthecompletionofthisassignmentortoconsultingassignmentsgrantedbybanks/lendersatanytime;providedfurtherthatthisrestrictionshallnotapplytoconsultancy/advisoryservicesprovidedtotheAuthorityincontinuationofthisConsultancyortoanysubsequentconsultancy/advisoryservicesprovidedtotheAuthorityinaccordancewiththerulesoftheAuthority.Fortheavoidanceofdoubt,anentityaffiliatedwiththePMCshallincludeapartnerinthefirmofthePMCorapersonwhoholdsmorethan5%(fivepercent)ofthesubscribedandpaidupsharecapitalofthePMC,asthecasemaybe,andanyAssociatethereof.
3.2.3 Prohibitionofconflictingactivities
NeitherthePMCoritsSub-consultantnorthePersonnelofeitherofthemshallengage,eitherdirectlyorindirectly,inanyofthefollowingactivities:
(a) duringthetermofthisAgreement,anybusinessorprofessionalactivitieswhichwouldconflictwiththeactivitiesassignedtothemunderthisAgreement;
(b) afterthetermination ofthisAgreement,suchotheractivitiesasmaybespecifiedintheAgreement;or
(c) atanytime,suchotheractivitiesashavebeenspecifiedintheRFPasConflictofInterest.
3.2.4 PMCnottobenefitfromcommissions,discounts,etc.
ThepaymentstothePMCpursuanttoClause6hereofshallconstitutethePMC’ssolepaymentinconnectionwiththisAgreementortheServicesandthePMCshallnotacceptforitsownbenefitanytradecommission, discountorsimilarpayment inconnectionwithactivitiespursuanttothisAgreementortotheServicesorinthedischargeofitsobligationshereunder,andthePMCshalluseitsbesteffortstoensurethatanySub-Consultant,aswellasthePersonnelandagentsofeitherofthem,similarlyshallnotreceiveanysuchadditionalpayment.
3.2.5 ThePMCanditsPersonnelshallobservethehigheststandardsofethicsandnothaveengage
dinandshallnothereafterengageinanycorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepractice(collectivelythe“ProhibitedPractices”).NotwithstandinganythingtothecontrarycontainedinthisAgreement,theAuthorityshallbeentitledtoterminatethisAgreementforthwithbyacommunicationinwritingtothePMC,

withoutbeingliableinanymannerwhatsoevertothePMC,ifitdeterminesthatthePMChas,directlyorindirectlyorthroughanagent,engagedinanyProhibitedPracticesintheSelectionProcessorbeforeorafterenteringintoofthisAgreement.Insuchanevent,theAuthorityshallforfeitandappropriatethePerformanceSecurity, ifany,asmutually agreed genuinepre-estimatedcompensationanddamagespayabletotheAuthoritytowards,interalia,time,costandeffortoftheAuthority,withoutprejudicetotheAuthority’sanyotherrightsorremedyhereunderorinlaw.
3.2.6 WithoutprejudicetotherightsoftheAuthorityunderClause3.2.5aboveandtheotherrightsan
dremedieswhichtheAuthoritymayhaveunderthisAgreement,ifthePMCisfoundbytheAuthoritytohavedirectlyorindirectlyorthroughanagent,engagedorindulgedinanyProhibitedPractices,duringtheSelectionProcessorbeforeoraftertheexecutionofthisAgreement,thePMCshallnotbeeligibletoparticipateinanytenderorRFPissuedduringaperiodof3(three)yearsfromthedatethePMCisfoundbytheAuthoritytohavedirectlyorindirectlyorthroughanagent,engagedorindulgedinanyProhibitedPractices.
3.2.7 ForthepurposesofClauses3.2.5and3.2.6,thefollowingtermsshallhavethemeaningherein
afterrespectivelyassignedtothem:
(a) “corruptpractice”meanstheoffering,giving,receivingorsoliciting,directlyorindirectly,ofanythingofvaluetoinfluencetheactionsofanypersonconnectedwiththeSelectionProcess(forremovalofdoubt,offeringofemploymentoremployingorengaginginanymannerwhatsoever,directlyorindirectly, any officialoftheAuthoritywhoisorhasbeenassociatedinanymanner,directlyorindirectlywithSelectionProcessorLOAordealingwithmattersconcerningtheAgreementbeforeoraftertheexecutionthereof,atanytimepriortotheexpiryof1(one)yearfromthedatesuchofficialresignsorretiresfromorotherwiseceasestobeintheserviceoftheAuthority,shallbedeemedtoconstituteinfluencingtheactionsofapersonconnectedwiththeSelectionProcess);or(ii)engaginginanymannerwhatsoever, whetherduringtheSelectionProcessoraftertheissueofLOAoraftertheexecutionoftheAgreement,asthecasemaybe,anypersoninrespectofanymatterrelatingtotheProjectortheLOAortheAgreement,whoatanytimehasbeenorisalegal,financialortechnicaladvisertheAuthorityinrelationtoanymatterconcerningtheProject;
(b) “fraudulentpractice”meansamisrepresentationoromissionoffactsorsuppressionoffactsordisclosureofincompletefacts,inorderto influencetheSelectionProcess;
(c) “coercivepractice”meansimpairingorharming,orthreateningtoimpairorharm,directlyorindirectly,anypersonorpropertytoinfluenceanyperson’sparticipationoractionintheSelectionProcessortheexerciseofitsrightsorperformanceofitsobligationsbytheAuthorityunderthisAgreement;
(d) “undesirablepractice”means(i)establishingcontactwithanypersonconnectedwithoremployedorengagedbytheAuthoritywiththeobjectiveofcanvassing,lobbyingorinanymannerinfluencingorattemptingtoinfluencetheSelectionProcess;or (ii)havingaConflictofInterest;and
(e) “restrictivepractice”meansformingacartelorarrivingatanyunderstandingorarrangementamongApplicantswiththeobjectiveofrestrictingormanipulatingafullandfaircompetitionintheSelectionProcess.

3.3 Confidentiality
ThePMC,itsSub-ConsultantsandthePersonnelofeitherofthemshallnot,eitherduringthetermorwithin2(two)yearsaftertheexpirationorterminationofthisAgreementdiscloseanyproprietaryinformation,includinginformationrelatingtoreports,data,drawings,designsoftwareorothermaterial,whetherwrittenororal,inelectronicormagneticformat,andthecontentsthereof;andanyreports,digestsorsummariescreatedorderivedfromanyoftheforegoingthatisprovidedbytheAuthoritytothePMC,itsSub-ConsultantsandthePersonnel;anyinformationprovidedby orrelating totheAuthority,itstechnology, technicalprocesses,businessaffairsorfinancesor anyinformationrelating totheAuthority’semployees,officersorotherprofessionalsorsuppliers,customers,orcontractorsoftheAuthority;andanyotherinformationwhichthePMCis underanobligationto keepconfidentialinrelationtotheProject,theServicesorthisAgreement("ConfidentialInformation"),withoutthepriorwrittenconsentoftheAuthority.
Notwithstandingtheaforesaid,thePMC,itsSub-ConsultantsandthePersonnelofeitherofthemmaydiscloseConfidentialInformationtotheextentthatsuchConfidentialInformation:
(i) wasinthepublicdomainpriortoitsdeliverytothePMC,itsSub-ConsultantsandthePersonnelofeitherofthemorbecomesapartofthepublicknowledgefromasourceotherthanthePMC,itsSub-ConsultantsandthePersonnelofeitherofthem;
(ii) was obtained from a third party with no known duty to maintain itsconfidentiality;
(iii) isrequiredtobedisclosedbyApplicableLawsorjudicialoradministrativeorarbitralprocessorbyanygovernmentalinstrumentalities,providedthatforanysuchdisclosure,thePMC,itsSub-ConsultantsandthePersonnelofeitherofthemshallgivetheAuthority,promptwrittennotice,andusereasonableeffortstoensurethatsuchdisclosureisaccordedconfidentialtreatment;and
(iv) isprovidedtotheprofessionaladvisers,agents,auditorsorrepresentativesofthePMCoritsSub-ConsultantsorPersonnelofeitherofthem,asisreasonableunderthecircumstances;provided,however,thatthePMCoritsSub-ConsultantsorPersonnelofeitherofthem,asthecasemaybe,shallrequiretheirprofessional advisers,agents,auditorsoritsrepresentatives,toundertakeinwritingtokeepsuchConfidentialInformation,confidentialandshalluseitsbesteffortstoensurecompliancewithsuchundertaking.
3.4 LiabilityofthePMC
3.4.1 ThePMC’s liabilityunderthisAgreementshallbedeterminedbytheApplicableLawsandthe provisionshereof.
3.4.2 ThePMCshall,subjecttothelimitationspecifiedinClause3.4.3,beliabletotheAuthorityforan
ydirectlossordamageaccruedorlikelytoaccrue duetodeficiencyinServicesrenderedbyit.
3.4.3 ThePartiesheretoagreethatincaseofnegligenceorwilfulmisconductonthepartofthePMCo
ronthepartofanypersonorfirmactingonbehalfofthePMCincarryingoutthe Services,thePMC,withrespecttodamagecausedtotheAuthority’sproperty,shallnotbeliabletotheAuthority:
(i) foranyindirectorconsequentiallossordamage;and

(ii) foranydirectlossordamagethat exceeds(a) theAgreement Valuesetforth inClause 6.1ofthis Agreement,or(b)the proceedsthePMCmaybeentitledtoreceivefromanyinsurancemaintainedbythePMCtocoversuchaliability, whicheverof(a)or(b)ishigher.
3.4.4 ThislimitationofliabilityspecifiedinClause3.4.3shall notaffect
thePMC’sliability,ifany,fordamagetoThirdPartiescausedbythePMCoranypersonorfirmactingonbehalfofthePMCincarryingouttheServicessubject,however,toalimitequaltotheAgreementValue.
3.5 Accountingandauditing
ThePMCshallkeepaccurateandsystematicaccountsandrecordsinrespectoftheServicesprovidedunderthisAgreement,inaccordancewith internationallyacceptedaccountingprinciplesandstandardssuchas IndianAccountingStandards,GAAP,etc.
3.6 PMC’sactionsrequiringtheAuthority'spriorapproval
ThePMCshallobtaintheAuthority's priorapprovalinwritingbeforetakinganyofthefollowingactions:
(a) AppointingsuchmembersoftheprofessionalpersonnelasarenotlistedinAnnex–2;
(b) enteringintoasubcontractfortheperformanceofanypartoftheServices,itbeingunderstood(i)thattheselectionoftheSub-consultantandthetermsandconditionsofthesubcontractshallhavebeenapprovedinwritingbytheAuthoritypriortotheexecutionofthesubcontract,and(ii)thatthePMCshall remain fully liable for the performanceoftheServicesbytheSub- ConsultantanditsPersonnelpursuanttothisAgreement;or
(c) anyotheractionthatisspecifiedinthisAgreement. 3.7 Reportingobligations
ThePMCshallsubmittotheAuthoritythereportsanddocumentsspecifiedintheAgreement,intheform,inthenumbers(bothinhardandeditablesoftcopies)andwithinthetimeperiodssetforththerein.
3.8 DocumentspreparedbythePMCtobepropertyoftheAuthority
3.8.1 Allreportsandotherdocuments(collectivelyreferredtoas“ConsultancyDocuments”)preparedbythePMC(orbytheSub-ConsultantsoranyThirdParty)inperformingtheServicesshallbecomeandremainthepropertyoftheAuthority,andallintellectualpropertyrightsinsuchConsultancyDocumentsshallvestwiththeAuthority.AnyConsultancyDocument,ofwhichtheownershiportheintellectualpropertyrightsdonotvestwiththeAuthorityunderlaw,shallautomaticallystandassignedtotheAuthorityasand when such Consultancy DocumentiscreatedandthePMCagreestoexecuteallpapersandtoperformsuchotheractsastheAuthoritymaydeemnecessarytosecureitsrightshereinassignedbythePMC.
3.8.2 ThePMCshall,notlaterthanterminationorexpirationofthisAgreement,deliverallConsultan
cyDocumentstotheAuthority,togetherwithadetailedinventorythereof.ThePMCmayretainacopyofsuchConsultancyDocuments.ThePMC,itsSub-ConsultantsoraThirdPartyshallnotusetheseConsultancyDocumentsforpurposesunrelatedtothisAgreementwithoutthepriorwrittenapprovaloftheAuthority.

3.8.3 ThePMCshallholdtheAuthorityharmlessandindemnifiedforanylosses,claims,damages,expenses(including all legalexpenses), awards,penaltiesor injuries(collectivelyreferredtoas“Claims”)whichmayarisefromorduetoanyunauthoriseduseofsuchConsultancyDocuments,orduetoanybreachorfailureonpartofthePMCoritsSub-ConsultantsoraThirdPartytoperformanyofitsdutiesorobligationsinrelationtosecuringtheaforementionedrightsoftheAuthority.
3.9 MaterialsfurnishedbytheAuthority
MaterialsmadeavailabletothePMCbytheAuthorityshallbethepropertyoftheAuthorityandshallbemarkedaccordingly.UponterminationorexpirationofthisAgreement,thePMCshallfurnishforthwithtotheAuthority,aninventoryofsuchmaterialsandshalldisposeofsuchmaterialsinaccordancewiththeinstructionsoftheAuthority.
3.10 ProvidingaccesstoProjectOfficeandPersonnel
ThePMCshallensurethattheAuthority,andofficialsoftheAuthorityhavingauthorisationfromtheAuthority,areprovidedunrestrictedaccesstotheofficeofthe PMC andto allPersonnelduringoffice hours. TheAuthority’s official, whohasbeenauthorisedbytheAuthorityinthisbehalf,shallhavetherighttoinspecttheServicesinprogress,interactwithPersonnelofthePMCandverifytherecordsrelatingtotheServicesforhissatisfaction.
3.11 AccuracyofDocuments
ThePMCshallberesponsibleforaccuracyofthedocumentsdraftedand/orvettedanddatacollectedbyitdirectlyorprocuredfromotheragencies/authorities,estimatesandallotherdetailspreparedbyit aspartoftheseservices.Subjecttotheprovisionsof Clause3.4, itshallindemnifytheAuthority againstany inaccuracy initsworkwhichmightsurfaceduringimplementationoftheProject,ifsuchinaccuracyistheresultofanynegligenceorinadequateduediligenceonpartofthePMCorarisesoutofitsfailuretoconformtogoodindustrypractice.ThePMCshallalsoberesponsibleforpromptlycorrecting,atitsowncostandrisk,thedocumentsincludinganyre-survey/investigations.
4. CONSULTANT’SPERSONNELANDSUB-CONSULTANTS
4.1 General
ThePMCshallemployandprovidesuchqualifiedandexperiencedPersonnelasmayberequiredtocarryouttheServices.
4.2 DeploymentofPersonnel
Thedesignations,namesandotherparticularsofeachofthePMC’sKeyPersonnelrequiredin carryingouttheServicesaredescribedinAnnex-2ofthisAgreement.

4.3 ApprovalofPersonnel
4.3.1 TheKeyPersonnellistedinAnnex-2oftheAgreementareherebyapprovedbytheAuthority.NootherKeyPersonnelshallbeengagedwithoutpriorapprovaloftheAuthority.
4.3.2 IfthePMChereafterproposestoengageanypersonasProfessionalPersonnel,itshallsubmit
totheAuthorityitsproposalalongwithaCVofsuchpersonintheformprovidedatAppendix–I(Form-12)oftheRFP.TheAuthoritymayapproveorrejectsuchproposalwithin14(fourteen)daysofreceiptthereof.Incasetheproposalisrejected,thePMCmayproposeanalternativeperson fortheAuthority’sconsideration.IntheeventtheAuthoritydoesnotrejectaproposalwithin14(fourteen)daysofthedateofreceiptthereof underthisClause4.3,itshallbedeemedtohavebeenapprovedbytheAuthority.
4.4 SubstitutionofKeyPersonnel
TheAuthorityexpectsalltheKeyPersonnelspecifiedintheProposaltobeavailableduringimplementationoftheAgreement.TheAuthoritywillnotconsideranysubstitutionofKeyPersonnelexceptundercompellingcircumstancesbeyondthecontrolofthePMCandtheconcernedKeyPersonnel.Suchsubstitutionshallbelimitedto1(one)KeyPersonnelsubjecttoequallyor betterqualifiedandexperiencedpersonnelbeingprovidedtothesatisfactionoftheAuthority.Withoutprejudicetotheforegoing,substitutionoftheKeyPersonnelshallbepermittedonlyuponreductionofpaymentequalto10%(tenpercent)ofthetotalAgreementValue.
ThePMCshouldspecificallynotethat substitutionoftheTeamLeaderwill notnormallybeconsideredduring theimplementation oftheAgreementand mayleadtodisqualificationoftheApplicantorterminationoftheAgreement.
4.5 TeamLeader
ThepersondesignatedastheTeamLeaderofthePMC’sPersonnelshallberesponsibleforthecoordinated,timely and efficientfunctioningofthePersonnel,andtimelyimplementationofprojectandefficientcontractmanagement.
4.6 Sub-Consultants
Sub-ConsultantslistedinAnnex-3ofthisAgreementareherebyapprovedbytheAuthority.ThePMCmay,withpriorwrittenapprovaloftheAuthority,engageadditionalSub-Consultantsorsubstitutean existing Sub-Consultant.The hiring ofPersonnelbytheSub-ConsultantsshallbesubjecttothesameconditionsasapplicabletoPersonnelofthePMCunderthisClause4.
5. OBLIGATIONSOFTHEAUTHORITY
5.1 Assistanceinclearancesetc.
UnlessotherwisespecifiedintheAgreement,theAuthorityshallmakebesteffortstoensurethattheGovernmentshall:
(a) providethePMC,itsSub-ConsultantsandPersonnelwithworkpermitsandsuchotherdocumentsasmaybenecessarytoenablethePMC,itsSub-ConsultantsorPersonneltoperformtheServices;

(b) facilitatepromptclearancethroughcustomsofanypropertyrequiredfortheServices; and
(c) issuetoofficials,agentsandrepresentativesoftheGovernmentallsuchinstructions asmaybenecessaryorappropriateforthepromptandeffectiveimplementationoftheServices.
5.2 Accesstolandandproperty
The Authoritywarrantsthat thePMCshall have,freeofcharge,unimpeded access tothesiteoftheprojectinrespectofwhichaccessisrequiredfortheperformanceofServices;providedthatifsuchaccessshallnotbemadeavailabletothePMCasandwhensorequired,thePartiesshallagreeonthetimeextension,asmaybeappropriate,fortheperformanceofServices.
5.3 ChangeinApplicableLaw
If,afterthedateofthisAgreement,thereisanychangeintheApplicableLawswithrespecttotaxesanddutieswhichincreasesordecreasesthecostorexpensesincurredbythePMCinperformingtheServices,byanamountexceeding10%(tenpercent)oftheAgreementValuespecifiedinClause6.1,thenthepaymentsotherwisepayabletothePMCunderthisAgreementshallbeincreasedordecreasedaccordinglybyagreementbetweentheParties hereto,andcorrespondingadjustmentsshallbemadetotheaforesaidAgreementValue.Alltaxes,asmaybeapplicablefromtimetotime,shallbebornebythePMC.
5.4 Payment
InconsiderationoftheServicesperformedbythePMCunderthisAgreement,theAuthorityshallmaketothePMCsuchpaymentsandinsuchmannerasisprovidedinClause6ofthisAgreement.
6. PAYMENTTOTHECONSULTANT
6.1 AgreementValue
ThepaymentsunderthisAgreementshallnotexceedtheagreementvaluespecifiedherein(the“AgreementValue”).ThePartiesagreethattheAgreementValueisRs.……….(Rs…………………………………..…………………….).
6.2 Currencyofpayment
AllpaymentsshallbemadeinIndianRupees.ThePMCshallbefreetoconvertRupeesintoanyforeigncurrencyasperApplicableLaws.
6.3 Modeofbillingandpayment
BillingandpaymentsinrespectoftheServicesshallbemadeasfollows:-
(a) ThePMCshallbepaidforitsservicesasperthePaymentScheduleatAnnex-4ofthisAgreement,subjecttothePMCfulfillingthefollowingconditions:

(i) NopaymentshallbedueforthenextstagetillthePMCcompletestothesatisfactionoftheAuthoritytheworkpertainingtotheprecedingstage,and
(ii) TheAuthorityshallpaytothePMC,onlytheundisputedamount.
(b) TheAuthorityshallcausethepaymentduetothePMCtobemadewithin30(thirty)daysafterthereceiptbytheAuthorityofdulycompletedbillswithnecessaryparticulars.
(c) ThefinalpaymentunderthisClause6.3shallbemadeonlyafterthefinalDeliverableshallhavebeensubmittedbythePMCandapprovedassatisfactorybytheAuthority.TheServicesshallbedeemedcompletedandfinallyacceptedbytheAuthorityandthefinalDeliverableshallbedeemedapprovedbytheAuthorityassatisfactoryuponexpiryof60(sixty)daysafterreceiptofthefinalDeliverableunlesstheAuthority,withinsuch60(sixty)dayperiod,giveswrittennoticetothePMCspecifyingindetail,thedeficienciesintheServices.ThePMCshallthereuponpromptlymakeanynecessarycorrectionsand/oradditions,anduponcompletionofsuchcorrectionsoradditions,theforegoingprocessshallberepeated.TheAuthorityshallmakethefinalpaymentuponacceptanceordeemedacceptanceofthefinalDeliverablebytheAuthority.
(d) AnyamountwhichtheAuthorityhaspaidorcausedtobepaidinexcessoftheamountsactuallypayableinaccordancewiththeprovisionsofthisAgreementshallbereimbursedbythePMCtotheAuthoritywithin30(thirty)daysafterreceiptbythePMCofnoticethereof.Anysuchclaim bytheAuthorityforreimbursementmustbemadewithin1(one)yearafterreceiptbytheAuthorityofafinalreportinaccordancewithClause6.3(c).AnydelaybythePMCinreimbursementbytheduedateshallattractsimpleinterest@10%(tenpercent)perannum.
(e) AllpaymentsunderthisAgreementshallbemadetotheaccountofthePMCasmaybenotifiedtotheAuthoritybythePMC.
7. LIQUIDATEDDAMAGESANDPENALTIES
7.1 PerformanceSecurity
7.1.1 ForthepurposesofthisAgreement,performancesecurityshallbedeemedtobeanamountequalto10%(tenpercent)oftheAgreementValue(the“PerformanceSecurity”).ThePMCshallfurnishtheBankGuaranteeintheformspecifiedatAnnex-5ofthisAgreement.
7.1.2 ThePerformanceSecurityshallbereturnedtothe PMC at theendof3(three)months
aftertheexpiryofthisAgreementpursuanttoClause2.4hereof.
7.2 LiquidatedDamages
7.2.1 LiquidatedDamagesforerror/variation
IncaseanyerrororvariationisdetectedinthereportssubmittedbythePMCandsucherrororvariationistheresultofnegligenceorlackofduediligenceonthepartofthePMC,theconsequentialdamagesthereofshallbequantifiedbytheAuthorityinareasonablemannerandrecoveredfromthePMCbywayofdeemedliquidateddamages,subjectto amaximumoftheAgreementValue.

7.2.2 LiquidatedDamagesfordelay
IncaseofdelayincompletionofServices,liquidateddamagesnotexceedinganamountequalto0.2%(zeropointtwopercent)oftheAgreementValueperday,subjecttoamaximumof10%(tenpercent)oftheAgreementValueshallbeimposedandshallberecoveredbyappropriationfrom thePerformanceSecurityorotherwise.However,incaseofdelayduetoreasons beyondthecontrolofthePMC,suitableextensionoftimeshallbegranted.
7.2.3 EncashmentandappropriationofPerformanceSecurity
TheAuthorityshallhavetherighttoinvokeandappropriatetheproceedsofthePerformanceSecurity,inwholeorinpart,without notice to the PMC in theeventofbreachofthisAgreementorforrecoveryofliquidateddamagesspecifiedinthisClause7.2.
7.3 PenaltyfordeficiencyinServices
Inadditiontotheliquidateddamagesnotamountingtopenalty,asspecifiedinClause7.2,warningmaybeissuedtothePMCforminordeficienciesonitspart.InthecaseofsignificantdeficienciesinServicescausingadverseeffectontheProjectoronthereputationoftheAuthority,otherpenalactionincludingdebarringforaspecifiedperiodmay also beinitiatedasperpolicyoftheAuthority.
8. FAIRNESSANDGOODFAITH
8.1 GoodFaith
ThePartiesundertaketoactingoodfaith with respect to each other’s rightsunderthisAgreementandtoadoptallreasonablemeasurestoensuretherealisationoftheobjectivesofthisAgreement.
8.2 OperationoftheAgreement
ThePartiesrecognisethatitisimpracticalinthisAgreementtoprovideforeverycontingencywhichmayariseduringthelifeoftheAgreement,andthePartiesherebyagreethatitistheirintentionthatthisAgreementshalloperatefairlyasbetweenthem,andwithoutdetrimenttotheinterestofeitherofthem,andthat,ifduringthetermofthisAgreementeitherPartybelievesthatthisAgreementisoperatingunfairly,thePartieswillusetheirbesteffortstoagreeonsuchactionasmaybenecessarytoremovethecause orcausesofsuchunfairness,butfailuretoagreeonanyactionpursuanttothisClause8.2shallnotgiverisetoadisputesubjecttoarbitrationinaccordancewithClause9hereof.
9. SETTLEMENTOFDISPUTES
9.1 Amicablesettlement
ThePartiesshallusetheirbesteffortstosettleamicablyalldisputesarisingoutoforinconnectionwiththisAgreementortheinterpretationthereof.

9.2 Disputeresolution
9.2.1 Anydispute,difference orcontroversy ofwhatevernaturehowsoeverarisingunderoroutoforin relationto thisAgreement (includingitsinterpretation)between theParties,andsonotifiedinwritingbyeitherPartytotheotherParty(the“Dispute”)shall,inthefirstinstance,beattemptedtoberesolvedamicablyinaccordancewiththeconciliationproceduresetforthinClause9.3.
9.2.2 ThePartiesagreeto use theirbestefforts forresolvingallDisputes arisingunderor
inrespectofthisAgreementpromptly,equitablyandingoodfaith,andfurtheragreetoprovideeachotherwithreasonableaccessduringnormalbusinesshourstoallnon-privilegedrecords,informationanddatapertainingtoanyDispute.
9.3 Conciliation
IntheeventofanyDisputebetweentheParties,eitherPartymaycalluponManagingDirector,AndhraPradeshIndustrial Infrastructure Corporation LimitedandtheManagingPartner/ChairmanoftheBoardofDirectorsofthePMCorasubstitutethereofforamicablesettlement,anduponsuchreference,thesaidpersons shallmeetnolaterthan10(ten)daysfromthedateofreferencetodiscussandattempttoamicablyresolvetheDispute.Ifsuchmeetingdoesnottakeplacewithinthe10(ten)dayperiodortheDisputeisnotamicably settledwithin15(fifteen)daysofthemeetingortheDisputeisnotresolvedasevidencedbythesigningofwrittentermsofsettlementwithin30(thirty)daysofthenoticeinwritingreferredtoinClause9.2.1orsuchlongerperiodasmaybemutuallyagreedbytheParties,eitherPartymayrefertheDisputetoarbitrationinaccordancewiththeprovisionsofClause9.4.
9.4 Arbitration
9.4.1 Any Disputewhichisnotresolved amicably byconciliation,as providedinClause9.3,shallbefinallydecidedbyreferencetoarbitrationbyanArbitralTribunalappointedinaccordancewithClause9.4.2.SucharbitrationshallbeheldinaccordancewiththeRulesofArbitrationoftheInternationalCentreforAlternativeDisputeResolution,Hyderabad(the“Rules”),orsuchotherrulesasmaybemutuallyagreedbytheParties,andshallbesubjecttotheprovisionsoftheArbitrationandConciliationAct,1996.ThevenueofsucharbitrationshallbeVijayawada and thelanguageofarbitrationproceedingsshallbeEnglish.
9.4.2 Thearbitraltribunalshallconsistofasolearbitratorappointedbymutualagreementoftheparti
es.Incaseof failureofthepartiesto mutuallyagreeonthenameofasolearbitrator,thearbitraltribunalshallconsistofthreearbitrators.Eachpartyshallappointonearbitratorandthetwoarbitratorssoappointedshalljointlyappointthethirdarbitrator.
9.4.3 Thearbitratorsshallmakeareasonedaward(the“Award”).AnyAwardmadeinanyarbitratio
nheldpursuanttothisClause9shallbefinalandbindingon thePartiesasfromthedateitismade,andthePMCandtheAuthorityagreeandundertaketocarryoutsuchAwardwithoutdelay.

9.4.4 ThePMCandtheAuthorityagreethatanAwardmaybeenforcedagainstthePMCand/ortheAuthority,asthecasemaybe,andtheirrespectiveassetswhereversituated.

1 ThisNotefurtherexplains andillustratestheprovisionsofClause
2.3oftheRFPandshallbereadtogethertherewithindealingwithspecificcases.
2. Consultantsshouldbedeemedtobeinaconflictofinterestsituationifitcanbereasonablyconcl
udedthattheirpositioninabusinessortheirpersonalinterest couldimproperlyinfluencetheirjudgmentintheexerciseoftheirduties.Theprocessforselectionofconsultantsshouldavoidbothactualandperceivedconflictofinterest.
3. ConflictofinterestmayarisebetweenAPIICandaconsultantorbetweenconsultantsandpres
entorfutureconcessionaries/contractors.Someofthesituationsthatwouldinvolveconflictofinterestareidentifiedbelow:
(a) Authorityandconsultants:
(i) Potentialconsultantshouldnotbeprivytoinformationfrom APIICwhichisnotavailabletoothers.
(ii) PotentialconsultantshouldnothavedefinedtheprojectwhenearlierworkingforAPIIC.
(iii) PotentialconsultantshouldnothaverecentlyworkedforAPIICoverseeingtheproject.
(b) Consultantsandconcessionaires/contractors:
(i) Noconsultantshouldhaveanownershipinterestoracontinuingbusiness interestoranon-goingrelationshipwithapotentialconcessionaire/contractorsave and except relationships restrictedtoproject-specificandshort-termassignments.
(ii) Noconsultantshouldbeinvolvedinowningoroperatingentitiesresultingfromtheproject.
(iii) Noconsultantshouldbidforworksarisingfromtheproject.
TheparticipationofcompaniesthatmaybeinvolvedasinvestorsorconsumersandofficialsofAPIICwhohavecurrentorrecentconnectionstothecompaniesinvolved,therefore,needstobeavoided.
4 Thenormalwaytoidentifyconflictsofinterestisthroughself-
declarationbyconsultants.Whereaconflictexists,whichhasnotbeendeclared,competingcompaniesarelikelytobringthistothenoticeofAPIIC.Allconflictsmustbedeclaredasandwhentheconsultantsbecomeawareofthem.
5 Anotherapproachtowardsavoidingaconflictofinterestisthroughtheuseof“Chinesewalls”toavoidtheflowofcommerciallysensitiveinformationfromonepartoftheconsultant’scompanytoanother.Thiscouldhelpovercometheproblemofavailabilityoflimitednumbersofexpertsfortheproject.However,inrealityeffectiveoperationof“Chinesewalls”maybeadifficultproposition.Asageneralrule,largercompanieswillbemorecapableofadoptingChinesewallsapproachthansmallercompanies.Although,“Chinesewalls”havebeenrelativelycommon for manyyears,theyareanincreasinglydiscreditedmeansofavoiding conflictsofinterest

Schedulesandshouldbeconsideredwithcaution.Asarule,“Chinesewalls”shouldbeconsideredasunacceptableandmaybeacceptedonlyinexceptionalcasesuponfulldisclosurebyaconsultantcoupled with provisionof safeguards tothesatisfactionofAPIIC.
6. Anotherwaytoavoidconflictsofinterestisthroughtheappropriategroupingoftasks.Forexam
ple,conflictsmayarise ifconsultantsdrawingupthetermsofreferenceortheproposeddocumentationarealsoeligiblefortheconsequentassignmentorproject.
7. Anotherformofconflictofinterestcalled“scope–
creep”ariseswhenconsultantsadvocateeitheranunnecessarybroadeningofthetermsofreferenceormakerecommendationswhicharenotinthe best interestsofAPIICbutwhichwillgeneratefurtherworkfortheconsultants.Someformsofcontractualarrangementsaremorelikelytoleadtoscope-creep.Forexample,lump-sumcontractsprovidefewerincentivesforthis,whiletimeandmaterialcontractsprovidebuiltinincentivesforconsultantstoextendthelengthoftheirassignment.
8. Everyprojectcontainspotentialconflictsofinterest.Consultantsshouldnotonlyavoidanycon
flictofinterest,theyshouldreportanypresent/potentialconflictofinteresttoAPIICattheearliest.OfficialsofAPIICinvolvedindevelopmentofaprojectshallberesponsibleforidentifyingandresolvinganyconflictsofinterest.Itshouldbeensuredthatsafeguardsareinplacetopreservefairandopencompetitionandmeasuresshould betaken toeliminate anyconflictofinterestarisingatanystageintheprocess.
