AREVA CONTRACT RENEGOTIATION

Brazil-Germany Agreement of 1975German Company was contrated to supply 2 NPP´s with a pre-order of other 2.( KWU/Siemens)The activities to implement Angra 2 and 3 NPP´s started with a 12-month delayin operation date.Angra 3 NPP was postponed to 24 months and stopped in 1986. (lack of funds)Activities related to design, component supply and construction continued tosupport Angra 2 NPP, with budget difficulties from 1986 to 1992In 1992, Angra 2 NPP activities were resumed with the negotiation of contractsto adjust to the new reality.In 1994 main Contracts were reviewed and implemented up to the start ofAngra 2 NPP operation.Considering the possibility of resuming Angra 3 NPP, the Areva Company, nowsuceeding KWU/Siemens and ELETRONUCLEAR started new intermitentrenegotiations in 2002. In 2009, more objective meetings were held andELETRONUCLEAR almost concluded the renegotiation process by December2010.

CONTRACTS OVERVIEW

From 2009 to 2011, 12 meetings were held.

As a result, the scope of contracts was completely agreed upon, the valuesconverged to a modification of 5% from the initial value, based on a very goodpreparation.

The Main Objectives of the renegotiation were:

- Adjusting the scope;- Renegotiation of prices and commercial conditions;- Adjustment of Contract terms to current legal frame.

- Supply of all imported services and goods required for construction and forimplementation of Angra 2 and Angra 3 Operation;

- Were signed in July 22th of 1976, between FURNAS and KWU;

- Several amendments were signed to adjust to institutional and stakeholdersmodifications by both parts (NUCLEBRAS/ FURNAS/NUCLEN/ELETRONUCLEAR andKWU/SIEMENS/FRAMATOME/AREVA);

- Current situation:

contracted: AREVA NP GmbH valid contracts were signed in 1997; Supply Contract 9501-A Service Contract 9504-A Warranty and Guarantee Agreement 9502-A.

MAIN ERECTIONS-Contracts ConceptPiping and Mechanical equipment erection in 2 packagesElectrical and I&C erection in one package.First information referred to Main Nuclear System supply experience.Adjustment of known information to Country reality.Brazilian engineering approach proposed to the client.Furnas as client promoted a review by 4 consultancies: a German Company, aSpanish Company, an American Company and a French Company.The results converged to consider manpower and opportunities for schedulereduction.

MAIN ERECTION- BIDDING PROCESS

NPP Angra 2 ExperienceErection was performed with some packages as integrated engineering and 3main contracts for main erection.The bidding process was established with one schedule of 44 months andadequated budget.The process was concluded, the erection was started and concluded in 47months, with an overprice of 31,8 % when compared to the original budget andwith 17 million manhours, which were 20% higher than the originally consideredamountAll the as-built information was considered in Angra 3 NPP budget preparation.

The FUSP Technical and Economical Evaluation was prepared with Angra 2 NPPas-built information and also considered in the Angra 3 NPP budget preparation.
