ANNEX I INSTRUCTION TO APPLICANTS /PROCEDURES AND RULES

1.0 ORGANISATIONAL BACKGROUNDUNICEF is the agency of the United Nations mandated to advocate for the protection of children’s rights, to help meet their basic needs and to expand their opportunities to reach their full potential. Guided by the Convention on the Rights of the Child UNICEF strives to establish children’s rights as international standards of behaviour towards children. UNICEF’s role is to mobilise political will and material resources to help countries ensure a “first call for children". UNICEF is committed to ensuring special protection for the most disadvantaged children.

UNICEF carries out its work through its headquarters in New York, 8 regional offices and 125 country offices world-wide. UNICEF also has a research centre in Florence, a supply operation based in Copenhagen and offices in Tokyo and Brussels. UNICEF’s 37 committees raise funds and spread awareness about the organization’s mission and work.

2.0 PURPOSE OF THE PREQUALIFICATIONThe purpose is to identify contractors with the capability to provide construction services in Puntland for various facilities and grant Long Term Agreement’s (LTA’s) with all firms whom prequalify.

Prequalification is awarded in two categories:a) Specialization , by type of works and Technical Capacity.b) Financial Capacity: based on their cash flow, turnover and financial capacity, every Contractor will be

prequalified to tender for and carry out work falling within a ‘specified’ dollar value for which they are qualified.  For example a contractor may be pre-qualified for works valued at less than $50,000 only or for works greater than $500,000.00.

In conjunction with the financial assessment suppliers are required to demonstrate that they have the following in place:

- The technical and financial capacity to undertake works;- Appropriate management systems in place such as quality assurance, rehabilitation and environmental

management systems;- Current and appropriate insurances, licenses and mandatory technical qualifications.

3.0 SELECTION PROCESSThe process for selection of the construction firm is an open competition organized in two stages:

- Stage 1: Prequalification - Stage 2: Request for Submission (RFP)

Stage 1: The Prequalification is a means of establishing qualifications only. In order to qualify, the applicants will need to demonstrate that they have no conflict of interest, specialist capabilities, resources, local knowledge and relevant experience in providing construction services. The applicant is responsible for the accuracy of the information submitted but incurs no further obligation to enter into a contract as a result of the submittal.

Stage 2:Firms which meet all the requirements in the pre- will be invited to submit technical and price submissions for a set of designs and Bill of Quantities (BOQs).

4.0 ELIGIBLE FIRMS4.1 A Firm shall:

- Have the legal capacity to enter into a contract;- Not be insolvent, in receivership, bankrupt or being wound up, not have had their business activities

suspended and not be the subject of legal proceedings for any of the foregoing; - Have fulfilled their obligations to pay taxes according to the laws of Puntland, Somalia (if local firm).

4.2 In order to demonstrate compliance with the criteria in Prequalification sub-clause 4.1 above, a firm shall

submit with its submission either: - Its certificate of registration from the mandated public body demonstrating its registered supplier

status; and- Appropriate documentary evidence demonstrating its compliance, which shall include: Its trading

license or equivalent; Its tax clearance certificate and VAT registration, and Any relevant professional practice certificates.

4.3 A bidder shall be required to obtain a certificate of registration from the mandated public body referred to in Prequalification Sub-Clause 4.2, demonstrating registered supplier status, as a condition of contract award.

5.0 LANGUAGE OF THE RESPONSEThe Language of the response must be written in English. If the offer is submitted in another language other than English, it shall be deemed invalid.

6.0 SCOPE OF WORKSEven though concrete interventions have not been determined yet, it is thought that the Project will involve, among others rehabilitation and new construction works:

6.1 Technical description: 2 x Regional Health Offices (RHO) in Garowe and Galkacyo 2 x Regional Hospitals in Garowe and Galkacyo Maximum 5 x District Hospitals, remote sites across 2 regions in Puntland. Maximum 20 x Health Centre’s (HC), remote sites across 2 regions in Puntland. For all Facilities, the scope of works to be delivered includes the installation of all medical equipment

and furniture.

It is expected the following trades/services will need to be provided for across the following facilities:

The actual list of specific construction services to be undertaken by the Firm, including the provision of drawings, BOQs and specifications, will be confirmed during the second stage of the submission.

6.2 Financial Scope: It is estimated that the cost of works on the individual sites will range from $15,000 to $2,500,000

7.0 EXCLUSION FROM AWARD CONTRACTSContracts will not be awarded to firms, who during the procurement procedure are deemed not to meet the conflict of interest criteria (Refer to Annex II – Form 2, Page 13).

UNICEF must ensure that on the date on which the tender is submitted , no applicant is subject to conflict of interest , such conflict of interest could arise in particular as a result of economic interest or family ties.Applicant have therefore an obligation to disclose any situation of actual or potential conflict that impacts their capacity to serve the best interest of UNICEF. Applicant are also required to specify whether their companies

includes among its staffs or shareholders current employee/s of UNICEF.

8.0 FORECAST SCHEDULEThe schedule of the contractual process is as follows:

9.0 PREQUALIFICATION CHANGE POLICY and CLARIFICATIONSRequests for clarifications can be sent but no later than fourteen calendar days prior to the deadline for submission. All requests for formal clarification or queries on this Prequalification must be submitted in writing to Nana Essah or Bethany Mann, via e-mail at [email protected] and [email protected]. Please ensure that the e-mail mentions the reference number.

Only written inquiries will be entertained. Please be informed that if the question is of common interest, the answer will be shared with all potential firms.

Erasures or other corrections in the submission must be explained and the signature of the applicant shown alongside. All changes to a submission must be received prior to the closing time and date. It must be clearly indicated that it is a modification and supersedes the earlier submission, or state the changes from the original submission. Submissions may be withdrawn on written request received from Applicant prior to the opening time and date. Applicants are expected to examine all instructions pertaining to the work. Failure to do so will be at Applicant’s own risk and disadvantage.

UNICEF reserves the right to amend this Prequalification Document, its requirements and any information contained herein at any time up until the closing date of the submission. The applicant will be informed of any amendments in writing.

10.0 PREQUALIFICATION RESPONSE 10.1 Forms and Submission documents This PREQUALIFICATION for Prequalification is the first stage in the procurement process. The completed and signed Forms must be submitted in accordance to the instructions in sections 10.2 and 10.3. All submissions received by mail or email prior to the stated closing time and date will be kept unopened. The responsible officers will open the offers at the specified time. No submission received after the stated time will be considered. UNICEF will accept no responsibility for the premature opening of a submission not properly addressed or identified. Any delays encountered in the mail delivery will be at the risk of the applicant.

Offers delivered at a different address or in a different form than prescribed in this PREQUALIFICATION, or which do not respect the required confidentiality, or received after the designated time and date, will be rejected.

All references to descriptive materials should be included in the appropriate response paragraph, though the material/documents themselves may be provided as annexes to the submission/response.

The applicant must also provide sufficient information in the submission to address each area of the Pre-Qualification criteria contained in Sections 13, to allow the evaluation team to make a fair assessment of the candidates and their submission.

10.2 Prequalification Response Format: Submissions by mail/handFull submissions should be submitted in ENGLISH and must be received not later than 11.00 am on 7th February 2018 in one (1) original and two (2) copies, duly signed and dated.

Applicant must submit their sealed submission, with the Applicant Submission Form and one separate sealed envelope enclosed and marked as follows:

Inner envelope (1) Pre-Qualification Documents only, Name of company, LRPS No., Pre-Qualification.

Sealed Envelope (2): A larger envelope in which envelopes 1 and returnable Applicant Submission Form, are enclosed and sealed.

Sealed submissions must be securely closed in suitable envelopes and dispatched to arrive at the UNICEF office indicated no later than the closing time and date. Submissions received in any other manner will be invalidated.

10.3 Prequalification Response Format: Submissions by EmailThe submission may be sent by email only to the following email address: [email protected] 

The submission must be submitted in PDF format and in two SEPERATE folders labelled as follows:

The email with the submission shall contain only the following information in the subject line: The Prequalification reference, a short Description and the deadline date. For example: REOI-2017-002612 Prequalification UNICEF will send an automatic reply via email once your email has been received.  You are required to resend your tender if you do not receive confirmation 

It is a good idea to compress or ‘zip’ your response to save space and reduce upload time. It is strongly recommended to do this if your file(s) are in excess of 10MB in total. UNICEF reserves the right to reject without further evaluation tenders arriving received in the inbox after he deadline, or those which have been submitted to the wrong email address or which use the wrong heading. By submitting a tender the Tenderer accepts all the terms and conditions set out in the Invitation to Bid and Bid Specifications including the annexes.

11.0 NOTES ON RESPONSE11.1 Formal submission requirementsThe formal submission requirements as outlined in this Prequalification must be followed, e.g. regarding forms and timing of submission, marking of the envelopes etc.

11.2 Mandatory criteriaAll mandatory (i.e. must/have to/shall/should) criteria mentioned throughout this Prequalification have to be addressed and met in your submission.

11.3 Site VisitNo Site Visit is required for this PREQUALIFICATION.

11.4 Costs All costs incurred by Applicants in preparing submissions in response to this prequalification process shall be borne by the Applicant. UNICEF shall accept no liability to any party, whether participating in this prequalification or not, and shall not be liable for any costs or losses incurred howsoever arising in connection with the prequalification including, without limitation, any loss of profit or other economic loss incurred.

11.5 Prequalification of Subsidiary Companies The Prequalification of an Applicant does not extend to any associated, related and/or subsidiary companies owned or controlled by the Applicant unless included in the submission.

11.6 Local Rules & Regulations As per the Applicable Laws, all Contractors must be registered locally before they can enter into an Agreement with UNICEF.

12.0 PREQUALIFICATION SUBMISSIONS BY CONSORTIAIn order to offer the resources and the range of skills required consultancies may wish to collaborate to form a consortium which will then apply as an Applicant for pre-qualification. The entities forming such a consortium shall be known as “Applicant Members”.

Such Applicants should specify in full the identity of their proposed Applicant Members in the Prequalification Submission and shall submit complete information pertaining to each Applicant Member in the consortium. Applicants should note that each Applicant Member may be required to contract on the basis of joint and several liabilities. In case the Applicant will be prequalified and has stated any kind of Consortia, Partnerships or service provided by a 3rd Party Consultant during the prequalification process, the applicant must warrant to detail such consortia and to provide the necessary information if he participates in any future bidding process.

Please refer to Returnable Form 3 for the appropriate template regarding Joint Ventures (Annex II).

13.0 PRE-QUALIFICATION PROCEDUREThis section contains particulars of the documentation and other requirements that must be submitted by the Applicant wishing to be considered for prequalification. It is anticipated that the Pre-qualification procedure will be as outlined below:

I. Applicants will return their Prequalification submissions with all requested information by the specified date and time.

II. The Applicant will be assessed on the basis of the submitted documentation, and therefore the submissions and supporting documents must be complete and true. Interviews and visits from UNICEF officials to the Applicants’ premises and executed projects might be established during the prequalification process. UNICEF reserves the right to request any additional information, which is considered relevant for the evaluation.

III. The prequalification of Applicants will be based upon technical abilities, project experience, qualifications of staff, financial and economic capabilities and historical performance record.

IV. Upon receipt and review of the submissions, UNICEF officials shall visit the premises of the Applicants who have provided complete documentation and who meet the UNICEF criteria.

V. Any applicant, participating successfully or not, will be notified about the result in writing by UNICEF.

Only Firms which pass the pre-qualification stage will be invited to submit bids for the works contract.

13.1 Pre-Qualification ResponseIn order to assist UNICEF to evaluate the extent to which an Applicant meets the requirements relating to technical capability and economic and financial standing set out above, Applicants are required to provide all of the information requested as outlined in Annex II Forms 1 – 12 and Annex III.

During evaluation of the prequalification submission and upon written request from UNICEF, the Applicant may be required to furnish clarifications/additional information within a defined time.

Upon receipt and review of the submissions, UNICEF officials shall visit the premises of the Applicants who have provided complete documentation and meet the UNICEF criteria.

13.2 Pre-Qualification Minimum Requirements The Pre- qualification response should include at minimum the following; Forms 1-12 as found in Annex II and the attached annexes; Annex III correctly filled, submitted as per the instructions outlined in Section 10:

Returnable Form 2: Conflict of InterestThe Declaration of Undertaking Form for the listed works, filled in correctly, signed and dated

Returnable Form 3: Legal StatusPlease insert valid registration/license and documents of incorporation as required. For Somalia based companies a valid business registration with the relevant Ministry will be deemed appropriate.

Returnable Form 4: Current Obligations and Pending AwardsThe Firm should list any large ongoing obligations and/or pending contract awards.

Include a brief description of the Supplier’s organization and company profile and general experience.The firm should reference its current experience and the value of work undertaken.

Returnable Form 6: Particular Experience Applicants should demonstrate that they have carried out assignments of a similar nature, size, complexity and located in the partner country or comparable countries, to that of the project in question. Highlight recent experience on assignments of a similar nature. For each assignment, the outline should indicate the duration, contract value, scope of work, project location and firm involvement. The Firm should have operated in the region or a similar context during the past 3 years and at a minimum should have provided similar services across (at minimum), 2 similar projects in the past 5 years.

Returnable Form 7: Staffing StrategyAttached a staffing schedule of your Company. The overall schedule should account for field work and envisaged back-up services from head office i.e. admin, finance support staff.

Returnable Form 8: Key PersonnelAttach CVs of the proposed key professional staff. Key information should include number of years with the firm, academic qualifications, degree of responsibility held in various assignments during the last five (5) years and project experience. It is desirable that the majorities of the key professional staff are permanent employees of the applicant or have an extended and stable working relationship with the applicant. At Minimum Key Personnel for this Prequalification includes a Project Manager and Construction Supervisor.

Returnable Form 9: Facilities and EquipmentThe Firm should have an office facilities located in Puntland and access to equipment required to undertake general construction works.

Returnable Form 10: Annual TurnoverList in terms of earning during the year, expressed in USD equivalent.

Returnable Form 11: Financial Performance Financial and economic capacity: Evidence of financial and economic capacity must be included in theBid Submission under and must be provided by means of one or more of the following documents:Appropriate statements from banks

Most recent audited financial statement Balance sheets or extracts from balance sheets for at least the last two years for which accounts have been closed, A statement of overall turnover concerning the services covered by the contract during the last three financial years.

If the Firm is unable to provide sufficient evidence that they are financially and economically capable of undertaking the mobilization works required for the project, the Prequalification will be deemed invalid.

13.3 Prequalification Eligibility Criteria All Proposals will be evaluated against the EOI minimum eligibility requirements. Applicants will be

evaluated against predefined and precise minimum requirements which, if not substantially met by the applicant, results in disqualification. A Pass/Fail criteria will apply.  Only Firms who meet the minimum requirements as listed above will be eligible for passing the prequalification. The Eligibility Criteria is listed in Annex IV in detail.

*The minimum eligibility requirements is outlined and expanded upon in Annex IV.

13.4 The Pre-Qualification Evaluation Criteria This Prequalification for Pre-Qualification should be completed and submitted by the due date. The pre-qualification documents will be evaluated according to the criteria specified under below.

Applicants will be evaluated against predefined and precise minimum requirements which, if not substantially met by the applicant, results in disqualification. A Pass/Fail criteria will apply.  Only Firms who meet the minimum requirements as listed above will be invited to submit their bids following the pre-qualification.

UNICEF will verify the statements made by the applicants and will solicit information from past clients and financial institutions. The extent of verification will be limited to significant issues, applicants will be afforded the benefit of reasonable doubt. Only deviations from critical criteria caused by activities which occurred in the past, and which applicants therefore cannot change, shall be used as a basis for rejection of applicants.

The Pre-Qualification Evaluation Criteria is listed in Annex IV in detail.

13.5 Vendor Registration All firms working with UNICEF must be registered on the UNICEF and UNGM Vendor Lists. 14.0 CONFIDENTIAL INFORMATION Information, which the applicant considers proprietary, should be clearly marked "proprietary", if any, next to the relevant part of the text, and UNICEF will treat such information accordingly.

15.0 RIGHTS OF UNICEF UNICEF reserves the right to accept any submission, in whole or in part; or, to reject any or all submissions. UNICEF reserves the right to invalidate any Submission received from an Applicant who has previously failed to perform properly or complete contracts on time, or a Submission received from an Applicant who, in the opinion of UNICEF, is not in a position to perform the contract. UNICEF shall not be held responsible for any cost incurred by the Applicant in preparing the response to this Prequalification. The Applicant agrees to be bound by the decision of UNICEF as to whether her/his submission meets the requirements stated in this Prequalification.

16.0 RESPONSE OPENINGDue to the nature of this Prequalification there will be no public opening of responses.

17.0 SUBMISSION EVALUATIONAfter the opening, each submission will be assessed first on its technical merits and its ability to meet the requirements. UNICEF will set up an evaluation panel composed of technical UNICEF staff and their conclusions will be forwarded to the internal UNICEF Contracts Review Committee.

The evaluation panel will first evaluate each response for compliance with the requirements of this Prequalification. Responses deemed not to meet all of the mandatory requirements will be considered non-compliant and rejected at this stage without further consideration. Failure to comply with any of the terms

and conditions contained in this Prequalification, including provision of all required information, may result in a response being disqualified from further consideration.

18.0 PROPERTY OF UNICEFThis Prequalification, along with any responses there to, shall be considered the property of UNICEF and the submissions will not be returned to their originators. In submitting this submission the applicant accepts the present conditions for tender set-out in the present Instruction to Applicant and the implementation of these instructions (incl. the process of evaluation). The Applicant will also accept the decision of UNICEF as to whether the submission meets the requirements stated in this prequalification.

19.0 VALIDITYSubmission must be valid for a minimum of ninety (90) days from the date of opening of this Prequalification and must be signed by all candidates included in the submission. For submissions from institutions, the submission must also be signed by an authorised representative of the institution. Applicant are requested to indicate the validity period of their submission in the Submission Form. UNICEF may also request for an extension of the validity of the submission.

20.0 RIGHTS OF UNICEF UNICEF reserves the right to:

- contact any or all references supplied by the applicant(s); request additional supporting or supplementary data (from the applicant(s)); arrange interviews with the applicant(s); reject any or all submissions submitted;

- accept any submissions in whole or in part; negotiate with the service provider(s) who has/have attained the best rating/ranking, i.e. the one(s) providing the overall best value submission(s);

- contact any number of candidates as required to achieve the overall evaluation objectives.

21.0 CONTRACTUAL TERMS AND CONDITIONSThe UNICEF Special and General Terms and Conditions are attached and will form part of any contract resulting from this Prequalification.

22.0 FULL RIGHT TO USE AND SELL The applicant warrants that it has not and shall not enter into any agreement or arrangement that restrains or restricts UNICEF or the recipient Governments rights to use, sell, dispose of or, otherwise, deal with any item that may be acquired under any resulting Contract.

23.0 PAYMENT TERMSPayment will be made only upon UNICEF’s acceptance of the work performed in accordance with the contractual milestones. The terms of payment are Net 30 days, after receipt of invoice and acceptance of work. Payment will be effected by bank transfer in the currency of billing. Financial submissions should include proposed stage payments. Where any payment is made in advance of any deliverables as an advance payment, the payment shall be made against the provision by the Supplier of a bank guarantee for the same amount, and shall be valid for the period stated in the contract. Should the advance payment guarantee cease to be valid and the Supplier fails to re-validate it, a deduction equal to the amount of the advance payment may be made by UNICEF from future payments due to the Supplier under the contract.If a Contract is terminated for any reason, the guarantee securing the advance may be invoked in order to recover the balance of the advance still owed by the Supplier.

Vendor registration financial documents

Due to the level of business UNICEF [SOMLIA], might have with your Company, we find it necessary to conduct a limited evaluation of your Company as part of our standard internal procedure.

In this regard we would like you to please provide us with the following documentation:A) A complete copy of your latest audited financial statements with comparative figures for the two most recent years; preferably signed by your Company's accounting firm/certified external auditor.These financial statements should be both for your Company, and the consolidated financial statements of the ultimate parent company , if applicable.
