president's report

Over the span of several years, Beaver Creek Cooperative Telephone (BCT) and most all local businesses have expe-rienced immense adversity that has uncovered the need to modify existing processes and to creatively invent new ways in order to maintain leverage in the competitive market. In 2009, BCT’s primary focus was on making modifica-tions in order to better serve our members, reduce expenses and improve our financial outlook.

There are good times and tough times which every business experiences through its cycles, just as BCT has over our 106 year history. The modifications that we have made over the past two years have been difficult as it is never easy when budget cuts result in employee job loss. It may be difficult now, as most changes are, but we are more efficient and the Cooperative’s structure is being repositioned which will allow the company to transition as technology continues to change at a rapid rate.

Some modifications made in 2009 included moving our Internet Service Provider (ISP) infrastructure to our neigh-boring Cooperative partner, Canby Telcom. With this decision, we eliminated the need to spend over $600,000 on updating the ISP equipment. Along with modifications to existing processes, BCT is continually working on being competitive with our broadband service and enabling our system to offer faster and more reliable high speed inter-net access. In order to compete by offering faster speeds, we are looking at delivering broadband services over the cable television infrastructure which requires upgrading the cable system to a two way signal, allowing for internet and broadband deployment.

Also in 2009, we have added more options to our BCT Wireless service plans. BCT now offers unlimited data and text on qualifying service plans and features cell phone replacement plans. We offer similar cell phones that the larger carriers offer and feature a nationwide product with minor differences that allows us to compete and outperform the larger carriers by being local and providing one on one personal service.

Our mission is to provide reliable and valued communications through partnerships together with our community. We look forward to serving the best interests of the Cooperative and the community in which we live and work. community involvement

In 2009, we witnessed many positive trends beginning to transform our communities. Families and individuals alike valued the simplicity of staying home and spending time with loved ones. As well, other positive trends included more conscious local shopping and finding ways to support the community through volunteerism. These newer and resurfacing trends are embedded in BCT’s core values.

BCT helped sponsor local family time by hosting many free events in our immediate community. These events included our Oregon City and Beavercreek movie nights. Our movie nights featured free food, entertainment, pop-corn and valuable family time with loved ones. BCT also hosted Pictures with Santa Claus, where families would get their photos taken for free with Santa and snack on a few of his cookies. And last, but certainly not forgotten, BCT hosted its annual Backyard Bash that featured good eats, good times and good wine! All money raised from the event benefited eight local charities.

Along with sponsoring local family time, BCT helped support local businesses by encouraging the community to shop local through education, sponsorships and events that helped keep money flowing into our immediate com-munity. We are proud to have been a participating sponsor of the growing Oregon City Farmers Market. The farmers market not only has helped local farmers and businesses, but it brings our community back to the basics by eating healthier and fresher foods. As well, the Annual Beavercreek Craft Bazaar helped to support local members and small businesses by giving them the opportunity to make extra money and to showcase their creative talents, as well as giving the community a great event to get out and interact with their friends, family and neighbors.

Volunteerism has also played a larger role in what we value at BCT. On a monthly basis, BCT employees were com-mitted to volunteering for Meals on Wheels, delivering hot meals to seniors in the Beavercreek area and serving at The Father’s Heart Street Ministry, a local homeless shelter. These experiences gave us a better understanding of what is happening in our communities and how we can help through our service.

We look forward to more positive transformations occurring within our community and are committed to continu-ing to serve the area in which we work and play.

Welcome and IntroductionsThe Chairman of the Board, Robert George, welcomed members and introduced the directors and management seated at the head table.

Nominating Committee ReportJames Wilber, Secretary/Treasurer, read the Nominating Committee re-port.

A motion was made and seconded to accept the Nominating Commit-tee Report as presented. Motion carried.

Audit ReportBruce Nakamura of the auditing firm, Moss Adams, CPA, presented the audit report through December 31, 2008. He reviewed some of the fig-ures published in the Annual Report. He noted that BCT received an unqualified opinion. A few questions were asked and answered by Paul Hauer.

A drawing was held for door prizes at this point.

President’s ReportPaul Hauer, President, stated that we are combining our Annual Meet-ing and our Back Yard Bash within the same weekend this year for the first time. He said that 2008 was a transitional year and we saw a lot of changes both internal and external, trying to better serve our mem-bers. We paid our debt down 1.2 million dollars from 2007 and we are working on a refinance package to bring our debt down even further. We did an upgrade of our Broadband service network and now have a good network in place.

Capital Credits was another subject he discussed. He said we need to be on a stronger financial footing before we start paying out capital Credits again. Our current plan will allow us to start paying out a little again in the third quarter of 2009. We have put together a schedule to pay off the earliest requests first.

We are reviewing and revising policies and procedures that will allow positive progress in the future.

Our goal as a community member is to be more involved both as a company as well as our individual employees in community events. Paul said he is here for the members and the employees. He thanked everyone for coming to the meeting.

Paul asked for questions or comments and one member said that BCT employees are more than helpful. They thanked the employees for put-ting in the time to do an excellent job.

A member asked why the FCC fees keep going up. Paul answered that telephone companies just collect the fees that the government dictates and we pass that money on to that agency. BCT does belong to some pools which distribute some of that money back to us.

A member asked why their reception with basic cable isn’t as good as digital cable. Paul said there could be a leakage or bad connection problem with the equipment. Mark Beaudry stepped in and said there should not be a difference in the reception depending on what level of service you receive. Paul said digital broadcasts are more sensitive to leakage and we do need to upgrade our equipment.

A member asked why all his neighbors seem to be moving from BCT to Dish. Paul answered that he didn’t know why, BCT offers cell service along with our other services and he challenged everyone to try BCT’s services to see what we can offer.

A member asked if there will still be land lines with all the cell phones becoming more dominant. Paul believes that all the buried plant will not be abandoned. Cell phones do use the land line network.

A member asked what we’re doing about the Broadband operation go-ing down. We recently upgraded our Broadband network but we can’t guarantee 100% uptime. We are working hard to remedy the network down times.

A member asked why we clutter our billing statements with so much advertising. Paul said we charge a fee for advertising on our bills so that is another revenue stream for the company.

A member asked when we will move the dirt pile on the property near the post office. Paul said he will look into moving the dirt to the park where it will be used when the park finally has funds to do more work.

A member asked about the clutter of garbage at the park site and what happened to the door on the shed there. Paul said the Charitable Trust is working on tearing down the building on that property and that we have an employee who periodically, around once a week goes and re-moves the garbage there but by the next day, someone has dumped more garbage.

A member mentioned that he can’t hear his international calls very well. Paul said that if he is using BCT Long Distance, we can go to our underlying carrier to see what the problem is but if you are using another carrier, that carrier would need to be contacted.

A member asked if we are looking at voice over IP. Paul said we are not looking at voice over IP too seriously but if it makes sense we will consider it.

A member asked why we pay down our debt if we are running at a net loss. Paul said we had some challenges in 2008 that we probably won’t see going forward. We didn’t pay more than our scheduled payments on our debt.

A member asked when we will see an end to the constant raising of rates. We have made a decision to look at cost centers; we don’t want one service paying for another. Cable TV programming goes up every year and now the broadcast channels are requiring we pay for their programming too. We are looking into sharing equipment with other telephone companies in the area to help with rising costs.

A member asked if there will ever be a time that we can choose what chan-nels we want to watch. Paul said that is still being talked about on the Fed-eral level of legislature, but the programmers require the cable companies to buy all their channels in order to get one they want. Since everyone wants different channels, we would still have to have many to offer our customers.

A member stated that when we recently added cable channels we did ask them for their opinion as to what they wanted but they had no way to view the new channels for programming before they made a choice.

A member asked why there are so many small telephone companies, why are we are so fragmented and why a big company doesn’t come and buy them all out. Paul said that the population density in the rural areas is not attractive to the big companies so they don’t want the small companies. All the small companies originally were formed by small groups of people living in the same area such as farmers that got together to create a com-pany. A lot of the small companies have been merging and will probably continue to merge. The best thing we can do is work with the other com-panies to save costs.

A member stated that they think Paul is doing a great job and the attitude and people have improved since Paul took over. Old BusinessA member asked if ADT still exists. ADT is a security company that is still in existence. If the question is if BCT is still in the security company business, the answer is we are not, that was not a profitable service for us.

New BusinessA member asked if we had any information on the park. Paul said he is

on the Board of Directors for the Charitable Trust which the park belongs to and that they have applied for some stimulus funds. The park progress is a matter of funding. When the funding is received the Trust will move forward.

Gary Emmons was elected as Director for District 5 for a term of three years.

2009 Scholarship Recognition Tangee Summerhill-Bishop, Director of Marketing and Customer Service, announced the recipients of BCT’s 2009 Scholarships and had the students present stand. The recipients of 2009 scholarship awards are:Amanda Luna, $2,000 per year for four years attending Seattle University studying Marketing.

Dustin Bishop, $2,000 per year for two years attending Willamette Univer-sity pursuing Interdisciplinary studies.

Patricia Roper, $2,000 for one year attending Linn Benton College/OSU studying Agriculture Education.

Seth Greendale, $1,000 for one year attending Middlebury College study-ing Environmental or Middle Eastern Studies.

Tangee announced that our annual Backyard Bash is tomorrow, July 11 beginning at 2:00 pm through 8:00 pm where we will have entertainment, food, wine tasting, a kids corner, bingo, raffles for a lot of prizes and that all proceeds are divided between the charities who participate. Everyone that attended tonight’s meeting will get a bracelet for free food at the Backyard Bash tomorrow.

A drawing for the final Grand Prize was won by Stanley Robbins who won a HDTV with one year free HD Cable TV service and a free HD DVR for the year.

Bob George acknowledged and thanked the staff who put the Annual Meeting together and thanked Jim Larson for his nine years of service on the Board. He also welcomed Gary Emmons to the board.

BCT Management

PAUL HAUER, PRESIDENTPaul Hauer began his career at BCT in 1998. Prior to working for BCT, Paul worked for the Portland based ac-counting firm, Yergen and Meyer, LLC. Paul has a vast amount of knowledge and experience in the accounting and management fields. He is a graduate from the University of Portland, where he received his Bachelor of Sci-ence degree in Accounting.

Paul has stepped into the role as President of BCT and has made an impact with the changes that have occurred at BCT both internally and externally. BCT has added more high speed broadband services and cable television programming and he has put his management style to work to make BCT a great place for employees. Paul is committed to the local community and local economy and he emphasizes the value of local business. “BCT will continue to strongly support the local businesses and civic structure of the area both financially and with volun-teerism from the cooperative and its employees,” says Paul.

Paul is also committed to a balanced family and work lifestyle. When not working he spends time with his wife and three children, enjoying sporting events and the great outdoors. Paul serves on the board of directors for the Beavercreek Charitable Trust, is the past President of the Oregon City Kiwanis Club and is heavily involved with many local programs and charities.

MARK BEAUDRY, VICE PRESIDENT OF OPERATIONSMark is very involved in the telecommunication industry. He was the first Chairman for the Oregon Joint Use Association (OJUA) a nonprofit organization formed in 2000 after House Bill 2271 was passed by the legislature directing the Utility Industry to better manage Utility Pole Right-of-Ways. He has served as Chairman for the Oregon Telecommunication Association (OTA) Outside Plant Committee. Mark is currently representing OTA on the board of the OJUA and serves on its Executive Committee.

Mark resides in Beavercreek with his wife Theresa. He is involved in the community as a Board Member for the Beavercreek Charitable Trust. In his off time he enjoys cycling and carpentry. He has two grandchildren Cole and Blake who keep him running when he is not on his bike.

DAVID WARNER, DIRECTOR OF IT & ENGINEERINGDavid Warner began his career as an Engineering Draftsperson for BCT in 1979 and has since taken on many roles. Since becoming BCT’s Engineer in 1993, he has played an important role in providing evolving technology to BCT members. David has worked on many projects. He is continually adjusting and improving the infrastruc-ture to support the challenges associated with delivering evolving technology.

David is not only a BCT employee, but is also a BCT cooperative member. He feels that there is a historical sense of unity between the cooperative and the local community, “The cooperative is important, it is something its members can identify as being part of their community.”

David resides in Oregon City with his wife Cathy and two children, Ben and Rachel. In his spare time, he enjoys working on computers, amateur radio and spending time with his family.

BCT Management

DAVID HOILAND, CONTROLLERDavid Hoiland began working for BCT in 1999 as the Accounting Manager. Prior to working for BCT, David worked for a public accounting firm in Salem. David has extensive knowledge and experience in the financial field. He graduated from the University of Oregon where he received his degree in Accounting and has been a licensed CPA since 1994.

David enjoys working for a cooperative and living in our local community. “In today’s world, there are not many chances to be a member of a Cooperative, I think the Cooperative concept works well for BCT members because BCT works hard to have quality services with a personal touch, while remaining community involved,” states David. David looks forward to continuing to find ways to provide valuable, relevant and affordable services to BCT members.

David grew up in Portland and lives in Oregon City with Barbara, his wife of eighteen years, and their two chil-dren, Seth and Jenna. He and his family enjoy playing and watching sports, kayaking, and being involved with their local church.

TANGEE SUMMERHILL-BISHOP, DIRECTOR OF MARKETING & CUSTOMER SERVICE Tangee has been with BCT since November 1, 2002. Prior to working for BCT, Tangee worked for GST, now known as Time Warner Telecom, as a Market and Business Analysis Reporting Manager. Along with Tangee’s work experi-ence, she has an extensive educational background in business with a Bachelor degree in Business Administra-tion from Western Washington University and a MBA from Washington State University.

Over the past few years, Tangee has worked to improve the processes and member’s experiences by making a positive impression one member at a time. The challenge that she has told members is to call in and encounter how different BCT is now. Tangee says, “We are not done improving and changing. ”

In Tangee’s personal life things are changing as her, her husband Ron and daughter Aina, welcomed their new baby girl Celestina Jewel, this past December.

ROBERT GEORGE, CHAIRMAN OF THE BOARDRobertGeorgewasnamedChairmanoftheBoardin2006.HewasraisedinOregonCityandmovedtothecooperativeservingareain1982.RobertservedasacommissionerforClairmontWaterDistrictfrom1987to1995.FollowingthemergerofClairmontWaterintoClackamasRiverWater,heservedanadditionaltwoyearsasaboardmember.

Acivilengineerbytrade,Robertbringshisengineeringtalentstothecooperative.Havingworkedforclienteleincities,commissions,andprivatelyownedutilities,Robertisexperiencedinplanpreparation,projectmanagement,andconstructionandcostestimates.

JIM WILBER, VICE-CHAIRMANJimWilberhaslivedandworkedinBCT’sservingareaformanyyearsandhasasignificantattachmenttothecooperativeandthecommunity.After30yearsofemploymentatBCT,JimretiredinDecemberof2002.HebeganhiscareeratBCTasatelephonerepairmanandworkedhiswayuptomanagerofCustomerRelations.Jimhasatremendousamountofknowledgeofthetelecommunicationsindustry,heunderstandsthedynamicchangesthatareoccurringintheindustryandthecostsassociatedwiththeevolvingchanges..

Asalongstandingmemberofthecommunity,Jim’sgoalasaboardmemberisto“improvetheserviceandrelationsbetweenthemembersandthecompanyitself.”JimandhiswifeJanhavebeenmarriedfor37years.Togethertheyhavetwosons,EricandTravisandfivegrandchildren.

MATT CARLSON, SECRETARY-TREASURERMattCarlson’stiestothecommunityrundeep,ashewasraisedinBeavercreekandnowisateacheratBeavercreekElementarySchool. “Asateacher,Ihavetheuniqueopportunitytostayontheforwardedgeoftheeverchangingtechnologyandcommunicationinnovationsastheybe-comeavailabletoourstudents,”saysMatt.Matt’sgoalsasadirectorareguidedbyhisforwardthinkingandincludeincreasingthespeed,quality,andaffordabilityofinternetofferings,andcontinuingtoimprovecustomerservice.Matttakesacommonsenseapproachtoproblemsolvingandputsthebestinterestofmembersfirstwhenmakingdecisions.

MatthasbeenacooperativememberfornineyearsandisenjoyinghispositionontheBCTboard.“BeingontheboardofBCTallowsmetohelpsetthedirectionofouruniquememberownedco-opthatnotonlyprovidesforthecommunicationsneedsofitscustomers,butalsotakesanactiveroleinthecommunity.”Inhissparetime,MattenjoysspendingtimewithhiswifeTiffanyandworkingonconstructionandrealestateprojects.

JAY MAIN, DIRECTORJayMainknowswhatbuildsasuccessfulbusinessandcommunity,havingretiredasco-ownerofacontractingbusinessinBeavercreekandbeingavolunteerfortheBeavercreekFireDepartment.Jay’sexperiencehashelpedhimremainasuccessfulboardmemberforthepastsixyears.

AsidefromJay’sworkingexperience,hehasagreatworkingknowledgeofBCTbecausehehasbeenacooperativemembersince1973.Hehaswatchedthecooperativechangethroughtheyearsandhasadeepsenseofthevalueofthecooperative’sroleinthecommunity.“BCTprovidesgoodsolidservices,asacooperativeitallowsforlocalinputandnotmanybusinessesandservicesarethatwayanymore,”saysJay.JaykeepsbusybyworkingonhissmallfarmandspendingtimewithhiswifeSherry,threechildrenandgrandchildren.

GARY EMMONS, DIRECTORAsBCT’snewestadditiontotheboardofdirectors,GaryEmmonshasservedforoneyearandhaslearnedthemanychallengesasmallercoopera-tivefacesinthetelecommunicationsindustrytoday.Garyhasover38yearsofexperienceintheindustrybeginningwithBCTin1972.WhileatBCT,Garyinstalledburiedcable,wiredhomes,workedinthecentralofficeandinstalledtelephoneandalarmsystems.

Afterhis23yearsofvaluableexperienceatBCT,Garyandhiswife,Gailbegantheirowntelecommunicationscompany installingvoice,data,securityalarms,camerasandcardlockequipmentinthePortlandMetroarea.Asaboardmemberandcommunitypartner,GaryhasmanygoalsfortheCooperative.Oneofhisgoalsincludeprovidingourcustomerswithaservicethattheycanbragaboutinthecommunity,“Weareworkingonthis,buthaveawaystogotoplacethecompanyinafiscalpositiontomakethishappen”.

Alongwithhisextensiveexperienceintheindustry,GaryhaslivedintheBCTservingareaformostofhislife.GaryandhiswifeGailhavetwogreatsons,ToddandKurtandtheirspousesAlyssaandLiz,nottomention,oneamazinggranddaughterAverieAnn.
