1. President’s welcome

The President opened the meeting by extending a warm welcome to all the members present on behalf of the Executive Committee, Honorary Officers and himself to the 24th Annual General Meeting of The National Irish Safety Organisation Ltd. He informed the meeting that the documents related to the meeting had been circulated to members in advance of the meeting and if anyone wanted a copy they were available at registration.

Before commencing the formal agenda the President asked the meeting to pause for a moment to remember NISO members who had passed away.

The Honorary Secretary read out the Notice and Agenda of the 24th Annual General Meeting of The National Irish Safety Organisation Ltd.

4. Minutes of the 23rd Annual General Meeting

As the minutes of the 23rd Annual General Meeting of the The National Irish Safety Organisation Ltd. had been circulated in advance with the meeting notice, the meeting accepted the minutes be taken as read.

The Minutes of the 23rd Annual General Meeting of The National Irish Safety Organisation Ltd. were proposed, seconded and adopted by the meeting. Proposer: John Quinn; Seconder: John Flanagan.

5. Matters Arising

There were no matters arising from the minutes.

6. President’s Report

The President commented that as he chairs the Annual General Meeting of the National Irish Safety Organisation he is very proud and happy to have been president of NISO since 2008. As his term of office comes to an end, he offered an account of what NISO has accomplished over the last eight years and the goals that were pursued and achieved. He thanked all those for the support given to him during this time. He said it had been a pleasure and an honour to serve as the President of NISO.

The President acknowledged the NISO members, noting that, thanks to their support, NISO is in a better position to reach its goals and objectives.

He noted that on becoming President in 2008 he had a clear vision of where NISO should be positioned and that tackling the financial crisis facing NISO was high on the agenda. Priorities had to be set to ensure that NISO returned to a stable financial position. This took the best part of four years to achieve.

Priorities at that time were to: stop the haemorrhaging of funds which at the end of 2008 showed a €480,000 deficit; resolve a number of HR issues; improve the relationship between staff, executive and regions. He commented that it was vital to reduce the number of consultants and staff that had been engaged to a level that could be sustained.

During the eight years of his presidency, NISO paid the mortgage on head office in full and the loan that was needed to deal with the 2008 debts was also repaid in full in 2015.

NISO has a business development plan for 2016 / 2020 in place and sees the developing of stronger links with the safety community within the Island of Ireland is a priority.

The president stated that he was hugely grateful for the commitment that members and staff at head office all made to the work of NISO during his term as President.

During this time NISO’s fiftieth anniversary was celebrated, as was the twenty first anniversary of the All Ireland Safety Quiz and the twenty fifth anniversary of the HSA. A memorable highlight was the attendance of President Higgins at the joint NISO / HSA conference and representatives of NISO being guests of President Higgins at a formal reception in his residence.

NISO is currently engaging with IOSH regarding the accreditation of a number of NISO courses as well as running IOSH courses for our members. The relationship between NISO and IOSH continues to strengthen, based on our common goal to promote safety, health and wellbeing in the workplace and prevent accidents and ill health.

NISO sits on a number of working groups which include the HSA, REACH Working Group, Construction Safety Partnership, Electrical Technical Council of Ireland (ETCI), European Focal Group, and a number of other Advisory Groups.

NISO continued to hold very successful farm safety workshops during 2015/16. This continues to be an area which requires urgent attention as the rate of serious accidents and fatalities is not showing a positive downward trend.

As President he visited and met with a number of members and member organisations, thereby using these opportunities to strengthen the working relationship with these members. During these visits, it was very clear to see the high esteem in which NISO is regarded and how well the members organisations promote their in-house safety, health and welfare culture.

NISO’s annual conference and safety awards will be hosted this year by the Southern region and will take place in the Malton Hotel Killarney on Friday 7th October. This will be followed by the gala dinner and safety awards presentation that evening.

The President thanked Minister Richard Bruton T.D. and Minister Ged Nash T.D. and their officials for their support and help during 2015. NISO will look forward to meeting with the incoming Minister in the very near future. He acknowledged the Minister for Business and Employment, Ged Nash, who launched Workers Memorial Day Ireland, 28th April, which will now become an annual event, and Martin O’Halloran, CEO of the HSA, and his officials for the ongoing support shown to NISO throughout the year.

He placed on record his gratitude towards NISO’s colleagues in the Northern Ireland Safety Group (NISG), fellow officers and executive committee members for their wise council given during 2015, NISO’s regional committees for supporting and helping NISO at both regional and national levels and the hard working and dedicated staff at NISO head office.

He paid a special thanks to the Vice-President, Bill Kelly, who will be standing down after forty two years service to NISO. Bill first became involved with NISO in the Mid West regional quiz in 1974. Bill was a signatory to the original Articles of Association in 1992 and served as President from 2004 to 2006 and was a vice president for the duration of his term of office.

The President offered the incoming president and vice-president his good wishes and support. He also extended good wishes to the incoming executive committee.

Finally, he thanked his wife Ann for her patience and support to him over the last eight years as he fulfilled the role as President of NISO

7. Secretary’s Report

The Honorary Secretary said he was pleased to report that in NISO’s 53rd year the Organisation is still pursuing the aspirations of its founders in seeking to promote best practice in safety health and welfare in all areas of work in Ireland.

With the support, hard work and dedication of all the staff, Directors and Executive Committee members, NISO has a very promising future.

Des Brandon, NISO’s Honorary Treasurer, will report that NISO is in a very stable financial position.

The Secretary stated that NISO continues to develop co-operation with IOSH and expressed his gratitude to the Department of Jobs, Enterprise & Innovation for their continued support and the engagement by Minister Ged Nash with us. We have written to Mr. Nash thanking him for his support and wishing him well for the future. His support of NISO and the safety community in general was acknowledged by the membership.

He expressed appreciation to the HSA, Martin O’Halloran and his colleagues for their support to NISO. By their words and actions in attending, supporting and participating in NISO events, commenting that they have shown a commitment above and beyond their daily tasks.

Ibec, Insurance Ireland and ICTU have also continued their support of NISO and this is very much appreciated.

He recalled that the 43rd All Ireland Occupational Safety Quiz finals run jointly by the National Irish Safety Organisation (NISO) and the Northern Ireland Safety Group (NISG) was held in Belfast in April 2015 with Bord na Mona Littleton retaining their All Ireland title in the Previous Entrants Category and Phoenix Energy Services from Antrim winning the Novice Category.

The 24th Annual All Ireland Safety Awards took place at a special ceremony in Galway at which the Supreme Safety Award winner for 2015 was Sierra Support Services Group. Eli Lilly won the Occupational Health Award, which was sponsored by the Health and Safety Authority and the Health and Safety Executive Northern Ireland, while Lagan Construction won the inaugural Superior Performance Award sponsored by Anderco. John Sisk & Son won the Gold Award, Walls Construction won the Silver Award while the Bronze Award was won by Lagan Construction.

The presentations were made by Pauric Corrigan, NISO president, James Fenton, NISG chair, and Martin O’Halloran CEO of the HSA.

He recalled that there had been 10 Executive Committee meetings during the Calendar year 2015 and 13 Management Committee meetings. This higher number of meetings during the year was due to the requirement to change the Articles of Association into a Constitution in line with the New Companies Act. This also incurred some legal costs. The proposal to adopt the new Constitution will be considered by the EGM following this meeting.

He gave special thanks and appreciation to the Regional Committees and all NISO’s volunteers, who freely give of their time to promote safety and health awareness, and to the executive committee, the office staff and the many members of NISO who assisted him as Secretary.

Despite NISO’s work and the best efforts of the HSA, workers continue to get injured and killed in Irish workplaces every year. According to the official figures for 2015, 55 individuals lost their lives during the year - the same as in 2014. This means more than one person lost their life every week by going to work. This includes 18 deaths on our farms. In addition to the above, deaths on our roads were 165 down from 196 in 2014. Injuries and fatalities, in addition to the pain and suffering to the victims, lead to increased costs and demands on an already overstretched health system.

He was critical of what he called the short-sighted view of reducing the resources available to prevent accidents which has, in his view, contributed to the number of deaths and injuries with an overall result for Ireland of increased costs in terms of human suffering, insurance, compensation, legal and lost time from the workplace. He called for the reduction in the resources for the HSA to be reversed as soon as possible. He added that the Government are reporting almost 2 million people at work for the first time in the history of the State. Therefore, increased resources are required by the Health and Safety Authority to respond to increased demands for their services.

NISO would like to see a co-ordinated approach from Government to the whole area of safety with the focus on prevention, which would lead to a major saving to the economy as well as a healthier society.

He called on the farming community and the farming organisations to take a very detailed look at the terrible safety record that has developed over the last few years stating that NISO has run a number of well attended farming safety seminars during the last year and will continue to promote safety on our farms as in all workplaces.

He stated that it was long past the time when economists and their views on everything was accepted as the definitive opinion on what should be done. Adding that in the General Election the people had spoken and maybe now the political leaders from all sides might plan and make decisions in the interests of the community and the long term interest of the country and not on getting re-elected.

He expressed his gratitude to President Pauric Corrigan and Vice President Bill Kelly who are standing down from their current roles within NISO. Recalling that under their stewardship the issues which threatened the very existence of NISO in 2008 were resolved. He stated that Pauric, and Bill could be very proud of their contribution to NISO and he was looking forward to working with them in the future and that he was delighted that they will continue to work within the NISO family.

He concluded by calling on all NISO members to renew their efforts through the promotion of safety and health awareness, education and most of all by example and leadership to improving safety and health in Ireland and called on the politicians of all parties to commit to the same objectives.

8. Adoption of the Directors’ Reports and Financial Statements for the Year Ended 31 December 2015.

The President stated that as everyone had received in advance of the meeting a copy of the financial report he was asking the meeting to take the reports and financial statements as read explaining that the Honorary Treasurer would make a presentation on the important aspects of the finances. It was

agreed that the audited financial report would be taken as read and it was proposed, seconded and accepted by the meeting. Proposer: Mary Keane ; Seconder: Michael Dowling

The Honorary Treasurer made a presentation of the important aspects of the audited financial report for the year ended 31 December 2015 indicating that he would take any questions on the report as he made the presentation. He highlighted the following:

9. Election of Members to the Executive Committee from the Ordinary Membership of the Organisation.

There were two positions to be filled by election from the Ordinary Membership of the Organisation for a two year term. Two valid nominations were received from Des Brandon and David Connolly as ordinary members for election to the Executive Committee.

As there were only two nominations for the two positions vacant, a ballot was not required and the President declared the two nominees elected.

Des Brandon, Brandon Agencies was proposed by Harry Galvin, Galvin Safety and seconded by Pauric Corrigan, Safety Consult.

David Connolly, Walsh Mechanical Engineering, was proposed by Colman Shaughnessy and seconded by Brendan Mulligan, Tobin Consulting Engineers.

11. Re-appointment and Remuneration of Auditors for 2016

The meeting was asked to approve the reappointment of the current auditors for 2016 at a remuneration rate of €16,000, slightly higher than their current fees. Conlan Crotty Murray & Co., Chartered Accountants, was reappointed as auditors after being proposed, seconded and accepted by the meeting. Proposer: Mary Keane; Seconder: Michael O’Neill

12. Any other business

Mr. Twohig raised an issue concerning himself, stating that while he had no issue with NISO he was unhappy with a member. He said that he had sought to have his good name cleared and that despite efforts by him he had been refused a meeting with the executive and that matter was still causing him concern. He felt that his good name had been injured.

The President replied that as the issue raised was a legal matter he would ask the secretary to respond. In accordance with the Companies Act, legal matters were a matter for the company secretary, he said.

The Secretary responded by clearly stating that NISO had never caused any injury to Mr. Twohig’s good name. He further added that the matter raised was the subject of a legally binding confidential agreement between Mr. Twohig and NISO which was drawn up by solicitors in Cork. Mr. Twohig had signed the confidential agreement some years ago, as had NISO. As the matter was subject to the legally binding confidential agreement, NISO was not in a position to discuss the matter without being in breach of that agreement.

Mr. Twohig wanted to discuss the matter further and the President ruled that no further discussion could take place due to the legally binding confidential agreement.

No other matters were raised.

Several members expressed their thanks to Pauric and Bill for their contribution to NISO, these included, John O’Reilly, John Flanagan, and Colman Shaughnessy and there was general approval from the attendees of the above remarks.

Minutes of the Extraordinary General Meeting of The National Irish Safety Organisation Ltd. held in the Radisson Blu Hotel, Athlone, on 16th April 2016 at 12:45hrs. Present Warren Azong, Susan Birkett, Geraldine Brady, Des Brandon (Treasurer), David Connolly, Mark Corcoran, Michael Dowling, Sean Duffy, Pauric Corrigan (President), John Flanagan, Harry Galvin, (Hon Secretary), Mary Keane Broderick, Bill Kelly, (Vice President), Fergal McKevitt, Herbert Mulligan, Anne Murphy, Edel Niland, Sheena Notley, Ted O’Keeffe, Michael O’Neill, John O’Reilly, Sean O’Shaughnessy, John Quinn, Colman Shaughnessy, Simon Smith. In attendance Ann Corrigan, Colin Shaughnessy, Niki Schweighoferova Apologies Catherine Hession, Michael Horan, Joe Millar, Michelle McDermott, Des McNamara, Richie Phelan, Philip Thornton. Meeting chaired by: Pauric Corrigan (President) Minutes recorded by: Harry Galvin (Secretary) As the Notice of the Extraordinary General Meeting / Special Resolution / Draft Constitution was circulated in advance of the meeting, it was taken as read. The Secretary gave a brief explanation as to why it was necessary to replace the organisation’s Memorandum and Articles of Association with a new Constitution which were to comply with the Companies Act 2014 and to modernise the existing Memorandum and Articles of Association reflecting current day terminology and processes. The following was proposed by Bill Kelly and seconded by Mary Keane as a Special Resolution of the Company / Organisation.

1. To update the Memorandum and Articles of Association of the Company / Organisation to enable it:

a. to reflect the current structure and business of the company / organisation.

b. to reflect the amendments required by the Companies Act 2014.

c. accordingly to adopt the Constitution attached.

The meeting adopted the new Constitution as circulated. The Secretary will arrange for the filing with the Registered Companies of all necessary documents, including the appropriate Resolution and new Constitution that are required as a direct result of the passing of this resolution. The meeting closed as there was no other business.
