Luxembourg, 5 June 2009. Société nationale de Crédit et d’Investissement (‘SnCI’) - Luxembourg state-owned Investment and Development Bank and PaulWurth s.A. (‘PaulWurth’) arepleased to announce that they have signed today contracts allow-ing Paul Wurth to purchase in a first step 50,4% of the shares held bysnCiinCTisystemss.A.(‘CTi’).Today’sagreementsmaterial-ize the intentions of the parties announced on 31 March 2009.

CTI has more than 45 years of experience in the design and manu-facture of automated systems for the lifting and handling of heavy goods. Since SnCI took over all of its shares in the early nineties, CTI has known a noteworthy development of its activities thanks to the combined efforts of its shareholder SnCI, its board of direc-tors, its management and its whole workforce.

To carry out its business activity largely oriented towards the ex-port market, CTI operates today modern facilities (comprising an engineering center and a production and assembly shop) in the

regional economic activity zone of eselborn/Lentzweiler (Luxem-bourg). In 2008, CTI achieved a turnover of eur 40,6 million and is presently employing about 200 people.

WithPaulWurthandCTi joiningforces,CTiwillbeabletoben-efit from a truly international sales network of an industrial group, opening new prospects to the company’s development and thus consolidating its employment level. To Paul Wurth this agreement ensures the enlargement of its business segments and diversifica-tion of its exposure to the steel industry. The fact that the core competences of both companies, namely their expertise in me-chanicalengineeringandininternationalprojectmanagement,areverycloseaddstotheinterestofjoiningforces.

by entering into today’s agreements, Paul Wurth will assume the industrial leadership of CTI. SnCI will however continue to follow and support CTI for a few more years by preserving a significant presence in CTI’s share capital and by maintaining a representa-

tion at the company’s board of directors. In accordance with these goals, the parties granted each other sale and purchase options, allowing Paul Wurth to progressively acquire from SnCI the re-mainder of the CTI stake in the course of the period 2011-2013.

Commenting this transaction, Gaston reinesCH, President ofSnCI, said: “I am convinced that by becoming a group member of a new reference shareholder with a high industrial standing, CTI will serenely pursue its development in Luxembourg and interna-tionally whilst allowing Paul Wurth, a company in which SnCI also holds an equity stake, to consolidate its activity.”

Jeannot KreCKe, Minister of the economy and Foreign Trade, whose presence enhanced the signing ceremony, expressed his great satisfaction as the realisation of this transaction will certainly strengthen the position of Luxembourg’s industry.

The legal change of control in CTI is expected to occur in the courseofjuly2009andremainssubjecttocustomaryconditionsprecedent for this kind of transactions and in particular the clear-anceof theagreementsby thecompetentCompetitionAuthori-ties. Parts for agricultural tip-pers up to a length of 16 m can be coated in this new plant.CTI Systems, well known as provider for cost-effective integrated solutions, designed a fully automated material handling system, interfacing process technology and wet paint booths. The custom-er is able to change many parameters of the CTI dip and transfer bridges,whichresultsinahighflexibilityincoatingdifferentparts.DuetoCTisystemsproducts,basedonthelatesttechnologyandthehighlyprofessionalprojecthandling,CTisystemswasaskedbythecustomertodevelopandinstall2convectiondriersforACCcoated parts. These kind of driers for such big parts never exist before and CTI Systems delivered driers which absolutely met the severespecificationsfordryingACCcoatedparts.

Aquence

Autodepositionisawaterborneprocesswhichdependsonchemi-cal reactions to achieve deposition. This process has been in com-mercialusesince1975.sincethen,autodeposition(Aquence™)has grown and matured. Since its inception, this unique process has been employed to coat billions of square meters of surface.

The coating tank uses a dispersion of a paint emulsion at low sol-ids, alongwith acidified ferric fluoride. This technique frees fer-rous ions that destabilize the emulsion locally at the metal surface, causing the paint layer to be deposited.

ACCreactswithanyferrousmetalcomponentwhenplacedinthetank and after the deposition has been completed dries in an oven attheunusuallylowtemperatureof105°Cforthe866™series.

Auniquefeatureoftheautodepositionprocessistheformationofa very uniform film over the entire surface of the work piece, even in difficult-to-reach areas. unlike coating processes that require a charge to deposit the coating (i.e., where electrical energy is re-quired to “throw” the coating into recessed areas) autodeposition will coat tubular, assembled, or intricate-design areas uniformly.

It should also be mentioned that the autodeposition process does not require a chemical conversion coating. The elimination of these stagesleadstoconsiderablesavingsinrequiredfloorspace,en-ergy, and operating costs, as well as the total elimination of toxic metals from the process. Considerably lower temperatures are re-quiredtocuretheautodepositedparts.Thesearejustsomeofthemany advantages of using the autodeposition process.

in 2008, Krone Doğuş Treyler A.Ş. designed together with CTI Systems a new production plant for truck trailer in Turkey. This design started with the layout of the complete facility (pro-ductionandadministrationbuildingandoutsideareas).AfterthedesignphaseCTisystemsassistedKroneDoğuşTreylerA.Ş. by the choice of the construction company in Turkey. CTI was responsible for the supervision of the interfaces between the building and the machinery during the erection period of the facility near Tire in the Izmir area in Turkey.

FurthermoreCTisystemsdeliveredtheoverallmaterialflowsys-tems. The system starts with a semi-automatic cleaning and input area for the truck chassis and smaller parts, which is connected to a fully automatic surface treatment process of pretreatment, cathodic e-coating, heat treatment, powder coating and storage. Linked to this surface treatment is a manual operated patent track based monorail assembly line with all working stations up to a finished truck trailer.

In 2008, CTI Systems delivered a full automatic installation which allows the customer up to 3.000 t of steel structures per day. The steel structures are directly unloaded from a truck into trans-portandstorage jig.rackstackercranesareused tostack thetransportjigsbeforeandaftereachprocessstep.Highdutyrollerconveyorsareusedtotransportmaterialonthejigsthroughtheprocess installations i.e. shot blast and robotized paint booth. The storageisalsousedtocurethepaintonthesteelstructures.Aftercuring, the material could either be stored or directly loaded on a trailer.

even though e-coat exists since the 1930, it is mainly due to large interest and capital investment in the 70’s by the automobile in-dustry for primers that made it popular.

process mechanism

e-coat is an emulsion of organic resins and de-ionized water, which is in a stable condition. The e-coat solution also comprises ofsomesolventandsomeioniccomponents.WhenaD.C.volt-age is applied across two immersed electrodes, the passage of current is accompanied by electrolysis of water. This results in oxygen gas being liberated at the anode (positive electrode) and hydrogen gas liberated at the cathode (negative electrode). The liberation of these gases disturbs the hydrogen ion equilibrium in the water immediately surrounding the electrodes. This results in acorrespondingpHchangeandthisinturnde-stabilizesthepaintcomponents of the solution and they coagulate onto the appropri-ate electrode.
