REMARKABLE INFLOWS OF FOREIGN DIRECT INVESTMENT (FDI) AND STRONG PERFORMANCE OF TOTAL EXPORT AND IMPORT WERE AIDED BY A RECOVERY IN REPUTATION AND ENVIRONMENT OF NATIONAL BUSINESS. THESE FACTORS HAVE CONTRIBUTED TO A ROBUST EXPANSION OF THE VIETNAM SECURITIES MARKET IN THE YEAR 2017.

The strong performing stock market also significantly contributed topromoting the development of the state-owned enterprises' (SOEs)equitization process. In 2017,HOSE held 9 initial public offerings (IPO)and 23 state divestments of the SOEs, mobilizing roughly VND 122.96trillion.Particularly, largestatedivestments fromSOE’ssuchasSABECOandVinamilkattractedsignificantattentionfromboththedomesticandforeignfinancials,contributingremarkablytotheGovernment'sstrategytoreformSOEs.

The year 2017 saw the Vietnam Securities Market demonstrating remarkable development, with the market remained one of the fastest growing financial markets in the world. The combined market capitalization of Hochiminh Stock Exchange and the Hanoi Stock Exchange (with UpCom included) totaled VND 3,515 trillion, equivalent to 74.6% of GDP. This figure surpassed the target (market cap to GDP ratio) set for 2020 by the Government.
With the positive performance of the global economies and financial markets, the Vietnam Securities Market had an extraordinary year with the highest growth rate in Asia. In the year 2017, Hochiminh Stock Exchange (HOSE) reached remarkable and impressive milestones in market size and liquidity.
The VNIndex closed at 984.24 points, up by 48.03% year on year (y-o-y), which was the highest level in 10 years. The performance of the VNIndex was exceptional when compared to other emerging and frontier markets, as the MSCI Frontier Markets Index was increased by 29.87% and the MSCI Emerging Markets Index was increased by 36.83% y-o-y. The growth rate of the VNIndex has therefore been one of the top 03 highest worldwide. Moreover, the indices in the HOSE-Index series also performed well in

the offerings of major companies, such as the Mobile World Investment Corporation, the VietJet Aviation Joint Stock Company.
Apart from the robust growth of the market, HOSE has been placing utmost importance on the efficiency of the market surveillance system, focusing on monitoring trading activity and seeking to prevent possibly illegal actions. Trading irregularities and/or the placement of inappropriate trading orders, or other infractions of securities trading regulations and laws are timely and fully reported to the State Securities Commission (SSC) for appropriate penalties, therefore, protecting investors and preventing any unfair action among securities trading that comply with the law.
Heading forward to 2018, HOSE will focus on developing the surveillance system towards trading activities monitoring and operation of new investment products such as Covered Warrant.
2017. In particular, the VN30 Index rose to the highest point at 975.52 points, increased by 55.29% from the beginning of the 2017. The VNAllshare and VNMidcap Index also increased by 49.26% and 33.11% respectively. The Sector Indices Series also showed impressive performance, with five sectors having more than 50% increased, including: Financials, Real Estate, Healthcare, Consumer Staples and Consumer Discretionary.
As of 29 December 2017, there were 344 companies listed on HOSE along with 39 corporate bonds, 02 fund certificates and 02 ETFs. The number of newly listed companies doubled from last year, with a total of 48 securities, including 31 listed companies, 15 bonds, 01 fund certificate and 01 ETF. 2017 witnessed a series of leading enterprises listing on HOSE, such as Vietnam National Petroleum Group (Petrolimex), Vincom Retail Joint Stock Company (VRE), and Vietnam Prosperity Joint Stock Commercial Bank (VPBank). The total volume of the additional securities in 2017 increased to 135.3% y-o-y, equivalent to 6,486 million securities.
At the end of 2017, market capitalization of HOSE was approx. VND 2,614 trillion, a 75.24 % from end - 2016, equivalent to 57% of GDP. This figure accounted for 92.14% of the total listed market capitalization of Vietnam Securities Market. The total trading volume of HOSE accounted for 48.07 billion securities, together with the total trading value of HOSE accounted for VND 1,061 trillion. Market liquidity of HOSE was also promoted, with daily trading volume rose to 192.28 million securities, and daily trading value averaged at VND 4.24 trillion. From the end of 2016, the daily trading volume rose by 48.81% and the daily trading value rose by 73.77%. Additionally, foreign investors were also significantly active in 2017. Foreign investors bought net VND 26.42 trillion, equivalent to 414.46 million securities.
Equity capital raising activity was robustly impressive in 2017. A total of 165 listing adjustments were accepted by HOSE, with the additional volume amounted to 4,775 million shares, up by 6.5% y-o-y. This was bolstered by

On 09/03/2017, the conference of "the Development strategy of the Vietnam securities market's trading system" was held at HOSE.
On 10/11/2017, the competitive offering of State share owned by the State Capital Investment Corporation (SCIC) in Vietnam Dairy Products Joint Stock Company (Vinamilk) was held at HOSE.

2017 was a remarkable year with series of auctions of leading enterprises, mobilizing to the State budget more than VND 122.96 trillion.
Throughout 2017, with the total of 32 successful auctions, the total volume and value of shares sold increased significantly at 37.19% and 625.96% y-o-y respectively. Within three months of the end of the year, the government successfully completed the divestment of numerous leading SOEs, including the nearly VND 120 trillion value from the competitive offerings of the Vietnam Dairy Products Joint Stock Company (Vinamilk) and the Saigon Beer – Alcohol – Beverage Corporation (SABECO).
HOSE continued to maintain the efficiency of the Information Technology (IT) activities in the year 2017. Along with a robust performance of the market this year, the trading system operated effectively and smoothly, timely meeting the requirements from operation procedures and reality demands.
Based on the Decision No. 3326/QD-BTC on 25/12/2014 of the Ministry of Finance, the strategic project "Designing, Procuring and Installing the Technology transfer a completed Solution for System" is the most crucial factor of this project. Accordingly, the information infrastructure will be fully equipped and incorporated with operational features, ensuring the security, stability and safety for the beneficiaries (including HOSE, Hanoi Stock Exchange, and the Vietnam Securities Depository).
Executed by the Korean Exchange, the project is at its height of the process. In the year 2017, HOSE completely built a project management structure, thus, sufficiently solved most of the most challenging problems in this project. Besides, the beneficiaries came to conclusion in regards of operational materials and necessary designs,

in other words, the project is ready to accomplish further stages in 2018. These stages are consisted of establishing specified materials for market participants, developing the system, implementing and inspecting the project.
In the year 2017, the beneficiaries and the head of investment had significant efforts in proceeding this project. However, as there are certain difficulties in cooperating different partners, as well as several requirements in terms of human resources and capacity. The project has received considerable attention from the executives of the Ministry of Finance, the SSC with the expectation for meeting the needs of the developing Vietnam securities market, in both depth and width. This is the significant supports for the parties to proceed the project in 2018.
The main purpose of this project is to optimize the process of monitoring internal information and documents. HOSE expects this project, once implemented, will sufficiently assist the administration procedures in the exchange, ensuring a digitalized and efficient information flows, therefore,

benefiting the capital market. Internal training and review programs were also being organized to prepare for the full implementation of ECM in 2018, attended by employees and executives of HOSE.

THE VNX50 DEMONSTRATED ITS POTENTIAL WITH NOTICEABLE GROWTH RATE AT

In 2017, following the development of the VNX-Index series, HOSE and HNX officially introduced the VNX50 Index, representing the top 50 largest stocks by market capitalization and liquidity combined from both HOSE and HNX. This year, HOSE also witnessed the establishment of ETF SSIAM VNX50, an exchange-traded fund managed by SSI
HOSE plans to launch Covered Warrant in 2018 to expand investment choice of the securities firms, and foster a diverse and sophisticated structure of the capital market. The Ministry of Finance (MOF) issued Circular No. 107/2016/TT-BTC (Circular 107) on the sale and trading of Covered Warrants, which was effective from 01/01/2017. Since then, HOSE has actively cooperated with the MOF, SSC, and the Vietnam Securities Depository to complete the necessary guidelines documents for the launch of the product. The trading systems of HOSE and related market participants are also well prepared, enabling the establishment of Covered Warrant to attract more foreign capital to the market.
After 06 years of establishment, the VN30 Index has remained to be the most effective investable index in the market. In 2017, the index was used as reference for the first futures contract operated in the Vietnam Derivative Market. Supported by impressive growth of the index, all of the ETFs tracking the VN30 Index showed solid growth in both market

Asset Management tracking the VNX50 Index traded for the first time on the Exchange. Launched on July 2017, however, ending the year, the VNX50 demonstrated its potential with noticeable growth rate at 34.47%. The VNXAllshare, the first Vietnamese common index also performed impressively, ended at 1,402.03 points, up by 48.31% y-o-y.
Furthermore, in 2017, HOSE cooperated with securities firms in the preparation process to become the issuer of Covered Warrants. Exclusive and in-depth training seminars for operation businesses were successfully arranged. In addition, HOSE and securities firms also provided several seminars for investors, focusing on product knowledge and investment analysis. At the end of 2017, HOSE was at the final stages of preparation and ready for the launch of Covered Warrant in 2018.

In the first quarter of 2017, HOSE submitted the project on corporate bond development to the MOF and SSC. Since then, HOSE actively cooperated with MOF on formulating a revised Securities Law along with further completing the legal framework on corporate bond in Vietnam.

14th April 2017: HOSE hosted the General Assembly of the Asian and Oceanian Stock Exchanges Federation (AOSEF) in Hochiminh City, Vietnam. This was the first time the AOSEF General Assembly is organized in Vietnam. More than 50 top executives from 14 member exchanges, 02 observers and representatives from international associations, joint the event.
9th November 2017: Canadian Prime Minister, Mr. Justin Trudeau visited HOSE, as a part of the Prime Minister's official visit to Vietnam in November. Attending the event were Canadian Ambassador to Vietnam, Vietnamese Ambassador to Canada and Canadian Consulate in Vietnam together with business representatives of the two countries. Welcoming H.E were Mr. Tran Van Dzung, Chairman of the State Securities Comission, Head of International Cooperation Department - Ministry of Finance and leaders of Hochiminh Stock Exchange.
At the ceremony, the Canadian Prime Minister Mr. Justin Trudeau struck the gong at the Hochiminh Stock Exchange as one of the formal welcoming custom.
From 6th - 8th September 2017: HOSE participated in the 57th General Assembly and Annual Meeting, hosted by the WFE at Bangkok, Thailand.
As an official member of WFE since 2013, in this event, HOSE and other financial institutions members of WFE gathered to discussed about the role of exchanges and financial institutons in fostering the global economic growth. This was also a special occasion for the members to enhance the connections in the region as well as world-wide.
15th December 2017: The delegation from the Korean Justice Party, leding by Mrs. Sim Sangjeung - leader of the party, was greeted by Mr. Le Hai Tra, HOSE Acting Chairman. During this visit, the executives discussed about matters relating to the securities market in Korea and Vietnam.
From 6th - 9th June 2017: HOSE cooperated with major listed companies and securities firms in Vietnam to greet the representatives from Laos financial sector, including leaders from the Laos State Securities Commission, Laos Exchange and listed companies. The main objectives of the visit were to exchange experience on market monitoring and promotion.

01st - 03rd March 2017: HOSE participated in the 26th ASEAN Exchanges' CEOs Meeting convened in Bali, Indonesia. The meeting reaffirmed the Exchanges' collaboration to promote the ASEAN Capital Market as an asset class. The ASEAN Exchanges intended to focus on harmonizing regulatory frameworks, facilitating issuance of ASEAN products, cross-exchange listing and mutual recognition of capital market professionals.

CORE VALUES OF HOSE'S SUSTAINABLE DEVELOPMENT ACTIVITIES
On July 2017, the VN Sustainability Index (VNSI) has made its debut, consisting 20 stocks having the best sustainability performance on HOSE. Through VNSI, HOSE aims to promote the application of Sustainable Development initiatives among the listed companies, attracting investment flows towards sectors which bring both economic and social benefits. Since its launch in mid-2017, VNSI had a stable increase at 25.64%, showing the stocks listed in VNSI were suitable with the companies' Sustainable Development objectives.
PROMOTING SUSTAINABLE DEVELOPMENT ACTIVITIES IN 2017
After HOSE officially became partner of the Sustainable Stock Exchange (SSE) Initiative in 2015, HOSE collaborated with HNX and the International Finance Corporation (IFC) to launch the Vietnam Corporate Governance Initiative (VCGI) at the end of 2016. This is an engagement platform for the market regulators to mobilize market resources and coordinate stakeholder efforts to improve capacity and enhance Corporate Governance (CG) by leveraging international best practices. In the year 2015, HOSE continued to provide knowledge on CG for market participants. Besides, HOSE also successfully incorporated with authorities, domestic and international associations to organize trainings, awards for listed companies as well as ceremonial recognition of women roles in CG.

HOSE has strived to develop HOSE's Corporate Governance (CG) in all of its activities to ensure trust and creditability for all market participants. We applied the international standards to serve as guidelines for establishment of organizational structure, which consists of the Board of Directors' (BOD) Committees for effective communication towards the Board of Management and the departments.
HOSE BOD's Sustainability Taskforce – an unit under BOD’s CG Committee - is responsible to enhance the quality of HOSE's CG as well as organize trainings and workshops to promote good CG practices, and Sustainable Development executive strategy for the market participants.

HOSE's revenues come from 03 main sources: operational activities (89%), providing services activities (6%), and financial investments (5%). The year 2017 witnessed a continued success for HOSE, with the robust increase of revenue, up by 68.2% y-o-y. The growth of market liquidity is one of the main factors for the significant rise in revenue from collection of transaction fees.
In 2017, the cost structure significantly changed from the last year, mainly due to the raise in market surveillance cost. The total cost of operation in 2017 was VND 294.4 billion, up by 28.6% y-o-y. Meanwhile, the cost of market surveillance took the largest contribution from total cost with 34.5%, salary and employee's payables were 23.1%, variable assets and depreciation of fixed assets were 17.4%, compensation fund for member was 4.3% and other costs was 20.8%. Along with the impressive market performance in 2017, the necessity and frequency of market surveillance become more crucial.
The contribution of HOSE to the State budget in 2017 was significant, due to the effective operational structure and the great market performance over the year.
In 2017, HOSE contributed to the State budget approx. VND 390.4 billion, increase by 108.3% y-o-y. The HOSE's contributions, consisting of earnings after tax (according to Decree No.91/2015/ND-CP of 13/10/2015) and income taxes, doubled in 2017 due to the robust increase in revenue.

ENVIRONMENTAL PERFORMANCE
Since 2016, HOSE has applied various ways to reduce the consumption of paper, especially in printing, through encouraging the use of digital documents and invitation letter along with raising employee's awareness. Thus, although in 2016 the total hosted events were higher and larger than 2015, the total paper consumption reduced, with 3.06 tons/year. In 2017, several strategies were applied to reduce the paper usage, however, to serve the demand of the significantly developing market, the paper consumption in 2017 increased to 3.6 tons/year, up by 17.7% y-o-y.
The total energy consumption in 2017 increased significantly from the previous year by 71.4%. This increase was due to the increase in operation and frequency of usage of the Office Building and DR Centre. The year 2017 was also a year of many important events, thus, bringing up the energy usage significantly. Apart from the increase of energy usage, HOSE always focus on saving energy by monitoring the usage situation frequently to ensure the energy was used efficiently and effectively.
Similar to the energy consumption, due to the increase of usage in the Exchange Tower and DR Centre, the total water usage slightly increased from last year. The water usage in the Head Office, however, downed by 27.3% y-o-y, due to the reconstruction of the building finished in 2016. In 2017, the total water usage of HOSE was 8,998m3, up by 1.7% y-o-y.
EMPLOYEES RECRUITMENT
EMPLOYEES WELFARE AND SALARY
Given the significant growth of the market, the total number of new recruited employees in 2017 increased by 48% to 2016. Due to the increase in demand of employees working in Information Technology Department, the number of male employees hired were higher than female employees. The rotation of human resources were also increased significantly due to working requirements and the necessity of knowledge improvement among HOSE employees. The rotation of human resources in 2017 were 7.5%, a desirable rate to enhance competitiveness, encouragement for new ideas and gender diversity.
The employees' salary and payables in HOSE have been complied with the regulations of the Government, which are based on tittles and job description and gender equal. Besides, HOSE has always secured its employee welfare, consisting of welfares, social insurance, medical insurance, and accidental
insurance. Not only compulsory welfare as regulated, HOSE has provided several beneficial programs for the employees, including annual health check, medical insurance, employees gathering to ensure the best working condition for the employees.

In order to meet the current demand of the securities market, in 2017, HOSE incorporated with a number of market authorities, international associations to host a number of training and education programs for market participants about the international good practice on standards in audit, information disclosure, and Corporate Governance. Some of the most noticeable training topics were the holding Shareholders' meeting, enhancing Sustainable Development, introducing GRI reporting standards, and preparing for the launch of Covered Warrants. Besides, also hosted a number of lectures on the securities market and new products in major universities such as Foreign Trade University, Banking University of Hochiminh City, University of Economics and Law.
Training and human resources development has been one of the top priorities at Hochiminh Stock Exchange, enabling skillful workforces for the development in the future. A total of 26 of training programs were held, suitable to the realistic situations and operated
with diverse topics. The average training hours were 22.6 hours per employee, up by 21% from 2016. As the training program for mid-management level and officer decreased in 2016, HOSE paid more attention for this segment, especially the officers working in operational departments.

DIVERSITY AND EQUALITY
The structure of HOSE human resources in 2017 was not changed much from last year, the total number of employees working at HOSE were 247 people. The%age of female among the organization was 43%, and among the executive management level were 57%. Over the recent years, HOSE has been receiving the attention of the young workforce, with the 22% increase in the group of under 30 years old employees, up by 2% y-o-y.

In 2017, HOSE actively created the corporate culture that encourages HOSE executives and staff to promote a friendly, caring and helpful working environment. In 2017, HOSE organized several events including internal trainings, workshops and community events.
SOCIAL CONTRIBUTION
As the human factor is considered as one of the most important factor for the development of the Exchange, HOSE always focuses in enhancing employees' welfare and working capacity. Various events were organized throughout the year, such as annual health check program, health insurance for employees and relatives, gym facilities and yoga sessions.
Moreover, the Union of HOSE also advocated in promoting employees welfare, encouraging the employees through physical and intellectual activities. Over the year 2017, the Union organised multiple internal events, celerating Women’s day, Children’s Day, traditional events for the employees and their families; and maintained financial supports for employees who were having birthdays, funeral, weddings or any difficulties.

Throughout the last 17 years of development, HOSE has always been advocate in supporting and developing communities, contributing to various funds for natural disaster, scholarships, gratefulness merit to the retired employees and soldiers, as well as many other charity activities. Besides, HOSE has been hosting a number of annual charity activities such as blood donation, charity trip in the Lunar New Year eve. With the mission to "CREATING SUSTAINABLE PROSPERITY" made by HOSE at the beginning of the year, HOSE and the Dragon Capital Group co-hosted a sustainable event in Nam Cat Tien national forest, planting 625 trees in this area.
