The President’s Letter

April 20, 2014

Dear Teammate and Friend,

Our team has grown leaps and bounds since our inception in 2009. It’s amazing

to think that we had our start as a small group of friends, and now we run as 250+

members spanning all boroughs of NYC as well as NJ -- and we participate in races

across the globe.

I can wholeheartedly credit the success of this running team to the amazing

commitments of our members -- whether achieving your own personal goals or bringing

good cheer and our competitive spirit to the greater running world.

Although the team has been growing for nearly five years, this Annual Report for

2013 is our first ever. In this document, we present to you our team philosophies,

running achievements, philanthropic efforts and stories of who we are.

As you read this report, please feel free to give us feedback and ideas. This team

was built on the help of volunteers and members stepping up and making the team

better.

I look forward to hearing from you. I hope that 2014 brings the Whippets

another great year, and sends us onward to another five more.

OUR TEAM The Dashing Whippets Running Team is a competitive New York City-based running team founded

on, and driven by, the diversity of our team members. With team members from all over the City, the country and the world, and with greatly different

running goals, we find unity in recognizing and appreciating each others’ differences, and in our mutual enjoyment of running and competition.

Our ambition is to help each other become the best runners that we can possibly be, and so that

we can fulfill our potential as athletes. Whether that means running a new distance for the first time, training hard to hit a PR, or tackling a marathon, ultra-marathon or a triathlon, our team spirit, expert coaches and training plans help our teammates achieve and exceed their goals.

As a team, we aspire to be a net contributor to our running communities by hosting multiple

training sessions per week for runners of all abilities and pace, maintaining a low annual membership fee that ensures we are open to all, cheering at races and giving back to the community through volunteering and fundraising for local nonprofit organizations.

We emphasize excellence in everything we do. We support one another’s efforts to observe a

healthy lifestyle through good nutrition habits, strength training, maintaining good muscle flexibility, injury prevention, and running faster. The Dashing Whippets consistently show very strong participation and strong performance at all New York area races.

Member Benefits

The benefits of being a member of the Dashing Whippets are numerous. In addition to the camaraderie at our runs and races and the social and competitive setting the team provides, member benefits that include:

● Access to our group coaching;

● Access to our organized training plans for a variety of distances from the mile to the marathon,

including specific plans for the New York City and Boston marathons, and the NYC and Brooklyn Half Marathons;

● Ten or more group runs and coached workouts in several locations in Manhattan and Brooklyn each week (we have multiple pace groups so nobody ever runs alone);

● Social and volunteer events;

● A weekly email newsletter with updates on upcoming social, running events and races and recent race results; and

● Well organized discussion groups on meetup.com and Facebook, where our athletes share ideas, discuss gear and shoes, and learn from each other;

We also seek to provide even more tangible benefits to our members, including:

● A 15% discount at Running Warehouse (get the code from our Meetup page);

● A chance to win one of several spots given to the team to run in the New York City Marathon;

● Chances to win great products from companies like Saucony, Brooks, and Smith Optics;

● Consultation and advice with DASH Physical Therapy. DWRT members are encouraged to post to our FB group or pages to ask any training or injury related questions and Marisa D’Adamo, DASH’s owner, is generally available on short notice to answer them.

● Participation in an extensive shoe testing project with Skechers, organized by our teammate Otto Lam. Participants received a free pair of shoes and have the chance to become a sponsored athlete and brand ambassador.

● Regular seminars from running experts, coaches and physical therapy professionals like DASH, Finish Line Physical Therapy, Liz Maiuolo, Alexander Technique, and Russell Stram, a team member and acupuncturist.

Financial Summary DWRT's finances remain strong. Our cash balance as at December 31, 2013 was $11,186. This

represented a decrease from the cash balance as at December 31, 2012 of $11,327, mainly reflecting a purchase of apparel. Revenue from these sales will be recognized in 2014.

The club’s primary source of revenue is membership dues. Our dues recently increased from $20

to $30. In 2014, the team will receive net revenue from apparel sales, through a small markup. Our main expenses include membership and insurance costs to RRCA and USATF, transaction fees, miscellaneous expenses to produce events, upfront purchase and printing of apparel, and special projects. Such projects include trademarking ($2,500 spread over 2013 and 2014), the DWRT track meet, and a DWRT road race, which the board would like to organize for 2015. The board seeks to maintain a year-end cash balance of at least $12,500.

The largest upcoming expenditure will be the road race, which may cost as much as $15,000

up-front to organize. The board is considering options for raising such funds, including fundraising and sponsorships, so as to minimize transfers from operations to fund the race.

without compensation. Dues and all other revenues are used for club activities.

The Year in Review

The running year 2013 featured many PRs and new team records, and saw the Dashing Whippets advance in the NYRR team standings deep into the single digits.

Team Standings

The DWRT men finished in seventh place overall in a tight finish with the New York Harriers and

just behind Warren Street Runners. The Whippet women also finished in seventh place, just behind Athena (by only two points) and ahead of VCTC (by two points).

Our men’s masters team was 12th place, just two points out of a tie for tenth and four points out

of a tie for 9th place. We came on strong at the end of the year, so hopefully we can keep that momentum going for a top-ten or top-five finish in this division for 2014. The women’s masters team came in a three-way tie for 19th place.

Our men’s 50+ team also came on strong at the end of the year. Although we only fielded a team

in six of the eleven races, we edged out Westchester Track Club for 11th place.

The Whippets had several standout performances as a team in 2013. The DWRT women won

awards at several NYRR races, including the Manhattan Half, NYRR 60k, and Colon Cancer Challenge 15k, second in the Marathon Tune-Up 18 Miles, Fred Lebow Cross Country Championships, and Bronx 10 Miler, third in the Israel Day Run and Healthy Kidney 10K.

The men’s team was second in the NYRR 60K and fourth in the Fred Lebow Cross Country

Championships. The Whippets won the coed division of the Wall Street Run.

Spectacular Individual Performances in 2013

The Dashing Whippets had numerous standout performances both on the road and on the track

in 2013. In the men’s division: Adam Balfour had a huge PR and team record in the Rock ‘n’ Roll Philadelphia Half Marathon in

1:12:42. He’s also has one of the fastest team times in the marathon in 2:39:42 in the 2012 Philadelphia Marathon and the team record for four miles (21:10).

Alex Arslan holds seven of the team’s records, including breaking Adam’s half marathon record in

the Richmond Half Marathon in 1:10:14 (5:21 pace). Alex also ran 15:38 at the Red Hook Crit and 15:31 at the DWRT track meet.

Two Whippets also had huge performances wearing the DWRT singlet. Jyrki Ruohomaki ran the

third fastest team time in the half marathon in the 2013 Brooklyn Half Marathon, in 1:14:03 in May before moving back to Finland -- where he thereupon ran the Finnish National Marathon Championships in 2:36:58, and placed fourth overall.

Will Guzick had several amazing performances before moving to Los Angeles. Will won the Race to Deliver 4M in 21:11, and won the Bay of Fundy Marathon in Maine in 2:40:51. Will also won the Central Park Marathon earlier in the year in 2:39:17, and ran a 2:36:55 in the Boston Marathon.

Jonathan Kline won his age group outright in five of his seven NYRR races. Jonathan was nominated as NYRR Runner of the Year in the M 50-54 age group, and was recognized in Runners World as a nominee for Masters Runner of the Year.

Chris Martalus served as a captain for most of 2013. Chris was able to consistently be one of the top performers on the team until injury setbacks later in the year. Chris ran the Fifth Avenue Mile in 4:48 and the Scotland Run 10k in 34:29 (a big PR).

Tommy Sung Pyon owns the team’s ultra marathon records. Tommy placed third in the 2013 NYC 60K race in 4:18:23. He also won the Great New York 100 mile race in 19:36:55, the Dirty German 50 mile race in 6:55:52. Tommy also won two six-hour events, the BUS 6-Hour Run and the 6-Hour 60th Birthday Run, with 49.31 miles and 45.58 miles, respectively.

Other Whippet men also put in great performances with Ned Cunningham, Dearon Panossian, Tim Plakas, Chase Eldredge, John Lenahan, Ning Zhou, Jon Weiss JP Desjardins, Xavi Giro, Greg Pezolano, and Andrew Hadro all putting in BQ performances.

Steve Wo, Tom Flanagan, and Terrence McGovern both showed huge improvements throughout the year. Kenneth Tom, Kevin Ghim, Joe Delano and Michael Alcamo also posted big PRs throughout the year as a credit to their hard work at DWRT training runs.

The DWRT women also had an awesome year. Our newest captain, Henrietta Aitken, ran a 5:37 in the Fifth Avenue Mile and a 32:49 over five miles at NYRR Team Championships. Henrietta also holds the team record in the marathon in 3:09:29 at the 2013 London Marathon.

Tessa Benau ran three PRs in her biggest races of the year. She set a then-PR of 1:31:27 at the NYC Half Marathon before breaking that with a 1:30:44 at Grete’s Great Gallop. Tessa then ran a PR of 3:16:29 at the NYC Marathon.

Francesca DeLucia set numerous PRs in 2013, running a 1:32:19 at the Brooklyn Half Marathon and 1:03:59 at the Ted Corbitt 15k. Francesca was the team’s number one runner at the 2013 NYC Marathon, in 3:12:58.

Meghan Gutekunst scored for the team in 10 races in 2013. Meghan ran 26:18 in the Autism Speaks 4M, 41:51 at the Scotland 10K Run, and 1:32:19 at the Brooklyn Half Marathon.

Emily Kaiser scored in five team points races, running 26:31 at the Autism Speaks 4M. Emily also PR’d at the 2013 Boston Marathon in 3:16:27.

Emi Yasaka scored in 5 team points races and ran a strong 1:34:55 at Grete’s Gallop Half marathon and 34:25 at Team Championships. She also won her longest race to date, the 6-Hour 60th Birthday Run, with 39.92 miles.

Sky Canaves also excelled over many distances, but particularly in the ultra distances. She was the second woman in the NYRR 60k in 5:06:15 and won the Great New York 100 Mile Running Exposition in 22:49:41. Sky won the New York Ultra Running Grand Prix championship, and was recognized by the NYRR for her exceptional ultrarunning record.

Michelle Mason was the team’s strongest masters runner and a very strong ultra runner. Most

recently, Michelle ran the Javelina Jundred 100 mile race in 25:49:17. Other female Whippets had great running years, including Emily Raisch, Tree Girolamo, Katie

Stiles, Angela Cheung, Catie Brennan, Meredith Tinkham, Emi Matsuyama, and Carrie Anderer, all of whom recorded Boston Qualifying times. Also, several other women had big years of PRs, including Katherine Yang, Meredith Mahoney, Liza Friedman, Hannah Ursillo, Caitlin Jones, and Soledad Lopez.

In our view, significant personal improvement is an achievement no less spectacular and important than a podium finish. In 2014, many of our teammates saw vast improvements in their running times, whether in marathons or in 5Ks and 10Ks.

Here are a few examples of our teammates’ significant advances in 2013: Stephen Wo improved very significantly, increasing his AG% in races 5k and above from 63.98%

in 2012 to 68.62% in 2013. Among his sandout performances was a 31:18 in a hot and humid Team Championship 5M race and a 1:26:20 (a PR with a 6:14 pace). Katherine Yang improved markedly in 2013, increasing her AG% from 51.44% to 61.24% in one year. Among her standout improvements was a 31:30 result in the Autism Speaks 4M, her first race under 8:00 per mile. Kevin Ghim also broke the 8:00 pace mark for the first time in 2013. He improved to a career best 56.97% AG at the Autism Speaks 4M in 7:53 pace.

Growth of Our Ultra Running Division

The running year 2013 saw a dramatic scaling up of our team’s participation in

ultramarathons -- with several outstanding performances at a number of key races. Dashing Whippets traveled all over the U.S. to participate in ultrarunning events, and were also solidly represented in the New York area. In particular, the DWRT had a strong showing at the NYRR 60K, which featured more than a dozen Whippet competitors, and many more teammates who came out in support of those running the nine 4-mile inner loops of Central Park.

More than a dozen Whippets ran more than one ultramarathon in 2013, and several ran

their first ultras in 2013. Otto Lam completed an astounding eight 100-milers in 2013, including a PR of 19:43:58 at the Umstead 100 Mile Endurance Run in North Carolina. Joe Del Conte ran more than a dozen ultras, including strong finishes at the extremely challenging Leadville and Virgil Crest 100 milers.

Lan “Tiger” Nguyen won the women’s title outright at the Ted Corbitt 24-Hour Race, logging

109.69 miles. Lisa Cao, Jackie Choi, Joe Delano, Talisa Hayes, the peripatetic Hideki Kinoshita, Michelle Mason and Atsede Aemro-Selassie also completed multiple ultra events.

Due to the particular demands of running ultra distances, special support is often needed

for a race to go smoothly. Throughout 2013, Whippets repeatedly and consistently came out to help teammates reach their ultrarunning goals by providing transportation, pacing and crewing assistance. As a team, we strive to continue to provide an encouraging environment for experienced and aspiring ultrarunners to train and race together.

Triathlon Division

An increasing number of Dashing Whippets have distinguished themselves in triathlon competition. In 2013, Emily Thompson ran the Lake Tahoe Ironman, and Maggie Zhang ran the Mont Tremblant Ironman. Each also ran numerous significant triathlons at other distances.

Other Dashing Whippets competing in Sprint, Olympic and Half-Ironman races in 2013 included:

Michael Alcamo, Juan Becerra, Ab Brody, Sam Burlingame, Anthony Chan, Jason Connolly, Daniel DeLuna, Emily Kaiser, Steven T. Lee, Warren Wei-Jen Lim, John O’Brien, and Keri Ouellette. Going into the 2014 season, the team has numerous individual and relay teams registered for the 2014 New York City Triathlon and races throughout the calendar.

OUR COACHING PHILOSOPHY Coaching for the Dashing Whippets is provided by a committee with Scott Batten coordinating

and developing the majority of the training plans. Matthew Wong prepares the marathon training plans, and Simon Durkin (RRCA and USATF Level 1 certified) provides feedback on plan details as well as the overall training program. Alexander Arslan and other Dashing Whippets team leaders offer support and guidance at key workouts.

Because our members have a diversity of interests and goals, the team has two or more training plans running concurrently for most of the year.

Marathon plans: Our spring marathon plan is developed primarily for the Boston Marathon and

one other race that has a core team contingent. In 2013 and 2014, that was the New Jersey Marathon; the 2014 New Jersey training plan had intermediate and advanced plans.

Our fall marathon plan focuses on the New York City Marathon in November. This plan includes

several key team runs, such as a course preview run and a team metric marathon, to provide as many opportunities as possible to simulate the conditions of the NYC race.

Dashing Whippet marathon plans are usually 18 weeks long with the first 6-8 weeks focusing on

developing strength and speed, a second eight week phase working on specific marathon paced training, and a two to three-week long taper.

Shorter distance training plans: As popular as marathons are, shorter distances are even more well attended by our members. Dashing Whippets coaches publish training plans for eleven NYRR club points races throughout the year. These range in distance from the Fifth Avenue Mile to the Brooklyn Half Marathon, and encompass numerous races from 5K to 15K.

Our team training plans for shorter distances are typically 6 to 10 weeks, with recovery periods included to allow athletes to maintain fitness without risking overtraining. Our workouts employ a mix of hills, tempo runs, long aerobic pace runs, short fast intervals (with long rest), and long moderate intervals (with short rest) to develop each runner’s speed.

Workout support: Each event on the team calendar has an objective, even if it is as simple as a recovery run. Key sessions scheduled for Tuesday, Thursday and weekends often have detailed recommended workouts that reflect the training plans currently in effect.

Run leaders adjust the workout to current conditions and the goals of the individuals in attendance. They plot the course of the training run, and, when appropriate, break attendees into groups based on training pace. At our most advanced sessions, a run leader may guide the group through warmup exercises, lead drills to improve strength and coordination before and after the workout, and even track the times of runners as they complete the core part of the training.

The Dashing Whippets provide the structure. But it is our members who actually provide the motivation and encouragement for each person to rise to his or her potential. Athletes who thrive under our coaching are the ones who are personally driven to reach the next level of performance.

Our value is in providing a well-tested set of workouts, with training partners that have similar goals, all within the context of hosted runs that are friendly and encouraging to all.

Our Board of Directors and Captains Adam D.J. Balfour

Adam D.J. Balfour has served as a member of our Board since August, 2012. In 2005, Adam moved from his native Scotland o the U.S. attend law school. Professionally, he advises corporations and boards of directors on transactional and governance matters. Adam brings to the Board his keen professional insights and his desire to become stronger and faster.

Blaise Chow, Secretary

Blaise Chow is a partner at Ropers Majeski Kohn & Bentley, where his practice concentrates on

employment law and corporate governance. A team member since August 2010, Blaise’s objective is to qualify for the Boston Marathon (his current PR is 3:29) -- and we know he will. Simon Durkin

Simon joined the Dashing Whippets board in August 2012. A USATF-certified coach, he works at

New York Road Runners as manager of youth events, organizing races and fitness workshops. Simon took up running in his thirties. Training for his first major race, a half-marathon in San Francisco was a life-changing experience. Simon is a passionate cheerleader for the team and leads the team’s philanthropic and community service activities.

Rich Hsieh, Co-Founder, President

Rich co-founded the Dashing Whippets in May 2009. Rich currently works as Lead Software Engineer at Meetup.com. This explains why DWRT consistently wins awards for our versatile technology backbone and exceptional web presence. Rich holds a Computer Science degree from Brown University. Rich has run five marathons (PR 3:15) and four triathlons. He hosts the team’s runs in Prospect Park, and he is an accomplished brewmeister.

Jennie Kelly

Jennie joined the Dashing Whippets in June 2009. She works as a physician assistant practicing

orthopedic oncology and emergency medicine. Her initial motivation for running was to train for a marathon to raise money for the Michael J. Fox Foundation’s grass-roots fundraising team. Jennie and her family hold an annual road race in Cornwall, NY to raise money for Team Fox, in which the team annual participates.

Amy Smitherman, Treasurer

Amy has been a member of the Dashing Whippets since 2009. Amy holds a bachelor's degree in Art History and business and a graduate degree in Non-Profit Management, and works as the Director of Finance for Homes for the Homeless, Inc. We are fortunate to have her expertise assisting the team with financial management.

Matthew Wong, Co-Founder, Vice President

Matt co-founded the Dashing Whippets Running Team in May 2009. Matt has been running since joining his high school cross country team. Matt has completed three marathons with a 2:57:24 PR at the 2013 Boston Marathon. He ran a 4:51 mile at the 2011 Fifth Avenue Mile, and a 1:21:16 half marathon in the 2013 NYC Half Marathon. Matt holds a BA in Economics from Trinity College and an MPA from the University of Connecticut. He works at Assured Guaranty.

Captains

Henrietta Aitken

Henrietta has been a Whippet since early 2012. She started running as cross-training for rowing while at Oxford University, where she later dabbled in triathlons. When she moved to New York, she started purely focusing on running and racing. Her favorite distance is the half marathon, and she ran a 1:26 PR at that distance in September 2013. Henrietta manages corporate communications strategies for tech companies.

Scott Batten

Scott has been a Dashing Whippet since 2009 and has served as a team coach since 2010. His

focus is on helping runners improve at races shorter than the marathon, with a particular emphasis on developing speed at the 5K to 15K distance. Brad Hudson, Matt Fitzgerald and Renato Canova have been the most influential on Scott’s training plans. He is a graduate of the University of Pennsylvania, and works as a systems analyst for The City of New York

David Parkinson

David has been a member of the Whippets since 2012. He took up running while earning

his BA at Georgetown University. Since joining the Whippets, he has twice PRd in the marathon with a current best of 2:58:13 in Chicago in 2013. His most significant PR, however, occurred at the 2013 NYC Marathon; at the finish line he proposed to his now fiancée Meredith Tinkham. David holds a JD from Columbia Law School and works in financial regulation.

Katie Stiles

Katie joined the Dashing Whippets in 2012. Originally from Ohio, she earned a B.S. from Lehigh

University and a PhD in Cell and Molecular Biology from the University of Pennsylvania. Katie is currently a Research Fellow at Albert Einstein College of Medicine in the Bronx, where she studies mosquito-transmitted viruses. When she's not running, you can find Katie enjoying one of the many restaurants in the city.

Patricia Tirona

A committed Dashing Whippet, Patricia hosts many of our team runs, including Thursday

night, Central Park, and downtown runs. Patricia is a tireless cheerleader for the team and is dedicated to helping all of our runners improve. With professional expertise in fabric design, Patricia leads our efforts to develop attractive, sensible and comfortable team running apparel. Patricia holds a degree in art history from the University of Washington.

Stephen Wo

Stephen joined the Dashing Whippets in May 2012. He works as a high school history teacher in

Brooklyn, N.Y. Prior to joining the Whippets, running a marathon was on Stephen's bucket list. Since being with the Whippets, he has completed 3 marathons with a 3:07:21 PR at the 2013 NYCM. He hopes to run a sub-3 hour marathon and qualify for the Boston Marathon. Stephen co-hosts many of the team’s Brooklyn runs.

Our Tradition of Community Service and Philanthropy A key hallmark of the Dashing Whippets Running Team is our shared commitment to community

service and philanthropy. Most of our members work with charities on their own, and many run to raise money for these non-profit endeavors. As a club, we frequently make significant commitments to national and international charitable efforts.

Many of the charities we supported in 2013 are listed on our Crowdrise site:

❏ We raised $1,245 in June 2013 at our annual Cheer-Raising for Back on My Feet, a charity that uses running to help homeless persons change the way they see themselves, so they can find employment and live independently.

❏ We assisted Philippine Typhoon Haiyan disaster relief by raising $2,718 in the Run for the

Philippines.

❏ We raised $1,775 for St. Jude’s Children’s

Hospital, in a tribute to our teammate and friend Rob Petrocelli.

❏ In September 2013, we competed as a team in The RiverView Run, organized by our teammate Jennie Kelly and her family. The RiverView Run raises funds to support the Michael J. Fox

Foundation for Parkinson’s Research. The race raised $30,000.

❏ In December, we competed in the NYRR’s

annual sneaker drive to benefit NYRR’s youth programs. We out-raised all other teams with our combined contributions of $3,235. This gift allowed the NYRR to purchase 65 pairs of fast, new running shoes for its young runners.

Many Dashing Whippets are also individual leaders in their own charitable efforts. These Whippets draw upon the team spirit of our membership when they make individual commitments to charitable endeavors. We would like to recognize just a few notable accomplishments:

❏ Dashing Whippet Frederic LeCao is a Junior Board member of Orphans’ Futures Alliance. Through

his running in 2013, Fred raised $7,000 for OFA.

❏ Teammate Martina DiMarco ran to make a difference -- by taking on the New York City Marathon. Martina raised funds for FACES: Finding a Cure for Epilepsy and Seizures, a program at New York University.

❏ Jason Connolly ran to raise funds for victims of Philippine Typhoon Haiyan. Jason raised $830, which was generously matched by his employer, Scripps Networks. And, in October 2013, Jason participated in The Walk to End Alzheimer’s, raising $1,300.

❏ In September, teammate Jennie Kelly and her family held their fourth annual River View Run to benefit the Michael J. Fox Foundation for Parkinson's Research. This challenging Run included a 5K and a 10K race through some very hilly terrain.

❏ Board Member Simon Durkin ran the Atlantic City Marathon to benefit NYRR’s Youth Programs, and raised $2,752, well ahead of his goal.

❏ Daniela Alvarado ran to raise funds for a close friend recovering from a traumatic brain injury after a cycling accident.

❏ Hideki Kinoshita is running to raise $30,000 for the Pancreatic Cancer Action Network, in honor of several family members he has lost to pancreatic cancer. Commencing in 2012, Kino made a multi-year commitment to run both sub-4:00 marathons and sub-3:30 marathons in all fifty states and D.C. As of April 2014, Kino has run sub-3:30 marathons in twenty states and D.C. and has raised $17,000, or 54%, of his fundraising goal.

❏ DWRT Board Member Blaise Chow serves on the Board of Apex for Youth, which supports Asian families and students of modest means. Blaise ran the 2014 NYC Half Marathon for the organization, raising $2,500. DWRT teammate Alice Lai also ran the 2014 NYC Half for Apex for Youth, raising $4,000.

❏ Team Co-Captain Katie Stiles ran the 2014 Boston Marathon, and raised $1,060 for the Michael J. Fox Foundation for Parkinson's Research, well exceeding her goal.

Our Objectives for 2014 and 2015

In looking ahead to 2014 and 2015, the Board seeks to plan conservatively, recognizing that we are a young club, and must do what we can with often limited resources. Here is a summary of our current operating activities and our plans for the team’s future:

In 2014, we expect income of about $3,000 from our annual dues. In addition, our successful annual Dashing Whippets Track Meet brings the club around $500 in income, with associated expense at about the same level; thus, the event is cash-flow neutral. The club now sells running apparel directly to our members through JackRabbit on West 14th Street. For 2014, we expect the total volume of apparel sales to be around $2,500. Costs will be in the range of $2,300, so approximately $200 comes to the club.

Our expected operating costs for 2014 include annual costs for our RRCA membership, insurance, legal expense in protecting our trademark, transaction fees on dues, and the up-front costs of organizing a road race, which we plan for 2015.

Our additional long-term strategic objectives include:

❏ building a capital reserve, ❏ funding the travel and participation of our top athletes at several national events, ❏ increasing our annual income from charitable contributions, ❏ developing key team sponsor relationships, and ❏ developing other revenue streams.

Dashing Whippets Running Team

Code of Conduct Members shall control their conduct during club workouts, activities, and at races whilst at all

times being respectful to all teammates and opponents and shall conduct themselves in a manner that will ensure the safety of others so as to not reflect negatively on the club and its members.

Members shall choose their words carefully and shall refrain from talking negatively about others

when interacting with teammates, other running clubs and opponents when at club workouts, activities, races, or via the Internet in public forums.

Members shall conduct themselves in a manner that will ensure a comfortable and welcoming

club environment. Members are expected to interact with all persons in a manner that avoids behavior that could be construed as discrimination or sexual harassment. Sexual harassment is defined as “Unwanted sexual advances, or visual, verbal or physical conduct of a sexual nature.” Members are expected to respect the age, religion, ethnic background, gender, and sexual orientation ofother members. Members are to recognize that the club operates as a sport and social club, however also are to understand that discrimination or unwanted and/or continued advances toward other members will not be accepted and that all members have the right to an environment free from all forms of discrimination, including sexual harassment.

Members should acknowledge the accomplishments and efforts of others, encouraging all

teammates and opponents to excel whilst keeping in mind you represent the club as an ambassador to the community at large.

Members are responsible to ensure that this Code of Conduct is followed and are expected to

report any inappropriate actions or behavior to a club officer. Membership may be terminated by resignation of a member, or by a majority vote of the club

officers for violations of this Code of Conduct.

BYLAWS OF THE DASHING WHIPPETS RUNNING TEAM, INC. I. TITLE A. The name of this association shall be "DASHING WHIPPETS RUNNING TEAM, INC.". Hereafter

referred to as "this association", or "this organization", or "DWRT". II. OBJECTIVES A. The objective of this association shall be the promotion and encouragement of running for

health, recreation and competition, for runners of all ages and abilities, primarily in the New York City metropolitan area.

B. In furtherance of objective A above, this association may hold championships, races on the

road, trails or track, lectures, fun runs, educational activities, demonstrations, clinics, social events, and provide assistance to other similar organizations within the area. This organization may publish books, magazines, newsletters, photographs, video's, reproductions, present awards, and do all things as may be conductive to the encouragement of running.

C. Other objectives are to engage in community and surrounding area activities of this and

surrounding counties and to encourage and publicize the benefits of running as a means of physical fitness.

III. AFFILIATION A. This association shall be a chapter of the ROAD RUNNERS CLUB OF AMERICA, or similar

organization, and all measures adopted by that organization must be considered by this organization. Hereafter, that body may be referred to as RRCA.

IV. MEMBERSHIP A. Individuals who wish to participate in the activities of this organization will be asked to submit

dues, sign a waiver form, and an application for membership. V. MANAGEMENT AND GOVERNMENT The management of this organization shall be vested in a Board of Directors, consisting of a

President, Vice President, Secretary and a Treasurer, and other Board members as are deemed necessary.

meetings, will appoint committees and chairperson's thereof. b. Vice President – in the absence of the president, preside over meetings, represent this

organization in the RRCA, call any special meetings, will appoint committees and chairperson's thereof. c. Treasurer- will oversee the income and expense of the organization, will have the authority to

sign or disperse necessary funds in all business matters of the organization, and will give authority to any and all funding matters in this organization.

d. Secretary- will answer inquiries from the public regarding the club, to keep club members

informed of club activities, will keep an updated membership list with contact information, keep minutes of all meetings, and will be responsible for club communication with the RRCA or other organizations.

e. The President, Vice President, Secretary, and Treasurer will have the power to assume each other's duties and function in the same capacity as the other does.

f. Officers should attempt to maintain the DWRT's insurance coverage and its non-profit status. D. ELIGIBILITY

a. Officers may be elected to succeed themselves. One person may fill more than one Officer

position, if necessary. Any member in good standing may become an officer.

E. TERM OF OFFICE

a. Term of office shall be two years. Term of office for both officers shall not be limited. If an office becomes vacant due to resignation the term of Office for new replacement officers will end when the original office term was due to end. Officers will serve until the first meeting held within a calendar year.

F. ELECTIONS

a. Officers shall be elected by a majority vote of those present at a business meeting.

G. REMOVAL

a. Any officer may be removed, for cause, by a vote of a majority of the officers then in office, at any special meeting of the board called for that purpose.

H. RESIGNATION a. Any officer may resign from office at any time by delivering a resignation in writing to the

president of the board of Directors, and the acceptance of the resignation, unless requirement by its terms, shall not be necessary to make the resignation effective.

I. COMMITTEES OF THE BOARD a. The Board, by resolution adopted by a majority of the entire Board, may establish an executive

committee or other standing committees. The President of the Board of Directors shall appoint the chairperson of each committee. Each committee so appointed shall consist of one or more directors and to the extent provided in the resolution establishing it, shall have all the authority of the Board except as to the following matters:

i. Filling of vacancies of the Board ii. Amendment of the repeal of the By-laws or adoption of New Bylaws J. PROCEDURAL REQUIREMENTS a. Parliamentary procedure shall be carried out at all formal meetings, and every effort will be

made to discuss any measure coming before the group. b. A majority vote of the members present is necessary to pass ordinary measures. All measures

shall be deemed ordinary except proposing a constitutional bylaws amendment. c. A quorum shall consist of at least three members, which can be Officers. d. Bylaws Amendment i. A bylaw amendment may be accomplished by a vote of two-thirds vote of the members

present at the meeting with full agreement of the quorum body. ii. Any current member of the board in good standing with the DWRT may vote on any proposed

matter or amendment. iii. All members shall be notified at least 7 days in advance prior to voting on any bylaw

amendment or addition, or discussion thereof of said amendment or addition. iv. Meetings will be held at least once a year or more often as deemed necessary to conduct

organizational business, as determined by the President. VI. FINANCES

A. Dues shall be determined by a majority vote of the members present at a business meeting and

shall not be charged more than once during the calendar year. B. This is a non-profit organization. Dues, entry fees and any other monies collected for the

organizational purposes shall be entirely spent on carrying out the stated purposes of this organization. C. No part of the net earnings of this organization shall inure to the benefits of its individual

members, unless that individual member is being paid to work for a running related event that will result in monies potentially being brought into the club.

D. This organization shall be empowered to participate in fundraising activities. E. This organization may submit a portion of its annual dues, described in A above, to the RRCA,

or similar organization, as membership in that body shall require. F. A statement of the organization's financial situation shall be made available to its members at

least once each year. VII. DISSOLUTION A. Upon dissolution of this organization, funds in the treasury and net assets, after all creditors

have been paid, shall go to the Road Runners Club of America or other 501 (c) (3) non-profit organization, to be determined by this organizational management. Upon dissolution, the net assets of the DWRT shall not inure to the benefit of any private shareholder, individual or corporation but shall be distributed to one or more organizations organized and operated exclusively for charitable, educational or other purposes as shall be at the time qualify as exempt organizations under Section 501 (c) (3) of the Internal Revenue Code.
