At such time as this Company receives an ASI® Supplier Identification Number (“Number”), and the parties intending to be legally bound, it is agreed to as follows:1. I am authorized to bind the Company to the following terms and conditions. The use of “My”, “You”, or “Your” shall mean you or

the Company for which you are accepting this Agreement. For all the services You select and pay for, You receive a limited, non-transferable, non-commercial and non-exclusive license to access and use the services (the “Services”). You may be required to accept additional terms and conditions depending on the Services selected. If there is an inconsistency between this Agreement and – the specific product terms and conditions, the specific terms and conditions will control.

2. I have reviewed this Supplier information Form and represent that the data contained therein is true and correct, and is an accurate description of the Company’s policies, resources and products marketed via specialty advertising distributors.

3. The Company understands and agrees that ASI will rely on the data and that all or part of the data, together with the pertinentinformation concerning the Company, which ASI is authorized to obtain from ASI suppliers, will be set forth in the appropriate database(s) and other reports and literature furnished to ASI distributors and other people and entities. ASI may, from time to time, request written or oral verification of the data and if not given to its satisfaction, ASI may withdraw the affected data from future database(s), reports and literature. ASI may also obtain information from You and/or distributors relating to Your business operations such as performance and quality of services and products. Upon request, the Company will promptly and accurately complete, sign and return to ASI periodic supplier listing updates and similar documents. If ASI determines that the Company: is no longer actively and regularly engaged in the business as stated in its listing application or update, fails to provide requested updates, fails to meet listing requirements or conducts itself in a manner that is detrimental to the industry or distributors, ASI, in its sole discretion, may de-list the Company . The Company may also be delisted if it fails to pay outstanding ASI invoices. By applying to be a part of ASI, You authorize ASI to perform any due diligence investigation it deems appropriate to verify the information provided.

4. The Company further understands and agrees that any Number that may be licensed to the Company is a part of the ASI confidential, proprietary and copyrighted supplier numbering system. The Number may be used ONLY as follows, and as further clarified in the ASI Logo Sheet, and for no other purpose:

A. To identify publicly distributed specialty advertising promotion material (such as media ads, catalogs and samples) that do NOT set forth the Company name (other than the line name), address or phone number.

B. To identify those specialty advertising materials that set forth the Company’s address and phone number, but only if such materials are intended SOLELY for specialty advertising distributors and those of their employees or representatives authorized to receive such materials; and

C. The Number is for use SOLELY in connection with the conduct of the Company’s business as a supplier in the specialty advertising market and for use SOLELY by the Company, and may not be assigned, transferred or otherwise made available for use by any other entity or individual, nor shall the Company take any action to indicate that it has ownership of the Number. Upon demand by ASI, the Company shall immediately cease using the Number.

D. Your assigned ASI Number and listing in ASI databases, publications and services require that the Company comply with ASI membership requirements and pay membership dues. If You, any principal or the Company continue to use an ASI number after the Company has been delisted by ASI for any reason, You, any principal and/or the Company shall be responsible to pay ASI $5,000 for each quarter of the year or portion thereof that You, any principal or the Company continues to use an ASI number. You, any principal and/or the Company will be responsible for all costs incurred in collecting this fee. Any action under this provision is in addition to any and all other rights and remedies either in law or equity that ASI may bring to protect its rights.

5. The Company further agrees: to maintain the confidentiality of all proprietary, confidential databases or other copyrighted information,including the ASI numbering system (collectively “Information”) received from ASI; not to copy, in whole or in part, or prepare any other work from such Information; not to transfer such Information to any electronic or mechanical addressing or data processing system; to use such Information only in connection with its business as a supplier of specialty advertising products and will not furnish such information, in any form, to any other company or Individual. The Company will not use any Information or the services or products it licenses from ASI to compete with ASI or any of ASI affiliates. Should Your Company license a service or product from ASI or an ASI affiliate, it will be used in accordance with the terms and conditions of the service or product. ASI shall be entitled to pursue any and all remedies at law or in equity for any breach of these terms.

6. In the event the Company breaches any of these terms and conditions, or in the event any of its representation contained herein is not true and correct, ASI, at its sole discretion, may, in addition to its other legal remedies: delete the Company’s listing from the ASI Advertising Specialty Register® and other reports, databases and literature; withdraw permission to use the Number and/ or discontinue other ASI services. Upon request, the Company shall immediately return to ASI, all ASI confidential proprietary or copyrighted materials, including copies.

7. All those individuals listed in the Supplier Information Form as a “Principal Company Executive,” “Primary Contact” or any officer,partner or owner of the Company, as well as those individuals who may be added from time to time by the Company in the aforementioned positions, may be relied upon by ASI to have authority to represent and make changes on behalf of the Company in connection with the data in the Supplier Information Form unless and until ASI receives notification in writing from the Company that such individual does not have such authority.

8. The products You offer for sale must be imprintable. Your Company must have a physical address in North America. P.O. Boxes, UPSStore locations and similar type addresses do not qualify. Your Company must have customer service that can take orders and resolve ASI distributor issues. Additionally, You must have office hours to address distributor issues that cover an eight hour work day in North America.

9. ASI reserves the right, in its sole discretion, whether to approve any listing application.10. As a supplier member of ASI, ASI shall list supplier’s products and Company information in appropriate databases. As part of Your

membership, ASI will list up to 500 product numbers in the appropriate databases. For each additional product number in excess of 500, You will be charged $0.20 per month. The same limits apply to Your ESP website. The product and company information will be updated in accordance with the supplier’s level of advertising and marketing activity with ASI.

11. CHANGE IN TERMS. Except for the annual membership fee, ASI may make changes to this Agreement after providing You withthirty (30) calendar days notice. This change will be sent to You electronically or by other means. If the change is not acceptable to You, You may terminate this Agreement by providing ASI with fifteen (15) calendar days written notice and receive a pro-rated refund. Continued use after these periods shall be considered acceptance of the new terms. The annual licensing fee for services may be changed only upon the annual renewal.

12. LICENSE. Acceptance of my (the use of “my,” “you” or “your” shall mean you or your Company for which you are signing thisAgreement) enrollment is subject to my being “listed” by ASI. ASI grants and you accept a limited, non-transferable and non-exclusive license to use the Services described herein that are provided and/or selected for your business purposes as a supplier in theadvertising specialty industry. You shall not use or permit others to use the Services selected for any other person or entity. For online Services selected, the individual named user will be provided a personally assigned license code and password for their exclusive use. If you are provided a license code, user-name or password for the Services selected, you shall not share your license code, user-name or password with any other person inside or outside the Company. Only employees of your Company may be assigned a user-name and password and have access to the Services selected. If you become aware that any unauthorized person or entity is using a user name and/or password that has been assigned to you or one of your employees, you shall immediately contact ASI to be issued a new password. You shall not translate, de-compile, modify, rent, lease, or reverse engineer the Services selected. Other than standard installation, you may not download the Services selected or material to any electronic storage device. You must not use the Services selected to compete with ASI or its affiliates, or operate a service bureau. You may not create or develop services or assist others in creating or developing services that compete with the services selected. From time to time, ASI will send you special service offers for your billing acceptance.

13. ESP WEBSITESTM AND OTHER SERVICES (if selected). The provisions set forth in Section 12 apply to all ESP Website licenses.A. As part of Your ESP Websites service, ASI grants and You accept a limited, non-transferable, non-commercial and non-exclusive

license to access and use ASISecure® for Your business purposes. You shall not use or permit others to use ASISecure for any other person or entity. You shall not share or provide Your ASISecure password with/to any third party or entity. You shall not download, translate, decompile, modify, rent, lease, or reverse engineer software or information from ASISecure. You shall not use information from ASI Secure to create databases or to create a service bureau.

B. ASI PROPRIETRY INFORMATION. You shall not use ASISecure or Your ESP Website to compete with ASI or its affiliates. You acknowledge that ASISecure contains material that is generated from copyrighted and confidential and proprietary databases and are licensed for use ONLY in connection with the conduct of Your business as a Supplier in the promotional products/advertising specialty industry. ASISecure is provided only for the Company’s exclusive use, and will be kept confidential by the Company. The Company accepts full responsibility for its authorized use. Any material on ASISecure or portions thereof may not be reproduced, transferred to machine-readable for or to electronic or mechanical storage devices or systems or may the material be rented, sold, loaned, exchanged, or transferred or disclosed outside the Company without the authorization of an ASI officer.

C. CATALOG PROCESSING/SELECTION. Any product information that appears on ESP Websites will be those that appear on the ESP. ASI attempts to process all catalogs in a timely fashion; however, because of the volume, catalogs are not always processed as quickly as ASI or You would like. ASI will not be held responsible if Your catalog is not processed as quickly as You would like. To assist us in processing Your catalog, please promptly furnish us with Your catalog as soon as it is printed. Distributor ESP Website participants have the option to select the suppliers that appear on their ESP Websites.

14. DISCLAIMER. ASI SHALL NOT BE RESPONSIBLE FOR ANY CLAIM OR DAMAGES ARISING FROM OR CONNECTED WITHANY INACCURATE OR INCOMPLETE INFORMATION DELIVERED FOR YOU THROUGH THE SERVICES, ASI SHALL NOT BE RESPONSIBLE FOR ANY APPLICATION OF ANY DATA, PRICING OR RESULTS, INTENDED OR UNINTENDED, OBTAINEDTHROUGH THE USE OF THE SERVICES PROVIDED. ASI SHALL NOT BE RESPONSIBLE FOR THE CORRUPTION OF ANY OF YOUR DATA, SOFTWARE OR EQUIPMENT WHEN USED IN CONJUNCTION WITH THE SERVICE. THE SERVICES ARE PROVIDED “AS IS.” ASI DISCLAIMS ANY AND ALL WARRANTIES WHETHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY FOR INFORMATION, OR NON-INFRINGEMENT. IN NO EVENT SHALL ASI BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST REVENUES OR PROFITS REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ASI HAS BEENADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE MAXIMUM LIABILITY OF ASI EXCEED THE ANNUAL AGREEMENT FEE.

15. SYSTEM AVAILABILITY. ASI will make reasonable efforts to ensure that the Services are available during normal business hours. ASI will make reasonable efforts to ensure that access to the Services are available. However, You understand and accept that for technical,human error, loss of utilities, flooding, Internet disruption and/or maintenance reasons, the Services will not be available seven (7) days a week and twenty-four (24) hours a day, and that ASI shall bear no responsibility for such downtime.

16. TERMINATION. ASI may cancel this agreement if You breach any provision of the Agreement. You agree to promptly notify ASI of any changes in ownership of the Company. UPON TERMINATION OF THIS agreement or expiration of this agreement, the company will cease use of the Services. All reservations subject to ASI credit review and approval. Upon cancellation, one-time fees, such as setup and service fees and any/all additional prep fees billed prior to cancel notification are non-refundable. ASI reserves the right to reject or cancel any advertising or content for any reason at any time. Supplier shall indemnify, defend and hold ASI harmless against any cause of action, claim or expense, including attorneys’ fees and court costs, arising from publication of supplier’s material based on samples or information furnished by the Supplier including, without limitations, any patent, trademark, copyright or similar infringement action or dispute or any other cause of action between or among suppliers, distributors, distributor clients and/ or third parties that might arise as a result of such information or photos appearing in Supplier’s database presentation(s). If ASI receives a complaint that Your material may infringe on another person’s or entity’s intellectual property rights, ASI may remove the alleged offending material until the matter is resolved.

17. ASI CONNECT AND/OR WITH PROSPECT HUNTER (if selected).A. Electronic lists may only be used in accordance with the type of license You select. Depending on the fee paid, You have licensed the

electronic list to make a single distribution, to update Your internal database or to update Your internal database and make a single distribution.

B. The electronic list and the data therein is obtained from ASI confidential, proprietary and copyrighted information and may not be copied, reproduced, rented, sold, transferred or disclosed, to any other party for any reason, nor transferred to any electronic or mechanical addressing or data processing system, except as otherwise provided herein. You may only use the electronic list in conducting Your business as a supplier, service provider or distributor in the promotional products industry. You may not use the electronic list to compete with the products or services of ASI, its affiliates or licensees.

C. If You license the electronic list for updating the internal database of Your company, it may not be used in any manner or form by any other party or by a subsidiary or affiliate of the company named above. If You use the electronic list to update Your internal database, You may not use that internal database for purposes of making distributions unless You have paid additional fees for such use. If You licensed the electronic list for distribution purposes, You may only make a single distribution. The distribution must be made within ninety (90) days after executing this Agreement.

D. If any data from the electronic list was transferred to an electronic or mechanical addressing data processing system or any other type of storage device for purposes of making a distribution, it must be removed and destroyed. You and the Company for which You are signing this Agreement agree to provide a certification so stating, upon request by ASI.

E. Each unauthorized use or access to the data contained on the electronic list or in Connect shall result in a charge of $1,500.00. If ASI is required to take legal action to recover the fees for unauthorized use or access, You agree to reimburse ASI for these costs including, but not limited to, reasonable attorney fees. In addition to the unauthorized use or access fee and legal fees, ASI may also seek other damages and penalties available in law and/ or equity. Any breach will be deemed grounds for cancellation of the license. Upon such breach, You shall immediately return the electronic list or the Connect information to ASI and the data contained therein. The data contained in the list or in Connect is compiled from sources whose ability to provide timely or accurate information ASI does not control. In furnishing this information, ASI is furnishing the information “AS IS.” ASI, in no way, assumes any part of Your business risk; does not guarantee the accuracy, completeness or timeliness of the information provided and shall not be liable for any resulting loss or injury. ASI DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ACCURACY FOR INFORMATION. IN NO EVENT SHALL THE MAXIMUM LIABILITY OF ASI EXCEED THE AMOUNT PAID FOR THE ELECTRONIC LIST LICENSE.

18. STANDARD PACKAGE (if selected). You receive ASI Supplier membership, a subscription to ESP Websites, a five hundred dollar($500.00) advertising credit to be used only during the first year of the package towards ASI Advertising (print or digital advertising only); one (1) tile advertisement on ESP which will appear one (1) time for 30 days with choice of month (this advertisement will rotate with other ads); six (6) Subscriptions to Supplier Global Resource magazine; a one (1) time 2” x 3” advertisement of one (1) product in New Supplier Showcase in Advantages magazine (first year of package only. ASI will choose the month & product if there is no response from the supplier); a New Supplier Pavilion in ESP for new members only, for the first 30 days for the first year of the package from the supplier’s start date, You may not transfer or accumulate these services from membership year to membership year. If You do not use the services, You will not receive a refund. You will be required to agree to the standard terms and conditions for these services.

19. CONNECT PACKAGE (if selected). Includes all of the benefits of the Standard Package plus one (1) license for Connect Platinum with Prospect Hunter. You may not transfer or accumulate these services from membership year to membership year. If You do not usethe services, You will not receive a refund. You will be required to agree to the standard terms and conditions for these services.

20. CONNECT EMAIL PACKAGE (if selected). Includes all of the benefits of the Connect Package, six (6) subscriptions to Supplier GlobalResource magazine, and two (2) EmailExpress™ emails per year. You may not transfer or accumulate these services from membership year to membership year. If You do not use the services, You will not receive a refund. You will be required to agree to the standard terms and conditions for these services.

21. SHOW PACKAGE (if selected). Includes all of the benefits of the Connect Package plus You are able to exhibit (a 10’x10 booth space)at one (1) of the following trade show venues for each year you are a member: one (1) ASI Show, or two (2) weeks at ASI Roadshow (tabletop) per year, and one (1) full page advertisement in the November issue of Promobook™ for the first year of membership. You may not transfer or accumulate this trade show presence from membership year to membership year. If You do not attend one of the show options, You will not receive any refund. You will be required to agree to the standard terms and conditions for the one venue you select.

22. ADVANTAGE PACKAGE (if selected). Includes Show Package services, plus, you will receive three (3) E-mail Express blasts permembership year, one (1) ¼-page ad in Advantages per membership year. You may not transfer or accumulate these services frommembership year to membership year. If You do not use the services, You will not receive a refund. You will be required to agree to the standard terms and conditions for these services.

23. ESP MEMBERSHIP PACKAGE (if selected). Includes all the benefits of the Advantage Package plus1800 monthly impressions of PayFor Placement advertising per membership year (not available for sold out categories). You may not transfer or accumulate theseservices from membership year to membership year. If You do not use the services, You will not receive a refund. You will be required to agree to the standard terms and conditions for these services.

24. MEDIA CELEBRATION PACKAGE (if selected). Includes: ASI supplier membership; an ESP Website; a $500 Credit for new membersonly, to be used only during the first year of the package, towards ASI advertising (print or digital advertising only); one (1) license for Connect Platinum with Prospect Hunter; one (1) tile advertisement on ESP which will appear one (1) time for 30 days with choice of month (this advertisement will rotate with other ads); six (6) Subscriptions to Supplier Global Resource magazine; a one (1) time 2” x 3” advertisement of one (1) product in New Supplier Showcase in Advantages magazine (first year of package only. Includes: ASI supplier membership; an ESP Website; a $500 Credit for newmembers only, to be used only during the first year of the package, towards ASI advertising (print or digital advertising only); one (1) license for Connect Platinum with Prospect Hunter; one (1) tile advertisement on ESP which will appear one (1) time for 30 days with choice of month (this advertisement will rotate with other ads); six (6) Subscriptions to Supplier Global Resource magazine; a one (1) time 2” x 3” advertisement of one (1) product in New Supplier Showcase in Advantages magazine (first year of package only. 26. ESP UPDATES (if selected). License. ASI grants and You accept a limited, non-transferable and non-exclusive license to use ESPUpdates solely for providing product data and/or services (“Product Data”) for use in ASI’s database and services. You shall not use or permit others to use ESP Updates for any other person or entity. If You are provided a license code, user name or password for ESP Updates, You shall not share Your license code, user-name or password with any other person inside or outside the Company. Only employees of Your Company may be assigned a user-name and password and have access to ESP Updates. If You become aware that any unauthorized person or entity is using license codes, a user-name and/or password that has been assigned to You or one of Your employees, You shall immediately contact ASI to be issued a new password. Licensee agrees that the Licensee and its employees shall not directly or indirectly, (i) sell, lease, assign, sublicense or otherwise transfer, (ii) duplicate, reproduce or copy, (iii) disclose, divulge or otherwise make available to any third party, (iv) use except as authorized by this Agreement, or (v) decompile, disassemble or otherwise analyze for reverse engineering purposes ESP Updates, including all trade secrets and confidentialinformation therein. Licensee and its employees agree that they will not discuss ESP Updates or any aspect of ESP Updates with any person or entity other than the parties to this Agreement. For purposes of this Agreement, ESP Updates includes, but is not limited to, the application, user interface design, service, data and data structures, documentation, modules any additional work or any component of any of the foregoing. Other than standard installation, You may not download ESP Updates or material to any electronic storage device. You must not use or permit others to use ESP Updates software and services to compete with ASI or its affiliates, create products to compete with ASI or its affiliates, or to operate a service bureau.CONTENT. ASI reserves the right to reject any Product Data you submit for ESP Updates for any reason at any time. You shall defend, indemnify, and hold ASI harmless from any cause of action or claim for damages or costs, including attorneys’ fees that arise directly or indirectly as a result of the Product Data You provide.

27. GOVERNING LAW AND JURISDICTION. This Agreement shall be governed in accordance with the laws of the Commonwealthof Pennsylvania without giving effect to any choice or conflicts of law. Any action at lawsuit in equity or other judicial proceedingconcerning the Agreement shall be instituted only in a state court in Bucks County, Pennsylvania or a federal court in the Eastern District of Pennsylvania. For purposes of enforcing Section 4 of this Agreement this jurisdictional provision shall survive any termination of expiration of this Agreement.

28. ASI PROPRIETARY INFORMATION. You acknowledge that the Services selected contain material that is generated from copyrightedand confidential and proprietary databases and are licensed for use ONLY in connection with the conduct of your business as a supplier or service provider in the promotional products industry. The Services selected and the materials are the exclusive propertyof ASI. The material is provided ONLY for the Company’s exclusive use and will be kept confidential by the Company. The Company accepts full responsibility for its authorized use. You may only use the Services you license on behalf of your Company. You shall not provide access to any Service you license to a competitor of ASI or one of its affiliates. The Services selected or any of the material on the Services selected may not be reproduced, transferred to machine readable form or to electronic or mechanical storage devices or systems or may the Services selected or material be rented, sold, loaned, exchanged or transferred or disclosed outside the Company without the written authorization of an ASI officer. Each unauthorized use or access of the Services selected shall result in a fee of $1,500.00, e.g., creating distribution lists or unauthorized viewing of a record in a Service selected. You will also be responsible for any legal fees and costs incurred in recovering such fees and for preventing future misuse.

29. TITLE. You agree that ASI owns all proprietary rights, including any patents, copyrights, trade secrets, trademarks and other proprietaryrights in the Services.

30. TERM. The initial term of Your membership is one (1) year. After the initial term, the Agreement will automatically renew for successive one (1) year terms at the then-current rates with no refunds unless either party provides notice of termination to the other party thirty (30) days prior to the anniversary date. ASI reserves the right to impose a late charge of 1-1/2% per month (or any lower rate required by applicable law) on any unpaid balance. If You are on the monthly or other pay plan option, and You terminate the Agreement prior to the termination date, You authorize ASI to charge Your credit card for the remaining annual balance due on Your Agreement.

31. ENTIRE AGREEMENT. This is the entire Agreement between the parties and supersedes all other written and oral agreementsbetween the parties relating to the subject matter hereof. The Agreement may not be modified except in writing signed by anauthorized agent of Your Company and an ASI officer.
