2. The Address of the Society: Indian Institute of Sciencc, Bengaluru - 560012

3. The ainl.s and objectives of the Society shall be:

i) To promote developments in the field of Machines and Mechanisms, theoretical

and experimental research and application to industry.

ii) To broaden contacts among professionals and organisations in the country

engaged in scientific or engineering work in the field of Machines and

Mechanisms or related sciences.

iii) To organise Lectures, National Conferences and Symposia/ Workshops in general

and special fields of Machines and Mechanisms.

iv) To promote the exchange of scientific and engineering information, 10 assist in

publishing the proceedings of Conferences, Symposia, and Workshops.

v) To encourage and facilitate interaction of scientific and technical personnel at

educational institutions, research laboratories and industrial organisagions.

vi) To closely interact and promote Machines and Mechanisms activities in India and

any other country with other member countries of International Federation of

Theory of Machines and Mechanisms (IFToMM).

vii) To establish the necessary relationships with other national and international

organisations whose activities are of interest to the Association and contribute to the

objects set forth by the Society.

viii) To promote, foster and render technical, financial and other practical assistance to

any measure in the field. (expand 'the field')

ix) To undertake such other lawful acts, deeds and things in the common interest geed

of the members and the profession in general.

1.3 Voting Rights

1.3. J Individual mcJDbers of Category A are entitled to vote at all General BodyMeetings of the Society.

I .3.2 Menlber Organisations of Category B must nonlinate a chief delegatewho alone is entitled to vote on their behalf.

I .3.3 Menobers of Categories C and D are not eligible to vote.

1.4 Membership of the Association is inconvatible with any use of its activities forpolitical or commercial purposes.

1.5 The subscriptions payable by Illelnbers of Categories A, B and C shall be asfollows:

Life Membership for individual —

Fee as notified periodically and is payable by the applicant at the tinne of submission ofapplication for membership. On acceptance of application and fZ•e, the validity ofrnembership would be for his/her lifetilne

Life Membership for Corporate

Fee as notified periodically and is payable by the organisation at the time ofsubmission of application for rnembership. On acceptance of application and fee, thevalidity of membership would be for legal life tenure of the organisation. Organizationcould non)inate 3 members to avail membership benefits. The organization shallnonlinate one Inen)ber and thal member is eligible to vote on its behalf.

Student menibership:

Fee as notified periodically and is payable by the student at the time of submission ofapplication for membership. On acceptance of application and fee, the validity ofmembership would be for a period of 2 to 3 years subject to the approval of tenure bythe board.

I .6 The Membership Fee is subject to periodic review and endorsement by the GeneralBody with a 2/3 majority - "Membership fee" will be an agenda item once in 2 years.

2. TERMINATION OF MEMBERSHIP

(a) The activities of' the nncrnbcr are against the objccts and ailns of the Socicty and or

the constitution of India. The Incnlber must howcvcr bc scrvcd with a written notice

and allowed to defend herself /hinosclf. The Incmbcr shall be given threc wccks to

reply and defend. A decision on the mcnnbership can be takcn by thc board either on

receipt of the reply or expiry of the 3 week period whichcvcr is carlier.

(b) On the expiry of mennbership

(c) For non-payment of fee on renewal of membership

(d) Where a noenlber organisation is closed, liquidated, noerged, blacklisted by any

government agency, change in the status of the organisation

3. GOVERNING COUNCIL

3.1 Convosition of Governing council

The Governing Council is elected to manage the afTairs of the Society between

the sessions of the General Body. It shall consist of the following:

I*he Inennbers elected to the Council shall discharge their duties in the interests of the

Association as a whole, and not to the interests of the individual members. The

Governing Council reports on its activities to thc General Body.

Zonal (ZVP):

I 'here shall be four Zonal Vice Presidents (ZV P) who shall be appointed with the

concurrence of the General Body for representing the zones (North, South, East and

West) in the country.

3.2 Tern) of Office

The Governing Council is elected by the General Body for a term of four years

i.e. fronn one election to the other. (ZVPs also enjoy a similar tenure) The mennbers of

the council can be re-elected at each general election and are not eligible for immediate

re-election after completion of TWO terms of four years each.

3.3 The Inembers of the Governing Council are not eligible to receive any

reinuneration from the Society for their services.

4. VACANCIES IN THE GOVERNING COUNCIL If the President resigns or for any

reason is unable to discharge his duties/functions during his/her term of office, the

Vice-President assumes charge as President. When one of the other office-bearers of

the Governing Council tenders his resignation or is not in a position to discharge fulfil

his functions, the Governing Council shall appoint one of the ordinary members to

carry out his/her obligations until the next session of the General Body.

5. DUTIES AND POWERS THE GOVERNING COUNCIL

5. I The Governing Council shall manage the affairs of the Society in both financial and

policy matters. It has the final decision on all such matters.

5.2 The Governing Council is responsible for administering the finances of the Society.

It has also a right to set up a reserve fund. It can invest, sell, manage or develop, lease

mortgage or dispose off or otherwise deal with any part of the property of the Society.

5.4 The Governing Council tnay appoint scvcrnl connnissions to carry out its work.

l*he Chairpersons of all these conunissions shall be invited to attend all noectings a',

6. DUTIES OF MEMBERS OF THE GOVERNING COUNCIL

6.1 Duties of the President

The President of the Society shall be the Chief Executive Officer and Chief'

Official Representative of the Society. The President shall issue directives for the

purpose of conveying operating instructions. The President decides on the division of'

responsibilities and duties aniong the members of the Governing Council, and shall

preside at the meetings of the Governing Council and at the General Body Meetings,

6.2 Duties of the Vice-President (V.P) and the ZVPs.

The V.P.shall perform such duties as may be assigned by the Presiclent and the

Governing Council. The V.P shall discharge the duties of the President when the

President is temporarily unable to do so.

The Z VPs shall assist in encouraging, recommending and coordination of

activities in their respective zones.

6.3 Duties of the General Secretary

The Secretary shall maintain the list of mcmbcrs of the Society and attend to all

correspondence of the Society. The Secretary shall issue the notices of meetings and

also other notices as required by the statutes and maintain minutes of the General Body

and Governing Council Meetings and also carry out all such duties as assigned to by

the Governing Council.

6.4 Duties of the Treasurer: The Treasurer shall maintain the accounts and fiancés of

the Society and shall be accountable to the Governing Council. All the statutory

obligations and audits shall be fulfilled within the mandatory dates notified from time

to time by various government agencies. The Jt. treasurcr shall assist the treasurer. The

7. GOVERNING COUNCIL MEETINGS The Governing Council shall meet at least

once a year. Decisions ate taken by simple majority, and in case of n deadlock. the

President has the deciding vote. The quorunn ror the Governing Council Meeting shall

be a Illinimunl or five menibers present.

S. GENERAL BODY MEETINGS

The Governing Cotlncil shall prepare the agenda ror all sessions of the General

Body and inform all nnembers not less than one month before the date fixed for the

meeting.

8.1 The General Body shall ordinarily tneet, at least once a year. The sessions of the

General Body are to be convened at the tinw of National Conferences also. The date

and place of the sessions of the General Body are deternlined by the Governing

Council.

8.2 The General Body is the supreme body that determines the policy of' the

association.

The General Body is composed of members of Categories A and B only.

Industrial organisations in Category B may send up to 5 menibers to the General Body

Meeting, but must nominate a Chief Delegate who alone is entitled to vote. The name

or the Chief Delegate is to be communicated, to the Secretary before the General Body

Meeting.

8.3 The General Body has the right to resolve all questions concerning the Association.

A simple majority of the voting members in attendance is required to resolve all the

problems, with the exception of amendments to the Rules and Regulations.

8.4 The President or in (his/her) absence the Vice-Precedent shall be Chairman of the

sessions of the General Body. The Chairman of the General Body is entitled to cast one

vote whenever it is needed to resolve a question in case of a deadlock.

8.5 If, by way of exception, any major decision is required between meetings of theGeneral Body, a postal ballot may be held and a decision taken on a simple majority of

votes cast, provided more than 50 percent of the voting members have returned thevotes. The Secretary shall be responsible for conducting such postal ballots. Such adecision shall be considered as a decision of the General Body.

8.6 One third of thc voting tnembers Of thc association shall constitute quorum at allGeneral Body Meetings. If' there is no quorum the Chairman shall adjourn the mcctingand reconxcne (he satnc after half an hour and the members present shall constitutc thcquot•un). No businesses except that specified in the original agcnda shall bc transactedat the reconvened niccting.

9. SOURCES OF INCOME

The financial resources of the Society derive from:

a) Subscriptions from the members.

b) Subsides, gifts and grants from government organisations or private persons etc.and

c) Any other source which the Governing Council decides to be fit.

The Society shall maintain an honour roll in which shall be entered every year theNames of persons or institutions who have donated gifts, legacies or otherContributions.

10. BANK ACCOUNT

The Society shall maintain a bank account in the name of Association for Machinesand Mechanisms.

10.1 Operation of Account

Operation of Bank Account/s shall be joint by two members nominated by the

Governing Council. President or Secretary and Treasurer to be authorised signatories to

execute documents, open or close a bank account, correspond with the bank, carry out

day to day banking transactions.

1 1. FINANCIAL YEAR The financial year of the Society shall be the April to March.

12. ANNUAL BUDGET AND AUDIT OF ACCOUNTS

12.1 The Governing Council shall prepare a general budget and submit it to all voting

members, one month before the General Body Meeting. Approval of the budget is a

required agenda item at each General Body Meeting.

12.2 The budget shall provide the salaries and remuneration of the operational staffappointed by the Governing Council.

12.3 Association shall pay the nnnunl membership fee to IFToMM, Such aprovision shall be jnnde in the budget.

12.4 Governing Council shall appoint n legally accredited authority to audit thefinancial accounts of the Society before presentation to the General Body.

13. AMENDMENT THE RULES AND REGULATIONS

13. I The Rules and Regulations shall be amendcd or altered or replaced at any time bya majority of two thirds of' the tnennbers present at the General Body Meeting.

14. NATIONAL CONFERENCES AND SYMPOSIA

14.1 Conferences in Machines and Mechanisms dealing with theoretical and applied

aspects of the area are to be held at regular intervals determined by the General Body.

The host organisation of a future congress/conference is determined by the General

Body.

14.2 At least one year before a Conference, the host organisation shall coordinate with

the Governing Council such matters as the composition of Organising Committee and

the place and date of Conference.

14.3 The duty of the Organising Committee of a Conference is to prepare and conduct

their sessions and to publish Conference proceedings and reports. The host member

takes full financial responsibility. After the publication of the proceedings of the

Conference, the organising committee dissolves itself. If there are any savings from the

Conference, the same may be transferred to the Society.

14.4 Sponsorships by the Society for the Conferences, Synvosia and Workshops may

be only with approval of' Governing Council. All decisions on matters of copyright,

authorship and such with regard to publication of proceedings of conferences /

workshops/ symposia shall rest with the Governing Council.

14.5 The Organising Committee of conferences, symposia, workshops may seek the

approval of Governing Council for fixing the unit fee for the National Conference,

Symposia and Workshops. This fee shall be worked out as under.

The President of the Society (or a senior society nominee as designated by theGoverning Council / President) will act as Chief Delegate on behalf of the Associationat the IFToMM General Asselnbly held once every four years. If there are Inore thanfive mennbers from the country attending the General Assembly, the President maychoose up to five members as part of the Indian delegation. The delegates and thePresident shall not utilize/draw any funds from the Society towards the associatedtravel and boarding and lodging.

16. DISSOLUTION OF THE SOCIETY

16.1 Any number of members, but not less than three-fifth of the noembers present at

the extraordinary General Body Meeting convened by the Governing Council for the

sole purpose of dissolution of the Society may determine that the Society shall be

wound-up whether forthwith or at any farther time then agreed upon as provided for

under section 13 and 14 of Societies Registration Act, 1860.

16.2 The notice for the extra-ordinary General Body Meeting convened solely for the

purpose of dissolution of the Society shall be a minimunn of sixty days.

17. Restricted Membership

Student members shall annually submit a certificate from the Head of the institution at

which they are undergoing a course of study to the effect that they are bonafide

students and that they are not employed otherwise.

Association of Machines and Mechanisms (AMM) is a professional society that has been

active for over three decades in India. Its most recent registered address was in 11T-Madras.

Currently, the President of AMM, Prof. C. Amarnath and Vice President (G. K.

Ananthasuresh) are currently in Bengaluru. So are two other active leaders in the field,

Profs. Ashitava Ghosal and Dibakar Sen. Hence, AMM plans to have its address in
