THE
ARTICLES OF INCORPORATION
OF THE
KNOW ALL MEN BY THESE PRESENTS:
The undersigned incorporators, all of legal age and all of whom are residents of the
Philippines, have this day voluntarily agreed to form a non-stock, non-profit organization
under the laws of the Republic of the Philippines.
AND WE HEREBY CERTIFY:
FIRST: That the name of the said association shall be:
ALLIANCE OF YOUNG NURSE LEADERS AND ADVOCATES
INTERNATIONAL INC.
SECOND: That the purpose or purposes for which such organization or allianceis formed and organized are as follows:
1. Attain optimal level of professional standards through Holistic NursingLeadership;
2. Work for the welfare of its members both nationally and internationally andincrease the awareness of the global public on the causes of nurses and its
members through innovative approaches;3. Assist nurses in employment and guidance in their new practice of the
profession;
4.Respond to the changing health needs of the global society through advocacy andactivism;
5.Conduct seminars, summits, conferences and research studies that willgenerate more knowledge, discover new technologies and methodologies,
and advance existing scientific know-how in the nursing profession and inthe field of youth & social development, leadership and management;
6. Fund, support or find funding for scholarships in post-graduate educationor its equivalent in Nursing, Leadership & Management studies in thePhilippines or abroad;
7.Empower young nurses, student nurses and members of the allied health careprofessions through their active participation in activities of nation-building,
youth empowerment and global partnerships & exchanges;

8. Mobilize members internationally to continuously impact the organizationmaking it more sustainable and independent in all aspects especially on itsfinances;
9. Help achieve the 8 Millennium Development Goals of the United Nations, itsother causes and other global humanitarian movements; and
10.Establish strong linkages with government, non-government, local, national andinternational agencies in the attainment and furtherance of its organizationalgoals.
AND IN FURTHERANCE OF THE FOREGOING:
1. To receive contributions, gifts, bequests, legacies, grants-in-aid and donations
here and abroad from members and non-members, international or local associations,funding agencies or organizations and to engage the services of persons or firms, invest
the funds, money and properties of the corporation in such pursuits and activities as the
corporation may desire and need from time to time to carry out its purposes andobjectives;
2. To purchase, own, hold, operate, develop, lease, mortgage, pledge, exchange,
sell, transfer, otherwise acquire in any manner permitted by law, real and personalproperty of every kind and description or any interest therein as may be necessary for or
conducive to the carrying out of its purposes;
3. To enter into, perform and carry out contracts of any kind and for any lawfulpurpose with any person, firm or corporation; and
4. In general, to exercise any and all lawful power whatsoever, in connectionwith the foregoing or which are calculated directly or indirectly to promote the interests
of the corporation.
THIRD: The place where the principal office of the Alliance is to be establishedor located is in 2128 Singalong Street, Metro Manila, Philippines.
FOURTH: The term for which said Alliance is to exist in perpetuity from andafter the date of incorporation.
FIFTH: The names, nationalities, and residence of the incorporators of the said

NINTH: The Alliance is a non-stock non-profit corporation. No part of the income that
the Alliance may obtain as an incident to its operation shall be distributed as dividends to
its members, trustees or officers subject to the provision of the Corporation Code ondissolution. Any profit obtained by the Alliance as a result of its operation, whenever
necessary or proper, shall be used for the furtherance of the purposes enumerated in
Article II, subject to the provisions of Title XI of the Corporation Code of the
Philippines.
TENTH: No part of its income or property shall inure to the benefit of any member,
trustee or office, or any private individual or corporation or association except as may benecessary to reasonably compensate staff members and consultants for actual and
substantial services rendered in furtherance of the purpose of the corporation: Provided,
that the level of administrative expenses of the corporation on an annual basis shall not
exceed thirty (30%) percent of the total utilization during the taxable year.

ELEVENTH: The Alliance shall be maintained by voluntary contributions and donationsfrom charitable trusts, members and non-members.
TWELFTH: In the event of the dissolution of the Alliance, any funds, property, tangible
or intangible assets remaining after all claims have been satisfied shall be transferred toany association or tax exempt donee institution of its choice.
THIRTEENTH: In the following cases, approval by the affirmative vote of at least two-thirds (2/3) of all the members of the Board of Trustees, as well as approval or
ratification by the affirmative vote of at least two-thirds of all the members of the
Alliance entitled to vote, shall be necessary for a valid corporate act of the Alliance:
a.Amendment of the Articles of Incorporation;b.Amendment, repeal or adoption of new By-Laws;c.Sales, mortgage or other disposition of all or substantially all of the assets of the
Association; and
d.Change in the number of members of the Board of Trustees.
FOURTEENTH: That LORIBELLE M. CRISTOBAL, RN has been elected by the
members as Treasurer-in-Trust of the Alliance Board to act as such until his successor isduly elected and qualified in accordance with the By-Laws, and that as such Treasurer-in-
Trust she has been authorized to receive all fees, contributions or endowments given, to
be received by and appertaining to the said Alliance.
FIFTEENTH: The incorporators undertake to change the name of AYNLA International
Inc. immediately upon receipt of notice or directive from the Securities and Exchange
Commission that another corporation, partnership or person has acquired prior right tothe use of that name or that the name has been declared as misleading, deceptive,
confusingly similar to a registered name or contrary to public morals, good customs or
public policy.
SIXTEENTH: AYNLA International Inc. shall comply with the requirements of non-
stock corporations in the course of its operations.
