Bank owns above residential complex & Guest House at various locations ofVadodara as mentioned above. For high quality upkeeping of above premises and tomaintain good ambience, we intend to engage one facility management agency formanning and maintaining various services by engaging required staff as detailedbelow. Bank of Baroda hereby invites you to tender for the above work.

a) Period of contract: Contract period will be three years from the date ofcommencement subject to performance review on annual basis bythe Bank which please note.

b) EMD: Earnest Money Deposit of Rs 94,000/-(Ninety Four Thousand Only)by way of DD/BC favouring Bank of Baroda payable at Vadodara.Or valid MSME Certificate issued for the above work by statutoryauthority.

Application forms can either be downloaded from Bank’s website(www.bankofbaroda.com, from tender section) or may be collected from the aboveoffice on payment of Rs 2000/- by DD/BC favouring Bank of Baroda, payable atBaroda. Applications received not in the prescribed manner will be summarilyrejected. Downloaded application needs to be used by the contractor.

Agencies downloading application form from Bank’s website need not to pay anytender cost to the bank while submitting their offer in two-bid system to the addressgiven below before 2.30pm on 29.10.2018. The tender (only part-I/Technical bid)shall be opened on 29.10.2018 at 3.00 PM.

Thebidder shall clearly write the words "Technical Bid”- Envelop 1 for PREMISESAND FACILITY MANAGEMENT SERVICES AT BANK’S RESIDENTIALBUILDING AND GUEST HOUSE LOCATED AT VARIOUS LOCATION INVADODARA bidder shall clearly write on Envelop--2 the words "Price Bid’ –Envelop 2 for PREMISES AND FACILITY MANAGEMENT SERVICES AT BANK’SRESIDENTIAL BUILDING AND GUEST HOUSE LOCATED AT VARIOUSLOCATION IN VADODARA.

Any corrigendum/Addendum if any will be issued on Bank website and Price Bid (tobe submitted in separate sealed envelop-2) will be opened of qualified bidders only.

Applicant has to sign all the pages of the application. No deletion or additions in theapplication are permitted.

OTHER TERMS AND CONDITIONS:

Eligibility criteria:

The eligibility criteria for the bidder taking part in this bid process shall be as perqualification criterions and Acceptance of Terms and Conditions , unconditionally. Abidder will, by responding to the tender, be deemed to have accepted all terms andconditions, as stated in this tender, in letter and spirit.

Contract period:

Initial period of Contract shall be 36 months ( subject to performance review onannual basis) from date of commencement of work and subsequent extension ofcontract , if any, will be decided by mutual negotiation between the Bank andPremises & Facility Management (P&FM) Service Contractor for further period ofone/ two years . The Bank reserves the right to reduce the scope of work, taking outsome of the work, or not extending the contract beyond the said contract period. Ifthe P&FM Service Contractor fails to perform any of its obligations under thisAgreement and if the Bank is not satisfied with the services of the P&FM ServiceContractor during the contract period and/or extended period of service or any otherreasons, Bank may terminate the services of the P&FM Service Contractor, by givingone month notice in writing.

All taxes or any other Tax on material or finished works like work's contract tax, turnover tax etc prevailing at the time of tendering in respect of this contract shall beincluded in the tender rates/bid and payable by the contractor and the Bank will notbe liable for any claim whatsoever in this respect during the period of contract if thestatutory payment structure remains unchanged. However, any increase oradditional taxes levies by the Government or statutory authorities after the date ofsubmission of tender will be either payable or recoverable as the case may be onsubmission of documentary evidence. GST as applicable will be paid extra by thebank as per statutory norms.

All dispute and differences of any kind pertaining to this contract shall be deemed tohave arisen at Vadodara and only courts in Vadodara shall have jurisdiction todetermine the same.

Instructions to the tenderer & Eligibility criteria

Applications of the contractors who are desirous of tendering for above work andfulfill following requirements only shall be considered:

Each project shall be treated separately

Average Annual financial turnover of the firm for each job during the last–3- years, ending 31st March, 2018, should be at least Rs. 28.2 lacs/-supported with audited balance sheets.

Experience of having successfully completed similar jobs i.e. Facilitymanagement services including above jobs in building during last –7-years (as on 01.09.2018), should be either of the following:

Three similar completed works annual invoicing for each job(single job or combined offer from one party) costing not lessthan Rs. 37.60 lakhs

OR Two similar completed works for each job (single job or combined

offer from one party) costing not less than Rs. 47.0 LakhsOR

One similar completed work for each job (single job or combinedoffer from one party) costing not less than Rs. 75.2 Lakhs

Having sufficient numbers of experienced personnel, technical know-how, equipments & machinery- to complete the jobs with superiorquality of materials & workmanship as per standard specifications.

The applicants should have main/branch office in Vadodara (Certificateof registration is required).

Price bid shall be opened for those bidders who fulfill eligibility criteriaand having satisfactory report from their previous clients. Bank mayenquire or obtain report from their previous clients.

Bank has the right to reject / select one or more agencies. The Bankreserves the right to reject any or all the applications without assigningany reason thereof.

No conditions shall be entertained. Conditional offers shall be liable forrejection.

additions in the application are permitted.

Applicants for pre-qualification must provide evidence of havingadequate experience. This should include supporting certificates orreports relating to financial, technical and other capability of theapplicants. Agency has to submit documentary evidence for the same.

Applicant has to furnish copies of original documents defining the legalstatus of the contractors, it's structure and organization, place ofregistration and principle place of business of the applicant in Format –A.

Applicant has to furnish details of experience, present and pastperformance of there works of similar nature in Proforma - Format – B &C.

Applicants has to furnish certificates in support of Suitability, Technicalknow-how and capability for having successfully completed minimum 3similar works during the last 7 years or being rendered for last 7 years.

Downloaded application alone need to be used by the contractor. Allthe information should be furnished in the space provided anddocumentary evidences/ copies of certificates duly certified byconcerned agencies alone need to be attached.

Validity of the Bidder’s offer shall be 120 days from the date of openingof the Technical Bid and may be accepted at any time before the expiryof such period. EMD will be forfeited if the bidder withdraws the offerbefore expiry of the said period.

Only those Tender offers shall be accepted for evaluation for whichnon-refundable Earnest Money Deposit (EMD) of Rs 94,000/- (INRNinty Four Thousand only) in the form of Demand Draft / BankersCheque drawn in favour of “Bank of Baroda” payable at Vadodara, isdeposited in the office of The General Manager,Bank of Baroda,7thFloor , Baroda Bhavan, Alkapuri, Vadodara 390 007 on all workingdays from 0900 hrs to 1600 hrs or before 29.10.2018 @1430 hrs.

Applicants shall be disqualified at any stage at their risk and cost ifthey are found to have "Made untrue or false representation in theforms, statements and attachments submitted in proof ofqualification and requirements"

SPECIAL INSTRUCTIONS TO THE BIDDER

1.0 All rates and lump sum amounts, if any, shall be firm throughout the duration ofthe contract and no influences shall be permitted for any changes in any ofP&FM (Premises and Facility Management) costs or inclusions due to anyreasons such as currency variations, material, transport and price fluctuations orany other reason unless expressly provided for elsewhere in this Agreement.

2.0 Please note that this contract is lump sum contract and payment shall bereleased based on the performance parameters given hereunder:

1. Satisfactory perfoming the duties of housekeeping and caretaker cum cookas mentioned in the tender.

2. Maintaining inventory of consumable items, and submitting monthly reportalong with bill.

3. In case of any deficiency in services observed by the Bank during thecontract period, Bank may give necessary instruction to the contractor toimprove the services (or to correct the deficiencies observed). In case,deficiency continues/unattended for reasonable/long period, Bank maydeduct as a penalty from monthly bill @ 1% of bill amount per week ofdeficiency period maximum up to 5% of bill amount.

Vendors are required to take all the possible action to achieve 100%efficiency in the FM services in totality strictly in terms of contract andmaintaining the desired quality as per above accepted by the Bank within thetime limit given in the tender.

Requirement of no. of staff and labour deployment shall be accounted for bythe vendors looking into the task he has to perform under the FMS. Hence, atany point of time, no such deficiency should be observed.

4. Should any new areas of work transpire which Bank considers are notenvisaged as being part of this tender, the prices for the new scope of workshall be mutually agreed between the Bank and P&FM Service Contractorbased on actual rate analysis on established norms . In the event of nonAgreement of the rates, the Bank reserves the right to get the same executedthrough any other agency so appointed for.

5. The Bank will make all payments to the P&FM Service Contractor for thesatisfactory services rendered on monthly basis in accordance to the relevantclause of conditions of contract.

Registered office at Mandvi, Vadodara and Corporate office at Baroda Corporate

Centre, C- 26, G-Block, Bandra Kurla Complex , Bandra (E), Mumbai- 400051 (

Hereinafter called ‘the Bank’) of one part

And

engaged in the work of providing Premises and Facility Management Services

(hereinafter called ‘M/s ________________________ ‘or ‘the P&FM Service

Contractor’ ) of the other part.

“Parties” shall mean Bank and P&FM Service Contractor collectively; and the“Party” shall mean either one of them.WHEREAS the Bank being desirous of outsourcing the job of Manning andMaintenance of the following Bank’s owned Premises:

1 Vimal Flats,Akota (G+3 Storey Building, 5 Residential Flats & 1 GuestHouse)

2 Akshay Apartment,Near Akshar Chowk(G+10 Storey Building, 40 ResidentialFlats)

3 Sainath Plaza,Gotri (G+9 Storey Building, 34 Residential Flats)

4 Bob House,Near Tube Company(2 Blocks , G+3 Storey Building, Total 25Residential Flats & 1 Gym)

5 Gulistan Bunglow, Alkapuri (Guest House, G+1 Storey Building)

for a period of three years subject to performance review on annual basis by Bankand for the said purpose, the Bank has issued tender dated ____________, invitingoffers from several Premises and Facility Management Service providers;

WHEREAS PREMISES AND FACILITY MANAGEMENT SERVICES (P&FMS) ofthe building include services and facilities like Housekeeping, Cooking andCaretaking service in Bank’s owned guest house etc. and any other similar systemsand services for the Bank (work / services);

WHEREAS M/s __________________________ has offered its services inaccordance with the terms and conditions contained in the tender and therebysubmitted its response to tender dated___________ to the Bank. After consideringthe response of M/s ___________________________, the Bank has accepted thesame by acceptance letter dated ___________and selected them as theContractor for manning and maintaining the building for a period of three years.

AND WHEREAS the P&FM Service Contractor has deposited the security depositof Rs--------- in token of performance of this Agreement for three years from the dateof commencement of the work as defined herein with provision for annualperformance review of the Agreement every year if so desired by the Bank.

NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO ASFOLLOWS:

1. For the consideration hereinafter mentioned, the Bank hereby appointsM/s____________________________as the P&FM Service Contractor andthe P&FM Service Contractor will carry out and render the services describedby or referred to in the tender. The conditions for the services (the saidconditions) have been annexed herewith and shall be read and construed asforming part of this Agreement. The parties hereto shall abide by, submitthemselves to the conditions, and perform the task on their parts respectivelyin such conditions contained, as per the Agreement. This Agreement andSchedules and documents annexed herewith shall form the basis of thiscontract.

2. Scope of work:

a. As per Tender Document .

b. The Bank reserves to itself the right of altering the scope of work andnature of the work by adding to or omitting any items of work or havingportion of the same carried out through other agency without prejudice to thiscontract . The P&FMS contractor will only be paid for the actual serviceperformed and work done payable at the accepted unit rates.

3. Payment Terms:

a. The Bank will pay the P&FM Service Contractor the said contract amount,Rs………………………(Rupees……………………………………………………

…) (hereinafter referred to ‘the Contract Sum’ ) or such other sum as shallbecome payable hereunder at the times and in the manner specified inTechnical and Commercial bids and the said conditions.

b. This contract is for manning and maintenance of the buildings and it’s

services / facilities and to be paid proportionately according to the actual

performance.

c. All payments by the Bank under this contract will be made only atVadodara in Indian Rupees and shall be within 30 days from the submissionof bills including period of checking subject to bills being complete and in theformat to be mutually agreed.

d. All taxes or any other Tax on material or finished works like work's contracttax, turn over tax etc prevailing at the time of tendering in respect of thiscontract shall be included in the tender rates/bid and payable by the P&FMService Contractor and the Bank will not be liable for any claim whatsoever inthis respect during the period of contract if the statutory payment structureremains unchanged. However, any increase or additional taxes levies by theGovernment or statutory authorities after the date of submission of tender willbe either payable or recoverable as the case may be on submission ofdocumentary evidence. GST as applicable will be paid extra by the bank asper statutory norms.

e. That the terms of this contract have been read by the P&FM ServiceContractor and fully understood by him/ them. The P&FM Service Contractorshall not be entitled for the payments for the quantities beyond the tenderedquantities unless ordered for, by specific instructions with prior approval fromthe Bank.

4. Standard of Performance:

a). P&FM Service Contractor must perform the complete services (withoutany negligence) on timely basis using utmost and absolute skill, honesty,loyalty and due care and complying with all the provisions, rules andregulations under applicable laws.. P&FM Service Contractor shall always,without any bias, render Services in the best interest of the Bank. The P&FMService Contractor shall be afforded every reasonable facility for carrying outof all works relating to the provisions of the P&FM Services including manningand maintenance in the manner laid in the said conditions till the completionof the contract. Any delay, negligence, error, default or deficiency in providingand/or performing the services shall be considered as breach for the purposeof this Agreement. P&FM Service Contractor shall always provide theservices through its fully trained and fully equipped officers, employees,agents and representatives.

b.) Timely performance of the contractual obligation shall be considered asthe essence of the contract and the P&FM Service Contractor hereby agreesto commence the work soon after but not later than 10th day from the date ofissue of letter of intent by the Bank as provided in the said conditions and toperform the job during and within the stipulated contract period.

c). P&FM Service Contractor shall allow the Bank of Baroda (BOB) orpersons authorized by it to access the documents, records of transaction orany other information given to, stored or processed by P&FM ServiceContractor relating to the Bank or this Agreement, within a reasonable timefailing which P&FM Service Contractor will be liable to pay any charges/penalty levied by Bank. P&FM Service Contractor shall allow the BANK toconduct audits or inspection of its Books and account with regard to BANK orthis Agreement by one or more of BANK officers or employees or otherpersons duly authorized by BANK.

d) P&FM Services Contractor shall not sub-contract, except with the priorwritten consent of the Bank, to provide any of the Services under thisAgreement.

5. Representations & Warranties of Parties to this Agreement:

Each Party represents, warrants, and covenants to the other Party to thisAgreement that:

a. Each Party is validly incorporated / constituted and existing and has therequisite corporate and other requisite approvals for executing thisAgreement and holds and will keep in force the licenses and approvalsrequired for performing their part of the obligations hereunder.

b. The signature and delivery of this Agreement by each Party has beenduly authorized and performance by each Party shall not result in thebreach of any term or provision of any applicable law, charter by-law orAgreement to which each Party hereto is a party or by which is bound;and

c. This Agreement constitutes a valid and binding contract.

6. Applicable Law and Jurisdiction:

The terms of this contract shall be construed in accordance with the laws ofIndia. All disputes and differences of any kind whatsoever arising of or inconnection with the contract whether during or after completion of contractshall be deemed to have arisen at Vadodara and only court in Vadodara shallhave jurisdiction to determine the same.

a.) Initial period of Contract shall be 36 months ( subject to performancereview on annual basis) from date of commencement of work andsubsequent extension of contract , if any, will be decided by mutualnegotiation between the Bank and Premises & Facility Management (P&FM)Service Contractor for further period of one/ two years. Bank reserves therights of not extending the contract beyond the said period. If the P&FMService Contractor fails to perform any of it's obligations under thisAgreement and if the Bank is not satisfied with the services of the P& FMService Contractor during the regular and extended period , Bank mayterminate the services of the P&FM Services Contractor, at any time bygiving one month’s notice in writing. In such event, the Bank reserves theright to get the work done / services performed by another agency orcontractor of its choice. In that event, the P & FM Services Contractor isbound to make good the additional expenditure, which the Bank may have toincur for the selection of another contractor / service provider. This clause isapplicable, if for any reason, the contract is cancelled during the contractperiod including extension.

b). Bank shall not be liable for any cost/ damage/ expenses or any losswhatsoever that the P&FM Service Contractor may suffer on termination ofservices by the Bank.

c.) Except for nonpayment, in no other circumstances the P&FM Contractorshall have a right to terminate this Agreement where as Bank has right toterminate the contract at any time for whatsoever reason, by giving onemonth’s notice in writing to P&FM contractor.

8. Insurance:

P&FM Service Contractor shall cover all employees, servants and agents underhis charge, including waiver of their subrogation, for all statutory complianceslike ESIC, PF, Accidental, Life, Third Party and Property damage Insurances asspecified in the tender

9. Indemnity:

a). The P&FM Services Contractor or any of their employees / officers / staff /personnel / representatives / agents shall not, under any circumstances, bedeemed to have any employer-employee relationship with the Bank or any ofits employees / officers / staff / representatives / personnel / agents

b). The P & FM Service Contractor shall indemnify and keep the Bank, it'sdirectors, officers, employees or agents indemnified and saved harmlessagainst claims, costs, expenses (including attorney’s fees), damages, actionsor proceedings bought or instituted against the Bank, it's directors, officers,employees or agents by any of contractor’s employees or any other thirdperson or authority in connection with relating to or arising out of theperformance of the services under this Agreement.

c). If for any reason, the Bank is obliged by virtue of the provisions of theWorkmen's Compensation Act, 1923 or Contract Labour (Regulation andAbolition) Act, 1970 or Employees Provident Fund and MiscellaneousProvisions Act, 1952, any statutory modification or re-enactment thereof orlaw relating to performance of the services by the contractors to paycompensation to workmen employed by the P&FM Service Contractor inexecution of work or providing services, the Bank shall be entitled to recoverfrom the P&FM Service Contractor the amount of compensation so paid andspecial damages for any prosecution launched and/or penalty or punishmentimposed.

10. Dispute Resolution:

10(A) Settlement of Disputes and Differences

Except where otherwise provided in the contract all questions and disputesrelating to the works specified and instructions herein before mentioned and asto the quality of workmanship or materials used on the work or as to any otherquestion, claim, right, manner or thing whatsoever in any way arising out forrelating to the contract, specifications, estimates, instructions, orders or theseconditions or otherwise concerning the work or the execution or failure toexecute the same whether arising during the progress of the work or after thecancellation, Termination, completion or abandonment thereof shall be dealt withas mentioned herein after.

i) If the Facility Management Services contractor considers that he is entitled toany extra payment or compensation in respect of the works over and above theamounts admitted as payable by the Bank or in case the Facility ManagementServices contractor wants to dispute the validity of

ii) any deductions or recoveries made or proposed to be made from thecontract or raise any dispute, the Facility Management Services contractor shallforthwith give notice in writing of his claim, or dispute to the Chief Manager /Asst. General Manager, Bank Of Baroda, within 30 days from the date ofdisallowance thereof or the date of deduction or recovery. the said notice shallgive full particulars of the claim, grounds on which it is based and detailedcalculations of the amount claimed and the Facility Management Servicescontractor shall not be entitled to raise any claim nor shall the Bank be in anyway liable in respect of any claim by the Facility Management Servicescontractor unless notice of such claim shall have been given by the FacilityManagement Services contractor to the Chief Manager / Asst. GeneralManager, Bank Of Baroda in the manner and within the time as aforesaid. TheFacility Management Services contractor shall be deemed to have waived andextinguished all his rights in respect of any claim not notified to the ChiefManager / Asst. General Manager, Bank of Baroda in writing in the mannerand within the time as aforesaid.

iii) Chief Manager / Asst. General Manager, Bank of Baroda shall give hisdecision in writing on the claims notified by the Facility Management Servicescontractor. The Facility Management Services contractor may within 30 days ofthe receipt of the decision of Chief Manager / Asst. General Manager, Bank ofBaroda submit his claims to the conciliating authority namely the Dy. GeneralManager, Bank of Baroda for conciliation/mediation along with all details andcopies of correspondence exchanged between him and the Chief Manager /Asst. General Manager, Bank Of Baroda.

10(B) Arbitration

If the conciliation proceedings are terminated without settlement of the disputes,the Facility Management Services contractor shall, within a period of 30 days oftermination thereof shall give a notice to the concerned Dy. General Manager,Bank Of Baroda of the Bank for appointment of an Arbitrator to adjudicate thenotified claims failing which the claims of the Facility Management Servicescontractor shall be deemed to have been considered absolutely barred andwaived.

v) Except where the decision has become final, binding and conclusive in termsof the contract, all disputes or differences arising out of the notified claims of thecontractor as aforesaid and all claims of the Bank shall be referred foradjudication through arbitration by the sole Arbitrator appointed by the GeneralManager, Bank Of Baroda. It will also be no objection to any such appointmentthat the Arbitrator so appointed is a Bank officer and that he had to deal withmatter to which the contract relates in the course of his duties as Bank officer. Ifthe Arbitrator so appointed is unable or unwilling to act or resigns hisappointment or vacates his office due to any reason whatsoever another soleArbitrator shall be appointed in the manner aforesaid by the said GeneralManager, Bank Of Baroda. Such person shall be entitled to proceed with thereference from the stage be entitled to proceed with the reference from the stageat which it was left by his Predecessor.

It is a term of this contract that the party invoking arbitration shall give a list ofdisputes with amounts claimed in respect of each dispute along with the noticefor appointment of arbitrator. It is also a term of this contract that no person otherthan a person appointed by such General Manager, Bank Of Baroda asaforesaid should act as Arbitrator. The conciliation and arbitration shall beconducted in accordance with the provisions of the Arbitration & Conciliation Act1996 or any statutory modification or re - enactment thereof and the rules madethere under. It is also a term of the contract that if any fees are payable to thearbitrator these shall be paid equally by both the parties. However, no fees willbe payable to the arbitrator if he is a Bank officer. It is also a term of the contractthat the arbitrator shall be deemed to have entered on the reference on the datehe issues notice to both the parties calling them to submit their statement ofclaims and counter statement of claims. The venue of the arbitration shall besuch place as may be fixed by the arbitrator in his sole discretion. The fees, ifany, of the arbitrator shall, if required to be paid before the award is made andpublished, be paid half and half by each of the parties. The cost of the reference

and of the award (including the fees, if any of the arbitrator) shall be in thediscretion of the arbitrator who may direct to any by whom and in what manner,such costs or any part thereof, shall be paid and fix or settle the amount of coststo be so paid.

11. Notices and other communication:

a). Any and all notices or other communications that are required or desiredto be provided to any Party hereto under this Agreement shall be provided inwriting and sent personally or by certified or registered post withacknowledgement due or e-mail duly transmitted, facsimile / fax transmission(with hard copy to follow) or overnight courier mail, addressed to the Partiesat the addresses and fax number set forth on the signature page.

b). Notices shall be effective receipt, except that notices send by registeredpost in a correctly addressed envelope shall be deemed to be deliveredwithin 5 working days (excluding Sundays and public holidays) after the dateof mailing dispatch. In case the communication is made by facsimiletransmission, on the date of successful facsimile transmission (that is, thesender has a hard copy of a confirmation page evidencing that the facsimilewas completed in full to the correct fax number). Any Party may change theaddress and fax number to which notices are to be sent to it by providingwritten notice to the other Party in one of the manners provided in thisprovision. Unless otherwise expressly indicated in this Agreement, allreferences to "days" shall mean calendar days.

12.Assignment:

P&FM Service Contractor shall not assign or otherwise transfer any of itsrights or delegate any of its obligations hereunder in any form whatsoeverwithout the written consent of BANK. Any purported assignment or delegationin violation of the preceding sentence shall be void and of no effect. ThisAgreement shall be binding on the Parties' legal representatives, successorsor permitted assignees or delegates.

13. Entire Agreement: This Agreement along with tender and tender responseby the P&FM Service Contractor collectively constitutes the entire Agreementbetween Bank and P&FM Service Contractor and supersedes all prior andcontemporaneous communications, understandings, representations andnegotiations, with respect to the services and other matters covered by thisAgreement.

14.Amendment:No variation, amendment, modification or waiver of any provision of thisAgreement, nor consent to any departure there from, shall in any event beeffective unless the same shall be in writing and signed by the authorizedrepresentative of each of the Parties hereto, and then such waiver or consent

shall be effective only in the specific instance and for the specific purpose forwhich given.

15.Severability:If any term or provision or clause of this Agreement is declared invalid, illegalor unenforceable, the remainder of this Agreement shall be unimpaired andvalid. Invalid, illegal or unenforceable term or provision shall be replaced bysuch valid term or provision as comes closest to the intention underlying theinvalid term or provision and that term or provision shall be enforced to thefullest extent permitted by law.

GENERAL RULES & INSTRUCTIONS FOR GUIDANCE OF BIDDER

1) The contract period will be for three years from the 10th (tenth) day ofletter of intent (LOI) by the Bank which will be subject to annual reviewof performance.

2) The Bank is not liable to pay any interest on the earnest money. The earnestmoney of the unsuccessful bidder will be refunded with out any interest onlyafter the decision to award the work is taken and upon the execution ofagreement by the successful bidder.

3) The acceptance of the tender will rest with Bank of Baroda, which does notbind itself to accept the lowest tender, and reserves to itself the authority toreject any or all of the tenders received / cancel the tender process at anystage without assigning any reason thereof. All tenders in which any of theprescribed conditions are not fulfilled or incomplete in any respect are liableto be rejected.

4) The Bank reserves the right to waive or change any formalities, irregularities,or inconsistencies in proposal delivery and/or to negotiate any aspect ofproposal with any bidder and negotiate with more than one bidder at a time.

5) The Bank may extend the time for submission of all proposals at itsdiscretion.

6) All rates shall be quoted on the form given in PART –II Price bid which isavailable in tender.

7) On acceptance of the tender, the name of the accredited representative(s) ofthe contractors who would be responsible for taking instructions from theBank shall be communicated to the Bank.

8) The Bank reserves to itself the right of accepting the whole or part tender andthe bidder shall be bound to perform the same at the rate quoted.

9) All taxes or any other Tax on material or finished works like work's contracttax, turn over tax etc prevailing at the time of tendering in respect of thiscontract shall be included in the tender rates/bid and payable by the P&FMService Contractor and the Bank will not be liable for any claim whatsoever inthis respect during the period of contract if the statutory payment structureremains unchanged. However, any increase or additional taxes levies by theGovernment or statutory authorities after the date of submission of tender willbe either payable or recoverable as the case may be on submission ofdocumentary evidence. GST as applicable will be paid extra by the bank asper statutory norms.

10)The tender for works shall remain open & valid for acceptance for a period of120 days from the date of opening of technical bid. If any bidder withdraws

his tender before the said period or refuses to execute the documents on itsselection, the Bank shall be at liberty to forfeit Earnest Money paid along withthe tender.

11)It is obligatory on the part of the successful bidder to sign the tenderdocuments for all the parts with stamp of firm / company and, after thework is awarded, he will have to enter into an Agreement with the Bank.

12)The bidder, apart from being a competent contractor, must associatethemselves / himself with the agencies of appropriate class.

13)The Contractor shall not assign the contract. He shall not sublet any portionof the contract except with written permission of Bank of Baroda. In case ofbreach, Bank has liberty to serve notice and rescind the contract.

14)The successful bidder has to deposit total 2% of the contract value (for3 year) as security deposit (inclusive of EMD). The earnest money,already submitted / deposited by them will be considered as securitydeposit on award of contract and balance amount has to be paid within10 days of award of contract by way of BC / DD/ Bank Guaranteefavoring Bank of Baroda, Vadodara. The same shall remain valid beyond30 days of the period of contract including authorized extensions, if any.

15)Forfeiture of EMD

The EMD deposited by the bidder shall be forfeited in case : The bidder withdraws his tender before completing the selection

process. The bidder withdraws his tender after processing but before

acceptance of Letter of appointment” to be issued by the Bank. The selected bidder fails to enter into an agreement & furnish Security

Deposit as required under this tender. The bidder violates any of the provisions of the terms and

conditions of this tender

16)CONTRACTOR TO INFORM HIMSELF FULLY: The Contractor (P& FMS)shall be deemed to have carefully examined the work and site conditionsincluding labour, the general and special conditions, the job requirements,schedules of equipments and shall be deemed to have visited the site ofwork, to have fully informed himself regarding the local conditions and carriedout their own investigations to arrive at the rates quoted in the tender. In thisregard they will be given necessary information available with the departmentbut without any guarantee about its accuracy. If the contractor shall haveany doubt as to meaning of any portion of the general conditions, or thespecial conditions or the scope of work or any other matter concerning thecontract he shall in good time, before submitting his tender, ascertain theparticulars thereof by contacting the concerned officials before tendering.

Once a tender is submitted the matter will be decided according to contractconditions etc.

17)All compensation or other sums of money payable by the contractor to theBank under the terms of this contract may be deducted from the SecurityDeposit if the amount so permits or from any sums payable to the contractorand the contractors within ten days after such deductions shall make goodthe amount so deducted to bring the security deposit to its original level.

18)The Bank shall have right to carry audit / technical examinations of theworks and the bill of the contractor including all supporting vouchers,abstracts etc. by any of the persons or organisations as appointed by theBank. If as a result of the examination or otherwise any sum is found to havebeen overpaid or over certified it shall be lawful for the Bank to recover thesum from any payment due to the contractor for such work.

19)The P&FM Services Contractor or any of their employees / officers / staff /personnel / representatives / agents shall not, under any circumstances, bedeemed to have any employer-employee relationship with the Bank or any ofits employees / officers / staff / representatives / personnel / agents.

After the award of the contract, if the selected bidder does not performsatisfactorily, the Bank reserves the right to get the contract work done byanother party of its choice. In this event, the selected bidder is bound tomake the additional expenditure, which the Bank may have to incur for theselection of another Service Contractor.

20)If for any reason, the Bank is obliged by virtue of the provisions of theWorkmen's Compensation Act, 1923 or any statutory modification or re-enactment thereof or any other law relating to workmen to pay compensationto a workmen employed by the Contractor in execution of works or is madeto pay any fine or penalty, the Bank shall be entitled to recover from thecontractor the amount of compensation fine or penalty so paid and thecontractor shall also be liable to make good any loss so incurred to the bank.

21)Neither the contract nor any rights granted under the contract may be sold,leased, assigned, or otherwise transferred, in whole or in part, by the bidderor the contractor and any such attempted sale, lease, assignment orotherwise transfer shall be void and of no effect without the advance writtenconsent of the Bank.

TERMS OF PAYMENT

a) Date of Commencement of work10th day from the date of letter of intent issued by Bank of Baroda.

b) Period of Contract : 36 months from the date of contract subject toperformance review on annual basis

c) Payment of Bills by the Bank

To be submitted by the 1st week of each Month as per the commercial offer & thesame to be cleared within 30 days from date of receipt of bill & necessarysupporting documents, bill etc. along with statutory compliance as per tender terms.

d) Escalation

The prices other than minimum wages shall remain firm and shall not be subject tovariation for any reason whatsoever.Where both Central and state govt. has fixed the minimum rates of wages, therates of wages whichever is higher will be applicable.All taxes or any other Tax on material or finished works like work's contract tax, turnover tax etc prevailing at the time of tendering in respect of this contract shall beincluded in the tender rates/bid and payable by the contractor and the Bank will notbe liable for any claim whatsoever in this respect during the period of contract if thestatutory payment structure remains unchanged. However, any increase oradditional taxes levies by the Government or statutory authorities after the date ofsubmission of tender will be either payable or recoverable as the case may be onsubmission of documentary evidence. GST as applicable will be paid extra by thebank as per statutory norms.

e) Security Deposit

The successful bidder has to deposit total 2% of the contract value (for 3 year) assecurity deposit (inclusive of EMD). The earnest money, already submitted /deposited by them will be considered as security deposit on award of contract andbalance amount has to be paid within 10 days of award of contract by way of BC /DD/ Bank Guarantee favouring Bank of Baroda. The same shall remain valid till theperiod of contract including authorized extensions, if any.

f) Liquidated Damages

In case of any deficiency in services observed by the Bank during the contractperiod, Bank may give necessary instruction to the contractor to improve theservices (or to correct the deficiencies observed). In case, deficiencycontinues/unattended for reasonable/long period, Bank may deduct as a penaltyfrom monthly bill @ 1% of bill amount per week of deficiency period maximum up to5% of bill amount.

by the Bank Change bed sheets, pillow covers in regular intervals, get it cleaned

and store the same in safe custody Prepare Tea/ coffee/ Breakfast/lunch/dinner and serve as per the

request of guests. Maintain records pertaining to occupants /time in and time out etc. Should be engaged in 3 shifts round the clock starting from 7 am to 3

pm , 3 pm to 11 am, 11 pm to 7 am.

2. Manpower As per quantity indicated in BOQ/Price bid Workers should be provided with uniform. Qualification: At least able to read and write and minimum experience

should be 3 years for cooking as on 30 June 2018 (Give details of lastworking organization.)

The price quoted by the bidders shall be excluding GST . GST as applicableat the prevailing rate shall be paid over and above the rates quoted for eachcategory . Any subsequent variation in GST during the currency of contractshall be borne/recovered by the Bank as the case may be .

Premises & Facility Management Services Contractor's Employees

The Contractor shall employ technically qualified and competent propertymanager and supervisor for execution and supervision of the works. TheContractor shall comply with the provisions of all labour legislation includingthe requirements of

The Contractor shall indemnify, keep the Bank indemnified and savedharmless against claims if any of the workmen and all costs and expenses,penalties, prosecutions and punishments as may be incurred suffered orsustained by the Bank in connection with the any claim that may be made by

any workmen and for the losses incurred to Bank in case of non-complianceof terms and conditions of the Agreement.

The P & FM Service Contractor shall indemnify and keep the Bank it'sservants or agents indemnified against claims, actions or proceedings boughtor instituted against the Bank, it's servants or agents by any of contractor’semployees or any other third party in connection with relating to or arising outof the performance of the services under the Agreement.

Insurance:

The Bidder shall take a insurance coverage for their employee & third partyinsurance coverage. The third party insurance shall cover:

(a) Personal Injury - Rs. 5.00 lacs(b) Property Damage - Rs. 5.00 lacs(c) Statutory Compliances - Rs. 5.00 lacs

Termination of Contract

If the P & FM Service Contractor fails to perform any of it's obligations underthis Agreement and if the Bank is not satisfied with the services of the P& FMService Contractor, or the Bank or any of its directors, officers or employeefaces any penalty or prosecution, the Bank may terminate the services of theP & FM Service Contractor, giving a written notice of one month. Except fornonpayment, in no other circumstances the P&FM Contractor shall have aright to terminate this Agreement where as Bank has right to terminate thecontract at any time for whatsoever reason, by giving one month’s notice inwriting to P&FM contractor.The Bank shall not be liable for any cost/ damage/ expenses or any losswhatsoever that the P&FM Service Contractor may suffer on account ofnotice of termination issued by the Bank.

Compliance with all statutory requirements

The Contractor shall comply with all statutory requirements prescribedby the local as well as central government authorities from time to timeand submit a monthly report along with all the required proof ofcompliance to the Bank along with the monthly invoices. Thecontractor shall produce all the relevant statutory documents, licensesand approvals for inspection by the Bank and the governmentauthorities. Bidder shall assist the Bank for preparing necessaryregisters/ records that needs to be maintained by the Bank and timelysubmission of the same to the Labour Office or any other authority.

Contractor has to pay monthly remuneration/payment/salary to allstaffs/workers deployed by them at site necessarily as per applicableminimum wages act as mentioned in tender. The workers engaged by the

agency for FMS job shall be governed by the Central Labour rules (which saythat out of state minimum wage or central wage whichever is higher shall beapplicable) and payment shall be made accordingly which will be reviewedhalf yearly basis as per government gazette notification. As an evidence ofsalary paid, contractor have to submit Salary Slips/ Copies of salary receiptregister, ESIC challan , Insurance Policy and PF challan, salary Accountstatement of all employees. etc. to the Bank.

Minimum rates of the wages per day shall be quoted in reference to thehead of construction maintenance of roads, runways or in buildingoperations including laying down underground electric wireless, radio,televisions, telephone, telegraph and overseas communication cables andsimilar other underground cabling work, electric lines, water supply lines andsewage pipe lines.

Any subsequent change in the payment structure required to be affected inaccordance with the revision in labour laws applicable to theemployer/employees shall be considered separately.

Emergency Telephone Numbers

The Contractor shall provide emergency telephone numbers for normal andout of hour’s operations with a maximum of two hour response time duringany breakdowns to essential utility services like cable fault, burst water mainsetc.

Occupational Health and Safety:

With regards to occupational health and safety, the contractor shall adhere tothe following: Comply with applicable local regulatory requirements. ESIC complianceby the contractor for their employee is must.

Comply with applicable Banks requirements specified in the contract andappendices.

Correct all health and safety non-compliances in a timely mannerand where there is an immediate danger to health or life, to stop workimmediately.

Be liable for liabilities arising due to non-compliance of contractoremployees, agents or sub-contractors with applicable requirements.

Communication

Maintain a system for recording and reporting accidents/ illnessoccurring at Bank of Baroda premises of P&FM ServiceContractor 's labour or while doing work for Bank of Baroda

Ensure that contract employees are trained and suitablyqualified for the risks involved.

Implement a communication process with Bank of Baroda andcontractor employees on equipment hazards, unsafe conditionsor acts and actions required to prevent injury or damage toproperty and where necessary, to provide suitable and effectivemeans of warning

Periodically report to Bank of Baroda on the performance of thesafety management system, programs, violations of safe workpractices and status of corrective plans.

Safety Management

Initiate and maintain safety management programs to protectcontractor's employees from hazards through procedures, practices,and regular inspection of the work areas, materials, equipment,information and training necessary for safe work performance.

Maintain records including but not limited to contractor employees’training, hazard assessments, communications, permits, licenses andaccidental investigations.

In instances, where such work is carried out, implement permit to workprograms, including but not limited to hot work, cold work, and entryinto confined spaces, work on fire suppression systems and work onhigh voltage and live electrical equipments.

Disaster Recovery Plans

The contractor shall annually provide and maintain disaster recovery plansfor all services, building systems, with the first plan completed at the end ofthe transition period. The steps should be detailed enough to facilitate thedecision-making and significantly reduce the time needed to recover theservices.

In cases, where a service is entirely provided by a single sub-contractor, thesub-contractor shall prepare the recovery plan for the said services and thecontractor shall review it. The P & FM contractor shall be responsible toensure that the plans are up to date at all times and shall present therecovery plan to Bank of Baroda once in six months. In the event of a naturaldisaster or man made disaster, e.g. severe water cuts, the contractor shallcoordinate the execution of the disaster recovery plan to provide suitabledrinking water. A copy of all disaster recovery plans to be submitted to theBank and one copy must be available at site.

In addition to the clause Terms of Payment on page no. 20 .The P & FM billshall be prepared by the contractor in the form prescribed by the Bank onmonthly basis. The bill in proper form must be duly accompanied by detailsof work carried out in that month and must show deductions for all previouspayments etc. Bank at its discretion shall verify strength of workers engaged,equipments & material used, quality of service rendered etc.In case of any deficiency in services observed by the Bank during thecontract period, Bank may give necessary instruction to the contractor toimprove the services (or to correct the deficiencies observed). In case,deficiency continues/unattended for reasonable/long period, Bank maydeduct as a penalty from monthly bill @ 1% of bill amount per week ofdeficiency period maximum up to 5% of bill amount.

SAFETY CODE

Scaffolds

i. Suitable scaffolds and safety nets shall be provided forworkmen for all works that cannot safely be done from theground, or from solid construction except in the case of shortduration work, which can be done safely from ladders. When aladder is used, it shall be of rigid construction made either ofgood quality wood or steel. The steps shall have minimumwidth of 450 mm and a maximum rise of 300 mm. Suitablehands holds of good quality wood or steel shall be given oninclination not steeper than ¼ to 1 (¼ horizontal and 1 vertical)

ii. Working platforms, gangways and stairways shall be soconstructed that they do not sag unduly or unequally and if theheight of the platform gangway or stairway is more than 4 mabove ground level or floor level, they shall be closely boardedand shall have adequate width and be suitably fenced asdescribed in

iii. Providing suitable fencing for every opening in the floor of abuilding or in a working platform with suitable means to preventthe fall of persons or materials or railing whose minimum heightshall be 1 m.

iv. Safe means of access shall be provided to all working places.Every ladder shall be securely fixed, No portable single laddershall be over 9 m in length while the width between side rails inrung ladder shall in no case, be less than 290 mm. For longerladders this width shall be increased at least 20 mm for eachadditional meter of length.

i. A sketch of the ladders and scaffolds proposed to be used shallbe prepared and approval of the Engineer of the Bank obtainedprior to construction.

ii. During any construction and project works all personnel of thecontractor working within the plant / site shall be provided withsafety helmets

iii. Adequate precautions shall be taken to prevent danger fromelectrical equipment. No materials on any of the sites of workshall be so stacked or placed as to cause danger orinconvenience to any person or the public.

APPLICABLE LAW AND ARBITRATION

Governing Law The terms of this contract shall be construed in accordancewith the laws of India. The Parties agree to submit to theexclusive jurisdiction of Courts at Vadodara in respect anymatters arising out of the Agreement.

The Bank and the Facility Management Services Contractoragree that they will first attempt to resolve any disputesregarding the Agreement through mutual consultation.However, if such consultations do not result in satisfaction toeither party within thirty (30) days after one party has givenwritten notice to the other to commence such consultations,then either party may refer the dispute to arbitration.

Arbitration: Any dispute, controversy or claim arising out of orrelating to the Agreement, or breach, termination or invaliditythereof, shall be settled by arbitration in accordance with TheArbitration and Conciliation Act, 1996 as at present in force andthe following provisions.

Language The arbitrators shall refer to the English text of the contract andall proceedings shall be conducted in English.

Performance Bank Guarantee:

In addition to security deposit, Contactor have to submit a PerformanceGuarantee for amount Rupess equal to 5% of total contract value to the Bank
