From 2010 to 2011, the financial crisis and debt crisis have deepened their negative impact on the

global economy. However, a leader of the global healthcare industry, Johnson &Johnson is on a strong

development path. “We delivered solid results for 2011, built on the strong growth of our recently launched

pharmaceutical products, and continued the steady momentum of new product approvals across all our

businesses,” said William C. Weldon, Chairman and former Chief Executive Officer. “Our talented people

are focused on bringing meaningful innovations to patients and customers to address significant unmet

needs, positioning us well to deliver sustainable leadership and profitable growth in health care.”

In our Consumer business, we have taken important steps to reinforce our culture of Quality and

Compliance. In our MD&D business, we announced a restructuring plan, dividing the business into three

global business groups: Global Surgery, Global Medical Solutions, and Global Orthopaedics. This will

enhance our ability to serve patients and customers as well as accelerate our growth over the long term.

In Pharmaceuticals, throughout 2011 we built on the continued success of recently introduced products,

which put our business back onto a strong growth trajectory. We also continued to strengthen our

leadership position in core therapeutic areas like immunology, infectious disease and oncology.

Johnson & Johnson’s strong performance in the China region is integral to strong global

performance. In 2010, Johnson & Johnson’s subsidiaries had revenue of more than 45 billion RMB in

China. In terms of human resources, Johnson & Johnson has created 10,800 direct jobs and 22,000

indirect jobs. At the end of 2011, Johnson & Johnson’s global recruitment network was opened to China,

providing global career development opportunities for more Chinese people. In terms of R&D, we have

also continued to be innovative. In 2010, we carried out 63 clinical trials in China, involving more than

13,300 patients. In April 2010, we officially launched Johnson & Johnson Medical (Suzhou) Ltd. In June

2011, Johnson & Johnson MD&D Asia-Pacific Innovation Center also opened.

Johnson & Johnson has a long tradition to support charitable causes. Carrying out the “caring

for the world” credo , we provide lifetime care from infancy to old age. In 2010 alone, Johnson &

Johnson China spent nearly RMB 47 million on charity and education programs, including supporting

continuing education for more than 270,000 nurses, and more than one million people benefited from

these programs. We have continuously provided funding for programs such as Leukemia (CDMP Data

Bank Expansion Project), Baby Touch Program, and Cultural Relics’ Preservation Project with China

Qinshihuang Terracotta Army Museum for more than 10 years. These programs with high reputation

positively affected Chinese society. In 2011, we increased our CSR/charity spending, donating nearly

RMB 80 million to more than 20 CSR/charity programs.

In addition, we also actively encourage our employees to participate in public good activities as

volunteers. In 2011, we launched 161 volunteer activities across the country, in various fields such

as community service, education and environmental protection. More than 21,500 people from the

disadvantaged groups, including children and seniors, have directly benefited from the work of nearly

4,000 Johnson & Johnson volunteers who contributed more than 16,000 volunteer service hours.

As the world’s most comprehensive and broadly based manufacturer of health care products, as well

as a provider of related consumer services, pharmaceutical and medical devices and diagnostics markets,

Johnson & Johnson implemented the “Healthy Planet 2010” program in 2006. In this program, Johnson &

Johnson worked together with our supply chain partners to improve energy efficiency, reduce emissions,

and upgrade product management, as well as other initiatives. This program ended in 2010 with outstanding

performance in China region: our use of water as raw materials has reduced by 91%, which is far higher than

the global goal of 10%; our carbon emission has been reduced by 48%, which is far higher than the preset

goal of 7% and also higher than the global goal of 23%. In October 2011, our MD&D Asia-Pacific Innovation

Center of Johnson & Johnson Medical (Suzhou) Ltd. in Suzhou was LEED-CI V3 Gold certified by the U.S. Green

Building Council. This is the first project of Johnson & Johnson in Asia Pacific to obtain the LEED (Leadership in

Energy and Environmental Design) Gold certification. This year, as the only candidate in the healthcare industry,

we won the Carbon-value Social Citizen Award at the 4th World Economic and Environmental Conference

(the 4th WEC) jointly sponsored by the United Nations Industrial Development Organization (UNIDO) and the

International Energy Conservation Environmental Protection Association (IEEPA). This was also the first major

environmental award won by Johnson & Johnson in China.

All of this demonstrates our long-term commitment to China and

also advances our partnerships in China. At the end of 2010, Johnson &

Johnson launched a global program called “Healthy Future 2015”, which

emphasizes the strategic significance of sustainable development and it

lays out Johnson & Johnson’s commitment to sustainable development

over the next 5 years. We are conf ident that this program wil l be

successfully implemented China.

Johnson & Johnson has upheld its commitment to “Caring for

people’s health and wellbeing” for over one hundred years. In 2011,

nearly 8,000 employees of Johnson & Johnson in China celebrated the

125th anniversary of Johnson & Johnson together with the other 118,000

employees from over 250 Johnson & Johnson companies in 60 countries

across the globe. Focusing on our core value of “Caring for the world

and everyone”, we have changed the lives of people one generation after

another with our products, our services and our innovations, helping to

improve their health and quality of life. Today Johnson & Johnson is the

world’s largest medical devices and diagnostics company, sixth-largest

consumer health care company, sixth-largest biological company, and

eighth-largest pharmaceutical company. We strongly believe that under the guidance of our Credo, we will continue to

be a good corporate citizen, and we are looking forward to building upon our previous achievements over the next 125

We believe our first responsibility is to the doctors, nurses and patients, the mothers and fathers and all others who use our products and services. In meeting their needs everything we do must be of high quality. We must constantly strive to reduce our costsin order to maintain reasonable prices.Customers' orders must be serviced promptly and accurately.our suppliers and distributors must have an opportunityto make a fair profit.

——From Our Credo

Caring through quality productsAt Johnson & Johnson, the quality and safety of our company’s products is our top priority. Every

product we sell must meet our rigorous standards for purity, safety and efficacy.

Product quality and safety processes begin during the design of our products and in ensuring that

ingredients to meet internal and external standards. We employ pharmacists, toxicologists, laboratory

analysts and other health scientists to conduct thorough evaluations before any raw material or

ingredient is used. The safety and quality of these materials is critical to protecting our customers and

to the success of the final products.

In consumer goods, since the introduction of baby talcum powder in 1894, Johnson & Johnson

has given top priority to the quality and safety of its products. Johnson & Johnson's baby ®products

adopt the same safety standards. All of Johnson & Johnson's baby products produced and sold in

China are the same as those in other countries and regions of the world, and they are approved to be

sold after rigorous examination by local regulators regardless of the specifications, formulas used and

components.

In response to the growing environmental awareness of consumers as well as to fulfill their demand

for pure natural baby products, Johnson & Johnson is also actively developing pure natural products. In

June 2010, Johnson & Johnson officially released the JOHNSON'S® NATURAL® baby line. In this line

of products, 98% of the components are from pure natural raw materials, such as fruits or plants, and

contain no allergic substance or simulative essential oil. This line of products is expected to enter the

China market in 2012.

In pharmaceutical industry, Xi’an-Janssen Pharmaceutical Ltd. is the largest facility of Johnson &

Johnson in China which has met China's and Europe's "Good Manufacturing Practice (GMP) standards in

both production and management. It has also adopted rigorous quality control throughout its operations,

from the selection of raw materials to manufacturing, packing and factory inspection of products. The

Janssen factory is located in Xi'an, an ancient capital city of China. The factory has established an

internationally recognized business management system, and has become an international production

center serving the entire globe with a reliable & efficient supply chain, a rigorous & smooth production

system, an efficient & safe international delivery system, and a strict & meticulous QA system.

Johnson & Johnson’s care for our customers

specifically manifests itself in our pursuit of quality,

focusing on the particular needs of Chinese customers

and supporting our supply chain partners.

Caring for Customers

Johnson & Johnson global Quality Policy

Our global quality policy requires each Johnson & Johnson operating company to: Ensure that products meet safety and quality requirements and perform as required

throughout their shelf-life. Ensure that all products we purchase from suppliers meet our requirements. Ensure that changes to materials, product labeling, packaging, processes, systems,

facilities, methods and equipment are reviewed and approved before they are made. Establish procedures to prevent diversion of product from its intended distribution

channel and protect it from counterfeit product. Establish or link to a system for handling product complaints and adverse events as

the law requires.

Standards for Responsible external manufacturing

Johnson & Johnson and our external manufactures share a common commitment to:

1) Comply with applicable legal requirements,

2) Behave ethically and with integrity,

3) Integrate quality into business processes,

4) Treat people with dignity and respect,

5) Promote the safety, health and well-being of employees,

6) Operate in an environmentally responsible manner and,

7) Implement management systems to ensure ongoing performance and continual

improvement.

Caring for Chinese CustomersFor the Chinese market, Johnson & Johnson has consistently delivered a diverse mix of

quality products to care for Chinese customers.

In Shanghai, Johnson & Johnson has an Emerging Market Innovation Center (EMIC), a

10,000-square-meter facility. At that center, researchers and product developers develop new and

affordable products that address the particular consumer needs of growing markets like China.

Through a consumer preference research program, an integral part of emerging market

product design and development, the developers found that most moms in China apply

cream on their baby's face in the morning before they go out, but reapplication during the

day or evening is regarded as wasteful and unnecessary. These findings were utilized during

the development and September 2008 launch of JOHNSON'S® BABY LONG PROTECTING

CREAM, clinically proven to replenish skin lipids lost in chilly, dry winter winds. The cream's

natural ingredients and the competitively priced 25-gram package meet needs in China's

emerging market.

China has a large population, but the healthcare services in most regions can only

meet people’s most basic needs, and diseases not covered by the basic medical insurance

can often cause heavy financial burdens to patients. In light of this, Johnson & Johnson has

adopted a different business model that provides a combination of suitable technologies

and products that satisfy the needs of grass-root hospitals performing surgical operations

common to their local regions. Through this approach, high-quality and affordable products

are developed to benefit patients who would otherwise be unable to get access to new

technologies.

Specialized surgical staplers are often used to connect tissue during certain surgical

operations. They are credited with quicker recovery times compared with suturing by hand.

However, due to the prohibitively high cost, devices designed for developed countries, like

these staplers, are often not adopted in emerging markets like China.

Dr. Zhao Zhongliang is a surgeon from the No.1 Hospital of Handan, Hebei Province. Recently, he and Johnson & Johnson jointly developed a new surgical stapler suitable for the local market, which is called Ethicon Endo-Surgery re-usable linear cutter. Dr. Zhao is excited about what the new surgical tool could mean for his patients.

"Patients who can now receive better healthcare at lower cost are certainly grateful," he says. "Now, patients don't carry the psychological weight of financial burden, so their recovery will be more complete and rapid."

"Our vision is to be a source of innovation for emerging markets and address the unique needs of patients in the Asia Pacific region. This might include devices for specific diseases that are prevalent in Asia, simplified and smaller instruments, multi-use or disposable products that are more economical, or a product range for rural health centers."

—— Michael del Prado, Company Group Chairman, Medical Devices & Diagnostics, Asia Pacific

Carrying on the ResponsibilityBeyond our company’s own manufacturing, we also rely on other firms to produce finished

goods and ingredients. The Johnson & Johnson Standards for Responsible External Manufacturing

help us select partners who operate in a manner consistent with our values and standards, and

they help our manufacturing partners understand our expectations. Since the Standards were

implemented in 2006, 98% of Johnson & Johnson's external manufacturers have been evaluated

to ensure that they always abide by our standards. In the future, we plan to extend the Standards

to all of our partners in the supply chain, covering more than 50,000 suppliers globally.

We look for suppliers that share the same sense of responsibility as Johnson & Johnson.

We screen and evaluate them by examining their actual operations, goal setting and social

impact. Additionally, we carry out regular field inspections in their factories to ensure complete

compliance.

We developed these standards taking into account the different legal and cultural environments in

which our external manufacturing partners operate as well as internationally recognized expectations for

business ethics, product quality, labor and employment, health and safety and the environment. Johnson

& Johnson assesses adherence to these standards and, when necessary, works with its external

manufacturing partners to identify and agree on corrective actions and schedules in order to achieve

complete compliance. Johnson & Johnson considers progress in meeting these standards as well as

ongoing performance in its sourcing decisions.

While selecting partners, Johnson & Johnson also provides support for them in capacity building, to

ensure that they can meet our rigorous standards specifying the safety & quality of materials. Using tools

like Maturity Ladder, Johnson & Johnson and its partners share their expertise and technologies so as to

systematically improve suppliers' performance in areas including vocational health, environmental safety,

quality control, building design, labor rights, and product quality.

As of 2011, we are ahead of our original internal schedule which set the goal of ultimately reducing

the number of our suppliers and external manufacturers by one-third while improving quality.

CARINg foR CuStomeRS

J&J considers suppliers to be extensions of itself rather than outside

parties. As such, J&J holds its suppliers to very high standards. For many

first-time Chinese J&J suppliers, the initial gap between J&J quality, EHS,

and sustainability standards and their performance was very large. Faced

with the long list of stringent J&J standards, many were unsure where to

start to fulfill these requirements.

To he lp suppl ie rs bu i ld capaci t y to meet J&J standards, J&J

introduced the concept of a Matur i t y Ladder to i ts supply cha in

management. The Maturity Ladder breaks down a supplier's natural

learn ing cur ve into d iscrete steps, wi th each step represent ing a

progressively higher level of ‘maturity' on the way to achieving J&J's

expectations of its suppliers. J&J has seen external manufactures progress

from initial steps to advanced performance in 2-3 years.

We are responsible to our employees, the men and women who work with us throughout the world. everyone must be considered as an individual. We must respect their dignity and recognize their merit. they must have a sense of security in their jobs. Compensation must be fair and adequate, and working conditions clean, orderly and safe. We must be mindful of ways to help our employees fulfill their family responsibilities. employees must feel free to make suggestions and complaints. there must be equal opportunity for employment, development and advancement for those qualified. We must provide competent management, and their actions must be just and ethical.

——Quoted from Our Credo

Human Resource management SystemJ&J's Credo is a powerful anchor for setting common expectations and guiding ethical behavior

for all employees in China and around the world. Guided by the Credo, we regard our employees

as our most valuable asset and use sophisticated management systems to fully satisfy employees'

requirements. There is a unified HR Council for the seven subsidiaries of Johnson & Johnson in

China. This is an informal internal communication platform that enables discussion of common

challenges and the sharing of best practices through a monthly meeting. It can also launch cross-

sector employee programs and events throughout Johnson & Johnson China with the approval from

the China President's Council.

Recruitment and diverse CulturesAttracting and retaining people is the key to Johnson & Johnson's success. Johnson & Johnson officially

launched the global recruitment model* on December 5, 2011, and Johnson & Johnson's subsidiaries in

China, including Xi'an Janssen, Johnson & Johnson China, Shanghai Johnson & Johnson Pharmaceutical,

Beijing Dabao, Johnson & Johnson Medical (Suzhou) Ltd., and Johnson & Johnson Vision Care, took the lead

in adopting the model. This brand-new global recruitment model is based on a web platform, which not only

provides more comprehensive and adequate job information for external applicants. It also makes internal

recruitment process more transparent, taking the career development opportunities for internal employees

within the Johnson & Johnson family into full consideration. Johnson & Johnson employees can visit the intranet

site to learn about global job vacancies. This model has made job applications across departments, industries,

and even countries and regions possible. It has increased the autonomy and selection scope of the employees

in career development and has provided a richer and more diverse career development platform.

Global diversity and inclusion is the key to success, and our Credo demands that we are diverse. The diversity of

employees makes our workplace more comprehensive and colorful. It also helps us to better understand the varying

needs of different groups in various parts of the world, so that we can better develop and provide products and

services that meet people’s different needs. We know that every invention, every product, and every breakthrough

we’ve brought to human health and well-being has been powered by people’s diversity. Johnson & Johnson adopts

an equal employment opportunity policy, respects and safeguards international human rights conventions and

labor standards, prohibits child labor and forced labor. Among the over 8,000 employees of Johnson & Johnson in

China, 46% are women, and the percentage of women in senior management positions is 38%.

* The global recruitment model was f irst adopted in the U.S. Headquar ters of Johnson & Johnson and was later extended to more than 20 countries and regions across the globe. In Asia, the countries adopting this model include China, Thailand, Singapore, Malaysia, and Vietnam. Job seekers can visit www.careers.jnj.com.

Since the Buddy Program’s launch in 2007, many colleagues have had

the honor of being Buddies, and many new employees have also benefited

from the attention and care of the program. Now, in order to further expand

and develop the Buddy Program and to integrate it into the culture and

tradition at Xian Janssen, we have made new adjustments and improvements

to the program.

The improved Buddy Program will be targeted not only at helping new

employees adapt to their working environments, but also at helping new

managers transition to their new roles. We have also compiled a Guide for

Buddies that includes information new employees and managers should

understand as well as answers to some of the questions that they have asked

in the past so that Buddies can be more effective in their roles.

We have also developed a specific system to better reward and

recognize excellent Buddies for the additional time and effort that they

have put forth. Any employee who participates in the Buddy Program and

successfully performs his or her duties as a Buddy will be eligible to be

nominated for the Encore Award. At the same time, notable actions and

deeds of Buddies will also be recorded and shared within the Company’s

intranet and communications network.

the Buddy Program

optimizing Work, family, and Personal LifeJohnson & Johnson believes that there should be a balance between work and life and that the

company should provide overall support for its employees to help every individual improve their work-life

balance. This demonstrates our commitment to our credo of caring for every aspect of our employees.

Programs launched by the company internally include the following:

employee Assistance Program (eAP) — to help employees and their families solve personal issues,

promote mental health, and strike a balance between work and life. It includes a diverse range of

consulting and mentoring services such as the 24x7 hotline, case-by-case consulting, and multimedia

message (MMS) service;

Proactive Health Assessment Program — to help employees create e-health records and assess

their risk for certain health problems through online health diagnosis;

Workplace Health Program — to help ensure the health and safety of employees through on-site,

online, and group health promotion programs, such as healthy diet talks, thereby achieving our objective

of advancing employee health and work safety;

Wellness and fitness Services — to address employees' health and wellness needs. Some

companies offer on-site fitness centers, personal training, and exercise classes.

The International Development Program (IDP) is an internal training program of

Johnson & Johnson designed to promote the company’s global operations. In this

program, employees are assigned to overseas Johnson & Johnson companies to

study and work, with the goal of developing management teams that can efficiently

operate in a global and diverse workplace on a larger scale and at a higher standard.

During 12 to 24 months of overseas assignment, managers with high potential to

advance to senior management positions will focus on developing their skills with

respect to global business issues, organizational development, and the training and

development of people.

Johnson & Johnson China sends top employees to receive on-the-job training at

other Johnson & Johnson subsidiaries in various parts of the world each year. To date,

many colleagues from the China region have already received field training in areas

such as to marketing, sales, finance, HR, and consulting in countries around the world,

including the United States, Canada, UK, Belgium, Australia, Singapore, and Mexico.

These employees then apply what they learned abroad to their work here in China.

the International Development Program

the Intergenerational Program of Johnson & Johnson (China) Co., Ltd

The purpose of the intergenerational program is to create a diverse and comprehensive

environment to help employees from different generations improve work satisfaction and

engagement. Using long term activities, including intergenerational dialogue, OurTouch Internal

social network, healthy life plan, and volunteer association, the program promotes a better

understanding of the varying needs of employees from different generations and encourages better

cooperation and communication. This program promotes a healthy lifestyle and helps people more

ably satisfy their social and family responsibilities. The program encourages active participation

and feedback and was awarded best practice program by the Diversity Best Practice.

School of Personal and Professional Development and our e-University are available online

to all employees, with compulsory courses that are closely related to social responsibilities,

such as anti-corruption laws and regulations in overseas countries and adverse drug

Neonatal Resuscitation Program

In 2004, Johnson & Johnson teamed up with the American Academy of

Pediatrics to launch the Neonatal Resuscitation Program in China. This program

has already covered more than 20,000 delivery organizations in over 20 Chinese

provinces, municipalities and autonomous regions, and trained nearly 100,000

professional medical workers. Data from 322 hospitals across the country show

that in the last five years over 90,000 newborns have been saved from death or

being handicapped thanks to this program. The mortality rate of newborns due to

suffocation in regions covered by the program has been reduced by 53%, and the

preset goal has also been realized, i.e., each delivery site has one medical worker

who has mastered the neonatal resuscitation techniques. In 2011, the program

launched its second 5-year plan. According to official predictions, if more doctors

and nurses can master the neonatal resuscitation techniques, more than 20,000

newborns across the country will be saved each year over the next five years.

Pregnant Women School

The "Pregnant Women School" initiative was launched by Johnson & Johnson

and the Chinese Medical Association with the guidance and support from related

government agencies. This program provides healthcare education for pregnant

women during pregnancy and the prenatal period and has received professional

support from related authoritative medical institutions. The participating hospitals

assign professional gynecological & obstetric doctors and nurses to work as

teachers in the Pregnant Women Schools training pregnant women on appropriate

healthcare practices in courses that are organized by local professional maternity

care organizations. Today, the "Pregnant Women School" program operates in 385

cities across the country and is now extending its healthcare education & training

for pregnant women from tier-1 cities to tier-2 & 3 cities.

Sight for kids Program

Johnson & Johnson Vision Care (Shanghai) Ltd, in cooperation with the Lions

Clubs International, provides sight check, treatment (providing glasses or surgery)

and eye care education for children in Asia. In China, this program primarily

Johnson & Johnson has been supporting Safe Kids Worldwide globally

for 25 years since Safe Kids was initially organized in 1987. Johnson &

Johnson witnessed the evolution of Safe Kids from a startup organization

in the United States into a leading international nonprofit organization. In

1999, Shanghai Johnson & Johnson Pharmaceutical Co., Ltd., introduced

the nonprofit program "Safe Kids" to China, and called it the "Safe Kids

Campaign". Since then, Johnson & Johnson has launched a major outdoor

education event called "Safe Kids Week" each year in cooperation with

Safe Kids Worldwide.

In 2002, the "Johnson & Johnson Safety School for Parents" was

officially launched, starting a year-round continuous Safe Kids education

program. The safety education for parents was based in kindergartens,

asking kindergarten teachers to teach parents how to prevent accidental

injuries of young children. Since 1999, over 1,000 doctors have participated

in education of parents and children. About 2,000 volunteers from Johnson

& Johnson have been involved in organization and publicity. The 2007 data

show that the mortality rate of children from accidental injuries has fallen by

about 26% since 2000, and this is the result of the joint efforts by Johnson

& Johnson, Safe Kids Worldwide, and various other groups.

Johnson & Johnson's commitment to safe Kids unchanged for 25 years

focuses on kindergartens where students’ parents are migrant workers from rural areas. To date, sight

screenings have been administered to more than 7,000 children.

Safe kids Program

Having collaborated with Safe Kids Worldwide for over 20 years, J&J launched a series of Safe Kids

activities for Chinese children under 14 and their parents to prevent accidental injury. Now more than six

million children and their parents in 23 cities across the country have received various forms of safety

education, and the media reports that more than 100 million people have been helped by the project.

This program has helped to reduce the injury and death rates of children in China in recent years.

Xi'an Janssen began to use a solar power generation system in May 2008.

With an investment of RMB 630 thousand, the system was installed in front

of the administrative building and connected in parallel to the existing street

lighting system. It also includes a meter to indicate the accumulated amount

of electricity generated before and after the renovation. At the same time, an

automatic rotation system to track the sun was also installed to maximize the

power generation efficiency. After it was used, the solar power generation

system generates 11,000 KWh of electricity a year, saves cost by RMB 5,000,

and reduces carbon dioxide emission by 6.8kg-34kg and sulphur dioxide

emission by 59g-295g a day.

The solar water heater of Xi'an Janssen was installed in April 2008 and is

mainly used for supplying hot water to the canteen. The system can produce 5

tons of hot water with a temperature of up to 65, every day, save RMB 80-300

every day, and reduce carbon dioxide emissions by 55kg-176kg and sulphur

dioxide emissions by 507g-1534g every day.

Johnson & Johnson sets specific and long-term environmental goals every five years, to deliver

on its credo: "We must maintain in good order the property we are privileged to use, protecting the

environment and natural resources" In terms of the environmental management system, Johnson &

Johnson China received the ISO14001 certification in 2000, and we have also been improving the

company's environmental system each year through multiple regulatory and audit approaches including

the company's internal audit, ERMCVS field supervisory audit, and third-party audit.

As of the end of 2010, we had achieved the following:

1. Product Stewardship

At Johnson & Johnson, product stewardship means understanding and controlling the potential

environmental and social impacts of our products throughout their life cycles, from design and

development to the selection of the materials from which our products are made and the transportation

of those materials, through production and packaging, and product use and disposal. To do this, we

have designed and implemented tools for our businesses to assess the impacts of products, processes,

and packaging on the environment, and set goals to enhance environmental management.

In 2009 we introduced EARTHWARDS™, a new design and assessment process to help Johnson &

Johnson companies understand and improve upon each aspect of a product's environmental footprint.

Our product development teams use this process to analyze seven areas where our products could have

the greatest environmental impact: use of raw materials, waste reduction, water saving, energy saving,

packaging, product innovation and positive social impact. The products that result from this analysis and

improvement process meet customer needs and are more environmentally friendly. Over the next five years,

we aim to have at least 60 products achieve the Earthwards designation. In 2010, Johnson & Johnson

China began to provide training across companies and across departments in three regions: Shanghai,

Suzhou, and Beijing, to ensure that the teams in China can carry out the EARTHWARDS™ spirit.

2. Reducing Waste

Proper waste reduction, disposal and recycling are critical to maintaining a healthy planet. Our

Healthy Planet 2010 goal was to reduce hazardous and non-hazardous waste by 10 percent from

our 2005 baseline. We are pleased that we have achieved this goal with a 25 percent decrease in

hazardous waste and a 12 percent reduction in non-hazardous waste between 2005 and 2010. In

the China region, hazardous waste was reduced by 91%*, and non-hazardous waste was reduced by

58%*. Yet, there is more to do. We intend to achieve a 10 percent absolute reduction in total waste

disposal using 2010 as a baseline.

Johnson & Johnson is also improving its packaging. In 2007, PVC, polyvinyl chloride, was

eliminated from most consumer packaging. Also in 2007, JOHNSON'S SOOTHING NATURALS™ lines

added 30 percent post-consumer recycled material to their high-density polyethylene bottles.

3. Water usage

Whether it's the water we use in our facilities or the water people drink, clean and sufficient

water is critical to human health. Water scarcity and quality remain important issues in many parts

of the world where Johnson & Johnson has operations. Our Statement on Human Right to Water

Usage recognizes that everyone is entitled to sufficient water that is safe and acceptable, physically

accessible and affordable.

We seek to achieve another 10 percent reduction in water use across the company as part of

our Healthy Planet 2010 goals, using our 2005 consumption as a baseline. As of the end of 2010,

Johnson & Johnson used 11.30 million cubic meters of water globally, with an absolute saving rate

of 9.5%; the relative saving rate of the China region was 41%*. In the next five years, we will strive to

meet our goal of reducing water use by 10% across the company compared with the 2010 level. And

in 2010, we participated in the Carbon Disclosure Project's first water disclosure project.

*LEED is the abbreviation of Leadership in Energy and Environmental Design, which was created by USGBC (U.S. Green Building Council), the only nonprofit organization representing the entire building industry in the U.S. in 1998.

Johnson & Johnson (Suzhou) Medical's Phase-II office building has a total floor area of about

5,500 square meters, and was certified as LEED-NC V3 Silver by the Leadership in Energy and

Environmental Design (LEED) of the U.S. Green Building Council (USGBC) on January 20, 2011*.

It was the first LEED certified project of Johnson & Johnson in the entire Asia Pacific region. The

MD&D Asia Pacific Innovation Center of Johnson & Johnson Medical (Suzhou) Ltd. located on the first

floor was certified as LEED-CI V3 Gold on October 15, 2011, making it the first project of Johnson &

Johnson in Asia Pacific to be LEED Gold certified.

In terms of the use of materials ,the entire Phase-II office building uses environment-friendly

decoration materials and carpets to reduce the influence of the environment . Meanwhile, highly

recyclable materials as well as local materials are also used to reduce environmental impacts. The

reuse of building materials is enhanced, and FSC-certified timbers are used to ensure ecological

sustainability. In terms of indoor air quality control, efforts are made to increase fresh air, to filter

fresh air and to monitor fresh air, as well as to use environmentally-friendly decoration materials and

carpets, so as to reduce air pollution and ensure indoor air quality.

The office building's outer facade uses the dual-silver LOW-E glass and the highly reflecting

roof. Meanwhile, in order to optimize the lighting system within the office building, all the lamps

used are energy efficient lamps, and some of them are LED lamps. In areas where people are highly

concentrated such as the meeting rooms, the tea rooms, and the washrooms, IR sensors are used to

control lighting. All the washrooms in the office building are equipped with the water-saving fixtures.

These water-saving measures enable the Phase-II office building as a whole to save electricity by

22.74% or 100 megawatts/year (using the standard of the American Society of Heating,Refrigerating

and Air-Conditioning Engineers or ASHRAE as the baseline), and save water by 37% or 380 cubic

meters/year (using the standard of the U.S Environmental Protection Agency or EPA as the baseline).

The MD&D Asia Pacific Innovation Center located on the first floor can save electricity by 35% or 15

megawatts/year in lighting alone and save water by 42% or 138 cubic meters/year, as it has used the

internal decoration technologies with higher standards.

In terms of environmental keep, the entire building uses environmentally-friendly cleansers

meeting the Green Seal GS-S7 standard every day, and at the same time, we also educate our

employees about green buildings and teach them how to correctly use green buildings.

4. Carbon Reduction

In terms of energy saving and emissions reduction, Johnson & Johnson China internally has

implemented and adopted various energy-saving projects, such as using the boiler's steam to save

energy and reduce the energy use within the factories, using clean energy, and implementing the

company's internal and external tree-planting program to reduce carbon emissions.

While our emissions reduction efforts are focused primarily on carbon dioxide, we also monitor

emissions of nitrous oxides (NOX), sulfur oxides (SOX), volatile organic compounds and other air

pollutants. In 2009 we began collecting baseline data for emissions of NOX and SOX and plan to report

these metrics in future years. Our Climate Friendly Energy Policy sets forth our goals to reduce both

facility- and transportation-related emissions.

We exceeded our Healthy Planet 2010 climate change goal to reduce our baseline 1990 CO2

emission levels by seven percent in absolute terms by 2010, achieving a 23 percent absolute reduction at

the end of 2010, and a 48 percent relative reduction in China. By 2020, we seek to achieve a further 20

percent absolute reduction from our 2010 baseline.

5. green Partners

Johnson & Johnson has also extended its environmental practices to communities. To demonstrate

its commitment to the company's credo, Johnson & Johnson China has been launching community

environmental activities in cooperation with local environmental protection agencies, schools and

environmental societies each year since 2000. Johnson & Johnson strongly believes that with the joint

efforts of multiple parties, including governments, businesses, community residents and schools,

citizens’ environmental awareness will be improved on an ongoing basis, and the environment in which

we live will also become better and better.

Company overviewIn the Credo of Johnson & Johnson, the responsibility to stockholders is the last one. This

is because Johnson & Johnson believes that as long as we fulfill our responsibility to customers,

employees and society to the greatest extent possible, we will enable our stockholders to make a

reasonable profit.

In 2011, Johnson & Johnson worldwide sales were $65 billion, and this year is the 28th year of

continuous profit growth for the company. Through new product releases, strong product lines and

investment in key growth areas, we continue to consolidate market leadership and promote earnings

growth .Today Johnson & Johnson has become the world’s largest medical devices and diagnostics

company, sixth-largest consumer health care company, sixth-largest biological company, and eighth-

largest pharmaceutical company.

Johnson & Johnson is organized on the principles of decentralized management. The Executive

Committee of Johnson & Johnson is the principal management group responsible for the strategic

operations and allocation of resources of the Johnson & Johnson family of companies. Johnson

& Johnson's operating companies are organized into three business segments: Consumer,

Pharmaceutical and Medical Devices and Diagnostics. A Group Operating Committee, composed of

managers who represent key operations within the segment, as well as management in specialized

functional departments, oversees and coordinates the activities of domestic and international

companies related to each of the business segments. However, in l ine with the principle of

decentralized management, senior management groups at U.S. and international operating companies

are each responsible for their own strategic plans, as well as the day-to-day operations of those

companies, and each international company is, with some exceptions, managed by citizens of the

country where it is located.

global Sustainability StrategyIn 2011, when we were celebrating the 125th anniversary of Johnson & Johnson, we were also

cheering another milestone—the achievement of our environmental goal "Healthy Planet 2010" and the

start of our new comprehensive goal, "Healthy Future 2015". It is the first time that Johnson & Johnson

has set global sustainability commitments across a variety of priorities.

"Healthy Future 2015" has three parts as below:

governanceTo better advance Johnson & Johnson's CSR practice in China, we set up the Corporate

Social Responsibility Committee in 2007, which consists of the senior and mid-level management

personnel of the subsidiary companies, including representatives from various functional units such

as Government Affairs, Public Relations, Human Resources, and Legal Affairs & Compliance. The

Corporate Social Responsibility Committee sets Johnson & Johnson's CSR goals, strategies, budgets

and priorities in China at two meetings each year. The CSR Committee is responsible for reporting to

the China Presidents’ Council.

The China Presidents' Council consists of the presidents of J&J subsidiary companies in China

as well as other senior executives at these companies. The China Presidents' Council members meet

every quarter to discuss various operations of Johnson & Johnson in China, make decisions on major

issues, and take sole responsibility for Johnson & Johnson's business development in China.

Johnson & Johnson has established 5 Innovation Centers, in 2011, there were 81 clinical trials and 12,260 patients were involved.

Anti-CounterfeitingJohnson & Johnson believes that brand value is important for rewarding for stockholders, and due

to this we have focused on protecting our brand. Johnson & Johnson launched a Global Brand Protection

group in 2007 and held our first Global Brand Protection Summit in 2008 to examine the scope of criminal

counterfeiting activity, its impact on business and how best to address these risks. All prescription drug

products have anti-counterfeiting features, and this drives the effort to continually evaluate new technologies

and tools to protect patients who use Johnson & Johnson products. We also conduct training for those who

handle and sell our products to facilitate early identification of potential risks. All of these efforts are made in

order to better protect the health and safety of the many patients who trust us.

Research & development InnovationOur first-class R&D capability is the core of Johnson & Johnson’s strategy to ensure a healthy return to

the stockholders. Johnson & Johnson invests more in R&D projects in order to consistently improve health

conditions, manufacture new products and provide new services across the world. In 2011, $7.5 billion, or

11.5% of sales, was invested in research and development. With a consistent flow of new products based

on scientific innovation, approximately a quarter of Johnson & Johnson sales last year came from new

products introduced in the past five years.

Johnson & Johnson has attached high importance to the research & development of products needed

in China as well as corresponding technological innovations. Following the Johnson & Johnson Shanghai

Innovation Center for Emerging Markets and the Johnson & Johnson Pharmaceutical R&D Center, in

2011 we launched the Johnson & Johnson Medical Companies Innovation Center in Suzhou, China. This

is the first medical devices and diagnostic innovation center in China and the second in Asia aimed at

addressing unique needs of people in Asia. The Center will serve as a key pillar in Johnson & Johnson's

Market Appropriate Innovation strategy. This strategy combines Johnson & Johnson's full understanding

of the regional market as well as Johnson & Johnson's brand advantages and overall strength in global

medical equipment & diagnostic product fields to better meet the needs of medical workers, patients and

customers in the Asian market, China included.

The establishment of R&D centers is a key part of Johnson & Johnson's long-term strategy for China.

By increasing the R&D investment in China's healthcare technology sector, Johnson & Johnson can build up

its own competitive edge, promote the long-term development of local human resources and technological

innovation, and deliver on its commitment to caring for the Chinese society on an ongoing basis.

openness Drives InnovationThese scientists are part of a partnership program between Johnson & Johnson and Tianjin Medical University Cancer Hospital in China to collect and catalogue tumor specimens from patients. The effort will allow researchers to identify biomarkers that could help personalize medicine and advance cancer treatment. Personalized medicine, which is customized to individual needs and unique responses to treatments, promises better health care, yet presents a challenge to science and business models. But because it can ensure better treatment, Johnson & Johnson is willing to pursue these efforts. "By working across companies, universities and research institutes, we can tap a wider range of expertise, capabilities and resources," says Paul Stof fels, M.D., Worldwide Chairman, Pharmaceuticals. "Together we can share in both the benefits and costs of innovation, yielding more useful technologies and solutions that will contribute to new advances in health care. "In addition to such research collaborations, Johnson & Johnson has established partnerships with industry groups like the International Serious Adverse Events Consortium (ISAEC), of which Johnson & Johnson is a founding member.
