Commission March 21, 2018 3 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
P R O C E E D I N G S 1
CHAIRMAN WHITFIELD: Please be seated. We’ll 2
call this Commission Meeting to order and ask that 3
we pause for a moment of silent meditation. 4
[Brief pause] 5
Amen. 6
Mr. Pratt 7
MR. PRATT: Mr. Chairman and Commissioners, 8
the first order of business would be to set the 9
time of the next meeting, and I’d like to suggest 10
Wednesday, April 4th, at 2 p.m. 11
CHAIRMAN WHITFIELD: April 4th sounds good, 12
Mr. Pratt. 13
MR. PRATT: Moving to the Utility Agenda our 14
first item is Docket No. 2018-9-E, which is South 15
Carolina Electric & Gas Company’s Integrated 16
Resource Plan, and we have a Petition to Intervene. 17
COMMISSIONER HAMILTON: Mr. Chairman. 18
CHAIRMAN WHITFIELD: Commissioner Hamilton. 19
COMMISSIONER HAMILTON: Mr. Chairman, before I 20
make the motion, I’d like to note that if our 21
visitors move any closer to the back, they’ll be 22
blocking traffic. 23
[Laughter] 24
CHAIRMAN WHITFIELD: So noted, Commissioner 25
Hamilton. 26
COMMISSIONER HAMILTON: Thank you, sir. Mr. 27
Chairman, I’d like to move to grant the Petition to 28
Intervene in Docket No. 2018-9-E, filed on behalf 29
of the South Carolina Coastal Conservation League 30
and the Southern Alliance for Clean Energy. So 31
moved, sir. 32
Commission March 21, 2018 4 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
CHAIRMAN WHITFIELD: Thank you, Commissioner 1
Hamilton. 2
Commissioners, you’ve heard Commissioner 3
Hamilton’s motion. Is there any discussion? 4
[No response] 5
Hearing none, all those in favor, please, say 6
“aye”? 7
COMMISSIONERS: Aye. 8
CHAIRMAN WHITFIELD: Any opposed? 9
[No response] 10
Motion carries. 11
Mr. Pratt. 12
MR. PRATT: Yes, sir. Mr. Chairman and 13
Commissioners, Item 2 is Docket No. 2018-73-E, and 14
this is South Carolina Electric & Gas Company’s 15
request for approval of a contract for electric 16
service with Trane U.S., Incorporated, and a 17
request for confidential treatment. 18
COMMISSIONER BOCKMAN: Mr. Chairman? 19
CHAIRMAN WHITFIELD: Commissioner Bockman. 20
COMMISSIONER BOCKMAN: Mr. Chairman, I have a 21
motion I’d like to make in connection with this 22
matter, please. I would move that we approve the 23
contract and grant the company’s request for 24
confidential treatment of certain provisions of the 25
contract, as it includes pricing and design 26
information designated by FERC as Critical 27
Energy/Electric Infrastructure Information. The 28
Office of Regulatory Staff does not object to this 29
contract, Mr. Chairman, and I would so move that we 30
approve it. 31
CHAIRMAN WHITFIELD: Thank you, Commissioner 32
Commission March 21, 2018 5 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
Bockman. 1
Commissioners, you’ve heard Commissioner 2
Bockman’s motion. Is there any discussion? 3
[No response] 4
If not, all those in favor, please, say “aye”? 5
COMMISSIONERS: Aye. 6
CHAIRMAN WHITFIELD: Any opposed? 7
[No response] 8
Motion carries. 9
MR. PRATT: Mr. Chairman, Commissioners, Item 10
3 is Docket No. 2018-75-E, which is a Renewable 11
Power Purchase Agreement between South Carolina 12
Electric & Gas Company and Midlands Solar, LLC. 13
COMMISSIONER ELAM: Mr. Chairman? 14
CHAIRMAN WHITFIELD: Commissioner Elam. 15
COMMISSIONER ELAM: Mr. Chairman, I move we 16
accept for filing the Renewable Power Purchase 17
Agreement and Amendment between South Carolina 18
Electric & Gas Company and Midlands Solar, LLC. So 19
moved. 20
CHAIRMAN WHITFIELD: Thank you. 21
You’ve heard Commissioner Elam’s motion. Is 22
there any discussion? 23
[No response] 24
Hearing none, all those in favor of 25
Commissioner Elam’s motion, please, say “aye.” 26
COMMISSIONERS: Aye. 27
CHAIRMAN WHITFIELD: Any opposed? 28
[No response] 29
Motion carries. 30
MR. PRATT: Mr. Chairman and other 31
Commissioners, in Item 4, we have a Power Purchase 32
Commission March 21, 2018 6 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
Agreement between Duke Energy Progress and Cherry 1
Blossom Solar, LLC. 2
COMMISSIONER ELAM: Mr. Chairman? 3
CHAIRMAN WHITFIELD: Commissioner Elam. 4
COMMISSIONER ELAM: Mr. Chairman, after review 5
of the confidential portions of the agreement, I 6
find that they are narrowly drawn and specifically 7
targeted to protect confidential or proprietary 8
terms and are exempt from disclosure pursuant to 9
South Carolina Code Section 58-4-55(C). Therefore, 10
I move that we accept for filing and grant 11
confidential treatment, based on the same rationale 12
as our rulings in Docket 2016-41-E and 2016-42-E. 13
So moved. 14
CHAIRMAN WHITFIELD: Thank you, Commissioner 15
Elam. 16
Commissioners, you’ve heard Commissioner 17
Elam’s motion. Is there any discussion or any 18
questions regarding his motion? 19
[No response] 20
Hearing none, all those in favor, please, say 21
“aye.” 22
COMMISSIONERS: Aye. 23
CHAIRMAN WHITFIELD: Any opposed? 24
[No response] 25
Motion carries. 26
MR. PRATT: Mr. Chairman and Commissioners, 27
Item 5 is Docket No. 2018-60-E, which is the Sallie 28
Saldano Complaint against South Carolina Electric & 29
Gas Company. We have a Motion to Dismiss. We 30
would like to carry this item over. 31
CHAIRMAN WHITFIELD: So noted, Mr. Pratt. We 32
Commission March 21, 2018 7 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
will carry over Item 5. 1
MR. PRATT: Thank you. Item 6 is the 2
Application of Duke Energy Progress, LLC, for 3
approval of the transfer and sale of property in 4
Holly Springs, North Carolina. 5
COMMISSIONER ELAM: Mr. Chairman? 6
CHAIRMAN WHITFIELD: Commissioner Elam. 7
COMMISSIONER ELAM: Since I’ve apparently 8
still got the floor and love the sound of my own 9
voice, on this particular filing by Duke Energy 10
Progress it concerns a 425-acre parcel of vacant 11
land not required for utility operations. A 12
contract to sell property to Shenandoah Homes for 13
$17 million, that’s what the contract is for, and 14
Shenandoah Homes is not affiliated with Duke Energy 15
Progress. The property was marketed by a DEP 16
employee, who is a licensed real estate broker and 17
who is familiar with property values in the market 18
for tracts like the property at issue. 19
The property has a tax value of $14,675,799. 20
As of May 25, 2017, the appraised value of the 21
property was $12,765,000, and the property has a 22
net book value of $591,622. 23
The original cost of the property will be 24
credited as a reduction of the amount carried under 25
Account 101, “Electric Plant in Service.” The 26
difference between the sales price and the original 27
cost of the non-depreciable property will be 28
applied to Account 421.10, “Gain on Disposition of 29
Property.” 30
And last but not least, ORS does not oppose 31
the sale. 32
Commission March 21, 2018 8 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
Therefore, I would move that we accept — 1
approve the filing. 2
CHAIRMAN WHITFIELD: Thank you, Commissioner 3
Elam. 4
Commissioners, you’ve heard Commissioner 5
Elam’s motion for the approval of sale and transfer 6
of property of Duke, in the Holly Springs, North 7
Carolina, area, to a non-Duke-affiliate. Are there 8
any questions regarding Commissioner Elam’s motion? 9
[No response] 10
If not, all those in favor of Commissioner 11
Elam’s motion, please, say “aye.” 12
COMMISSIONERS: Aye. 13
CHAIRMAN WHITFIELD: Any opposed? 14
[No response] 15
Motion carries. 16
MR. PRATT: Mr. Chairman and Commissioners, 17
Item 7 is Docket No. 2018-25-E, which is the Joint 18
Petition to transfer a Certificate of Environmental 19
Compatibility and Public Convenience and Necessity 20
from Columbia Energy, LLC, to South Carolina 21
Electric & Gas Company. 22
COMMISSIONER HOWARD: Mr. Chairman. 23
CHAIRMAN WHITFIELD: Commissioner Howard. 24
COMMISSIONER HOWARD: Thank you. In Docket 25
No. 2018-25-E, I move we hold in abeyance the 26
transfer of the Certificate of Environmental 27
Compatibility and Public Convenience and Necessity 28
from Columbia Energy Supply, LLC, to South Carolina 29
Electric & Gas Company, and order the companies to 30
file their agreement and request approval of their 31
steam contract. That’s my motion, Mr. Chairman. 32
Commission March 21, 2018 9 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
CHAIRMAN WHITFIELD: Thank you, Commissioner 1
Howard. 2
Commissioners, you’ve heard Commissioner 3
Howard’s motion. Is there any discussion or any 4
questions regarding his motion? 5
[No response] 6
Hearing none, all those in favor of 7
Commissioner Howard’s motion, please, say “aye.” 8
COMMISSIONERS: Aye. 9
CHAIRMAN WHITFIELD: Any opposed? 10
[No response] 11
Motion carries. 12
MR. PRATT: Mr. Chairman and Commissioners, 13
Item 8 is Docket No. 2018-72-E, which is the 14
Application of Duke Energy Carolinas, LLC, for 15
approval of Rider 10, Demand-Side Management and 16
Energy Efficiency for 2019, and they want to waive 17
notice and hearing. 18
COMMISSIONER FLEMING: Mr. Chairman. 19
CHAIRMAN WHITFIELD: Commissioner Fleming. 20
COMMISSIONER FLEMING: For Docket No. 2018-72-21
E, I move to deny the request for waiver of notice 22
and hold in abeyance the request for waiver of 23
hearing until intervention period has expired. I 24
so move. 25
CHAIRMAN WHITFIELD: Thank you, Commissioner 26
Fleming. 27
Commissioners, you’ve heard Commissioner 28
Fleming’s motion. Is there any discussion 29
regarding her motion? 30
[No response] 31
If not, all those in favor, please, say “aye”? 32
Commission March 21, 2018 10 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
COMMISSIONERS: Aye. 1
CHAIRMAN WHITFIELD: Any opposed? 2
[No response] 3
Motion carries. 4
MR. PRATT: Item 9, Docket No. 2016-384-S, 5
which is the Application of Moore Sewer, 6
Incorporated, for approval of an increase in sewer 7
rates. We have a request for a public night 8
hearing in Spartanburg County. 9
COMMISSIONER FLEMING: Mr. Chairman. 10
CHAIRMAN WHITFIELD: Commissioner Fleming. 11
COMMISSIONER FLEMING: For Docket No. 2016-12
384-S, I would invite all the interested parties to 13
attend the public hearing, public night hearing, 14
that is currently scheduled for 6 p.m., on May 3, 15
2018, at the Spartanburg County Council Chambers. 16
CHAIRMAN WHITFIELD: Thank you, Commissioner 17
Fleming. 18
You’ve heard Commissioner Fleming’s motion. 19
Is there any discussion regarding a night hearing 20
in Spartanburg? 21
[No response] 22
If not, all those in favor of Commissioner 23
Fleming’s motion, please, say “aye.” 24
COMMISSIONERS: Aye. 25
CHAIRMAN WHITFIELD: Any opposed? 26
[No response] 27
Motion carries. 28
MR. PRATT: Item 10, we have Docket No. 2018-29
28-W, which is the Application of JACABB Utilities, 30
LLC, for approval of an expansion of its existing 31
water service area and to include certain portions 32
Commission March 21, 2018 11 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
of Pickens County, and request for approval of the 1
water system asset purchase agreement with Crawford 2
Falls Owners Association, Inc. 3
VICE CHAIRMAN RANDALL: Mr. Chairman. 4
CHAIRMAN WHITFIELD: Commissioner Randall. 5
VICE CHAIRMAN RANDALL: Mr. Chairman, in 6
Docket No. 2018-28-W, I move that we approve the 7
expansion of JACABB Utilities, LLC’s existing water 8
service area to include certain portions of Pickens 9
County and that we approve the Water System Asset 10
Purchase Agreement with Crawford Falls Owners 11
Association, Incorporated. 12
There are several points on this to be noted. 13
ORS does not object to this. JACABB is currently 14
authorized to provide service in areas of Pickens 15
County, so this is consistent with what they’ve 16
been doing. JACABB requests that it be allowed to 17
provide water service in the expanded service 18
territory pursuant to rates and charges that were 19
approved in Docket No. 2008-173-W. The City of 20
Clemson will provide water via a master meter to 21
the Crawford Falls Subdivision and will be 22
responsible for the sewer and storm water service. 23
JACABB will be responsible for calculating and 24
collecting payment from individual customers for 25
sewer service and storm water service provided by 26
the City of Clemson. JACABB also requests that the 27
sewer and storm water service charges be approved 28
as pass-through charges with a monthly 29
administration billing fee of $4.50 to each 30
homeowner or customer. 31
So moved, Mr. Chairman. 32
Commission March 21, 2018 12 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
CHAIRMAN WHITFIELD: Thank you, Commissioner 1
Randall. 2
You’ve heard Commissioner Randall’s motion. 3
Is there any discussion? 4
[No response] 5
If not, all those in favor of Commissioner 6
Randall’s motion, please, say “aye.” 7
COMMISSIONERS: Aye. 8
CHAIRMAN WHITFIELD: Any opposed? 9
[No response] 10
Motion carries. 11
MR. PRATT: Mr. Chairman and Commissioners, 12
Item 11 is Docket No. 2014-346-WS, the Application 13
of Daufuskie Island Utility Company, Incorporated, 14
for approval of an increase in water and sewer 15
rates, terms, and conditions, and we have a 16
Petition for Reconsideration on Commission Order on 17
Rehearing. 18
COMMISSIONER BOCKMAN: Mr. Chairman? 19
CHAIRMAN WHITFIELD: Commissioner Bockman. 20
COMMISSIONER BOCKMAN: At the risk of 21
expanding my reputation for long-winded motions, I 22
do have one of that nature that I’d like to offer 23
in this matter. 24
CHAIRMAN WHITFIELD: Well, we’re ready, 25
Commissioner Bockman. You go right ahead. 26
COMMISSIONER BOCKMAN: Thank you, Mr. 27
Chairman. 28
Mr. Chairman, I move that Daufuskie Island 29
Utility Company’s Petition for Reconsideration of 30
Order No. 2018-68 be denied. 31
The company’s Petition first questions the 32
Commission March 21, 2018 13 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
Order’s basis for supporting the ORS recommendation 1
excluding $699,361 in gross plant from rate base. 2
The Order cited specific testimony from ORS 3
auditors, which established that the amount 4
proposed for exclusion was derived after adding the 5
elevated tank site and related facilities to the 6
account for plant-in-service as discussed by the 7
Supreme Court’s opinion, and established that the 8
company failed to present evidence supporting the 9
value of the remaining excluded plant-in-service by 10
invoices or other probative evidence. Based on the 11
company’s own witness’s testimony, I believe ORS 12
furnished information that enabled the company to 13
identify specifics of the various items considered 14
in plant-in-service at issue, along with categories 15
of such plant. Specifically, in the original case, 16
Witness Guastella, on page five of his rebuttal 17
testimony, stated that ORS had provided DIUC with 18
work papers as a follow-up to the audit exit 19
conference call that enabled the company to 20
identify what it believes are the specifics of the 21
ORS adjustments. 22
The NARUC Uniform System of Accounts for both 23
water and wastewater companies requires that 24
property records be maintained by the utility. 25
Lacking such documentation, ORS properly excluded 26
the $699,361 in plant-in-service. Although the 27
company argued that, despite the absence of 28
verifiable property records, ORS should have 29
accepted the company’s own estimates of the values, 30
the Commission cannot accept estimates in regard 31
to the rate-base items in question without proper 32
Commission March 21, 2018 14 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
documentation of relevant, sufficient, and reliable 1
data on which to decide the company’s revenue 2
requirements. The company has not established a 3
process for preparing accounting estimates that can 4
be audited by an independent third party, such as 5
the ORS. Therefore, the company must provide 6
proper documentation for such items in future 7
proceedings, if it seeks approval of them. Such 8
documentation can be provided by various sources, 9
such as obtaining duplicate invoices from vendors, 10
presenting cancelled checks as proof of payment, 11
obtaining copies of cancelled checks from banking 12
institutions when necessary, supplying copies of 13
paid contracts, and/or obtaining independent third-14
party estimates for questioned items. 15
I also believe that the evidence presented by 16
ORS supports the adjustment made for capital costs 17
and legal costs associated with plant-in-service, 18
which we adopted in Order No. 2018-68, and company 19
allegations to the contrary must also be rejected. 20
With regard to DIUC’s allegations regarding 21
accumulated depreciation and depreciation expense, 22
it is clear that ORS updated these “fall out” 23
adjustments and presented them during the rehearing 24
of this case. Therefore, the Commission Order 25
adopting these adjustments was proper and need not 26
be reconsidered. 27
Considering the rate-case expense issue, we 28
recognized in our Order on Rehearing that ORS 29
Witness Hipp completed a thorough review of all 30
invoices from Guastella Associates, and found them 31
to lack specific detail in many respects. Although 32
Commission March 21, 2018 15 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
the company failed to meet its burden regarding 1
sufficiency of evidence, the Commission has made it 2
clear that the company is not foreclosed from 3
providing sufficient evidence on this issue in its 4
next rate case. Accordingly, this allegation of 5
error in the Order on Rehearing is without any 6
substantial basis. 7
This motion summarizes my proposed resolution 8
of the company’s Petition. If the Commission 9
adopts this motion, I further move that a full 10
order should follow that provides full details of 11
the rationales for the decision. 12
In summary, again, I move that we deny the 13
relief the company requests in the Petition for 14
Reconsideration in its entirety. Finally, in its 15
filing on February 4, 2018, the company noted that, 16
pursuant to our Order on Rehearing, it is 17
collecting $955,136 in additional annual revenue, 18
rather than the $950,166 in additional revenue that 19
we approved in that Order. I move that we require 20
the company to make appropriate adjustments to 21
cease the collection of the annual revenue which 22
exceeds the authorized level of $950,166. 23
Mr. Chairman, that concludes my motion, and I 24
so move. 25
CHAIRMAN WHITFIELD: Thank you, Commissioner 26
Bockman. 27
Commissioners, you’ve heard Commissioner 28
Bockman’s lengthy motion, as he described it, in 29
this item. Are there any questions or is there any 30
discussion of this item? Commissioner Elam. 31
COMMISSIONER ELAM: Mr. Chairman, if you will 32
Commission March 21, 2018 16 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
recall, I was one of two on this panel who filed a 1
dissent from this Order. I’m going to support Mr. 2
Bockman’s motion. As part of the Staff’s filling 3
in the details, I hope that it is re-emphasized 4
that an examination of the appropriate used-and-5
useful rate base can be addressed in the next 6
proceeding. I believe it should have been in this 7
proceeding, but it has to be open to the next 8
proceeding. 9
In addition to that, I support the finding in 10
Commissioner Bockman’s motion on the rate-case 11
expenses, and when we’re talking about north of 12
$½ million in rate-case expenses for a company of 13
this small size, when rate-case expenses become a 14
significant percentage of the increase in rates, I 15
think that just becomes unconscionable. And for 16
those reasons, I would support Commissioner 17
Bockman’s motion. 18
CHAIRMAN WHITFIELD: Thank you, Commissioner 19
Elam. I do remember your dissent, and I do — your 20
points are so noted. And also I noted that you are 21
in support of Commissioner Bockman’s motion. 22
Any further — Commissioner Fleming? 23
COMMISSIONER FLEMING: Being the second person 24
who dissented, I concur with what Commissioner Elam 25
has said, and I also support the motion that 26
Commissioner Bockman has made. And with that, I’ll 27
move on to the vote. 28
CHAIRMAN WHITFIELD: Thank you, Commissioner 29
Fleming. 30
Any other Commissioner questions, discussion, 31
anything related to this item? 32
Commission March 21, 2018 17 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
[No response] 1
Okay, hearing none from down the other end of 2
the bench, I’m going to call for the question. You 3
heard Commissioner Bockman’s motion. Now that 4
we’ve had discussion, if there’s no further 5
discussion, all those in favor of Commissioner 6
Bockman’s motion in this item, please say “aye.” 7
COMMISSIONERS: Aye. 8
CHAIRMAN WHITFIELD: Any opposed? 9
[No response] 10
Motion carries. 11
MR. PRATT: Mr. Chairman and Commissioners, 12
once again dealing with Docket No. 2014-346-WS and 13
Daufuskie’s Application for a rate increase, we 14
have the Applicant’s Motion for an order regarding 15
bonds. 16
VICE CHAIRMAN RANDALL: Mr. Chairman. 17
CHAIRMAN WHITFIELD: Commissioner Randall. 18
VICE CHAIRMAN RANDALL: Mr. Chairman, in 19
Docket No. 2014-346-WS, I move that Daufuskie 20
Island Utility Company’s Motion for Order Regarding 21
Bonds be held in abeyance. 22
ORS reports that it’s not completed its review 23
to ensure that the company is complying with the 24
Commission’s Order 2018-68 that stated, “The 25
company shall refund the difference between the 26
amount it collected under bond and the amount this 27
Commission approves...to the customers that paid 28
the excessive rates at an interest rate of 12 29
percent per annum.” However, according to ORS’ 30
response to the Motion, its review thus far has 31
raised questions regarding the amounts refunded, 32
Commission March 21, 2018 18 Meeting #18-10
PUBLIC SERVICE COMMISSION OF SOUTH CAROLINA
the status of refunds to former customers of DIUC, 1
and the methodology used to calculate those 2
amounts. ORS, therefore, argues that the issuance 3
of refunds is not settled and that issuing an order 4
authorizing the surety to release the letter of 5
credit would place ratepayers at risk. 6
I agree with the ORS that releasing the letter 7
of credit at this time would be premature. I move 8
that we request ORS to complete its review by April 9
30th, or upon such additional time as it might 10
reasonably need and request. DIUC’s Motion will be 11
taken up again by this Commission subsequent to the 12
filing of the ORS review. 13
So moved, Mr. Chairman. 14
CHAIRMAN WHITFIELD: Thank you, Commissioner 15
Randall. 16
Commissioners, you’ve heard Commissioner 17
Randall’s motion in Item 12. Is there any 18
discussion or any questions regarding his motion? 19
Any discussion, further, of this item? 20
[No response] 21
Okay. Hearing none, all those in favor of 22
Commissioner Randall’s motion at this time, please, 23
say “aye.” 24
COMMISSIONERS: Aye. 25
CHAIRMAN WHITFIELD: Any opposed? 26
[No response] 27
Motion carries. 28
MR. PRATT: Mr. Chairman, Item 13 is Docket 29
No. 2018-32-C, which is the Joint Application of 30
Birch Communications, LLC, and Birch Telecom of the 31
South, LLC, for approval of a corporate 32

restructuring. 1
COMMISSIONER FLEMING: Mr. Chairman. 2
CHAIRMAN WHITFIELD: Commissioner Fleming. 3
COMMISSIONER FLEMING: For Docket No. 2018-32-4
C, I move to approve the corporate restructuring as 5
proposed by Birch Communications, LLC, and Birch 6
