OFFICIAL REPORTING SERVICES, LLC d/b/a APEX REPORTING GROUP

COVERING

REGION 11A OF THE 11TH JUDICIAL CIRCUIT OF FLORIDA

TO

VERBATIM SUPPORT SERVICES, LLC

Verbatim Support Services, LLC, (Verbatim), a foreign corporation authorized to do

business in the State of Florida, has purchased all of the assets of Official Reporting Services,

LLC, including its corporate administrative and court reporting offices in South Florida, and has

requested approval of its acceptance of the assignment of Contract No.: K03458, between

Official Reporting Services, LLC d/b/a Apex Reporting Group, and the State of Florida,

Department of Legal Affairs, Office of the Attorney General, (OAG), to Verbatim, allowing

Verbatim to perform said contract under its own name , FEIN, and corporate identity, and be

directly contractually responsible for the performance of said contract going forward; and

The OAG has determined to approve the acceptance of assignment of the contract to

Verbatim and allow the asset acquiring corporation to become the direct party contracting with

the OAG to perform these services; and, therefore, the parties hereby agree:

Verbatim hereby acknowledges that it accepts assignment of Contract No.: K03458,

dated August 1, 2014, between Official Reporting Services, LLC d/b/a Apex Reporting Group,

and the OAG, which it has been performing as a result of its purchase of the assets of Official

Reporting Services, LLC d/b/a Apex Reporting Group, and that Verbatim hereby assumes all

rights, duties, obligations, and interest of Official Reporting Services, LLC d/b/a Apex Reporting

Group under the contract, and will be obliged forthwith to provide all Court Reporting Services

as explained in detail in the Statement of Work contained in the contract, effective upon

execution of this Approval and Acceptance of Assignment by the parties.

The OAG hereby approves the foregoing assignment of Contract No.: K03458, dated

August 1, 2014, to Verbatim Support Services, LLC.

This Approval and Acceptance of Assignment of Contract No.: K03458 may be executed

in counterparts, and shall be governed by Florida law. It shall become valid and effective upon

the date it is signed and dated by both Parties.
