The Company was originally incorporated in 1985, as a joint venture between GEA Energietechnik GmbH, Germany and the Promoter, Mr. B.G. Raghupathy, to manufacture and sell On-line Condenser Tube Cleaning Systems, Debris Filters and Rubber Cleaning Balls used in Thermal and Nuclear Power Plants. In 1993, Mr. B. G. Raghupathy and members of his family became the sole shareholders of the Company and began to expand the range of product and services range in the Power and Oil & Gas industries. On June 28, 2007 the Company name was changed from GEA Energy System (India) Limited, to BGR Energy Systems Limited.
BGR Energy carries on the business in two segments, the Supply of systems and Equipment and Turnkey Engineering project contracting.
In the Turnkey Engineering project contracting business, the company engineer, manufacture, procure, construct and commission projects in the Power and Oil & Gas sector, wherein it take Turnkey responsibility to supply of a range of equipment and services, including the civil works required for a project and other work as may be required under the contract for such project.
The company executes Turnkey Contracts to supply the Balance of Plant ("BOP") Equipment, Services and Civil works for Power Generation projects, in which it supply, from a single source, the Balance of the plant, i.e. items other than the Boiler, Turbine and Generator. Having successfully executed BOP contracts, it has begun to focus on Engineering, Procurement and Construction ("EPC") contracts, in which it Design, Engineer and Supply all of the equipment required for a Power Plant including the Boiler, Turbine and Generator and Civil works. The Company is currently executing BOP and EPC contracts tailored to customer demands.

The Company consists of five complementary businesses, including:
Power Projects business, which provides turnktey EPC and BOP services for coal-based
Thermal Power Plants and Gas-based Combined Cycle Power Plants typically over 100
megawatts ("MW"), and which completed its first contract in 2002
Oil and Gas Equipments business, which designs and manufactures gas conditioning &
metering skids, storage tanks, pipeline pig launching & receiving systems, gas processing
complexes and gas compressor packages related to the oil and gas industry for companies in
India and abroad, and which began operating in 2001
Air Fin Coolers business, which designs and manufactures Air Fin Coolers which cool
process fluids and gases used in the refining, petrochemical, and oil and gas industries, and
which began operating in 1994
Environmental Engineering business, which designs manufactures and provides
Deaerators, Desalination plants, Water treatment plants and Effluent treatment plants, which
have application in Power and Process plants and other Industrial plants, and which began
operating in 1996
Electrical Projects business, which designs supplies Electrical systems and equipment such
as Gas Insulated Switchgear (GIS) substations, Optical Fiber Power Ground Wires (OPGW),
Extra High Voltage substations and Transmission Lines to Power Stations, Refineries and
Petrochemical plants, and which began operating in 2003

BRIEF BIOGRAPHIES OF THE DIRECTORS
Mr. Heinrich Bohmer, 75 is an independent Director on the Board. He graduated with a diploma in mechanical engineering in 1960 from the technical academy in Duisburg, Germany. He has been involved in research and development, design and sales departments in various power and chemical industries. Prior to joining the Board, he established EVU GmbH an engineering company and retired as the Managing Director of Taprogge-MWD GmbH. He has been associated with the Company as a Director between 1987 and 1993 and has rejoined the Board on July 18, 2007.
Mr. Gnana Rajasekaran, 58 is an Independent Director on the Board. He holds Masters Degree in Physics. He is a retired officer of the Indian Administrative Service and has served on the boards of various public sector undertaking in the capacity of Chairman / Managing Director for more than two decades. He was Secretary to Government, Energy and Labour Departments, Government of Kerala and Chairman, Kerala State Electricity Board. He has rich and vast experience in arts, culture and public administration. The films, short films, novels and graphic arts scripted and directed by him has won many awards and recognitions at National and State levels. He joined the Board on February 10, 2011.
Mr. M. S. Sundara Rajan, 61 is an Independent Director on the Board. He holds Master degree in Economics from the University of Madras and is an Associate Member of the Institute of Company Secretaries of India and a certified associate of Indian Institute of Bankers. He served the banking sector for more than three decades and retired as Chairman & Managing Director, Indian Bank. He brings with him rich and vast experience in credit, merchant banking, corporate banking, housing finance, fund management and other strategic areas of banking at various level. Presently, he is serving as a Director on the Board of various private and public limited companies. He joined the Board on 14th November, 2011.
Mr. M. Gopalakrishna, 72 is an independent Director on the Board. He holds a Bachelor’s degree in Science and a Bachelor’s degree in Law from Osmania University, Hyderabad. He is a retired officer of the Indian Administrative Service and has served on the board of various public limited companies in the capacity of chairman, managing director and director. At present, he is also director-in-charge of the Andhra Pradesh Gas Power Corporation Limited. He has joined the Board on July 18, 2007.
Mr S.A. Bohra, 67 is an independent Director on the Board. He holds a Bachelor’s degree in Mechanical Engineering from Jodhpur University. He was formerly the Senior Executive Director (Technical) of Nuclear Power Corporation of India Limited. He has served on the boards of several

companies such as Nuclear Fuel Complex, Transformers and Electricals and Kerala Heavy Water Board. He has also served on various committees such as Nuclear Power Corporation of India Limited, Indira Gandhi Centre Council and Heavy Water Board. He is currently an Advisor to the Tata Power. He has been conferred the distinguished scientist title by the Government of India in 2002, Indian Nuclear Society (INS) Award 2004 in the field of Nuclear Reactor Technology. He joined the Board on July 18, 2007.
Mr. S. R. Tagat, 56 is an independent Director. He holds a Bachelor’s degree in Commerce and is a qualified Chartered Accountant. He has earlier worked in various state public sector and State Government Undertakings. He has also handled audit of various banks and insurance companies. He is currently a partner in a firm of chartered accountants. He joined the Board on July 18, 2007.
Mrs. Sasikala Raghupathy, 55 is a Director on the Board. She has been associated with the Company as a Director since it was founded.
Mr. A. Swaminathan, 55 years, is Director (Sales & Marketing). He holds a leadership position and is responsible for Sales and Marketing functions of the company. He holds a Bachelor’s degree in Technology in Mechanical Engineering from the Indian Institute of Technology, Bombay. Prior to joining the Company, Mr. Swaminathan was with TATA Power Limited as General Manager-Projects. He has more than 30 years of rich and varied experience in design, engineering, construction, erection, commissioning, operation & maintenance of Power Projects. He has been inducted into the Board as a Whole Time Director (Sales & Marketing) on February 5, 2010.
Mr. V. R. Mahadevan, 52 is the Director – Technologies, HR. He is responsible for the overall management and supervision of the operations of the technology, human resources. He holds a Bachelor’s degree in Electrical Engineering from Annamalai University, Tamil Nadu. Prior to joining the company in 1987, he worked as a project manager with Best and Crompton Limited. He has over 27 years of experience in the fields of project and business management.
Mr. T. Sankaralingam, 63, is the Managing Director. He is in-charge of the operations of the Company, including execution of projects. He holds a bachelor’s degree in Electrical Engineering from REC, Trichy. Prior to joining the Company, Mr. Sankaralingam was with NTPC Limited, India’s largest power PSU and a Navratna, and lastly served as Chairman and Managing Director. He has over 41 years of experience in planning, design, construction, commissioning, operation and maintenance of power plants. He has been conferred the “Distinguished Fellowship Award” by Institution of Directors and Eminent Engineer Award (2005) by Institution of Engineers, Delhi. He has joined the Board on September 7, 2009.
Mr. B. G. Raghupathy, 59 is the Chairman and Managing Director. He is responsible for the overall management and supervision of the activities of the Company and for the development of strategies for the future growth. He holds a Bachelor’s degree in Chemistry from the University of Madras. He founded the Company in 1985. Prior to founding the Company, Mr. B. G. Raghupathy worked as a marketing executive specializing in the sale of industrial equipment, instruments and control systems. He subsequently served as the Chief Executive Officer of Introls, a company engaged in trading. He has over 34 years of experience in the fields of marketing, sales and management
