Justification: Credit cards are integral to the efficient operation of the functions petfonned by the department and enable employees to purchase supplies as needed in accordance with the Shawnee County Purchasing Policy.

Action Requested: Acknowledgement uf Commissioner Riphahn's signature to participate in Outreach, Prevention and Early Intervention Sen·ices program funding for the Shawnee County Health Department (SCHD) in the amount of $268,000 through the Kansas Department of Hea1th and Environment (KDHE).

SCHD programs operating under the Outreach, Prevention and Early Intervention Services program funding are Sha-wnee County Nurse-Family Partnership and Kansas Children's Senrice League's Healthy Families.

SCHD will request $268,000 from the Outreach, Prevention and Early Intervention Services program. In order to receive :funding from KDHE, SCHD must provide match dollars in the amount of $268,000 which will be paid from the Early Childhood Block Grant. There is no cost to Sha\Vllee County.

I am requesting approval to send one staff from the Shawnee County Department of Corrections to attend the 2020 International Law Enforcement Educators and Trainers Association (ILEETA) Conference and Expo in St. louis, MO March 22-28, 2020. The staff member proposed is a highly tenured manager who has provided required training of staff for more than a decade, and can use

this conference to satisfy recertification requirements.

The ILEETA Training Conference and Expo offers more than 150 courses and more than two dozen

instructor certifications/armorer courses. Topics include use of force, officer survival, defensive tactics, instructor development, specialized training and firearms. Upon returning from the conference we will submit a training report that will include a summary of the courses attended and how the training will benefit the department and the staff member selected to attend the out

of state training.

The estimated costs for the conference are approximately $2,343.00, including room, transportation, meals, and registration fee. I've attached the Education/Training Request Form

that is required for training costs exceeding $1,000.

The ILEETA Conference provides over 150 courses designed to improve instructor skills in Law

Enforcement Courses will discuss topics in specific areas, such as contact control or firearms, but they

are designed to improve instructor skills not to teach the basics of the area. ILEETA brings expert

trainers from around the globe to discuss these topics so instructors can improve their courses at their

respective agencies. Attached is a listing of all the classes being offered at this year's conference. I will

fill each day at the conference with as many classes as I can. I plan on focusing on instructor

development and firearms classes. I have attended this conference on my own several times and each

EDUCATION AND TRAINING EXPENSE AGREEMENT

The Education and Training Expense Agreement must be completed and approved by the Board of

County Commissioners, for tuition and educational expenses exceeding $1 ,000.00.

(One (1) month per each $150.00 of expense, rounded to the nearest whole $150.00.) The time period

will begin the day after completion of the training/education indicated on the request. Any leave time

of multiple educationltraining agreements, the additional agreements will run consecutively after

completion of the earlier agreements. I agree to reimburse the County for its payment of expenses

referred to below if I voluntarily leave employment with the County before the required time period stated

above. This amount will be adjusted on a pro-rata basis for each month I remain employed with the

County. I shall reimburse the County for this amount within thirty (30) days from the last day of my

Presented for your consideration and approval is a Request to Exchange Federal Funds under the Federal-Aid Fund Exchange Master Agreement.

The Kansaf\ Department of Transportation (KDOT) is making Federal Obligation Authority Funds, in the amount of$812.879.51. available to Shawnee County for Federal Fiscal Year 2020 (October 1, 2019 through September 30, 2020). These funds can be exchanged for state transportation dollars to assist Shawnee County in the construction or maintenance of County road and bridges. The exchange rate tOr the state transportation dollars under this program is $0.90 of state funds for every $1.00 of local federal obligation authority funds. Funds can be used for all phases of a project development including preliminary engineering, right-of-way acquisition, utility relocation, construction and construction inspection.

It is the recommendation of the Shawnee County Department of Public Works that this Request to Exchange federal Funds for state funds is approved and that the Chair be authorized to sign the altached application form.

SUBJECT: Request for approval to solicit proposals to upgrade digital HVAC control systems and associated software at the Shawnee County Courthouse.

In 2008, the original pneumatic HVAC control systems were upgraded and enhanced to provide limited computerized/digital control and access. Many of the original pneumatic valves at air handling units and Variable Air Volume (distribution) boxes were left in service with this upgrade and have been failing at a fairly steady rate. In addition, the main control software program is obsolete and no longer supported. Proposed RFP would eliminate all pneumatic controls, replace defective digital controls and upgrade main control software.

Funding was approved in the 2020 Capital Outlay.

The inmate transport elevator is a critical component of Courthouse judicial operations. The segregation provided by having a reliable elevator for inmate transfer enhances the safety of the general public, corrections officers and the inmates. Records indicate the last upgrades to this elevator were completed in 1991.

Eight bids were received for the construction of the concrete pad with precast block bunker for use as the glass recycling pad at the North Annex. Vance Construction was the most responsive and lowest bid v.1th a lump sum bid of$41,509.00 to perform all of the work necessary to complete the project. A preliminary estimate during iniLial stages of planning in 2019 indicated the project would cost approximately $45,000.

As a result, the SCSVv'D requests permission to award the bid to V anco Construction for the construction of a 75'x50' Reinforced Concrete Pad with a 25' x 25' Precast Block Bunker at the Shawnee County North Annex.

Purpose: Board of Commissioners approval to award the bid and subsequent execution of the Emcon, Inc Agreement is requested for dredging services at Lake Shawnee. Justification: On December 30, 2019, the Board of Commissioners approved SCP+R to solicit bids for the dredging of Adventure Cove's swim area. A single bid was received January 22, 2020. The vendor stated that approximately 880 cubic yards will suffice in terms of material needing to be moved per the scope of project. After review and discussion, staff recommends Emcon Inc. as the lowest most responsive bidder for the project.

INDEPENDENT CONTRACTOR AGREEMENT FoR Goons AND SERVICES

THIS AGREEMENT is between THE BOARD OF COUNTY COMMISSIONERS OF THE

COUNTY OF SHAWNEE, KANSAS (County) and EMCON, INC (Contractor).

1. GOODS AND SERVICES TO BE PROVIDED

All goods and services to be provided in accordance with the Contractor's response to Shawnee County RFP#003-20 (Attached as "A" and incorporated herein by reference)):

Dredge Lake Shawnee Adventure Cove swimming area and relocate removed material as noted in RFP#003-20.

'This Agreement shall commence on Febnwy 24, 2020, and shall end on April 3, 2020, unless this Agreement is terminated sooner or extended in accordance with its terms.

2. PAYMENT

Unless otherwise provided herein, Contractor shall be responsible for all expenses incurred while perfonning tUtder this Agreement. This includes equipment; delivery charges; supplies; telephone expenses; automobile and other travel expenses; meals and entertairunent; insurance premiums; and all salary, expenses and other compensation paid to Contractor1s employees or contract personnel Contractor hires to perform under this Agreement.

3. WARRANTY

Contractor warrants that the goods sold hereunder are new and :fi:ee from substantive defects in workmanship and materials. This warranty is in addition to any provided by the manufacturer(s) of the goods sold heretmder.

4. TAXES

NO sales tax will be charged to County. County is exempt from sales tax and will provide an exemption certificate to Contractor. Any other taxes, tariffs and other governmental charges shall be paid by Contractor and are Contractor's responsibility.

5. INDEPENDENT CONTRACTOR STATUS AND CERTIFICATION

Contractor is an independent Contractor, not a County employee. Contractor,s employees or contract personnel are not County employees. Contractor and County agree to the following rights consistent with an independent Contractor relationship:

a. Contractor has the right to petfonn services for others during the term of this Agreement.

b. Contractor has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be performed.

c. Contractor shall not be assigned a work location on County premises, and Contractor has the right to perform the services required by this Agreement at any place, location or time.

d. Contractor will furnish all equipment and materials used to provide the services required by this Agreement.

e. Contractor has the right to hire assistants as subcontractors, or to use Contractor's employees to provide the services required by this Agreement.

f. Contractor or Contractor's employees or contract personnel shall perform the services required by this Agreement and Contractor agrees to the faithful performance and deHvery of described servkes in accordance with the time frames contained herein; County shall not hire, supervise or pay any assistants to help Contractor.

g. Neither Contractor nor Contractor's employees or contract personnel shall receive any training from County in the skills necessary to perform the services required by this Agreement.

h. County shall not require Contractor or Contractor's employees or contact personnel to devote full time to perfonning the services required by this Agreement.

Further, Contractor hereby certifies:

1. That Contractor is not an employee of County and thereby Contractor waives any and all claims to benefits otherwise provided to employees of the County, including, but not limited to: medical, dental, or other personal insurance,

retirement benefits, unemployment benefits, and liability or worker's compensation insurance.

J. Contractor must provide Federal Tax or Social Security Number on required Fonn W-9.

k. That Contractor understands that he/she is solely responsible, individually for all taxes and social security payments applicable to money received for services herein provided. Contractor understands that an IRS Form 1099 will be filed by the County for all payments received.

6. INDEMNIFICATION AND HOLD HARMLESS

Contractor shall save, hold hw.mless, and indemnify County~ its officers, agents and employees, from and against all claims, causes of action, liabilities, expenses and costs, including reasonable attorneys' fees, for injury of any person or damage to property arising out of, or connected with, work performed under this Agreement which is the result of any acts or omissions, whether negligent or otherwise, of Contractor, its officers, agents,

subcontractors or employees.

7. INSURANCE

The County shall not be required to purchase, any insurance against loss or damage to any personal property to which this contract relates, nor shall this contract require the County to establish a "self-insurance" fund to protect against any such loss or damage. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-6101 et seq.), the Contractor shall bear the risk of any loss or damage to any personal property to which Contractor holds title.

8. OWNERSHIP OF PRODUCTS/DOCUMENTS

Contractor hereby assigns to County all rights to all products, reports, documents, photographs, videos, data, and drawings produced by Contractor as a result of this Agreement.

9. TERMJNATION DUE TO LACK OF FUNDING APPROPRIATION

Shavmee County is subject to the Kansas Cash Basis Law, K.S.A. 10-1101 et seq. If. in the judgment of the Financial Administratol', Audit-Finance Office, sufficient funds are not appropriated to continue the function performed in this agreement and for the payment of the charges hereunder, County may tenninate this agreement at the end of its current fiscal year. County agrees to give written notice of termination to Contractor at least thirty (30) days prior to the end of its cun-ent fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the County or the Contractor.

10. ANTI-DISCRIMINATION CLAUSE

The Contractor agrees: (a) to comply with the Kansas Act Against Discrimination (K.S.A 44-1001 et seq.) and the Kansas Age Discrimination in Employment Act, (K.S.A. 44-1111

et seq.) and the applicable pmvisions of the Americans With Disabilities Act (42 U.S.C. 12101 et seq.) [ADA] and to not discriminate against any person because of race, religion, color~ sex, disability, national origin or ancestry, or age in the admission of access to or treatment or employment in, its programs or activities; (b) to include in all solicitations or advertisements for employees, the phrase "equal opportunity employer"; (c) to comply with the reporting requirements set out in K.S.A 44 1031 and K.S.A. 44-1116; (d) to include those provisions in every subcontract or pmchase order so that they are binding upon such subcontractor OT vendor; (e) that a failure to comply with the reporting requirements of (c) above or if the Contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (f) if the contracting agency determines that the Contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract~ (g) if (e) or (f) occurs, the contract may be cancelled, terminated or suspended in whole or in part by 1he County. Parties to this contract understand that subsections (b) through (e) of this paragraph are not applicable to a Contractor who employs fewer than four employees or whose contract with the County totals $5,000 or less during this fiscal year.

11. ACCEPTANCE OF CONTRACT

This contract shall not be considered accepted, approved or otherwise effective until the required approvals and certifications have been given and this is signed by the Board of County Commissioners ofthe County of Shawnee, Kansas.

12. ARBITRATION, pAMAGES, WARRANTIES

Notwithstanding any language to the contrary, no interpretation shall be allowed to find the County has agreed to binding arbitration, or the payment of damages or penalties upon the occurrence of a contingency. Further, the County shall not agree to pay attorney fees and late payment charges; and no provisions will be given effect which attempts to exclude, modify, disclaim or otherwise attempt to limit implied watTanties of merchantability and fitness for a particular purpose.

13. REPRESENTATIVE'S AUWORITY TO CONTRACT

By signing this document, the representative of the Contractor thereby represents that such person is duly authorized by the Contractor to execute this document on behalf of the Contractor and that the Contractor agrees to be bound by the provisions thereof

14. TERMINATION OF AGREEMENT

This Agreement may be tenninated by either party by giving the other party written notice of the intent to terminate. The notice must specify a date upon which the termination will be effective, which date may not be less than 7 calendar days from the date of mailing the notice. Only services satisfactorily performed up to the date of receipt of notice shall be compensated by County and such compensation shall be pursuant to the tenns of this Agreement Notice shall be deemed received 3 days after mailing in the United States mail, using first class mail, postage prepaid.

15. AUTOMATED CLEARING HOUSE CACH)

Shawnee County prefers to pay its vendor invoices via electronic funds transfers through the automated clearing house (ACH) network. Shavmee County may require vendors to accept payments via ACH. To initiate payment of invoices, vendors shall execute the County's standard ACH Vendor Payment Authorization Agreement. Upon verification of the data provided, the Payment Authorization Agreement -wi11 authorize the County to deposit payment for services rendered or goods provided directly into vendor accounts with financial institutions. All payments shall be made in United States currency.

16. MISCELLANEOUS PROVISIONS

a. This Agreement shall be entered into in Shavmee County, Kansas, and shall be construed and interpreted according to the Jaw of the State of Kansas.

b. All notices and other communications in connection with this Agreement shall be in writing and shall be considered given 3 days after mailing in the United States mail, using flrst class mail, postage prepaid, to the recipient's address as stated in this Agreement.

c. Contractor shall comply with all federal, state and local laws requiring business permits, certificates and licenses required to carry out this Agreement.

d. Contractor may not assign any rights or obligations under this Agreement without County's prior written approval.

e. Tlris Agreement, along with the Shawnee Cow1ty RFP and any other document specifically referenced in paragraphs 1 and/or 2 constitutes the entire agreement between the parties and may only be modified or extended by a written amendment signed by the parties hereto. [f there is a conflict between the documents that make up this Agreement, the documents will control in the following order: (1) this Agreement, (2) the Shawnee County RFP, (3) any other docllillent specifically referenced in paragraphs 1 and/or 2.

f. The invalidity, illegality, or unenforceability of any provision of this Agreement or the occurrence of any event rendering any portion or provision of this Agreement void shall in no way affect the validity or enforceability of any other portion or provision of this Agreement. Any void provision shall be deemed severed from this Agreement, and the balance of this Agreement shall be construed and enforced as if this Agreement did not contain the particular pmtion or provision held to be void.

g. Nothing in this Agreement shall be construed to give any rights or benefits to anyone other than Cotmty and Contractor.

Puroose: Board of Commissioners authorization and execution on the attached agreement between Heartland Works, USD 501 and Shawnee County Parks +Recreation. The agreement sets out the conditions for a client to learn work duties at the community center(s) or other park facilities. USD 501 is responsible for all wages, benefits and worker's compensation.

Justification: Heartland Works, Inc. is a private non-profit corporation formed in 1987 to administer a federally funded job training partnership program bet\veen clients and businesses. SCP+R has partnered with the program for over 20 years in various capacities. Clients are referred by USD 501 with more details stated in the attached agreement Part Four: Tenns and Conditions. Pru:pose: Board of Commissioners approval is requested on the attached agreement with Shirley Construction for the restoration of the Ted Ensley Gardens Pergola at Lake Shawnee. The agreement and scope in RFP#OOl-20 define the project and required materials. Funding of $16,162.00 has been identified from the Capital Maintenance (3R) Fund.

Justification: On December 2, 2019, the Board of Commissioners approved SCP+R to solicit bids for the restoration. Bids from nine vendors were received January 28, 2020. After review, staff recommends Shirley Construction as the lowest most responsive bidder. Bid results are listed below. The project is set to be completed prior to tulip time activities.

INDEPENDENT CONTRACTOR AGREEMENT FOR GOODS AND SERVICES

THIS AGREEMENT is between THE BOARD OF COUNTY COMMISSJONERS OF THE COUNTY OF SHAWNEE, KANSAS (County) and SHIRLEY CONSTRUCTION (Contractor).

1. GOODS AND SERVICES TO BE PROVIDED

Contractor agrees to provide the following goods and services to the County in accordance with the terms and specifications of Shawnee County RFP# 001-20 (Attached as "A" and incorporated herein by reference):

Ted Ensley Gardens Pergola restoration includes removal and replacement of wood and hardware as specified. Project shall be completed prior to 2020 Tulip Time.

This Agreement shall commence on February_,. 2020, and shall end on April 3, 2020, unless this Agreement is terminated sooner or extended in accordance with its terms.

2. PAYMENT

In consideration of the goods and services to be provided by Contractor, County agrees to pay Contractor as follows:

Unless otherwise provided herein, Contractor shall be responsible for all expenses incurred while perfonning under this Agreement. This includes equipment; delivery charges; supplies; telephone expenses; automobile and other travel expenses; meals and entertainment; insurance premiums; and all salary, expenses and other compensation paid to Contractor's employees or contract personnel Contractor hires to perform under this Agreement.

3. WARRANTY

Conb:actor warrants that the goods sold hereunder are new and free from substantive defects in workmanship and materials, This warranty is in addition to any provided by the manufacturer(s) of the goods sold hereunder.

4. TAXES

NO sales tax will be charged to County. County is exempt from sales tax and will provide an exemption certificate to Contractor. Any other taxes, tariffs and other governmental charges shall be paid by Contractor and are Contractor's responsibility.

S. INDEPENDENT CONTRACTOR STATUS AND CERTIFICATION

Contractor is an independent Contractor, not a County employee. Contractor's employees or contract personnel are not County employees. Contractor and County agree to the following rights consistent with an independent Contractor relationship:

a. Contractor has the right to perform services for others during the term of this Agreement.

b. Contractor has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be performed.

c. Contractor shall not be assigned a work location on County premises, and Contractor has the right to perform the services required by this Agreement at any place, location or time.

d. Contractor will -furnish all equipment and materials used to provide the services required by this Agreement.

e. Contractor has the right to hire assistants as subcontractors, or to use Contractor's employees to provide the services required by this Agreement.

f Contractor or Contractor's employees or contract personnel shall perform the services required by this Agreement and Contractor agrees to the faithful performance and delivery of described services in accordance with the time frames contained herein; County shall not hire, supervise or pay any assistants to help Contractor.

g. Neither Contractor nor Contractor's employees or contract personnel shall receive any training from County in the skills necessru.y to perform the services required by this Agreement.

h. County shall not require Contractor or Contractor's employees or contact personnel to devote full time to perfonning the services required by this Agreement.

Further, Contractor hereby certifies:

1. That Contractor is not an employee of County and thereby Contractor waives any and all claims to benefits otherwise provided to employees of the County~ including, but not limited to: medical, dental, or other personal insurance,

retirement benefits~ unemployment benefits~ and liability or worker's compensation insurance.

j, Contractor must provide Federal Tax or Social Security Number on required Form W-9.

k. That Contractor understands that he/she is solely responsible, individually for all taxes and social security payments applicable to money received for services herein provided. Contractor understands that an IRS Form 1099 will be filed by the County for all payments received.

6. INDEMNIFICATION AND HOLD HARMLESS

Contractor shall save, hold harmless, and indemnify County, its officers, agents and employees, from and against all claims, causes of action, liabilities, expenses and costs, including reasonable attorneys• fees, for injury of any person or damage to property arising out of, or cormected with, work performed under this Agreement which is the result of any acts or omissions, whether negligent or otherwise, of Contractor, its officers, agents, subcontractors or employees.

7. INSURANCE

The County shall not be required to purchase, any insurance against loss or damage to any personal property to which this contract relates, nor shall this contract require the County to establish a «self-insurance" fund to protect against any such loss or damage. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-6101 et seq.), the Contractor shall bear the risk of any loss or damage to any personal property to which Contractor holds title.

8. OWNERSIDP OF PRODUCTS/DOCUMENTS

Contractor hereby assigns to County all rights to all products, reports, documents, photographs, videos, data, and drawings produced by Contractor as a result of this Agreement.

9. TERMINATION DUE TO LACK OF FUNDING APPROPRIATION

Shawnee County is subject to the Kansas Cash Basis Law, K.S.A. 10-1101 et seq. If, in the judgment of the Financial Administrator, Audit-Finance Office, sufficient funds are not appropriated to continue the function performed in this agreement and for the payment of the charges hereunder, County may terminate this agreement at the end of its current fiscal year. County agrees to give written notice of termination to Contractor at least thirty (30) days prior to the end of its current fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the County or the Contractor.

10. ANTI-DISCRIMINATION CLAUSE

The Contractor agrees: (a) to comply with the Kansas Act Against Discrimination (K.S.A. 44-1001 et seq.) and the Kansas Age Discrimination in Employment Act, (K.S.A. 44-1111

et seq.) and the applicable provisions of the Americans With Disabilities Act (42 U.S.C. 12101 et seq.) [ADA] and to not discriminate against any person because of race, religion, color, sex, disability, national origin or ancestry, or age in the admission of access to or treatment or employment in, its programs or activities; (b) to include in all solicitations or advertisements for employees, the phrase "equal oppottunity employer"; (c) to comply vr.ith the reporting requirements set out in K.S.A. 44 1031 and K.S.A. 44-1116; (d) to include those provisions in every subcontract or purchase order so that they are binding upon such subcontractor or vendor; (e) that a failure to comply with the reporting requirements of (c) above or if the Contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (f) if the contracting agency determines that the Contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract; (g) if (e) or (f) occurs, the contract may be cancelled, terminated or suspended in whole or in patt by the County. Parties to this contract understand that subsections (b) through (e) of this paragraph are not applicable to a Contractor who employs fewer than four employees or whose contract with the County totals $5,000 or less during this fiscal year.

11. ACCEPTANCE OF CONIRACT

This contract shall not be considered accepted, approved or otherwise effective until the required approvals and certifications have been given and this is signed by the Board of County Commissioners of the County of Shawnee, Kansas.

12. ARBITRATION, DAMAGES. WARRANTIES

Notwithstanding any language to the contrary, no interpretation shall be allowed to find the County" has agreed to binding arbitration, or the payment of damages or penalties upon the occurrence of a contingency. Further, the County shall not agree to pay attomey fees and late payment charges; and no provisions will be given effect which attempts to exclude, modify, disclaim or otherwise attempt to limit implied warranties of merchantability and fitness for a particular purpose.

13. REPRESENTATIVE'S AUTHORITY TO CONTRACT

By signing this docwnent, the representative of the Contractor thereby represents that such person is duJy authorized by the Contractor to execute this document on behalf of the Contractor and that the Contractor agrees to be bound by the provisions thereof.

14. TERMINATION OF AGREEMENT

This Agreement may be tenninated by either party by giving the oilier party written notice of the intent to terminate. Ille notice must specify a date upon which the termination will be effective, which date may not be less than 7 calendar days from the date of mailing fue notice. Only services satisfactorily performed up to the date of receipt of notice shaH be compensated by County and such compensation shall be pursuant to the terms of this Agreement. Notice shall be deemed received 3 days after mailing in the United States mail, using first class mail, postage prepaid.

lS. AUTOMATED CLEARING HOUSE (ACID

Shawnee County prefers to pay its vendor invoices via electronic funds transfers through the automated clearing house (ACH) network Shawnee County may require vendors to accept payments via ACH To initiate payment of invoices, vendors shall execute the County's standard ACH Vendor Payment Authorization Agreement. Upon verification of the data provided, the Payment Authorization Agreement will authorize the County to deposit payment for services rendered or goods provided directly into vendor accounts with financial institutions. All payments shall be made in United States cmTency.

16. MISCELLANEOUS PROVISIONS

a. This Agreement shall be entered into in Shawnee Cmmty, Kansas, and shall be consttued and interpreted according to the law of the State of Kansas.

b. All notices and other cormnunications in connection with this Agreement shall be in writing and shall be considered given 3 days after mailing in the United States mail, using first class mail, postage prepaid, to the recipient's address as stated in this Agreement.

c. Contractor shall comply with all federal, state and local laws requiring business permits, certificates and licenses required to carry out this Agreement.

d. Contractor may not assign any rights or obligations under this Agreement without County's prior written approval.

e. This Agreement, along with the Shawnee CoWlty RFP aud any other document specifically referenced in paragraphs 1 and/or 2 constitutes the entire agreement between the parties and may only be modified or extended by a -written amendment signed by the parties hereto. If there is a conflict between the documents that make up this Agreement, the documents will control in the following order: (I) this Agreement, (2) the Shawnee County RFP, (3) any other document specifically referenced in paragraphs 1 and/or 2.

f. The invalidity, illegality, or uncnforceability of any provision of this Agreement or the occurrence of any event rendering any portion or provision of this Agreement void shall in no way affect the validity or enforceability of any other portion or provision of this Agreement. Any void provision shall be deemed severed from this Agreement, and the balance of this Agreement shall be construed and enforced as if this Agreement did not contain the particular portion or provision held to be void.

g. Nothing in this Agreement shall be construed to give any rights or benefits to anyone other than County and Contractor.

BID FORMS: Bid fonns are to be completed, signed and returned to Shawnee County Purchasing Depruiment, 200 SE 7" St., Room 201, Topeka, KS 66603. Bids shall be submitted on or before the date and time set for closing of bids. Bids must be securely sealed in an envelope addressed and marked on the outside with the name and address of bidder, quotation number and closing date below the return address. Bids by telephone, facsimile or email will not be accepted.

SIGNATURE OF BIDS: Each bid must show in the space provided the complete business or mailing address of the bidder and must be signed by him/her with his/her usual signature.

CLOSING DATE: Sealed bids will be received until2:00 p.m. CST, on the scheduled closing date at which time they will be opened and publicly read. The time clock stamp in the Purchasing Department will conclusively detennine the time of receipt. Bids received after the scheduled closing time will not be considered. Bids that do not cany proper identification may be rejected. The Purchasing Division will accept no

responsibility for the premature opening of a bid not properly identified on the outside of the envelope.

MODIFICATION OF BIDS: Bids already submitted may be modified by letter provided modification request is received in the Purchasing Division prior to the time set for closing of bids.

WITHDRAWAL OF BIDS: Bids already subnlitted may be withdrawn upon proper identification of bidder and provided request is received prior to time of closing. Negligence on the part of the bidder in preparing the bid confers no right for the withdrawal after the time set for closing of bids.

NOTICE TO SUCCESSFUL BIDDERS: The successful bidder will be notified by letter or telephone as soon as possible after bids have been opened, tabulated, and analyzed.

NOTICE TO UNSUCCESSFUL BIDDERS: Unsuccessful bidders will not be notified.

NOTE: In the event that goods or services delivered by the vendor are lUlsatisfactory and remain unsatisfactory after a notice and an opportunity to correct the deficiencies, the County reserves the right to purchase substitute goods or services from the other bidders.

Shawnee County reserves the right to negotiate separately with any vendor after the opening of this RFQ when such action is considered in its best interest. Subsequent negotiations may be conducted, but such negotiations will not constitute acceptance, rejection or a counteroffer on the part of the County.

Shawnee County interprets the term "lowest responsible and best bidder" as requiring Shawnee county to :

A. Choose between the kinds of materials, goods, wares, or services subject to the proposal, and

B. Determine which proposal is most suitable for its intended use or purpose. Shawnee County can consider among other factors such things as labor cost, service and parts availability and maintenance costs of items upon which proposals are received. Shawnee County can determine any differences or variations in the quality or character of the material, goods, wares or services performed or provided by the respective vendors.

Shawnee County will award the bid, if the successful vendor refuses or fails to make deliveries of the materials/services within the times specified in the RFQ. purchase order or contractual agreement. Shawnee County may. by written notice, terminate the

contract OR purchase order. The successful vendor will cettifY and warrant that goods, personal property, chattels, and equipment sold and delivered are free and clear of any and all liens, or claims of liens, for materials or services arising under, and by virtue of the provisions ofK.S.A 58~201, et seq., and any other lien, right, or claim of any nature or kind whatsoever.

The vendor hereby certifies that he or she has carefully examined all of the documents for the project, has carefully and thoroughly reviewed this RFQ, understands the nature and scope of the work to be done; and that this proposal is based upon the terms, specifications, requirements and conditions of the RFQ, and documents. The vendor fi.uther agrees that the perfonnance time specified is a reasonable time, having carefully considered the natw·e and scope for the project as aforesaid.

Shawnee County will use discretion with regards to disclosure of proprietary information contained in any response, but cannot guarantee the information \V:ill not be made public. As a governmental entity, Shawnee County is subject to making records available for disclosure pursuant to the Kansas Open Records Act. Any confidential or proprietary information should be clearly marked.

Shawnee county reserves the right to enter into agreements subject to the provisions of the Cash Basis Law (K.S.A. 10-1112 and 10-1113), the Budget Law (K.S.A.79-2935). Agreements shall be construed and interpreted so as to ensure that the County shall at all times stay in conformity with such laws, and as a condition of agreements the County reserves the right to unilaterally sever, modify, or terminate agreement at any time if, in the opinion of its legal counsel, the Agreement may be deemed to violate the terms of such law.

The vendor certifies that this proposal is submitted without collusion fraud, or misrepresentation as to other vendors, so that all proposals for the project will result from free, open, and competitive proposing among all vendors.

This Request for Quotation, responses thereto and any contract documents will be governed by the law of the State of Kansas. Any dispute arising out of the same will be litigated only within the courts of the State of Kansas.

Vendor agrees that all data, documents, and information, regardless of fonn that is generated as a result of this Request for Quotation are the property of Shawnee County. The County shali not be liable to reimburse any vendor for the costs of creating) compiling or delivering the same to the County.

All bids received on or before the specified bid closing time and date sha11 be publicly opened, read aloud and properly recorded on the bid tabulation sheet. Subsequent to the bid opening, all bids shall be thoroughly evaluated and a determination made as to their compliance with applicable specifications. SCOPE OF WORK:

Shawnee County is soliciting sealed bids to replace all of the wood on the Ted Ensley Gardens pergola structure to restore it to its original condition per the following minimum requirements.

A mandatory pre-bid meeting will be held onsite at 1 O:OOa.m. on January 21st, 2020.

See Attachment A for images of the composition and condition of the existing structure.

Mandatory provisions applicable to contracts of the state and other political subdivisions; cancellation. when; application to subcontract; non-application to certain contract. (a) Except as provided by subsection (c) of this session, every contract for or on behalf of the state or any county or municipality or other political subdivision of the state or any agency of or authority created by any of the foregoing, for the construction, alteration or repair of any public building or public work or for the acquisition of materials, equipment, supplies or services shall contain provisions by which the contractor agrees that

1. The contractor shall observe the provisions of the Kansas act against discrimination and shall not discriminate against any person in the performance ofwol"k under the present contract because of race, religion, color, sex physical handicap unrelated to such person's ability to engage in the particular work, national origin or ancestry.

Pumose: Board of Commissioners approval to award the bid and subsequent execution of the Kent Fence Co. Justification: On December 9, 2019, the Board of Commissioners approved SCP+R to solicit bids for the replacement of fencing and gates at the Adventure Cove swim area as improvements relate to the specified scope of work Q#002-20. Bids were received January 21,2020, with three vendor proposals. After review and discussion, staff recommends Kent Fence Co. as the lowest most responsive bidder for the project. Work is set to be complete by the end of April.

KENT FENCE COMPANY, INC. AGREEMENT

THIS AGREEMENT is made and entered into effective the day of February 2020, by and between THE BOARD OF COUNTY COMMISSIONERS OF THE

COUNTY OF SHAWNEE, KANSAS ("COUNTY"), and KENT FENCE COMPANY, INC., (KENT FENCE), together known as the Parties.

WHEREAS, in accordance with law, County has caused certain contract documents to be prepared per a Request for Proposa1 (RFP), for and in connection with replacement per specifications of fencing and gates at the Lake Shawnee Adventure Cove :swim area; and

WHEREAS, Kent Fence has submitted a response to the County per RFP Q#002-20, in the manner and time specified, a Sealed Bid in accordance with the Bid Documents; and

WHEREAS, County has publicly opened and examined the bids submitted, and has determined Kent Fence to be the lowest responsive bidder for the work descdbed herein, and has duly awarded to Kent Fence a Contract therefore; and

WHEREAS, in consideration of the compensation to be paid to Kent Fence by County and of the mutual covenants contained herein, the Parties have agreed as follows:

SECTION 1 SCOPE OF WORK

Kent Fence agrees to remove existing fence and instaJl new fence and gates per design specifications at Lake Shawnee for the County according to the RFP Q#002-20 attached hereto and made a part of by reference. Kent Fence shall perform all work. as provided in the RFP, plans and/or specifications, including the assumption of all obligations, duties, and responsibilities necessary to fue successful completion of the project, including the furnishing ofa11 material and equipment required to be incorporated into the project and all tools, equipment, supplies, transportations, facilities, labor, superintendents, and other services required to perform the work and complete the project as defined and provided for in the RFP, plans and/or specifications.

SECTION 2 TERM

This Agreement shall commence on the date signed by County. Kent Fence shall complete all work required in the Contract documents before May 8. 2020, following execution of this Agreement In the event Kent Fence shall be delayed in perfonning any work due to inclement weather or other Acts of God not reasonably anticipated, the date for achieving substantial completion or as applicable the final completion shall be appropriately adjusted by County upon written claim of Kent Fence to County. County requests that for such inclement weather adjustment(s), it shal1 be Kent Fence's responsibility to notify Randy Luebbe, Park Services Division Director. 785-251-6807~ by 10:00 am. any day such request is being considered by Kent Fence.

SECTION 3- PAYMENTS

This Agreement shalJ not exceed the amount of Seventeen Thousand Eight Hnndred Five Dollars and No/100 ($17,805.00). Kent Fence shall submit invoice(s) as duties pertaining to the project are completed. Such submission of invoices shall occur as stated in Section 13 below. Cm.mty shall have fourteen (14) calendar days from receipt of said invoice to confirm the work~s completion and make payment.

SECTION 4 LIQUIDATED DAMAGES

Should Kent Fence fail to complete the Project within the contract time provided herein, Kent Fence shall pay County as liquidated damages, and not as penalty, the sum of Fifty Dollars and No/100 ($50.00) per calendar day beyond the stipulated contract time unless such contract time is extended by mutual agreement of the Parties through a change order.

SECTION 5 SUBSTANTIAL CQMPLETION

Upon completion of the work, Kent Fence shall notify Comty and County shall conduct or cause to be conducted an inspection of the work. Kent Fence shall be given ten (1 0) days to complete or correct any incomplete or deficient work or any outstanding items remaining to be completed or corrected as detailed in a list of items furnished by County. If upon expiration of said ten (1 0) calendar days the aforementioned outstanding items of work have not been completed, liquidated damages shall commence as provided herein.

Unless extended as provided herein, the expiration of the Agreement time shall ipso facto constitute a putting in default, where Kent Fence has failed to complete the project timely, and County need not place Kent Fence in default. Kent Fence further hereby waives any and all notice of default.

SECTION 6 KENT FENCE REPRESENTATIONS

In order to induce County to enter into this Agreement, Kent Fence represents that it has familiarized itself with the nature and extent of the Agreement docmnents, the work, the locality and all Federal. State, and local laws, ordinances, rules, and regulations which may in any manner affect the progress of performance of the work. Further, Kent Fence has given County written notice of any conflicts, errors, or discrepancies that it has discovered in the Agreement docwnents, and hereby accepts the written resolution thereof

SECTION 7 TERMINATION

The terms of this Agreement shall be binding on the parties hereto, but this Agreement may be terminated under any or all of the following conditions:

a. By mutual written contract and consent of the parties hereto;

b. County as a consequence of the failure of Kent Fence to comply with the terms, progress, or quality of work in a satisfactory manner, proper allowances being made for circwnstances beyond the control of Kent Fence; and/or

c. By either party upon failure of the other party to fulfill its obligations as set forth in this Agreement.

In the event of termination of this Agreement, because of any of the above, Kent Fence shall be paid for work performed in a satisfactory manner prior to Kent Fence receipt of written notice of termination.

SECTION 8 -INSURANCE

Kent Fence shall furnish a Certificate of Insurance for this project per Q#002-20 prior to beginning work or within ten (1 0) days of the execution of this Agreement whichever is sooner.

SECTION 9 INDEPENDENT CONTRACTOR

While in the performance of providing the services outlined herein or carrying out other obligations under this Agreement, Kent Fence shall be acting in the capacity of Independent Contractor and not as an employee of County. County shall not be obligated to any person, firm, corporation, or other entity for any obligation of Kent Fence arising from the performance of services under this Agreement. Nothing contained in this Agreement is intended to, or shall be construed in any manner~ as creating or establishing the relationship of employer/employee between the parties. Kent Fence shall at all times remain an Independent Contractor with respect to the services to be performed Wlder this Agreement. County shall be exempt from payment of all unemployment compensation, FICA, retirement, life and/or medical insum.nce, worker's compensation insurance. as Kent Fence is an Independent Contractor.

SECTION 10 CONTRACT EXECUTION

This Agreement represents the entire agreement between Cowty and Kent Fence and supersedes all prior negotiations, representations or contracts, either written or oral. This Agreement may be amended only by written instrument signed by both parties.

SECTION 11 APPlJCABLE LAW AND VENUE

This Agreement shall be consummated in the State of Kansas and shall be governed and/or construed in accordance with the laws of the State of Kansas. Venue shall be in the Third Judicial District Court; and by entering this Agreement~ Kent Fence expressly waives any objections to jurisdiction and venue, regard1ess of Kent Fence residence or domicile.

SECTION 12 INDEMNIFICATION

To the fullest extent permitted by law, Kent Fence shall protect, defend, indemnify, and hold County its elected and appointed officials, agents, directors, servants and employees, or any frrm company, organization, or individual, or their contractors, or subcontractors for whom County may be contracted to, harmless from and against any and a]] claims, demands, judgments, fme.s, suits, actions or causes of liability, and absolute liability which may arise in favor of any person, persons, or entity on accmmt of illness, disease, property damage, loss of property, services, wages, death or personal injury resulting from work contemplated by this Agreement.

SECTION 13- NOTICES

Any communications to be given hereunder by either party to the other shall be deemed to be duly given if set forth in writing and personally deliveJ:ed or sent by mail, registered or certified, postage prepaid with return receipt requested, as follows:

SECTION 15- SEVERABILITY

Agreement shall be governed by the regulations of the United States and the laws of the State of Kansas. If any provision of this Agreement is held to be illegal, invalid, Ol"

unenforceable under present or future laws effective during the te1m of this Agreement, such provision is fully severable, and this Agreement must be construed and enforced as if such illegal, invalid, or unenforceable provisions never compdsed a part of this Agreement; and the remaining provisions of this Agreement remain in full force and effect and may not be affected by the illegal, invalid, or unenforceable provision or its severance from this Agreement.

SECTION 16- DISCRIMINATION CLAUSE

Kent Fence agrees to abide by the requirements of the following as applicable: Title VI and Vll of the Civil Rights Act of 1994, as amended by the Equal Opportunity Act of 1972, Federal Executive Ordet' 12346, the Federal Rehabilitation Act of 1973, as amended, the Vietnam Era Veteran's Readjustment Assi:stance Act of 1974, Title IX of the Education Amendments of 1972, the Age Act of 1975, and Kent Fence agrees to abide by the requirements of the Americans with Disabilities Act of 1990.

Kent Fence agrees not to discriminate in its employment practices, and will render services under this Agreement without regard to race, color, religion, sex, sexual orientation, national origin, veteran status, political affiliation, or disabilities. Any act of discrimination committed by Kent Fence or failure to comply with these statutory obligations when applicable shall be grounds for termination of this Agreement.

2020 Lake Shawnee Restrictions and Closings Park Services Division

Puroose: Board of Commissioners approval is requested on the attached Lake Shawnee closing and restricted uses for the 2020 calendar year.

Justification: The restrictions are necessary tOr preparations, operations and concluding of special events and fishing programs held at Lake Shawnee. The Shavmee County, Kansas Code, Chapter 21, Art. II, Sec. 21-55 (B), requires the approval of both the Director of Shawnee COlmty Parks+ Recreation and Board of County Commissioners to approve any lake or park clo~ings.

Approval of these dates for restrictions and closings will allow for ample notice to visitors concerning Lake Shavmee. The dates will be made available to the public via SCP+R website and social media along with typical Counly correspondence to media outlets. Any further scheduled changes will be made public as stated above.

Advertising Agreement - Media USA Professional Development Division- \1arketing/Promotion

Purpose: Board of Commissioners authorization and execution on the attached agreement with Media USA and Shawnee County which scrolls ads to viewers at four local hotels. Marketing intentions arc to feature events and programs in parks as users may touch the kiosk screen for details on local items of interest. The fee of$1,200 is provided by the Parks+ Recreation operating budget.

Justification: In 2017, the hotel kiosks recorded visitors interacting with their system by clicking on the Parks +Recreation icon more than 70,000 times. This type of measurable visitor feedback suggests that Parks + Recreation ads are being placed in the appropriate venue. Lt further shows that people are interested in park aspects provided at sites such as 01d Prairie Town at Ward Meade Park, Gage Park, and Lake Shawnee, aquatic centers, local events, gardens and golf courses.

The Office of National Drug Control Policy(ONDCP) has awarded HIOTA funding to federal, state and local Jaw enforcement agendes in the region comprised of the states of Kansas, Missouri, Nebraska, Iowa, South Dakota and North Dakota for the purpose of combating the manufacture and importation of methamphetamine and the disruption of poly-drug trafficking organizations. The Kansas Bureau of Investigation (KBI) has been designated as the fiscal agent for award proceeds to be distributed to state and local agencies participating in the Midwest HIDTA program within Kansas and in selected regional initiatives. These funds shall be used for purposes designated In the TOPEKA DEA TASK FoRCE INITIATIVE (Appendix A) and associated budget (Appendix B), as approved by ONDCP.

Scope of Service The services carried ollt under this Memorandum of Understanding shall be consistent with those contained in the initiative proposal and budget as approved for funding by ONDCP. Changes shall not be made in the subject or the proposed objectives of the initiative without prior written approval from The Midwest HIDTA State Coordinator for Kansas, the Midwest HIDTA Executive Director and the Midwest HIDTA Executive Committee.

The signatories agree to provide written notice to the KBI and to the Midwest HIDTA Kansas State Coordinator, at least (30) days in advance of any planned withdrawal from this agreement. In the event of withdrawal from this initiative by any party, all property and equipment acquired with HIDTA funds by the withdrawing party shall be re-distributed as per Midwest HIDTA policy and procedure. Upon the date spedfied in the written notice of withdrawal, this agreement shall become void with respect to the agency

giving notice but shall remain in effect for all other participants. The KBI shall process all allowable reimbursement requests for the withdrawing agency through the date of the withdrawal.

Reprogramming of Funds Reprogramming of funds within a HIDTA award requires different levels of approval based upon the amount to be reprogrammed and whether the reprogramming is inter-agency or inter-initiative. In all cases the recipient agency is responsible for forwarding a request for authorization for reprogramming to the KBI to be forwarded to the Midwest HJDTA State Coordinator for Kansas, the Midwest HJDTA Executive Director and Midwest HJDTA Executive Committee. The recipient agency is also responsible for maintaining detailed records of any reprogramming activities.

Reporting R_equirement All participants may be required to prepare a final reQ0~_9f inl_tl<!~i'{e ex~nditLires, which shall be submitted to the KBI within 30 days of the close of the program fi~l year. The financial report will be of a form approved b\"_the.J(BLand..shall-contain-a-listing..of-expenditures/c:.osts-by-oost~tegory-from-the-approved-initiative~~~budget (Appendix B). The report shall also contain a comparison of actual costs/expenditures against budget estimates. Failure to submit reports on a timely basis may result in the interruption or termination of the initiative funding for your agency. the HIDTA Program Policy and Budget Guidance (PPBG) publication and the Midwest HIDTA Polides and Standard Operating Procedures document (SOP).

Program Standards Each agency agrees to abide by the standards and rules defined in the HIDTA Program Policy and Budget Guidance (PPBG} publication and the Midwest HIDTA Policies and Standard Operating procedures document as well as all formal written program guidance regarding financial management standards, reporting. records retention, equipment, vehicles, and procurement and supplanting requirements for any agency accepting HIDTA funds. You can download the full version from National HIDTA Assistance Center (NHAC) at nhac.org.

Assurances Each agency agrees to abide by the terms and conditions set out in Application for Federal Assistance SF 424, Assurances ~ Non-Construction Programs (Appendix D) and Assurances- Construction Programs (Appendix E). Each agency will also submit the signed OMB forms, Certification Regarding Lobbying (Appendix F) and Disclosure of lobbying Activities (Appendix GJ and will abide by all applicable special conditions included as a part of the award agreement (Appendix 1).

Invoicing Each agency receiving reimbursements will invoice once per month no more than quarterly, due the fifteenth of the month, for expenditures incurred during the prior month. Reimbursement form shall be a form approved by the KBI {Appendix H) and shall contain a listing of expenditures by category. Each agency shall retain the original supporting documentation and provide a copy to the KBl with the monthly report. Each agency agrees that the NHAC and Midwest HlOTA Executive Director and Midwest HIDTA Executive Committee have the right to terminate suspend or delay any payment to sub~recipient if the reimbursements clearly fails to meet HIDTA PPBG. In the event that such an act is necessary the agency will be notified within three days of the decision.

Inventory Equipment purchased with HIDTA funds shall be identified by cost, type and serial number and reported to the Kansas State Coordinator on the Midwest HIDTA Inventory Form (Appendix C). The Kansas State Coordinator shall maintain an inventory of all equipment purchased and provide the same to HIDTA. A copy of ail inventory transactions shall be provided to the KBJ. Any change to the inventory of HIDTA purchased equipment shall be reported promptly and In writing to the KBI.

Audit Readiness and compliance Each agency agrees to maintain appropriate and detailed records of its receipt and use of the funds, in accordance with the generally accepted accounting principles applying to government agencies. Each agency understands that it may be subject to an audit. Each agency also understands that there will be a site audit every two years for awardees that receive $25,000 or more, and every three years fur awardees that receive $25,000 or less.

As the fiduciary, the KBI is required to provide certain information in an audit. The Single Audit Certification (Appendix Kl provides part oft he information needed. The Risk Assessment Tool (AppehdixJ) hE!lps to eilsure

Operations 1. Individual agencies shall be responsible for the initial payment of costs for phones, pagers, travel and

overtime associated with their agent/officer. All equipment purchases shall be made In accordance with the HIDTA program policy. Each agency agrees to compile those costs on a monthly basis and

submit the same to the KBI for reimbursement as per the section of this document titled Invoicing. Reimbursement to each agency is limited to the amount specified in the respective funding category, for that agency, as set out in the approved initiative budget and this agreement.

2. Signatories agree to provide all required statistical_ financial and programmatic- documentation to the Midwest HIDTA, including but not limited to non-supplanting agreements, monthly performance reports and yearly threat assessment information.

3. Signatories agree to participate in and support all Midwest HIDTA information and intelligence programs, Including but not limited to, HIDTA SAFETNET, EPIC NCLSS.

4. The signatories agree that in event that any additional funds are received from HIDTA for the benefit of the initiative, those funds shall be distributed pursuant to the written award authorizing those additional funds.

S. Shawnee County Sheriffs Office shall agree to designate one commissioned officer to the Topeka DEA HIDTA Task Force.

Agreement between the Shawnee County Sheriffs Office and the Kansas Bureau of Investigation under

the Midwest HIDTA CFDA#95.001 for the period of 01/01/2019 to 12./31/2020 in the amount of $6,160.00.

The Kansas Bureau of Investigation is subject to the requirements of the U.S. Office of Management and

Budget {OMB) Circular A-133: Audits of Dates, Local Governments and Nonprofit Organizations. As

such, DMB Circular A-133 requires the Kansas Bureau of Investigation to monitor our sub recipients of

federal awards and determine whether they have met the audit requirements of the circular and

weather they are in compliance with federal laws and regulations. This document must be completed

and signed by the fiscal agent's organization.

STATE AND LOCAL HiDTA TASK FORCE AGREEMENT

This agreement is mad,e this 6111 day of December 2019, between the United States Dc;;:partment of Justice, Drug Enforcement Administration (hereinafter "DEA''}, and the-Shawnee County Sheriffs Office (hereinafter "SCSO"), ORI #KS08900. The DEA is authorized to enter into this cooperative agreement concerning the use and abuse of controlled ·substances under the provisions of21 U.S.C. § 873.

Whereas there is evidence that tra"fficking in narcotics and dangerous d~ugs exists in the Topeka, Kansas area and that such illegal activity has a substantial and detrimental effect on the health and general welfare oft:he people of Kansas, the parties hereto agree, to the following:

I. The Topeka Post of Duty (TPOD) Task Force will perform the activities and duties described below:

a. disrupt the illicit drUg traffic in the Topeka area by immobililirig targeted Violators and trafficking organizations;

b. gather and report intelligence data relating to trafficking in narCotics and dangerous drugs; and

c. conduct undercover operations where appropriate and engage in other traditiona.l methods ofinvest•gation in order that the task force's activities will result in effective prosecution before the courts of the United States and the States {)fKansas and Missouri.

2. To ;lCCOmplish the objectives of the TPOD Task Force, the sCso agrees to detail one {-1) experienced officer(s) to the TPOD Task Force for a period of not less than two years. During this period of assignme~::~t, the Scso officers will be under the direct supervision and control of DEA supervisory personnel assigned to the task force.

3. The SCSO officers assigned to the Task Force shall adhere·to aU DEA policies and procedures. Failure to adhere toDEA policies and procedures shall be grounds fOr dismissal from rhe task For.;;:e.

4. The SCSO officers assigned to the task force shall be depuliz.ed as task force offi~rs oFDEA pursuant to 21 USC 878,

5. To accomplish the objectives of the TPOD Task Force, DEA will assign three (3) Special Agents to the task force. HIDTA will also, subject· to the availability of annually apprOpriated

funds or any continuing resolution thereof, provide necessary funds and equipment to support the activities of the DEA Special Agents and SCSO officers assjgned to the task force, This support will include: office space, office supplies travel funds, funds for the purchase of evidence and information, investigative equipment, training and other support items.

6. During the period of-assignment to the TPOU Task Force, the SCSO will remain responsible for establishing the salaries and benefits, including overtime, of the SCSO officers assigned to the task force and for making all pa)'mcnts due them. J-IIDTA will,- subjeCno availabilitY of funds, reimburse the SCSO for overtime paym-ents made by it to the SCSO officers assigned to the TPOD Task Force for ovenime, up to,a sum equivalent to 25-percent oft he salary of a"OS-12, Step 1 (RUS) federal employee, (currently $18,649.00), per officer. Note: Task Force Officer's overtime "Shall not include-any costs for benefits, such as retirement, FICA,:·and other expenses."

7 .In no event will the SCSO charge any indirect cost rate to DEA for the administration or implementation oJthis agreement.

8. The SCSO shall maintain on a current basis complete and accurate records and accounts of all obligations and expenditures of funds under this agreement 'in·accordance with. generaHy accepted accounting principles and instructions provided by DEA to facilitate on-site inspection and auditing of such records and·accounts.

9. The SCSO shall permit and have readily available for examination and auditing by DEA, the United States Department of Justice, the Comptrol'ler General of the -United States, and any of their duly authorized agents and representatives, any and all records. documents, accounts, invoices, receipts or expenditu-res relating to this agreement. The -scso shall maintain-all such reports and records until all· litigation; ·claim, audits and examinations are completed-and- .. resolved; or for a period of'three (3) years after termina-tion of this agreement,- whichever is later.

I 0. The SCSO shall comply with Title VI of the Civil Rights Act of 1964, Section 504 of the Rehabili-tation Act of 1973, the Age Discrimination Act of 1975, as anien,ded;-and all requirements imposed·by or pursuant to the regulations of the United States Department of Justice implementing those laws, 28 C.F.R. Pan42, Subparts C; F, G, Hand I.

11. The SCSO agrees that an authorized officer or employee will execute and return to DEA the attached OJP Form 4061/6, CertificatiOn Regarding Lobbying;. Debarment, suspension and Other Responsibility" Matters; and drug-Free Workplace Requirements. The SCSO acknowledges that this agreement will not take effect and no federal funds will be awarded until the completed certification is received. ·

12. When issuing statements, press releases requests for proposals, bid solicitations and other documents describing projects or programs funded in whole or part with federal money, the SCSO shall clearly state: (1) percentage of the total cost of the program or project which .will be financed with federal money and (2) !he dollar amount of federal funds tbr the program or project

13. While on duty and acting on task force business, the SCSO officers assigned to the HIDTA task force shall be subject to all DEA and federal government rule:~-, regulations and procedures governing the use ofOGV's for home to work trarisportation and for personal business. The HIDTA Executive Committee acknowledges that the United States is liable fOr the actions of task force officer, while on-duty and acting within the scope of their federal.employment, to the extent permitted by the Federal Torts Claim Act.

14. The term of this agrtement·shaU be effective from the date in paragraph number one until September JO, 2020. This agreement may be terminated by either party on 30 days advance wrillen notice. Billing for all outstanding obligations must be received by DEA within 90 days of the date of termination ofthis agreement. HJDTA will be responsible only for-obligations incurred by SCSO durtng I he term of this agreement.
