Board Members Present: Lisa Brown, Joe Carbonari, Jason Cronk, Jesse Davis, Dawn Hendrickson, Mark Hensley, Bob Herron, Doug Houtz, Mark Johnson, Jane Karas, Butch Larcombe, Mike Nye, Brian Pelc, Mike Pence, Maria Phelps, Tom Ray, Mike Smith, Laura Taylor, Tagen Vine, Jim Wright Board Members Absent: Mark Flatau, Dave Hergesheimer, Doug Russell, Courtenay Sprunger, Kary Tonjum, Rick Weaver Staff Present: Joe Unterreiner, Katie Brien, Kate Lufkin, Margit Baake Guest: Greg Peck, CPA with JCCS Notice of the meeting having been given, the meeting was called to order by Joe Carbonari at 7:04am. CONSENT AGENDA

1. Minutes of the April 25, 2017 meeting were reviewed. Jane motioned to approve the minutes, Tom seconded; minutes from April were approved.

2. The financials for April 2017 were reviewed. Dawn motioned to approve the financials, Mike S. seconded; financials for April were approved.

BOARD ACTION AND DISCUSSION ON INITIATIVES AND PROGRAMS

1. For Board Approval— Greg presented the draft 2016 financial audit. There were no management recommendations, Doug H. asked why the different fiscal years for the Chamber and Foundation and if there was any advantage or disadvantage in having different fiscal years. Greg said he does not know of any advantage or disadvantage, and if he did he would recommend a change. Joe U. stated that the foundation account was originally used by Leadership Flathead and Leadership Flathead runs on a school year so its fiscal year was set up according to the program’s year. Brian motioned to approve the draft audit as presented by Greg, Dawn seconded; the 2016 draft audit was approved. Brian asked about the line of credit through Wells Fargo and asked whether or not the board had voted to close that account last year. Joe U. said that line of credit may be tied to the staff credit cards. Doug H. asked how often an audit was done, Joe U said every year. Dave T noted that there was $100,906 of investment in property and equipment in 2016 (page 5 of draft audit). Joe U said the major components of this were $91,000 wayfinding signs and $10,000 security cameras and improvements. Greg Peck said that he will adjust the final version of the audit to remove the $91,000 of signing and better reflect the nature of the charge.

2. President’s Report: Joe U. passed around his binder from the US Chamber-Israel Business Initiative trip. There was a lead generated on the trip for a potential connection with our member firearms manufacturers that he will follow up with. Mike N. was also able to schedule a site tour of Applied Materials Tel Aviv.

3. Marketing Report: Kate currently has a preliminary version of the new website and is on track to launch the new website mid-June. There were 34 businesses in attendance at last week’s “Dominate your digital brand” workshop held at the college. The 20 under 40 campaign received 99 unique nominations with a total of 130 submissions. Joe U., Kate, Margit, and Katie recently attended the Montana Association of Chamber Executive conference in Great Falls. Kate and Margit were able to connect with other chambers on new marketing ideas and are looking at changing a few things around. Joe C. asked for an update on the Google 360 campaign. Kate said Tim (the photographer) was here earlier this year and would not be back now until the end of summer.

4. Membership Report: Margit reported 6 new members for May; that brings the year to date total to 62. Year goal is 120 new members; she is currently $5k ahead of the monetary goal for the year. Attrition rate is currently at 1.2% and only 8 members have dropped this year. Currently 718 active members. Banner ad renewals are already coming in.

5. Administrative Report: Boiler-waiting on report from Bill at Airworks. Once he provides a recommendation on a new system that will be taken to bid with chamber members. Doug H. asked if an HVAC system was being considered? Only if that is the final recommendation from Bill. Joe U. has also requested an RFP for painting the trim and frames on the outside of the building; Katie will look to include a power washing of the outside of the building in that work. Katie did receive a quote back from Glacier Traffic on the cost to man the signs for parades: $1300. That will double the expenses for the parades. The change is not being required until 2018, but will most likely have to request Glacier Traffic to come watch the setup for one parade before they take over (but since they already contract work with the City, the transition should be smooth). Mark J. asked about the Stock Sale and what the decision was on new animals at the sale this year. No animals will be added to the sale this year. The Stock Sale Committee should be approving the communication protocol at their next meeting that will be presented to the Board for their approval.

6. Joe U. finished his president’s report: He was on a conference call yesterday about the airport expansion and plans. He will be sitting in on a strategic planning session with KRH tomorrow. He noted that the City did change some language on the Growth Policy that the chamber provided input on. There are three new hotels being built: one at the airport (confirming that brand), a Best Western by Costco, and a Marriot in Whitefish.

Jim has attended the 1st national meeting and stated that the MMEC program did receive their funding for the next year. Their next focus is connecting the state programs better.

Mark Hensley announced that he recently bought out the King’s holding in Valley Bank and is now the sole owner.
