Job Description Job title Company Secretarial Associate Team Legal and Governance Band 7 Reporting to Deputy Company Secretary Management responsibility None Purpose of the job To support the Deputy Company Secretary in delivering a high-quality secretariat function. Responsible for supporting provision of company secretarial advice and support to the Group board including its Audit, Risk, Remuneration and Nominations committees and to Group subsidiary boards and committees; responsible for shaping internal technical advice, guidance and process. Main duties Managing Group company board and committee meeting process – working with management teams to set agenda, briefing management teams on lead times for delivery of board/committee papers; ensuring timely publication of materials to the Bank’s board portal. Attendance at and minuting some board and committee meetings some of which will require occasional travel to our Sheffield office. Statutory compliance – responsible for ensuring appropriate records in accordance with statute and the timely meeting of statutory filing deadlines including the escalation of deadlines to management teams. Corporate Governance – preparing research and first draft briefing materials for the Deputy Company Secretary on proposed changes to the governance and regulatory landscape including keeping abreast of approaches to common reporting items by the Group’s industry peers or competitors Corporate transactions – as and when required including the preparation of draft board resolutions and supporting briefing materials for non-executives Liaising with Government stakeholders around governance requirements Point of contact for all Board members and Senior Management with the Secretariat. Skills, knowledge and experience Ability to interact with Senior Management and Non-Executives Problem solving and proactive approach to identifying where work needs to be done and the shape of work product to meet business needs as well as to the allocation of work product Some company secretarial experience within a commercial environment Minute taking skills are essential Knowledge of Companies Act 2006 Experience in a sector relevant to British Business Bank Internal and external stakeholders Executive & Non-Executive members of Boards Group Finance Group Risk and Compliance Business divisions of the Bank Key competencies/behaviours Methodical approach Act with integrity and discretion Takes responsibility and ownership for decisions, actions and results Attention to detail A good team player Qualifications
