1. EXECUTIVE SUMMARY

This Business Plan is prepare for the purpose of application of Labuan Work

Permit from MM 2 H for Mr. TARO SORANO and Mr. NOBORU

OOZORA (the “Applicants”), Co - Directors of TERIYAKI Research Co.,

Ltd. to Labuan Financial Services Authority (“LFSA”) for reference.

This business plan includes Business Contents, Management’s Background, 3

Years Forecast Financial Statement, Organization Chart and others.

* The above 2 applicants will return the MM2H promptly after approval, and

plan to switch to Labuan work permit within 3 months.

1.概要

当事業計画書は、TERIYAKI Research Co., Ltd.の共同取締役である空野太郎氏と

大空昇氏（以下「申請者」といいます。）の MM2H ビザからラブアン就労ビザの切り替え申請を

目的としたものであり、ラブアン金融庁（以下「LFSA」といいます。）に参考書類として提出する

ものです。

この事業計画書には、事業内容、管理者としての経験、3 年間の予測財務諸表、組織図など

が含まれます。

※上記 2 名の申請者は就労ビザの承認後すみやかに MM2H を返還し、3 か月以内にラブアン

就労ビザへ切り替え手続きを行う予定です。

2. INTRODUCTION

TERIYAKI Research Co., Ltd. (“TRC”) is incorporated on 28th February

2017, bearing the registration number of LL12345 in Federal Territory of

Labuan, Malaysia, which is primary engaged in providing services in related to

aviation and hotel market surveys, data researches, data analysis, cost

investigations, forecast, and development.

TERIYAKI Research Co., Ltd. （以下「TRC」といいます。）は、2017年 2月 28日

にマレーシア連邦領ラブアンに設立され、LL12345 の法人登録番号を持ち、主に航空産業とホ

テル産業の市場調査、データ調査、データ分析、価格調査、予測、開発等に関するサービスに

従事しています。

3. MISSION

TRC is aim to “improve the convenience of travel, to provide a safe and

comfortable system for travellers”.

3. 目的

TRC は「旅行の利便性を向上させ、旅行者に安全で快適なシステムを提供する」ことを目的とし

ています。

4. BUSINESS NATURE

TRC carried out business related to market survey, including but not limited to

researches, technical business information, data preparation, cost investigation,

organization assistance to corporate or individual person.

TRC is currently compiling data & information related to Air Flight Ticket,

Insurance Coverage, Accommodation, Public Transports by developing a single

(comprehensive) platform for travellers to plan their vacation. (such as Expedia,

Airbnb, Traveloka, Agoda, Uber, etc.)

In addition, based on the data collected, the price list is ranked and the most

economically rational quantitative analysis is carried out.

4.事業の性質

TRCは、調査、技術的なビジネス情報、データの準備、コスト調査、企業または個人に対するア

シスト業務を含み、これらに限定されず市場調査に関連した付随業務が行われます。

TRCは、旅行者が旅行を計画するための一元化された（包括的な）プラットフォームを開発す

ることによって、現在の航空券、保険適用範囲、宿泊施設、公共交通機関に関するデータと情

報を収集しています。（Expedia, Airbnb、Traveloka、Agoda、Uber など）

さらに、収集されたデータに基づいて価格リストがランク付けされ、最も経済的に合理的な定量分

析が実行されます。

The research statistic shows that it will be more economical and value for cash

if the Air ticket was purchased from Airline Provider in Malaysia (i.e Malaysia

Airline, AirAsia), partly also due to the MYR is weakening recently, as

compare between Japan, Singapore and Malaysia.

5-1. 研究 1（R1）

調査統計によれば、マレーシアの航空会社（マレーシア航空、エアアジア）から航空券を購入し

た場合、日本、シンガポール、シンガポールと比較して、MYR が最近下落傾向になっているため、

マレーシアで購入する場合はより経済合理的な料金で購入できることが明らかとなりました。

5-2. Research Two (R2)

Based on our findings, Travellers could make some saving from purchase of

airticket through following options:-

I. Purchase the Airticket from Airline of the your destination country/home

country;

II. Transit in several countries; and

III. Settlement of Airticket – travellers may choose international currency (i.e

USD) or currency of your home country, (i.e Arbitrage of Exchange

Currency).

TRC aims to compile, design, develop and implement the best platform for the

Travellers include Business person, Middle income earner, and Lower income

earner to plan their vacation in the most convenient and economic way with the

same amount of budget.

TRC believes that we can indirectly contribute a large portion to the tourism

industry in Japan, Singapore and Malaysia.

Comparing the price levels between Japan and Malaysia, the current currency

exchange rate is 4: 1, which means that Malaysia is at an economic reasonable

level. Similarly, comparing Singapore and Malaysia, the current currency

exchange rate is 3: 1, which also means that Malaysia is at an economic

reasonable level.

According to “law of one price”, if quality, quantity is the same the price of a

certain product, the price should converge before long towards equilibrium

point. Here, assuming that arbitrage transactions are carried out so that all

information is instantaneously reflected in price, although it falls into a

circulation theory that there is no possibility of arbitrage transactions, this is

contrary to all arbitrage As a result of achieving the opportunity, the price is

presented as a proof that the random walk is revealed.

If the air tickets (the right to move) to travel from A to B or from B to A are the

same distance, but are vary in the purchase price from country A and country B,

then it is price rationality to purchase the air tickets at a cheaper price. Such an

act is defined as a “price arbitrage transaction”. For example, Japanese people

living in Singapore halve prices when traveling via Kuala Lumpur to Japan

rather than going directly from Changi Airport to Japan.

There are a certain number of Japanese businessmen or high net worth people

who are frequently travelling and taking airplane often, and these group of

people would like to purchase their air tickets at a secure cheaper prices.

TRC will provide these group of people who mainly resides in Japan,

Singapore and Hong Kong with a calculation database service based on the air

tickets price level, to issue a flight ticket in Malaysia so that these group of

people can enjoy cost saving and travelling at a cheaper price.

Because TRC will use Labuan company as IBC (International Business

Company), we cannot deal with Malaysian residents (including companies) in

principle. However, we believe we can indirectly contribute to tourism in

Malaysia.

日本とマレーシアの物価水準を比較すると、現在の為替レートは 4：1 であり、マレーシアは経済

的に合理的な水準にあるといえます。同様に、シンガポールとマレーシアを比較すると、現在の為

替レートは 3：1 であり、これはマレーシアが経済的に割安な水準にあることを意味します。

「1物 1価の法則」によれば、品質、数量がある商品の価格と同等であれば、価格は均衡点に

向かって長期的には収束するはずです。ここでは、すべての情報が瞬時に価格に反映されるように

裁定取引を行ったと仮定した場合、裁定取引の可能性がない循環理論には陥るものの、これは

すべての裁定取引に反することになります。価格は、ランダムウォークに従うことが明らかであるため

その論拠となり得ると考えます。

A から B又は B から A へ移動する航空券（移動する権利）が等距離であると仮定し、A国と

B国で購入価格が異なる場合は、より安い価格の国で航空券を購入するのは価格合理性があ

るといえます。このような行為は、「価格裁定取引」と定義されます。たとえば、シンガポール在住

の日本人は、チャンギ空港から日本に直接行くのではなく、クアラルンプールを経由して日本に旅

行するようにすれば、購入価格を半分に抑えることができるということです。

多くの日本人ビジネスパーソンや頻繁に旅行して飛行機で往復している人が多く、安価な価格で

航空券を購入したいと考えています。

TRCは、日本、シンガポール、香港などに主に在住するこれらの人々のグループに、航空券の価

格水準に基づく計算データベースサービスを提供し、マレーシアで航空券を発行して、これらの

人々が費用を節約し旅行/出張を割安に楽しむことができるようにします。

TRCは IBC（International Business Company）としてラブアン法人を活用するため、マ

レーシア居住者（法人含む）との取引は原則として行うことができませんが、マレーシアの旅行産

業・観光産業に間接的に貢献できるものと考えています。

6. TARGET MARKET

TRC is targeting business markets clients that are mainly from Japan,

Singapore, and Hong Kong. The Company also seek to expand the business

market to Philippine and Thailand in the future.

TARO SORANO (Director cum Chief Executive Officer / CEO)

Mr. TARO SORANO is Chief Executive Officer of TRC, he has more than 10

years of working experiences in Aviation industry, his interest mainly focus on

data collection, analysis, and creation of database.

Since he has consistently carried out the work of optimizing International flight

very complicated route search system and fare setting up to now, so we are

hopeful that he will properly design and build aviation databases and medical

databases, which form the foundation of this project.

He is good at management of staffs to build up team spirit contributing the

effective task and good risk management to comply with the regulations.

空野太郎（取締役兼最高経営責任者/ CEO）

空野太郎氏は、TRC の最高経営責任者であり、航空業界で 10 年以上の実務経験があり、

主にデータ収集、分析、データベース作成に重点を置いています。

彼は日本の非常に複雑な経路探索システムと運賃の設定を一貫して行ってきたので、設計した

航空データベースを適切に設計して構築することを期待しています。このプロジェクトの基幹システ

ムを作成・管理します。

彼は国内外の規制を遵守するための効果的な仕事と良いリスク管理に貢献するチームを構築す

るためのスタッフ管理に熟練しています。

Mr. NOBORU OOZORA (Director cum Chief Operating Officer / COO)

Mr. NOBORU OOZORA is Chief Operating Officer of TRC, he has also

more than 5 years of working experiences in Finance, and more than 10 years

experiences in financial analyst and researcher in macro economy in Tokyo and

Singapore.

As to date, he is also an Associate Director at Wasabi Pte. Ltd.., which provides

consulting service to mainly US companies for their overseas Financial product,

as a head of the service and consulting division of the Financial service firm at

the Singapore office.

大空昇氏は TRC の最高執行責任者であり、金融業界で 5 年以上の実務経験を持ち、東京

とシンガポールのマクロアナリストとマクロ経済研究者として 10年以上の経験を有しています。

9. ORGANISATION CHART

During the 1st year operation, TRC will keep its overhead cost as low as

possible, where the Directors, Mr. TARO SORANO and Mr. NOBORU

OOZORA, will operate themselves the business to stabilize the business and

looking forward to future expansion. Incidentally, after acquiring work permit,

they will setup a Management office and residential address in Labuan will be

done in 30 days. The office is scheduled for Labuan Times Square or Lazenda

Sweet, and their residential addresses are Perumahan Taman Mutiara district

(Already surveyed, under negotiating).

Since two directors already have resident addresses in Kuala Lumpur, they plan

to live in Kuala Lumpur after the project is stabilized. In that case we will set up

a Marketing office in Kuala Lumpur.

After 1st year business operation, if TRC is able to generate positive income as

per above forecast illustrated 8., the Company will intend to keep a management

office in Labuan and employ additional employee to align with the business

operation in 2018 (2nd year), and subsequently looking for business partner to

drive the Company to another milestone.

9. 組織図

初年度の事業期間中、TRC は、空野太郎氏と大空昇氏の取締役が事業を安定させ、将来の

拡大を見据えて事業を運営するため、経費を可能な限り低く抑えます。ちなみに、就労ビザの取

得後は、ラブアンの管理事務所と居住アドレスを 30 日以内に契約します。管理事務所はラブア

ン・タイムズスクエアまたはラゼンダスウィートのいずれかを予定しており、その居住地はタマンムティア

ラ地区を予定しております（すでに調査済、交渉中）。

なお、取締役 2 名はすでにクアラルンプールに居住住所があるため、事業が安定した後、クアラル

ンプールに居住予定です。その場合、クアラルンプールにマーケティングオフィスを設置します。

初年度の事業期間後、弊社が上記の予測通りに利益を生み出すことができれば、弊社はラブア

ンに本格的な管理事務所を設置し、2018 年（2 年目）の事業運営に合わせて従業員を雇

用する予定があります。引き続きビジネスパートナーを探し、当社を別の領域に導いて参ります。
