To acquire lands, by purchase or otherwise, erect or otherwise provide a building or buildings for social andcommunity purposes.To encourage and promote amateur games and exercises.To provide a meeting place for the consideration and discussion of questions affecting the interests of the community.To carry on a literary and debating club for the discussion of topics of general interest, and to encourage the practiceof public speaking among its members.To procure the delivery of lectures on social, education, political, economic and other subjects, and to give andarrange musical and dramatic entertainments.To establish and maintain a library and reading room.

Society Bylaws

I Name of SocietyClvlcCamp Society

MEMBERSHIPI. Membership fee, if any, in the society shall be determined, from time to time, by the members at a general meeting. Any person residing in Alberta,

and being of the full age of 18 years, may become a member by a favourable vote passed by a majority of the members at a regular meeting of thesociety, and upon payment of the fee. Such voting shall be by ballot, unless the meeting by resolution otherwise decides. Any person under the ageof 18 years may in the same manner become a member upon payment of half of the said fee.

2. Any member wishing to withdraw from membership may do so upon a notice in writ ing to the Board through it s Secretary. If any member is inarrears for fees or assessments for any year, such member shall be automatically suspended at the expi rat ion of six months from the end of such yearand shall thereafter be entitled to no membership privileges or powers in the society until reinstated. Any member upon a majority vote of allmembers of the society in good standing may be expelled from membership for any cause which the society may deem reasonable.BOARD OF DIRECTORS

3, Board of Directors, Executive Committee or Board, shall mean the Board of Directors of the society.4. The Board shall, subject to the bylaws or di rections given it by majori ty vote at any meeting properly called and constituted, have full control and

management of the affairs of the society, and meetings of the Board shall be held as often as may be required, but at least once every three months,and shall be called by the President. A special meeting may be called on the instructions of any two members provided they request the President inwriting to call such meetings, and state the business to be brought before the meet ing. Meetings of the Board shall be called by 10 days notice inwriting mailed to each member or by three days notice by fax or telephone. Any four members shal l const itute a quorum, and meetings shal l be heldwithout notice if a quorum of the Board is present, provided however, that any business transactions at such meeting shall be ratified at the nextregularly called meeting of the Board; otherwise they shall be null and void.

5. A person appointed or elected a director becomes a director if they were present at the meeting when being appointed or elected, and did not refusethe appointment. They may also become a director if they were not present at the meeting but consented in writing to act as director before theappointment or election, or within ten days after the appointment or election, or if they acted as a di rector pursuant to the appointment or election.

6. Any director of officer, upon a majority vote of all members in good standing, may be removed from office or any cause which the society may deemreasonabJ e.PRESIDENT7. The President shall be ex-officio a member of all Committees. He/she shall, when present, preside at all meetings of the society and of the Board. Inhislher absence, the Vice-President shall preside at any such meetings. In the absence of both, a chairperson may be elected at the meet ing to preside.SECRETARY8. It shall be the duty of the secretary to attend all meetings of the society and of the Board, and to keep accurate minutes of the same. He/she shall havecharge of the Seal of the society which whenever used shall be authenticated by the signature of the Secretary and the President, or, in the case of thedeath or inability of either to act, by the Vice-President. In case of the absence of the Secretary, his/her duties shall be discharged by such officer asmay be appointed by the Board. The Secretary shall have charge of all the correspondence of the society and be under the direction of the Presidentand the Board.

9. The Secretary shall also keep a record of all the members of the society and their addresses, send all notices of the various meetings as required, andcollect and receive the annual dues or assessments levied by the society. Such monies shall be promptly turned over to the Treasurer for deposit in aBank, Trust Company, Credit Union or Treasury Branch as required.TREASURER10 . The Treasurer shall receive all monies paid to the society and be responsible for me deposit of same in whatever Bank, Trust Company, Credit Unionor Treasury Branch the Board may order. He/she shall properly account for me funds of me society and keep such books as may be directed. He/sheshall present a full detailed account of receipts and disbursements to the Board whenever requested and shal l prepare for submission to the AnnualMeeting a statement duly audited of the financial position of the society and submit a copy of same to the Secretary for me records of the society.The Office of the Secretary and Treasurer may be filled by one person if any annual meeting for the election of officers shall so decide.AUDITING11. The books, accounts and records of the Secretary and Treasurer shall be audited at least once each year by a duly qualified accountant or by twomembers of the society elected for that purpose at the Annual Meeting. A complete and proper statement of the standing of the books for theprevious year shall be submitted by such auditor at me Annual Meeting of the society. The fiscal year end of me society in each year shallbe December 31 (month & day).

12. The books and records of the society may be inspected by any member of the society at the Annual Meeting or at any t ime upon giving reasonablenotice and arranging a time satisfactory to the officer or officers having charge of same. Each member of the Board shall at all times have access tosuch books and records.

MEETINGSB. This society shall hold an annual meeting on or before June 30 (month & day) in each year, of

which notice in writing to the last known address of each member shall be delivered in the mail 14 (number) days prior to the date ofthe meeting. At this meeting there shall be elected a President, Vice-President, Secretary, Treasurer, (or Secretary/Treasurer), and three directors.The officers and directors so elected shall form a Board, and shall serve until their successors are elected and installed. Any vacancy occurringduring the year shall be filled at the next meeting, provided it is so stated in the notice calling such meeting. Any member in good standing shall beeligible to any office in the society.

14. General meetings of the society may be called at any time by the Secretary upon the instructions of the President or Board by notice in writing to thelast known address of each member, delivered in the mail eight days prior to the date of such meeting. A special meeting shall be called by thePresident or Secretary upon receipt of a petition signed by one-third of the members in good standing, setting forth the reasons for calling suchmeeting, which shall be by letter to the last known address 0 each member, delivered in the mail eight days prior to the meeting.

Any member who has not withdrawn from membership nor has been suspended nor expelled shall have the right to vote at any meeting of the society.Such votes must be made in person and not by proxy or otherwise.REMUNERATION

17. Unless authorized at any meeting and after notice for same shall have been given, no officer, director, or member of the society shall receive anyremuneration for his/her services.BORROWING POWERS18. For the purpose of carrying out its objects, the society may borrow or raise or secure the payment of money in such manner as it thinks fit, and inparticular by the issue of debentures, but this power shall be exercised only under the authority of the society, and in no case shall debentures beissued without the sanction of a special resolut ion of the society.BYLAWS19. The Bylaws may be rescinded, altered or added to by a "Special Resolution".

TERMS AND CONDITIONS

Definitions:'Customer' refers to a person, firm or other entity who receives a NUANS Reportdirectly or indi rect ly from HP pursuant to a written agreement with HP, or whorelies on such Report without the benefi t o f any written agreement with HP."HP" shaDat all times refer to Hewtett-Packard (Canada) Co.(a) There are no representations or warranties, expressed or implied, oralor written, in fact or by operation of law or otherwise, except as hereinexpressly stated. In no event shall HP be liable for any indirect, special orconsequent ial damages for any reason whatsoever including any damages arisingout of Customer's access to or use of services, data or reports provided underthe Agreement between the Customer and HP, including responsibility orliability resulting from the inaccuracy an dlor omissions of NUANS Reports orNUANS Database Pre-Searches.(b) HP'S liability for di rect damages resulting from HP'S negligence orbreach of contract in the execution of services (including delivery of data andreports) under its Agreement with the Customer shaDbe limited to the totalcharge for the services giving rise to the loss or damage.(c) Where a Customer is requi red to re-order a NUANS Report because theCustomer did not receive the first report or because of a demonstrable omissionor inaccuracy therein, HP'S sole liability in the case of non-receipt byCustomer shall be to waive all charges with respect thereto, provided that inall such cases HP shall not be liable for any fai lure inthe case of an Act ofGod, riots, insurrection, or any other event beyond HP'S direct control, andprovided in all cases that the Customer provide HP with satisfactory evidenceof one of the above-mentioned failures within fift een (15) days of the allegeddate of such failure.(d) The Customer agrees to indemnify HP and to hold it harmless from anyloss or l iabi li ty to the Customer, or to any third parties for any injur ies ordamages not caused by HP'S negligence which result from the Customer's accessto or use of any such repor t or data and operation of any machines in thecontrol of HP, from the Customer's use of HP'S premises or premises which HP isauthorized to use, or from any error or inaccuracy in the preparation andformulation of a request for a NUANS Report.(e) The Customer acknowledges that HP is subject to certain time and otherrestrictions in compiling its data base for purposes of delivering a NUANSReport or a NUANS Database Pre-Search and the Customer sha ll so advise anythird party to whom it disseminates such Report or Pre-Search. HP shall not beheld liable by the Customer or by any third party for the failure of a NUANSReport or a NUANS Database Pre-Search to disclose any name with prior rights.HP expressly excludes aDliability and damages resulting f rom the inaccuracyor incompleteness of, or omissions from, any NUANS Report.

CONDITIONS GENERALESDefinitions:On entend par cliant une personne, une entreprise ou toute autre entite quirecoit directement ou indirectement de HP un rappor t NUANS en contormlte avecune entente ecrite avec HP, ou qui ccmpte sur un tel rapport sans avoir conclud'enten!e ecrite avec HP.Le terme HP,. fait toujours reference a Hewtett-Packard (Canada) Gie(a) Sauf mention contraire dans le present contrat, HP ne reconnait aucunerepresentation ni garantie expresse ou implicite, verbale ou ecrite, dans lesfaits ou par feffet de la loi ou de toute autre disposition. HP ne peut enaucun cas etre tenue responsable de dommages speciaux, indirects ouaccessoires, dont les dommages resultants de I'obtention ou de I'utilisationpar le client des donnees, rapports ou services foumis en vertu des presentes,y cornpris toute responsaoillte decoulant d'inexactitudes ou d'omissions dansles rapports NUANS ou dans les rapports de recherche prehminaire NUANS.(b) La responsabilite de HP pour tout dommage direct resultant de lanegligence de HP ou de la violation du contrat dans rexecution des services (ycompris la foumiture de donnees et derappor ts) en vertu des presentes seralimitee au montant total des frais exiges pour les services qui ont donne lieua la perte ou au dommage.(c) Si le client est obl ige de redemander un rapport NUANS paree que HP aomis de produire le premier rapport selon ses obligations, la seu leresponsabilite de HP consistera a renoncer a t ous les frais associes a cettedemande, a condition que HP soit exernptee de toute responsabilite si lemanquement est dO a un cas de force majeure, a des erneutes, a des insurrectionsou a toute autre cause Independante de la volonte de HP; par aiUeurs, leclient sera aussi tenu de foumir a HP des pieces justificatives satisfaisantesd'un tel manquement dans un delai de quinze (15) jours suivant la datepretendue de chaque manquement.(d) Le client convient d'indemniser HP et de le diigager de tcuteresponsablhte decculant d'une perte oud 'une ob liga tion pour le c lient ou unetierce partie en raison de blessures DU de dommages qui ne resultent pas de lanegligence de HP, mais plut6t du fait que le client a obtenu et utilise lerapport ou les donnees et a fait fonctionne de I'equipement sous le controle deHP, qu'il a utilise les locaux de HP ou des locaux que HP est autorisee autiliser, DU qu'une erreur ou une inexactitude s 'est gl issee dans lapreparation ou la formulation d'une demande de rapport NUANS.(e) Le client reconnalt que HP est soumise a certaines restrictions lieesau temps et a d'autres facteurs lorsqu'elle compile sa base de donnees en vuede produire un rapport NUANS ou un rapport de recherche preliminaire NUANS etit devra done en prevenir toute tierce partie a qui il transmet le rapportNUANS ou le rapport de recherche prefrninaire NUANS. HP ne peut etre tenueresponsab le par le cl ient ou toute tieree partie en cas d'omission dedivulgation dans le rapport NUANS ou le rapport derecherche pretiminaire NUANSde toute denomination el remarque de commerce avec droit prioritaire. HPdecline expressement toute responsabiliti! decoulant d'inexaetitudes oud'omissions dans le rapport NUANS.
