TermBoard members are elected at the Annual General Meeting and shall serve for a term of two (2) years, with the potential to serve multiple terms according to the needs of the Board and in consultation with the Director.

Qualities of Board MembersThe ideal candidate for the CCC Board of Directors will demonstrate the following qualities:

• Commitment to the Mission and Vision of the CCC;• Understanding of and familiarity with the arts sector, particularly the Canadian choral sector;• Appreciation of the value of collaborative decision making and willingness to engage in such practices;• Self-motivation to think and act independently, following established best practices in the industry; &• Availability of personal time required to be a Director.

Duties and Responsibilities The CCC requires that Board members are familiar and comply with the Duties and Responsibilities of the Board, as set out in the Board’s By-Laws and its Charter.  Members are also expected to comply with the Board’s Code of Conduct, Conflict of Interest Policy and all other Board policies.  Board members will be conversant with and observe their fiduciary duties, as legally required of Directors of Canadian Not-for-Profit Corporations.

Board meetings are held approximately 8 times a year from September to June. In addition, an Annual General Meeting is held, usually in February. Generally, meetings are held by Skype or teleconference; al-though occasionally the CCC will have in-person meetings at the cost of the organization. Board meetings are currently held on Sunday evenings at 7 p.m. CST. Board members are expected to attend all meetings of the Board and applicable committee meetings.  A member whose attendance is less than 80% without a valid extenuating circumstance will be deemed to have not met an acceptable standard and may be re-moved at the Board’s discretion.

Orientation and DevelopmentNew Board members are expected to participate in an orientation session prior to attending their first meeting. In addition, Board retreats and/or education sessions may be scheduled as considered necessary at the cost of the organization. Board members are expected to have a working knowledge of the opera-tions of the CCC and participate in active self-assessment, evaluation, and feedback.

Committee WorkIt is anticipated that each Board member will serve on at least one Board Standing or Special Committee, as requested by the Chair.  Committees generally meet monthly or as required. Board members may be asked to assist in the development and/or review and update of Terms of Reference for their committee(s).

Preparation and ParticipationMaterials for Board meetings, including agendas, reports and financials are uploaded to Dropbox at least 4 days before each Board meeting. Board members are expected to read materials distributed in advance of Board meetings as these reports will not be discussed in detail at meetings. Clarifying questions and/or comments are welcomed and encouraged. Where decisions are required at Board meetings, members are expected to be prepared to participate knowledgeably in discussion and to vote.

Working as a TeamBoard members will develop and maintain effective working relationships with the Chair of the Board, other Directors, the artistic team and administrative staff of the CCC.  Board members are assumed to respect the will of the majority and support approved Board decisions.  The CCC is in a growth phase and is currently transitioning from a management/operational Board to a governance Board, and new Board members may be asked for expertise and feedback during this transition process. It is not the CCC’s intent to have Board members involved in routine, short-term decision making for day-to-day operations, al-though this may be the case for the immediate future.

Fundraising and Personal GivingBoard members will actively support all fundraising and development goals and activities of the CCC, consistent with the strategic directions approved by the Board.  Members will work with the CCC man-agement in the achievement of specific fundraising goals consistent with their personal knowledge and circumstances, and as considered appropriate by the Chair.

CCC Board members are expected to personally support the CCC through an annual financial contri-bution according to their individual means. This contribution could include any and all of the following: an annual donation, monthly giving, purchase of CDs and concert tickets, supporting recording costs and contributing to fundraising events. Board members are also encouraged to approach persons in their sphere of influence to consider supporting the CCC.
